    Have you noticed a decliningnumber of people attend-ing real estate

    meetings lately? Well,maybe not at AtlantaREIA Meetings, but this

    is true of many other RE-IAs across the country.Ive run a weekly real es-tate meeting myself forover 10 years down in StPetersburg, FL and Iveseen my own group at-tendance diminish froman average of 200 peopleeach week to approxi-mately 50 over the pastcouple of years. I realizemany investors are confused, scared andhave lost faith in the real estate invest-ing business and who can blame them?You cant open a newspaper or turn onthe television without hearing anythingbut negative news about the real estatemarket. All we hear about is the declin-ing sales prices, lower number of sales,almost no building starts and of coursethe record number of Foreclosures na-tionwide. Who can blame investors for

    shying away from buying houses in thismarket? Many investors are waiting for

    the market to bottomout before they are go-ing to get back in thebusiness. There is no

    better time to be buyinghouses than NOW, yetmany investors are nd-ing it impossible to fundtheir deals while otherinvestors believe doingShort Sales is their onlychance to make moneytoday. This is not true!That kind of thinking issimply crazy!

    Because of all of the Foreclosures happen-ing, there has been a major focus by RealEstate teachers to teach about Foreclo-sure Real Estate and Short Sales. The lasttime I looked, only approximately 20%of all houses in this country were in Fore-closure while the other 80% are not. An-other interesting fact, 30% to 40% of allhouses in this country are free and clear.

    1. Overcoming Fear. When I rstgot started in the real estate businessI had a tremendous amount of fear.There was the fear that preventedme from placing the ads, the fearthat prevented me from makingoffers, and the fear that paralyzedme to the point that I was not ableto move forward in a real estateinvesting career.

    2. Knowing The Numbers AndExit Strategies. After I made myrst 50 offers I overcame that fear.After I got an agreement accepted Ihad the fear of not knowing what Iwas going to do with the propertyand whether or not it was going tobe protable. The exit strategy isthe plan. The exit strategy deneswhat your prot is and how muchprot there will be. Once I was ableto get a handle on the exit strategiesand rene the numbers my careerstarted to take off.

    3. Running Your Business RatherThan Your Business RunningYou. I then noticed that I had notime to do the fun things in my life.I was so busy I didnt have time toenjoy the money I was earning. Themoney that I was creating was goingback into the business. I was notrelaxing and enjoying some of thefruits of my labor. I began to realize

    that if I didnt work, all the time,the business would stop. Cash owwould stop and long-term wealthwould wobble. I needed help!

    4. Building a Team with a SingleVision. As the business grew Istarted to hire more employees. Eachnew employee brought the newchallenges. It was tough enoughmanaging me but I had to have newskills in order to manage others. If I

    did not grow my business with otherpeople, my business would go at.If my business was at I couldnttake a vacation. My business wasrunning me.

    5. Focusing On What Youre GoodAt. I began to lose focus and thebusiness hit a plateau. I achievedthe goals that I had desired formy business but there was still

    something I wanted to do. I read anumber of books on business. Thereality was I was not working thebusiness. I lost interest. I needed tobe more accountable. By me beingaccountable to my business my focusbecame much clearer.

    6. Objectively Knowing TheMarket. In the 30 years that Ihave been doing real estate, themarket has changed every year.If it wasnt the interest rates thatchanged it was the rental market.If it wasnt the mortgage industryit was government regulations. If itwasnt the price of the property itwas the return on investment. If thelending rules got too loose then allof the good renters were taken outof the market and evictions went up.The coach has the ability to look atyour business objectively. The coachhas the ability to see opportunities,niches, and prot centers.

    7. Raising Capital. My businessstarted and stopped, started andstopped. I was using my own cash.I would save it up, then I woulduse it for a down payment andget conventional nancing. Thenancing rules changed. After I hita certain number of properties, I wasno longer able to get conventionalnancing. I had to learn how to raiseprivate capital. Now my business

    moves very smoothly because I haveinvestors that are working with mesupplying me the necessary cash, andIm paying great returns.

    Each one of us has talents and strengthsHaving the right coach develops youstrengths and allows you to work withpeople who will cover your weaknessesA great coach is somebody who wilwork with you on your terms, but ha

    the people skills to demonstrate youterms are not necessarily good for youand your dreams.

    All great leaders and all great businesspeople surround themselves with indi-viduals who have been there, done thatand are willing to share. Your investment in a coach/mentor will be one oyour best investments. I have had severain my career.

    We have all faced the question;Is this a good business opportuni-ty for me? The answer to this

    question may come from your professionaltraining on how to evaluate a deal. Some-times, we nd ourselves enrolled in theschool of Hard Knocks taking the fresh-

    men class of Trial and Error. But, if youare an entrepreneur, there may be is a morecritical question that has to be answeredand your answer to this question may notbe quite as forgiving.

    That question is; Who am I doing businesswith? Have you ever found yourself chal-lenged to do business with someone whooperates with a fundamentally different setof values and moral practices than yourself?Have you ever been asked to participate ina venture or business proposition that justdidnt sit right in your heart? Sometimes,at rst glance, it may seem to be quite at-tractive and a potentially protable propo-sition. But after some careful thought anddiscussion, you begin to feel uncomfort-

    able about the person orthe proposition.

    Our message from theBook of Proverbs says,dont allow yourself to

    be recruited by, or be in partnership with

    greedy, or criminally minded people.When you hear schemes or proposals thatin any way appear to be less than ethical;BEWARE. A proposition to do businesswhere there is not a clear Win-Win sce-nario for everyone involved may not be thekind of business you should participate in.If the potential business associates seem tobe illegal, immoral, or shady, wisdom sug-gest that you turn and go the other way.

    If the business outcome of a deal or action

    that is purposed is not something that youwould like to happen to you or your fam-ily, run away from it. If you cant discussit openly and completely with all involvedparties, in a public setting, then thats nota deal that you should do. Furthermore,dont even be in the company of the people

    who make such proposals. If these kinds ofpeople are considered to be your friends,partners or associates, quickly change yourbusiness relationship with them.

    Dont be afraid to stand up for honesty andintegrity. When you refuse to compromiseand stand up for what is right the outcomeis always more protable and rewarding,even if it seems like you might be losingout in the short term. Honesty and integ-rity produces winners!

    Some Thoughts To Ponder

    1. What do you consider to be non-negotiable when you decide who youare going to do business with?

    2. Do you havewise people around youto advise you, to coach you, to prayfor you and to help you make goodbusiness decisions?

    3. What fears do you have aboutexpressing your principles andsaying No to questionablebusiness associates?

    a. Perhaps a fear of being ridiculed?

    b. Maybe a fear of losing clients?c. Or a fear of losing money?

    The Mortgage Electronic Regis-tration System is just thatanelectronic registration system.

    MERS came into being after the GSEsproduced a white paper in 1993 statingthe case for an electronic registration

    system to track mortgage assignments.It was ofcially launched in 1997.

    From the point of view of the mort-gage industry MERS made it possible totransfer mortgages or merge lender ac-quisitions efciently without triggeringlocal transfer taxes and other recordingfees. It changes what has always been apublic documentation process to a pri-vate one. The industry claims the MERSsystem allows the industry to have a cen-tral repository for mortgage assignmentinformation in order to keep a more ac-curate picture of ownership.

    Courts have not been unanimous aboutthe legitimacy of MERS and manycourts have ruled that MERS muddiesthe waters in the recorded chain of titleand cheats counties out of much neededrevenue. In fact, county recorders in sev-eral states have sued the MERS systemfor loss of documentation fees. On theother hand, the MERS website lists cases

    it has won in at least 22 states since thebeginning of 2011. There is clearly awindow of opportunity to ght MERSlegitimacy as an owner of record in manyforeclosure cases.

    One of the more comprehensive com-plaints against MERS was led in Febru-ary 2012 by Eric Schneiderman, attor-ney general of New York. Mr. Schnei-derman maintains that MERS has com-mitted fraud and acted deceptively inmany respects:

    It has bypassed legitimate registrarsof mortgage documents thusavoiding more than $2 billion indocumentation taxes and fees;

    MERS is accused of being just a shell

    company with no economic interestin the mortgages being recorded;

    MERS has over 20,000 memberemployees designated to executemillions of mortgage documents,and yet MERS has failed toadequately screen, train and monitorits employees as certifying ofcers;

    MERS eliminated the ability of thepublic and individual homeowners totrack the transfer of their mortgagedocuments or to be assured of properchain of title and the MERS databasecontains many inaccuracies;

    Banks have securitized and sold offmillions of loans using the systemwith little scrutiny to assure accuraterepresentation of quality and contentof these securities;

    Use of records from the MERS systemled to wide-spread mishandling andfraud in ling of foreclosure casesusing forged documentation andsignatures on documents by peoplewho are not actually ofcers of the

    owning lender;

    MERS has initiated foreclosureeven though it has no legal standingto do so;

    In many cases assignments werenot properly mademany wererobosigned and were not legal;

    Use of MERS has potentially cloudedtitles on millions of homes.

    We are seeing litigation around the coun-try listing similar arguments of fraudmismanagement of important legal re-cords, clouded titles, and lack of stand-ing when MERS attempts to foreclose onbehalf of a lender.

    As an attorney who specializes inreal estate transactions for in-vestors, I always try and stress

    the importance of using an attorney toform your business entity, more speci-cally an LLC, to shield your real estateassets from liability, as opposed to try-

    ing to take on this task on your own, orusing an online service. No matter howmany times we suggest this, investorssometimes overlook the importance ofseeking an attorneys advice during ini-tial registration of LLC documents. Asa result, many investors are forced toamend their Articles of Organization,sometimes more than once. In our ex-perience, investors who have registeredtheir LLCs online, without engagingan attorney to correctly draft the docu-ments necessary for proper ling, end uphaving to le amendments nine timesout of ten regardless of their experience.

    The time and money lost due to avoid-able mistakes can be very frustrating,and necessary amendments often end upcosting investors the same, if not more,than what their attorney fees would havebeen had they hired one at the onset.Conversely, investors who work with at-torneys during the ling process are farless likely to encounter obstacles result-

    ing from imperfect lings and unantici-

    pated obstacles. These investors are thusmuch more insulated from the risk ofneedlessly incurring costly amendments.Attorneys can help investors circumventthese unnecessary obstacles and losses inseveral important ways.

    A good law rm can save an investortime on the front end by expeditingthe LLC ling process as a result of itsongoing relationship with personnel in

    the Secretary of States ofce. Docu-ments led with the Georgia Secretaryof State online often sit in queue forupwards of seven to ten business days,unless the investor opts to pay an extra$100 for rush recording. In contrast,investors who work with good attor-

    neys are often granted Certicates ofOrganization on the same day they lewithout incurring the extra cost of rushrecording. Attorneys who have a rela-tionship with the Secretary of Statesofce have the ability to give their cli-ents les greater priority and can in-crease the likelihood that their clientsLLCs are created correctly and expedi-tiously at the rst ling as opposed tositting in a generic online queue.

    Foreign and out-of-state investors losevaluable time for their real estate clos-ings by signing, notarizing, and mailingout corporate documents back and forth.Any experienced investor understandsthat the loss of a few days can make thedifference between a successful deal anda lost opportunity. Investors can avoidsuch problems by delegating signa-tory authority to local registered agentsor non-member managers through anLLCs Articles of Organization and/orOperating Agreement. Language estab-

    lishing and limiting the capacity of reg-

    istered agents and non-member manag-ers should be very specic, since slightvariations in word choice or syntax canproduce diametrically different results.The Georgia Secretary of States web-site does not have the ability to generatethis language; in fact, it does not allowan LLC to designate members or non-member managers duties at all.

    On the other hand, an experienced at-

    torney, has the legal knowledge andexpertise to best implement the intentof an investor, and can draft an LLCsArticles of Organization in a way thatgives an investor the greatest possiblereach without delegating too muchpower. Therefore, real estate investors

    should always seek legal advice beforeforming an LLC. What are the twomost important factors to my clientsthat invest in real estate? Time andmoneyand in the long run, both othese can be saved by using an expe-rienced law rm to accomplish an in-vestors goals as quickly and nanciallyefciently as possible to get his or herentity registered correctly, without theneed for any changes post facto.

    Rental Properties in Your IRA

    For legions of investors frustrated withpuny yields on savings and bonds, slowgrowth retarding stock market returns,and the usual substantial risk involvedin security investing (any given stock orbond can potentially become worthless

    overnight), we have good news: The com-bination of declining real estate prices andsteady or increasing rents have opened upa window of opportunity in real estate forincome-oriented investors. In fact, yearsafter the smart money was selling offreal estate ahead of the bubble collapse,we are seeing signs that smart money isgetting back in the real estate market. In-deed, up to 20 percent of residential realestate now sold is sold to investors andnot just to play and pray amateur prop-erty ippers, but to value-oriented inves-tors as well, who are seeking to generateimmediate positive cash ow.

    Advantage or IRA Owners

    This is a big development for IRA inves-tors, because generating cash ow suf-cient to maintain properties is importantfor IRA owners. Because you are restrictedto $5,000 in new contributions to IRAsevery year ($6,000 for those over age 50),you have to pay for any needed repairs or

    renovations to properties either with cash

    in the IRA, bringing on a partner, nonre-course debt nancing, or other retirementassets you can roll over into the account.When you can realize immediate positivecash ow from a property, however, netof nancing costs and taxes, that takes alot of the pressure off, and makes owningreal estate in an IRA much simpler.

    Getting Started inReal Estate IRA Investing

    Owning property within an IRA is sim-ple: Open an account with AmericanIRA, a third-party administrator special-izing in self-directed retirement accounts.Identify a property, fund the account,and direct us to purchase the propertyon your IRAs behalf. We will work withyour team of advisors to ensure that theproperty is titled and held in accordancewith the IRSs regulations pertaining toretirement accounts.

    Using Leverage

    If you cant pay cash for the property,you can have your IRA borrow most ofthe purchase price. Typically, you can -nance a property in an IRA with banksthat specialize in non-recourse nancingthrough IRAs which generally requires adown payment of about 35 percent, plus

    loan, meaning the loan can only be col-lateralized by the property youre buy-ing, within the IRA. You cannot sign apersonal guarantee on the debt nor canyour IRA or any other prohibited person.Fortunately, in many markets, it is stillpossible to generate substantial free cashow from well-chosen rental properties,

    even carrying a mortgage of 2/3ds of thevalue of the property.

    In addition to a 35 percent down pay-ment, lenders will typically look to seeif they can expect a positive cash ow of20 to 25 percent, net of expenses. Again,this is very doable in many real estatemarkets today.

    Looking for more exibility? The IRAis not limited to borrowing funds frombanks that specialize in non-recourse

    loans, your IRA can also borrow fromprivate lenders. Borrowing from privatelenders has some added advantages to itas the terms and down payment are ne-gotiable. When entering into loans withprivate lenders make sure to do your duediligence, use professionals to draw upthe paperwork, and remember that theloan must be non-recourse.

    One caveat: Because borrowed moneyis not IRA money, any prots attribut-able to borrowed money could be subjectto unrelated debt income tax (UDIT).

    American IRA does not provide individu-alized tax advice its important to retainyour own tax advisor for advice on howthis affects your personal situation.

    Advantages o Holding Property inan IRA

    IRAs allow you to defer all the incomeyour rental property receives. This isa crucial consideration for real estateinvestors, because of the substantialamount of rental income, which wouldotherwise be taxable in the current year.If you hold the property in a Roth IRA,the income and potential capital appre-ciation is tax free.

    Because theres no current tax liability onrental income, you cant take depreciationdeductions on rental property you hold

    in the IRA. However, you arent payingcurrent year taxes on the property, its awash. Real estate investing in tax-advan-taged accounts does not rely on deprecia-tion allowances to make sense. You canstill frequently realize positive cash owvery quickly or even immediately, evenwithout depreciation.

    Note, however, that if you have leveragedthe property, you can deduct all the nor-mal expenses, such as interest, taxes, in-surance and depreciation in the percent-age applicable to the percentage of debton the property.

    Other Accounts

    Real estate investing in retirement ac-counts is not limited to IRAs. If you pre-fer, you can buy real estate within a self-directed Solo 401(k), SEP IRA or SIM-PLE IRA as well. Many investors chooseto do so because of the higher contribu-tion allowances available in these types of

    accounts. For example, as of 2012, youcan contribute up to $49,000 to a SEPIRA, or 25 percent of your compensation whichever is less.

    As a point of interest, Solo 401(k) ac-counts are not generally subject to unre-lated debt income tax. You can use lever-age within the Solo 401(k) account andthe account remains fully tax-deferred,though you must still pay applicableproperty taxes and property expenses.

    Considerations

    The IRS imposes a few rules on whayou may and may not do with real estatewithin your IRA. For example, neitheryou, nor your parents, grandparents, chil-dren, grandchildren or your spouses olegally adopted step-children can borrow

    from, lend to or buy or sell goods and ser-vices from your IRA, nor may any entitiethey control. Note that un-adopted step-children are not prohibited.

    You also cant use the property for the di-rect benet of any prohibited individualsThey cant even stay overnight in a prop-erty, whether or not the property chargesrent. Assets in IRAs must be solely usedto grow and to generate eventual retire-ment income for yourself or your bene-ciary, and for no other purpose. How-

    ever, one great strategy commonly usedby investors is to buy a retirement homenow with their IRA, rent the propertyuntil they retire, and then after havingreached age 59, take the house as a dis-tribution for personal use. If the accountis in a Roth IRA, there wont be any taxesdue on the distribution.

    The major problem for investors, who arecurrently doing Short Sales, is it takescash to buy the properties they are try-ing to get the lender to discount. If thoseinvestors are unable to get nancing tofund their deals, how do they think they

    will be able to close those deals. If youcant get nancing in the form of loans ortransactional funding how do you expectto make money? You simply cant con-tinue to make offers contingent on get-ting nancing if you cant get loans.

    One o the Most Alarming ThingsI Continually See Is the Fact ThatReal Estate Investors Are Extreme-ly Reluctant to Change the WayThey Do Business.

    Because they are so reluctant to change,they are, what we call -One Trick Po-nies. They only know one way to buyhouses. They dont realize that therecould be a deal in every house they drivepast. Because they only know one wayto buy houses, they are unable to protfrom those deals. Because you fear chang-ing the way you do business, you could belosing a fortune and you dont even knowit. Investors who are afraid to change aresimply getting out of the business all to-gether. There is no need to do that if youare willing to take just a small amount oftime to learn how to buy houses withoutthe need for institutional nancing. Justa few simple changes can take your busi-ness from practically non-existent to fullspeed ahead.

    I Personally Believe There Are TwoMain Reasons Why Investors TodayAre So Reluctant to Change.

    First, because money was easy to get over

    the past decade, few investors understand

    how to do any type of deal without insti-tutional nancing. HELLO, that modeldoesnt work anymore, nor does it even ex-ist for most investors. Second, the investorswho understand there are different ways tobuy real estate are keeping their mouthsshut so they wont have more competitionin this incredible buyers market. Yes, I

    said incredible BUYERS market! This isthe best market in which to buy real estateIve seen in the 30 years Ive been in thebusiness. Its a BUYERS market and thatis why you should be learning every pos-sible way you can, to buy houses even ifyou have no money or bad credit. If donethe way I show you it wont matter, youcan do deals even if you are bankrupt, sodont let anyone tell you that you cant.

    Finding an investment deal today,although not easy, is not as dif-cult as it once was. When -

    nancing was easy to qualify for and nodoc loans were offered by all, deals wereharder to come by. Many people still be-lieve that nding the deal is the hardestpart of investing. I would have to say thatnding the deal is less difcult than put-ting it under contract. Why? Well, by

    the time a contract is being discussed youknow you want to contract the propertyand the seller knows he/she wants to sell.However, how much the seller will ac-cept and what the buyer will pay rarelymatches up.

    Lets look at the sellers point of view.First, you must identify who the seller isand what is his/her interest in the prop-erty. There are many types of sellers butthe most common seller is an owner thatlives in the property, an owner that in-herited the property, an owner that usedthe property as an investment, whole-saler, and REO agents. This is impor-tant to identify immediately because itdetermines how you should contract aproperty. More importantly it will letyou know how to best present a con-tract to make it more attractive to eachseller type. The one thing that all sellershave in common is that they expect you

    to justify your offer. As an investor youwant the property as cheap as possibleto make the most prot but makingsure the contract is a win-win situationwill make you more money in the longrun. How? That seller will become yourwalking billboard and may bring youmore properties!

    Now lets look at the contract form your

    point of view, the buyer. We are goingto focus on the buyer being an investor.You, the investor, would hope that theseller would just give you the property.Believe it or not but it has and will hap-pen if you are in real estate long enough.Again, this goes back to making surethe contract you put out is a win-winfor everyone involved. As a buyer youneed to identify your exit strategy andbe prepared to have a back up. This willdetermine what you can pay for a prop-erty. This will also make justifying youroffer to the seller easier. The seller un-derstands that if you are an investor youare buying to make a prot but does notwant to feel like they were robbed. Atthe end of the day all sellers are lookingfor a buyer that CLOSES!!! I will take ifa step further and say sellers want buy-ers that FUND!!! There are many dealswhere the buyer may close but does notfund and the deal does not happen.

    We will be take a more in depth viewat each type of seller so that you can beprepared and know how to approacheach situation. I have been doing it longenough that I consider it common knowl-edge but its the difference between re-ceiving and a rejection or an ACCEPTEDcontract.
