UNT seeks to add jobswith research plan

The University of North Texassubmitted a 10-year strategicresearch plan to state officials, which could bring an estimated1,000 new jobs to the Dentonarea for research faculty, staffand doctoral students.

Funds for the research planwould come from salary savingsfrom vacant positions, statefunds, research grants, fundrais-ing efforts and borrowing fromUNT’s reserve, said Vish Prasad, vice president for research andeconomic development.

“We like to own castles withlarge moats filled with sharksand crocodiles that can fend offmarauders — the millions ofpeople with capital that want totake our capital. We think interms of moats that are impossi-ble to cross, and tell our man-agers to widen their moat everyyear, even if profits do notincrease every year.”

— Warren Buffett

Ialways find it interestinghow focused Wall Streetanalysts are on a given

company’s growth prospects.Perfectly wonderful businessesthat have tremendous long-term prospects will suddenlysell off because a company“missed” earnings estimates.Or, even more curiously, youmay see sell-offs because acompany did not “beat” esti-mates enough!

When I begin to investigate a

company, the first question Iwant answered is whether Ithink this business will bearound 10, 20, 30 years fromnow. It is far more importantfor me to understand the dura-bility of a company’s opera-tions. Growth is icing on thecake.

Numerous studies haveprobed into the longevity of theaverage American enterprise.Several come to similar conclu-sions: Roughly half fail withinfour years, 60 percent fail withinsix years and far less than 10

percent survive 25 years ormore.

I look around at some oftoday’s high-flying businessesand see folks enamored by thegrowth potential of the latestgadget. Everyone wants toknow how much the companycan grow this year. A far moreinteresting question should be,“What is the likelihood thiscompany will be as successful20 years from now as it istoday?”

Returning to Buffett’s counsel, companies with strong competi-tive advantages, or economicmoats, will answer that questionbetter than most.

But how can investors evalu-ate whether businesses possesscharacteristics that demonstratestrong economic moats? Variousfinancial metrics give someclues.

Firms that consistently deliverhigh returns on equity (ROE)

are effectively reinvesting themoney their business generatesback into their own operationsand earning good returns. Thatoften is a sign that an economicmoat may exist. More qualitativefactors may provide some cluesas well.

Companies that are the low-cost producer in their industrytend to fare well in good timesor bad. If an oil company has oilreserves at $20 per barrel, it canmake money whether oil ispriced at $30 or $100. That isvery different from the producerthat can only extract oil at $60per barrel. The first companyhas a low-cost advantage.

Or take Wal-Mart Stores Inc.Though the retail industry isviciously competitive, Wal-Mart’s supply chain prowessallows it to deliver productsfaster, cheaper and timelierthan its competitors. Combinethat with its unsurpassed pur-chasing power, and it possessesa tremendous low-cost advan-tage.

Most investors are familiarwith hard assets like land, build-ings and machinery, but intangi-ble assets may also provide acompetitive advantage. Howvaluable is the Coke brand nameor the secret formula for thecola? The worldwide affinity forand loyalty to Coke would bevirtually impossible to replicateand is a significant competitiveadvantage.

Or, how about a regionalpower utility with a governmentlicense? This intangible licenseasset provides a tremendouseconomic moat. While the utili-ty’s profits may be regulated, they also are fairly secure fromcompetition.

Companies that have highswitching costs or benefit fromthe “network effect” also tend torise above the competitive fray.If you are a heart surgeon whohas invested considerable timeand effort into learning how toperform micro-robotic surgery

Leadership Dentonproven by longevityLeadership development

programs sponsored bylocal chambers of com-

merce are not new or unique.Leadership Denton, however, isexceptional in that it has beenfunctioning consistently formore than 25 years to restockthe local pool of qualified andmotivated volunteers.

Graduates of LeadershipDenton do not receive continu-ing education credits, are notguaranteed a raise, and, frankly, don’t have to be affiliated with aDenton Chamber of Commercemembership account to beaccepted. All interested individ-uals must apply and demon-strate a genuine desire to giveback to the community.

Another exceptional aspect ofLeadership Denton is that it pri-marily is coordinated by volun-teers — all graduates of the pro-gram. Although affiliated withthe chamber, there is limiteddirect staff support. As a result, tuition remains one of the mostaffordable in the area, while stillproviding a broad, relevant cur-riculum.

Class sessions emphasizepotential opportunities for par-ticipation in local communityservice organizations as well asall levels of government, includ-ing an overnight trip to Austin. There is a team-building retreat, and a group project is requiredfor graduation.

The 441 graduates ofLeadership Denton includeMayor Mark Burroughs and 10past chamber board chairmen, including former Mayor PerryMcNeill. The program has pre-

pared key volunteers and offi-cers for the Denton City Council,United Way of Denton County,Denton Benefit League, localKiwanis and Rotary clubs, theDenton school board, area judi-cial benches, the DentonPlanning and ZoningCommission and the PublicUtilities Board.

Interested applicants shouldbe a citizen of the United States,of voting age and reside withinthe boundaries of the DentonIndependent School District forat least one year as of Aug. 1,2010. Applications can bedownloaded from www.denton-chamber.org or pickedup at 414 Carroll Blvd.

The deadline for returningapplications is 5 p.m. June 4.Applicants may be subject to apersonal interview; the 2010-11class will convene Aug. 5. Thecomplete schedule and programrules are on the chamber web-site. The Leadership Dentonchairman is Austin Petersen, program class of 2008.

It’s the ultimate businessgotcha, and it’s hittingsmall businesses with a

vengeance.The “it” is preferential pay-

ments. Or, to be exact, a bank-ruptcy trustee demanding thatthe business pay back money ithad received from a debtor asmuch as two years earlier.

Why is it hitting now?Because there’s a deadline inplace; many of the bankruptciesdate from 2008, and a trusteehas only two years to file suit ona preference payment.

A preference payment is apayment that a debtor made to acreditor within the 90-day peri-od before it filed bankruptcy. It’sconsidered a “preference”because, while that one creditorgot paid, many others did not.

Suppose a business gets paidby the debtor on its outstandinginvoices in March. The businesstakes the money, declares it asincome and puts it into cashflow. The debtor files bankrupt-cy in May. Now the business isin danger, for the next two years,of having the bankruptcy trusteecome knocking on the door anddemanding that money back.

The business faces losing themoney when it did nothingwrong. Not only that, the busi-ness is out the goods or servicesthat it provided. At that point, the business becomes just anunsecured creditor of a bank-rupt estate.

To understand the reasoningbehind the law, it’s necessary tounderstand a bit about bank-ruptcy.

Once a person or entity (thedebtor) files bankruptcy, itsassets are grouped into an“estate.” In most cases, the courtappoints a bankruptcy trusteewhose primary job is to maxi-mize the size of the estate sothere is more money to pay offthe creditors, the trustee and thecourt experts.

The debtor has to disclose tothe trustee all payments that itmade to any of its creditors inthe prior year. The trustee has to

make sure that the debtor treat-ed all of its creditors fairly anddidn’t show favoritism in thepayments it made before thebankruptcy was filed. Thattranslates into the trustee chas-ing payments made by thedebtor in anticipation of thebankruptcy filing.

The “gotcha” is that mostbusinesses don’t know until adebtor actually files bankruptcythat the debtor was in financialtrouble. The businesses don’tknow that the payment theyreceived could be considered apreference and be subject to aclaw-back.

When the trustee knocks, there are a few defenses that thebusiness can raise. The businesscan argue that the payment wasmade for new value — such asthe business delivering a truckand getting immediate paymentfor it — and should not be con-sidered a preference.

The business can argue thatits invoices were paid in theordinary course of businessunder ordinary business terms. What’s ordinary is a matter ofevidence, and depends on theindustry and past dealingsbetween the business and thedebtor. If the business custom-arily sold paint to the debtorevery month and its invoices gotpaid every 60 days, then pay-ment of those invoices on a 60-day delay would be considered“ordinary.” If the debtor slippedto 75 days on payment of theinvoices in the months leadingup to its bankruptcy, then thetrustee might argue that thoselater payments weren’t ordinary.

The remaining argumentcommonly used by businesses

relies on payments connectedwith creation of a security inter-est in the goods.

Oh, and there is one finalgotcha. If the trustee decides topursue its claim against you, then the lawsuit will be filed in

the federal district where thebankruptcy was filed. Your Texasbusiness could easily be sued inNew York, California or Hawaii.Factor in the cost of defense, and you can see why just thethreat of a lawsuit has business-es coughing up money.

It’s a shakedown, pure andsimple. And unless your businessadopts a cash-only policy, it’s a

risk that that you can’t avoid. VIRGINIA HAMMERLE, an

Transportation is a keyissue for any area, par-ticularly one with

prospects of significant growth. Denton County, among the

fastest growing counties in thestate and region, continues tosee increases in the number ofpeople on major thoroughfares— with students commuting touniversities, nearby and regionalhomeowners driving to andfrom work, and normal inter-state traffic, which also isexpanding.

Navigating the county’s trafficbackups can be challenging.

What once was a 20-minutecommute from Lewisville insouthern Denton County to itsnorthern communities ofDenton and beyond is now atleast 40 minutes — without atraffic accident. Even minoraccidents can stretch the 15-milecommute to more than an hour.

Traffic west of Denton alongU.S. Highway 380 also suffersfrom congestion, as commutingfrom the country lifestyle to cityjobs becomes more common.

And while traffic is now a wayof life in Denton County, thereare concerns about what it willbe like in the future if steps arenot taken soon to alleviate thegrowing congestion.

With Interstates 35, 35W and35E, three U.S. highways and anumber of state highways — notto mention farm-to-market

roads and other byways — a lotof traffic comes through theDenton area.

And, as the economic picturebegins to improve, the potentialfor more traffic increases withevery major employer thatmoves into a Denton Countycommunity and every majorretailer that opens its doors.

On May 11, Denton Countycommissioners approved a $57million loan to Dallas Countyfrom regional tollway revenuesin Fund 6. Fund 6 is a state-budgeted account that storesgasoline tax revenue and wherefunds for the State Highway 121toll road project are deposited.Dallas County will borrow fromDenton County’s portion of theState Highway 121 money.

When the North TexasTollway Authority paid $3.2 bil-lion for the rights to develop andoperate State Highway 121, the

money was deposited into Fund6 because there was no otherplace to put it, according toJohn Polster, Denton Countytransportation consultant. Thatmoney was divided intoaccounts for Denton, Dallas andCollin counties, which have spe-cific fund amounts allocated tothem.

As of February, Dallas Countyhad spent 85 percent of its allot-ment, Denton County had spent30 percent and Collin Countyabout 8 percent.

Denton County’s portion —$1.6 billion — is anticipated tocover about 68 projects, accord-ing to records from the NorthCentral Texas Council ofGovernments’ RegionalTransportation Council. Ofthose 68 projects, 40 are insouthern Denton County, withLewisville Lake serving as thedividing line. The remaining 28

are in northern Denton County. Of the 68 projects, 12 are in

the city limits of outlying com-munities — seven in Dallas andFort Worth and five in Friscoand McKinney. That leavesabout 33 for the core of thecounty’s southern sections and23 for the north.

With highway constructionfunds expected to be cut at thestate level, concerns aboutwhere money will come frombegin to rise to the forefront.

The question of whetherfunds set aside for DentonCounty roads should be used forprojects in surrounding countiesbegins to take a different slant inlight of projected growth locally, troubled budgets of neighboringentities, and the potential sideeffects if traffic congestion getsmuch worse.

Profitable sustainability

Recycling opportunities couldmean profit for the business.

For the past five years, theDenton-based company hasworked on environmental initia-tives that have generated morethan $1.3 million in recyclingrevenue, said Alethia Carmans, safety and environmental man-ager.

“It’s a win-win situation,” she

said. “It’s like finding money onthe floor.”

The Denton business cultureand attitudes toward recyclinghave changed, as company offi-cials realize that helping theenvironment can pad profitmargins, said Chuck Carpenter, president of the DentonChamber of Commerce.

The term “going green” some-

times is equated to a nonspecificmarketing term or denotessomething thought of as a wasteof money; however, businesseslike United Copper are saving anincredible amount of materialand money by recycling, he said.

“I think dyed-in-the-woolbusiness people, who typicallysee in black and white, are nowseeing ‘green,’” Carpenter said.

As recently as four or fiveyears ago, recycling was taboo inbusiness, he said, but that haschanged as profits are beingrealized from environmentallyfriendly practices.

“They [business officials]don’t have to wear flannel shirtsand move to Oregon; they canwear business suits,” Carpentersaid.

Whether it’s recycling atCartridge World, cleaning up aproduction line at PeterbiltMotors Co., or providing trans-portation with pedal power atDenton Pedicab, there are avariety of businesses in Denton

that are thinking outside thebox.

The city of Denton is lookingat adopting a tax abatement pol-icy that would give incentives forpeople and businesses to getLEED certification for buildingprojects, said Linda Ratliff,Denton’s economic developmentdirector. LEED is Leadership inEnergy and EnvironmentalDesign, a third-party certifica-tion service for environmentallyfriendly building practices.

“There are very few cities thathave a tax abatement policy; it’sstill a new thing,” Ratliff said.

Every business that is servedby Denton Municipal Electric ishelping the environment, saidLisa Lemons, spokeswoman forthe city-run utility.

The electric company gets 40percent of its power from a windfarm in Muenster, she said.

“We’re a leader in the nationfor wind energy; we have more[percentage] than any othercity,” Lemons said.

There have been state andfederal guidelines suggestingthat utility companies diversifywith renewable energy optionsover time, she said, but Denton’sproximity to the wind farmmade it cost-effective for theutility to rely on wind energynow.

“We were able to diversify theportfolio at a rate that wouldn’tcost our customers more,”Lemons said.

EARTH-FRIENDLY EATSAs businesses and community

members gathered at theDenton Community Market ona recent Saturday, a profitableniche was made for one localbusiness.

While Dave Wilson doesn’thave a green thumb, he doeshave green, double-deckerBritish bus — called the AngryFriar — that serves up British-style fish and chips in a “green”way.

The mobile restaurant servesits fish and chips in newspapertriangles, and its fryers’ waste oilis turned into biodiesel fuel.

Those business methods havehelped boost the Angry Friar’s

client base, Wilson said.“The younger population was

brought up with the frame ofmind of recycling,” Wilson said.“I’ve heard comments. … Theywon’t eat at a place if it’s notenvironmentally green.”

When Wilson set up shop atthe community market, he said,he had prepared to sell fish andchips all day long, but he quicklysold out.

“It was certainly an experi-ence for us. It opened our eyes, and we’ll definitely do it again,”Wilson said.

Perhaps it’s the Angry Friar’srecycling programs. Maybe it’sthe 1961 London TransportRoutemaster bus. Whatever it is,the restaurant has garnered a lotof media attention.

The ability to publicize a sus-tainable business has made allthe difference, he said.

Other Denton-area restau-rants are doing their part for theenvironment, either by expand-ing the use of recycling bins orusing fewer nonrecyclable prod-ucts.

A new noodle restaurant setto open this month on EastHickory Street has alreadystepped up its environmentallyfriendly practices.

Ramen Republic, which willfeature a selection of sprouts, vegetables and sauces, will com-post vegetable scraps and grindup used bamboo chopsticks andwooden stirrers to use as mulch, said owner Charlie Foster.

Foster said he’s finding asmany pieces of used furnitureand accessories as possible to

use in the restaurant.Even daily practices such as

motion detector lighting in rest-rooms, recycled paper productsand careful thermostat manage-ment will help save the environ-

ment and help the restaurant’sbottom line, he said.

But the most effort is goinginto recyclable packaging, Fostersaid, which will help keep thoseitems out of the landfill.

NEW LIFEWhile plastic bottles, card-

board remnants and aluminumcans get dumped at the landfill,Denton’s new recycling facilityjust outside the landfill gates isdoing its part to keep recyclablesflowing back into the market.

Georgia-based PrattIndustries launched its 10threcycling facility at Denton’slandfill in March, and companyofficials say they want to helpthe environment and create jobs.

Pratt is operating in Dentonunder a 20-year agreement withthe city for recycling operationsat the landfill.

The company gathers recycla-ble goods and trucks them to

plastic-, paper- and metal-pro-cessing facilities across the coun-try. Cardboard and paper prod-ucts from Denton will be baledand trucked to Pratt’s paper millin Shreveport, La.

Other recyclable commodities— such as plastic and metal —will be sold.

In the next few months, Prattwill complete the multimillion-dollar Denton facility with sort-ing equipment and will hiremore workers, plant managerMatthew Cole said, with a planto employ a total of 10 to 15workers.

The facility is processingroughly 1,000 tons of recyclablesa month, and the company isaiming to process 4,000 to5,000 tons each month for thefacility to be profitable, he said.

The city will recoup an esti-mated $166,098 — the recyclingcommodities revenue forecastedfor fiscal year 2010-11.

The revenue will help offsetthe cost of recycling, saidShirlene Sitton, recycling man-ager for Denton’s Solid WasteDepartment.

“Recycling isn’t free,” Sittonsaid. “Commodities don’t pay forthe program, but they help sup-port the program.”

While recycling can carry ahigh front-end cost for business-es, a little math can show thatrecycling is fiscally responsible, she said.

By arranging for pickup ofrecyclables, a business won’tneed its leased garbage contain-ers emptied as often and canmarket itself as a company thatrecycles, Sitton said.

“There’s a responsibility that’seven bigger than the bottomline,” she said. “There’s no fullcost accounting for naturalresources when it doesn’t exist.”

Other recycling programshave taken root in Denton andgrown, including carton recy-cling, which has been facilitatedby Tetra Pak, a local food pro-cessing and packing company.

The cartons are made withpaper, plastic and aluminumand help keep juice, wine andbroth fresh.

While the complex cartonsare convenient, there hadn’tbeen a way to recycle them,

Sitton said. But Tetra Pak, whichproduces the cartons, has addedcarton recycling to its operationsin Denton, she said.

“The qualities that make itgood for food packing don’t makeit good for recycling,” Sitton said.

But new technologies havefound that the paper meldedbetween the plastic and alu-minum is ideal for tissue manu-facturing, she said.

“They really like the paper inthere — it’s unsoiled, it’s protect-ed by plastic,” Sitton said.

The Denton manufacturerwants to be environmentallyfriendly throughout its foodpackaging efforts, said EdwardKlein, vice president for envi-ronmental affairs at Tetra Pak.

“We believe that it’s impor-tant,” Klein said. “We wanted tobe involved in all aspects in thepackage — from the beginningto the end of life, or disposal.”

THE FUTURECarmans, with United Copper,

said that she will crusade toexpand recycling programs withthe help of the company’s wastemanagement group, which meetsmonthly to share ideas.

“It’s all about trying, and if it

doesn’t work, we’ll keep trying,”she said.

The company has tried a lot,and it has been successful inrecycling nylon, aluminum, paper, copper sludge, oxide, cardboard, plastic, PVC andmany other materials.

Instead of sending barrels ofcopper sludge or oxide to thelandfill, it gets sent out to berecycled, she said, saving rough-ly $100,000 each year in dump-ing costs.

Even oil for the company’smachines — estimated to costabout $10,000 a month for 16barrels — has been cut to$1,200, or two barrels, thanks toa new oil filtration device,Carmans said.

Tom Jorgensen, a mainte-nance manager who developedthe device and tested the recy-cled oil, said it was a simpledevice that hadn’t been usedbefore but was easy to imple-ment in the production line.

Carmans said environmental-

ly friendly ideas come fromeverywhere in the company —from the production floor to thebusiness office.

“I’m very proud of our group.… It’s not just management —it’s a little of everyone,” she said.

There are about 160 employ-ees at United Copper who prac-tice recycling and reusing mate-rials at work, she said, and thosepractices have made it from theworkplace to their homes.

“Hopefully, in the future,

there will be additional opportu-nities to recycle more,” she said.

Heather King and CharlaBradshaw Conner met 10years ago when they traveledto Austin to take the test thatcertifies members of the Texasbar as specialists in family law.On the airplane coming home, they compared answers andfamily stories and becameinstant friends.

Heather was practicing with her father-in-law,

while Charla had joined in a family law prac-

tice with another Denton attorney. In the

course of time, they talked about how they

would someday practice law together. They

would consult each other about cases over

long lunches and have plenty of time to keep

up with each other’s lives.

Fast-forward to this year, and both women

have joined the family law firm Koons, Fuller,

Vanden Eykel & Robertson as managing part-

ners. Heather runs the Southlake office, while

Charla heads up the Denton office. They are

members of the firm’s management commit-

tee and serve as members of a bar grievance

committee. They also serve on the Board of

Law Examiners for the State Bar of Texas and

assist in drafting and grading the very test

they were taking when they met.

They are highly sought-after as family law

attorneys in their respective areas, and D

Magazine recently recognized them as being

among the best women lawyers in North

Texas. It is a select list of about 120 women,

out of the many thousands of women attor-

neys in the area, and it recognizes the quality

legal representation that a growing clientele

in Northeast Tarrant and Denton counties

have come to expect from both women.

“We are best friends, but we are so busy serv-

ing our clients that we still only get to see

each other at these committee meetings and

other bar events,” King said. “But it’s like

we’ve known each other since we were 5

years old, and we just pick up where we left

off the time before.”

Although both Heather and Charla’s practices

encompass the entire state, Heather is fast

becoming Tarrant County’s go-to family law

attorney. She grew up in Fort Worth and

worked in a law office while earning her bach-

elor’s degree at Texas Christian University.

She was forced to grow up quickly when her

mother died, leaving Heather to raise her

young brother. She was a wife, mother and

student while earning her law degree from

Texas Tech.

King has been selected as one of the area’s

top attorneys by Fort Worth, Texas magazine,

is listed among the Top 50 Women Lawyers in

Texas by Texas Monthly and is named in The

Best Lawyers in America as one of Texas’ best

lawyers. She is the immediate past president

of the Tarrant County Bar Association and will

soon take over for Charla as president of the

Texas Academy of Family Law Specialists.

Conner spent most of her early life in Denton

and earned her bachelor’s degree at Texas

Woman’s University. She finished her master’s

degree coursework in marriage and family

therapy at TWU before enrolling at SMU’s

Dedman School of Law. Charla earned her law

degree in 1993 and formed her own firm the

following year.

She is listed among the Top 100 Lawyers in

Dallas-Fort Worth, is top-rated by Martindale-

Hubbell and is one of the state’s foremost

experts in the division of retirement assets at

divorce.

Charla is involved in North Texas civic and

political affairs and is an avid horsewoman.

She and her husband, attorney-mediator Coye

Conner, are heavily involved in Kids Matter

International, a North Texas nonprofit that lifts

orphaned and abandoned children out of

poverty.

For Heather and Charla, clients come first —

along with families — so they appreciate

whatever “hang-out” time they are able to

carve out of their busy lives.

“This is pretty rare for a friendship made later

in life,” Heather said. “We’re lucky that what

we do brings us together so often.”

ADVERTISER SPOTLIGHT

KOONS, FULLER, VANDEN EYKEL & ROBERTSON

Heather King, left, and Charla Bradshaw Conner are rated among North Texas’ best lawyers, and they’re even better friends.
