Wells Fargo mergeswith Wachovia

Wells Fargo and Wachoviaannounced a historic mergerand integrated their operationsin Texas.

Wells Fargo now has morethan 700 banking locations inTexas and has become thelargest retail bank network inthe state with more than 1,000ATMs, a news release stated.

“Our team members havebeen planning and working for18 months to make this transi-tion go as smoothly as possible,”said Wells Fargo’s TexasRegional President Chip Carlislein the release.

The Wachovia Corp. mergedwith Wells Fargo & Co. inDecember 2008.

USPS conducting studyon delivery operations

The U.S. Postal Service is con-ducting a study to determine thefeasibility of relocating deliveryoperations now housed at somesmaller post offices to nearbylarger postal facilities.

Included in the study areDenton County offices in Krum,Pilot Point and Justin. Postalservice officials said the movewould result in lower overheadand administrative costs, andincreased efficiency and produc-tivity.

Customers would continue touse the same mailing addressand ZIP code, and delivery cus-tomers with “left notice” itemswould continue to pick these upat the their local post offices.Local post office retail and postoffice box services wouldremain, officials said.

No timetable has been set forthe completion of the study.

Council moves towardforming TIF district

Denton City Council memberstook the first step toward form-ing a special tax district to payfor downtown improvements —one of the top recommendations

in a recent study on ways toimprove the downtown area.

The council voted 7-0 toapprove a “notice of intent” tocreate a tax increment financingdistrict, or TIF, for about 400properties in and around thedowntown Square and centralbusiness district. The move laysthe legal groundwork for the cityto approve the tax district laterthis year, but it does not obligatethe city to do so, said LindaRatliff, the city’s economic devel-opment director.

Denton’s proposed tax districtcould generate more than $23million over its 30-year life bycapturing some of the increasesin property values over that peri-od, Ratliff said. City officials stillmust decide exactly what proj-ects the district would fund, butpossibilities include parkingfacilities, streets, sidewalks anddrainage improvements, shesaid.

Senior tax exemptiongiven preliminary OK

Denton seniors may get somerelief on their city tax bills.

The City Council informallyagreed to restore a planned$5,000 increase to the $30,000senior homestead tax exemptionin next year’s budget. Theincrease was planned last yearbut fell victim to cuts in the pro-posed budget released in lateJuly by the city manager’s office.

Council members discussedthe $594 million spending planfor more than four hours duringa budget workshop.

A vote is set for Sept. 21.

DCTA outines fouroptions for rail service

In response to public feed-back, much of it critical, DentonCounty TransportationAuthority officials have craftedfour service options for the A-train rail project.

The proposals address thecontroversial topic of night andweekend service from Denton toCarrolton, but officials say thealternatives come with addition-

al financial costs that need to beconsidered.

Officials are considering July2011 to begin service.

Independent Bank buysout Town Center Bank

Independent Bank Group Inc.has announced it bought outTown Center Bank.

The McKinney-based holdingcompany finalized the acquisi-tion July 31, giving IndependentBank Group two locations inNorth Texas — Denton andCoppell.

In addition to the TownCenter Bank acquisition,Independent Bank Group alsoacquired First Bank ofFarmersville. The purchase isscheduled to close later this year,pending regulatory and share-holder approval. First Bank,with $100 million in assets, haslocations in Farmersville, Lavonand Princeton. These combinedtransactions will bring the num-ber of Independent Bank Groupbanking locations to 25, withnearly 300 employees and assetsin excess of $1 billion.

Stratus opens masterfranchise in Denton

Stratus Building Solutions ofNorth Texas recently opened anew master franchise in Denton,located at 1108 Dallas Drive,Suite 300.

Thomas Mosley andJacquelyn G. Shaw-Mosley areprincipals of the new company,which provides environmentallyfriendly cleaning, commercialcleaning, landscaping and lawncare services, as well as servicesfor building owners and man-agers, according to a newsrelease.

The company plans to hireadditional office employees,since the owners foresee expan-sion to other franchises.

Call center coming to Hickory Creek

Hickory Creek has reached a

prospective deal with an Irving-based company to bring a nearly23,300-square-foot call centerto Cornelius Town Center, amove that could bring hundredsof jobs to the area, the town’seconomic development corpora-tion announced.

The deal with Stellar U.S.LLC hinges on whether townleaders approve an incentiveagreement with the company,said Barry Steele, the town’s eco-nomic development consultant.

The town’s economic develop-ment board is expected to hold apublic hearing and vote on theincentive agreement Aug. 26.The Town Council would havethe final say next month, Steelesaid.

Stellar is a subsidiary ofStellar Global LLC, which oper-ates 16 “outsourcing centers”worldwide, handling customerservice, sales and other calls forvarious companies.

Ponder calls for Nov. 2election on bonds

The Ponder Town Councilcalled an election for $4.57 mil-lion in general obligation bondsthat would be used to build anew municipal complex on a100-acre parcel on the westernedge of town.

The election will be held Nov.2 as part of the fall general elec-tion. One portion of the town’ssales tax, a quarter-cent devotedto road maintenance, also will beon the ballot for reauthorization.

Preliminary plans for the firstphase of the complex include:baseball, softball and footballfields with concession stands; anew Town Hall with storage forpublic works; and an events cen-ter. Plans include enough park-ing for trailers or trucks, and thecenter could be booked for stockshows and equine events, as wellas graduations, banquets andfamily gatherings.

The second phase wouldinclude room for a possible firestation, which would help thePonder Volunteer FireDepartment outfit itself for bothsides of the railroad tracks.First-responders have occasion-

ally had to call for assistancewhen a train has blocked east-west access in the center oftown.

City Council approvesdowntown plan

Denton City Council membersvoted to accept the DowntownImplementation Plan, whilestressing that the plan itselfwouldn’t actually implementanything.

City leaders said they consid-ered the 150-page document anonbinding guide, even thoughit had been described as a tool toimplement a 2002 downtownmaster plan. The plan, preparedby Jacobs Engineering GroupInc. under a $224,995 contractwith the city and released inJuly, includes proposed stan-dards for land use, parking,parks and open space, architec-ture and streets in the down-town area.

Recommendations includeputting screens around trashbins, adding more public park-ing spaces and creating a systemof bicycle lanes. Under the plan,the city would form special tax-ing districts and seek outsidegrant money to pay for publicimprovements. It also calls for a“form-based code” for the down-town area that would set designstandards but allow flexibilitythrough a system of waivers.

The plan covers a 155-acrearea bordered by CarrollBoulevard to the west; Parkway,Withers and McKinney streetsto the north; Exposition Streetto the east, including the site ofa planned downtown bus andpassenger rail station; andSycamore Street to the south.

What’s an investor todo? It is remarkablehow many strategies

you read about when looking toinvest your money. High-fre-quency trading, currency short-ing, put/call spreads, leveragedETFs — each promises its ownmagic. But what strategy buildswealth consistently over time?

Value investing.Sure, if you shine a spotlight

on one particular year or two,any strategy may take its lumps.But given the market downturnof the last few years, and thegyrations of the past few months,this question is very relevant forinvestors with any meaningfultime horizon. Therefore, a littleevidence is warranted.

I refer readers to JoelGreenblatt’s The Little Book thatBeat the Market, where he goes

to some length examining vari-ous academic studies provingthis point. But this debate is nota new one. After his stellar per-formance in the 1960s and ’70s,Warren Buffett tired of the argu-ment he was an anomaly, a luckyaberration.

So, in the 1984 fall edition ofHermes, the Columbia BusinessSchool magazine, he penned anarticle showing how a group ofinvestors all outperformed theirmarket alternatives. One lotterywinner? Maybe. But how couldall these proof points be randomoccurrences? More importantly,what was their common charac-teristic?

They all supped from thesame font of knowledge; theywere taught by Benjamin

Graham, the father of modernvalue investing.

Well, if value investing works,how do you do it? The key isreally pretty simple: Quantifythe true value of a business —and buy it for substantially less.

Many investors think that thiscan be achieved by simply buy-ing a stock that some businessmagazine highlighted with a tar-get price much higher than thecurrent market price. Or, theymay see that a stock has fallenby half, and believe that it mustbe a bargain. In other words,they focus on “buying it for sub-stantially less” instead of “quan-tifying the true value.”Unfortunately, such thinkingcan lead to staggering losses.

My main focus while invest-ing is to quantify the true valueof a business, its intrinsic value.In order to accomplish this, youhave to answer two questions:

� “Is this business under-standable?” and

� “Is the value quantifiable?” Most people answer a quick

yes to these questions, and mostpeople are mistaken. Given thearcane reporting, emerging

nature, or highly cyclical charac-ter of many businesses, I com-monly answer, “I don’t know.”And I move on.

But if an investment fallswithin your circle of compe-tence, the recent rise or fall of itsprice is not immediately relevantto the task at hand. You mustfirst quantify the value of thebusiness to determine whether itis cheap. Fortunately, in hisannual letters to his sharehold-ers, Buffett clearly explains howto do this by quoting John BurrWilliams (see the quote at thebeginning of the column).

A company’s value is based onthe money it generates for itsowners over time. We quantifythis through a measure thatremoves the massive distortionsoften caused by various account-ing conventions, providing a pic-ture of the company’s true per-formance, a term that Buffettcoined “owner earnings.” But, asBuffett says, owner earningsmust be discounted.

What does this mean?Let’s begin here: If you were

going to lend me $100 for thenext year, how much would you

want in return? $100? Wellthat’s a start. You at least wantyour money back. But youwould also demand some rate ofreturn for your loan — some-thing at least as good as themoney you could make some-place else. Let’s say you want$110 back — that’s a 10 percentreturn on your money. So, inthis scenario $110 one year fromnow is worth $100 today. Youjust discounted a cash flow.

Let’s expand this further.Let’s say the owner of a con-

venience store put his businessup for sale and is willing to sell itto you for $750,000. You inves-tigate the business further anddetermine it generates$100,000 a year in owner earn-ings. You believe you could oper-ate the business similarly to thecurrent owner for the next 10years and then sell it for whatyou paid for it. Should youinvest in the business?

Well, let’s assess the business’sintrinsic value and determine ifthe current owner is asking afair price. Applying the samemath as we did on your $100loan to me, we can see theintrinsic value of this conven-ience store is $903,614.

Since the current owner iswilling to sell it to you for$750,000, you could buy thebusiness today at a 17 percentdiscount. Not bad, but not ahuge discount either. Eitherway, why would the owner bewilling to sell it to you for lessthan what it is worth? Maybehe has some medical bills heneeds to pay. Or perhaps hebought a bunch of AIG stockwith borrowed money, and thebankers are calling in theirloans. Who knows why peoplesell good businesses at crazyprices, but it happens every day.The key is to be thorough, to bediligent and to know how toexploit bargains when theycome your way.

Sometimes, it is more appro-priate to value a company basedon assets it owns, rather thanjust on the cash it produces.Considering whether thereplacement cost of a company’sassets are worth far more thanthey are being accounted formay result in an opportunity.

Some companies may be wortha lot more than they are beingtraded for if they were simplyshut down and liquidated.Others may provide someunique benefits to a strategicbuyer, worth far more in some-one else’s hands than by them-selves.

Whether I consider the truecash earnings of a business, itsreplacement value, liquidationvalue or strategic acquirer value,I only make an investment if Ican snatch it up at 50 cents onthe dollar. This allows me tohave a large margin of safety ifmy estimate of value changesand provides significant upsidewhen fear dissipates. But acrossall these approaches, it’s clearthe best investors start withvalue.

Denton County reached a newhigh in residential foreclosurepostings, with 1,972 homes post-ed for the third quarter of 2010,according to Addison-basedForeclosure Listing Service Inc.

The number of DentonCounty homes posted for fore-closure increased 10 percentfrom the second quarter thisyear, and was 13 percent higherthan the third quarter of 2009.

Tarrant County saw noincrease in foreclosure postingsover the previous quarter, whileCollin County saw a 3 percentincrease and Dallas County a 4percent increase.

DCTA discontinues cityruns for Access bus

A deeply divided DentonCounty TransportationAuthority board agreed with astaff recommendation to discon-tinue city-to-city runs by theDCTA Access bus by Oct. 1, vot-ing 6-5 in favor of the change.

The move came after ananalysis showed that the Accessbus, which provides curb-to-curb transportation for seniorsand people with disabilities,likely would cost the agency $1.7million next year without theswitch to “zone” service.

DCTA officials said the num-ber of Access riders is dispropor-tionate to the cost of the service.

Riders on the regular bus paya $1.25 fare, but according toDCTA records, those trips costabout $6.61.

The events center features a

But there are some disadvan-tages to his living conditions,including his unwanted room-mates — rats.

While Russell says he’s not tooconcerned about the rats, he andhis roommates will deal with theproblem. After all, the 19-year-old says, you get what you pay for.

Other students at UNT andTexas Woman’s University havetheir own horror stories ofunwanted animals like rats oropossums moving in, or a gap-ing hole somewhere in the resi-dence, or heating, air condition-ing or appliance problems.

Denton has its share of slum-

like housing conditions andslumlords, city officials say.

However, some Denton devel-opers and builders have alreadybegun to change the housinglandscape surrounding UNTand TWU, to one they hope tocall a high-quality living envi-ronment.

With loft-style apartmentbuildings opening near the cam-puses and plans for more on theway, including the anticipatedFry Street project, there’s a revi-talization of apartment living forpeople in Denton.

While local and national fore-closure postings remain high,Denton’s housing market isassisted by more than 50,000students who flock to the area toattend college.

Denton’s college-town statusis one reason that the city’shome sales continue to remainrelatively stable, compared with

the rest of the nation, said JimGaines, a research economistwith the Real Estate Center atTexas A&M University.

“College towns help stabilizethe market. Plus, DentonCounty is in a pattern of growthand there’s been a lot of eco-nomic development in the last10 or 20 years,” Gaines said.“While none of us is immune tothe world, the area has held uppretty well.”

conditions, he said. “Landlords can get away with

it because students have no eco-nomic power to complain aboutit,” Gaines said. “They have nochoice but to live with it. Theslums provide housing to peoplewho can’t afford good housing.”

Slums exist even in places likeNew York, a place typically asso-ciated with wealth, he said.Slum-like housing conditions filla needed socio-economic gap,Gaines said; otherwise, somepeople would not have availablehousing at an affordable price.

UNT Housing DirectorElisabeth Warren said studentsare cost-conscious, and when itcomes down to either payingtuition or living in a qualityhome, students would choosepaying for school.

“Not everyone has someonewilling to pay for a $1,000apartment,” Warren said. “AtUNT, we have regular, middle-class students and they are seri-ous about getting an education,and they will do what it takes,even if it means their creaturecomforts are unmet.”

While Warren and her staff inthe housing office don’t recom-mend off-campus housing tostudents, there are several rep-utable options in town for stu-dents, she said, such as theUniversity Courtyard, The Ridgeat North Texas, or by-the-bedstudent apartments, which havebecome popular in recent years.

While North Texas is far fromthe slums of New York, Dentondoes have its share of slumlordsand less-than-desirable housingconditions — problems somepeople are willing to live with,said Alex Payne, a local realestate agent.

Payne described one particu-lar house he wouldn’t let his doglive in, but that students contin-ued to rent, he said.

“If there is a lack of qualityhousing at affordable prices,kids are left to live further awayfrom campus, or sacrifice andlive in those kind of environ-ments. But then I think whatstarts to happen is people rede-velop properties,” which meansmore high-quality properties areavailable closer to campus, hesaid.

Along with revamped codeenforcement policies, it’s gettingmore difficult to be a slumlord,

Payne said, indicating that sev-eral property owners in the areaare known as such, but refusingto name them. If people have achoice in where they live, it’ssimply not as profitable to be aslumlord, he said.

There’s already turnover in alow-income residential area westof UNT, he said. Several apart-ment complexes there have beenrenovated and redeveloped.

“For me, the ideal situation isthat [the area] is redeveloped,which I’ve seen mostly happenaround the fringes,” he said.

A NEW WAVERick Martino says when he

first laid eyes on the area, aneighborhood called Owsley, hesaw a sea of apartments thatserved a practical purpose andprovided housing to UNT stu-dents. But as the years went by,the apartment complexesbecame old and outdated, saidthe Denton property owner andinvestor.

“While they were good at atime, now they are very old andneed refurbishing, renovationsand rebuilding,” he said.

Martino owns two apartment

buildings in the Owsley neigh-borhood, built after the originalstructures were torn down. Theproject was something he in-vested a lot in, he said, becausethe improvements would begood for him, the city and UNT.

The second rebuilt apartmentbuilding opened for occupantsin July.

Along with the Owsley-areaapartment buildings, Martinohas also invested in an apart-ment project at 1119 W. HickorySt., near Fry Street and UNT.

The industrial, loft-styleapartments feature attachedgarages and exposed woodbeams.

“I think it’s really important tosee us develop and improve thecity and the surroundings,” hesaid.

While some university stu-dents will try to pack into hous-es or apartments, perhaps seek-ing a party atmosphere, moststudents — especially in light ofthe economic downturn — aremore serious, more focused ontheir future careers and need agood place to live, Martino said.That need has increaseddemand for quality housing

around campus.UNT senior James Odell, 25,

said he’s learned from bad apart-ment experiences of the pastand now checks out propertymanager reviews on social net-working websites before he’llsign a lease.

But he understands reviewsgo both ways — that some stu-dents who write negativereviews didn’t take care of theirapartment or expect to get theirdeposit back, he said.

Odell keeps an eye out forshoddy construction work andappreciates quality, he said.

“There are not a lot of apart-ments that have quality and I

expect that in a college town,”Odell said. “People take advan-tage of college students, butthat’s the nature of the apart-ment game. If your apartmentmanager is competent, you’regoing to pay more.”

Martino agrees. Slumlordsdon’t take care of their tenants orproperties, but he has employeesin place who do a good job man-aging his properties, he said.

“Our key is to take care of thetenants,” he said.

“There’s good and bad tenantsand there’s good and bad prop-erty managers. We hope with

THE PROFESSIONALSWith the last of the courtyard

pavers in place, the newly com-pleted Hickory Street Lofts, at311 E. Hickory St., is alreadyattracting attention. BrandonMartino, president of TheMartino Group, said the apart-ments will likely attract young,working professionals.

Brandon Martino is a devel-oper for the project along withLee Ramsey, a principal of LinksConstruction.

“There’s been a lot of interest,especially because we’re newdown here,” Brandon Martinosaid.

The apartments range from580 square feet to 1,250 squarefeet and feature details not typi-cally found in apartments in theDenton community, such ashardwood floors, granite coun-tertops, exposed ductwork andhigh ceilings, he said.

Along with the 22 one-bed-room apartments and six two-bedroom apartments, all loft-style, the ground level of the

building will feature 2,475square feet of retail space.

The developers overlooked nominor detail and included everyamenity important to downtownliving, such as having washersand dryers in the apartments,Ramsey said.

“It was a priority for us tohave everything right here, sopeople could stay downtown,”Ramsey said.

The lofts, which have an“urban feel,” won’t likely attractas many students as young pro-fessionals because of the month-ly rents, they said.

The developers also con-structed and manage RickMartino’s three apartmentbuildings.

Along with those apartments,Brandon Martino and Ramseydeveloped and manage an apart-ment building at 1512 N. ElmSt., located near TWU. TheNorth Elm Apartments werealso finished this summer andhave an urban design similar tothe Hickory Street Lofts.

Ramsey said he has workedon several infill lots in the city,including the two apartmentbuildings in the Owsley neigh-borhood, and enjoys replacingsomething outdated or no

longer useful with a project likea needed apartment.

“It’s what I’m passionateabout,” he said.

THE HOMESTEADHome foreclosure postings

have continued to increase inDenton County recently, butthere are signs the posting rateswill decrease in the future, offi-cials said.

Time will help the housingmarket recover and will help themarket climb its way back up,said George Roddy Sr., presidentof Foreclosure Listing ServiceInc., in a recent interview.

The housing recovery inDenton County is laggingbehind Collin, Dallas andTarrant counties, he said,explaining the lag is tied to thecounty’s late-blooming develop-ment.

Gaines, the real estate researcheconomist, said housing sales inDenton County fell dramaticallyin July, but home prices haveheld up relatively well.

Denton County saw 443homes sold in July, down from619 sales the previous month. InMay, there were 765 homessales, a 12-month high, accord-ing to data collected by the Real

Estate Center at Texas A&M.The spring months were good

months, but without the aid oftax credits and with bank loansmore difficult to secure, homesales will likely stay stagnantuntil early next year, Gainessaid.

“In the past year the data hasbeen influenced by governmentprograms, and for the rest of theyear, into early next year, we’recomparing an unsubsidizedmarket with a subsidized mar-ket,” he said.

It will be difficult to get a truedata reflection of the market, hesaid. For now, economists andindustry professionals arepreparing for the worst, buthoping for the best.

“The next few months arekind of iffy, but maybe the mar-ket will do better than we thinkit will do,” he said. “Now we justhave to wait and see.”
