1. Project Overview and Background

Ahan Apparel Pvt. Ltd. (AAPL) was formed in 2003 to consolidate the total affair of textiles and garments under one umbrella with a mere workforce of ten dedicated and highly qualified individuals. Together to create a mark in the Fashion industry, they came with an innovation named just i.

just i in Indian mythology means love. Every season, justi offers a new wide range of merchandise that is contemporary, fashionable and fresh in look, finish and style. The brand is currently stocked in 40+ different stores nationwide with the customer base existing worldwide.

Currently, justi has a static website to showcase its products along with a lot of limitations such as lack of ecommerce features which is the need of an hour. To overcome this problem, Rosoft is proposing to revamp the current website into dynamic ecommerce business website. 1.1 Scope of the Project1.2.1 In-ScopeTo achieve the above requirement, Rosoft is proposing a phased approach for the development of an E-Commerce website with a CMS backend for Ahan Apparel Pvt. Ltd. to increase their wholesale as well as retail market globally. The development approach will be as follows:

Creative User Interface and Visual Designing. Creation of Links and Sub-links. Functionalities Development. CMS backend including Product Catalog with admin dashboard.

2.2 Project PhasesRosoft will be dividing this project into phases.

Phase 1 E-Commerce Website. Online Payment Gateway. Integration with current Inventory Database (ERP). CMS backend, Product Catalog, Admin Dashboard and Reports. Basic Online PR (Links to Social Networking Sites)Phase 2 Buy Gift Vouchers. Redeem Coupons. Design Your T-Shirt. Phase 3 Social Media Optimization (SMO) Search Engine Marketing (SEM) Which includes Search Engine Optimization (SEO) and Pay Per Click (PPC).

2.3 Website Hosting and FunctionalitiesThe website will be divided into the following sections:2.3.1 THE HOME PAGE A navigation menu at the top of the page. A Large HTML /Flash animation or JS panel with Photos of the products and other accessories of Ahan Apparel Pvt. Ltd. which changes automatically at a given time frame. Sign Up This facility will enable customers to register themselves with Ahan Apparel Pvt. Ltd. so that they can receive offers, sale and discount related emails. Login Registered users can login with their Username and Password and can continue their online shopping fun. Online PR Links to social media networking websites such as Facebook, LinkedIn, MouthShut, Flickr, Twitter, etc. The client would receive their own individual login ids so as to visit these sites to see comments and feedback from their viewers across the globe. Shopping Cart Customers can remove, edit, add and view the list of items they have selected for purchase. Promotions This facility will provide visibility to the products which are on sale and offer. All promotional activities such as ad campaigns, events, opening of new stores will be displayed on the Home/ Landing Page. Buy Gift Vouchers (Phase 2) Customers who wish to buy gift vouchers for their friends or family members can select the amount of voucher they want to buy and finally proceed with the pay and checkout option. Vouchers will be sent to customers via post and an invoice will be emailed on customers email id against the same. Redeem Coupons (Phase 2) Discount Coupons distributed by Ahan Apparel Pvt. Ltd. will contain coupon codes which can be redeemed during the check out phase of Online Shop and Buy Gift Vouchers.2.3.2 ABOUT COMPANYA brief detail on the topics mentioned below.

All categories will have a list of products under them with links such as Add to Cart, Add to Wishlist, Share, etc. New ArrivalsNew collection launched by Ahan Apparel will appear under this section. Offers and Sale Offers: - This section will contain details of Special Discount Offers as decided by Ahan Apparels Pvt. Ltd. eg. Shop worth Rs.1000 and get Rs. 250 Off. Sale: - Seasonal Sale or Direct Discount Offers will be put in this section. E.g. 20% off on selected items. T-Shirts Shirts Denim Design Your T-Shirt (Phase 2)This link will allow the users to customize front and back side of the T-Shirt as per their requirements. The customization will allow the following:1. Select the type of T-Shirt such as Round neck, Polo neck, etc 2. Select and change color of the T Shirt.3. Apply a custom logo or choose from pre-defined images.4. Add text on T-Shirt. 5. Ltd. Franchise Distribution2.3.6 CAREERS Job listings with Job Description and Apply Button.2.3.7 STORE LOCATOR Contact details of Head Office with address, contact numbers, FAX and email address. Store Locator Drop down menu which allows you to search franchise based in state and city. Hyperlinks to email address which when clicked upon will open the default email client on the visitors systems. Google Map: Drive way locator for both the Showroom and the Workshops. A map of the location with directions on how to get to the Showroom from various directions.

4. Assumptions Ahan Apparel Pvt. Ltd. will release any and all required information (content, images and signoffs) on time for effectively executing the development of the required web pages in a timely manner. Rosoft has the right to alter the technologies and platforms as they deem fit in order to better execute and carry out the development of the web pages required. Rosoft cannot modify the details of Ahan Apparel Pvt. Ltd unless specified otherwise, with due permissions in place. Rosoft shall provide Ahan Apparel Pvt. Ltd with details to their new ftp server, email server and domain.5. MilestonesRosoft Limited will be responsible for creating, designing, integrating and deploying of web pages to their domain viz., www.justi.in

These dates are indicative dates, and will be achieved on a Best Effort basis. These do not account for delays or contingencies of delays from Ahan Apparel Pvt. Ltd. in releasing any relevant data or information as Rosoft might require from time to time. These dates are subject to Force Majeure. 6. Cost and Schedule Constraints for phase1

The deliverables for Ahan Apparel Pvt. Ltd. are priced at Rs. 2,30,000 /- (plus service taxes as applicable)

I accept the document in its entirety, and understand the terms and conditions laid out herein. I approve the scope of work as illustrated in this document and hereby contract Rosoft Limited to deliver the product as described herein and I agree to fulfill all of my obligations under this document.

I understand that this document is a confidential document and will not release this document to any third party whatsoever, and further accept full responsibility maintaining the confidentiality of this document.

Annexure ATerms of Service Agreement

Rosoft Limited (the Service Provider), is in the business of development, supply and operation of products and services relating to software, web applications, mobile app development, ERP systems, Data Solutions, and websites with state of the art skill sets and cutting edge development technologies; andAhan Apparel Pvt. Ltd. (the Company), is a corporation organized and existing under the laws of Maharashtra

WHEREAS, this agreement contains the Service Providers terms of engagement;NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties hereto, intending, to be legally bound, agree as follows:

1. SERVICES PROVIDEDService Provider is prepared to provide the following professional services to Company: a) Development and Deployment of a dynamic website in accordance with the agreed scope of work signed by the company.b) Warranty maintenance for the software for the period of 1 year from the date of invoice to the client.c) At the time of expiry of warranty period, Rosoft Limited can continue providing the software maintenance support under an annual maintenance contract to be signed by the company separately in addition to this agreement.

2. FEES AND OTHER CHARGESa) The total fees for rendering the above mentioned professional services to the company will be charged at Rs. ()b) The company will be required to make an advance payment of Rs. for confirming the service order.c) Service tax of 10.3% will be applicable over and above the professional service fees of Rs. d) In case of an increase in the scope of functionality outside the scope of work proposal, additional fees will be charged calculated on the workload and per man day basis.

3. BILLING ARRANGEMENTSa) Advance payment of Rs. () will be billed to the company to confirm the service order.b) Bills are payable within 5 days of the date of invoice.

4. NON-PAYMENTIf Company does not pay a bill sent by Service Provider or complies with a request for payment in advance within 5 days after the invoice is sent or the request is made, Service Provider may immediately stop acting for Company.

5. REQUEST FOR FEE DETAILS & REMAINING WORK ESTIMATEService Provider will provide upon request the itemized details of the work, fees and costs incurred so far and an estimate of the work, fees and costs payable to complete the matter.

6. TERMINATION BY AHAN APPAREL PVT. LTD.Company may terminate this agreement by giving Service Provider a written notice at any time and will be liable for all work fees incurred up to that time. If Company does not provide such a notice, it will be obliged to pay all fees for work done and for other charges incurred with interest rate of 12% per annum unless amount cleared.

7. TERMINATION BY ROSOFT LIMITEDService Provider may terminate this agreement and stop acting for Company if:a) Company does not comply with this Agreement;b) Non payment of fees by the company.
