As per discussion we had with you, we are quoting our best possible rates as below for supply of ACC Ready Mix Concrete as per details given below –

1. Payment terms - 100% Advance or against Bank Guarantee

3. Rate validity - The above rate is valid for 3 months only & subjected to clause no.-20 in terms & conditions.

TERMS AND CONDITIONS OF THIS CONTRACT:

Every load of RMC will be accompanied with a delivery challan indicating the quantity of RMC supplied. An accredited representative of the Customer should acknowledge the same and this will form the basis of payment.

A confirmed requirement schedule should be communicated to ACC at least 7 days in advance indicating the date and start time, quantity required, schedule of pouring, manpower deployed etc.

Adequate fixed staging / scaffolding shall be available at the site for fixing the concrete pump assembly to the desired height.

Force Majeure: ACC will not be liable for any delay, partial dispatch or failure to supply RMC which may be caused by reasons of or on account of or be contingent upon the act of God, or the states enemies, Earth quakes or fires, storms or floods, other natural calamities, government restrictions, emergency, mutiny, riots or other disturbances, strike or lockout of workmen, breakdown of machinery / Transit mixers and other equipment, traffic restrictions by authorities, stoppage in supplies of Raw material and Diesel for whatever reason or any other circumstance beyond the control of ACC.

Charges quoted here are for ACC’s standard mix. In case of specific mix design the charges will differ from that applicable to the standard mix.

Exclusion: ACCs scope of work unless agreed does not involve spreading, vibrating, finishing or any other allied civil work.

Additional services of Pumping from delivery point to the place of laying will be charged as quoted.

The supply of RMC is subject to availability of clear approach road for the movement of our vehicles and also adequate space for placement of our pump in case the client uses our pumping services.

9. ACC shall guarantee the 28-day strength of concrete supplied by us. For this purpose, only the test results of cubes taken by us and tested at our laboratory in the presence of your representative, if available, shall be taken as final and binding. The sampling and testing of RMC will be as per the Bureau of Indian Standards.

10. ACC is not responsible for any cracks in concrete arising out of drying shrinkage, buckling of supports etc., ACC will also not be held responsible in case the shuttering and/or centering suffers any problem during concreting.

11. Method of payment – Payment will be made by a Demand Draft drawn in favor of “ The Associated Cement Companies Limited”.

Consequences of delay in payment: Any delay in payments beyond the due date will attract an interest of 24% p.a. ACC reserves the right to stop supplies in case the credit limit is exceeded and they will not be held responsible for any losses that the Client may suffer due to non-receipt of RMC under these circumstances.

The RMC rates quoted are for a minimum quantity of 7cum of RMC per trip where ACC’s transit mixers are used.

ACC’s transit mixer carrying RMC will be released within 45 minutes of its arrival at site. In case of detention of the Transit Mixers beyond 45 minutes, a detention charge of Rs. 500/- will be charged per hour or part thereof.

The Transportation and Pumping service offered by ACC is optional.

The risk & property in the Ready Mixed Concrete will pass on the client at the company’s batching plant the moment it is loaded in the transport vehicles.

Once the requisition for RMC is placed on ACC and the Transit Mixer leaves the RMC plant property in RMC will be deemed to have been transferred. In case if for whatever reason the Client is not in a position to take delivery of the RMC or takes only partial delivery of RMC, the Client will pay for the total consignment of RMC dispatched from the plant.

ACC reserves the right to discharge the concrete at any other location and recover the price from the Client in case the Client is not in a position to take delivery and the RMC is likely to set in the Transit Mixer drum.

All disputes or differences for what ever reason arise between ACC and the Client relating to the construction, meaning, operation or effect of this contract or breach thereof shall be settled by Arbitration in

accordance to the rules of arbitration of the Indian Council of Arbitration and the award made in pursuance thereof shall be binding on the parties. The venue of the arbitration shall be Mumbai.

Escalation: The price quoted here are applicable for a period of 3 months only from the date of this offer. During this period, escalation in the price will be made on account of increase in the price of Cement, Aggregates, Sand and Admixtures. However, any Statutory increases in taxes, duties and other levies or introduction of any new levies on RMC or Raw materials including Cement will be reimbursed by the Clients at actual. Increase in Diesel prices will also be reimbursed as per this formula - Every 5 % increase in the price of Diesel, will entail an increase in the RMC price by Rs. 15/- per cum. Every 5% increase in aggregate price will entail an increase of Rs.50/cum. Every 3.5% increase in Cement price will entail an increase of Rs.25/cum.
