A. Company Overview (cont.)

For extreme low temperature processing, Anvil’s engineered pipe supports are designed to meet standard specifications and international standards. Anvil XLT, extreme low temperature pipe shoes are available in pipe OD’s from 2½” to 20” standard as well as larger OD’s up to 72” for custom applications. A critical component in a low temperature pipe support is its PIR (Polyisocyanurate) and PUR (Polyurethane) insulation material, which are manufactured to the diameters of ASTM C-585 under carefully controlled conditions to ensure proper density, dimensional uniformity and stability. Anvil’s PIR/PUR materials are available in single and multilayer systems and have clean, sharp edges which are critical to ensure tight fit up.

Multilayered insulation features a ship lapped design that has stepped radial and offset longitudinal joints. These features guarantee perfect fit up with the pipe run insulation and prevent formation of a direct vapor path from the environment to the process pipe.

Also of importance is a pre-bonded vapor barrier consisting of a nearly impermeable fire retardant membrane that covers all exposed surfaces of the insulation and prevents moisture ingress. Such a vapor barrier can be sealed with pre-applied adhesive on overlapping segments of the vapor barrier. To cover the foil and provide additional protection and support to the PIR/PUR insulation assembly, a galvanized metal jacket can be added.

The standard pipe shoe base is manufactured from ASTM A-36 or A- 515/516 Gr. 65 or 70 carbon steel. Slides can also be made available in ASTM A-240 Type 304 or 316 stainless steel. Standard Slides are available in three finishes standard primer, corrosion-resistant, or hot dipped galvanized finish for corrosive environments.

II. PRE-INSULATED COLD SUPPORTS—XLT

A. Polyisocynurate (PIR) and Polyurethane (PUR) Insulation Information PIR/PUR are manufactured for both mechanical pipe and equipment insulation applications. PIR/PUR insulated products are available in a range of densities and meet ASTM requirements.

PIR insulation are used for applications with temperature ranges from -297°F to +300°F (-183°C to +149°C).

PUR insulation is used for applications with temperature ranges from – 328ºF to +176ºF (-200ºC to +80ºC).

Typical applications include:• Cryogenic pipe, equipment insulation and pipe supports for

liquid natural gas (LNG) and liquid oxygen (LOX).• Refrigeration piping insulation for ammonia, CO² and chilled

water.

Anvil General Requirements:1. All low temperature, insulted piping should be supported using insulated pipe supports.2. All Anvil insulated pipe supports comply with the latest editions of the following:

B. Low Temperature Support Specifications for PIR/PUR

This specification outlines the requirements for the design, selection and use of the proper low temperature, load bearing, Anvil insulated pipe supports for use in piping systems.

Anvil Scope of Work:

All Anvil PIR/PUR pipe support assemblies shall include:• Safety Factor (SF) of 5• PIR/PUR saddle(s)• Vapor barrier• Metal jacket• Fabricated steel casing• Low friction slide bearings, if specified by owner• Guide and axial stops, if specified by owner• Tagging• Any associated pipe hanger hardware or structural members,

if specified by owner• All units are asbestos free• 100% made and assembled in the USA

B. Low Temperature Support Specifications for PIR/PUR cont.

3. When selecting all low temperature, load bearing, insulated pipe supports selections must be based upon the following considerations:

• Maximum design loads that will be applied to the pipe support along the veritical, axial and lateral axes from the primary and secondary loadings.

• Maximum test loads that will be applied to the pipe support along the vertical, axial and lateral axes.

• Maximum design load that may be applied to the pipe support along the vertical, axial and lateral axes from occasional loading such as water hammer, seismic or impact type loads.

• Maximum deflection and rotations along the vertical, axail and laterial axes that are expected to occur and in what condition – normal operating, testing, upset, seismic, water hammer, etc.

• Lowest possible temperature expected to occur in the piping system.

• Highest possible temperature expected to occur in the piping system.

• Highest and lowest possible ambient temperature expected to be experienced.

• Any dimensional clearances that may be required during installation, testing or operation of any piping systems.

5. Anvil PIR/PUR Saddle has the following properties:• The insulation I.D. and the O.D. dimensions shall be

manufactured in accordance with the ASTM Specification C-585 unless otherwise specified.

• The saddle will be provided fully assembled with sufficient insulation extending beyond the support outer metal jacket in order to enable the insulator to make standard butt joints.

• The exposed surfaces may be coated with mastic to protect the foam from ultraviolet light degradation and moisture by the contractor.

• All mastic used shall have a minimum perm rating of .02 in accordance with ASTM E-96.

• A vapor barrier shall be provided between the jacket and the high density PIR/PUR insulation with a maximum per rating of .02.

• PIR/PUR pipe support assembly will be designed to provide for sufficient clamping force on the pipe to assure that the pipe support assembly will move axially with the pipe. The axial loading conditions shall not exceed the design loads for which the pipe support assembly has been designed.

• All structural shapes and plate shall be ASTM A-36 unless otherwise specified.

• All bolts and nuts shall be ASTM A-307 unless otherwise specified.

• All pipe support assemblies selected with low friction slide plate assembly shall have two slide plate surfaces at each support point. Each slide plate assembly shall consist of a mating slide plate as follows:

• Top – 3/32” thick glass filled reinforced PTFE bonded to a 10 ga. carbon steel plate unless otherwise noted.

• Bottom – 3/32” thick glass filled reinforced PTFE bonded to a 10 ga. carbon steel plate unless otherwise noted.

TERMS & CONDITIONSControlling Provisions: Anvil International’s Engineered Pipe Supports business’ Terms & Conditions ofSale (these “Terms”) will govern all sales of Anvil’s products, including products, equipment, and parts manufactured or sold by Anvil (together, “Products”) to Buyer (this “Order”). These Terms supersede any prior written or oral agreement understanding, representation or promise, and any pre-printed or standard terms and conditions contained in Buyer’s request for quote, purchase order, invoice, order acknowledgement or similar document. These Terms may not be amended, except by concurrent or subsequent written agreement signed by an authorized representative of Anvil and Buyer. Anvil’s acknowledgement of Buyer’s purchase order will not constitute acceptance of any terms and conditions contained therein.

Delivery/Prices/Payment: Anvil will use its commercially reasonable efforts to complete shipment as indicated. In the event Buyer requests a delay or suspension in completion and/or shipment of Products or any part thereof, the parties will agree upon any cost and/or scheduling impact of such delay and allocate such costs to Buyer’s account. Any delay beyond 30 days will require Buyer to take title and risk of loss and make arrangements for storage. In addition to the prices specified herein, Buyer will pay for all extra work requested by Buyer or made necessary because of incompleteness of or inaccuracy in plans or other information submitted by Buyer with respect to location, type of occupancy or other details of work to be performed hereunder. Anvil’s invoice will be issued upon Anvil’s readiness to ship. Prices and designs are subject to change without notice. All prices are F.O.B point-ofshipment, unless otherwise stated. Final payment will be due and payable within 30 days following receipt of invoice. A service charge will be made and added to the prices on all payments past due and owed by Buyer at a rate of the higher of 1 ½% per month or the maximum permitted under applicable law.

Force Majeure: Anvil will not be liable for delay in delivery due to causes beyond its reasonable control, including, but not limited to, acts of God, acts of government, acts of Buyer (including a failure by Buyer to timely provide all requested or required information used by Anvil to design or otherwise deliver Products), fires, labor disputes, boycotts, floods, epidemics, quarantine restrictions, war, insurrection, terrorism, riot, civil or military authority, freight embargos, transportation shortages or delays, unusually severe weather or inability to obtain necessary labor, materials or manufacturing facilities due to such causes. In the event of a delay, the date of delivery will be extended for a length of time equal to the period of delay.

Warranty: Anvil warrants the Products that are manufactured by Anvil to be free of defects in workmanship and material under normal use and service, and when used for the purpose and under the conditions for which they are intended, for a period of 1 year from the date of shipment. Obligation hereunder is limited, at Anvil’s option, to repair or replace the Product F.O.B. point of manufacture or make a monetary adjustment not to exceed the net sales price of the defective Product. Anvil may inspect said Product and Buyer will, if requested, return the defective Product to Anvil with transportation prepaid. Buyer will assume all responsibility and expense for removal and reinstallation and freight charges. Anvil will not be liable for indirect, special, incidental or consequential damage or penalties and does not assume any liability of purchaser to others, or to anyone for injury to persons or property. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED AND IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY OR FITNESS FOR PURPOSE. Any claims or shortages or damages must be notified to Anvil in writing within 10 days after receipt of shipment. Anvil neither assumes, nor authorizes any person to assume for it, any other obligation in connection with the sale of Products. This warranty will not apply to any product or parts of products that (a) have been repaired or altered outside of Anvil’s factory, in any manner; (b) have been subjected to misuse, negligence or accident; or (c) have been used in a manner contrary to Anvil’s instructions or recommendations. In addition to the foregoing, Anvil warrants Products of other manufacturers that Anvil sells to the extent of the warranties delivered by those manufacturers. In all cases, Anvil reserves the right to modify material of its design sold under this Order and/or the drawings and specifications relating thereto, or to substitute material of later design to fulfill this Order, provided that such modifications or substitutions will not materially and adversely affect the performance of the material.

Limitation of Liability: The remedies set forth herein are exclusive, and the total liability of Anvil, including its affiliates, officers, employees, agents, subcontractors, suppliers and representatives, with respect to this Order or any breach thereof will not exceed the Order price of the specific Products which gives rise to the claim. In all cases where Buyer claims damages allegedly arising out of defective or nonconforming Products, Buyer’s exclusive remedies and Anvil’s sole liability will be those specifically provided for under “Warranty”. IN NO EVENT, WHETHER ARISING BEFORE OR AFTER COMPLETION OF ITS OBLIGATIONS UNDER THE CONTRACT, WILL ANVIL BE LIABLE FOR SPECIAL INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES OF ANY KIND (INCLUDING BUT NOT LIMITED TO LOSS OF USE, REVENUE OR PROFITS, INVENTORY OR USE CHARGES, COST OF CAPITAL OR CLAIMS OF CUSTOMERS) INCURRED BY BUYER OR ANY THIRD PARTY.

Indemnity: Buyer agrees to indemnify, hold harmless and defend Anvil, including its affiliates, officers, employees, agents, subcontractors, suppliers, and representatives, against any and all judgments, losses, damages, expenses, costs, including defense costs and legal fees, arising from any and all claims for liability arising or claimed to arise from any act or omission of Buyer or Anvil in any way related to this Order or Products. To the extent the aforesaid obligation of the Buyer to so indemnify Anvil is prohibited by law, then the obligation will, but only to the extent of such prohibition, be null and void. The remainder of the Buyer’s indemnity obligations will remain in effect.

TERMS & CONDITIONS — CONT.Changes/Cancellation/Returns: Changes, alterations and additions to the plans, specifications or construction schedule underlying this Order will be invalid unless approved in writing by Anvil. The value of additional work will be agreed upon in writing prior to performance; provided, however, that if no agreement is reached prior to performance of additional work approved in the manner described above and if Anvil elects to continue performance, then the estimate of Anvil as to the value of the work will be deemed accepted by Buyer. Buyer may cancel this Order only upon written notice and payment to Anvil of reasonable cancellation charges. Orders covering special or non-standard goods are not subject to cancellation, except on such terms as Anvil may specify on application. No returns will be accepted by Anvil without Buyer first obtaining Anvil’s written consent. In such case, the price paid for the Product will be credited subject to the following: (a) all Product returned is, on its arrival at Anvil’s plant, found to be in first-class condition; if not, the cost of putting the Product in a salable condition will be deducted from the credit memoranda; (b) a handling charge deduction will be made; and (c) transportation charges, if not prepaid, will be deducted.

Shipments: The cost of any special packing or special handling caused by Buyer’s requirements or requests will be added to the price of the Order. Claims for goods damaged or lost in transit should be made on the carrier, not Anvil.

Shortages: Anvil is not responsible for shortages not reported within 3 weeks of receipt of shipment. Shortages reported after 3 weeks of shipment are the responsibility of the Buyer.

Delays Upon the Part of the Buyer: If shipment of any goods or products or other performance by Anvil is delayed due to the fault of Buyer, including but not limited to a delay in Buyer’s documentation review, Anvil may charge Buyer a (storage fee) equal to 5% of the invoice amount for such shipment “Fee”. Seller may charge an additional 2.5% Fee for each additional two week delay up to a total of 6 weeks. Thereafter, Anvil may cancel the order and bill Buyer in full for the order and incurred delay charges.

Taxes: Anvil’s price, unless otherwise agreed, is fixed and does not include, and Anvil is not responsible for, payment of any tax levied for sales, use, excise, value-added, goods and services, business (franchise or privilege) or any duties, charges or other such taxes.

Nuclear Plants: Where the products, engineering design or fabrication is for nuclear plant applications, Buyer agrees: (a) to take all necessary steps to add Anvil as an insured under the American Nuclear Insurers’ (ANI) pool or other similar insurance arrangements outside of the United States (e.g., the European Mutual Insurance for Nuclear Installations in Europe) and under the Mutual Atomic Energy Reinsurance Pool(MAERP) for property damage and liability insurance and if necessary steps could have been taken, but are not taken, Buyer will hold Anvil harmless against all such losses, claims and damages that may have been thus covered; (b) to hold Anvil harmless with respect to any personal injury (or death), property damage or other loss in a nuclear incident that is caused directly or indirectly by defective design, material or workmanship furnished by Anvil and that is covered by insurance maintained by Buyer (or which could be so covered but with respect to which Buyer has elected to selfinsure), and further agrees it waive subrogation by its carriers of such insurance against Anvil and (c) as to nuclear hazards for which Buyer cannot obtain insurance coverage, the liability of Anvil for any personal injury (or death), property damage or other loss directly caused by Anvil shall not exceed the value of the material furnished by Anvil at the time of the loss occurrence.

Set-Off: All amounts that Buyer owes Anvil under an Order will be due and payable according to the terms of the Order. Buyer may not set-off such amounts or any portion thereof against sums that Buyer asserts are due it or any of its affiliates under other transactions with Anvil or its affiliates.

Export/Import: Buyer agrees that it will comply with all applicable import and export control laws and/or regulations. In no event will Buyer use, transfer, release, import, export or re-export Products in violation of such applicable laws and/or regulations.

Compliance with Laws/Anti-Bribery: Anvil and Buyer agree to comply with all applicable laws, regulations, codes and standards, including but not limited to those of the United States and other jurisdictions where the parties conduct business, such as the U.S. Foreign Corrupt Practices Act and/or any other applicable anti-bribery laws.

Time Limitation to Bring Action: No suit or cause of action or other proceeding will be brought against either party more than 1 year after accrual of the cause of action or 1 year after the claim arises, whichever is shorter, whether known or unknown when the claim arises or whether based on tort, contract or any other legal theory.

Miscellaneous: Buyer will not assign an Order or any portion thereof without the prior written consent of Anvil. Failure by Anvil to assert all or any of its rights upon any breach of an Order will not be deemed a waiver of such rights, nor will any waiver be implied from the acceptance of any payment. If any portion of these Terms is determined to be illegal, invalid or unenforceable for any reason, then such provision will be deemed stricken for purposes of the dispute in question and all other provisions will remain in full force and effect. These terms will be governed by and construed in accordance with the laws of the State of New Hampshire (without giving effect to conflict of law principles) as to all matters. The parties irrevocably submit to the exclusive jurisdiction of the United States District Court for the District of New Hampshire.
