In May 2008, the 61st World Health Assembly adopted Resolution WHA 61.21: Global strategy and plan of
action on public health, innovation and intellectual property. The resolution was comprised of eight elements:
1. Prioritizing research and development needs 2. Promoting research and development 3. Building and improving innovative capacity 4. Transfer of technology 5. Application and management of intellectual property to contribute to innovation and promote
public health 6. Improving delivery and access 7. Promoting sustainable financing mechanisms 8. Establishing and monitoring reporting systems
These elements were designed to promote innovation, build capacity, improve access and mobilize resources.

Healthcare is going through a global transition as governments around the world reassess their healthcare
infrastructure and the needs of their society.
As part of this global process regulatory changes in the FDA, SFDA (China), and EMEA as well as other
government agencies in BRIC countries such as Russia, India, and Brazil, are reshaping pricing, reimbursement,
research and development, and access to new bio-pharmaceutical therapies and innovative medical
devices. Understanding this process and identifying the emerging bio-pharma and medical device companies that
will lead this process offers long-term opportunities for investors. As large shifts in the demand for healthcare
emerge from countries with very large populations in emerging markets, healthcare is very likely to be a leading
sector for investment. And this process is likely to be an extended opportunity, given the ever growing middle
class and aging demographics in the emerging markets that will now be able to afford healthcare and will

The sources of growth capital have migrated from the traditional A, B & C rounds from venture capital followed
by a successful IPO towards a more varied multi-tiered approach involving strategic investors, hedge funds, family
offices, licensing deals and M&A exits.
The identification and access to the now diverse capital formation matrix is a key in the development of healthcare
companies. As more limited partners migrate away from traditional Biotech and healthcare venture funds,
companies are presented with stark choices that need early analysis and board preparation. The role of other
providers of capital and the cost benefit analysis is a topic that is paramount to healthcare companies and their
investors. The process of tapping the varied sources is not fully understood by the marketplace as terms, pricing
and tradeoffs evolve. The mark to market requirements and the unsettled public markets have shifted focus away
from the IPO as the exit towards other more complex alternatives. Build, buy, partner, sell, slow, fast and the
impact on returns and access to capital are the topics of a now more complex decision process.
