DSM-5CODESTERMSANDCONDITIONS(“DSMTERMS”)

TheseDSMTermsgovernClient’suseoftheDSMcodesasimplicatedbythelicenseagreementexecutedbyClientandIMO(“LicenseAgreement”).Unlessotherwisedefinedherein,allcapitalizedtermsshallhavethemeaningsassetforthintheLicenseAgreement.

1. GrantofRightsRestrictions

A. IMOgrantsClientalimitednontransferable,nonexclusivelicensetointernallyusethedisordernamesoftheDiagnosticandStatisticalManualofMentalDisorders,FifthEdition(“DSM”)solelyinconjunctionwiththeService,subjecttothetermsandconditionsherein.

B. Client shallnotpublish,distributevia the Internetorotherpublic computerbased information system,createderivativeworks (including translating)ofDSM. Inaddition,Client shall not transfer, sell, lease,license, or otherwise make DSM, or any portion thereof, available to any unauthorized party. Forpurposesof these termsand conditions, “unauthorized”means any individual or entitynot licensed touseDSM.

2. IntellectualProperty

Clientacknowledgesandagreesthat:

A. DSMiscopyrightedbytheAmericanPsychiatricAssociation(“APA”)andClientmaynotuseanyportionsofDSMotherthanasexpresslyallowedundertheLicenseAgreement.

B. ThefollowingtextshallbedisplayedpriortotheinitialdisplayofanyDSMcontentlicensedfromtheAPA:

3. BackUpRights

A. ClientisallowedtomakeonlyonecopyofDSMsolelyforbackuporarchivalpurposes.

B. Client agrees that all notices of proprietary rights, including trademark and copyright notices set forthaboveinSection2(B),mustappearonallpermittedbackuporarchivalcopiesmade.

4. Termination

IMOshallhavetherighttoimmediatelyterminateClient’slicensetoDSMbyprovidingwrittennoticeofsuchterminationtoClientintheeventthat:(i)Clientfailstoabidebyanyofthesetermsandconditions;or(ii) iftheAPAterminatesitsagreementwithIMO.

5. Miscellaneous

A. Client agrees to the extent possible under the applicable laws, thewarranties and liability for DSM ascontainedintheServiceisprovided"ASIS"withoutanyliabilitytotheAPA,includingwithoutlimitation,noliabilityforconsequentialorspecialdamages,orlostprofitsforsequence,accuracy,orcompletenessofdata,orthatitwillmeettheEndUser'srequirements.IMO’ssoleresponsibilitywithregardtotheDSMis to use reasonable efforts to correct defects in the Service. The APA disclaims any liability for anyconsequencesduetouse,misuse,orinterpretationofinformationcontainedornotcontainedinDSM.

B. Disclaimer of Warranties. THE AMERICAN PSYCHIATRIC ASSOCIATION EXPRESSLY DISCLAIMS ANDEXCLUDESALLWARRANTIES(INCLUDINGWITHOUTLIMITATION,MERCHANTABILITYANDFITNESSFORAPARTICULAR PURPOSE) AND REPRESENTATIONS, WHETHER EXPRESS OR IMPLIED, IN RELATION TOCLIENT’SUSEOFDSMINTHEINTEGRATEDSERVICE.THEAMERICANPSYCHIATRICASSOCIATIONWILLNOTBE LIABLETOCLIENT,ORANYTHIRDPARTY FORLOSS OF PROFITS, LOSS OF USE OR FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGESWHETHERBASEDUPONACLAIMORACTIONOFCONTRACT,WARRANTY,NEGLIGENCE,STRICTLIABILITYOROTHERTORT,EVEN IF IT ISAWAREOFTHEPOSSIBILITYTHEREOF.CLIENTAGREESTHATTHEENTIRELIABILITYOFTHEAMERICANPSYCHIATRICASSOCIATIONWILLINNOEVENTEXCEEDANAMOUNTEQUALTOTHREETIMESTHETOTALFEESPAIDFORTHEDSMLICENSEOR$100,000,WHICHEVERISGREATER.

C. Disclaimer ofMedical Liability. DSM is not a substitute for, is not designed to, and does not provide,medical advice. TheAmericanPsychiatricAssociation shall notbe liable toClientor any thirdparty ifreaders of DSM disregard professional medical advice, or delay in seeking such advice, because ofsomethingtheyhaveread inDSM. TheAmericanPsychiatricAssociationand IMOshallnotbe liabletoClientor any thirdparty if readersofDSM relyon information inDSM inplaceof seekingprofessionalmedicaladvice. RELIANCEONANYINFORMATIONCONTAINEDINDSMISSOLELYATTHEREADER’SORUSER’SOWNRISK.Moreover,theAmericanPsychiatricAssociationisnotresponsibleorliabletoClientoranythirdpartyforanyadvice, courseof treatmentordiagnosisprovidedbyaphysicianorotherhealthcareprofessional.The American Psychiatric Association neither recommends nor endorses any specific tests, products,procedures,opinionsorotherinformationthatmayberecommendedtoareaderoruserbyahealthcareprofessional.
