1. Under the General County Assessment Law, the taxing authority has the powerto rate and value all objects of taxation according to the actual value thereof.“Actual value” means “market value” which, in turn, is the price a willingbuyer would pay a willing seller, considering the uses to which the property isadapted and might reasonably be adapted. In arriving at the “actual value”, allthree appraisal methods – cost, income and comparable sales approaches –must be considered in conjunction with one another.

2. In a tax assessment appeal, the court of common pleas must proceed de novo.In a de novo appeal, it is the trial court’s duty to independently determine thefair market value of the parcel on the basis of the competent, credible and rel-evant evidence presented by the parties. The trial court also has the discretionto decide which of the methods of valuation is the most appropriate and appli-cable to the given property. If the trial court is presented with conflicting tes-timony by equally credible experts, it is appropriate for the court to find thatthe fair market value of the property is somewhere between the values present-ed by the competing experts. The trial court is free to accept all, part or noneof an expert’s testimony in determining value.

3. In a tax assessment appeal, once the taxing authority has presented its assess-ment record into evidence, it has made out a prima facie case for the validityof the assessment by fixing the time when the burden of coming forward withevidence shifts to the taxpayer. If the taxpayer produces sufficient proof toovercome its initially allotted status, the evidentiary value of the taxing author-ity’s assessment record ceases and may no longer influence the court’s deter-mination of the assessment’s correctness. In that event, the taxpayer continuesto carry the burden of persuasion subject to the taxing authority’s ability torebut the owner’s evidence.

4. The trail court granted the appeal of Downingtown Area School District anddetermine the assessed value for the property as of January 1, 2011 to be$1,606,600 and for January 1, 2012, $1,624,000.

DECISION

Downingtown Area School District appealed the reduction by the ChesterCounty Board of Assessment Appeals of the assessment of the subject propertyowned by the taxpayer, Lionville Properties, Inc. After conducting a trial de novoon May 14, 2012, and in consideration of the competent and credible evidence pre-sented therein, this Court grants the appeal of Downingtown Area School District,but sets the assessed value to $1,606,600 as of January 1, 2011 and $1,624,000 asof January 1, 2012 based on the following:

FINDINGS OF FACT

1. The Appellant is the Downingtown Area School District.2. The Appellees are the Chester County Board of Assessment

Appeals, and the taxpayer, Lionville Properties, Inc.3. The property that is the subject of this appeal is located at 140

Sheree Boulevard in Uwchlan Township, Chester County, Tax Parcel ID No. 33-04-0030.0400.

4. The property consists of 9.531 acres of land, improved by a onestory building constructed in 1984 containing 57,339 square feet.

5. The construction of the building is masonry and steel, with a ceil-ing height of 18 feet; the building is sprinkled and has some fluorescent lighting andsome T-5 fixtures.

6. The property is located in a desirable industrial area near thePennsylvania Turnpike within the Downingtown Area School District, in UwchlanTownship.

7. There are two tenants which have occupied the building sinceconstruction 28 years ago, who are related to and commonly controlled by the tax-

payer, Lionville Properties, Inc. 8. One tenant is DFT, Inc., a manufacturer of control valves, and the

other is Gasket Resources, Inc., a fabricator of sealing products. 9. The building was built and laid out expressly to accommodate the

tenants’ manufacturing processes, featuring three loading dockets, and a drive-thrudock, and 35% of the interior is devoted to finished office space and a cafeteria.The building and grounds have been well maintained and are attractive.

10. The building still has the original 28-year old single-ply roof,which is leaking around the skylights and needs to be replaced, along with flashingand gutters and downspouts.

11. The taxpayer secured an estimate to replace the roof, flashing,gutter and downspouts in the amount of $257,000.

12. Lionville Properties, Inc. filed an appeal of its annual assessmentfor the subject property for the tax year 2011.

13. On October 27, 2010, the Chester County Board of AssessmentAppeals issued a decision reducing the assessment from $1,925,000 to $1,468,100.

14. On November 24, 2010, the Downingtown Area School Districtfiled an appeal of the decision of the Board of Assessment Appeals.

15. At this time, the appeal covers two tax years. 16. The applicable common level ratio for tax year 2011 is 55.4%.17. The applicable common level ratio for tax year 2012 is 56%.18. A trial de novo was conducted by this Court on May 14, 2012.19. After the Board of Assessment Appeals established its prima

facie case, the taxpayer offered the testimony of Martin Carmody, of Carmody &Associates, Ltd., as to the value of the subject property. The parties stipulated to hisqualifications as an accredited real estate appraiser.

20. Mr. Carmody considered the sales approach, the incomeapproach, and the cost approach, but he rejected the cost approach as “not credible”because of the age of the building and the difficulty in properly calculating depre-ciation.

21. For his sales approach, given that the subject property wasdesigned and laid out for manufacturing use, he selected comparables that were alsodevoted to manufacturing uses rather than warehouse use or flex buildings. Thefive comparables were:

22. He testified that he made comparisons between these properties,allowing adjustments to reflect superior and inferior characteristics and from these

derived an average, as well as a mean, price per square foot.23. Mr. Carmody estimated the fee simple value of the subject prop-

erty through the sales comparison approach as of January 1, 2011 to be $2,650,000,or $46.22 per square foot based on the building area of 57,339 feet.

24. For January 1, 2012, Mr. Carmody’s analysis indicated no changefrom the previous adjustments, the market being flat, so the value remained$2,650,000.

25. As for the income approach, Mr. Carmody regarded the propertyas a “fee simple” because the two leases were held in common ownership with thetaxpayer; since the owner could manipulate the rent, or even terminate the lease atwill, Mr. Carmody felt that these leases did not reflect market values and were unre-liable.

26. Mr. Carmody testified that rents were hard to find for manufac-turing buildings since so many of these are owner-occupied, so instead he usedwarehouse leases in his analysis.

27. He assembled a chart of seven leased properties with base rentsfrom $2.00 to $4.83 per square foot, but because there was so much finished officespace in the subject building, he blended a $10 per square foot rate for that andarrived at $6.08 per square foot for the purposes of his approach.

28. He then consulted a nationwide survey by RealtyRates.com forall types of industrial buildings to derive a capitalization rate, which he said was ayield that an investor would want from the property.

29. For the second quarter of 2010, the “cap rate” was thereby calcu-lated to be 10.32%, 10.27% for the fourth quarter of 2010 and 10.17% for the fourthquarter of 2011. These he increased by .5 (50 basis points) because of the proper-ty’s peculiar features and designs.

30. The indicated value via the income approach for the fourth quar-ter 2010 was $2,575,000, and for the fourth quarter 2011 was $2,600,000.

31. After reconciliation with the market approach, Mr. Carmody’sfinal value for the subject property for January 1, 2011 was $2,600,000, and forJanuary 1, 2012 $2,650,000.

32. The School District presented Richard Wolf as its expert, and theparties likewise stipulated to his qualifications.

33. Mr. Wolf agreed that the subject property was in overall goodcondition but, unlike Mr. Carmody, he testified that the property could be adaptedfunctionally for other uses without major difficulty.

34. He also considered the same three approaches to appraising theproperty and, like Mr. Carmody, he did not use the cost approach because of prob-lems calculating depreciation.

35. Mr. Wolf appraised the property as a “leased fee interest”; heexamined the leases and determined that the contract rent was approximately thesame as market rent.

36. Of significance to Mr. Wolf were the facts that the property was

under lease as of the valuation date, that the property was fully occupied, that theowner could sell that property with the two leases, that such transfer would beattractive to a buyer; those facts he said drive the value of the property.

37. In conducting his sales analysis, Mr. Wolf utilized four compara-bles:

38. His methodology was to try to select comparable buildings whichwere leased fees; they were local, they were all occupied, but the uses varied fromdistribution to data processing and warehousing.

39. Mr. Wolf derived square foot values of $51.95 to $65.72, ulti-mately selecting $55.08 as the proper adjusted value per square foot for the subjectproperty, indicating a value of $3,150,000 from the sales comparison approach.

40. He utilized the same comparables in order to do his incomeapproach analysis.

41. Mr. Wolf first looked at the contract rent, and then compared it tothe market rent to see whether the lease was favorable or unfavorable.

42. The distinction he wanted to draw is that his capitalization rateswere derived from the local market itself, and not from generalized surveys.

43. He defined the capitalization rate as the factor that converts thestabilized Net Operating Income (“NOI”) to a present value; it is the ratio of netincome to value or sales price. In other words, NOI ÷ sales price = capitalizationrate.

44. Applying that calculus to the four properties he had selected pro-duced an average cap rate of 8.45%.

45. Utilizing the contract rent of $5.30 per square foot Mr. Wolf cameup with an effective gross income of $287,947 and, after expenses, a net operatingincome of $253,161.

46. He applied the capitalization rate of 8.5% for a value of$3,000,000, less a deduction in the amount of $159,765 for part of the roof repair(38,967 square feet).

47. His conclusion of value by the direct capitalization method in hisincome approach was $2,850,000 as of January 1, 2012.

48. Mr. Wolf relied on the owner’s description that it would replaceonly part of the roof in the short term, costing $159,765.

49. If the entire roof had to be replaced at once, Mr. Wolf would allowthe full cost as a deduction.

50. Combining the sales and income approaches, Mr. Wolf conclud-ed that the final value for both tax years was $3,000,000.

DISCUSSION

Under the General County Assessment Law, the taxing authority has thepower to rate and value all objects of taxation “according to the actual value there-of. . . .” 72 P.S. §5020-402(a). “Actual value” means “market value” which, in turn,is the price a willing buyer would pay a willing seller, considering the uses to whichthe property is adapted and might reasonably be adapted. Buhl Foundation v. Boardof Property Assessment, 407 Pa. 567, 570, 180 A.2d 900, 902 (1962); Willow ValleyManor, Inc. v. Lancaster County Board of Assessment Appeals, 810 A.2d 720, 723-724 (2002). In arriving at the “actual value” under 72 P.S. §5020-402(a), all threeappraisal methods – cost, income and comparable sales approaches – must be con-sidered in conjunction with one another. Morelyn Plaza Ltd. Partnership v. BucksCounty Board of Assessments, 1997 WL 68578, *3 (Bankr. E.D.Pa. 1997), aff’d,149 F.3d 1164 (3rd Cir. 1998).

In a tax assessment appeal, the court of common pleas must proceed denovo. Murtagh v. County of Berks, 715 A.2d 548, 552 (Pa.Cmwlth. 1998), app.den., 557 Pa. 656, 734 A.2d 863 (1999). In a de novo appeal, it is the trial court’sduty “to independently determine the fair market value of the parcel on the basis ofthe competent, credible and relevant evidence presented by the parties.” Green v.Schuylkill County Board of Assessment Appeals, 565 Pa. 185, 196, 772 A.2d 419,426 (2001); Westinghouse Electric Corp. v. Board of Property Assessment, 539 Pa.453, 463, 652 A.2d 1306, 1311 (1995). The trial court also has the discretion todecide which of the methods of valuation is the most appropriate and applicable tothe given property. Willow Valley Manor, Inc., 810 A.2d at 723. If the trial court ispresented with conflicting testimony by equally credible experts, it is appropriatefor the court to find that the fair market value of the property is “somewherebetween the values presented by the competing experts.” Green, 565 Pa. at 208,772 A.2d at 433; Westinghouse, 539 Pa. at 464, 652 A.2d at 1312; Trustees of theInternational Brotherhood of Painters v. Board of Revision of Taxes, 34 Phila. Co.Rptr. 189, 191 (1997). The trial court is free to accept all, part or none of an expert’stestimony in determining value. West Mifflin Area School District v. Board ofProperty Assessment, 802 A.2d 687, 691 (Pa.Cmwlth. 2002).

In a tax assessment appeal, once the taxing authority has presented itsassessment record into evidence, it has made out a prima facie case for the validityof the assessment by fixing the time when the burden of coming forward with evi-dence shifts to the taxpayer. Deitch Co. v. Board of Property Assessment, 471 Pa.213, 221, 209 A.2d 397, 402 (1965). If the taxpayer produces sufficient proof toovercome its initially allotted status, the evidentiary value of the taxing authority’sassessment record ceases and may no longer influence the court’s determination ofthe assessment’s correctness. Green, 565 Pa. at 195, 772 A.2d at 425-426. In thatevent, the taxpayer continues to carry the burden of persuasion subject to the taxingauthority’s ability to rebut the owner’s evidence. Westinghouse Electric Corp. v.

Board of Property Assessment, 539 Pa. 453, 460, 652 A.2d 1306, 1310 (1995). Seealso 16 McQuillin, The Law of Municipal Corporations §44.124 (3rd Ed.).

While the opinions of the two experts were largely in agreement in respectto the characteristics and condition of the subject property, a major point of depar-ture was whether to appraise it as a “fee simple” as Mr. Carmody urged, or as a“leased fee interest”, as asserted by Mr. Wolf. The Court is persuaded by Mr. Wolf’sopinion. Whereas Mr. Carmody conceded that he did not examine the leases, nordid he know what rent was being charged, Mr. Wolf did. The rent being chargedwas comparable to market rates. Mr. Carmody’s conclusion that the leases “weren’tvalid” per se because of the common ownership between the landlord and tenantswas not well supported. Although an owner can manipulate the rent or even termi-nate a lease, the facts remained that as of the valuation dates the property was leasedto long-term stable tenants, the property was fully occupied, there was no constrainton the owner not to sell the property with both leases and, on the contrary, such atransfer would be attractive to a buyer. The Court agrees with Mr. Wolf’s conclu-sion that those facts drive the value of the property.

The expert testimony presented by the taxpayer, Lionville Properties, Inc.,was also undermined with reference to the comparables it chose. Mr. Carmody wasnot aware that 244 Shoemaker Road was sold with a ten year lease-back. He con-ceded that an adjustment would have to be made to his value. 3033 Market Streetin Upper Chichester Township turned out to be a two story building affording sub-stantially more square footage than he had calculated in the belief that it was butone story. The sale of 25 Spring Mill Drive was thought to have been at arm’slength, whereas the sale was between related parties.

The Court also believed the methodology used by Mr. Wolf to derive cap-italization rates directly from the comparables in the local area was an approach thatwas superior to Mr. Carmody’s reliance on survey data for all industrial buildingsfrom across the nation.

For these reasons the Court is inclined to the view of the expert presentedby the school district. The one departure is with respect to the need to replace theroof on the subject property. The Court here finds the testimony of Mr. Carmodyto be credible for the proposition that no buyer will want to take the chance that itwill be stuck for having to replace a portion of the roof in the near future and willno doubt insist that the roof be entirely replaced, or the entire cost be deducted fromthe purchase price.

As noted in the Findings of Facts, in calculating value, Mr. Wolf relied onthe owner’s description that but a part of the roof would be replaced in the shortterm, thereby deducting only $159,765.00. Mr. Wolf testified that if the entire roofhad to be replaced he would allow the full cost as a deduction, and that is what theCourt will do.

The full cost of the new roof with downspouts and flashing is $257,520.00according to the bid the taxpayer received from Battisto Development Roofing.

The difference is $97,755.00. Rounding, the Court deducts $100,000.00 from the valuation of

$3,000,000.00 for both tax years, in order to arrive at the actual value. The Courtfinds that the market conditions were unchanged, and essentially flat, through therelevant period of time.

CONCLUSIONS OF LAW

1. The Board of Assessment Appeals established a prima facie casewhich was, however, rebutted by the competent, credible and relevant evidence pre-sented by the other parties.

2. The competent, credible and relevant evidence was nonethelessconflicting in certain respects, and it is the Court’s obligation to weigh the same anddetermine the value of the property.

3. The value of the property is $2,900,000 as of January 1, 2011, and$2,900,000 for January 1, 2012.

4. Application of the respective common level ratios to the actualvalue yields the following assessed values:

For January 1, 2011 $1,606,600For January 1, 2012 $1,624,000
