HOW TO APPLY?1. Fully complete the Application Form (Form A), paying particular attention to the mandatory sections (A1 - A3 - A4 - A4 bis - A5 - A6). Form A can be downloaded from the website www.madeexpo.it/en.

2. All Forms (both mandatory and optional) must be stamped and signed by the firm’s Legal Representative.

3. Calculate the amount to be paid upon application (TOTAL REGISTRATION DEPOSIT). Amounts depend on the registration date, date of receipt of the total registration deposit and whether or not the applicant has participated in the 2015 and/or 2017 edition of MADE expo.

N.B. Companies signed up by the July 31st 2018 deadline that will have also paid by such date the participation deposit are requested to pay the second instalment of the per-sqm deposit by October 31st 2018 as indicated in Table 3.4 relating to sqm, this in settlement of the balance due for the deposit.

(1) Participation fees per sqm will be based on the date of payment of the TOTAL REGISTRATION DEPOSIT (by cheque or wire transfer), equal to the sum of the participation fee, registration deposit corresponding to the display area requested, and any registration fees payable for trademarks or represented Italian companies, plus VAT as per law.(2) The requests of spaces and their positions are merely indicative. MADE eventi Srl will assure that all requests will be taken into consideration, however MADE eventi Srl has the right to assign areas of different sizes and types (see Gen. Reg. art.13). 1. All companies participating in the Show to which the request refers, as well as those delivering services to the Show, may submit requests to MADE eventi Srl for printed advertising, “Visual Advertising” using the facilities provided by Fiera Milano Media spa inside the Milan Fairgrounds Rho, and sponsorship of merchandising materials. MADE eventi Srl reserves the right to admit more extensive or less extensive advertising.

2. All advertising material mountings (paper, forex sheets, PVC, etc.) used on structures inside the Milan Fairgrounds Rho shall be supplied exclusively by Fiera Milano Media spa.

3. Unless expressly indicated on the Form, advertising requests must reach MADE eventi Srl at least 60 days before the opening of the Show, must be signed by the Legal Representative of the applying company and must include all the material required for printing. The aforesaid requests are irrevocably binding for the applicant but do not constitute an obligation for MADE eventi Srl. If approved, MADE eventi Srl will forward its confirmation of acceptance to the applicant at least 30 days before the opening of the Show. MADE eventi Srl reserves the right to consider requests received less than 60 days before the start of the Show, and to forward confirmation of acceptance to the applicant by the day before the inauguration of the aforesaid Show.

4. For technical and organizational reasons, MADE eventi Srl reserves the right to amend the positions requested or agreed upon and to limit advertising forms, even if already confirmed. In the event of force majeure, the MADE eventi Srl also reserves the right to withdraw from the contract, in full or in part, without indemnification or compensation whatsoever payable to the company except for the possible refund of all or a proportion of the monies paid. MADE eventi Srl reserves the right to assign advertising positions that may not be specified in official documents.

5. Invoice for advertising will be forwarded with or after notification of acceptance. Invoices, plus any other expenses borne by MADE eventi Srl to supply the requested advertising, shall be settled as per the terms specified in the invoice, even if the advertiser is not an exhibitor.

6. The applicant may request that MADE eventi Srl terminates the contract if prevented from participating by proven unavoidable circumstances notified in writing by registered mail at least 90 days before the opening of the Show. However, the applicant shall pay 50% of the entire advertising fee to cover expenses and damages and any other sums due to the MADE eventi Srl. If the request for termination reaches the MADE eventi Srl less than 90 days before the opening date, the Company shall pay the entire advertising fee and MADE eventi Srl will be entitled to decide whether or not to print the advertising.

7. For structures inside the Milan Fairgrounds Rho, or sponsored merchandising material, the amount specified in the invoice includes the advertising fee, as well as the advertising creation and installation costs borne by Fiera Milano Media spa. At the end of the Show, Fiera Milano Media spa shall remove and destroy the advertising. Companies wishing the advertising mountings to be returned must forward an explicit request in writing to this effect when delivering their materials for printing. If companies wish to re-use materials returned after previous editions of the Show, they must state this explicitly when reserving stand space. Companies will then only be charged the advertising fee and the portion of advertising creation and installation costs relating to the relevant mountings.

8. The applicant shall supply MADE eventi Srl with the text, illustrations, logos and any other material required for advertising purposes, either upon submitting its application or at least 60 days before the Show opening date.Material shall be supplied in digital format: high-resolution four-colour PDF (CMYK), or Photoshop CC (or previous) 400 dpi or higher, or Illustrator CC (or previous), or QuarkXPress version 8 (or previous), or InDesign CC (or previous) and uploaded to ftp or forwarded via www.wetransfer.com.Should the material fail to comply with printing requirements, the MADE eventi Srl may assign a company of its choice the task of producing the necessary materials, which will be invoiced directly to the applicant by the supplier at current rates. Should the necessary material fail to arrive in time, the MADE eventi Srl may simply print the name of the company in typeface in the space reserved and charge the cost to the applicant.

9. The applicant is wholly responsible for the advertising content. MADE eventi Srl shall not be liable for theft or damage or destruction of printing materials. MADE eventi Srl declines all responsibility for omissions and/or printing errors in all forms of advertising.

10. Should MADE eventi Srl decide, at its sole discretion, to amend the date of the Show, the advertising will be moved to the new date, and the applicant will still be required to pay all amounts due and agreed upon even if the Show is held on a different date than scheduled originally. In the event that the Show is cancelled, the advertising contract will automatically be considered null and void, and MADE eventi Srl shall not be held liable for damages of any kind.

11. MADE eventi Srl transfers to users the obligation to observe the security rules for public premises laid down by the designated public authorities. The applicant accepts Italian jurisdiction and the application of Italian law even if the contract is stipulated abroad. In the event of disputes the competent court is the District Court of Milan. The Italian Civil Code will be applied to any aspects not covered by these General Conditions of Marketing Services. Applicants must address any claims to rights solely and exclusively to the MADE eventi Srl, while the applicant is responsible for complying with all rules and regulations within the Show venue, also with respect to Fiera Milano Media spa and MADE eventi Srl which, in the event of non-compliance with the said rules and regulations, shall be entitled to take action even directly against the applicant.

1. SHOW TITLEMADE EXPO - Milano Architettura Design Edilizia (its 9th edition) shall be the subject of the Show Rules and Regulations stated hereafter; the word “Show” as used herein and hereafter shall mean the event to be held in the place and on the dates as stated in Art. 3.

2. ORGANIZERThe Show is organized by MADE eventi Srl with the technical and accounting support of Fiera Milano.MADE eventi Srl Registered Office: Foro Buonaparte 65, 20121 Milan - Italy;Bologna Show Office: Via Antonio Zanolini 15/2, 40126 Bologna - Italy; Milan Show Office: Foro Bonaparte 65, 20121 Milan - Italy;Tax File and VAT number 05656450961

3. VENUE, DATE AND OPENING HOURSMADE expo will be held at the Milan Fairgrounds Rho from 13 to 16 March 2019.Opening hours: 9.00 am to 6.00 pm. Exhibitors and their staff may enter their stands at 8.30 am and stay until 6.30 pm. MADE eventi Srl may extend the opening hours of the Show for reasons of logistics or public order, and in the event of events continuing beyond normal closing hours.

4. ENTRANCESThe Show is open to trade visitors and/or holders of special invitations issued by MADE eventi Srl also as recommended by exhibitors.Trade visitors may access the show upon payment of entrance fees.The Show Secretariat Offices at the Fiera Milano Fairgrounds will distribute “Exhibitor” passes and vehicle parking passes, in quantities proportional to booth space (see “Instructions and Technical Notes, page 2), as of the first set-up day, against presentation of receipts issued by MADE eventi Srl proving payment of all participation fees. Exhibitor passes may not be transferred to third parties.In the event of repeated breaches of this clause, MADE eventi Srl may claim compensation for loss of earnings from the infringing Exhibitor also in compliance with art. 33 of these General Show Rules and Regulations (hereafter, “General Regulations”)MADE eventi Srl reserves the right to admit the public to the show on specific days as set out in art. 2 of Ministry of Industry circular nr. 3275/C of 17.2.1992.Exhibitors shall not deny visitors access to their stands.

5. PRODUCT CATEGORIES AND LIMITATIONSExhibitors shall display only the products specified on the product list in Attachment D, which is explicitly approved by signing these General Regulations, of which it is an integral part. Exhibitors are prohibited from displaying any products not listed on the product list included in Attachment D.Exhibitors undertake to respect industrial and intellectual property rights effective in Italy in compliance with Leg. Decree nr. 30/2005 and all subsequent amendments as well as the applicable EU and international regulations.Exhibitors undertake to refrain from exhibiting any product involved in intellectual property litigation resulting in an unfavorable ruling.Products for display at the Show must be of the Exhibitor’s own manufacture and marked as own trademarks, this to be indicated in Form B and/or C which are provided together with the Application for space Form; products and trademarks for the which promotion and sale the Exhibitor is the sole authorized licensee - if this shall be the case by effect of a legal written licensing agreement - must be declared in Form B and/or C.In case any of the products to be displayed should carry the trademarks of other companies that are either the manufacturer and/or the sole licensee by effect of a licensing agreement, the company names must be declared either in Form B and/or C.

6. EXHIBITORS The following may be permitted to exhibit at the Show: a) Italian and foreign companies displaying their own products or services as per the product list included in Attachment D. If manufacturers do not participate directly, their sole agents, agents and exclusive sales representatives may do so;b) trade publications and magazines, trade associations, institutions and authorities involved in promoting, researching, publicizing and raising awareness of sectors relating to the themes covered by the Show;c) consortiums, temporary groupings or associations of enterprises and/or trade promotion bodies: MADE eventi Srl reserves the right to stipulate participation agreements.Participation in the Show is individual and, unless otherwise notified in writing by MADE eventi Srl, all Exhibitors are required to complete and sign the Application Form and forward the required documents. Exhibitors may ask for companies and trademarks that they represent exclusively to be listed in the Catalogue, provided that they are duly registered by completing Form B and/or Form C of the Application Form. MADE eventi Srl reserves the right to exclude certain services, products or samples from the Show.

7. PARTICIPATION FEES AND ADDITIONAL COSTSParticipation fees including the registration fee and the cost of the floor space are indicated in page 3 of the Application Form, section A3, outlined as “Participation fees per sqm” and are correlated to the date of receiving the cheque or the wire transfer related to the amount paid as total registration deposit for the Application for space.The total registration deposit as stated in Point 3.1 - page 2 shall be comprised of the registration fee and the deposit per sqm (as in Point 3.2 and 3.3 - page 2) multiplied by the sqm requested and of any other fees for the registration of officially represented Italian Companies and/or Trademarks.The fee for customizing aisles between stands allocated and invoiced to the same company (subject to explicit authorization by MADE eventi Srl) is € 45.00 per sqm + VAT.All amounts indicated in section A3 of the Application form apply to the entire stand area along the same perimeter as or adjacent to areas occupied by the same exhibitor.Exhibitors must respect the dimensions of their allocated stand. Any additional space occupied, even for storage, will be charged according to the applicable rates; it being understood that all safety aisles and areas must be kept clear at all times. The participation fee and registration fee include all compensation for:• technical assistance to the Exhibitor during the Show and during stand set-up and dismantling operations provided by Fiera Milano spa;• overall surveillance of the halls and fire prevention services provided by Fiera Milano spa;• listing in the Official Catalogue;• 1 copy of the Official Catalogue; • Exhibitor passes and client invitations worth € 0.10 each and free parking passes inside the Fairgrounds as per the conditions specified on page 2 “Services included in the participation package”.Requests for additional car parking spaces (unit cost: € 75.00 + VAT as per law) can in any case be forwarded to MADE eventi Srl. The fee also includes a currently unspecified amount, but higher than 1%, to be allocated to promoting the Show in Italy and abroad. Solely by way of example, this activity may also include the organization of: complementary events staged by MADE eventi Srl or firms or entities appointed by it in Italy and abroad, before, during and after the Show; meetings, conferences, celebrations and social events, including hospitality for members of Italian and international print media, Italian and international trade delegations, Italian and international public authorities, lecturers and conference speakers; study and research activities also in partnership with trade associations; exhibits, also featuring admission fees, in Italy and abroad; events considered to be suitable by the MADE eventi Srl Board of Directors. Such activities will be carried as and when deemed appropriate by the MADE eventi Srl Board of Directors. Exhibitors are required to pay MADE eventi Srl a lump-sum for compulsory services of € 5.20 per sqm + VAT as per law. This fee includes:• fire extinguishers (rented);• stand cleaning, i.e. floors and walls, dusting of furniture installed in the stand, emptying of waste paper baskets. The stand cleaning service does not include cleaning of materials, equipment, furnishings or products on display. Additional specific cleaning services may be officially requested on-line through the e-service provided by Fiera Milano spa; Exhibitors may also arrange their own

cleaning services, which must be performed between 8.30 and 9.00 AM and/or between 6.00 and 6.30 PM;• electricity supply up to 10 KW on every day of the Show;• municipal advertising tax: without prejudice to the regulations governing participation, the Exhibitor must pay the Municipality of Rho taxes due pursuant to Presidential Decree nr.639 dated 26.10.1972.This tax is already included in the lump sum. Fiera Milano spa shall pay the Municipality of Rho on behalf of Exhibitors;• copyright fees for audiovisual installations in stands that are subject to royalties. However, coverage does not include live vocal and/or instrumental performances for which, if authorized by MADE eventi Srl, the Exhibitor must apply directly to the local SIAE (Italian royalties collection society) office.Coverage does include copyright pursuant to articles 72 and 73/bis of Law nr.633/1941 payable to performing artists and phonographic producers holding recording rights and SCF-Consorzio Fonografici on their behalf.The amount indicated in section A3 of the Application Form shall be the total amount due to MADE eventi Srl by all Exhibitors for participating in the Show.Current VAT regulationsAt the time of going to press, the Italian VAT rate is 22% and will be applied to all legal entities required to pay VAT.As from January 1st 2011, in accordance with Legislative Decree nr.18/2010 and EU Directive nr.8/2008, non-Italian Exhibitors subject to taxation are no longer required to pay VAT on stand fees and services connected with the Show, except for parties not subject to VAT (e.g. private individuals).In order to identify the type of Exhibitor (i.e. tax-liable /non tax-liable), before issuing invoices, MADE expo srl must receive the VAT number/ID code or other documents proving corporate status for tax purposes, and not private individual status. It is therefore essential for Application Forms to include this information, otherwise invoices will be issued with the Italian Value Added Tax. Foreign exhibitors wishing to recover VAT should consult the Show website.

8. APPLICATIONSIn order to participate in the Show, completed Application Forms must be received by MADE eventi Srl by July 31st 2018.The Application form, duly and legibly signed in the appropriate space by the Legal Representative of the company, must enclose the documents in the original, or certified copies:a) receipt confirming wire transfer or a not-negotiable cheque of the total registration deposit (see Table 3.1), equal to the sum of the registration fee, security deposit for the stand space requested, and any registration fees due for trademarks and Italian companies represented plus VAT;b) Company Registration N. issued no earlier than three months prior to the date of sending the Application Form; Failure to sign the Application form or to pay the amounts specified under letters a), b) and c) of art. 9 below, shall constitute grounds for MADE eventi Srl to reject the Application. The Application Form must not be subject to any conditions and/or provisos; should these be stated in the Application Form they will be deemed neither valid nor applicable;MADE eventi Srl reserves the right to accept Applications received after the aforementioned deadline at its sole discretion. If an Application is received after the above deadline and accepted by MADE eventi Srl, MADE eventi Srl is not obliged to respect the General Regulations regarding the notification of stand allocation or change of stand allocation, or the delivery deadlines for forwarding related documents and including the Exhibitor in the Offical Catalogue.If on the Application Form, a different party than the Exhibitor is indicated for invoicing purposes, MADE eventi Srl shall require the payment of any amounts due in connection with participation in the Show to that party. In any case, the Exhibitor shall be responsible jointly and severally for all payments due to MADE eventi Srl.

9. ADMISSION FEE AND SECURITY DEPOSITSTogether with their Application forms, Exhibitors are also required, by July 31st 2018, to pay the total registration deposit as per Table 3.1, corresponding to the sum of the following amounts:a) registration fee € 600.00 + VAT as per law;b) fee for trademarks or represented Italian companies, € 500.00/each + VAT as per law;c) registration deposit as indicated in Tables 3.2 and 3.3 under the heading “Instructions and technical notes” on page 2 of the Application Form.Application Forms duly signed and stamped, even if unaccompanied by payment of the above fees and/or incomplete, shall be binding upon the applicant. MADE eventi Srl reserves the right to reject, at its sole discretion, any Application forms that are not accompanied by payment of the registration fee or deposit. If an application is rejected, MADE eventi Srl shall return application and related documents as well as the deposit paid for trademarks, but the registration fee will be withheld by MADE eventi Srl to cover administrative expenses. Approved Exhibitors will be forwarded an invoice for their payments.

10. TERMS OF PAYMENTPayment of the “total registration deposit”, as indicated in Table 3.1 shall be made upon forwarding the Application Form. In any case the Organizer shall apply the fees set forth in section A3 (participation fees per sqm) based on the date of payment of the total security deposit (by cheque or wire transfer), remitted as total registration deposit as defined in art. 7 and 9.Companies registered by July 31st 2018 have to pay the total registration deposit within this date and have to pay the second instalment of the deposit per sqm indicated in Table 3.4 multiplied by the sqm requested within October 31st 2018.The participation fee must be paid in full by the date indicated on the relative invoice and in any case before stand installers enter the Fairgrounds, and/or display products are brought into the venue in the case of standard shell schemes.In the event of non-payment, MADE eventi Srl shall have the right to terminate all agreements with the applicant for default without prior notice or a Court injunction. In this case, besides being free from any commitment and having the right to assign the stand to other applicants, MADE eventi Srl is entitled to compensation in the amount of the full registration fee and participation fee, plus any other sums due as per the agreement, less any amounts already received for in respect of such fees and without prejudice to MADE eventi Srl’s right to claim any incurred losses.Payment of final balance - Exit voucher: just before the closure of the Show, the accounting department of Fiera Milano spa will sum up all invoices issued for additional services and supplies, as well as any other charges.Any objections to the charges must be lodged within 10 days of the end of the Show; after that time, no disputes will be accepted. Invoices relating to participation fees can be seen on each Exhibitor’s page of the E-Service website of Fiera Milano spa.The statement of account can be found on the E-Service platform and the remittance of the amount to be paid by the Exhibitor can be carried out directly from the head office by wire transfer or credit card, accessing the E-Service site at the “Easyservice” digital Totems or producing the statement of account at the bank counters operating on the Exhibition premises. The removal of exhibits as well as fitting-up materials and other items belonging to Exhibitors is conditioned by the production of Exhibitors’ cards and Exit Passes at the gates of the fairgrounds; said cards will authorize the exit provided that Exhibitors have fulfulled all their contractual obligations towards Fiera Milano and/or MADE eventi Srl.Invoices issued by MADE eventi Srl, Fiera Milano spa and TIM spa will be forwarded,alternatively to the traditional delivery bu regular post, only in pdf format by email to the email address indicated at “Administration” field of A6 section on “Contact Data” on page 4; failing the email address, invoices will be sent to the company’s email adress. Forwarding by email replaces in total the delivery by regular post. It is therefore necessary to print out and file the invitation as mandated by the law.

11. ACCEPTANCE OF THE GENERAL REGULATIONSBy forwarding the Application Form duly signed to indicate acceptance, the Exhibitor undertakes to participate in the show in the allocated space even if the space is of a different size or in a different position to that requested.The stand size and type requested on the Application Form shall not be binding upon MADE eventi Srl, which may allocate a stand of different size and type if the request is - at the sole discretion of MADE eventi Srl - incompatible with overall organization requirements or organizational requirements in connection with exhibit spaces to dedicated specific product categories.

Exhibitors shall be entitled to use the stand as specified in the official notification of stand allocation as set out in art. 14 below. Occupation of a specific area or exhibit space by an Exhibitor during earlier editions of the Show does not give the Exhibitor priority in the allocation of the same stand area or type in subsequent editions of the Show. Moreover, the Exhibitor undertakes to fully accept every part of the Official Regulations insofar as, for all legal purposes, they make up the agreement to participate in the Show.

12. ADMITTANCEMADE eventi Srl shall inform applicants that their Application has been accepted by forwarding them notification of stand allocation. Participation in one or more earlier editions of the Show does not automatically grant the right to participate in subsequent editions (see art. 7). Exhibitors who fail to pay all amounts due in full may be denied participation in future events of the Show by MADE eventi Srl. The application may be rejected or cancelled by MADE eventi Srl if, in addition to the cases of non-eligibility set out in art. 8 above:a) the Exhibitor breached the General Regulations during a previous Show and was therefore excluded from it;b) on the grounds of the Exhibitor’s insolvency or bankruptcy;c) the Exhibitor failed to pay all the amounts still due for participating in a previous edition of the show.Moreover, MADE eventi Srl reserves the right to deny admittance to the show if it believes, at its sole discretion, that the applicant does not conform to the requirements set out in art. 6 of the General Regulations.Accordingly, MADE eventi Srl may have its staff visit companies to assess their eligibility; applicants consent to such visits by signing the Application Form.

13. STAND ALLOCATIONStands shall be allocated within the limits of the venue and with the aim of ensuring the success of the Show. MADE eventi Srl has sole discretion over the allocation of stands .Recommendations or special requests made by the Exhibitor shall constitute mere suggestions and are not binding upon the application, will not affect the application and as such shall not be entertained.If the Exhibitor’s production does not correspond to the product category that the Exhibitor has requested to be assigned to, MADE eventi Srl has the right to change its allocation to a more suitable area, according to the rules set forth in this article. If needed, MADE eventi Srl has the right to modify or move or reduce the size of pre-allocated stands, i.e. to assign the stand to a different area without entitling the Exhibitor to reimbursement or compensation of any kind. MADE eventi Srl has the right to do this at any time and even after having notified the stand allocation. In any case, the Exhibitor shall receive written notification at least 15 days before the show commences. MADE eventi Srl has the right to allocate stands even to different areas from the ones used for exhibiting purposes that may not appear on the floor plan.

14. STAND ALLOCATION NOTIFICATIONExhibitors who have forwarded their Application Form by the deadline indicated in art. 8 and 9 of these General Regulations, may download the Stand Allocation Notification from the Exhibitors only section of the www.madeexpo.it website, on or around November 21st 2018 together with the floor plan (scale: 1:100), in addition to the technical and safety regulations covering stand installations.

15. CANCELLATION Companies that forwarded Application Forms by the deadline indicated in art. 8 and 9 of the General Regulations, or if accepted by MADE eventi Srl, after this deadline, and who, due to unavoidable circumstances, cannot participate in the Show may withdraw from the agreement by providing evidence of such circumstances and notifying MADE eventi Srl by registered mail or CEM at least 150 days prior to the Show, without prejudice to MADE eventi Srl’s right to withhold the registration fee and the required registration deposit/sqm per sqm paid in advance and any other right to recover other direct and/or indirect damages sustained.Should a company that has forwarded its Applicaton Form by the July 31st 2018 deadline and paid the total registration deposit notify MADE eventi Srl of its intention to cancel its participation before paying the second installation per sqm for the space requested (see Table 3.4), the company shall still be required to pay the second instalment and MADE eventi Srl shall keep the registration fee and deposit per sqm for the space requested that the company has paid.If the cancellation is notified less than 150 days prior to the Show or not communicated at all, the applicant shall pay, in addition to the registration fee, the entire participation fee (the sum of the registration fee, participation fee per sqm by the requested space and flat fee per sqm for the space requested), as penalty, without prejudice to the MADE eventi Srl’s right to seek compensation for any other direct and/or indirect damages.MADE eventi Srl may withdraw from the contract at its discretion until 15 days prior to the opening of the Show and - for reasons connected with the organization and running of the Show - up to the day of the opening.In this case MADE eventi Srl shall be under no obligation to reimburse the Exhibitor, but must return the registration fee and participation fee if already received.

16. SUBLETTINGThe space allocation notice is valid only for the Exhibitor to whom it is addressed. The Exhibitor shall not assign, sublet or transfer the whole or any part of the space allocated to the Exhibitor. Breaching this rule shall result in the right to immediately close down stands and charge all incurred expenses to the official Exhibitor over than the exclusion of both the sub-lessor and the sub-lessee from future Shows.

17. TECHNICAL AND SAFETY REGULATIONS Exhibitors are required to comply scrupulously with all applicable rules and regulations especially those that safeguard the health and physical integrity of workers, as well as with labour laws and social security and insurance regulations for the entire duration of the Event, including on stand set-up and dismantling days and with respect to all related activities.Exhibitors also undertake to comply with, and ensure that the workers setting up and dismantling their stands and performing any other activity related or associated thereto, also comply with the Technical Regulations laid down by Fiera Milano and all additions thereto, together with the provisions contained in section 88 of Leg. Decree nr. 81/2008, para. 2/bis and the relevant implementation rules issued as a Ministerial Decree on 22/07/2014 by the Ministry of Labour and Social Policies and the Ministry of Health.The Technical Regulations can be consulted on the www.fieramilano.it website by clicking on the link to the Event in the “Exhibitors - Technical Information” section, and also cover trade show safety precautions (fire prevention, electrical installations, environmental protection, etc.), but do not include specific safety regulations concerning activities undertaken by the Exhibitor or contracted out to third parties (stand set-up and dismantling and related activities), for which the Exhibitor is responsible for ensuring compliance.To facilitate compliance with the obligations laid down in the aforementioned Ministerial Decree of 22/07/2014, the documents listed in annexes IV and V thereto can be found on the Fiera Milano SpA and MADE eventi Srl websites.Failure to comply with the aforesaid safety regulations, especially if such failure jeopardises the overall safety of the venue and third parties present on-site, may cause action to be taken by Fiera Milano SpA and/or MADE eventi Srl if detected during random spot-checks, and lead to the immediate disconnection of utilities delivered to the stand or its immediate closure. Any other consequences that may result from non-compliance with the abovementioned rules and regulations are entirely the responsibility of the Exhibitor and its contractors.Fiera Milano SpA may eject employees/hired hands of the contractors working on behalf of the Exhibitor if found to be without the identification card required under articles 18, para. 1/u), 21, para. 1/c) and 26, para. 8 of Leg. Decree nr. 81/08 and non-EU personnel who, despite holding the aforementioned identification card, is without a valid residence permit or valid and legible ID card. The employer and contact person of any workers ejected from the trade show venue will be charged accordingly. The Exhibitor who, in its capacity as principal, has authorised the contractor to carry out work in the trade show venue on its behalf, will be informed of the charges.The Exhibitor is responsible for ensuring that all work carried out and organised itself or on its behalf in respect of stand fixtures and fittings, structures,

equipment, display products and all related activities are compliant with all applicable laws and regulations. The Exhibitor may, at its discretion and sole responsibility, appoint a different “Stand Manager” during each of the aforementioned periods (stand set-up, show time, and stand dismantling).The name(s) and telephone number(s) of the Stand Manager(s) must be communicated to Fiera Milano before stand set-up day and in any case before bringing workers and materials into the Fiera Milano trade show precinct. Should this information fail to be communicated, the Exhibitor’s Legal Representative shall be deemed to hold this function.Fiera Milano SpA and MADE eventi Srl must be advised immediately of any changes to the name of the Stand Manager.Contractors working on behalf of Fiera Milano Spa shall access stands in order to deliver services only in the presence of the Stand Manager and/or with the Stand Manager’s authorisation. No such requirement applies to trade show safety and security personnel.

18. STAND FITTINGExhibitors undertake to display in their stand, for the entire duration of the event, the products manufactured by them and/or the firm they state they are representing, belonging to the Product Category List enclosed as Attachment D to these General Regulations. Exhibits shall not be arranged offensivel y or in breach of the provisions set forth in Leg. Decree nr. 81/08 (Consolidated Law on Safety) and the Min. Decree of 22 July 2014 (Off. Journal nr. 183 of 08/08/2014).All exhibitors are required to submit the plans for the stand they intend to set up to Fiera Milano by no later than January 11th 2019 using the “Mandatory Forms” provided on the E-Service website of Fiera Milano (https://eservice.fieramilano.it) and uploading their plans (in PDF or DWG format) to the “Stand Plan Submission” section of the website.Access to E-Service requires the access codes (password and login) forwarded by Fiera Milano by email following receipt of the Stand Allocation Notification from MADE eventi Srl.Stand plans must not be set to [email protected], however, requests for information concerning the submission of plans may be sent to this email address.Stands may reach a maximum height of 3.50 meters, including any raised platforms, lighting fixtures and relative brackets;Whilst, in compliance with the Technical Regulations of Fiera Milano spa, MADE eventi Srl may allow structures to be built inside stands that derogate from the rules set forth in the “Stand Design Rules and Regulations”, should Exhibitors wish, for whatever reason (relating for instance to design requirements, existing structures, displays of certain products and trademark installations) to request a waiver from the maximum height rule indicated above, and build structures up to a maximum of 6 meters, they shall be required to pay the sum of € 500.00 + VAT as per law for exceeding the maximum permitted height, plus € 800.00 + VAT as per law for applying trademarks, logos and graphics in general above a height of 3.50 meters (in this case, the sum of € 800.00 + VAT as per law also includes the charge for exceeding the maximum permitted height).Exhibitors intending to set up stands exceeding the maximum permitted height may specify this in the Application Form.Exhibitors using standard shell schemes supplied by the MADE eventi Srl Official Fitter are not required to submit their plans.It should be noted that mezzanines may be built only inside stands with an area of at least 90 sqm subject to feasibility analysis and authorization by Fiera Milano spa. Mezzanine areas, excluding access stairs, must not exceed 50% of the total stand area or cover more than 200 sqm regardless of the size of the stand.The construction of mezzanines, when permitted, shall be subject to the “Rules for the assembly of raised platforms in the show areas of the Fiera Milano Fairgrounds - New Exhibition Center”, which will be forwarded in electronic form together with the Technical Regulations of Fiera Milano and the “Stand Design Rules and Regulations”.MADE eventi Srl will approve stand designs only from the formal aesthetic standpoint.Final approval of plans will be granted by Fiera Milano spa, which will check that the space is correctly occupied and that all other aspects of the plans comply with the general safety provisions contained in the Technical Regulations. Exhibitors shall comply with all the obligations in respect of the provisions of Leg. Decree nr. 81/08 (Consolidated Law on Safety) governing stand design and construction and all other related activities performed directly or through contractors in the trade fair premises.Once the design has been approved and the participation fee has been paid in full, Exhibitors will be entitled to bring goods and materials into the hall where the stand assigned to them is located, subject to the provisions of the first paragraph of the present article, and begin setting up their stand within the specified times and according to the permitted procedures.No fixtures, structures or other items that impede access to exhibit space are permitted. In setting up their stands, Exhibitors must respect the dimensions and position indicated in the floor plan forwarded together with the stand allocation notification.Positions can also be identified via floor marking applied by Fiera Milano spa using adhesive tape and a removable sticker with the letter and number of each stand. Should Exhibitors fail to comply with instructions, and their failure to remain within the allotted area contravene the safety regulations or cause damage to third parties or the exhibition itself, MADE eventi Srl and/or Fiera Milano spa reserve the right to intervene to remedy the situation. Should this not be possible, MADE eventi Srl may apply the penalties indicated under Art. 34 of these General Regulations.Stands must be completed by 6 pm on 12th March 2019. After this deadline MADE eventi Srl reserves the right to use the unoccupied spaces for other purposes, assuming that the exhibitor does not intend to participate in the event and apply the financial conditions set out in article 16 of the General Regulations; the exhibitor will be charged for all additional expenses sustained by MADE eventi Srl to close the stand and/or reuse it. Stand set-up and dismantling times are communicated by Fiera Milano spa with a special circular that can be accessed at www.fieramilano.it - calendar - exhibitor technical information, or the “vehicle pre-accreditation” section of the Fiera Milano spa E-Service website.

19.PRESENTATION OF PRE-FABRICATED STRUCTURES, CRANES, SCAFFOLDINGS, ETC. AND RULES FOR DISPLAYING WORKING MACHINERYTo display pre-fabricated structures, tower cranes, self-elevating cranes and the like, or scaffolding of any kind, Exhibitors shall ensure the complete and meticulous application of all safety rules, legal provisions and the code of practice, and undertake to comply with all instructions issued by Fiera Milano spa and MADE eventi Srl while on site, as summarized in the “Stand Design Rules and Regulations” section forwarded as an electronic document. The installation and operation of the above mentioned machines and equipment are subject to the written approval by Fiera Milano spa and MADE eventi Srl.

20. STAND SET-UP AND DISMANTLINGWhen Exhibitors take possession of their stand to prepare it and arrange exhibits, they should advise CUSTOMER SERVICE (Exhibitors Assistance) of any defects or problems detected.At the end of the Show the stand must be handed back in its original condition, advising CUSTOMER SERVICE (Exhibitors Assistance) of any damage caused by the Exhibitor. Any such damage shall be charged to the Exhibitor at the price set by Fiera Milano spa.No stands shall be dismantled prior to the end of the Show or after the deadline stated in the set-up and dismantling circular. Exhibitors must remove all products and installations and, once they have collected their exit voucher issued by Fiera Milano spa, leave the Fairgrounds.MADE eventi Srl and Fiera Milano spa declines all responsibility for any merchandise, materials, or any other property that Exhibitors may leave unguarded in the venue. Should the stand dismantling operations not be completed by the time indicated in the set-up and dismantling circular forwarded by Fiera Milano, all materials and structures will be removed from the stand (such as wreckage, waste, carpeting, etc.) and treated as waste to be transported to dump sites; all direct and indirect costs incurred as a result of late dismantling operations will be charged to the Exhibitor, in addition to a fine of € 500.00 and any other amounts to be refunded for further damage. In the case of pre-fabricated stands proposed by MADE eventi Srl, all products and materials shall be removed from stands at the times specified by the stand supplier.

21. GENERAL SURVEILLANCE AND FIRE PRECAUTIONSThe overall surveillance of the exhibition halls shall be provided by Fiera Milano spa which shall also adopt fire prevention measures. The Technical Regulations contain the instructions that Exhibitors must follow to avoid the risk of fire.

Exhibitors are responsible for any direct or indirect damage caused by themselves or their staff to Fiera Milano spa and MADE eventi Srl (including damage caused by fixtures and furnishings installed by the Exhibitors or their contractors). Surveillance and custody responsibility for exhibiting areas and exhibits is at exclusive charge of the related Exhibiting companies for the entire opening time during the show and setting up and dismantling periods.

22. ADVERTISING MATERIAL/CATALOGUEMADE eventi Srl promotes the Show by means of various advertising materials, before, during and after the Show.The details of each Exhibitor appearing in the catalogue are those indicated in section A5 of the Application Form.Late applications to exhibit at MADE expo, even if accepted, may result in the Exhibitor not being included in the Official Catalogue.No liability will be accepted for omissions, inaccuracies and/or false descriptions and misprints in relation to the information concerning the Exhibitor contained in the general catalogue, product indexes and the online catalogue on the Show website.The Show catalogue can be collected from the Show Secretariat offices at the Fiera Milano fairgrounds as of March 13th 2019.

23. OPTIONAL SERVICES Optional services (catering, internet connections, hanging structures, technical services, spot light rental, waste disposal, etc.) may be requested on-line by Exhibitors to Fiera Milano spa E-Service shop (http://eservice.fieramilano.it) or using the Easyservice digital Totems (located in dedicated areas inside the fairgrounds).In both cases Exhibitors shall use the E-service access codes or their own QR code received by Fiera Milano spa to enter the E-Service shop.Exhibitors may use the Easyservice Totems also:• For registering their workers and vehicles to obtain entrance passes for setting up and dismantling periods;• For checking and printing invoices, balance sheets and Exit Passes;• For settling the show participation balance or any invoice for the requested services by using credit cards or Mybank electronic bank transfer.

24. CATERING AND PROVISION OF FOOD AND/OR DRINKS INSIDE THE STANDAll exhibitors who wish to arrange a refreshment point offering and/or preparing food and beverages, must submit to the designated authorities a Certified Business Modification Report Form (SCIA), to the pertinent bodies as per D.L. 78/31/5/2010, Regional norm no. 160 of 2/2/2010. Exhibitors shall, via a written communication, accredit their catering company with Fiera Milano. Catering service passes shall be issued at a cost of € 500.00 + VAT as per law per entry. Should an outside catering company be entrusted with the catering service , the Exhibitor shall be responsible for obtaining the authorizations/certifications required by law by the catering company to provide its services. 25. DECLARATION OF VALUE - INSURANCE - LIABILITY AND LIMITATIONS OF LIABILITYDeclaration of value It is compulsory for Exhibitors to declare the “effective value” of goods, machinery, equipment, stand fixtures and furnishings which it intends to bring and/or use at the Fiera Milano Fairgrounds, also on behalf of represented brands, using the specific mandatory INS Form on the E-Service website; failure to notify the said value will be interpreted as acceptance of the minimum amounts as stated herein.In the case of claims, should the value declared by the Exhibitor fail to correspond to the declared value of the insured objects, the insured value shall be that declared by the Exhibitor. This shall in any case by subject to the provisions of article 1907 of the Italian Civil Code, for the purposes of the possible application of the “proportional criteria” to claims for damages. Fiera Milano spa retains the right to examine declarations.All risks insurance - Exhibitor’s Property policy (excluding risk of terrorism and sabotage) 1. Goods, materials, equipment, and stand fixtures and furnishings brought into and/or used at the Fiera Milano Fairground by the Exhibitor are required by MADE eventi Srl and Fiera Milano spa to be covered by an All risks insurance policy including waiver on all claims against third parties, including Fondazione Fiera Milano, Fiera Milano spa, partner companies, MADE eventi Srl and third parties in any way connected to the organization of the Show.Fiera Milano spa will provide € 25,000.00 property insurance for the price of € 100.00 + VAT as per law if due, and the amount will be added to the invoice for the balance of the participation fee.Exhibitors may increase the automatic coverage only by completing the relative insurance form that can be downloaded from the “Mandatory Forms” section of the E-Service website. Coverage includes a 10% excess against each claim in the event of theft, with a minimum of € 250.00, which will be doubled after the closure of the Show.2. Exhibitors who take out their own All risks insurance on goods, machines, equipment and installations brought into and/or used in the Fiera Milano fairgrounds, , applicable to trade fairs and exhibitions, with a clause waiving claims of compensation from third parties, including Fondazione Fiera Milano, Fiera Milano spa, and partner companies of Fondazione Fiera Milano and Fiera Milano spa, MADE eventi Srl and all third parties in any way in organizing the Show, must in any case sign and submit the relevant form, also enclosing declarations signed by the Exhibitor’s Legal Representative and by a Legal Representative of the insurance company confirming that the aforementioned assets are covered by All risks policy for a minimum amount that is no less than that provided for herein (as specified in the facsimile included in the insurance form).In this case, the amount previously charged will be reimbursed. Third party liability insurance Fiera Milano will automatically provide all Exhibitors with said insurance, free of charge, by including them automatically in its own general policy, which envisages a cap of no less than €100 million. Liability and limitations of LiabilityFiera Milano spa and MADE eventi Srl decline any liability arising from consequential damages, image damages, lost revenue and so forth. Also, in case of direct damage to stand materials and products (total or partial damage), theft, fire, the Exhibitor accepts that Fiera Milano spa and MADE eventi Srl are only held liable for the declared value of the Exhibitor’s goods that are inside the Exhibition Centre. To this purpose, only the declaration of the goods’ value as per the previous paragraph can be attested; the Exhibitor therefore accepts such limitation of liability.

26. PHOTO - VIDEO POLICYSubject to the terms specified in the last paragraph of this article, photography and videography by Exhibitors and visitors shall not be permitted inside the exhibition halls, unless specifically authorized in writing by MADE eventi Srl. Exhibitors wishing to use their own photographer may ask MADE eventi Srl for permission to take photographs or record videos, but only inside their own stand.Should MADE eventi Srl deem it to be useful for the purposes of the Show’s organization to take photographs and video recordings (general or detailed) of the venue, halls, stands and exhibits, and Exhibitors shall have no claim to compensation.

27. ADVERTISING AND COMPETITIONSAdvertising material regarding exhibits is allowed only inside the Exhibitor’s own stand. Posters are allowed only inside the Exhibitor’s own stand. Unless duly authorized by and against payment to MADE eventi Srl, the following activities are also prohibited:- walking billboards, distribution of leaflets, advertising material, etc, inside the Show venue or in the squares outside the entrance to the Fairground area; - distribution of objects containing advertising messages;- advertisement of shows, events, competitions and awards organized by companies, official bodies, organizations, newspapers, weekly magazines or trade magazines inside stands.The display of advertising posters inside the stand or invitations to visit displays outside the venue or other Exhibitions is strictly forbidden. The title of the Show cannot be used in product advertisements, promotional initiatives or events at venues other than the Fairgrounds unless expressly authorized by MADE eventi Srl.In case of infringement of these rules, MADE eventi Srl reserves the right to enforce art. 33 of these General Regulations.

In addition to the foregoing measures, if advertising materials or gadgets are found to be distributed inside the Show venue or in the squares outside the entrance to the Fairground, the Exhibitor will be invited to immediately cease such activities. In the event of non-compliance, a fine of € 5,000.00 + VAT as per law will be imposed for every day of such unauthorized activity. Advertising other than inside the Exhibitor’s own stand, may be allowed as permitted and exclusively managed by Fiera Milano spa or its partner companies, in accordance with MADE eventi Srl.

28. SOUND BROADCASTING - SIAE (Italian royalties collection society)Sound broadcasting, amplification and advertising messages are prohibited. Audio-visual devices may be used provided that they do not cause disturbance to nearby stands or to the Show.Entertainment and performances may be staged in stands and common areas of the venue only after 5.00 pm on show days. The distribution of audiovisual and multimedia material containing works or part of works protected under Law nr.633 of 22.4.1941 shall be allowed subject to the prior payment of all copyright fees and the application of copyright stamps on all media in compliance with art. 181/bis of the aforesaid law.Illegal use of intellectual property or failure to affix the SIAE stamp on the aforesaid media is punishable by law as per articles 171 and foll. of Law 633/41.

29. PROHIBITION OF PRODUCT SALESRetail sales are absolutely prohibited during the course of the Show, as are sales with immediate delivery of exhibited products (Reg. Law nr.1 of 5/1/2000 - ex Reg. Law nr. 45/80, 2/V).Displaying product prices is also prohibited. In case of breaches, MADE eventi Srl reserves the right to immediately close down the stand and exclude the exhibitor from future Shows.

30. FORCE MAJEUREThe date of the Show may be changed and the Show may be completely or partly cancelled due to force majeure or any other causes beyond the control of MADE eventi Srl. In this event, MADE eventi Srl cannot be held liable by Exhibitors, whereas it may use amounts paid by Exhibitors to meet its obligations to third parties and to cover, in full or in part, any organizational costs incurred, with no obligation to reimburse such amounts to Exhibitors.Similarly, MADE eventi Srl declines all responsibility for the adoption of workplace and product safety measures as set forth in Legislative Decree 81/2008 (Safety Consolidation Act), which lies with Exhibitors and/or any subject appointed by them.Expenses relating to special equipment and/or installations provided at the specific request of Exhibitors shall be reimbursed in full. Fiera Milano spa and MADE eventi Srl shall not be liable for any loss or damage.

31. AMENDMENTS TO GENERAL REGULATIONS MADE eventi Srl reserves the right to amend, cancel or waive any of the rules and provisions included in the General Regulations as it shall consider necessary for the proper conduct of the Show and the delivery of its services. Amendments, cancellations and waivers shall be of identical binding force to these General Regulations and shall be duly communicated to Exhibitors.

32. ITALIAN LEGISLATIVE DECREE NR. 196/2003: PRIVACY LAWPursuant to article 13 of Legislative Decree 196/2003 over than art from 12 to 23 of Privacy Regulation UE 2016/679, data provided by Exhibitors in Application Forms and annexes shall be processed manually and/or electronically using suitable data security and protection measures for the following purposes only: 1) legal obligations related to civil law, administrative, fiscal, accounting and invoicing regulations;2) statistics (anonymous), promotions, market research, economic and statistical analysis (anonymous), commercial information, marketing and references, mailing of advertising material.Data may be disclosed to MADE eventi Srl subsidiaries, Fiera Milano Media spa and the publisher of the Show catalogue for organization-related purposes only. Exhibtors are required to supply data for the purposes indicated in points 1) and 2) above to fulfil the contract to deliver the services referred to in these General Regulations. The data will be handled for the duration of the relevant contractual relationships and subsequently also for the fulfillment of legal obligations.The Data Owner is MADE eventi Srl, Foro Buonaparte 65 Milan - Italy.The Exhibitor has the right to exercise, at any time, the rights pursuant to art. 7 of the Legislative Decree 196/2003 as well as the rights pursuant to art. 15 to 21 of the Privacy Regulations UE 2016/679 (to get confirmation in an intelligible and free way of the existence or non-existence of the supplied data and the purposes of data processing; to obtain an update, rectification or integration of the supplied data or their block/annulation for infringement of the law or ceased conservation needs; to withdraw at any time the authorization to process data for the afore-mentioned purposes by sending a clear communication on this subject to MADE eventi srl; to obtain the annulation (“right to be forgotten”) of the supplied data; to exercise the right of data portability in order to obtain the direct transmission of personal data from a data processor to another, if technically possible, with the prior consent of the data subject; to object to the processing for legitimate reasons or the processing linked to advertorial material, market researches, commercial advertising forwarding (“right to treatment limitation”). Such rights can be excercised by forwarding a registered letter, fax or email to MADE eventi srl.

33. SANCTIONSIf Exhibitors fail to comply with the provisions laid down in these General Regulations, MADE eventi Srl shall have sole discretion over the seriousness of the circumstances, and may apply the following sanctions:a) order the immediate removal of unauthorized products or remove them itself unless the Exhibitor complies immediately, and apply any additional sanctions;b) order utilities to be immediately disconnected, or the immediate closure of the stand unless the Exhibitor complies immediately, and apply any additional sanctions;c) order the Exhibitor to be banned from future editions of the Show.Exhibitors shall under no circumstances be entitled to claim refunds or damages of any nature and are obliged to pay MADE eventi Srl the full amount of participation fees envisaged by art. 7 of these General Regulations.MADE eventi Srl may in any case claim full compensation for any damages, including consequential loss and loss of earnings.

34. RIGHT OF RETENTIONMADE eventi Srl has the right to retain exhibited materials in the event that Exhibitors should fail to meet their contractual obligations. Exhibitors shall pay all additional charges arising from this.MADE eventi Srl shall not be liable for any damage to exhibited materials that may arise during the exercise of such right.

35. COMPLAINTSAll complaints shall be submitted by the Exhibitor to MADE eventi Srl in writing.

36. COURT OF JURISDICTION AND APPLICABLE LAWAny disputes related or connected to the Application, General Regulations or Annexes that may arise between MADE eventi Srl and the Exhibitor shall be subject to the sole jurisdiction of the Court of Milan. The applicable law is Italian law.

37. CONTACTS“Fiera Milano spa” refers to Fiera Milano S.p.A., Strada Statale del Sempione, 28 - 20017 Rho, Milan - Italy, Registered Office: Piazzale Carlo Magno, 1 - 20149 Milan - Italy.“Organizer” refers to MADE eventi Srl.Registered Office: Foro Buonaparte 65 - 20121 Milan - Italy.Bologna Show Office: Via Antonio Zanolini 15/2 - 40126 Bologna - Italy;Milan Show Office: Foro Buonaparte 65 - 20121 Milan - Italy.“Exhibitor”, “exhibiting company”, “applicant”, “applying company” refer to the party specified in section A1 of the Application Form.

38. FINAL PROVISIONSThese General Regulations shall be considered as an integral, essential and inseparable part of the entire Application, together with: “Instructions and Technical Notes” on page 2, Form A on pages 3 and 4, Form D (attached) and Forms B, C, E if applicable.
