J) "The Site," where applicable, means the place of delivery of Supply of Two Wheeler With

3. Interpretation.

Ifthe context so requires it, singular means plural and vice versa.A. Entire Agreeme{t: The Contract constitutes the entire agreement between the purchaser and

the selected bidder and supersedes all communications, negotiations and agreemenas(whether wdtten or oral) ofparties with respect thereto made prior to the date ofcontract.

B. Amendment No amendment or other variation of the Contract shall be valid unless it is inwritting dated, expressly refers to tho Contract, and is signed by a duly authorizedrepresentative of each paty thereto.

C. Non-waiver: Subject to the conditions (f) below, no rcla\ation, forbearance, delay, orindulgence by either party in enforcing any ofthe terms and conditions of the Contract or thegranting of time by either party to the other shall prejudice, affect, or restrict the rights ofthatpafty under the Contract, neither shall any waiver by eithff party of any breach of Contractoperate as waiver of any subsequent or continuing breach of ContmcL

D. Any waiver of a party's ghts, powe$, or rem€dies under the Contfact must be in writing,dated, and signed by an authorized representative ofthe party granting such waiver, and mustspecify the right and the extent to which it is being waived.

E. Severability: Ifany provision or condition ofthe Contract is prohibited or rendered invalid orunenforceable, such prohibition, invalidity or unenforceability shall not affect the validity orenforceability of any other provisions and conditions ofthe Conhact.

4. Language.

A.The Contract as well as all coffespondence and documents r€lating to the Conhact exchangedby fte successfuy selected bidder and the Purchaser, shall be written in Hindi & Englishlanguage only. Supporting documents and printed literature that are part ofthe Contract maybe in another language provided they are accompanied by an accurate translation of the

' relevant passages in the language specified in the Specially conditions of the contract, inwhich case, for purposes of interyrctation ofthe Contmot, this tanslation shall govem.

B. The successfuy seleoted bidder shall bear all costs of translation to the goveming languageand all sks ofthe accuracy of such hanslation.\

A. Supply of T\ro Wheeler With Rehofitnent For Specially Abled Person (Motorised, BS IV

Standard) being bid should be the ones which are produced in volume and are used by a largenlrmber of users in India. Supply of Two Wheeler with retrofitment For Specially Abled

Person (Motorized, BS IV Standard) quoted by the successfuv selected bidder must beassociated with 'specific make and model numbers, item code and names and with printed

literature describing configumtion and functionality. Any deviation from the pdnted

specifications should be clearly mentiored in the offer docutnent by the bidder/ supplier.

B. The OEM of the quoted product must have its own registered spares depot in India havingadequate inventory of the equipment being quoted for providing the necessary spares withinmaximum 7days.

6. Nolices:

A. Any notice given by one party to the other pursuant to the contmct shall be in writins to thead&ess specified in the contract. The telm ',iD writing" means communicated in witten formwith proof of dispatch and receipt.

B. A Notice shall be effootive when delivered or on the Notice's effective date. whichever islater.

7. Governing Lawl The Contract shall be govemed by and interpreted in accoralance with the lawsofthe Rajasthan State/ the Country [ndia), Lrnless otherwise specified in the R.F.p.

8. Scope ofSupply:

A. Subject to the provisions in the bidding document and contmct, the Supply ofTwo WheelerWith Retrofitment For Specially Abled person (Motorised, BS IV Sta ard) to be supplied(30 days) shall be as specified in the bidding document.

B. Unless otherwise stipulated in the Contract, the scope of supply shall include all such itemsnot specifically mentioned i the Contract but that oan be reasonably infened from th€Contract as being required for attaining delivery and completion of the Supply of TwoWheeler With Rehofitment lor Specially Abled person (Motorised, BS IV Standard) andrelated services as if such items were expressly mentioned in the Contmct in the R.F.p.

C. The bidder shall not quote and supply any items that is likely to be declared as End of Salefor tr/enty four months and End of Service/ Support for Twenty Four months from the date ofSigning of agreement.' If any of the items is found to be declared as End of Sale/ Service/Suppoft in the period mention€d above, then the bidder shall replace all such items with thelatest ones having equivale[t or higher specifications without any financial obligation to thepurchaser.

9. DeliYer"v,

Subject to the conditions of the contract, the delivery of the Supply of Two Wheeler WithRetrofltm€nt For Specially Abled PersoD (Motorised, BS lV Standard) and complerior oftherelated services shall be in accordanc€ with the delivery and compl€tion schedule specifred in

the bidding dooument. The details of supply to be furnished by the successfuy selected bidderare specified in tJre R.F.P.

A. The conhact for the supply can be repudiated at any time by the purchase ofiicer, if thesupplies axe not made to his satisfaction after giving an Opportunity Reply to the bidder ofbeing heard and recording the reasons for repudiation.

B. The selected bidder shall arrange to supply the ordered Supply of Two Wheeler WithRetrofifinent For Specially Abled Person (Motorised, BS IV Standard) as per specificationswithin the specified delivery/ completion period at various oflices/ locations mentioned in

the R.F .P.

C. Shifting the place of delivery destination: Director, Specially Abled Person, Rajasdran,

Jaipur shall be free to shift the place of delivery within the same district. The successful/

selected bidder shall provide all assistance including transportation in shifting of the

delivered Items.

10. Select€d bidder Respotrsibilities: The Selected bidder shall Supply of Two Mleeler With

12. Recoveries from Selected bidder:A. Recovery of liquidated damages, short supplt breakage, rejected articles shall be made

ordinarily from bills.B. The Purchase Officer shall withhold amount to the extent of shoft suppl, broken/ damaged

or for rejectgd articles unless these are replaced satisfactorily. In case oi failure to witlrholdthe amount, it shall be recovered from his dues and performance secudty deposit availablewith Director, Specially Abled person, Rajasthan, Jaipur.

C. The balance, if any, shall be demanded from th€ Selected bidder and when recovery rs notpossible, the Purchase Officer shall take recourse to law in force.

13- Taxes & Duties:

A. The income tax & G.S.T. etc., ifapplicable, shall be deducted at source fiolr the pavmenr rothe , Selected bidder as per the law in force at the time ofexecution ofcontract.

B. For Supply of Two Wheeler With Rehofihnent for Speoially Abled person (Motorised, BSIV Standard) supplied from outside India, the successfuV selected bidder shall be entirelyresponsible for all ta\es, stamp duties, license fees, and other such levies imposed outside thecotmtry.

C. For Supply of Two Wheeler With Retofitnent for Specially Abled person (Motorised, BSry Standard) supplied from within India, the successful/ selecred bidder shall be entirelyresponsible for all tares, duties, license fees, etc., incurred until delivery ofthe contractedSupply of Two Wleeler With Rehofitment For Specially Abled person (Motorised, BS IVStaDdard) to the Purchaser.

D. Revision ofaDy other t&.< or duty shall be on account ofthe bidder.E. If any tax exemptions, reductions, allowances or privileges may be available to tho

successful/ selected bidder in Indi4 the Purchaser shall use its best efforts to enable thesuccessfuy selected bidder to benefit {iom any sucb t&x savings to the maximum allowableextent.

14. Performatrce Securitv Deposit (PSDI:

A. In case of suocessfuy selected bidde{s), the EMD will be adjusted in ariving at the amountofthe PSD.

B. The successful/ selected bidder shall, within fifteen (15) days issue date of the letter ofacceptance provide a PSD 5% of the total agreed/ ordered project value for the dueperformance ofthe Contract in the amounts and curencies specified in the work order.

C. The proceeds of the PSD shall be payable to the Purchaser as compensation for any lossresulting from ihe suocesstrl selected bidder failue to oomplete its obligations under theColtract.

D. Form of PSD: Successful bidder will have to deposit PSD in the form of Bant Guarantee(Unconditional & Irevocable) in favour of Director, Specially Abled Pe$on, Rajasthan,Jaipur Payable at " Jaipur".

E. Refund ofPSD: PSD shall be refirnded after one (01) rnonth ofthe successtiil completion of

the contmct period i.e. one (01) month after expiry of "Wara ry Services" of all the Supply

F. Fofeiture ofPSD: PSD shall be forfeited in the following cases:

A. The Purchaser and the Seleoted bidder shatl keep confidential and shall not, without thewriften consent ofthe other party hereto, directly to any thid patry any drawings, documerts,data, or oth€r information flrmished directly or indirectly by the other party horeto inconnection with the Contract, whether such info.mation has been furdshed pdor to, during orfollowing completion or termination ofthe Contmct.

B. Th€ Puchaser shall not use such documents, data, and other infomation .eceived fiom theSelected bidder for any purposes uffelated to the Contact. Similarly, the Selected biddershall not use suoh documents, dat4 and other information received from the Purchaser forany purpose other than the design, procurcment, or other work and services tequired for theperformance of the Cofltracl

C. The obligation of a party under sub-clauses above, however, shall not apply to infomationthat:

The Supply ofTwo Wheeler With Retrofitment for Speciaily Abled peNon (Motorised, BSIV Standard) and related sewices supplied under this CoDhact shall confom to the standardsmentioned in bidding document and, when no applicable standard is mentioned, the standardshall bo equivalent or superior to the offrcial standards whose application is appropriate tothe oountry of origin ofthe Supply of Two Wheeler With Retrofitment for Specially AbledPerson (Motorised, BS IV Standard).Wherever references are made in the Contact to codas and standards in accordance withwhich it shall be executed, the edition or ihe revised version of such codes and standardsshall be those specified in the bidding document- During Contract execution, any changcs lnany such codes and standards shall be applied only after approval by the Purchaser and shallbe treated in accordance with ihe general conditions ofthe contracL

The Selected bidder shall provide such hansportation of the Supply of Two Wheeler WithRetrofitment For Specially Abled Person (Motorised, BS IV Standad) as is required toprevent their damage or deteriomtion during transit to their final destination, as indicatod inthe Contract. Du ng transit, the tmnsportation shall be sufiicient to withstand, withoutlimitation, rough handling and exposure to extreme t€mperatures, salt and precipitation, andope1r storage. Transportation case size and weights shall take into consideration, where

appropriate, the remoteness of the final destination of the Supply of Two Wheeler WithRetrofltment For Specially Abled Person (Motorised, BS IV Standard) and the absence ofheary handling facilities at all points in transit.

The transpodation, marking, and documentation within and outside the packages shall

comply strictly with such Specially r€quirements as shall be expressly provided for in the

contract, including additional requirements, if any, specified in the contract, and in any

other instructions ordered by the Purchaser.

The Bidder shall be responsible for any defect in tmnsportation and ensure the following:

I. The fumished Supply of Two Wheeler With Retrofitment For Specially Abled Person

(Motorised, BS Mtandard) should be Bubble, Wrapped and then packed iD the cardboad

boxes of standard qualif as followed by industry.

II. The abov€ Supply of Two Wheeler With Retrofitment For Specially Abled Person

(Motorised, BS IV Standard) shall be packed in cartons as per requirements ofdistribution

to individual District Officer's (DLO-Sjed) office. The concamed list of DLO, contact

address, telephone number etc. along with the individual supply quantity to each distriot

looation shall be provided by Directo., Specially Abled Person, Rajasthan, Jaipur to the

selected bidder. Each cafion shall be inscribed with the name of the District / concen€d

IV Standard) supplied under the Contract shall be fully insured against loss by theft,

destruction or damage incidental to manufacture or acquisition, transportation, storage, fire,

flood, under exposure to weather and delivery at the designates project locations, in

accordance with the applicable terms. The hsurance charges will be borne by the supplier

and Purchaser will llot be required to pay such charges if incurred.

B. The Supply ofTwo Wheeler With Retrofitment For Specially Abled Person (Motorised, BS

IV Standard) will be delivered at the FOR destinatior (Each DLO sjed office) in perfect

21, TransDortation:A. The , selected bidder shall be responsible for the proper transpoftation so as to avoial damage

under normal conditions oftransport by sea, rail and road or air and deliverv ofthe malerialin the good condition to the consignee at destination. In the event of any loss, damage,breakage or leakage or any shoftage the bidder shall be liable to make good such loss andshortage found at the checking/ inspection ofthe material by the consignee. No e&m cosl onsuch account shall be admissible.

B. All Supply ofTwo Wheeler With Retrofitment For Specially Abled person (Motorised, BS IVStandard) must be sent fieight paid through Railways or By Road.

22.Inspection:The Purohase Officer or his duly authoriz€d representative shall at all reasonable time

have access to the selected bidder premises and shall have the power at all reasonable time toinspect and examine dre materials and workmanship of the Supply of Two Wheeler WithRetroflihnent lor Specially Abled Person (Motorised, BS IV Standardy equipment/machineries during manufacturing process or afterwards as may be decided.

23. Inspection/Iedtins charses:

A. Inspection / Testing charges for engaging I1drd Party Agency (TPAyTechnical Member ofDPC shall be bome by Director, Specially Abled Pemon, Rajasthan, Jaipur.

24, Reiection:

A. Anicles not approved during inspection or testing shall be rcjected and will have to bereplaced by the selected bidder at his own cost within the time fixed by the Purchase Officer.

B. I{ however, due to exigencies ofDepartrnent of SAP worlq such replacement either in wholeor in paxt, is rot aonsidered feasible, the Purchase Officer after giving an Opportunity to the

selectgd bidder of being heard shall for reasons to be !€cord€d, deduot a suitable amount fromthe approved rates. Th€ deduction so made shall be final.

C. The rejected articles shall be removed by the selected bidder within 15 days of intimation ofrejection, after which Purchase Officer shall not be responsible for any loss, shortage ordamage and shall have the right to dispose of such articles as he thinks fit, at the suppliels/bidder/ selected bidder risk and on his account.

C. Delivery and completion pe od may be extended with or without liquidated damages, ifthe

With Retrofitment For Specially Abled person (Motorjsed, BS IVStandmd) and service and the pedod of delay occuned due to that and recommend thecompetent authority on the period of extension which should be granted with or withoutliquidated damages.

lII. Normally, extension in delivery period of Supply of Two Wheeler With Retrofitment ForSpeciauy Abled Person (Motodsed, BS IV Standard) and seryice in followingcircumstances may be considered without liquidated damages:

Such indemnityshall not cover any use of the Supply of Two Wheeler With Retrofitment For SpeciallyAbled Person (Motorised, BS IV Standard) or any patt thereof other than for the puposeindicated by or to be reasonably inferred from the Contmct, neither any inliingementresulting from the use of the Supply of Two Wheeler With Retrofitment For SpeciallyAbled PersoD (Motorised, BS ry Standard) or any part th€reof, or any products producedthereby in association o. combiDation with any other equipment, plant, or materials notsupplied by the selected bidde{s), pu$uant fo the Contract.

B. If any proceedings are brought or any claim is made against the purchaser arising out ofthematters refeffed to above, the purchaser shall promptly give the, selected bidder a noficethereot and the selected bidder 1l1ay at its own expense and in the puchase/s name conductsuch proceedings or claim and any negotiations for the settlement of any such proceedings or

B. the aggregate liability ofthe selected bidder to the purchaser, whether under the Contraot, intort, or otherwise, shall not exceed the amount specified in the Contracl provided that thislimitation shall not apply to the cost ofrepairing or replacing defective equipment, or ro anyobligation of the selected bidder to indemnify the purchaser with respect to patentinfr ingement.

29. Change in Laws & Reeulations:A. Unless otherwise specified in the Contract, if after the date ofthe Invitation for Bids, any law,

regulation, ordinance, order or bylaw having the force of law is enacted, promulgated,abrogated, or changed in Rajasthan/ I dia, where the Site is located (which shall be deemedto include any change in interpretation or application by the conlpetent authorities) thatsubsequently affects the Delivery Date and/ or the Contract price shall not be change.Notwithstate level the forgoing such additional or reduced cost shall not be separately paid orcredited to the bidder but if reduce the rate of tL\es than benefit of reduce cost must oreditedto fte purchasgr account.

30. F'orce Majeure:A. The sel€cted biddef shallnot be liable for fod'eiture of its pSD, LD. or terminalion for default

if and to the extent that it's delay in pedormance or other failure to perform its obligationsunder the Contract is the result of an event of Force Majeure.

B. For purposes ofthis Claus€, "Force Majeure" means an event or situation beyond the controlof the select€d bidder that is not foreseeable, is unavoidable, and its origin is not du€ tonegligence or lack of care on the part ofthe selected bidder(s). Such events may includg butnot be limited to, acts of the Purchaser in its sovereign capacity, wars or revolutions, fircs,floods, opidemics, quarantine restdctions, and freight embargoes.

C. If a Force Majeure situation arises, the , selected bidder shall Fomptly notit, the Director,Specially Abled Person, Rajasthan, Jaipur in wdting of such conditions and cause thereofwithin 1 5 days of occrmence of such event. Unless otherwise directed by Director, SpeciallyAbled Person, Rajasthan, Jaipur, the selected bidder shall continue to perform its obligationsunder flre contract as far as reasonably practical.

D.lf the porfomance in whole or part or any obligation under the contract is prevent€d ordelayed by any reason of Force Majeure may terminate the contract without any financialrepercussion or either side.

E. In case a Force Majeure situation occurs with the Director, Specially Abled Person,Rajasthan, Jaipur may take the case with the selected bidder on similar lines.

31. Change Orders and Contract Amendments:A. The Purchaser may at any time order the sel€cted bidder through Notice in accordance with

clause "Notices" above, to make changes within the geneml scope ofthe Conhact in any one

or moro ofthe following: -

Termination for Insolvency: Director, Specially Abl€d person, Rajasthan, Jaipur may at anytime terminate the Contract by giving a witten notice of atleast 30 days to the , select€dbidde(s), if the, selected bidder become ba krupt or otherwise insolvent. ln such event,termination will be without compensation to the , selected bidder(s), provided that suchtermination will not prejudice or affect any right ofaction or remedy that has accrued or willaccrue thereafter to Directof, Specially Abled Person, Rajasthan, Jaipur.

C. Terminalion for Convenience:

L Director, Specially Abled Person, Rajasthan, Jaipur, by a witten notice of atleast 30 dayssent to the , selected bidder(s), may terminate the Contract, in whole or in part, at any timefor its convenience. For the remaining Supply of Two WheelerWith Refofitment For Specially Abled Person (Motoised, BS IV Standard), the Purchasermay elect:

A. To have any portion completed and delivered at the Contract terms and prices; and/or

B. To caDcel the remainder and pay to the , selected bidder an agreed amount for patially

completed Supply of Two Wheeler With Retrofitment For Specially Abled Person(Motorised, BS IV Standard) and Related Senices and for materials ard pafis previously

procured by the selected bidder.

33.Settlement of DisputesA. ceneral: If any dispute arises betlveen the , selected bidder and Director, Specially Abled

Person, Rajasthan, Jaipur during the execution of a contract that should be amicably settled

by mutual discussions. However, ifthe dispute is not settled by mutual discussions, a written

representation will be obtained from the , selected bidder on the points of dispute. The

rcpresentatioll so received shall be examined by the concerned Procurement Committee

which sanctioned the tender. The Procurement Committee may take legal advice ofa counsel

and then examine the representation. The, selected biddef will also be given an Opportunity

34, Pavment Teims and Schedule:A. Payment schedule The payment shall be made by the Director, Specially Abled person, Rajasthan,

Jaipur after the complete supply of Supply ofTwo Wheeler With Rehofitment For Specially AbledPerson (Motoris€d, BS IV Standard) as per terms atld conditions ofRFp.

B. The selected bidder request for palment shall be made to the purchaser in writing, accompanied byinvoices & delivery challan describing, as appropriate, the Supply of Two Wheeler WithRetrofitment For Specially Abled Person (Motodsed, BS IV Standard) delivered and relatedservices performed, and by the required doournents submitted pursuant to general conditions oftheconhact and upon fulfillment ofall the obligations stipulated ln the Contract.

C. Due Payments shall be made promptly by the purchase. (Through Treasury) genemlly within thirty(30) days after submission ofan invoice or request for payment by the , selected bidder(s), and thepurchaser has accepted it.

D. The currency or currencies in which payments shall be made to the selected bidde(s) under thisContrnct shall be Indian Rupees (INR) only.

E. All remittance charges will be bome by the , selected bidder(s).

F. In case of disputed items, disputed amount shall be withheld and will be paid only after settlement ofthe dispute.
