WORLD SPORTS EXPOVENDOR AGREEMENT

This Vendor agreement (“Agreement”) is entered into on _________________, 20___ by and betweenWo r l d S p o r t s E x p o ( “WS E ” ) a n d _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ l o c a t e d a t____________________________, hereinafter referred to as “Vendor”. WSE and Vendor willcollectively be referred to as “Parties.” This agreement applies to the following World Sports Expoevents (hereinafter referred to as “Events”):

1. World Sports Expo- VENUE: Georgia International Convention Center

WSE has agreed to provide Vendor the following benefits:

• Vendor will have four (4) Posts on the WSE Social Mediao Content and Picture to be provided by the first of each month (final approval by WSE)• Vendor Logo on WSE Homepage• Vendor Logo on WSE website pages for Events listed above.• 10x10ft Expo Space at Events listed above.• Vendor will receive a total of ten (4 ) tickets and access to discounted tickets to the Events listedabove.• Vendor Branding at Events (ex. Flags, Banners, Posters, Mesh, etc)o Must be approved by WSE 2 weeks prior to the Events listed above.o Branding provided by Vendor

TERMS AND CONDITIONS OF AGREEMENT

1. TERM. The term of this Agreement shall begin as of the signing of this Agreement by bothParties and end upon the completion of both Parties’ obligations hereunder.

2. EVENT FEE AND CONFIRMATION. In consideration for the rights granted by WSEunder this Agreement, Vendor agrees to pay half of the “Event Fee” in the amount of$______________ to WSE upon Execution of the Agreement. The deposit is non-refundable.Vendor agrees to pay the second half of the Event Fee at least 6 weeks prior to each Eventlisted above.

3. INDEMNIFICATION. Vendor shall indemnify, hold harmless, and reimburse WSE and theirrespective employees, officers, members, partners and directors, from and for all claims, losses, damages,liabilities, expenses, encumbrances, attorneys' fees and litigation expenses which arise or are alleged to arise wholly or partly out of: (i) any actions by Vendor (or any of its subsidiaries or its affiliates) in contravention of this Agreement. NEITHER PARTY WILL BE LIABLE TO THE OTHER PARTY FOR ANYINCIDENTAL, CONSEQUENTIAL, SPECIAL AND/OR PUNITIVE DAMAGES, OR THELOSS OF ANTICIPATED PROFITS, ARISING FROM ANY BREACH OF THIS AGREEMENTBY SUCH PARTY, EVEN IF EITHER PARTY HAS WARNED OR BEEN NOTIFIED OF THEPOSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY SETFORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE.

4. RELEASE AND WAIVER OF LIABILITY. Vendor (or any of its subsidiaries or its affiliates)release, waive, discharge, and agree to indemnify and hold harmless WSE and its successors and assignsfrom any and all liabilities, claims, losses, damages, judgments, costs and demands of any kind or nature,(including court costs and attorney’s fees), which arise directly or indirectly from or in association withVendor (or any of its subsidiaries or its affiliates). WSE retains the rights to the date and location of allEvents. WSE and Vendor will abide by all venue regulations.

5. TERMINATION. In the event that either party materially breaches any provision of thisAgreement, the non-defaulting party may terminate this Agreement forthwith, and all rights andobligations of the parties hereunder shall terminate as of the date of termination. Non-paymentconstitutes a material breach under this Agreement giving WSE the right to terminate withoutnotice.

6. GOODWILL. In exercising its rights hereunder and fulfilling their obligations with respect to theEvent, the Parties agree to: (a) complete their obligations in a manner that reflects favorably at alltimes on the good name, goodwill and reputation of the other party; (b) avoid deceptive,misleading or unethical practices; (c) not publish or employ or cooperate in the publication oremployment of any deceptive or misleading advertising material with regard to the Event; and (d)comply with all applicable international, national, state, regional, and local laws and regulations.

7. CONSUMER DATA. If either WSE or Vendor is to collect any Consumer Data (as definedbelow) in the course of the Promotion, it shall post its corporate privacy policy on its web sites andshall adhere to a privacy policy which abides by any and all applicable federal, state and local laws,including, without limitation, the Children’s Online Privacy Protection Act of 1998. The term“Consumer Data” refers to that information gathered from or about a consumer that can be used toidentify that consumer as an individual, including, but not limited to, first and last name, e-mailaddress, phone number and home address (“Personally Identifiable Information”) and data about theconsumer that is linked to the consumer’s Personally Identifiable Information. WSE and Vendorshall implement and maintain reasonable security procedures and practices to protect any and allsuch Consumer Data from unauthorized access, destruction, use, modification and/or disclosure.

8. DATE AND VENUE CHANGE. WSE may, in its sole discretion, change the dates and/orvenue for the Event upon written notice to Vendor (which may be communicated by e-mail). WSEshall not be liable for any costs, damages, fees or other expenses of Vendor as a result of any suchchanges. Additionally, WSE reserves the right to relocate Vendor to any exhibit space within theVenue at any time, for any reason or no reason, with or without cause. WSE may retain any portionof Vendor’s Event Fee paid and such amount shall be applied as though no change in date, Venueor Exhibit Space relocation had occurred. Any remaining payments due from Vendor shall be duein accordance with Page 1. Any cancellation by Vendor or withdrawal from the Event by Vendordue to any change in date, Venue or exhibit space assignment shall be subject to liquidateddamages.

9. FORCE MAJEURE. If the Event venue shall become, in the sole discretion of WSE, unfitfor occupancy, or the holding of the Event or the performance of WSE under thisAgreement are interfered with by virtue of a Force Majeure (as defined below), theAgreement (or any part thereof) may be terminated by WSE or the Event (or any partthereof) may be postponed and/or re-located by WSE at the sole discretion of WSE. WSEshall not be responsible for delays, damage, loss, increased costs or other unfavorableconditions arising by virtue of Force Majeure. A “Force Majeure” shall include, but not belimited to: fire; casualty; flood; epidemic; World Health Organization travel advisory or travelalert; earthquake; explosion or accident; blockade embargo; inclement weather; governmentalrestraints; restraints or orders of civil defense or military authorities; act of public enemy; riotor civil disturbance; act or threatened act of terrorism, strike, lockout, boycott or other labordisturbance; Venue cancellation, inability to secure sufficient labor; technical or otherpersonnel failure; impairment or lack of adequate transportation facilities; inability to obtaincondemnation, requisition or commandeering of necessary supplies or equipment; local, stateor federal laws, ordinances, rules, orders, decrees or regulations whether legislative, executiveor judicial, and whether constitutional or unconstitutional; or acts of God or any other causeor causes not reasonably within the control of WSE.

If WSE terminates the Agreement and/or the Event (or any part thereof) as a result of aForce Majeure, then WSE may retain such part of the Event Fee as shall be required torecompense it for expenses incurred up to the time such contingency shall have occurred,and there shall be no further liability on the part of either party. WSE shall not be liable forany costs, damages, fees or expenses of Vendor as a result of such termination.

If WSE postpones and/or relocates the Event (or any part thereof) as a result of a ForceMajeure, then WSE shall be entitled to retain the portion of the Event Fee paid to date andsaid amount shall be applied to the Event as though no postponement and/or relocation ofthe Event venue had occurred. Any remaining payments from Vendor shall be due inaccordance with the payment terms herein. If Vendor cancels participation because WSEpostpones and/or re-locates the Event, Vendor shall be subject to liquidated damages.Further, WSE shall not be liable for any costs, damages, fees or expenses of Vendor as aresult of such postponement and/or re-location.

10. INSURANCE. Vendor shall maintain at its sole cost and expense and throughout theduration of the Exhibition Commercial General Liability (the “CGL”) insurance coveragewith a minimum combined single limit of US $1,000,000, covering bodily injury (includingdeath), personal injury, and property damage liability, with extraterritorial coverage. SuchCGL insurance shall name as additional insureds WSE and their affiliates, the Venue owner,the city in which the Event is being held if the city owns the venue and any additional partyWSE may reasonably request. Vendor shall also maintain at its sole cost and expense WorkersCompensation insurance in an amount compliant with at least the statutory minimum, foremployees participating in the Event, as required by law. Vendor’s failure to comply with theinsurance requirements in this Section shall not relieve Vendor of its indemnificationobligations herein. Vendor understands that neither WSE, its management, nor theEvent venue maintains insurance covering Vendor’s property, and it is the soleresponsibility of Vendor to obtain such insurance. Vendor must maintain propertyinsurance covering Vendor’s property on an “all risk” basis at all times, including, withoutlimitation, when (as applicable) property is stored in vaults on the Vendor floor. Certificates

11. LIMITATION ON LIABILITY. Vendor shall not be responsible for and shall have noliability resulting from loss or damage to displays or goods belonging to Vendor, whetherresulting from, without limitation, fire, storms, acts of God, air conditioning or heatingfailure, theft, pilferage, disappearance, bomb threats, roof leaks, Vendor booth visitors andguests, shipments coming in or out of the Event venue, inadequately packed property or othercauses. All such items are brought to the Vendor and displayed at Vendor’s own risk, andshould be safeguarded at all times. If Vendor’s products to be exhibited and/or displaymaterials fail to arrive, Vendor is nevertheless responsible for license fees. Vendor shallprovide the services of a protective agency during the period of installation, show anddismantling, and Vendor agrees that the provision of such services constitutes adequatedischarge of all obligations of WSE to supervise and protect Vendor’s property within theEvent. Vendor may furnish additional guards at its own cost and expense only with the priorwritten consent of WSE. WSE makes no representations or warranties with respect to thenumber of attendees or the demographic nature of such attendees.

12. FIRE AND SAFETY COMPLIANCE. Vendor must strictly observe all applicable fire andsafety laws and regulations. Drapes and all other cloth decorations must be flameproof.Wiring must comply with local fire department, governmental agency fire inspectionordinances and underwriters’ rules. Smoking (including electronic cigarettes) in the Eventvenue is forbidden. Crowding shall be restricted, and aisles and fire exits must not be blockedat any time. Products for display, signage, banners and decorations must not violate applicablefire codes. No storage behind exhibits is provided or permitted. Display wiring must exhibitall applicable seals of official approving agencies as may be required by the Event venue. Alldisplays must meet the building codes of the city in which the Event takes place.

13. VENUE AND GOVERNING LAW. This Agreement shall be governed in all respects bythe laws of the State of Florida, without regard to conflict of laws or provisions thereof.Venue shall be in Palm Beach County, Florida. In the event of any default on the part ofeither party to this Agreement and the necessity to initiate court action for the enforcementof any right hereunder, then in such event, the prevailing party in such action shall be entitledto recover all reasonable costs and expenses of such action, including reasonable attorneys’fees, at all trial and appellate levels.

14. DISPUTE RESOLUTION. If any disputes arise directly or indirectly related to thisAgreement, the Parties agree to sit down for an informal mediation within thirty (30) days ofNotice to the Vendor or WSE of the dispute. If, after thirty (30) days from the first writtenNotice of a dispute, the Parties are not able to agree on any settlement, such dispute shall besettled by arbitration. Such arbitration shall be held in Palm Beach County, Florida, inaccordance with the Commercial Arbitration Rules of the American Arbitration Association.The arbitration shall be initiated by either party hereto delivering to the other party a writtenNotice of intention to arbitrate. One arbitrator shall be appointed by and in accordance withthe existing procedures of the American Arbitration Association. The arbitration process isbinding on the Parties and shall be a final resolution of any such dispute to the same extent asa final judgment of a court of competent jurisdiction.

15. NOTICES. Any notices to WSE shall be given in writing by e-mail (with confirmationof receipt), courier service, hand delivery, registered mail, certified mail, overnight mailor overnight courier, return receipt requested, postage prepaid to:

16. ENTIRE AGREEMENT. This Agreement encompasses the entire Agreement betweenthe Parties regarding its subject matter and supersedes all prior Agreements orunderstandings, either oral or written. This Agreement may be modified or amended onlythrough a written instrument signed by both WSE and Vendor.

17. JOINT WORK PRODUCT. The Parties acknowledge that this Agreement is the jointwork product of all of the Parties, and that, accordingly, in the event of ambiguities inthis Agreement, no inferences shall be drawn against WSE or Vendor on the basis ofauthorship of this Agreement.

18. COUNTERPARTS. This Agreement may be executed in one or more counterparts,each of which shall be deemed an original, and it shall not be necessary in makingproof of this Agreement to produce or account for more than one such counterpart.

19. AUTHORITY. WSE and Vendor represent and warrant to the other party that: (a) ithas the full power and authority to enter into this Agreement; (b) it has the know-howand experience to execute its obligations and will conduct its responsibilities with regardto the Event in accordance with generally accepted industry standards; (c) any and allmaterials created or provided by either WSE or Vendor and their use as contemplatedby this Agreement will not infringe upon, violate or misappropriate any copyright,trademark, moral or other proprietary rights of any third party; and (d) the execution ofthis Agreement does not violate any agreement(s) or obligation(s) existing betweenitself and any third party(ies).

20. CONFIDENTIALITY. All information, drawings, documents and knowledge of eachparty’s operations, processes or equipment, acquired or handled by either of the otherparties in connection with this Agreement shall be considered to be confidentialinformation, and shall not be disclosed without the prior written consent of thedisclosing party.

IN WITNESS WHEREOF, each of the parties hereto has caused this Agreement to beduly executed on its behalf by its officer thereunto duly authorized, as of ___ day of_______________, 2020.
