USPS Chaplain Lou Reitz, AP, led the invocation, which was followed by the presentation of the U.S. and Canadian colors, the Pledge of Allegiance led by N/F/Lt Frank E. Dougherty, AP, and the singing of the U.S. and Canadian national anthems.

The national secretary declared a quorum present.

R/C Allan W. Lakin, SN, Committee on Rules chairman, explained the annual meeting voting procedures.

C/C Maynard introduced P/C/C Ernie Marshburn, SN (Tar River/27), who served as chief commander from 2006 to 2007.

Approval of the Minutes

C/C Maynard announced that, with no objections, the minutes of the 6 Sept. 2008 Governing Board Meeting would be approved as distributed.

C/C Maynard entertained a motion to confirm the 6 Sept. 2008 Governing Board ratification of Operating Committee actions reflected in the subsequent minutes of its meeting held on 3 Sept. 2008. The Governing Board ADOPTED the motion. (2009-AM-1)

The chief entertained a motion to ratify the actions that were taken by the OCom at its 6 Dec. 2008 meeting and published in the minutes of that meeting. The Governing Board ADOPTED the motion. (2009-AM-2)

USPS Safety Awards

C/C Maynard presented a USPS Safety Award to James A. Jones Jr., AP; Gerald D. Cross, P; and Rich LaRosa of Olympia Sail & Power Squadron/16.

BoatU.S./USPS Civic Service Award

R/C Husted introduced BoatU.S. founder and CEO Richard Schwartz and BoatU.S. Program Manager Ted Sensenbrenner, who presented the 2008 Boat U.S./USPS Civic Service Award to District 13. Honorable mention awards were presented to Golden Corner Lakes Sail/26 and Peace River/22; 3rd place - Hampton Roads/5; 2nd place - Jones Beach/3, and 1st place - Olympia/16.

Above and Beyond Award

R/C Jean Hamilton, SN, reported receiving a request from Chief Petty Officer James Martinelli, Training Officer, Naval Expeditionary Combat Command, to recognize several USPS members for assisting his unit. In early 2007, U.S. Navy Inshore Boat Unit 25, Marine Expeditionary Security Force Boat Detachment 422, was mobilized for Middle Eastern Deployment. CPO Martinelli contacted Robert Phillips, Northern New Jersey Sail & Power Squadron/4, and requested assistance in training and sharpening the unit’s basic navigation skills prior to deployment. On short notice and at their own expense, five Northern New Jersey Sail & Power Squadron members trained six members of the unit and provided training materials and resources at no charge. As a result of that training, Inshore Boat Unit 25 successfully deployed without incident. R/C Hamilton reported that CPO Martinelli requested the following members be recognized for their actions and contributions in support of the War on Terror, including P/D/C David Meshulam, AP; P/C S. Robert Phillips, SN; P/C Ronnie S. Phillips, SN;

Report of the Committee on Rules

R/C Allan W. Lakin, SN, chairman, Committee on Rules, summarized the chief commander’s 2008 activities and recommended awarding C/C Maynard his 25th merit mark. The Governing Board ADOPTED the motion. (2009-AM-3) P/C/C Barnes assisted R/C Lakin in presenting C/C Maynard his life member award.

R/C Lakin reported that the Committee on Rules recommended assigning Colonial Sail & Power Squadron to District 5. The Governing Board ADOPTED the motion. (2009-AM-4)

C/C Maynard joined R/C Lakin and presented squadron charters to Colonial Sail & Power Squadron/5 and The Valley Sail & Power Squadron/13.

R/C Lakin announced that D/Lt/C Art Pickard, SN, would be appointed as the staff commander for the Committee on Rules.

R/C Lakin announced that P/C Benjamin H. Sooy III, AP, would serve as parliamentarian for the 2009 Annual Meeting.

Report of the Finance Committee

R/C Michael J. Horowitz, JN, reported that as of 30 Nov. 2008, invested funds totaled $2,924,405.36, and are divided into three major portfolios.

He reported that the USPS investment portfolio was valued at $802,950.34. The mutual funds for 12 months, on an adjusted basis, have lost $279,431.91, a negative return of 43.51 percent.

R/C Horowitz reported that the Endowment (Century) Fund was valued at $1,125,355.02. He reported that the mutual funds lost $114,532.62, through November 2008, a negative return of 38.9 percent.

R/C Horowitz reported that the district/squadron funds are in certificates of deposit totaling $996,100 as of 30 Nov. 2008. As the certificates of deposit mature, they will be placed in a money market fund to be held prior to distribution no later than 1 January 2010.

R/C Horowitz reported that the financial alarm test was $441,892 below the $3 million control limit.

R/C Horowitz moved that the Governing Board approve the appointment of Langdon & Co., of Garner, N.C., as independent auditors for fiscal year 2009. The Governing Board ADOPTED the motion. (2009-AM-5)

Report of the National Law Officer

R/C Noel K. McKeown, SN, stressed the importance of all squadrons and districts to file their 990 forms and the 990E postcards in a timely manner. He noted that failure to file these

forms for a period of three years can result in the Internal Revenue Service revoking a district or squadron’s 501(c)(3) status.

R/C McKeown reported that the new insurance policy with the Chubb group was effective as of 1 July 2008. He reported that the new policy would give individuals, squadrons and districts more freedom to conduct activities on and off the water. R/C McKeown directed members to the LawCom website at www.usps.org/national/lawcom for additional information on USPS insurance.

Report of the Planning Committee

R/C William M. Bellinger, SN reported that results of the Planning Committee Member Survey can be found on the PlanCom website at www.usps.org/national/plancom. He noted that the survey reflected many concerns regarding governance, education, fraternity and civic service. He encouraged members to view the results to find valuable information that could help the squadrons and districts.

R/C Bellinger reported that PlanCom developed an online survey on merit marks, which focused on writing merit mark recommendations and the approval process.

He reported that the Planning Committee submitted a plan to increase sales, which focused on internal and external marketing options and on creating a for-profit “arm” to sell USPS course materials. R/C Bellinger stated that the committee recommended selling member courses to the public via the Internet, magazines, retail stores, marinas, boat shows, seminars, public boating courses and while performing vessel safety checks.

R/C Bellinger reported that the Planning Committee updated the USPS Strategic Plan and the USPS mission and vision statements and is working to align the strategic plan and associated goals in accordance with the new mission and vision statements.

R/C Bellinger reported that the Planning Committee formed an ad hoc committee to study simplifying squadron operations at the request of the national secretary.

Stf/C Greg Scotten, SN, reported that the Marketing and Public Relations Committee is working with Tom Kemp, headquarters marketing manager, the Educational Department, and the Planning Committee to develop marketing initiatives.

Stf/C Scotten reported that the committee’s mission is to promote the new ABC course and seminars. The committee’s national goal is to identify USPS as the “go to” organization for boating safety, boating information and boating education.

Report of the National Treasurer

V/C Joseph R. Mesenburg, SN, reported that 2008 unaudited net operating revenue over expenses was negative $112,102. He reported that in 2007 and 2006, net operating revenue over expenses was $173,161 and $58,355 respectively.

V/C Mesenburg reported that auditors from Langdon & Company, of Garner, N.C. completed the audit of USPS financials for the fiscal year ending 30 Nov. 2008. Audited net operating revenue over expenses was negative $80,536.

He noted that 2008 total operating expenses were under budget by approximately $165,000, and revenue from dues, fees, and other sources were higher than budgeted.

He reported that USPS failed to meet the budget expectations from educational sales in 2008. Net educational sales were budgeted at $527,140; actual net educational sales were approximately $225,000, or $212,000 less than in 2007.

V/C Mesenburg reported that the 2009 operating budget was being revised due to anticipated lower revenue numbers for both educational sales and investment income.

The national treasurer stated that the Board of Directors submitted to the Governing Board for consideration, discussion and vote, the following motion and rationale:

In order to make the USPS Bylaws conform to current practice and to eliminate unnecessary duplication of effort, the Board of Directors moves the following amendments to the USPS Bylaws, after considering, among other matters, the following:

a.) It appears that the benefit and the financial information the internal auditors provide USPS, Governing Board members, National Treasurer, and the leadership has been limited in scope;b.) That outside audit requirements have expanded to the degree during the past two years that the usefulness of the USPS internal Auditing Committee has been diminished substantially and is redundant in nature.c.) That the outside auditors, because of the new Federal auditing requirements and reporting, will increase their fees from $13,823 in 2007 to an estimated $25,000 for 2008.d.) Continuing to budget $8,500 for an internal Auditing Committee (R/C reimbursements, the air travel and the lodging expenses) is not financially prudent considering the reporting requirements required of the outside auditing company.e.) That the Internal Audit Committee is short of qualified personnel.f.) That by changing the Bylaws, the Governing Board will now require,

(1) that the Chair, Finance Committee at the annual meeting of the Governing Board, move the employment of an outside auditing firm,(2) that the Governing Board vote and authorize the employment of an outside auditing firm,(3) that such report be filed with Headquarters and when received, be presented to the membership at the annual meeting by the National Secretary.

g.) V/C Mesenburg stated that the Operating Committee adopted a motion during its December 2008 meeting recommending that the Governing Board consider making Headquarters Anniversary Billing mandatory, and if approved by the Governing Board, that mandatory Headquarters Anniversary Billing become effective with the 2010 dues renewal, beginning on 1 June 2009. At the request of the Operating Committee, the Committee on Rules prepared the

Change:Section 7.14 Each squadron’s member’s annual squadron dues and other fees as determined by the squadron executive committee shall be payable on the same date as USPS annual dues. Bills for the subsequent year's dues shall be mailed to members by the national headquarters of USPS no later than 30 days before the end of the current dues year. Dues for family members and the dues category of “additional active member” shall be billed to the associated active member. A squadron may make an irrevocable election to have Squadron dues and other fees of renewing members shall be collected along with USPS annual dues on its behalf by the national treasurer and remitted promptly to the respective squadron and district. Notice of such election must be received by the National Treasurer by 31 December and shall take effect on the 1st day of June in the following year. Notwithstanding such election, the A squadron may collect dues and other fees from new members, transferring members and reinstating members and remains responsible for settling district assessments with the district treasurer.Section 7.15 Annually, no later than 30 90 days after the beginning of the dues year before the effective date of a new squadron dues schedule, each squadron treasurer shall report to the national treasurer the names of all members of the squadron and their year-end dues status. The squadron treasurer need not report if the national treasurer collects dues for the squadron the new dues scheduled to be used for billing members of that squadron. The national treasurer shall take such steps as may be necessary to effect collection and protect the interests of USPS. Report of the National Secretary

V/C David L. Hinders, SN, introduced the headquarters staff present: Mary Catherine Berube, headquarters director; Kathy Kesterson, manager of administrative services; Tom Kemp, manager of headquarters marketing services; Yvonne Hill, editor of The Ensign; and Kelly Anderson, associate editor of The Ensign.

V/C Hinders reported that national officer’s reports are available on CD-ROM from headquarters for $5 or on the national secretary’s website at www.usps.org/national/natsec/seatpackets.

V/C Hinders stated that the Flag & Etiquette Committee reviews new and updated burgees and flags. He reported that the Flag & Etiquette Committee recommended and he approved a new District 28 flag, and 50th anniversary burgees for Mohawk Hudson/2; Richmond/5; South Bend/9; Oshkosh/10; Bellingham/16; Houston/21, and Winston-Salem/27.

V/C Hinders reported that during the 2008 Ft. Lauderdale Boat Show, Ensign writer, Marlin Bree won his second grand prize in the Boating Writers International writing contest, which means two of the five grand prizes awarded by BWI have been won by The Ensign magazine.

At the Miami Boat Show, Mr. Bree and The Ensign won again-this time in two categories. Bree won second place in the Boat/Engine Care and Maintenance category for “Stern Makeover,” which appeared in the March/April 2008 issue of The Ensign. He also won second place in the Seamanship, Rescue and Safety category for “Courage of the Sole Survivor,” which appeared in The Ensign September/October 2008 issue. These articles will go on to compete for the 2008 grand prize, which will be award at the 2009 Ft. Lauderdale International Boat Show.

V/C Hinders reported the winner of The Ensign photo contest was P/C Thomas Reichert, AP, Hampton Roads/5, in the squadron scenes category. The photo shows District 5 members raising the small storm flag at Fort McHenry.

The national secretary stated that USPS headquarters provides the front line of service to both members and the public, noting that the answer is usually a phone call or an e-mail away.

V/C Hinders reported that the Information Technology Committee has been assisting members with questions regarding merit marks, OD-1 and OD-2 forms. The committee established the DB2000 User Group mail list to provide a way to get answers from fellow members and to share ideas.

The Operations Manual Committee revised the Operations Manual in 2008 to include the roles and responsibilities for the Board of Directors and added a revised Membership Manual, which is now Chapter 13. The committee also revised the Secretary’s Manual and is working on revising the Treasurer’s Manual.

The Ship’s Store has been working closely with headquarters to move the operation to a more business like footing. The “Sail Rack” has been established to move discontinued merchandise from the shelves and to make room for new items. V/C Hinders reported that the 5 percent rebate given to squadrons and districts (2.5 percent each) for telephone and online sales was discontinued because the rebate did not produce the anticipated increase in sales.

The Historian Committee has collected innovative ideas on how squadrons celebrate USPS Founder’s Day, which is available on CD-ROM from the Historian’s Committee.

V/C Hinders reported that all subscribers to The Ensign magazine now have access to the same print edition in a new electronic format. The new iMag member benefit is in addition to the printed copy of The Ensign, which will continue to be delivered bi-monthly. The Ensign iMag contains searchable articles with hotlinks to USPS members, staff and vendors and other important information. Each issue will be archived online to provide quick and easy access to past issues.

The Flag & Etiquette Committee plans to publish a Q&A column in The Ensign addressing questions ranging from how to fly flags properly to proper formats for name tags.

The Publications Committee announced that the 2008 Distinction in Journalism awards are listed at www.usps.org/national/pubcom/distinction.html and certificates were presented to district commanders during the 2009 Annual Meeting for presentation to the squadrons. The 2008 DIJ squadron awards were down from 307 in 2007 to 274 in 2008. V/C Hinders noted that the decrease may be caused by an increase in online newsletters.

The national secretary reported that the Communications Committee is sending monthly broadcasts to squadron commanders. He noted that all squadron commanders do not have a valid e-mail address on file at headquarters, and these messages will go to the first squadron bridge officer who has a valid e-mail address.

V/C Hinders reported that immediately following the 2008 Governing Board Meeting in Detroit, an e-mail was sent to squadron commanders soliciting input on how to simplify squadron operations. He reported receiving responses from 9 percent of the squadron commanders, which confirmed that USPS is asking squadrons to do too much. The Planning Committee has created an ad hoc committee to define the core activities which a squadron must do and to identify the mean for simplifying squadron operations.

The national secretary urged members to respond to contact messages sent by prospective new members. He encouraged all squadrons to find a member who can tell the USPS story and the squadron’s story, to these prospective new members.

Report of the Auditing Committee

R/C William J. Robinson, SN, reported that the Auditing Committee met twice at USPS headquarters in 2008. The committee reviewed internal controls and substantiated the test of the accounting records.

R/C Robinson reported that the committee reviewed National Meetings Committee records for the 2008 Annual Meeting and met with the assistant national treasurer and the National Meetings Committee treasurer to assist with the financial reports. He noted that the

examinations did not require any material adjustments to the accounts. R/C Robinson made the following recommendations:

1. Reinstate the annual report of the Educational Fund in The Ensign.2. Consider Fund Accounting.3. Consider a review rather than certified report from auditors.4. Eliminate the Fall Governing Board meetings.5. Shorten the span of the Annual Meetings. 6. Consider additional advertising in The Ensign.7. Open up all courses to the public.

R/C Robinson reported that he had written letters to the external auditors and to the Board of Directors with respect to the lack of internal control on the National Meetings Committee account and that no adjustments had been made.

R/C Dick Peoples, SN, assistant national treasurer, stated that a monthly report is sent to the National Meetings Committee chairman, the USPS treasurer, the USPS assistant treasurer, USPS Audit Committee and the USPS headquarters on the fifteenth of every month. The NMC treasurer also submits an end of activity report for each national meeting within 90 days of the meeting.

The chief commander entertained a motion to accept the Auditing Committee report. The Governing Board ADOPTED the motion. (2009-AM-8)

Report of the National Administrative Officer

V/C John T. Alter, SN, reported that active membership as of 31 Dec. 2008 was 37,777 and family membership was 4,896, compared to 40,673 and 5,335, respectively, on 31 Dec. 2007. He noted that this represents a 7.1 percent loss, compared to a 4.1 percent average loss during the past five years. He said losses from non-renewals were about the same as the previous year, but that new member recruitment is down by approximately 30 percent.

V/C Alter announced the Power of One Squadron Award winners. These squadrons achieved 25 percent or greater membership gain and retention between 1 October 2007 and 30 September 2008. Each received a certificate of achievement. Moriches Bay/3 - 37 percent,

Report of the National Educational Officer

R/C Robert J. Sweet, SN, presented the report due to the unavoidable absence of V/C Dick Kyle, SN.

R/C Sweet reported that 2008 was a challenging year. He reported that there was a drop in the recreational marine market that adversely impacted educational sales particularly during the last quarter of 2008. R/C Sweet stated that the Educational Department had completed several new courses and seminars which are generating great interest.

R/C Sweet reported that America’s Boating Course 3rd edition is the main USPS public boating safety course and is heads and shoulders above any of the previous USPS public boating courses. He stated that the course is being promoted in media releases and advertisements that will appear in each issue of Trailer Boats Magazine. He noted that the Squadron Boating Course is still available in limited quantities and is NASBLA certified through 2010.

The assistant national educational officer reported that Weather 09 is the ideal course for the mariner providing a clear and thorough understanding of what affects weather. Navigation 09 covers both celestial and electronic navigation in one book. The course comes with a full version of THE CAPN navigation software and a complete library of electronic charts and a trial version of Vessel Passage Planner. Marine Electrical Systems is the first of three totally new and independent courses and focuses on AC and DC electrical power, grounding, and stray current issues for mariners. Sail 09 has been rewritten and consolidated into a single text, which is co-branded with CPS.

R/C Sweet announced that the Advanced Powerboat Handling, Rules of the Road, Basic Coastal Navigation and Marine Compass seminars are available. The Confident Navigation with Electronics seminar is almost complete and will cover the high points of using electronics as the primary means of navigation and discusses chartplotters, navigation software, radar, automated identification systems, eLoran, GPS, depth sounders, autopilots, and advances in radio with DSC and Rescue 21.

R/C Sweet reported that Seamanship has been available online for nine months for members. He reported that the course has recently been opened to the general public through the University of West Florida, one of the leading providers of distance learning. Students sign up for the course at UWF and receive the course books from USPS headquarters. He noted that eleven seminars are also online at UWF.

R/C Sweet reported that Inland Navigator Certification is currently active and kits can be ordered from headquarters. The other three levels of Boat Operator Certification are underway, and Coastal Navigator Certification should be available in 2009.

R/C Sweet explained that the 2008 Outstanding Squadron Educational Achievement Award recognizes squadrons with the strongest overall educational program as measured by the greatest percentage of members completing courses and the most courses offered from 1 July 2007 to 30 June 2008. The 2008 recipients are 1st place - Door County Sail & Power/D10; 2nd place - Albemarle Sail & Power/27 and 3rd place - Anna Maria Island/22.

R/C Sweet reported that since 1969, The N Club has recognized squadrons that demonstrate educational excellence. He called on P/R/C Angelo Giovanniello, SN, who

R/C Sweet explained that the Charles F. Chapman Award for Excellence in Teaching recognizes five members who have demonstrated exceptional skill in teaching and motivating their students. They represent the best of USPS instructors. R/C Sweet presented the 2008 Chapman Awards to P/Lt/C Thurston L. Gray, SN, Newport/14; P/C Peggy F. Morton, JN, City Island/4; Lt/C Fred G. Roffe, SN, Peconic Bay/3; P/C Wiliford H. Ross, Jr., SN, Tybee Light and P/Lt/C Robert G. Stammerjohn, SN, Patuxent River/5. Each recipient’s squadron received a Weems & Plath sextant from USPS and an LCD projector donated by McGraw-Hill/International Marine.

Report of the National Executive Officer

V/C Frank A. Dvorak, SN, reported that in accordance with the USPS Operations Manual Sections 5.10 and 12, that the Governing Board dissolve the Lancaster/5 and Schuylkill River/5 squadrons. The Governing Board ADOPTED the motion. (2009-AM-9)

V/C Dvorak presented squadron charters to Colonial/5 and The Valley Sail &/13.

V/C Dvorak reported that the OCom approved Nanticoke River Provisional Squadron, which was assigned to District 5 for administrative purposes.

V/C Dvorak reported that District 3 submitted a two-part resolution. The first would amend the USPS Bylaws to allow family members to earn senior member status. The second would amend USPS Bylaws Article 15 to including active members on a hearing committee. He reported that he would assign the resolutions to the Committee on Rules.

VSC Awards

V/C Dvorak called on R/C Robert A. Miller, SN, chairman, who reported that 2,300 USPS vessel examiners performed 34,000 vessel safety checks in 2008. 2008 Vessel Safety Check Awards

Report of the USPS Educational Fund

P/V/C James E. Roeber, SN, reported that Estelle Abrams, USPS Educational Fund administrative assistant, passed away. P/V/C Roeber reported that Barbara Spraggins was appointed as the new administrative assistant.

P/V/C Roeber reported that in 2008 the trustees approved six grants totaling more than $62,700. Three grants were to support USPS Educational Department projects, one was to support a National Boating Federation project, one was to support a USPS Vessel Safety Check project, and one was to support a project of the National Association of State Boating Law Administrators.

P/V/C Roeber reported that the Fund has remained sound financially during these economically challenging times. He said that a goal of the Fund during 2008 is to develop a website to highlight some of the programs supported by the Fund.
