LETTER OF UNDERTAKING

We ---------------- Parents/Guardian of ……………………. Residing at

……………………….………do hereby undertake as under –

1 We hereby Undertake to be the Guarantors of our

son Mr…………………………………. We understand that

our son is being given training by the Company. We

also understand that the Company is spending

approximately about 25000 USD on his training.

2 We undertak e and e ns ure t hat the requisite

fees for pre-sea training are paid timely to the

nominated institute.

3 We Undertake and ensure that the expenses

incurred by the Company, for imparting any training

ashore to our son Mr…………or on board training,

including the stipend paid is kept aside, so as to

reimburse the Company in the event that o u r s o n ,

fails to join back the company after completing his

training period.

4 We hereby undertake and shall remain as sureties on

behalf of our Son if he commits any breach of the

Undertaking.

5 We understand that our son has also given the

Undertaking to the Company and we shall remain as

Guarantees to the said Undertaking.

6 We also understand and undertake that in the event of

our son not serving the company for 36 months of active

sea service as a Certified Officer or Electrical Officer, we

will be liable to Reimburse 25000 USD spent on his

Training, and in addition compensation of 100,000 USD

to the Company within 8 days of breach thereof.

7 We hereby declare that no forged Documentation has

been provided by us and by our son and no false

declaration has been made during the medical or on any

other documents including company forms. We hereby

understand that in case of any mis-declaration, our son

will be liable for immediate termination from the Training

Programme and Employment as per Company Discretion

as well as we will be liable to pay compensation of

100,000 USD to the Company.

8 We understand that our son needs to be medically fit as

per DGS guidelines and Company’s standards. In case of

any type of medical condition which can effect work or

other staff on board, our son’s training/ employment may

be terminated by the company and company’s decision

will be final in this regard.

9 We are completely aware about the nature of job on

board vessels and I/ We understand that it is a hands on

job (not just a white collar desk job), requiring physical

endurance (for various activities and maintenance related

jobs on board), variable work shifts and timings

(especially due to vessel schedules).

10 We understand that our Son will be terminated from the

training programme/ employment in case of any gross

misconduct or violation of Company policies.

11 We understand that in case our son decides to leave sea

career due to any reason or on mutual consent with the

company, then the training cost as well as the

compensation may be waived off by the Company on

Company's discretion.

12 We understand and accept that this Undertaking shall be

governed by the Laws of India. The Courts in Mumbai

alone shall have exclusive jurisdiction in respect of any

matter, claim, or dispute arising out of or in any way

relating to this Undertaking .

13 This Undertaking has been executed by us on our own

free will and consent and in sound/sane state of mind.

This Undertaking will be binding on us at all times and

the Company will have the Legal right to

enforce/implement it in court of Law, if we commit

breach of undertaking.
