GENERAL INFORMATION REGARDING THE FEBRUARY 25, 2019

SPECIAL MEETING OF THE CONGREGATION

A Special Meeting of the Congregation will take place Monday evening, February 25, 2019, at 7:30 p.m. in the RJC Social Hall. The purpose of this Special Meeting is to vote on Rabbi Dovid Zirkind’s candidacy for Senior Rabbi of the RJC. Doors will open for the Special Meeting at 6:30 p.m. We encourage Members to arrive as early as possible to facili-tate check-in. Voting will be kept open until 10:30 p.m. Only Members in good standing will be allowed to participate in and vote at this Special Meeting. If you have any questions regarding the status of your membership, please contact the shul office. Under our Bylaws, a quorum of 20% of Member households is required for this Special Meeting. We therefore en-courage at least one representative from each Member household to attend the Special Meeting, in person or by proxy, to ensure a quorum. Proxy voting will be available for this Special Meeting. To obtain an official proxy form for the Special Meeting, you must apply for one from the shul office no later than Friday, February 22, 2019. Completed and signed proxy forms must be delivered to the shul office (or placed in the mailbox on the wall outside the office) no later than Motza’ei Shabbat (Saturday evening), February 23, 2019, and the Member designated in the proxy must bring a copy of the completed form to the Special Meeting as well. Please see below for important information regarding proxy voting.

IMPORTANT INFORMATION REGARDING PROXY VOTING

1. Any Member eligible to vote at the Special Meeting on February 25, 2019, but unable to attend in person, may vote by proxy by completing and signing an authorized RJC proxy form. 2. Proxy forms for the Special Meeting may be obtained by contacting the shul office at 718-548-1850, by mail (3700 Independence Ave., Bronx, NY 10463), by e-mail at [email protected], or in person. The deadline to apply for a proxy form is Friday, February 22, 2019. 3. Only one proxy authorization form will be provided to any Member for this Special Meeting. 4. A proxy form is not an absentee ballot. It allows a Member who does not plan to attend the Special Meeting in person (the "Designator") to designate a Member attending in person (the "Designee") to cast an additional vote on the Designator's behalf. The Designee is not required to vote in any particular way. 5. A Member may be designated as a Designee only by: (a) the spouse of the Designee, and (b) one other Mem-ber. WARNING: Proxy authorizations to a Designee in excess of those stated in the preceding sentence shall render all such authorizations invalid to the Designee and by the Designator, as the case may be. 6. The original proxy form must be completed and signed by the Designator and delivered to the shul office no later than Motza'ei Shabbat (Saturday evening), February 23, 2019. 7. The Designee must also bring a copy of the completed and signed proxy authorization to the Special Meeting and present it at check-in. 8. All proxy forms will be examined and certified by the Talliers appointed for the Special Meeting. 9. If you submit a completed and signed proxy form to the shul office but your plans change and you ultimately decide to attend and vote at the Special Meeting in person, you must deliver a written and signed cancellation of the proxy to the shul office (or any of the persons checking Members in to the Special Meeting) no later than the start of voting at the Special Meeting.
