1. Purpose and Intent of the RFP The Lenawee Intermediate School District (LISD) seeks proposals from qualified vendors for the provision of a comprehensive learning management system (LMS) for use by teachers and students in the LISD as well as one or more of the 11 public local school districts served by the LISD (constituent district). The LISD seeks a flexible pricing model that will allow individual constituent districts to purchase LMS licenses (user rights) regardless of whether or not all, or any specific number of districts participate in the purchase. The LISD believes that a modern LMS performs the following three essential functions:

1. facilitates the consistent delivery of course content; 2. provides a structure for course management; and 3. provides the educational institution with powerful tools for curriculum

development, communication, collaboration, calendaring, and task management automation.

The selected LMS(s) will be used by staff and students both on and off the school campus. Users must have the ability to access the LMS from any internet-connected device, anywhere and at any time. Additionally, the LMS must allow for differing user rights to include, but not be limited to content creation, editorial, and view-only rights, which must be able to be managed by LMS capability (i.e. a student may have content creation rights in a discussion feed, or have the ability to upload an assignment, but not have the ability to modify teacher-managed and provided content). The primary purpose of the selected LMS(s) will be to provide teachers with a standardized, fully-featured suite of tools to promote online teaching and learning including, but not limited to, online formative assessments, curriculum lockers, blogs/wikis, homework drop box, calendaring, and plagiarism tools. facilitate sharing, the LMS should allow users to search for resources by standards, discipline, grade level, and topic. Finally, parents and community members should be able to access district and school calendars, announcements, and other relevant information through the LMS. The selected LMS(s) will be a fully hosted ‘software as a service’ solution to run outside the district in a robust, enterprise-class data warehouse. The infrastructure should offer redundant servers and storage arrays, ideally with redundant host sites. It should be highly scalable with enough investment and forethought into capacity planning by the vendor to stay ahead of client growth for highly responsive systems now and in the future. The backend should be capable of handling multiple simultaneous data transactions on a modern relational database platform with a secure web frontend. The vendor shall have made provisions for data protection by running regularly scheduled data backups, keeping up with a trusted digital certificate, using a secure handshaking logon protocol, offering TLS/SSL for encrypted sessions, having a disaster recovery plan and security breach protocols. Vendors should be responsive to training needs and software modification requests, offer high level, live technical support, and actively update their systems for bug-tweaks, State & Federal reporting, and overall improvements. High priority will be placed on:

1. the system’s ability to integrate with the SIS and third-party productivity and collaboration tools (e.g. Google Apps for Education, Office 365) so that data is accessed seamlessly;

2. the functionality and ease of use of the system from students' and educators' perspectives; and 3. the overall capacity of the vendor to successfully manage the set-up and implementation phase of the project as well as provide on-going training and user support, and demonstrated evidence of frequent system updates and improvements

based on user feedback and known issues. The LISD is seeking an LMS that will meet specific criteria that support online and blended instruction for teachers and students. 2. About the Lenawee Intermediate School District and Constituent Districts The Lenawee Intermediate School District (LISD) is located in southeastern Michigan’s Lenawee County. The LISD includes 11 public, local school districts consisting of approximately 15,500 K-12 students. The LISD provides regional educational support services in the area of career and technical education, special education, adult education, curriculum and consultation, business office functions, and human resources. The LISD employs educational technology consultants who provide technical support and professional development for Lenawee County educators. Lenawee County’s 11 public, local school districts provide general K (in some instances, pre-K) – 12 education programs and services. Lenawee County school districts include: Addison Community Schools, Adrian Public Schools, Blissfield Community Schools, Britton Deerfield Schools, Clinton Community Schools, Hudson Area Schools, Madison School District, Morenci

Area Schools, Onsted Community Schools, Tecumseh Public Schools, and Sand Creek Community Schools.

The districts are Michigan public school districts organized and operating under Michigan’s Revised School Code. As such, the districts are subject to the requirements of Michigan’s Freedom of Information Act, which generally requires the disclosure of bid documents after the deadline for responses has passed. 3. LMS Requirements

The LISD and its constituent districts believe that a fully featured LMS will provide a powerful, uniform, and secure 21st century instructional environment that will allow teachers to showcase their talents as educators, while utilizing technology to create innovative and original educational experiences. Lenawee schools need a consistent, robust, and user-friendly platform that integrates with the traditional learning environment and over time will become the environment through which school occurs. The selected LMS(s) will enable the districts to more easily align curriculum to the new generation of educational standards, utilize data to assess student progress, identify gaps in curriculum, and enable the district to shift the focus of its efforts to a more student centered, personalized learning environment. These tools will be designed to help educators facilitate learning in a 21st Century environment while eliminating or minimizing repetitive administrative tasks without needing to be a technology expert. In addition, the LMS provides a secure environment to teach and model digital literacy skills. Below are descriptions of minimum system requirements for the LMS, as identified by a focus group consisting of Lenawee County educators, as they relate to specific educational activities and objectives in Lenawee County schools. Although this list represents minimum system requirements, the LISD encourages responses that detail more robust LMS capabilities, while also reserving the right to waive one or more identified minimum system requirement at the discretion of the selecting district(s). Priority Features and Functions – “Minimum System Requirements”:

1. Project based and authentic learning experiences - the system provides a suite of easy to use collaboration tools such as wikis, blogs, Google Docs and Office 365 integrations, presentation tools, etc. that can be used to create more authentic learning experiences as well as provide tools for teachers and students to manage and organize both individual and group projects;

2. Personalized instruction - ability to access information regarding individual student

learning profiles and preferences in order to differentiate and personalize resources and assessments based on student learning styles;

3. Media rich, user friendly and engaging resources - ability to easily access, curate,

archive, and retrieve media resources without needing advanced technical expertise,

as well as the ability to create audio and video content within the system; HTML5 compliant - Support content formats that have been adopted by the World Wide Web Consortium (W3C) and are supported by a majority of web browsers. These include HTML5, JPEG, PNG, GIF, SVG and XML, as well as audio and video formats that are supported by current versions of prominent web browsers including Microsoft Internet Explorer, Mozilla Firefox, Apple Safari and Google Chrome.

4. Standards based course content management - Preloaded common standards with

ability to import additional standards sets easily; ability to easily catalogue/assign/align activities, assessments, and other learning resources to Michigan Curriculum Frameworks, Common Core standards, ISTE Technology Standards for Teachers and Students, IEP and 504 requirements, etc.;

5. Student performance analytics package - Assessment creation tool that can tie

quizzes and questions to rubrics and preloaded national and state standards; Ability to create and analyze results of standards-aligned assessment items; ability to view multiple means of assessment quickly (Classroom grades, portfolios, and class participation as well as M-STEP, NWEA, SAT, and other standardized measures) for each student in a centralized location;

6. Communication/task/organization management features - Two-way

communication (input/output) and auto-sync with eSchoolPlus already in place, announcements, to-do lists, calendars with hyperlinks to lessons/tasks, reminders, administrative task management;

7. Device Integration: Device agnostic mobile integration of LMS allows students,

parents and teachers to connect and utilize all resources from anywhere on any device (508-compliant, allowing voice-to-text and text-to-voice capabilities); System is not dependent on particular hardware or software);

8. Security - Ability to utilize tools such as “YouTube”, search engines, and social

networking tools safely in order to model their appropriate use and focus on instruction;

9. Instructional tools – discussion board, homework drop box, test developer, auto-

grader, content management and delivery, e-portfolios for staff and students that chronicle progress toward stated goals, content creation tools, support for the global diploma program and ubiquitous access to resources and other tools.

Test question generator capable of a variety of question types that promote high level thinking (e.g. interactive, authentic question bank items using text, image, drag and drop markers, defined drop zones/markers, short response, 2D pattern match with JME JavaScript Molecular Editor, Cloze activities, labeling diagrams, ordering - chronological timeline)

Internal social network: next generation collaboration features beyond just threaded discussion; provides a framework that supports collaborative work including wiki with version tracking, threaded discussion, instant

10. Interoperability - Product meets standards established by the IMS Global Learning Consortium, such as the Common Cartridge (CC) and Learning Tools Interoperability (LTI) standards (which are created by IMS members from both institutions and Commercial vendors who establish learning specifications that ensure interoperability).

LMS Implementation and Functionality Minimum Requirements 1. Training a. Each vendor shall submit a User’s Manual for their software, for review purposes, along with their proposal. b. The system must have an easily accessible, intuitive, page-specific help guide that is online and has a searchable help function. The help guide must remain available and accessible to system users during the entire license period. c. Training – i. The Proposal is to include up to 8 hours of hands-on, on-site training staff members using the “train the trainer” model, with the number of staff eligible to participate in the training being determined by the district or districts. Respondents should include fees for additional, on-site training should such be required by the districts. ii. In addition, the vendor will provide key staff members with on-site training, at dates and times to be determined. This training should be up to 24 totals hours. It is our expectation that trainer(s) will provide clear and focused instruction and assistance to ensure that staff build "turnkey skills" quickly. Training must be provided until the users are comfortable with the use of the software and have become users- in-control of the systems. d. Training must be all encompassing to cover all features of the service and all attendees must have access to use the product hands-on during the session.

e. The trainer will provide all attendees with a full set of documentation covering all major features of the service to keep and use for reference. 2. Ongoing support a. The Proposal shall include a one year License and Technical Support, and must state the costs for two (2) additional years License and Technical Support. The Vendor will provide Technical Assistance throughout the contract period via telephone within a two hour period after inquiry. The Contractor will address all problems immediately and will provide continual technical support until all problems are satisfied. The Vendor will provide a report summarizing any such problems and include information regarding its resolution, upon request. b. As part of the Technical Support, the Vendor will provide all software releases including modifications, enhancement updates, temporary and permanent fixes, and any other revisions with no additional charges to the district(s) for the duration of the contract. c. The vendor must provide live tech support during regular business hours, which are typically M – F, 7 AM – 4 PM, EST. d. Periodic training for significant upgrades and version changes must be included in the fee structure. 3. Implementation a. Installation and set-up of the software, and any other peripheral installations and training must be completed in a timely manner to allow the District to get up and running on September 1, 2016 as quickly and unobtrusively as possible. The following represents the optimal timeline for implementation; however, the vendor is expected to submit an action plan in their proposal that ensures a system cut over of September 1st. The vendor must also ensure that the systems run parallel for at least 6 weeks prior to the cut over. Preliminary/anticipated Schedule: i. Contract award – June 6, 2016 (dependent on opportunity to review and analyze proposals and arrive at a recommendation) ii. Software installation and set-up, SIS Integration, Authentication – July 1, 2016 – July 31, 2016 iii. Testing & Early Adopter/Train-the-Trainer Phase I Training – August 1- 31, 2016 iv. Go live September 1, 2016 v. Phase II Planning. Training, Kick-Off – September 1, 2016 – June 30, 2017

b. All data imports, automated processes, reports, and documentation must be set up completely with the full assistance of provider technicians to the satisfaction of district employees. This step must occur prior to onsite training. c. Gradebook exports will be customized so that they are ready to be imported directly into eSchoolPlus gradebook. 4. Connectivity a. LMS is fully compatible with Chrome, Internet Explorer (version 6.0 or newer), FireFox, Safari, and Webkit-based mobile browsers. b. 100% web based, cloud hosted application. 5. System Specifications a. The system should run on any web-connected device. This includes all versions of Windows dating back to 98, Mac OS-X back to 10.4 and all the way up to and including the latest Smartphones and tablets. As long as the system has enough disk space, RAM and processing power to run secure sites on a web browser, it should be able to operate the proposed system. 6. Data Security a. The system has a valid digital certificate, uses a secure authentication handshaking protocol, offers TLS/SSL to encrypt all data transmitted, and the Vendor has protections in place to prevent internal and external data breaches. The system offers canned levels of security permissions for typical users like administrators, principals, teachers, parents and students. It offers enough granularity to control access to certain schools, database records/categories (like medical), students by family (for parents/guardians), etc. More specifically, authentication must tie into district systems, specifically Microsoft Active Directory, where applicable (or another applicable system). This is to ensure account security and management. Preferably the integration will happen using SAML 2.0 via Active Directory Federation Services 3.0 Alternatively an LDAP connection can be utilized to authenticate users. Any and all websites should utilize HTTPS as opposed to HTTP for all communication. The LMS must have the ability to delegate permissions granularly to ensure that users are not given more permission than necessary. The following information should never be logged in clear text, and also be encrypted:

Implementation Schedule and Substantial Completion Date It is the intent of the districts to make a decision regarding how to proceed within 90 days of the bid due date, and all offers (proposals in response to this bid) must be kept open for a minimum period of 90 days. Proposals will be reviewed and scored collectively by representatives from all interested districts, however, individual districts maintain the right to select any respondent, multiple respondents, or no respondent at all. Respondents must include a proposed project schedule from receipt of a notice to proceed with the project and include project milestones, including an expectation for the length of the project from start to implementation, including any expected training period. It is the expectation that selected vendors will be able to have the LMS functional and available for use by mid-August, 2016, so that participating districts can begin implementation of the program 5. General Requirements/Conditions of Bidders A. Proposals submitted in response to this RFP represent an offer to contract on the part of respondent, and proposals must remain open and in effect for a period of 90 days from the due date for receipt of proposals by the LISD in response to this RFP. B. No bidder may withdraw a proposal after submission of the proposal to the LISD except in a case where a bidder demonstrates to the LISD’s satisfaction that a material and substantial mistake was made in preparing the proposal, in which event the bidder has 24 hours after receipt of the bid to deliver to the LISD, a notice in writing that he/she desires to withdraw his/her proposal and stating the reasons therefore. Once a proposal is withdrawn, it may not be re-submitted. C. The LISD and its constituent districts will not pay any costs associated with the preparation of a submission of any bids in response to this RFP.

D. The selected vendor(s) must not be currently debarred, suspended, or proposed for debarment by any federal entity. Submission of a bid in response to this request for bids represents respondent’s acknowledgement that respondent is not debarred, suspended, or proposed for debarment by any federal agency. E. The selected vendor(s) shall be responsible for all design, information gathering, and required programming to ensure a successful implementation of the goods and services proposed. No additional charges (besides those which are included on the selected bidder’s response sheets) shall be made or accepted by the LISD or any constituent district, unless such is mutually agreed upon in writing. Proposals must include any and all hardware and software costs associated with providing, installing, and configuring the learning management system, including, but not limited to system operation and technical support licensing costs. F. The LISD and its constituent districts are public school districts organized and operating under Michigan’s Revised School Code. As such, the districts are typically exempt from taxation. The districts will not pay any taxes unless the selected vendor(s) can demonstrate to the satisfaction of the district that the district is not exempt from the payment of that tax. G. The LISD and/or constituent district will require the selected vendor to enter into a written contract for the provision of services, Respondents must provide a written copy of the contract template that you would propose for use with the LISD and/or any constituent district desiring to acquire LMS licensing. The provided contract will be reviewed by legal counsel and requests for modifications may be made. Respondent’s openness to modifications and willingness to negotiate a mutually beneficial contractual arrangement will be a point of consideration in the review and selection process. This RFP and the selected vendor(s) proposal will be incorporated into the contract by reference as will any written clarifications between the parties, which are mutually agreed upon by the parties. Should there be a conflict between the various documents, the order of precedence shall be as follows: (1) the Contract, (2) the bid bulletins and clarifications between the LISD/district, and the Contractor, (3) the LISD’s Request for Proposals, and (4) the Contractor’s response to the LISD’s Request for Proposals. H. The selected vendor(s) agrees that no person shall, on the basis of race, color, religion, national origin, sex, gender identity, sexual orientation, disability, age, marital status, military status, genetic information, or any other statutorily protected category be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any contract between the District and the vendor. I. The selected vendor(s) understand and acknowledge that all vendor employees, subcontractors, agents, and representatives may, at the district’s discretion, be subject to a criminal history information record check prior to being allowed on district property. The district reserves the right to deny Contractor, Contractor’s employees, subcontractors, agents, and/or representatives access to any district school/property if the results of the criminal history information record check are not satisfactory to the district.

J. The selected vendor(s) understands and agrees that it will: (i) not use any of the district’s confidential information or for its own use or for any purpose other than the specific purpose of providing and operating the LMS; (ii) not disclose any of the district’s confidential information to any other person or entity, unless such is required by court order; and (iii) take all reasonable measures to protect the confidentiality of, and avoid disclosure or use of, the district’s confidential information in order to prevent it from falling into the public domain or the possession of persons other than those persons authorized to have such information. 6. Warranty Requirements The selected vendor(s) must warrant the following for all goods and services to be provided under a contract with the district, and these, minimum warranties should be included in respondent’s contract template provided with their proposal: A. The Contractor represents and warrants that (i) it has the full authority to perform its obligations, (ii) Contractor’s execution or performance will not violate or be considered a breach of any obligation to any third party, and (iii) Contractor’s execution or performance will not violate any applicable law or regulation. B. Contractor represents and warrants that it will perform the services in a good, professional, and workmanlike manner, using only qualified personnel, and that the goods and services will function in all material respects in accordance with the applicable specifications, and will be free from material defects in design, materials, workmanship, and disruption, and that the goods and services will be merchantable and fit for the purpose intended. C. The Contractor will obtain and maintain at all times during the term of this Contract all applicable business and professional licenses necessary to provide goods and services. D. The Contractor warrants and affirms that it has good title to all goods and services to be provided free and clear from any encumbrances and that such title will be transferred to the District. 7. Proposal Content and Directions for How to Respond As part of a proposal package, respondents must submit the following:

1. Cover letter signed by an individual authorized to bind the respondent in legal contract. The cover letter should include the proposer’s name, business type (i.e. corporation, LLC, etc.), principal place of business address, and contact information for the point of contact regarding the proposal.

A. Describe any and all requirements of the Lenawee Intermediate School District or any constituent district purchasing LMS licenses/services. B. Describe respondent’s on-going customer support policy. C. Describe how respondent’s product integrates with eSchoolPlus, Google Apps, and Office 365. D. Describe and detail any LMS components/features beyond those required by the minimum specifications set forth above. E. Describe and detail respondent’s service level agreement, which must fully quantify and explain service reliability including, but not limited to data center redundancy or ‘hot sites,’ uptime commitment and availability per month, service credit schedule if availability commitments are not met, minimum performance for response times, software update and system maintenance timeframes, and disaster recovery plan including database and restoration practices. A copy of respondent’s service level agreement should be included in the proposal package.

3. Implementation schedule – a detailed implementation schedule for all goods/services bid.

A. Please include a detailed explanation of the anticipated training procedures and schedule.

4. Bidder response forms w/proposed fees (Identified as “Appendix A”)– Respondents must

use the bidder response forms that are included with this RFP. Responses must be complete and provided pursuant to the directions on each form. A. Fee schedule must include all licensing costs, including tiered per user costs, if available (i.e. 0 – 500 user licenses = x per license, 501 – 1,000 user licenses = x per license). B. Licensing costs must be exclusive of all costs, fees, etc. associated with use of the LMS.

5. A copy of respondent’s/Contractor’s proposed contract for use in any contract between the LISD and/or any constituent district and Contractor. Contractor’s contract template should incorporate by reference this RFP, Contractor’s proposal, bid bulletins and clarifications between the Contractor and the district. Contractor shall also detail a point of contact with authorization to negotiate contractual terms on contractor’s behalf.

6. Proposal forms – Respondents must use proposal forms included with this RFP. Bidder

response forms include the following: A. Michigan-based Business - Consistent with Michigan law, the LISD has adopted and implemented a policy that extends a preference to Michigan-based businesses submitting a proposal pursuant to this request for proposals. Solely for the purposes of determining the value of a bid for purposes of an award, the bid price of a Michigan-based business that is bidding in accord with this request for proposals shall be reduced by a factor of the lesser of 5% or $10,000. For all other purposes, the bid price shall remain as stated in the proposal.

In order to be considered for such a preference, a bidder must satisfy the definition of a Michigan-based business as found in MCL 18.1268 and shall provide a completed copy of the consent form affixed to this RFP, as well as any additional consent necessary to permit LISD to verify the firms’ status as a Michigan- based business through the Michigan Department of Treasury. Additional consent must be provided by the bidder with 24 hours of request by LISD. Failure to satisfy the statutory definition of a Michigan- based business and/or failure to provide the necessary and/or additional consent to permit the LISD to verify the proposer’s status as a Michigan-based business through the Michigan Department of Treasury, shall result in the forfeiture of any preference for which the bidder may qualify, including, but not limited to the Michigan- based business preference.

Qualified firms should affix a completed copy of the attached Michigan-based

business certification and verification form. (This form applies to Michigan-based businesses only.)

Some of the participating school districts may not have a Michigan-based

business preference. A. Iran Economic Sanctions Act Compliance - Respondents must include a

completed copy of the attached Iran Economic Sanctions Act compliance form. B. Suspended or Debarred Vendor Form - Respondents must include a completed

copy of the attached suspended or debarred vendor form certifying that the bidder is not a federally suspended or debarred vendor.

C. Conflict of Interest Form - Respondents must include a completed copy of the

attached conflict of interest form certifying that the respondent does not have a conflict of interest with any Lenawee Intermediate School District Board member, staff member, or agent.

D. Familial Disclosure Form – Respondents must include a completed and notarized

copy of the attached familial disclosure form disclosing any familial relationship that exists between an owner or any employee of the bidder and any member of the Lenawee Intermediate School District Board of Education or the LISD Superintendent.

The learning management system has a valid digital certificate, uses a secure authentication handshaking protocol, offers TSL/SSL to encrypt all data transmitted, and the vendor has protections in place to prevent internal and external data breaches.

The learning management system allows canned levels of security permissions for typical users such as administrators, principals, teachers, parents and students. It offers enough granularity to control access to certain schools, database records/categories, and students by families.
