STIG REMØY vaks opp på Remøya, ei øy i Herøy
kommune med ei lang historie innan fiskeri. Faren
og bestefaren hans var fiskeskipperar og det var
naturleg for Stig Remøy å velje same yrkesveg. Han
utdanna seg til sjøkaptein på Kristiansand maritime
og tekniske fagskole. I ein alder av 19 år investerte
Stig Remøy, saman med far sin, brørne sine og
nokre andre investorar, i eit fiskefartøy bygd i 1941.
Skipet hadde ein marknadsverdi på 6 millionar
kroner. Allereie som 21-åring vart Remøy skipper på
fabrikktrålarar i Grønland, Barentshavet, Nordsjøen,
utanfor kysten av Alaska, New Zealand etc.
Utover på 80-talet og tidlig på 90-talet investerte
Stig Remøy vidare innanfor fiskeri, medan han
samtidig vart involvert i offshore gjennom kjøp av
aksjar i Sævik Supply AS. Etter nokre turbulente år
kjøpte Stig Remøy i 1994 forsyningsskipet Northern
Commander og døypte skipet om til Olympic
Commander. Dette vart forløparen til Olympic
Shipping AS, som Stig Remøy etablerte saman med
Bjørn Kvalsund i 1996. I oppstarten besto flåten av to
offshorefartøy og ein trålar. Desse tre eldre fartøya
hadde ein total marknadsverdi på 120 millionar
kroner. Idag har Olympicgruppa nærare 1 000 tilsette
som opererar 24 moderne skip over heile verda, samt
ytterligare to under bygging. Sidan oppstarten har
Olympic investert ca 12 milliarder kroner i avanserte
fartøy av norsk design og teknologi, bygd ved norske
verft.
STIG REMØY grew up on Remøy, an island in Herøy,
a municipality with a long history of fishing. His
father and grandfather were fishing masters, and it
was natural for him to choose the same profession.
Stig Remøy is educated as a Master Mariner from
Kristiansand Maritime and Technical College. At the
age of 19, Stig Remøy together with his father, brothers
and some other investors invested in a fishing vessel
with a market value of NOK 6 million. The vessel was
built in 1941. Stig Remøy became master at the age
of 21 on factory trawlers operating in Greenland, the
Barents Sea, the North Sea, off the coast of Alaska,
New Zealand etc.
Throughout the eighties and early nineties, Stig Remøy
made further investments within fishing while at the
same time becoming involved in the offshore industry
through acquisition of shares in Sævik Supply AS. In
1994, after a few turbulent years, Stig Remøy bought
the PSV Northern Commander and renamed the
vessel Olympic Commander. This purchase was the
forerunner to Olympic Shipping AS, which Stig Remøy
established along with Bjørn Kvalsund in 1996. At the
time, Olympic Shipping AS operated two offshore
vessels and one trawler. These three aged vessels
had a total market value of NOK 120 million. Today,
the Olympic Group has close to 1 000 employees,
operating 24 modern vessels worldwide. In addition,
two more vessels are under construction. Olympic
has, since its inception, invested approximately NOK
12 billion in sophisticated vessels of Norwegian design
and technology, built at Norwegian yards.

Olympic Ship AS hadde for året 2013 driftsinntekter på NOK
1 220 mill samanlikna med NOK 1 017 mill i 2012, ei auke på 20 %.
Driftsresultatet før avskrivingar (EBITDA) auka med 67 % og vart
på NOK 567 mill mot NOK 338 mill i 2012. Selskapet leverte eit
resultat etter skatt på NOK 142 mill.
For tredje tertial vart driftsinntektene NOK 432 mill, driftsresultat
før avskrivingar (EBITDA) NOK 205 mill og resultat før skatt NOK
52 mill.
Aktivitetsnivået i konsernet har vore høgt ettersom konsernet sette
i drift fire nye skip i 2012 og eit nytt skip i 2013. Totalbalansen
i konsernet har auka med 10 % gjennom året og utgjorde ved
årsskiftet NOK 8,2 mrd. Konsernet oppretthaldt ein sterk soliditet
og likviditet, og er godt posisjonert for vidare vekst og positiv
resultatutvikling i åra framover.
Verksemda
Olympic Ship AS vart etablert i 1997 og er tilhøyrande i Fosnavåg
i Herøy Kommune. Selskapet skal drive rederiverksemd, herunder
også eige aksjar og andelar i selskap som driv tilsvarande verksemd.
Selskapet sin forretningsidé er å vere ein kvalitetsleverandør
av offshore servicetenester til oljeindustrien gjennom å tilby ei
moderne flåte av sofistikerte offshoreservice fartøy. Selskapet
fokuserar på helse, miljø og tryggleik. Ved utforming og design av
våre skip vert skipsløsninger som ivaretar miljø og tryggleik for
både mannskap og skip på ein best mogleg måte vektlagt.
Konsernet si verksemd er knytt til drift og eigarskap av
offshoreservicefartøy som leverar tenestar til olje- og
gassindustrien offshore. Ved årsskiftet 2013 hadde konsernet ei
operativ flåte beståande av 20 skip, derav 2 skip der konsernet har
minoritetsandelar. I 2013 har konsernet fått levert 1 skip. I 2014/15
skal konsernet overta ytterlegare 2 skip.
Ved utløpet av 2013 består flåten av følgande skip:
Olympic Ship AS repports for the year 2013 operating revenues of
NOK 1 220 million compared with NOK 1 017 million in 2012, an
increase of 20%. Operating Profit before Depreciation (EBITDA)
increased by 67% from NOK 338 million in 2012 to NOK 567 million
in 2013. The company delivered a Profit after Tax of NOK 142
million.
For the third tertial, revenue was NOK 432 million, Operating Profit
before Depreciation (EBITDA) of NOK 205 million and Profit before
Tax of NOK 52 million.
The level of activity in the company has been high due to the
company operating four new vessels in 2012 and one new vessel
in 2013. Total assets of the company have increased by 10%
during the year and was NOK 8.2 billion at year-end. The company
maintained a strong financial standing and liquidity reserves and is
well positioned for further growth and positive net income growth
in future years.
Business
Olympic Ship AS was established in 1997 and is located in the
city of Fosnavåg, Herøy municipality. The company is engaged in
offshore shipping activities including ownership in subsidiaries
complementary to the main business. The company’s business
concept is to be a quality provider of offshore services to the
oil industry by offering a modern fleet of sophisticated offshore
service vessels. The company has a strong focus on QHSE, and our
operations support the environment and the safety of our crew in
the best way possible.
The company owns and operates offshore service vessels
delivering services to the oil and gas industry offshore. In 2013, the
company has an operating fleet of 20 vessels, including 2 vessels
where the company has minority shares. During 2013, the company
took delivery of one vessel. In 2014/15, the group will take delivery
of another 2 vessels.

Helse, miljø, tryggleik og kvalitet
Rederiet opererer i henhold til gjeldende lover, forskrifter,
internasjonale regler og standarder. Selskapet er sertifisert i
henhold til ISM, (miljø og tryggleik) ISO 9001:2008, (kvalitet) ISO
14001:2004 (miljø) og ISPS kodens krav (tryggleik). Mannskapa
om bord er gitt opplæring i henhold til krava i STCW (Seafarers
Training Certification and Watchkeeping Code) og andre relevante
bransjekrav. I tillegg er Olympic medlem av United Nations Global
Compact.
Rederiet har kontinuerleg fokus på forebyggande tiltak for å
hindre skader og ulukker. Det er etablert ein rapporteringsstruktur
i rederiets HMS- og kvalitetssystem der rapportar registrerast,
behandlast og analyserast. Interne revisjonar vert gjennomført
årleg på alle skip og kontor. Det er ikkje rapportert hendingar med
vesentleg personskade eller skade på ytre miljø i 2013. Styret i
Olympic Ship AS anser at risikoen for forureining av det ytre miljø
er søkt redusert så langt som mogleg.
Rederiet har gjennom flere års arbeid oppnådd store forbetringar
innan miljøaspekt, spesielt drivstoffeffektivisering gjennom
dieselelektriske og hybride løysingar. Olympic fekk overlevert sitt
fyrste skip med LNG-fremdriftsmaskineri i 2012. Alle nybygg etter
2008 er utstyrt med urea rensing som reduserer NOX utsleppa
med inntil 95 %. I 2013, som fyrste rederi, brukar Olympic no urea
rensing også utanom norsk avgiftssone. For å utvikle smartare,
sikrare og grønare løysingar har konsernet engasjert seg i eit miljø-
professorat ved Høgskolen i Ålesund.
Olympic Ship AS hadde ingen tilsette per 31.12.2013. Selskapet
leiger mannskap frå Olympic Crewing AS og eksterne
bemanningsselskap. I 2013 hadde rederiet ingen arbeidsuhell
med alvorlege personskadar. Olympic har investert i Fosnavåg
Simulatorsenter for å auke tilbodet og heve kompetansen for
avanserte offshore operasjonar blant mannskapa. I tillegg, har
administrasjonen gjennomført lederutviklingskurs i samarbeid med
BI. Godt arbeidsmiljø er eit fokusområde for selskapet, både på land
og om bord i skipa, og det er etablert rutiner som dokumenterar
utviklinga i arbeidsmiljøet. Selskapet har ei aktiv halding til å tilsette
kvinner og kvinnelege søkarar vert behandla på lik linje med omsyn
til utdanning og kvalifikasjonar. I 2013 var tjuefem kvinner tilsett
ombord fartøya i selskapet. Sykefråveret i selskapet har over fleire
år vore på eit stabilt lågt nivå med eit fråver i 2013 på 3,38% (3.72%
i 2012). Samla sett vurderast arbeidsmiljøet å vere godt i selskapet.
Ved tilsetjingar vektlegg rederiet faglege kvalifikasjonar og tidligare
erfaringar, og konsernet har som policy å unngå diskriminering
basert på alder, kjønn, legning og religion.
Health, environment, safety and quality
The company operates according to applicable laws, regulations,
international conventions and standards. The company is certified
according to requirements of the ISM code (environment and
safety), ISO9001:2008(quality), ISO 14001:2004 (environment) and
the ISPS code (security). The crew is given training according to
the requirements in the STCW (Seafarers Training Certification
and Watch keeping Code) and other relevant branch requirements.
In addition, Olympic is a member of the United Nations Global
Compact.
The shipping company has continually focused on preventive
measures in order to prevent injuries and accidents. It has
established a reporting structure in the shipping company’s HSE
and quality system where reports are recorded, processed and
analyzed. Internal audits are carried out annually on all the vessels
and Office. No reported incidents with significant personal injury or
damage to the natural environment in 2013. The Board of Directors
in the Olympic Ship AS considers that the risk of contamination
of the external environment is sought reduced as far as possible.
The company has through several years of work achieved major
improvements with regards to the environment, in particular fuel
efficiency through diesel electric and hybrid solutions. In 2012 the
first LNG (Liquefied Natural Gas) powered vessel was delivered. All
newbuilds after 2008 is equipped with urea treatment that reduces
NOX emissions by up to 95%. In 2013, Olympic as a first mover,
used urea cleansing outside of the Norwegian tax zone. In order to
develop smarter, safer, and greener solutions, the company has also
supported an environmental-professorship at the College in Ålesund.
Olympic Ship AS had no employees per 31.12.2013. The company
lease crew from Olympic Crewing AS and management from
Olympic Shipping AS. In 2013 had the shipping company no work
accident with serious injuries, and only some minor accidents
without sick leave. Olympic has invested in Fosnavåg Simulator
Centre in order to increase raise the competence level for advanced
offshore operations among the crews. In addition, the administration
has implemented an advanced management courses organized by
the BI school of management. A good working environment is an
area of focus for the company, both on-shore and on board the
vessels. The company has established routines that documents
developments in the work environment. The company has an active
attitude towards hiring women and female applicants are treated
on an equal footing with regard to education and qualifications.
The company had in 2013 twenty-five women employed on our
vessels. Sick leave has for several years been at a stable, low level.
Overall, the work environment is considered to be very good.
With regards to hiring, the company emphasizes professional
qualifications and past experience. The company’s policy prohibits
discrimination based on age, gender, sexual orientation and religion.

Finansiell stilling og utvikling – konsern
Rekneskapen er revidert og utarbeida i henhold til IFRS.
Samanlikningstala for 2012 er også i henhold til IFRS. Tala i
parentes gjeld for same periode i fjor eller illustrerar prosentvis
endring i forhold til fjoråret.
Konsernet Olympic Ship AS består av morselskapet Olympic Ship
AS og selskap der morselskapet har ein eigarandel på meir enn 50
%. I konsernrekneskapen er intern omsetning, fordringar og gjeld
eliminert. Tilknytta selskap er definert som selskap som eigast
direkte med ein eigarandel fra 20 % til 50 %.
I 2013 hadde konsernet driftsinntekter på NOK 1 220 mill (+20
%) mot 1 017 mill i 2012. Samla driftskostnadar før avskrivingar
utgjorde NOK 653 mill mot NOK 679 mill i foregående år. Dette
er ein reduksjon i totale driftskostnadar på 4 % med fleire båtar
i heilårsdrift. Driftsresultat før avskrivingar framkom med NOK
567 mill (+67 %) mot 338 mill i 2012. Etter avskrivingar framkom
driftsresultatet med NOK 411 mill mot 207 mill i fjor. Konsernet sitt
resultat etter skatt vart NOK 142 mill (+115 %) mot NOK 66 mill i
2012.
Inntektene i 2013 auka med 20 % i forhold til 2012 som følge av
fleire skip i heilårsdrift og ein betre marknad. Andre og tredje tertial
var vesentleg betre enn fyrste tertial. Inntektene vert dratt ned som
følge av tapt driftstid knytta til dokkingar og driftsavbrudd for nokre
av skipa, spesielt i Brasil. Driftskostnadane vart holdt på eit relativt
konstant nivå sjølv om det er fleire skip i drift. Konsernet hadde
i 2013 disagio på valutasikringskontrakter mot agio i føregåande
år. I tillegg, har auka renteberande gjeld resultert i høgare netto
finanskostnadar.
Ved utløpet av 2013 hadde konsernet ein totalbalanse på NOK 8,2
mrd (+10 %) mot NOK 7,5 mrd i 2012. Auka i totalbalansen er fyrst og
fremst relatert til overtaking av Olympic Ares samt kontraheringa
av 2 nybygg. Ved årsskiftet var den bokførte verdien av flåten
inklusiv innbetalte terminar til verft for nybygg NOK 6,6 milliard
mot NOK 6,2 mrd i føregåande år. Med basis i gjennomsnittlege
mekleranslag har konsernet ein betydeleg meirverdi i balansen
knytta til marknadsverdie
Kontantbeholdninga i konsernet utgjorde ved årsskiftet NOK
664 mill (-28 %) mot NOK 923 mill i føregåande år. Nedgangen
i beholdninga skyldast i hovudsak auka arbeidskapital, lågare
belåningsgrad og innbetalingar i forbindelse med nybygg.
Financial position and development-business units
The financial statements have been audited and prepared in
accordance with IFRS. Numbers in brackets illustrates comparative
numbers the same period last year, or illustrates the percent
change compared to the previous year.
The group, Olympic Ship AS, consists of the parent company,
Olympic Ship AS, and subsidiaries where the parent company
has ownership of more than 50%. In the consolidated financial
statements, we eliminate internal revenues, receivables and debt.
Associated companies are companies where the parent company
has an ownership share of 25% to 50%.
The company had operating revenues of NOK 1 220 million (+ 20%)
in 2013, versus NOK 1 017 million in 2012. Total operating expenses
before depreciation amounted to NOK 655 million compared to
NOK 679 million in the previous year. This is a reduction in operating
costs of 4% with more vessels in a full year of operation. Operating
profit before depreciation was NOK 567 million (+ 67%) against 338
million in 2012. Operating profit was NOK 411 million compared to
NOK 207 million last year. The company’s profit after tax was NOK
142 million (+ 115%) against NOK 66 million in 2012.
Revenues in 2013 increased by 20% in relation to 2012 as a result of
an increased number of vessels in full-time operation and a better
market. The second and third tertial was significantly better than
the first tertial. Especially in the first tertial earnings, were dragged
down as a result of lost working time associated with dockings and
off-hire for some of the vessels. Operating costs were kept at a
relatively constant level even though there are more vessels in
operation. Our own management in Brazil has been important to
keep costs under control and at the same time provide the best
quality of service. The company had in 2013 exchange rate losses
on foreign exchange hedging contracts compared to exchange rate
gains in the previous year. In addition, increased interest-bearing
debt resulted in higher net financial expenses.
By the end of 2013, the company had total assets of NOK 8.2
billion (+ 10%) against NOK 7.5 billion in 2012. The increase in total
assets is first and foremost related to the takeover of the Olympic
Ares as well as orders of 2 newbuilds. At year-end was the book
value of the fleet, including installments paid to shipyards for new
construction was NOK 6.6 billion compared to NOK 6.2 billion in the
previous year. Based on average broker estimates the company has
significant added value in the balance sheet related to the market
value of the fleet.
Cash holdings in the company at the year-end amounted to NOK
664 million (-28%) against NOK 923 million in the previous year.
The decrease in cash was mainly due to higher trade receivables
(+ 53 million), lower trade payables (-43 million), less short term
debt, and payments in connection with new construction.

Ved årsskiftet hadde konsernet ein bokført eigenkapital på NOK
3,06 mrd tilsvarande ein eigenkapitalandel på 38 %. Ved føregåande
årsskifte utgjorde eigenkapitalen NOK 2,67 mrd tilsvarande ein
eigenkapitalandel på 36 %. I løpt av året vart Olympic Princess AS
fusjonert inn i konsernet, noko som resulterte i auka eigenkapital
på NOK 223 mill. Den renteberande gjelda i konsernet utgjorde
NOK 4,82 mrd mot NOK 4,53 mrd i føregåande år. Den renteberande
gjelda auker i takt med overtaking av nybygg. I desember 2013
gjekk ein også i marknaden og utvida obligasjonslån med NOK
100 mill. Den renteberande gjelda er langsiktig, med unntak av
fyrste års avdrag som er klassifisert som kortsiktig gjeld. Konsernet
si netto renteberande gjeld (Renteberande gjeld med frådrag for
likviditetsbehaldning) utgjorde ved årsskiftet NOK 4,16 mrd (+15 %)
mot NOK 3,58 mrd i 2012.
Arbeidskapitalen i konsernet var ved årsskiftet 2013 NOK 750 mill
mot NOK 713 mill i 2012. Fyrste års avdrag av langsiktig gjeld er då
omsynstatt i den kortsiktige gjelda.
Årets resultat inkl. minoritetsinteresser på NOK 142 mill avsettast
til anna eigenkapital.
Finansiell risiko
Konsernet har sine inntekter i NOK, USD, GBP and EUR og er
dermed utsett for volatilitet i valutakursane. Denne risikoen
avdekkast delvis gjennom kostnadar i same valuta samt ei proaktiv
haldning til sikringsinstrumenter i marknaden når nivåa for dette er
riktig. Konsernet er også utsett for endringar i rentenivå, men dette
er godt avdekka gjennom at delar av den langsiktige finansieringa
løper med fast rente. Innbetalte forskot til verft i forbindelse
med kontraherte nybygg er sikra med garantiar frå bank og
kredittinstitusjonar.
Forsikring
Olympic Ship AS har flåten sin forsikra gjennom eit syndikat av
forsikringsselskap. Forsikringane er gjort til marknadsmessige
vilkår for offshoreserviceskip. For skip som opererast i amerikanske
farvatn er det tatt ut tilleggsforsikringar.
Aksjonærforhold
Selskapet har ein aksjekapital på NOK 1 002 920,60 fordelt på 10
029 206 aksjer, kvar aksje pålydande NOK 0,10. Det har ikkje vore
omsett aksjar i selskapet i 2013.
Andre forhold
Det er etter det styret kjenner til ikkje inntrådt forhold etter
reknskapsårets utgong som har betydning for selskapet si stilling
og resultat.
At the year end, the company had book equity of NOK 3.06 billion,
equivalent to an equity ratio of 38%. Prior year equity amounted
to NOK 2.67 billion equivalent to an equity ratio of 36%. During
the year Olympic Princess AS was merged into the company, which
resulted in increased equity of NOK 223 million. The interest-
bearing debt in the company amounted to NOK 4.82 billion, up from
NOK 4.53 billion in the previous year. The interest-bearing debt is
increasing in step with the acquisition of newbuilds. In December
2013, the company expanded a bond-issue with NOK 100 million.
The interest-bearing debt is long term, with the exception of the
first-year installments that are classified as current liabilities. The
company’s net interest-bearing debt (interest-bearing debt less
cash balances) amounted at year-end to NOK 4.16 billion (+ 15%)
versus NOK 3,58 billion in 2012.
Working capital of the company was at the turn of the year 2013
NOK 750 million compared to NOK 713 million in 2012. First-year
installments of long term debt are included in short term debt.
This year’s result, including minority interest, of NOK 142 million will
be allocated to retained earnings.
Financial risk
The group`s revenues are earned in NOK, USD, GBP and EUR, thus
the group is exposed to currency fluctuations. This exposure is
hedged partly by costs in the same currencies, and in using hedging
instruments in the currency markets. The group is also exposed to
fluctuations in interest rates. This risk is well covered through fixed
interest rates for part of the long term debt in the group. The group
has made prepayments to shipyards for vessels under construction.
These deposits are secured by guarantees from banks and credit
institutions.
Insurance
The group`s fleet is insured through a syndicate of insurance
companies. The insurance is provided on market terms for offshore
service vessels. For vessels operating in US waters, the company
has purchased additional insurance policies.
Shareholder Relations
The company has a share capital of NOK 1 002 920,60 spread over
10 029 208 shares, each share with a nominal value of NOK 0.10. No
shares were traded in the company during 2013.
Other conditions
The Board is not aware of any factors or conditions occurring after
fiscal year-end that would result in a significant change in the
company’s position or result.

Utviklingen framover
Den langsiktige etterspørselen i marknaden styrast i stor grad
av utviklinga i oljepris, og den har vore på eit stabilt høgt nivå i
ei lengre periode. Olympic sitt fokus er på dypt vatn, subsea,
miljøsensitive områder og andre krevande strøk. Olympic har ei
moderne flåte som gjenspeglar desse segmenta og vi forventar at
utviklinga i marknaden også vil vedvare sterkast på disse områda.
Olympic er godt forberedt på nye krav frå styresmaktene og
utviklinga i arktiske strøk. Flåten har også ein god balanse mellom
langsiktige og kortsiktige kontrakter, som både gir forutsigbare
kontantstraumar og høve til å utnytte sterke marknadar. Konsernet
er positiv til marknaden i 2014 og forventer ei vidare positiv
utvikling av resultatet. Samla sett meinar styret at selskapet er
godt posisjonert og har eit solid fundament for å møte den forventa
veksten i våre satsingsområder.

etter vår beste overbevisning er utarbeida i samsvar med gjeldande
rekneskapsstandardar og at opplysningane i rekneskapen gir eit

Outlook
The long term demand in the market is governed to a large extent
by developments in oil prices, and these prices has been at a stable
high level for an extended period of time. Olympic’s focus is on
deep water, subsea, and Northern regions. Olympic has a modern
fleet that reflects these segments and we expect that the trends
in our market will remain strong. The fleet also has a good balance
between long term and short term contracts, which provides for
predictable cash flows and opportunities for further growth. The
company is positive with regards to market development in 2014
and expects net income to further increase as a result. Overall, the
Board of Directors believes that the company is well positioned
and has a solid foundation to meet the anticipated growth in our
focus areas.

2.3 Consolidation and business combinations SubsidiariesSubsidiaries are all entities (including special purpose entities) over which the group has the power to govern the financial and operating policies generally accompanying a shareholding of more than one half of the voting rights. The existence and effect of potential voting rights that are currently exercisable or convertible are considered when assessing whether the group controls another entity.
Subsidiaries are fully consolidated from the date on which control is transferred to the group. They are de-consolidated from the date that control ceases.
Acquisition of subsidiaries / business combinationsAcquisitions of other entities or business that constitutes a business are accounted for using the acquisition method. Assets and liabilities assumed in a business combination are measured at there acquisition date fair value. Deferred tax are measured as the difference between the acquisition day fair value and the tax base of the assumed assets and liabilities. Goodwill is measured as the difference between assumed net asset including deferred tax and the consideration transferred, previously interest in the acquire and non controlling interest. Non controlling interest is measured either as the fair value or as their portion of the net value of assumed assets and liabilities. For investment in associated companies goodwill is included in the booked amount of the investment in the associated company. Goodwill is recognized in the balance sheet at cost less accumulated impairments. Goodwill is not amortized but is tested annually for impairments. Negative goodwill book in the income statement at the acquisition date.
Acquisition of entities that does not constitute a business Acquisition of entities that does not include activities to constitute a business is treated as asset purchase. The purchase price is allocated to the assets in full, deferred tax is not calculated on temporary differences arising on first time recognition. Previously held share of this type of entities are measured at fair value at the acquisition date, any differences between the booked value and the fair value is taken to profit and loss. Investment in associated entitiesAssociates are all entities over which the group has significant influence but not control, generally accompanying a shareholding of between 20% and 50% of the voting rights. Associated entities are included in the consolidated accounts from the time the group obtain significant influence, until the time the group loses significant influence.
Investments in associates are accounted for using the equity method of accounting. Under the equity method, the investment is initially recognized at cost, and the carrying amount is increased or decreased to recognize the investor’s share of the profit or loss of the investee after the date of acquisition. The group’s investment in associates includes goodwill identified on acquisition. Elimination of transactions in the consolidated financial statementInter-company transactions, balances, income and expenses on transactions between group companies are eliminated. Profits and losses resulting from intercompany transactions that are

Unrealized losses are eliminated unless the transaction provides evidence of an impairment of the asset transferred. 2.4 Foreign currency translation The group presents its financial statement in NOK. NOK is also the functional currency of the parent company. Each entity with in the group has it own functional currency. The functional currency is the currency of the primary economic environment in which the entity operates. Foreign currency is any other currency than the functional currency of the entity. Transactions in foreign currency are translated at the exchange rate at the time the transaction took place. Cash items in foreign currency are translated to functional currency NOK using the exchange rate on the day of the balance sheet. Any changes are included in profit and loss, unless they relates to the net investment in a foreign entity. For consolidation purposes, the balance sheet figures for a subsidiary with a different functional currency are translated at the exchange rate at the time of balance, and the profit and loss statement is translated at the average rate for the period. Foreign currency translations are recognized in the comprehensive income of equity. On disposal of investment in foreign subsidiaries, accumulated translation differences relating to the subsidiary recognized with a corresponding increase in other comprehensive income 2.5 Revenue and costs recognition evenue is recognized when it is likely that transactions will gener-ate future economic benefits that will accrue to the company and the amount can be reliably estimated. Charter income Revenues from leasing of vessels are recognized over the lease period. The contract begins when the vessel is “delivered” to the charterer, and ends when the vessel is “redelivered”. Revenues from letting out crew and compensation for other operating expenses is recognized over the lease period.
Dividends Dividends are recognized when the group has the right to receive the dividends. Interest income Interest income is recognized using the effective interest method. 2.6 Sale of vessels Profit or loss from the sale of vessels is presented at a separate line for gain/loss on sale of fixed assets and is included in total for income, due to the perception that these transactions are part of the regular business operations. 2.7 Government grants Government grants from the authorities are not recorded until it is reasonably certain that the company will meet the conditions stipulated in connection with the receipt of the grants and that the grants will be received. Government grants are recorded.

2.8 Vessels, depreciation and other property plant and equipmentVessel capital expenses are split into a vessel and a periodic maintenance component. Vessels are recognized in the consolidated financial statement at cost less depreciation. Vessels are depreciated over a use full life of 20 years taking into account the estimated residual value at the en of the useful life. Residual values are assessed annually. The residual values are the managements best estimate of what the value of the vessels would be if they were 20 years to day. For vessels in the fleet older than 20 years useful life is assessed annually. Other items of property, plant and equipment are depreciated over the economic life. 2.9 Maintenance costs Ordinary repairs and maintenance are recognized in the profit and loss account as they occur. The cost of dockings, periodic maintenance, and larger modifications of vessels are recognized on the balance sheet and recognized as expenses on a straight-line basis over the period up to the next planned periodic maintenance/ docking. Upon delivery of new vessels, a portion of the cost of the vessel is valued as deferred maintenance. If a vessel is sold, the capitalized deferred maintenance is deducted from the profit. 2.10 Contracts new builds Paid instalments for new builds are entered as fixed assets as each payment take place. Investments regarding the new vessel that are not included in the contract, such as inspection costs, and other related costs and rebates during construction are capitalized. Vessels under construction are not depreciated until the asset is taken into use. Yard payments, inspection costs and a minor portion of the construction contract are financed using our resources. Borrowing costs linked to qualified assets must be recognized on the balance sheet together with the asset. 2.11 Non-current assets (or disposal groups) held for sale Non-current assets (or disposal groups) are classified as assets held for sale when their carrying amount is to be recovered principally through a sale transaction and a sale is considered highly probable. They are stated at the lower of carrying amount and fair value less costs to sell.
2.12 Leases Leases in which a significant portion of the risks and rewards of ownership are retained by the lessor are classified as operating leases. Payments made under operating leases (net of any incentives received from the lessor) are charged to the income statement on a straight-line basis over the period of the lease.
2.13 Goodwill Goodwill is measured as the differences between net fair values of assets and liabilities assumed in a business combination and the consideration transferred, previously held interest measured at fair value and non controlling interest. For the purpose of impairment testing, goodwill acquired in a business combination is allocated to each of the CGUs, or groups of CGUs, that is expected to benefit from the synergies of the combination. Each unit or group of units to which the goodwill is allocated represents the lowest level within the entity at which the goodwill is monitored for internal management purposes. Goodwill is monitored at the operating segment level. Goodwill impairment reviews are undertaken annually or more frequently if events or changes in circumstances indicate a potential impairment. The carrying value of goodwill is compared to the

2.14 Impairment of non-financial assets Assets that have an indefinite useful life – for example, goodwill or intangible assets not ready to use – are not subject to amortization and are tested annually for impairment. Assets that are subject to amortization are reviewed for impairment whenever events or changes in circumstances indicate that the carrying amount may not be recoverable. An impairment loss is recognized for the amount by which the asset’s carrying amount exceeds its recoverable amount. The recoverable amount is the higher of an asset’s fair value less costs to sell and value in use. For the purposes of assessing impairment, assets are grouped at the lowest levels for which there are separately identifiable cash flows (cash-generating units). Non-financial assets other than goodwill that suffered an impairment are reviewed for possible reversal of the impairment at each reporting date. 2.15 Financial instruments Classification The group classifies its financial assets in the following categories: a) at fair value through profit or loss, and b) loans and receivables. The classification depends on the purpose for which the financial assets were acquired. Management determines the classification of its financial assets at initial recognition.
(a) Financial assets at fair value through profit or loss Financial assets at fair value through profit or loss are financial assets held for trading. A financial asset is classified in this category if acquired principally for the purpose of selling in the short term. Derivatives are also categorized as held for trading unless they are designated as hedges. Assets in this category are classified as current assets if expected to be settled within 12 months, otherwise they are classified as non-current. Financial assets carried at fair value through profit or loss are initially recognized at fair value, and transaction costs are expensed in the income statement. Gains or losses arising from changes in the fair value of the ‘financial assets at fair value through profit or loss’ category are presented in the income statement within ‘other (losses)/gains – net’ in the period in which they arise. Financial assets are derecognized when the rights to receive cash flows from the investments have expired or have been transferred and the group has transferred substantially all risks and rewards of ownership. (b) Loans and receivables Loans and receivables are non-derivative financial assets with fixed or determinable payments that are not quoted in an active market. They are included in current assets, except for maturities greater than 12 months after the end of the reporting period. These are classified as non-current assets. The group’s loans and receivables comprise ‘trade and other receivables’ and ‘cash and cash equivalents’ in the balance sheet. Loans and receivables are initially recognized at fair value plus transaction costs. After initial recognition loans and receivables are accounted for using amortized cost.

Other financial liabilities Other financial liabilities includes all liabilities not classified as fair value to profit and loss at initial recognition. At initial recognition they are recognized at fair value net of any transactions costs directly attributable to the issue of the instrument. Such interest bearing liabilities are subsequently measured at amortized cost. Financial liabilities are de recognized when the group are no longer liable for the liability. This usually transpire when the group settles it liabilities thru payments. Offsetting financial instruments Financial assets and liabilities are offset and the net amount reported in the balance sheet when there is a legally enforceable right to offset the recognized amounts and there is an intention to settle on a net basis or realize the asset and settle the liability simultaneously. 2.16 Trade receivables Trade receivables are amounts due from customers for merchandise sold or services performed in the ordinary course of business. If collection is expected in one year or less (or in the normal operating cycle of the business if longer), they are classified as current assets. If not, they are presented as non-current assets.
2.17 Cash and cash equivalents In the consolidated statement of cash flows, cash and cash equivalents includes cash in hand, deposits held at call with banks, other short-term highly liquid investments with original maturities of three months or less and bank overdrafts. 2.18 Equity Where any group company purchases the company’s equity share capital (treasury shares), the consideration paid, including any directly attributable incremental costs (net of income taxes) is deducted from equity attributable to the company’s equity holders until the shares are cancelled or reissued. Where such ordinary shares are subsequently reissued, any consideration received, net of any directly attributable incremental transaction costs and the related income tax effects, is included in equity attributable to the company’s equity holders.

Non-controlling interest is included in equity. Non-controlling interest is measured at the proportional amount of net assets and liabilities assumed in the business combination, alternative including goodwill. A portion of the resulted in the subsidiaries with the non-controlling is allocated to the non-controlling interest. Sale and purchase of shares to and from the non-controlling interest is accounted for as a equity transaction. Any differences between the portion of booked amount and the transaction price is booked against the controlling interest portion of equity.
2.19 Trade payables and other short term liabilities Trade payables are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Accounts payable are classified as current liabilities if payment is due within one year or less (or in the normal operating cycle of the business if longer). If not, they are presented as non-current liabilities. Trade payables are recognized initially at fair value and subsequently measured at amortized cost using the effective interest method. 2.20 Borrowings Borrowings are recognized initially at fair value, net of transaction costs incurred. Borrowings are subsequently carried at amortized cost; any difference between the proceeds (net of transaction costs) and the redemption value is recognized in the income statement over the period of the borrowings using the effective interest method. Fees paid on the establishment of loan facilities are recognized as transaction costs of the loan to the extent that it is probable that some or all of the facility will be drawn down. In this case, the fee is deferred until the draw-down occurs. To the extent there is no evidence that it is probable that some or all of the facility will be drawn down, the fee is capitalized as a pre-payment for liquidity services and amortized over the period of the facility to which it relates. 2.21 Borrowing costs General and specific borrowing costs directly attributable to the acquisition, construction or production of qualifying assets, which are assets that necessarily take a substantial period of time to get ready for their intended use or sale, are added to the cost of those assets, until such time as the assets are substantially ready for their intended use or sale. Investment income earned on the temporary investment of specific borrowings pending their expenditure on qualifying assets is deducted from the borrowing costs eligible for capitalization.
All other borrowing costs are recognized in profit or loss in the period in which they are incurred. 2.22 Current and deferred income tax The Group companies are taxed under the tonnage tax rules. The Group companies chose to enter the new tonnage tax scheme from 01.01.2010. The shipping companies are not taxed on the net profit. Net investment income taxed currently (28%). Tonnage tax and tax abroad calculated on the basis of operating income is classified as an operating expense. The tax expense in the Financial Statement consists of payable tax and changes in deferred tax. Taxes are recognized in profit and loss, with the exception of taxes related to items booked directly

2.19 Leverandørgjeld og annan kortsiktig gjeldLeverandørgjeld er forpliktelsar til å betale for varer eller tenester som er levert fra leverandørane til den ordinære drifta. Leverandørgjeld er klassifisert som kortsiktig dersom den forfaller innan eitt år eller kortare. Dersom dette ikkje er tilfelle, klassifiserast det som langsiktig. Leverandørgjeld målast til verkeleg verdi ved fyrstegongs balanseføring. Ved etterfylgjande måling vurderast leverandørgjeld til amortisert kost ved bruk av effektiv rente. 2.20 Lån Lån rekneskapsførast til verkeleg verdi når utbetaling av lånet finn stad, med frådrag for transaksjonskostnadar. I etterfølgande perioder rekneskapsførast lån til amortisert kost berekna ved bruk av effektiv rente. Ulikskapen mellom det utbetalte lånebeløpet (fråtrukke transaksjonskostnadar) og innløysingsverdien resultatførast over lånet si løpetid som del av effektiv rente. Kostnadar knytta til etablering av trekkrettar balanseførast i påvente av låneopptak dersom det er sannsynleg at lån vert trukke opp. Kostnadane førast seinare til frådrag på lånet ved opptrekk. Dersom det ikke ansjåast sannsynleg at heile eller delar av trekkrettar vert trukke opp balanseførast honoraret som forskuddsbetalte likviditetstenester og kostnadsførast over perioden rettane gjeld for. 2.21 LånekostnadarLånekostnadar frå generell og spesifikk finansiering knytta til anskaffelse, konstruksjon eller produksjon av kvalifiserande eigendelar, som er eigedelar som det vil ta ein betydeleg periode å ferdigstille for tiltenkt bruk eller sal, aktiverast som ein del av anskaffelseskosten for eigedelen, fram til tidspunktet når eigedelen i all hovudsak er klar for tiltenkt bruk eller sal. Eventuelle kapitalinntekter frå midlertidig plasseringar av lånebeløp, som enno ikkje er nytta til anskaffelse av ein kvalifiserande eigedel, skal trekkast frå rentekostnadar som aktiverast som ein del av anskaffelseskosten for eigedelen. Alle andre rentekostnadar kostnadsførast i den perioden dei påløper. 2.22 Betalbar og utsett skattKonsernselskapa beskattast etter rederibeskatningsreglane. Deferred income tax assets and liabilities are offset when there is a legally enforceable right to offset current tax assets against current tax liabilities and when the deferred income taxes assets and liabilities relate to income taxes levied by the same taxation authority on either the same taxable entity or different taxable entities where there is an intention to settle the balances on a net basis. 2.23 Provisions Provisions for environmental restoration, restructuring costs and legal claims are recognised when: the group has a present legal or constructive obligation as a result of past events; it is probable that an outflow of resources will be required to settle the obligation; and the amount has been reliably estimated. Restructuring provisions comprise lease termination penalties and employee termination payments. Provisions are not recognised for future operating losses.
Where there are a number of similar obligations, the likelihood that an outflow will be required in settlement is determined by considering the class of obligations as a whole. A provision is recognised even if the likelihood of an outflow with respect to any one item included in the same class of obligations may be small.

Utsett skatt bereknast på midlertidige ulikskapar frå investeringar i dotterselskap og tilknytta selskap, bortsett frå når konsernet har kontroll over tidspunktet for reversering av dei midlertidige ulikskapane, og det er sannsynleg at dei ikkje vil verte reversert i overskueleg framtid. Det gjerast difor ei avsetning sjølv om sannsynet for oppgjer knytta til det enkelte forholdet kan vere lågt.

Provisions are measured at the present value of the expenditures expected to be required to settle the obligation using a pre-tax rate that reflects current market assessments of the time value of money and the risks specific to the obligation. The increase in the provision due to passage of time is recognised as interest expense. 2.24 Classification of assets and liabilities Current assets and liabilities are those that falls due with 12 months of the balance sheet date, and other items that are a part of the operating cycles for the group. Long-term investments are classified as non-current assets. Current portion of long-term debt is classified a current.
2.25 Dividend distribution Dividend distribution to the company’s shareholders is recognised as a liability in the group’s financial statements in the period in which the dividends are approved by the company’s shareholders. 2.26 Contingent obligations and assets Contingent obligations are not booked in the annual accounts. Significant contingent obligations are reported with the exception of those contingent obligations in which the likelihood of the obligation arising is very unlikely. A contingent asset is not booked in the annual accounts, but reported if there is a certain level of probability that the Group will attain a benefit. 2.27 Events after the balance sheet date New information on the company’s positions at the balance sheet date is taken into account in the annual financial statements. Events after the balance sheet date that do not affect the company’s position at the balance sheet date, but which will affect the company’s position in the future, are stated if significant.
NOTE 3 CRITICAL ACCOUNTING ESTIMATES AND ASSUMPTIONS
Use of estimates – provisions – assessments The preparation of financial statements in conformity with IFRS requires the use of certain critical accounting estimates. It also requires management to exercise its judgment in the process of applying the Company’s accounting policies. The areas involving judgment or complexity, or areas where assumptions and estimate are significant to the consolidated financial statements are summarized below: Vessels – The booked values of the group’s vessels represents approx. 80% of the balance sheet total. Judgment and estimates linked to the vessels have a significant impact on the group’s financial statements. Useful life of vessels – Estimated useful life for vessels is based on strategy, market experience and knowledge of the types of vessels the company owns. Depreciation is significantly effected by the level of useful life. Residual value by end of useful life - The level of depreciation depends on an estimate of expected residual value at the balance sheet date. Assumptions concerning residual value are made based on experience and knowledge of the market for used vessels, where value estimates at the balance sheet day obtained from shipbrokers is one of the criteria.

NOTE 3 VESENTLEGE ESTIMATENDRINGAR OG USIKKERHEIT
Bruk av estimater – avsetningar – skjønnsmessige vurderingar Utarbeiding av rekneskaper i samsvar med IFRS krev bruk av estimater. Vidare krev anvendelse av selskapet sine rekneskapsprinsipp at leiinga må utøve skjønn. Områder som i høg grad inneheld slike skjønnsmessige vurderingar eller høg grad av kompleksitet, eller områder der forutsetningar og estimater er vesentleg for konsernregnskapet er oppsummert nedanfor: Skip – Dei balanseførte verdiane av konsernet sine skip representerar omtrent 80 % av den totale balanse. Vurderingar og estimater knytta til skipa har ein vesentleg innverknad på konsernet sine årsrekneskap. Brukstid for skip – Vurderinga av brukstida for skip er basert på strategi, marknadsmessige erfaringar og kunnskap om dei typer skip konsernet eig. Avskrivingsnivået vil avhenge av skipa sine forventa brukstid. Restverdi ved utløp av økonomisk brukstid – Avskrivingsnivået vil vere avhengig av ei vurdering av forventa restverdi på balansedagen. Vurdering vedrørande restverdi gjerast basert på erfaring og kunnskap om markedet for brukte skip, der innhenta meklaranslag for balansedagen sin verdi av skip er eit av kriteriane.

Capitalization and depreciation of deferred maintenance - Periodic maintenance is related to major inspections and overhaul costs. Ordinary maintenance cost will not be included in the capitalization. Investments made in connection with periodical maintenance are depreciated until the vessel entered into next periodical maintenance. Intervals are calculated on the basis of past experience and best estimates for when next periodical maintenance will be done. Deferred tax assets - Entered in the balance sheet based on the utilisation of tax losses carried by reversing taxable temporary differences and taking account of future earnings. Provisions for uncertain receivables - When there are objective indicators that the group will not receive settlement in accordance with the original conditions, a provision for uncertain receivables is made. Revision to accounting estimates and provisions are recorded in the period in which the estimates are revised if the revision affect that period, or in the period of revision and future periods if the revision affects both current and future periods. A provision is recognised when the Group has an obligation (legal or self-imposed) as a result of a previous event, it is probable (more likely than not) that a financial settlement will take place as a result of this obligation and the size of the amount can be measured reliably.
NOTE 4 FINANCIAL RISK MANAGEMENT
As a result of the activities in the group and investments in financial instruments the group are exposed to several financial risks. The group has exposure against market risk such as interest risk related to borrowings, currency risk related to derivatives and future revenues in foreign currencies. Investments in listed financial instruments result in a exposure against marked rates. outstanding accounts means exposure against credit risk, while future payment commitments gives a exposure against liquidity risk The Group’s overall risk management program focuses on minimizing potential adverse effects on the result caused by volatility in the capital and financial markets, the company is exposed. It uses financial derivatives to hedge against this risk. Forward contracts are used to hedge exchange rate for future income in foreign currency. The company has used the funding in a currency other than Norwegian kroner for the same purpose. Risk management is looked after by the CEO, Deputy CEO and CFO. The financial risk is a continuous assessment in the context of the company’s operation. Credit risk Credit risk is risk related to the counterparty to the group may give rise to losses for the group by not settle their commitments. Credit risk exposure is primarily related to accounts receivables and other receivables. It also credit risk related to financial derivatives and cash and cash equivalents.

Endringar i rekneskapsmessige estimater/ avsetningar rekneskapsførast i den perioda endringane oppstår. Dersom endringane også gjeld framtidige perioder fordelast effekten over inneverande og framtidige perioder. Ei avsetning rekneskapsførast når konsernet har ei plikt (rettsleg eller sjølvpålagt) som ei fylgje av ei tidligare hending, det er sannsynleg (meir sannsynleg enn ikkje) at det vil skje eit økonomisk oppgjer som fylgje av dette ansvaret og beløpet sin størrelse kan målast påliteleg.
NOTE 4 FINANSIELL RISIKOSTYRING
Som fylgje av verksemda i konsernet og plasseringa som vert gjort i verdipapirer er konsernet eksponert mot fleire finansielle risikoar. Konsernet er eksponert mot marknadsrisiko i form av renterisiko knytta til innlån, valutarisiko knytta til derivater og framtidige inntekter i valuta. Investeringa i børsnoterte aksjar medfører at konsernet eksponerast mot kursrisiko. Uteståande fordringar medfører eksponering mot kredittrisiko, medan framtidige forpliktelsar til betaling av gjeld medfører eksponering mot likviditetsrisiko. Konsernet sin overordna plan for risikostyring fokuserar på å minimalisere dei potensielle negative effektane på resultatet forårsaket av volatilitet i kapitalmarknaden og dei finansielle marknadane selskapet er eksponert mot. Det nyttast finansielle derivater for å sikre seg mot denne type risiko. Terminforretningar er nytta som sikring av vekslingskurs for framtidige inntekter i framand valuta. Selskapet har nytta finansiering i annan valuta enn norske kroner med same formål. Risikostyringa er ivaretatt av adm. dir, vise adm. og finansdirektør. Den finansielle risikoen er ein kontinuerleg vurdering sett i samanheng med selskapet sin operasjon. Kredittrisiko Kredittrisiko er risikoen for at motparten vil påføre konsernet eit tap ved ikkje å gjere opp konsernet sitt tilgodehavande. Kreditteksponering er primært knytta til kundefordringar og andre fordringar. Det er også kredittrisiko knytta finansielle derivater og kontantar og kontantekvivalentar.

Cash and cash equivalents are deposited in financial institutions with high credit rating. Liquidity risk Liquidity risk is the risk that the group is not able to satisfy it commitments as they fall due, and the risk that the group would not be able to satisfy it commitments without significantly increasing it funding costs. From a broader perspective liquidity risk includes that the it also includes the risk that the group can not get financing for increasing the it investments in assets as the need for refinancing is increasing.

A significant portion of the cost are in NOK. The result in risk exposure to currency risk.

Utestånde fordringar utgjer ein liten del av konsernet sine totale eigedelar og er i hovudsak knytta til oljeselskap med høg kredittverdighet. Kontantar og kontantekvivalentar er plassert i solide bankar med høg kredittverdighet. Likviditetsrisiko Likviditetsrisiko er risikoen for at konsernet ikkje er i stand til å innfri sine pliktar ved forfall, samt risikoen for at konsernet ikkje klarer å møte sine likviditetsforpliktelsar utan at kostnaden øker dramatisk. Ut fra eit breidare perspektiv inneheld likviditetsrisiko også risiko for at konsernet ikkje er i stand til å finansiere økningar i eigedelar etter kvart som refinansieringsbehovet økar. Etterfylgjande tabell viser framtidige utbetalingar basert på gjeldande løpendetid på forpliktelsar.

Marknadsrisiko Kursrisiko Konsernet har investert totalt MNOK 123 i noterte verdipapirer. Endringer i kursnivået på aksjene vil medføre endringer i konsernets finansielle stilling. Valutarisiko Konsernet inntekter er i hovedsak i USD, Pund, BRL og NOK. En betydelig andel av kostnadene, samt finansieringen er i norske kroner. Dette medfører eksponering mot valuta risiko.
