OUR TRACK RECORDWith deep and extensive roots in Africa and a solid track record that spans more than 12 years of performance, Nexii has an international reputation for contribution to the field of social finance and impact investment.

Nexii’s founding management was also the founding management of the GreaterGood Group, responsible for the establishment and success of GreaterCapital, the South African Social Investment Exchange (SASIX) and the South African Network for Impact Investing (SAII).

Together the Nexii management team has played a catalytic role in developing impact investment in South Africa, and has been responsible for the initiation and replication of important elements of impact investment in many different regions across the world.

As a neutral open access exchange platform, Nexii platforms and services are open to all individuals, institutions, businesses or advisory groups interested in and committed to increasing the flow of impact capital to accountable, transparent and effective initiatives across the globe. The three key roles players in the Impact Investing Community are:

High impact businesses and impact investment funds that provide a solution to a social and/or environmental problem as their primary reason for existence, and measure their impact to track performance and change. Social businesses can be non-profit, for-profit or hybrid organisations.

Impact investors (individuals, institutions, family offices, wealth advisors and other) who commit to investing in impact and demand demonstrated positive social and/or environmental change emanating from the companies they invest in. Depending on their priorities, investors can be classified as either finance-first or impact-first investors.

Intermediaries who serve either (or both) high impact businesses or impact investors by providing financial advisory or intermediation services, or build capacity through technical assistance and business development support services.

Nexii’s investment platforms enable high impact businesses or funds to raise their profile and seek the capital they need to scale, replicate or implement new activities.

With support from an accredited Impact Advisor, eligible high impact businesses, projects, enterprises or investment funds can have their offerings registered on a Nexii platform and engage with investors, who are keen to use Nexii’s services and regulated market infrastructure to choose and invest in their future. Nexii-listed impact investment offerings are required to provide both traditional audited financial reports as well as verified social impact reports.

Nexii’s investment platforms provide a transparent meeting place for impact investors and high impact businesses and funds, and facilitate optimal and blended financing solutions with a range of risk and return investment options that are vital in building the impact investing sector. Nexii’s

tiered approach to establishing stage-appropriate infrastructure speaks to the diversity and the nascent stage of the impact investing sector, and enables greater access to capital to be established while maintaining standards of transparency, accountability and consistency between offerings.

Nexii has established the following marketplaces which are now open to, and listing, high impact business and investment opportunities:

The Impact Exchange Board (iX) is a publically regulated multi-currency ($, €, £) exchange board operated in collaboration with the Stock Exchange of Mauritius and is dedicated to high impact businesses and impact investment funds seeking a public listing to raise equity and/or debt in the global capital markets.

The Impact Capital Platforms (iC) provide impact investment information platforms in collaboration with transparent,

regulated market infrastructure to facilitate investment in unlisted securities. Operating regionally in compliance with prevailing regulation, the iC is tailored towards high impact businesses looking to scale impact, but not enter the public capital markets.

The Impact Opportunities Platform is a grant-based platform open to iC- or iX-listed businesses seeking to raise grants and/or convertible grants, which help to leverage their potential for scaling impact by supporting their technical capacity, research and development, manufacturing or other expansion needs. This platform can be used by early-stage enterprises in order to accelerate their growth, as well as by larger enterprises also listed on the iX or iC who wish to leverage their capital raising with technical-assistance grant finance to build capacity, conduct new product research or increase manufacturing operations.

Nexii provides impact investment platforms with trusted regulatory oversight to facilitate the transparent flow of capital to high impact businesses that address critical social and environmental challenges.

Programme development: We provide advice and support with the definition, implementation and management of impact investment programmes and facilitate the flow of robust, clearly researched impact-based information to inform value driven decision-making and the effective allocation of resources.

Strategic policy and programme design workshops for the development of thoughtful and relevant policies and procedures to inform impact investment activities.

Socio-economic development (SED) policy, strategy and implementation programmes based on participatory research and good practice from the field.

Customised investment due diligence and reporting protocols based on meaningful performance measurement tools and relevant indicators.

Independent impact assessments and investment due diligence for impact investment portfolio and fund management: Undertaking impact assessments and developing independent reports

to profile the social and/or environmental impact and governance compliance of a portfolio of investments for internal purposes as well as distribution to shareholders and other stakeholders.

Management information tools and software: Impact investment due diligence and reporting system for managing information and tracking performance.

Research and support services for regional impact investment marketplace development, including integration with necessary marketplace infrastructure to meet particular market demands. Nexii also has a marketplace website that can be licensed and customised by in-country partners for the purposes of listing impact investment opportunities.

Financial product research design and development services: We consult on the design and implementation of innovative financial models intended to raise and/or mobilise capital for social, economic and environmental impact.

Project, programme and sector research and analysis: Development sector research based on participatory, inclusive community needs methods and tools, and good practice studies to build programmatic practice standards and understanding of contextual development issues.

Capital-raising support and marketing services to build relationships and levels of engagement for high impact businesses through a series of marketing and media events, including roadshows, webinars, presentations and online presence.

Nexii provides a range of specialist consulting services focused on supporting the unique needs of the impact community and all its actors. These include:

In addition, Nexii’s key support programmes linked to investor and issuer education, advocacy and investment support services are essential to grow understanding and build practice standards in the impact investment field.

Nexii’s field-building activities are implemented through its public-benefit non-profit organisation, The Impact Trust, and supported by its global networks and local partnerships. Overall these activities aim to promote thoughtfulness, elaborate upon key insights and knowledge about the development sector’s needs and encourage new and effective models for implementation. Field-building activities include:

Training workshops:Nexii provides a series of modular skills development workshops and onsite training covering subjects such as: developing a theory of change; understanding due diligence; developing assessment, evaluation and monitoring tools and protocols; impact performance measurement; organisational capacity assessment and risk assessments.

Impact Leader’s Forums: The Nexii Impact Leader’s Forums provide a stimulating environment where professionals can network, debate and learn from each other. Impact investment is evolving, presenting evermore complex issues and opportunities for investors wanting to play their part in transforming society.

Advocacy research and design programmes, including:

� Understanding the barriers limiting access to affordable finance for small and medium enterprises (SMEs) in South Africa;

� Comparative analysis of corporate structures and their related tax and regulatory policies in order to define the possibilities for a social business structure in South Africa;

� Understanding the environment applicable to, and models appropriate for, a risk-capital platform for equity-based investment in rural SMEs in Latin America;

� Conceptualising the design of private sector investment mechanisms to facilitate broad-based investment in high impact bonds. Nexii is currently working on the application of a renewable energy impact bond in various developing world contexts.

Central to Nexii’s mission and critical to the achievement of its goals is the role it plays in building connections and cohesiveness to reduce fragmentation between actors in the field.
