FRANCHISEE TERMS AND CONDITIONS

Applicant must have Office Premises in prime location with all communication facilities available Like Telephone, Computer & Internet facility.

An interest free and refundable security deposit to be paid as the company norms (for any State Rs. 25,000.00 and any location Rs.10,000.00 as refundable) through DD / Cheque in favor of NDS EXPRESS payable at Guwahati .

One time administration cum processing charge of Rs. 2000.00 only (non-fundable) to be paid in cash or through DD / Cheque in favor of NDS EXPRESS payable at Guwahati.

It is mandatory for the franchisee to register himself with Service Tax authorities. It is clearly understood that the franchisee himself will clear his income tax dues, periodically and as per time schedule. The Company will in no way be responsible for any default on the part of the franchisee who shall be directly answerable to the concerned Govt. Authorities.

The franchisee has to operate from the allocated specified location by the company. Any change in location or office has to be with prior approval of the company. Also franchisee should intimate the company within 24 hrs in case of any changes in phone Nos / Email ID.

The franchisee has to operate under specific presentation of brand image as described by the company time to time. The Franchisee has to ensure compliance of all company’s policies related to brand image & publicity.

The franchisee shall have the right to use the name / Logo of the company only for promoting the company’s Business during the period of agreement. It is clarified for removal of the doubts that all the rights in such advertising materials name board, design logo and trade mark shall always remain vested with the company and the franchisee shall have absolutely no right title or interest in the same.

The company shall provide to the franchisee the printed stationery items such as consignments Note Books, Manifests, Delivery Run Sheet, Letter Heads, Visiting Cards, and Labels & Stickers on actual cost basis.

The Franchisee would be responsible for safe & prompt deliveries of all consignments handed over by company to run him for delivery in their allocated areas and should submit proof of deliveries and undelivered consignments details with proper reasons to the company before end of same day. Also the franchisee will ensure safe handover of whatever Consignments booked by them to the company’s nearest Hub Office as explained to them through Operation Policy. In case of the loss by them at their or during transit, the franchisee alone will be liable to make good the loss, if any sustained by the customers If for any reason whatsoever the franchisee fails to deliver the consignments in time, they alone will be responsible and liable for any loss or damage caused to the customer due to late delivery of the consignments. The Franchisee hereby indemnify by the company against loss if any, caused to the customers on the account

The Franchisee will ensure that all consignments booked under NDS consignment note should be connected to the company only. The franchisee will also ensure that all bookings made on NDS Consignment note should be only for destinations served by NDS as per Serviceable Stations list and as per circular for new stations given time to time. The Franchisee will ensure no contraband / illegal goods / hazardous or extra hazardous goods are booked by them. They will not book any goods prohibited under the laws of IATA.

The company will raise Fortnightly Invoices to the Franchisee against the Consignments booked by the Franchisee and services for same have been rendered by the company according to the transshipment rates provided by the company. The Franchisee will ensure payments of due Invoices within the allocated credit period as informed to the under Accounting Policy.

The Franchisee may give credit to its customers / clients while booking the consignments entirely at their own risk as to costs and consequences and the company shall not be concerned with the same in any manner what so ever. The Franchisees shall independently recover the payment due and payable by the customers / clients to them for a consignment booked or picked up by them.

The Franchisees shall be responsible for and bear all the expenses that they may be required to incur such as municipal taxes, society charges or any other Government dues, telephone bills and all other overheads for conducting their business.

The Franchisees are the principal employers for the purpose of relevant laws and regulation of any government central and / or state local body’s / statutory body’s having jurisdiction. The Franchisees shall always keep the company indemnified against any liabilities / proceedings / prosecution initiated by the government / local / statutory body or employees engaged by the franchisees arising out of branch of such status, rules and regulations etc. on the part of the Franchisees.
