more than 50 different vessel types. The engine simu-lator includes a 1:1 engine control room of a 5000 TEU container vessel and the data bases for the operation of different engines. The main engine is a two stroke MAN 7K98 MC.

Furthermore MTC together with MAN Diesel facilita-tes a comprehensive training workshop with all the components available to provide training courses for 2-stroke, 4-stroke engines as well as turbochargers. In addition MTC has also installed a simulator for GMDSS and a liquid cargo simulator for the educa-tion of oil and gas tanker crews. Training courses in accordance with STCW 95 of ma-co are integrated into the MTC course portfolio. With a training capacity of 14.300 man-days MTC is one of the largest marine trai-ning centers in Europe.

LoCaTionMTC is located in Stellingen, only 15 minutes by car from the airport and also 15 minutes from the center, easy to reach by bus, metro or by car via the highway A7. Parking is possible.

Various possibilities to spend your evenings and free time in the beach clubs near the river Elbe or in the center of Hamburg with restaurants, bars and other facilities.

serving on ships, using state of the art shiphandling,

radar, gMDSS, engine and cargo simulators.

SHareHoLDerS anD ParTnerSShareholders of this Marine Training Center are the shipping companies Rickmers Reederei, Orion Bulkers,and Marlow Navigation as crew manager. Further shareholders are MAN Diesel as supplier of engines, the class society Germanischer Lloyd, the Pilots Associations from River Elbe, Port of Hamburg and Kiel Canal, ma-co maritimes competenzcentrum e.V. and private investors as well as SAM Electronics as a cooperation partner. By integrating the pilots, the specialists of ma-co and GL-Academy MTC will guaran-ty quality and professional know-how on highest level.

SiMuLaTorS CreaTe eXPerienCe Training and education of ship’s crews is an importantaspect in manning policy of the shipping companies. The nautical education takes 5 years to receive an officers license and another 5 years for a navigator to get the necessary experience to take over a vessel as a captain. Simulator training can help to shorten this period since there is a huge demand for qualified per-sonnel, particularly captains. Whenever problems occuror customers are observing a deficit in qualification for particular tasks MTC is prepared to develop a spe-cific customer or purpose designed course.

reSearCH & DeveLoPMenTWhenever a new harbour, navigation channel or jetty is being planned or constructed, MTC is the right part-ner to conduct studies and evaluate the best design using the shiphandling simulator. Extensive softwa-re tools are available to create new data bases and models. The visual model of the new harbor is gene-rated as well as the ECDIS to provide the best envi-ronment for the test manoeuvres with different ships models under all desired weather conditions, tides and current. The R & D projects can be conducted under the full responsibility of MTC with own project management or together with partners. We also rent out the simulator together with operating personnel to external contractors. Consultancy for pilotage is available through our partners. CourSeSMTC is emphasising on navigation courses as well as technical and safety courses. Ship’s crews and pilots can train sailing, manoeuvring and berthing. The Ship-handling Simulator with three bridges and the Radar Simulator with 3 bridges are capable to simulate

A modern mechanical Diesel engine training workshopenables MTC to provide technical training for the main-tenance and operation of MAN B&W two-stroke engi-nes, MAN medium speed four stroke engines, electroni-cally controlled main engines and auxiliary equipment.Experts from MAN are available to provide detailed recommendations, methods and routines for the operation and maintenance of MAN engines to avoid damages and optimize maintenance costs.

A considerable number of newbuildings delivered are equipped with an electronically controlled main engi-ne. The MTC training engineer educated by MAN pro-vides detailed information on the operation of these engines with assistance of a simulator for electronic engines.

The Ship Engine Simulator (SES) is a shore based teamtrainer for training the procedures and operations in the technical control center of a vessel to achieve a maximum of engine handling capability. All processes included in the SES are simulated in real-time.

The simulator model is based on a 5000 TEU contai-ner vessel driven by a two stroke engine MAN B&W 7K98 MC, with 3 generators MAN B&W 7L32 / 40, shaft generator, turbo generator. To provide most realistic training a real automation system including power management as well as a main engine remote control system with governor of SAM Electronics is installed. Due to availability of these systems SAM related user training courses can be offered to our customers. The Ships Engine Simulator is connected to the main bridge of the Ship Handling Simulator.

Electrical systems are getting more complex onboard modern vessels. Particularly large container vessels with high reefer capacity and specialized vessels are using medium voltage power systems.

In order to make the engineers and crew familiar with this technology a real medium voltage switchboard is installed in one of our classrooms.

A remote control station is installed at the bridge conso-le to run the engine room operations from the bridge. Both simulators can be linked using the same ships model to execute bridge / engine team training. Other engine models from MAN, MAK, Sulzer and Caterpillar are available and can be used for training courses.

“Practical applications from practical experience” is the motto of ma-co maritimes competenzcentrum e. V.. The STCW 95 training courses of ma-co, e. g. Basic Safety, Survival Craft and Rescue Boat as well as Fire Fighting, will be integrated into the MTC course port-folio. ma-co’s certificates of completion fulfil the IMO standards in accordance with STCW 95. Every training course has been approved by Germanischer Lloyd. Additionally most of the training courses are also approved by the German Authorities.

ma-co also offers Medical Care courses according to STCW 95 for coastal or worldwide operation in our classrooms.

With this setup all students and the instructor are able to communicate with each other, both by voice and text provided that they are operating within the rangearea of the communication system in use.

Scope This course is primarily simulator based, with classroom elements. Types of tugs and propulsion. Towing equipment types. Towing strategies, various methods of use. Pivoting point theory, effect of fore and aft tug. Necessary bollard pull, number of tugs, induction of forces into the ship‘s hull. Dangers, ship/tug interaction, considerations for safe manoeuvring with tugs. Special manoeuvres: ice, escorting. Ship/tug communication.

objectives The task of manoeuvring a ship with the assistance of harbour tugs is a prime example of teamwork. The master and officers, the pilot, the tug skippers and the linesmen should collaborate as one team . This course is designed to demonstrate what can be done and what can‘t with tugs and to be a guide to the efficient and safe use of tug assistance. Knowledge of these factors should enhance the ability of all involved to combine their efforts in the sense of teamwork, with the ultimate goal of enhancing safety and efficiency of the vessel, tugs, property and personnel.

Course Title radar, arPa, bridge Team Work and Search and rescue

Scope The course is essentially practical and consits of a series of exercises performed on a radar simulator with two ore more own-ships and a number of others controlled by the instructor. Each exdercise will involve observing the movement of ships seen on the RADAR, recognizing those presenting a threat of collision and taking action to avoid collisions. Trainees will act either as Master or as an observing officer for the exercises, and will change roles to allow each to turn in command of the ship.

objectives Those successfully completing this course will be able to make efficient and effective use of radar as a navigational aid in congested, confined waters, recognize potential threats and make valid navigational and collision-avoidance decisions based on sound radar observation and plotting in compliance with COLREG. They will be aware of the time needed to appreciate that a dangerous situation is developing, to decide upon and take appropriate action, and to ascertain that such action is adequate and does not give rise to further conflicts with other vessels. They will also realize that excessive speed in poor visibility reduces the time available to assess a threat and to take appropriate action. Course Title Claims and insurance, Collecting evidence, P&i, H&M

Scope This is a classroom course, with one simulation near its end to support a case study in which subjects learned are to be applied in a practical exercise. The course is designed to create an understanding of all aspects of issues that arise in connection with losses as they may be experienced on board. All important aspects of managing a loss or casualty are covered, including insurance, salvage, General Average, legal and liability matters. The course is directed mainly at shipmasters and chief officers, but shore personnel, such as superintendents and claims handlers, will also benefit from it.

objectives The manner in which shipboard or shore staff deal with an incident may make all the difference between severe exposure and successful recovery or defence. They should,after having completed the course, be in a better position to deal with casualties and to support their owners, charterers, P&I Club or insurance company in dealing with a loss. They should be better able to avoid common mistakes which could jeopardize the liability position of the ship‘s interests or lessen the chances of recovery, and instead to take the right steps to improve their position.

entry Standards No particular entry requirements. The course is mainly directed at masters and Chief Officers, but is also suitable for shore staff dealing with casualties.

Scope This course provides training for ship‘s staff, operations, technical, personnel, chartering departments and any other department or person with responsibility for ship vetting inspections.

objectives The contents of this course is based on the OCIMF ship inspection report (SIRE) for oil tankers, combination carriers, shuttle tankers, chemical tankers and gas carriers. Trainees who successfully complete this course will be able to prepare for a vetting inspection, deal with the attending inspector, perform the inspection and deal with any possible deficiencies or non-compliances. If required this course can be extended to include PSC-inspections, internal and external audits.

The internationally recognized seminars for maritime shipping will be offered starting February 2009 at MTC. As partner company of the new training center for captains, ship’s officers, pilots and ship’s engineers, ma-co will organize the seminars at the MTC with two associates. Nicole Lemke, head of maritime shipping at ma-co, will have an office at MTC and coordinate the training arrangements for participants in Hamburg, Germany and worldwide.

The ma-co consultants are experienced experts, who will foster and challenge the participants by providing practice-oriented knowledge transfer and choosing appropriate teaching methods. Our customers inclu-de shipping companies, shipyards and offshore-area companies; as well as seaport and transshipment companies, distribution centers and container freight stations. By collaborating with, among others, the Fe-deral Agency for Marine Navigation and Hydrography, the Professional Association for Naval Insurance and Safety, and the Water Police, the qualification process is constantly updated with innovations and practical experience.

The main goal for in-house trainings for shipping companies is to achieve the best possible company-specific training with workshops and seminars. ma-co serves as a strategic partner and educational provider by defining the specific training goals based on the company’s business objectives in collaboration with the shipping companies: In addition to planning semi-nars and workshops, the ma-co associates also always have to optimize costs, success and sustainability for the customers at the first sign of stumbling blocks in the magic triangle “Quality – Time – Cost”. In addition to worldwide classroom seminars, ma-co also offers computer-based trainings (see CBTs) or the learning package “Maritime English for Technical Officers”, con-sisting of textbook, audio CD and 64 learning cards.

ma-co Seminar Characteristics:

We teach practical knowledge that can be easily applied to daily work practices.

In addition to learning the necessary basics and calculations, the participants work on exercises and case studies themselves.

The ma-co trainers are practitioners that support their teaching of immediately applicable know-ledge by communicating the value and applica-tion for daily work routines.

The ma-co headquarters location is in Hamburg, di-rectly below the Köhlbrand bridge. The yellow building features six seminar rooms for a total of 120 partici-

pants. The practical training is conducted on a large open-air training area and a ship section. The equipment also includes a free-fall lifeboat and rescue boat at Altona fishing port for seafarer training. Additional locations are in Überseestadt, a section of the city of Bremen, and at Lofotenstraße in the Bremer-haven fishing port.

The directors of ma-co are Gaby Ohlrogge and Henning Scharringhausen. Nicole Lemke, the deputy manager, also belongs to the management team. The ma-co board of directors consists of three employer representatives and three employee representatives.

There is also an increase of ship travel for research reasons.

Tanker Familiarization: Working on oil, gas and Chemical Tankers

Learning with CBTs

Minimizing time, cost and organizational efforts

Training courses are not very popular with seafarers while companies on shore usually give their employees time off from work for attending seminars, seafarers must usually spend their free time after months at sea in seminar rooms to obtain the required certificates.

That is why ma-co offers Computer-Based Trainings (CBT) for seafarers on the topics Dan-gerous Goods and Ship Security Officer, which provide the training contents via CD-ROM for self-study. For technical specialists of shipping companies and shipyards as well as nautical officers, we will also offer the CBT Ballast Water Management as of Spring 2009.

A mix of video sequences, fill-in-the-blanks texts, pictures and exercise questions provides motivation for independent learning. If the seafarer feels ready, he can request exam questions from ma-co via e-mail. If he is able to answer more than 60 % of these questions under the captain’s supervision, he will receive the respective certificate, also via e-mail.

The topics include International Legal Basics, Basic Knowledge Maritime Biolo-gy, introduction of foreign plant and animal species and the ensuing consequences as well as various technical procedures for dealing with ballast water and sediments. This seminar provides practical knowledge about handling cooling containers for ship’s engineers and electronic specialists. This three-day seminar focuses on analytical trouble-shooting for defective cooling containers. By taking actual readings with a voltage tester and in cooperation with Noske Kaeser the participants will get the opportunity to troubleshoot at least 3 of the 4 common types of reefer units. CSP – Certified Ship Planner

Ship planners work for shipping companies or terminals and master a complex task with many responsibilities: They optimize the planning for loading and processing of the contai-ner ships and must take many different requirements into consideration: Stability calcu-lation, special holding area issues, safe handling of dangerous goods, stowage planning processes including late arrivals, ability to communicate even in difficult situations, ...

Ship planners are the contact persons for the ship’s officers, the various terminal depart-ments, the responsible official authorities in the ports, the participants of the multimodal transport chain and, most of all, the customers of the terminals and shipping companies – around the clock, as long as the ship is in port.

Competence from two port cities:The advanced training for CSP Certified Ship Planner is a collaboration of ma-co maritimes competenzcentrum e.V., the University of Bremen and the HPTI Hamburg Port Training Institute GmbH.

The training is based on course formats created by the University of Bremen. It has been developed according to the qualification features of the European Qualifications Framework (EQF) for lifelong learning (Level 4). Upon successful completion, the partici-pants will receive a total of 54 credit points (merit points). These merit points have a posi-tive effect on special admissions to the nautical study programs for applicants without an advanced technical college certificate.

Professionals with an industrial/technical or commercial background, such as sea shipment inspectors, port logistics specialists, ship brokers and freight-forwarding managers or other professions from the maritime area.

Allgemeine Geschäftsbedingungen

A. AllgemeinesDie Allgemeinen Geschäftsbedingungen in ihrer jeweils neuesten Fassung wie auch die einschlägigen technischen Beschreibungen gelten für alle Leistungen von MTC Marine Training Center Hamburg GmbH (MTC) und ma-co maritimes competenzcentrum e.V (ma-co). Werden vertragliche Beziehungen zwischen MTC und ma-co und anderen Personen als dem Auftraggeber begründet, so gelten auch gegenüber solchen Dritten die einschlägigen technischen Beschreibungen und die Bestimmungen der nachstehenden Ziffern G.1. bis 7.

B. VorbehaltDie Ausstellung einer Bestätigung oder Bescheinigung entbindet den Auftraggeber nicht von seinen vertraglichen Verpflichtungen gegenüber Dritten.

C. Umfang und Ausführung Art und Umfang der Leistungen von MTC oder ma-co richten sich nach den getroffenen Vereinbarungen, wobei immer - vorbehaltlich ausdrücklicher gesonder-ter Vereinbarungen - die im Zeitpunkt der Durchführung der Kurse geltenden Vorschriften anzuwenden sind.

D. VertraulichkeitMTC und ma-co wahren in Bezug auf alle Unterlagen und sonstigen Informationen, die sie im Zusammenhang mit ihm erteilten Aufträgen erhalten, Vertraulich-keit. Die Weitergabe von Unterlagen und Informationen kann nur mit Zustimmung des Auftraggebers bzw. Verfügungsberechtigten erfolgen. Kursunterlagen, die zur Durchführung der Kurse durch MTC oder ma-co ausgehändigt werden, sind für den Kursteilnehmer bestimmt, sie dürfen nicht ohne Zustimmung von MTC oder ma-co an Dritte weitergegeben werden.

E. VergütungDie Leistungen von MTC oder ma-co sind nach Maßgabe der Preisliste von MTC oder ma-co zu vergüten oder nach dem im Angebot aufgeführten Preis. Zusätzlich dazu werden bei Kursen, die nicht am Firmensitz von MTC oder ma-co durchgeführt werden, ggf. die mit den Leistungen im Zusammenhang ste-henden Nebenkosten (z. B. Reisekosten, andere Auslagen und ggf. anfallende Mehrwert-/Umsatzsteuer) in Rechnung gestellt. Bei Buchungen einschließlich der Unterbringung von Teilnehmern im Hotel werden diese Kosten dem Auftraggeber zusammen mit den Kursgebühren in Rechnung gestellt. Die in der Preisliste aufgeführten MTC-Preise sind Nettopreise zuzüglich Umsatzsteuer in Höhe von z.Zt. 19%. Die ma-co Kursgebühren sind umsatzsteuerfrei.

F. Fälligkeit der RechnungenDie Vergütung für alle bei MTC oder ma-co gebuchten Kurse ist ohne Abzug bis 2 Wochen vor Beginn des Kurses fällig. Sollte die Kursgebühr zu diesem Zeit-punkt nicht eingegangen sein, ist der Veranstalter berechtigt, den Teilnehmer von dem entsprechenden Kurs auszuschließen. Für alle anderen von MTC oder ma-co erbrachten Leistungen ist die Vergütung ohne Abzug 14 Tage nach Rechnungsdatum fällig. Bei Verzug sind MTC oder ma-co vorbehaltlich weitergehen-der Ansprüche berechtigt, Verzugszinsen geltend zu machen, Zertifikate und sonstige Unterlagen zurückzuhalten und/oder die Ausstellung von Zertifikaten auszusetzen oder zu widerrufen. Das kaufmännische wie auch ein sonstiges Zurückbehaltungsrecht des Auftraggebers sind ausgeschlossen. Die Aufrechnung mit Gegenforderungen des Auftraggebers ist ebenfalls ausgeschlossen, sofern nicht die Gegenforderung unbestritten oder rechtskräftig festgestellt ist.

G. Rücktritt Muss aus betriebsinternen oder persönlichen Gründen die Teilnahme abgesagt werden, entstehen bei schriftlicher Abmeldung 10 Werktage vor Kursbeginn keine Kosten. Bei späterer Absage oder Nichtteilnahme - auch wegen Krankheit - werden die vollen Kurskosten berechnet. Ersatzteilnehmer können zu der gebuchten Veranstaltung entsendet werden.

H. Voraussetzungen zur TeilnahmeDie Voraussetzungen für die Teilnahme an den Kursen von MTC sind in den Kurzbeschreibungen definiert. An den Veranstaltungen des ma-co kann grundsätz-lich jede/r teilnehmen, die/der die in der Ausschreibung genannten Voraussetzungen erfüllt. Für alle technischen Lehrgänge (praktische Ausbildung auf Geräten wie z. B. Gabelstapler, Kran etc.) bestätigt die anmeldende Person mit ihrer Unterschrift, dass der/die gemeldete/n Teilnehmer an einer arbeitsmedizinischen Vorsorgeuntersuchung gemäß dem Grundsatz G 25 (für Fahr-, Steuer-, und Überwachungstätigkeiten) der Berufsgenossenschaft teilgenommen hat und keine gesundheitlichen Bedenken oder Einschränkungen bestehen. Für Teilnehmende des Bereichs Seeschifffahrt: Das gültige Seediensttauglichkeitszeugnis muss zu Kursbeginn vorliegen. Ansonsten erfolgt die Teilnahme auf eigenes Risiko.

I. ZusatzleistungenKosten für An- und Abreise werden vom Veranstalter nicht getragen. Sofern es in der Seminar-/ Lehrgangsbeschreibung nicht ausdrücklich anders steht, ist eine Unterbringung nicht vorgesehen und in den Lehrgangskosten nicht enthalten. Es kann jedoch die Unterbringung im Vertragshotel von MTC / ma-co mit der Anmeldung des Kurses gebucht werden. Die Preise für die Unterbringung sind im Kurskatalog ausgewiesen. Die im Kurskatalog genannten Preise beinhalten die Verpflegung während der Kurse wie Getränke und Mittagessen, in der 2. Schicht ein Abendessen. Von der Verpflegung ausgeschlossen sind folgende Kurse von ma-co: Basic Safety nach STCW 95, Survival Craft Rescue & Rescue Boat, Advanced Fire Fighting, Medical Care.

J. Haftung Die Haftung von MTC oder ma-co für Sachmängel ist im Rahmen eines Werkvertrages auf Nacherfüllung beschränkt. Schlägt diese fehl, besteht unbeschadet des Rechtes aus § 637 BGB ein Anspruch des Auftraggebers auf Herabsetzung der Vergütung (Minderung) oder Rückgängigmachung des Vertrages (Rücktritt). Etwaige Ansprüche des Auftraggebers für Sachmängel verjähren, sofern der Mangel von MTC oder ma-co nicht arglistig verschwiegen oder vorsätzlich verur-sacht wurde, ein Jahr nach der Durchführung des Kurses oder der Abnahme der Leistungen von MTC oder ma-co durch den Auftraggeber. Im Übrigen wird die Haftung von MTC oder ma-co – soweit es sich nicht um die Verletzung einer wesentlichen Vertragspflicht handelt – in dem Fall, dass eine Pflicht aus dem Schuldverhältnis mit dem Auftraggeber fahrlässig verletzt wird, auf die fünffache Vergütung für die jeweilige Einzelleistung des Auftrages beschränkt. Diese Haftungs-beschränkung gilt auch für Schadensersatzansprüche des Auftraggebers im Falle einer fahrlässigen unerlaubten Handlung auf Seiten MTC oder ma-co. Im Falle der leicht fahrlässigen Verletzung einer wesentlichen Vertragspflicht ist die Haftung von MTC oder ma-co auf den vertrags-ty-pisch vorhersehbaren Schaden begrenzt. Soweit MTC oder ma-co Vorsatz oder grobe Fahrlässigkeit zur Last fällt, haftet er nach den gesetzlichen Vorschriften. Gleiches gilt für eine etwaige gesetzliche verschuldensunabhängige Haftung von MTC oder ma-co.Eine persönliche Haftung der Organe oder Erfüllungsgehilfen von MTC oder ma-co ist ausgeschlossen, es sei denn, diese handeln vorsätzlich oder grob fahrlässig. Schadensersatzansprüche außerhalb der werkvertraglichen Ansprüche wegen eines Mangels mit Ausnahme solcher aus unerlaubter Handlung und/oder nach dem Produkthaftungsgesetz verjähren ein Jahr nach Abnahme der jeweiligen Leistung des GL durch den Auftraggeber, sofern nicht dem GL Vorsatz oder Arglist zur Last fällt.Statt der vorstehend in Abschnitt G enthaltenen Verjährungsregelungen und Haftungsbeschränkungen gelten die gesetzlichen Vorschriften, soweit es sich um Verletzungen des Lebens, des Körpers, der Gesundheit oder der Freiheit handelt.

K. Erfüllungsort – Gerichtsstand – Anwendbares Recht Erfüllungsort für alle sich aus oder im Zusammenhang mit dem Auftrag ergebenden Verpflichtungen ist Hamburg, soweit sich aus dem Auftrag nichts ande-res ergibt. Gerichtsstand für alle Streitigkeiten aus und im Zusammenhang mit diesem Vertrag ist Hamburg. MTC oder ma-co sind jedoch berechtigt, den Auftraggeber auch an jedem anderen gesetzlichen Gerichtsstand zu verklagen. Für de Durchführung des Auftrages und aller sich aus oder im Zusammenhang mit dem Auftrag ergebenden Ansprüche gilt deutsches Recht.

L. Salvatorische Klausel Sollten einzelne Bestimmungen des Vertrages zwischen Auftraggeber und GL oder dieser Allgemeinen Geschäftsbedingungen ganz oder teilweise unwirksam sein oder werden, so wird die Wirksamkeit der übrigen Bestimmungen nicht berührt. Bei Zweifeln über die Auslegung dieser Allgemeinen Geschäftsbedingungen ist die deutsche Fassung maßgebend.

General Terms and Conditions

A. GeneralThe respective latest version of the General Terms and Conditions as well as the pertinent technical descriptions are applicable to all services rendered by MTC Marine Training Center Hamburg GmbH (MTC) and ma-co maritimes competenzcentrum e.V. (ma-co). Where contractual relations are established between MTC or ma-co and any persons other than the client, the relevant technical Rules and the provisions of G.1. to 7. below shall also apply to such third parties.

B. Reservation ClauseA confirmation given or certificate issued shall not release the client from his contractual obligations towards third parties.

C. Scope and Performance The kind and scope of services rendered by MTC or ma-co are based on the relevant agreements concluded and always, in the absence of an express special agreement, on the Rules applicable at the time of performing the course.

D. ConfidentialityMTC and ma-co maintain confidentiality with respect to all documents and other kinds of information received in connection with the orders entrusted to it by the client. Documents and information shall only be made available to third parties with the approval of the client or the person authorized by the client to per-mit such disclosure. However, all course documents which have been handed out to the participants in connection with the course attended shall not be made available to third parties without permission of MTC or ma-co.

E. RemunerationAll services rendered by MTC or ma-co are to be paid in accordance with the price list of MTC or ma-co or on the basis of the price quoted in the offer. In additi-on thereto, MTC or ma-co will charge any extra expenses incurred in connection with the services rendered at any other placed than the headquarter of MTC or ma-co(e.g. travelling or other expenses and, where applicable, any value added / turnover tax). For reservations which include accommodation in a hotel the additional expenses will be charged to the client together with the course fees.All MTC-prices listed in the price list are net prices. A VAT of 19% has to be added to these prices. ma-co prices are VAT-exempt.

F. Payment of InvoicesThe fees for all courses rendered by MTC or ma-co are due for payment without deduction 14 days before commencement of the course. For all other services rendered by MTC or ma-co payments are due within 14 days after completion of the services. On default MTC or ma-co is – without prejudice to any other rights – entitled to exclude the participant from this course, to withhold certificates and other documents and/or to suspend or revoke the validity of certificates. Any rights of lien or retention in favour of the client, statutory or otherwise, are hereby excluded. Likewise excluded are any rights of set-off with client‘s counter-claims, unless such counter-claim is undisputed or has been finally adjudicated upon by the courts.

G. CancellationIf the participation in the course is cancelled due to personal or operational requirements, cancellation fees are not applicable if the cancellation is received 10 days before commencement of the course. If the cancellation is received within less than 10 days - even in case of sickness - the full fees are to be charged. The named participant registered for the course may be replaced by another participant without additional booking fees.

H. Requirements for ParticipationThe requirements for participation in the MTC courses are defined in the brief descriptions for the courses. At the courses of ma-co all persons may participate who fulfil the requirements mentioned in the course descriptions. For all technical courses (practical education on equipment like forklifts, cranes) the registered person confirmes with the signature on the registration form that he/she has undertaken a medical examination according to regulation G25 (for steering-, control- and drivers employment) of the relevant association of respective profession (Berufsgenossenschaft) and no medical limitations exist. For participants of maritime courses: The relevant valid medical certificate for seafarers must be provided at the beginning of the course. Otherwise the liability of ma-co is excluded.

I. Additional ServicesExpenses for travelling are to be borne by the participant. If not explicitly mentioned in the course description accommodation is not included in the course fees. It is possible to book accommodation together with the course at the contracted hotel of MTC. Prices are mentioned in the course catalogue and will be charged additionally. The prices mentioned in the course catalogue include beverages and lunch during the course. If course takes places during the second shift an evening meal will be provided. Meals are excluded for following ma-co courses: Basic Safety acc. STCW 95, Survival Craft Rescue & Rescue Boat, Advanced Fire Fighting, Medical Care.

J. LiabilityLiability of MTC or ma-co for defects as to quality shall in the context of a contract for work and services (‚‘Werkvertrag‘‘) be limited to remedying such defects. In the event that this is unsuccessful, the client shall, in addition to his right as per § 637 of the German civil code, have the right to claim a reduction in the contractual price or to withdraw from the contract. Claims of the client for defects as to quality shall become time barred one year after acceptance by the client of the performance by MTC or ma-co of its obli-gations, in so far as such defects shall not have been wrongfully concealed by MTC or ma-co or caused by the wilful misconduct of MTC or ma-co. Furthermore, except in case of breach by MTC or ma-co of a material contractual obligation, liability of MTC or ma-co for negligent performance of its obli-gations towards the client shall be limited to five times the remuneration of the individual obligation to which the breach relates. This limitation of liability shall also apply to claims for damages by the client based on the tort of negligence. In the event of a slightly negligent breach by MTC or ma-co of one of its material contractual obligations, the liability of MTC or ma-co shall be limited to typical contractual foreseeable damage. In the event of wilful misconduct or gross negligence on the part of MTC or ma-co, the liability of MTC or ma-co shall be determined as provided for by law. This shall also apply to any case where MTC or ma-co is strictly liable by law. Personal liability of the organs of MTC or ma-co or persons to whom MTC or ma-co resorts to perform its obligations is excluded except in case of their wilful misconduct or gross negligence. The attention of the client is expressly drawn to the fact that it has the possibility of agreeing with MTC or ma-co that the liability of MTC or ma-co be exten-ded beyond what is provided for in these General Terms and Conditions. However, such extension of liability is subject to the client demanding this of MTC or ma-co, to the insurer of MTC or ma-co accepting to take on such additional risk and to the client bearing any additional insurance cost associated with such increase in liability. Claims for damages which are not claims for defects pursuant to paragraph 1 hereof, with the exception of tortious claims and/or claims brought under the German law on product liability, shall be time barred one year after acceptance by the client of the performance by MTC or ma-co of the obligation in questi-on, in so far as there was no wilful misconduct or fraudulent intent on the part of MTC or ma-co. The provisions of clause G. above regarding limitation of liability and time bar shall not apply to claims for death, personal injury, damage to health or infringe-ment of liberty.

K. Place of Performance - Jurisdiction - Governing Law The place of performance for all obligations resulting from or in connection with the respective order from the client is Hamburg, unless otherwise provided in the order.The exclusive place of jurisdiction for claims against MTC or ma-co is Hamburg. MTC or ma-co are entitled to sue the client before the courts in Hamburg or before any other competent court. German law shall govern the performance of the order and all claims resulting from or in connection with the order.

L.Severability Clause In the event that individual provisions of the contract between MTC or ma-co and the client or these General Terms and Conditions are or become partly or as a whole ineffective, this will not affect the effectiveness of the remaining terms. In the event of doubts as to the interpretation of the present General Terms and Conditions, the German text shall be authoritative.
