SMPS Legal has a sophisticated energy practice, with emphasis in the development andfunding of energy projects. The Firm provides comprehensive advice to clients specialized inthe generation of conventional and alternate energy in a wide range of matters such as theconsolidation of a more efficient corporate and tax structure and the obtention of permitsand authorizations requited for implementation.

For Oil and Gas, the SMPS Legal Energy Team specializes in negotiation of agreements forthe industry with PEMEX and other suppliers; advising on public contracting procedures(direct awards, public biddings and restricted invitations); the implementation of strategiesto surmount challenges with public contracting procedures, including administrativedisputes, litigations and constitutional and other appeals and proceedings; bids from PemexExploración y Producción concerning mature fields; construction of natural gas pipelines;processing gas permits before the Energy Regulatory Commission; and natural gasdistribution agreements with Pemex Gas y Petroquímica Básica and other distributors.

Concerning Electricity, SMPS Legal has extensive experience in the structuring and fundingof electricity projects as well as the processing of permits before the CRE in all forms (self-supply, co-generation, independent production, import and export); and in Mining, SMPSLegal advises on the structuring and funding of mining projects; the acquisition, transfer,registry and lien of mining rights; the issuance of mining licenses and payment of miningrights; drafting and negotiation of agreements, addressing litigation matters from mininglicenses to any type of real estate issues. Labor, Employment LawConsulting and Litigation

The Firm provides legal advice on all matters related to labor and social security law,including recruitment strategies, implementation and modification of benefit plans andemployment conditions, compliance with labor provisions, collective bargainingagreements and union related matters.

The Firm continuously advises corporations in the negotiation and drafting of individualemployment contracts, confidentiality and non- competition agreements, employmenttermination; payment of profit sharing; pension funds; employer’s substitution;expatriates; outsourcing; benefit structure; saving funds and labor audits.

SMPS Legal works with foreign clients with presence in Mexico in their day to dayemployment matters, including applicability of Mexican law, payment of benefits,employment contracts, termination issues or other similar matters. We have a veryparticular expertise in handling labor and tax matters related to foreign expatriates toprevent that the employers are deemed to have a tax exposure in Mexico. Moreover, on avery regular basis, the Firm represents clients in the implementation of their foreignpolicies and programs to their Mexican employees (e.g., stock options).

Alexis Michel has focused his practice not only in the compliance of obligations in matters ofcustoms and foreign trade, but in aiding, through the enforcement of administrativeinstruments that Mexican authorities have implemented, and identifying and developing areaswith opportunities of expansion for his clients. Alexis is specialized in tariff classification,customs valuation, implementation of free trade agreements, origin verifications, criteriaconfirmation and certifications before different authorities, as well as development of foreigntrade development programs as Maquila, Sector Promotion and Drawback.

Likewise, he has extensive experience in the performance of internal audits to verifycompliance with the obligations arising from foreign trade transactions. He has representedclients before the different tax and customs authorities in audits, administrative proceedingsand contesting of resolutions derived therefrom. Furthermore, he has developed a successfulpractice in matters of international commerce unfair trade practices such as antidumping andsubventions.

Before joining SMPS, Alexis worked at Jauregui, Navarrete, Nader y Rojas, S.C., White & CaseLLP, Trón y Natera, S.C. and Natera y Espinoza, S.C., accruing more than 19 years of experience.

Alexis obtained his J.D. from the División de Estudios Superiores of Centro UniversitarioMéxico, with honors, in 1998 and his degree in the Specialty in Tax Law from UniversidadPanamericana with honors in 2006.Alexis is the former Head of the Foreign Trade Commission of the Mexican Bar Association(Barra Mexicana Colegio de Abogados, A.C.), is an active member of the American Chamber ofCommerce, the Canadian Chamber of Commerce and the International Chamber ofCommerce.

Ana Paula joined SMPS Legal in 2015 as Tax partner. Her main practice is taxationconcerning domestic and international aspects and involves representing corporationsand individuals. She regularly advises clients on matters involving commercialtransactions, tax planning, start up business, joint ventures, investments, acquisitions,mergers, spin offs, dispositions, tax free reorganizations and transfer pricing consulting.

Ana Paula has extensive experience in international transactions, in corporate law,including representation of multinationals groups and domestic groups, specificcontroversy and litigation, representing domestic and international clients in tax auditsand negotiations skills.

Before joining SMPS Legal, Ana Paula was an associate at Hogan Lovells BSTL since 2010and before that she was an associate at Basham Ringe y Correa. She also clerked at the taxboutique, Ortiz, Sainz y Erreguerena for two years and a half.

Ana Paula obtained her Law Degree from Universidad Panamericana in 2002, herPostgraduate Degree from the Universidad de Salamanca. She holds a LL.M from theUniversity of Florida - Fredric G. Levin College of Law, 2007, obtaining the Certificate ofAcademic Excellence.Ana Paula is fluent in Spanish and English and she is a member of the IFA, currently Co-coordinator of the Studies Committee.

He has focused his practice on mergers and acquisitions, joint ventures, real estate, restructurings, investments and corporate and regulatory issues in general. His work has included active representation of diverse clients involved in all kinds of corporate, civil, finance and commercial projects in diverse areas and industries. He has represented several multinational companies in setting up operations in Mexico.

Prior to joining SMPS, Andrés worked at Notary Public No. 109 office for 16 years, theNotary Public No. 250 office and the law firm Gonzalez Calvillo, S.C.

Andres obtained his J.D. from the Escuela Libre de Derecho in 1998 and holds a masters degree in Company Rights by the Univerdidad Panamericana (2018).

Eduardo has a broad-based practice providing legal and business advice and counseling tomultinational and Mexican companies. His corporate practice primarily focuses in privateequity, corporate finance, joint ventures, spin-offs, mergers and acquisition transactions,general corporate law and investments for domestic and international transactions. Hispractice includes active representation of clients involved in a variety of projects, includingtransactions and investments in the areas of real estate, public and private mergers, assetand stock purchases and dispositions and the structure and formation of partnerships, jointventures and strategic alliances. Eduardo provides consulting in labor and social securitymatters and also coordinates civil and commercial litigation before both federal and localcourts.

Eduardo provides legal and business advice and counseling to multinational and Mexicancompanies. His corporate practice primarily focuses on civil law, corporate finance, jointventures, mergers and acquisition transactions, general corporate law, and investments fordomestic and international transactions. Eduardo's emphasis on financing is mainly focusedon structuring, documenting and negotiating debt-related transactions. Jorge is both a lawyer and a certified public accountant. His practice is focused on taxand business planning, including mergers and acquisitions, as well as corporatereorganizations with particular focus on permanent establishments and other tax-related international matters. Jorge assists his clients in planning tax efficient structures,including the tax treatment of acquisitions and investments. His practice includes therepresentation of clients before Mexican Tax Authorities in a broad range of national andinternational tax controversies as well as in litigation.

Prior to founding SMPS, Jorge was partner at the Mexico’s office of Gardere WynneSewell, LLP, where he worked for more than 10 years, and prior to that, he was partnerof the accounting firm Rocha, Pérez, San Martín, S.C.

Jorge obtained his J.D. from UNAM and his degree as Certified Public Accountant fromUniversidad Anahuac del Norte, in Mexico City.

He is a member of the Mexico’s Public Accountants School and of the Mexican Instituteof Public Accountants. He is also a member of the Canadian Chamber of Commerce andthe American Chamber of Commerce, in Mexico City.

Christian Solís is the head of the tax litigation practice at SMPS Legal and also provideslocal and international tax consultancy to clients from a wide variety of sectors. Hisunderstanding of the tax effects of the operations and his insight on the litigationprocess provides him with a unique and integral approach that allows clients to takeinformed decisions, by not only providing tax advise but also explaining possiblescenarios that might result in tax litigation.

His experience includes local consultancy in tax matters, international taxation,mergers and acquisitions, spin-offs, restructures and tax and administrative litigation.Before SMPS Legal, he worked at some of the most prestigious tax Firms in Mexicoand spent a year working at a Law Firm in the United States. He attained his J.D. fromthe Instituto Tecnológico Autónomo de México (ITAM). Moreover, he concluded theSpecialty in Tax Law in Universidad Panamericana and holds a graduate degree ininternational taxes. He is fluent in English and Spanish.

Jorge Miranda is a Public Accountant in Mexico, with extensive experience intransactions in the private and public sectors in Mexico and Canada. Jorge´s areas ofexpertise include business relations, contract negotiations, strategic planning andbusiness analysis. Prior Experience Prior to SMPS, Jorge founded SolorzanoCorporation and accrued over 16 years of managerial and accounting experience inthe service industry for both Mexican and Canadian Companies.

Jorge holds a degree in Public Accounting from the Universidad de Guanajuato inMexico and attained a Graduate Degree in Business Management in the InstitutoTecnológico de Monterrey in Mexico in 2001. Jorge is fluent in both, English andSpanish. He is a member of the Board of Directors of the Canadian Council of theAmericas – Alberta, in Canada.

Carlos is licensed lawyer in Mexico, residing in Calgary. He specializes in oil and gas, projectfinancing and real estate. His practice focuses primarily on finance advising for projectssuch as commercial, residential and mixed-use developments, negotiation anddevelopment of strategic alliances and joint ventures, real estate and oil and gas. Carloshas also represented numerous clients in dispute resolution matters.

Before SMPS, Carlos founded SOLORZANO CORPORATION and served for several years at atop tier Canadian law firm assisting several clients on successfully establishing theirbusinesses in Mexico. Carlos also worked for Mexico’s Ministry of Foreign Affairs at theConsulate in Calgary being responsible of Mexico-Alberta economic affairs and providingpotential investors with guidelines for conducting business. Before moving to Canada in2002, Carlos practiced law with top tier law firms in Mexico representing Mexican andnon-Mexican clients.

Carlos obtained his degree in Law from the Instituto Tecnológico Autónomo de México(ITAM) in 1998. He participated in the Private, Public Partnerships Course and the PrivateEquity Transactions Course of Osgoode Law School, York University, in the years of 2006and 2007, respectively, and the Alternative Dispute Resolutions Course in Alberta, Canada,in the year 2007. Carlos is fluent in both, English and Spanish and he is a member of theMexican Bar Association and of the American Bar Association.
