Onewould think an increase in base rateswould spell bad news for the localproperty scene but in this area, notnecessarily so! Obviously this does meansome increase in the cost of mortgagesetc… but because of the shortage ofdesirable properties within the area theeffect of the increase in the base rate ispractically negligible.

Across all of our offices the demand for properties has

picked up extremely quickly and, in some respect, we are

having to review some of the values that previously we

believe would have been unattainable. It may be brave to

make predictions so early in the year but we believe that

2007 will still see an increase in prices across all price

ranges.

The general area of Epping Forest is still regarded as a

highly desirable location to live in, and it seems that more

and more people are looking this way to settle into family

life. We are therefore more confident that prices will rise

at a steady rate throughout the year, possibly by as much

as five percent.

Demand for property in the prime housing market - homes costing

£500,000 and above - is on the increase, partly due to the rise in bonuses

and remuneration levels in the City of London, which are having a ripple

effect outside the capital.

According to the Centre for Economics and

Business Research (CEBR), more than 4,000 City

workers will take home £1m bonuses this year,

with a total of around £8.8 billion set to be paid.

Yolande Barnes, director of residential research at

Savills, believes much of this cash will find its way

into the housing sector. ‘We estimate that £5.5

billion from City bonuses will go into housing at

the top end of the market in 2007,’ she forecasts.

With a lot of money pouring into the top end of

the market, demand is likely to be stiff for the most

desirable properties. You can’t afford to hang

about if you’ve seen something you really want as

you may miss out.

One way of helping you move quickly as soon as

you find a property you like is to consult an

independent mortgage broker before you start

house hunting. A broker who specialises in

arranging mortgages at the prime end of the

market, such as Savills Private Finance (SPF), should

be able to help you find the most suitable deal for

your circumstances.

Consulting a broker before you start house

hunting helps to ensure you know exactly how

much you can borrow, which may be more than

you think. It also means that they can start the

application process for you, so that once you have

found a property they can move quickly.

You may be wondering why it helps to use a

broker in the first place; after all, what is wrong

with simply walking into the local branch of your

high-street bank and getting a mortgage that

way? Well, if, like some purchasers at this level,

you hope to borrow as much as possible to secure

the property of your dreams – even with a big

bonus behind you – this could be difficult by

approaching a lender direct.

Those lenders who do offer bigger loans may

charge higher rates for the privilege. Part of the

reason behind this is that borrowers taking on

deals this size tend to be more sophisticated than

the average mortgage customer. They are more

likely to ‘churn’ or move onto a better deal once

the offer period ends, rather than put up with a

higher, less competitive rate. And they are more

likely to clear their mortgage more quickly, paying

off large chunks as, and when, they receive their

bonuses.

This is where a broker with the right contacts

comes into their own. We are able to negotiate

lower rates on bigger loans as we can achieve

discounts off the lender’s standard mortgage

offering. This helps us to get you similar terms as

those taking out smaller mortgages, which can

save you a great amount of money.

If you require an interest-only deal rather than a

repayment mortgage, this should also be possible

to arrange. You may also require more flexibility

than a standard fixed or discounted mortgage can

offer, and at SPF we can help find a product to suit

your particular needs. Because your situation is

likely to be far from straightforward, a cocktail of

rates may be more suitable – some floating, some

fixed – to tie in with your future earning

expectations. This can provide more

flexibility, which can be vital

with a fluctuating

income. By fixing

part of your

mortgage you buy

yourself some certainty,

which may be useful if

interest rates rise again in the

New Year. And by leaving a portion

of your mortgage on a variable rate

you retain flexibility: you can pay down part of this

using bonuses or other income, without paying a

penalty for doing so.

It is not unusual for agents to demand that

exchange of contracts occurs within 10 working

days. Given that the average property transaction

in England and Wales takes closer to 12 weeks, if

you apply direct to the lender it may take much

longer than the agent’s deadline to obtain a big

enough loan, process the offer and exchange

contracts.

Most lenders aren’t equipped to proceed more

quickly but a broker can help ensure that the

mortgage goes through in a restricted timeframe

so that you don’t miss out on your dream home.

WHY VALUE THE BUSINESS?

There can be many reasons for wanting to establish the value of either a businessor an interest in a business, apart from the obvious reasons of potential sale oracquisition. They could involve future planning for the purposes of transferringshares elsewhere, tax planning, valuations associated with employee incentiveschemes or simply a desire to reflect the benefit of years of hard work.

WHAT AFFECTS THE VALUATION OF COMPANIES?

Many factors can influence the value of a company, including its historicalconsistency in profit terms, the quality of its assets, the certainty of its futureearnings, the nature of its trading activities, the consistency of dividenddistributions, the market share that the company controls and of course the levelof other competitors in the same trade or geographical location.

The valuation of a company can be adversely affected by a dependence on anyone large supplier or customer, a dependence on one particular individual withinthe company, its association with outdated technology or fashion or adeteriorating profit trend, together with poor assets.

VALUATION TECHNIQUES

Companies can be valued by reference to their assets, the earningstream, the anticipated future revenue, a discounted cashflow

based on historical results, a comparison of similar companies inthe same field or left to what is known as an “Earn-out”, which

effectively will determine the consideration for the company,based on its future results, after it has been sold.

TYPES OF SALE

In general circumstances the sale arrangementseither involve an asset sale, as would be the case

with any unincorporated business, or where acompany decides to sell its assets and in the

alternative a share sale agreement wherebythe company’s shares are sold for value.

There could be many different factorsdetermining which avenue is followed,

the principal ones of which are therequirements of the purchaser and also the tax

profile of the vendor.

MAINTAINABLE PROFITS

In any number of private companies, it is not unusual to find that there areexcessive or non-recurring expenses (e.g., excessive Directors remuneration orpensions), which need to be reflected by way of “Add-back” in order todetermine precisely what the maintainable profit is. Obviously the more that canbe substantiated by way of increasing the maintainable profits, the higher theultimate price will be.

In thinking of some of the historic transactions that we have undertaken it is quiteremarkable that disposals of loss making companies and those with hugesuccession problems have been achieved at very significant amounts ofconsideration. Whilst it is a very difficult decision to reach in finally disposing of acompany, many factors can drive the decision, including health, lack of succession,or simply a desire to get out of the rat race and move to a better life.

Tax issues are particularly important in business disposals and no one should payanymore than 10% tax on the capital gain - but only if the structure is right.Getting the structure right often involves a lead period of up to two years.Planning and considering the way in which a disposal will take place, takes timebut the pay back can be enormous. The Chancellor provides very attractive taxtreatment for the disposal of private company shares and businesses.

The sale process does take time and periods from three months to a year canelapse, depending upon the nature of the company and the purchasersavailable. The time also has to be found in addition to the normal operation ofthe business and the effect of this cannot be underestimated.

HOW TO INCREASE THE VALUE OF THE SALE?

Provided there is time to groom the company towards a sale, increased value willbe derived as a result. Simple matters such as ensuring that the sales terms andconditions, employment contracts with staff and other legal matters are broughtup to date and more particularly to make sure that there is no litigation in beingwhen a purchaser is approached. Because of the uncertainty of litigation therecould be a large cost to pay as a result by way of the purchaser seeking to retainpart of the consideration until the litigation is settled.

Presentation is important and it is necessary to make sure that the premises looksatisfactory for the first impression of the purchaser; marketing material is up todate and so too the accounting records.

The fixed assets will need to be reviewed to make sure that there are none whichare old or redundant; maintenance agreements in relation to the equipment arekept up to date; and an asset register is brought into being.

Stock and debtors should be reviewed to make sure that a realistic appraisal istaken of the realisability of both and, where appropriate, to make arrangementsto dispose of old or redundant stock at knock down values to provide cash.

Careful planning for an exit with the benefit of time can add very substantialsums to the ultimate sale price and in turn make retirement that much morecomfortable. It is certainly not a transaction to be entered into without thebenefit of tried and trusted professionals.

exercises are based on achieving and

preparation for the work place. Other

provision is via Job Club, Employment

Preparation Courses, Voice Training and

much, much more. A Client Focus

Group ensures that we listen and react

to training needs and fulfil and support

individual needs. We constantly

monitor and regularly evaluate our

clients’ progress.

experience mental and emotional

individuals and receive holistic support

in order to move forward.

Clients can self-refer, although most

referrals come from Community Mental

Health Teams, Doctors’ surgeries,

agencies and partners etc. Registration

is based on satisfactory completion of a

Gateway Application Form and Risk

Assessment.
