The Rev. Donald Ferguson gave the invocation and Maurice Dunigan led the assembled body in the Pledge of Allegiance. Pres. Simeral praised the Board for their actions and contributions during the past year and introduced each member -- Bob Artman, Bob Dieden, Jean Hardy, Joe Janke, Lillian Northrop, Bill Ohme, Lynn Van Vliet, Al Wiant. The Harmonaires, led by Cleora Keeley, entertained the membership with a variety of selections. secretary Jean Hardy certified that the membership rolls were up to date through March 10, 1994. All property transfers and sale of new memberships had been recorded. There were 1167 shareholders. A total of 103 limited proxies had been received to be counted to establish a quorum and vote on items coming up at the meeting. Notice of the annual meeting of bulletin board in the Clubhouse audi- torium. In addition, notice of the meeting was delivered to the homes of all members. No certified letters were required to be mailed as all shareowners have signed waivers. Advertisement of the meeting appeared in the. following HRCA Green Sheets: Vol. 12, No.1, dated January 7, 1994; Vol. 12, No.4, dated February 11, i994; Vol. 12, No.5, dated March 4,1994. Pres. Simeral declared a quorum and that business could be performed. General Manager Dan Gorden gavean annual highlight report on a suc-cessful 1993 year for Hawthorne, un-like 1992 which was not a good yearfinancially. reduced by five; professional feeswere less; and better rates for work-er's compensation were obtained. Acommittee chaired by Joe Janke hasformulated a policy on reserves.Cash reserves are important to pro-tect long-range planning so futureprojects can be done without assess-ments. communications improved withSandy Alexander, Program Directorbeing congratulated for her outstand-ing job as Editor of the"Highlights". The sandy and Dan Showhas received many compliments foraddressing current issues, and month-ly tours provide residents withbehind-the-scenes visits of Hawthornefacilities and services. A new tele-phone directory will be distributedlate this summer and a survey by Dr.streib~from the University of Floridashould provide Hawthorne with usefulinformation.

Issues of controversy in 1993included Banana Point, gates on 48,no smoking policy, additional streetlighting, changes to Chapter 719regarding the election process, newlandscape irrigation rules, garbageissue. In 1994, hazardous wastematerial will be collected once amonth in Hawthorne, and recycling ofplastic will resume. For the firsttime, Hawthorne will foreclose on 2homes held by estates that have notpaid maintenance fees.

In closing, Gen. Mgr. Gorden rec-ognized Board Members leaving theBoard -- Dean Simeral, Jean Hardy andBob Artman who have each served 3

years; Bill Ohme who was appointed toreplace Gene Kastner until the end ofthe year.

AUDIT

CPA David Logan reported on the1993 audit; copies of the audit hadbeen delivered to each resident'shome. It was CPA Logan's opinionthat the financial statements fairlypresent the financial position ofHRCA. Working capital, fund balancesand reserves all increased in 1993.

COMMITTEE

Joe Janke, Chairman of the Ad HocCommittee, made 2"motions "as follows:

Motion I .....That the interest anddividends earned from the InvestmentAdvisory Account, and/or any otheraccounts in which surplus money isdeposited, be removed from theseaccounts and be used as operatingrevenue for the year 1994.

Motion II -- That the provision of719.106 which requires full fundingof the capital replacement reserve bewaived, and that the replacement re-serve be funded with an amount thatequals $10.00 per unit per month forthe year 1994.

Both motions were seconded and avote of the membership was taken andeach motion was unanimously carried.

H.R.C.A. BOARD, ORGANIZATIONAL MEETINGMARCH'10, 1994, AT 7:00 P.M.

Bob Dieden, 1st Vice Presidentcalled the meeting to order. Elec-tion of Officers for the 1994/1995HRCA Board was held along with thereconfirmation of the CorporationOfficers. All the 1994/1995 Boardmembers were present, as were GeneralManager Dan Gorden, Past PresidentDean simeral, and Past Secretary JeanHardy.
