1. Call to Order Chairwoman Amy Curler called the GMAR Directors meeting to order at 12:05 PM with a quorum present for the transaction of business.

3. ReportsA. Chairwoman’s Report

Chairwoman, Amy Curler, stated that she’s looking forward to seeing everyone at the Home & Garden Show’s REALTOR® Night on March 27th.

B. Treasurer’s Report1) Jenny Tarkowski, Wegner CPAs, presented the 2018 GMAR Audit to the directors. A copy of

the audit will be placed on file.

2) Mike Ruzicka reported on the February 2019 GMAR financials:

Statement of Financial Position (Balance Sheet) – As of February 28, 2019, GMAR had $2,295,673 in Cash & Investment Balances, up $398,173 compared to last year.

Accounts receivable were down $61,482 compared to last year due primarily to fewer outstanding Home and Garden receivables. Prepaid expenses were down $18,805 compared to 2018 due to all inventory being written off.

Fixed Assets increased by $395,986 due to the building remodel. Total Assets were $4,131,985 which is up $713,872 compared to 2018.

On the Liability side, accounts payable were down $254,085 compared to last year due the mortgage being re-done and no longer being considered a short term loan. Accrued vacation

expenses were up $10,966. Overall, Total Liabilities were $509,652 which is up $158,226 compared to 2018.

GMAR has a Net Gain of $1,897,669 through February 28, 2019, up $777,758 from last year. Overall, Total Net Assets were $3,621,733; $555,646 higher than the same point in 2018.

Statement of ActivitiesMembership: Through February, 2019, $1,621,106 was collected in dues. Last year through the end of February, we had collected $885,710 in dues so dues are $735,396 ahead of last year at the same time. The increase in dollars is due to the 2019 dues increase. GMAR had an 88% renewal based on number of members billed. Budgeted for a 90% renewal. New member budget for 2019: 500 REALTORS®, 50 DRs and 20 Affiliates. Through February, actual new members: 142 REALTORS®, 6 DRs and 5 Affiliates.

Promotions: Through February 28, Home and Garden Show income is $730,282 and expenses are $230,592 for a net income of $499,690. This will change significantly over the next several months. Budgeted net income for the Show is $288,066.

Expenses related to Public Policy and Professional Standards are basically all personnel costs, incurring expenditures primarily in Labor and Overhead. The only significant expenses are several events and organization sponsorships.

Products (Wisconsin Real Estate Supply): The store was closed in February 2018. Some of the store products were for sale on consignment in 2018. All inventory was written off as of December 31, 2018.

The Leadership section includes expenditures for meetings, committees, officer expenses, strategic planning, NAR Home Buyer and Seller survey and NAR meetings. The main expenses recorded through February were memberships for the president, sponsorships, and the NAR buyers and sellers survey.

The Administrative section includes investment and rental income and expenses for professional fees, salaries, fringe benefits, building, insurance, occupancy, property taxes, general office expenses and depreciation.

The bottom line shows Excess Receipts Over Expenditures of $1,897,669. Last year our net revenue was $1,119,912 for the same time period. By far the most significant reason for this change was the increase of dues, which will largely be offset throughout the year by monthly payments to SentriLock.

M/S/C to approve the unaudited Statement of Financial Position (Balance Sheet) and Statement of Activities as of February28, 2019, and recommend placing on file for audit.

4. President’s ReportMike Ruzicka reported the following in addition to his written memorandum to the Board of Directors:

2020 NAR Committees - NAR will be accepting applications to join the committees for 2020 from March 1 through May 1 at www.CommitteeApp.realtor. NAR committees provide opportunities to play a role in steering the association and are a forum for discussion about issues that are impacting NAR and the real estate industry.

Also, starting in 2020 to be eligible for Emeritus status a member must have served on an NAR committee during their career.

REALTOR® Building Remodeling & Mortgage Update - In December, well after VJS Construction finished working on the 2nd floor, we received an occupancy permit from the City of Wauwatosa, which was delayed because a small bridge to the elevator not being installed to their satisfaction.

Once the permit was granted our commercial broker, Dan Jessup, started marketing the property. In the last month we have had two serious inquiries into renting the property, and have received one offer. I will have more information at the Directors meeting.

On February 13th GMAR Chairwoman, Amy Curler, GMAR Secretary/Treasurer, Courtney Stefaniak and I signed new mortgage documents, combining the balance of the previous mortgage and the recent construction loan, for a new total of $415,848.51. It is a 5-year loan at 5.2% and will mature on 02/06/2024.

SentriLock Update - We have 6,613 lockboxes in circulation, 1,286 are assigned to listings (857 in January). There are about 4,000 active listings.

Approximately 1,347 members have still not picked up their credentials (includes those who have left the GMAR, so it might be a high number).

As more members use the system the incidences of problems with Android phones and user error grows. We let SentriLock know about the Android issue, which is a Bluetooth connection problem (powering a phone off and on usually resolves it). Aside from that, generally 90% of the time a problem with the system can be attributed to “user error.”

There is growing contention between agents asking for one-day codes to show properties (rather than using their SentriSmart app or card) and listing agents. Some listing agents are telling selling agents that they will only give out 1 one-day code and encourage them to come to the GMAR and get their credentials.

We are reaching out to agents and brokers who are reluctant to use SentriLock and ask if we can attend office meetings, or host meetings at the GMAR for them. We have attended 12 office meeting in the last month.

Habitat for Humanity/ReStore - We are donating $15,000 to Habitat for Humanity this year to do a “Rock the Block” clean-up. The date we have selected is Thursday, August 15th. We will be able to have 45 volunteers in the one-day event.

We are also promoting the ReStore for listing agents to encourage their sellers to donate furnishings. Jodee Benavides heads up the Business Engagement Division of Habitat and he is available to attend office meetings to explain how ReStore works and how REALTORS® can utilize it. NAR / Wall Street Journal - You might have seen the opinion piece in the Wall Street Journal, titled, “When You Buy or Sell a Home, Realty Bites.” It is a completely erroneous and logically tenuous pile of garbage that I’m shocked was given any credence by an august publication like the WSJ. However, the WSJ does have a history of anti-REALTOR®/organized real estate sympathies.

NAR submitted a counter argument, titled, “How Realtors Add Value for Their Customer“ which dismisses every weak argument the authors of the opinion piece made.

Also, Inman News and Real Trends both came out with articles on the rival WSJ opinions in “National Association of Realtors takes on 'Wall Street Journal' op-ed” and “Commentary: The Problem With The Wall Street Journal Op-Ed by REX,” respectively.

The authors of the “Realty Bites” opinion piece are attempting to become another Zillow and apparently think that trashing the rest of the industry helps their cause and satisfies their investors. The Real Trends article summarizes the larger issue well:

”Wall Street and Silicon Valley have been trying for 25 years to blow up our industry and do away with agents, and, in some cases, brokerage firms. They haven’t succeeded yet. Even the best of the real estate tech firms, Zillow and Realtor.com, have found that using agents in their service delivery is critical to their business success.

Whether REX succeeds or not, the execs who spent their time writing these unfounded and unsupportable claims should spend more of their time focusing on how they can offer something compelling as a way to win the hearts and minds of consumers. Otherwise, they’re just wasting their investor’s money.”

NAR / MLS Lawsuits - Equally erroneous is a lawsuit being brought over the sharing of commissions between buyers and listing brokers in a transaction. Inman News summarized the lawsuit in an article, titled, ”Suit alleges NAR, Realogy, HomeServices of America, RE/MAX and Keller Williams violate the Sherman Antitrust Act by requiring 'buyer broker compensation.”

The suits takes issues with the “compensation” part of “cooperation and compensation,” as every participant in MLS agrees to do, stating that it is an antitrust violation. The plaintiffs believe buyers should pay their broker, not “make” the seller pay the buyer’s agent.We will have more on this lawsuit at the Directors meeting.

Home & Garden Show (HGS) - The show is ready for its first weekend March 22-24, and the shows finances are coming along very well.

*We didn’t extend the final deadline for VIP Tickets this year. In 2018 we did extend the deadline and sent out 7,000 tickets. This year we sold regular tickets after the deadline had passed, at an “industry rate” of $5 per ticket. As of March 13th we sold $800 worth of tickets.

Government Affairs - A large part of our meeting was dedicated to Government Affairs. We have two school referenda to examine in West Bend and Shorewood, and potentially one in New Berlin.

We would like to discuss a way to quantify candidate qualifications by creating a scorecard for the Association to use to rate existing and potential candidates. Marne has gathered ideas from other associations around the country, specifically one in St Petersburg, FL.

We would also like to review the GMAR Public Policy agenda in our strategic plan.

5. DepartmentsA. Government Affairs

Marne. Stück reported:

1) REALTOR & Government Day 2019 – RGD 2019 will be on Wednesday, April 24 this year. As in the past, there will be free/sponsored bus transportation to and from Madison. The legislative visits will remain the same as in the past with all Greater Milwaukee legislator invited to one hearing room to discuss Realtor issues. Please let Ms. Stuck know if you’d like to attend.

2) School Referenda: After reviewing the staff’s prepared report on the West Bend and Shorewood referenda, the directors approved supporting both measures.M/S/C to support the West Bend referendumM/S/C to support the Shorewood referendum

3) Candidate Scorecard – Ms. Stuck shared a draft of a candidate screening grading form which will be incorporated into candidate interviews in the future for candidates running for local office.

4) GMAR Public Policy Agenda – Ms. Stuck reviewed the current goals and public policy positions in the strategic plan for the Government Affairs section.

C. MLSChris Carrillo provided and update on recent developments at Metro MLS, Inc, including a lawsuit filed against NAR and several MLSs (including Metro MLS); MLSs data lawsuit against Homelight; and a new class of membership for office assistants.

MARCH 2019 FINANCIAL NOTES

Statement of Financial PositionAs of March 31, 2019, GMAR had $2,172,346 in Cash & Investment Balances, up $334,520 compared to last year. Accounts receivable were down $13,455 compared to last year. Prepaid expenses were down $18,338 compared to 2018 due to all inventory being written off.

Fixed Assets increased by $391,293 due to the building remodel. Total Assets were $3,989,922 which is up $694,021 compared to 2018.

On the Liability side, accounts payable were down $261,364 compared to last year due the mortgage being re-done and no longer being considered a short term loan. Accrued vacation expenses were up $10,966. Overall, Total Liabilities were $497,441 which is up $151,230 compared to 2018.

GMAR has a Net Gain of $1,765,918 through March 31, 2019, up $762,402 from last year. Overall, Total Net Assets were $3,492,481; $542,791 higher than the same point in 2018.

Statement of ActivitiesMembership: Through March, 2019, $1,657,821 was collected in dues. Last year through the end of March, we had collected $907,438 in dues so dues are $750,383 ahead of last year at the same time. The increase in dollars is due to the 2019 dues increase. GMAR had an 88% renewal based on number of members billed. Budgeted for a 90% renewal. New member budget for 2019: 500 REALTORS®, 50 DRs and 20 Affiliates. Through March, actual new members: 206 REALTORS®, 10 DRs and 5 Affiliates.

Promotions: Through March 31, Home and Garden Show income is $782,754 and expenses are $298,227 for a net income of $484,527. This will change significantly over the next few months. Budgeted net income for the Show is $288,066.

Expenses related to Public Policy and Professional Standards are basically all personnel costs, incurring expenditures primarily in Labor and Overhead. The only significant expenses are several events and organization sponsorships.

Products (Wisconsin Real Estate Supply): The store was closed in March 2018. Some of the store products were for sale on consignment in 2018. All inventory was written off as of 12/ 31/2018.

The Leadership section includes expenditures for meetings, committees, officer expenses, strategic planning, NAR Home Buyer and Seller survey and NAR meetings. The main expenses recorded through March were memberships and expenses for the president, sponsorships, travel expenses for officers, and the NAR buyers and sellers survey.

The Administrative section includes investment and rental income and expenses for professional fees, salaries, fringe benefits, building, insurance, occupancy, property taxes, general office expenses and depreciation.

The bottom line shows Excess Receipts Over Expenditures of $1,765,918. Last year our net revenue was $1,003,515 for the same time period. By far the most significant reason for this change was the increase of dues, which will largely be offset throughout the year by monthly payments to Sentrilock.

RE: MAY PRESIDENT’S REPORT

Professional StandardsApproximately one third of our meeting will be occupied by Scott Bush reviewing the Professional Standards Process, and the Directors’ role in it. He will cover appeals, procedural review of arbitrations, and the adoption of ethics decisions. The role of the board is ultimately to safeguard the process and liability which will also be discussed.

This is part of our goal of reviewing sections of our strategic plan at each Directors meeting. You may recall we examined Public Policy/Government Affairs at the March meeting.

REALTOR® Building RemodelingOur commercial broker, Dan Jessup, has received an offer to rent the 2nd floor of the REALTOR® Building. We countered the offer and recently received the other party’s counter, which we have sent to our attorney for her review. We hope to have something to report to you at the Directors meeting.

We are also meeting with VJS to get an idea of the cost of remodeling the 1st floor.

SentriLock Update1. We have been exploring allowing assistants to have access to the SentriLock system to act

on behalf of their employer (REALTORS®). There are a few obstacles, but we believe there is a way to accomplish it. We do need to discuss how we would bill the assistants/REALTORS® for accessing the system.

2. We are slowly but surely seeing an increase in usage and adoption. It will take about a year, or longer, before members are comfortable using the system. Michele Kohn and Alberta Dhillon are often out doing training at offices, as well. We are down to 731 members who have yet to get their credentials, down from 1,347 in March.

3. After we complained to the Android/Bluetooth problem interacting with SentriLock boxes, they put a team of engineers in touch with a group of our members who were having connection problems.

4. The Executive Committee and I will be meeting with the SentriLock team on May 14 th at the NAR Legislative Meetings in Washington, DC.

Appendix A: Public Policy / Government Affairs

GMAR Public Policy Positions

Members of the Greater Milwaukee Association of REALTORS® (GMAR) sell and market more than individual homes, land or businesses; they also sell the quality of life associated with property. This quality of life can extend well beyond the legal boundaries of property to social institutions that purchasers rely on in their daily lives. To customers and clients, as well as other members of the public, the community where a property is located is as important as the property itself.

In recognizing the importance of the quality of life that is inextricably related to property, it is in the Association’s interest to influence activities and organizations which impact the quality of life associated with property, at its discretion.

The GMAR has identified five general quality of life subject areas consisting of:

1. Education/MPS2. Taxes3. Jobs/Economic Development 4. Infrastructure5. Public Safety/Crime

We refer to these five areas as “pillars” of the REALTOR® “Location, Location, Location” mantra regarding the most important aspects of the quality of life associated with a property. We call them pillars, because they shore up the “Location” mantra. If any one of the “pillars” begins to crumble, a property becomes less valuable.

Education/MPS (Adopted by GMAR BOD 09/16/2010)The quality of schools is a significant component of the quality of life associated with property. In fact, the quality of schools is often the primary factor in the decision by families, and even businesses, on where to purchase property.

With this knowledge, the linkage between real property and the quality of schools must also be of significant concern to REALTORS®, because the quality of schools is directly related to the ability of REALTORS® to conduct their business.

GMAR Goal: To have a regional educational system that produces knowledgeable and skilled graduates who are capable of lifelong learning.

2010-2011 Agenda Support efforts to adopt federal "Race to the Top" standards including:

o Common standards and assessment. o A system that provides timely reports on student performance. o Elimination of any legal barrier to evaluating teachers and principals based on student

achievement. o Authority to intervene in struggling schools.

Advocate that children in all schools are at the national average of proficiency in core academic subjects (i.e. reading, writing and mathematics).

Choice & Charter Schools Continue supporting the existence of the Milwaukee Parental Choice Program (MPCP) and charter

schools. Eliminate barriers to the creation of additional high-quality education options in Milwaukee (i.e.

implicit or explicit enrollment caps on Choice and Charter schools). Eliminate MPS limits on the percentage of system schools that can be Charter schools Allow use of surplus MPS buildings for non-MPS educational options including high-performing Choice

and independent Charter schools

Expand the number of entities authorized to establish Charter schools Increase funding for both Choice and Charter schools and reverse cuts on Choice schools that put

them at risk. Work toward funding equity for all children in Milwaukee by increasing Choice and Charter per pupil

funding levels to 80% of the MPS funding level. [The choice parents make as to which school to send their child to has a dramatic impact on state financial support for a child – with funding ranging from over $13,000 per child for a student in MPS to $7,700 per child in a charter school and only $6,400 in a Choice school.]

Milwaukee Public Schools Explore a change in MPS governance, including the possibility of moving authority to the Milwaukee

Mayor’s office. Reform MPS labor agreements to reduce legacy costs and increase the district’s long-term fiscal stability. Advocate that MPS achieve a graduation rate equal to the national average for similar sized districts. Clearly define what a “high-performing school“ is. Measure performance for all schools in the city. Hold schools accountable for their results, expanding high performers and reforming low performers. Create alternative certification routes for teachers and administrators to attract more high quality leaders

and staff. Liquidate surplus MPS property and facilities to generate district revenue.

Other Add REALTOR® or business leader to the MATC board (an important link to workforce training). Implement changes that were made to the State Workforce Training System at the local level,

increasing dollars directed at training and creating stronger linkages between K-12 education, technical colleges and employers.

Taxation (Approved by GMAR BOD 03/20/2013)

The GMAR believes lowering property taxes in the Metropolitan Milwaukee market area is a significant public policy objective.

The Association understands our state’s long history of relying on funding most municipal services through the property tax. However, over time, the property tax (essentially local governments’ sole means of raising revenue) has become a burden on homeowners’ ability to pay the tax and prospective home buyers’ ability to purchase a home in Southeastern Wisconsin.

Furthermore, the GMAR believes property taxes place enough of a burden on prospective home buyers that it is a significant disincentive to purchase property.

Lowering property taxes is not a simple or easy task, but the GMAR believes it can be achieved by maintaining a close watch over how and where government spends its resources, as well as funding municipal services via other revenue sources that are not dependent on property ownership are important dual objectives.

The Association will support lawmakers and policymakers who seek more efficiency in government operations and back the exhaustive debate of reductions in government services, while also supporting the creation of different sources of revenue that do not place current or prospective homeowners in danger of losing housing choices.

Residency (Approved by GMAR BOD 03/20/2013)

The PPTF also discussed Governor Walker’s proposal of eliminate residency for all public employees. The TF separated the issue into two parts, a) the policy requiring employees to live within a political jurisdiction, and b) the impact eliminating residency would have on the market.

Given the wide array of opinions among the GMAR’s membership on the merits of residency, the PPTF decided not to take a position in favor or against residency. However, regarding the market impact of the pending policy change, the TF felt it would not dramatically impact the marketplace at this time.

Furthermore, given the improving real estate market and low levels of inventory, the market could absorb an increase in supply of homes.

The TF was concerned about a “grass is greener” effect some public employees might feel after gaining their new rights. The TF’s would caution public employees to contact their REALTOR® and take a very close look at whether listing their home is the smart move financially, for each family and for their quality of life.

The TF also wanted the Association to send a note out to the membership outlining the GMAR’s position, to prepare them to talk about it to clients or the media.

The GMAR has requested assistance from NAR’s My REALTOR® Party effort to poll public employees in Milwaukee to determine their likelihood of exercising their new right, should it pass.
