With the S-4 filing now effective with the SEC, we are moving full steam ahead towards the closure of the merger with Viisage to form the new L-1 Identity Solutions company.

This new company creates a powerhouse in the industry with multi-biometric capabilities including face, finger, iris, document authentication, credentialing capabilities, mobile solutions and a nationwide fingerprinting services network.

The new company brings a lot of exciting opportunities to us here at Identix. As a division of L-1 Identity Solutions, we rely on our core competency of developing biometric solutions and delivering those solutions to the market place. Our focus does not change, but our ability to reach new and existing customers with an end-to-end solution set does.

As Chief Strategy Officer for the combined company, I will be working closely with Bob LaPenta, our new CEO, but I will also continue to work with you and gather your inputs in setting the overall strategic direction for the company in terms of product development and new technology investments.

What prompted your interest in biometrics? I believe that the biometric technology and security solution industry offers a tremendous investment opportunity. The industry is a large emerging high growth market where companies with strong offerings require growth capital to evolve further and industry consolidation is inevitable.

The industry consists of hundreds of small entrepreneurial companies, that are typically undercapitalized and under managed. My goal was to acquire well-positioned companies, then provide capital and management to build them into world-class companies that grow with the expanding global use of biometrics. We will continue to consolidate these businesses to enhance our leadership position in the identity security solutions sector.

What do you see as the biggest opportunities for our combined company?Large identity management programs based on U.S. Government and International regulations are beginning to move forward. To compete and win these programs, customers will require that a company has size, with the appropriate financial strength, depth of management team, and end to end solution capabilities in order to provide a total solution. After closing the merger with Identix, we will have all of the important biometric modalities, credentialing, and an unparalleled end to end solutions capability. We have financial breadth with over $200 mm in sales, no debt and the team to run a profitable business as prime on a major contract or to attract large primes to choose us as a major part of their team. Our size and financial strength will also enable us to fund research and development to insure our products and solutions are state of the art.

In your mind, what are our biggest challenges? To ensure that from an operational and marketing standpoint we complete the integration extremely well in order to take advantage of the total companies capabilities our new company (L-1 Identity Solutions) will possess.

Where do you see our company in five years? 10 years? We have created the number one company in the identity solutions space. It is our intent to capitalize on this platform by winning new contracts, growing organically, and acquiring new companies to continue to grow. We do not have revenue goals and we will be opportunistic in our growth plan.

What has been your biggest surprise thus far since you have entered this industry? Most companies in this space are ill prepared to run profitably while pursuing many of the large opportunities that exist in the market today. Because these opportunities involve technology and government regulation they can take much longer to come to fruition than management realized.

What are the biggest lessons learned from building L-3 that you hope to apply in building this biometric empire? Management and their respective divisions must maintain their entrepreneurial spirit in growing the business. Corporate must ensure seamless profitable operation of these autonomous operations. As well as providing ample capital to fund research and development and working capital requirements.

What has been the reaction of customers and integrators that you have spoken to thus far with regards to the merger? The response of both the customer and competitors in the space has been overwhelming. Major integrators have pursued us to either lead or work with them as part of their team in pursuing large opportunities. This would not have happened without the size and technological breadth that the company possesses.

There is significant momentum around identification programs at all levels right now – federal, state & local, international. How do we ensure focus and success? We at corporate will implement a program to ensure a joint marketing effort and will monitor major opportunities on a weekly and monthly basis.

What do you do for fun besides take companies from $5 to $150 in stock price?I love to spend time with my family, grandchildren and playing golf. I hope one day that one of my thoroughbreds will win the Kentucky Derby.

At the end of the journey, how do you want to be remembered? As being an individual, with the help of capable employees, who has built successful, well managed entrepreneurial companies in an honest and ethical way.

In true David and Goliath fashion, Integrated Biometric

Technology (now of Nashville, Tennessee) approached Lockheed Martin–who had played a key role in the establishment of the FBI’s IAFIS development process–and asked to become partners. Lockheed Martin executives saw a glimmer of the promise in the eyes of Integrated Biometric Technology, and agreed to become partners. As the result of Lockheed Martin’s software development and integration, as well as their own inability to implement a nationwide collection center network, Integrated Biometric Technology now has a prominent presence within the biometric industry.

The company’s first customer was the Military Entrance Processing Command (MEPCOM); made up of 58 induction centers around the country, where young men and women enter the U.S. military. The first order of business was to train a team of six former law enforcement officers at Lockheed Martin’s facility in Orlando, FL, and then assign them to set up the 58 processing sites. Two months later, the system was in place and criminal history results were being received within 24 hours, as opposed to the weeks, months, and in some cases, years, which had been the norm with paper and ink printing.

In 2002, Lockheed Martin and Integrated Biometric Technology again collaborated to place electronic fingerprinting equipment in all 67 county school administration buildings in Florida, in order to perform criminal checks on school employees and insurance agents. Other contracts followed, but the largest was the congressionally mandated nationwide fingerprinting of hazardous material drivers, which was awarded to Integrated Biometric Technology in December of 2004 and implemented in January of 2005, under the auspices of the Transportation Security Administration (TSA).

Within five exciting years, Integrated Biometric Technology has become a leading provider of biometric solutions and services for the applicant background screening process. Integrated Biometric Technology specializes in full service solutions that include call centers, finance centers, enrollment workstations, as well as, personnel who help capture biometric and demographic data on applicants in a variety of industries. These services are often provided on a ‘no cost to the client’ basis.

As time goes by and needs increase, Integrated Biometric Technology clients and systems users have grown to include: Transportation Security Administration (TSA), United States Military Entrance Processing Command (USMEPCOM), Florida Departments of Education and Insurance, Oklahoma Department of Education, and many of the nations largest banking organizations to include: JP Morgan Chase, Citigroup, Bank of America, State Street, HSBC and the New York Clearing House. Customers are currently processing in excess of 900,000 biometric and demographic records annually using Integrated Biometric Technology proprietary enrollment systems, server technology and services.

Integrated Biometric Technology has an impressive nationwide trainer network and partners for trusted operations. IBT is proficient at rapid deployment of contracts while providing a secure and accelerated transmission of data using central server technology.

The organizational structure of Integrated Biometric Technology includes: Charles Carroll, CEO; Patrick Haley, President; Richard Spencer, Senior Vice President of Marketing and Sales; Phil Sandidge, Senior Vice President of Operations; Eric Juttelstad, Vice President of Credentialing and Chuck Evans, Vice President of Business Development.

The Integrated Biometric Technology Team had a vision of a blossoming company that would provide technology and services to keep America secure and safe. IBT believes they have succeeded in accomplishing that vision, but its work is not finished. With the combination of identity theft, critical job hiring decisions and the catastrophe of 9-11, the biometrics industry was thrust into public awareness as a critical part of our nation’s security needs. Integrated Biometric Technology continues to meet the challenges we face today to combat security threats to our businesses, homes, co-workers, friends and families.

By combining these two service organizations together, we get the best of two different business models that will allow us to win large federal contracts such as TWIC. IBT will continue to expand its outsource strategy by continuing to build strong sub-contractor relationships and IIS in-house services will be utilized for quick, expandable capacity as well as leverage to drive down over all cost with these sub-contractors. The new combined company will have reduced operating cost significantly by eliminating duplication and increased its ability to ramp up services and increase its capacity to deliver large federal contracts in a very short time frame,” said Charles Carroll, IBT CEO.

The Imaging Automation (iA) acquisition provided Viisage with a market leadership position in identity document authentication to complement the Company’s core competencies in secure identity credentials and biometrics.

In 2005, Viisage acquired the AutoTest division of Openshaw Media Group and Integrated Biometric Technology (IBT), adding automated driver testing capabilities and background checking capabilities to the identity solutions set. Most recently, Viisage has acquired SecuriMetrics and have a pending acquisition of Iridian underway. Both companies offer iris recognition capabilities, adding this important biometric to the company’s solution set.

Further, the Viisage/Identix merger has been approved by the Securities and Exchange Commission (SEC), and the closing date is set for August 29, 2006. This merger is anticipated to create the industry’s most powerful and effective identity solutions entity in the market.

The solution represents the largest commercial deployment of this technology and provides a showcase for other commercial enterprises worldwide on the effective use of identity solutions.

Over 2,000 PIER devices are in deployment throughout Iraq, Afghanistan, Pakistan, Cuba, Bosnia and other areas of conflict.

US detention centers in Iraq and Afghanistan also use this device to manage detainees. In addition, the PIER™ has been evaluated and integrated by the DoD Biometric Fusion Center (BFC), The Office of Law Enforcement Technology Commercialization (OLETC) and the Space and Naval Warfare Systems Command (SPAWAR).

In 2005, SecuriMetrics announced the development of the HIIDE™ (Handheld Interagency Identity Detection Equipment) device, the world’s first hand-held, full function, multimodal (iris, finger, face) identification device. Until recently, many of us have been largely shielded from cost increases, but that is changing. By understanding what factors are contributing to rising costs and learning some basics about health insurance and how our health plans work, we can all play a role in keeping healthcare affordable.

HoW HeALtH InsurAnce WorksHealth insurance companies use historical data and analysis to predict the medical expenses for any given group of individuals, usually a company’s employees. The premiums they charge are based on the amount of claims they’ve paid in the past and what they expect future claims to cost. When insurers pay out more in claims than they receive in premiums and when future services are predicted to cost more, premiums go up.

How Much Things Actually Cost Often healthcare consumers don’t have a clear understanding of just how much medical services cost. For many years health plans insulated members from the true cost of these services by making payments directly to doctors or hospitals.

How Much Do You Pay for Health Insurance? How Much Does Your Employer Pay? Most of us are shielded from the heavy burden of the full cost of medical procedures, treatments and drugs. That’s because employers spend, on average, five times more than employees do for healthcare.

From 2001 to 2002, premiums for employer-sponsored health insurance increased by an average of almost 13 percent nationwide. In this sluggish economy, businesses are struggling to pay for the steep increase in insurance premiums and some are looking to employees to assume a greater responsibility.

REqUEST GENERIC DRUGS

Americans are using prescription drugs to manage health conditions and prevent problems more than ever before, and those drugs are more expensive than ever before.

SAVE THE ER FOR EMERGENCIES Emergency room treatment for non-emergency medical conditions is a major contributor to the rising cost of healthcare. On average, the cost for an emergency room visit is $383, while a doctor’s office visit is about $60. Check with your doctor before going to the ER. Limit ER trips to urgent or life-threatening medical problems.

DEVELOP AN ONGOING

RELATIONSHIP WITH YOUR PHYSICIAN One of the best ways to get the best care and reduce healthcare

costs is to know your doctor and make sure he or she knows you. Here are some steps you can take that will help you establish an effective, ongoing relationship with your doctor:

Make sure that you understand what your doctor is telling you - ask questions, take notes

Let your doctor know about all medications that you’re taking, even over-the-counter medicines and herbal remedies

Share your medical history and ask about preventive measures you can take to avoid illness or manage diseases

Keep track of your child’s immunizations, making sure that they are given at the right time, with booster shots given at appropriate intervals

MAINTAIN A HEALTHY WEIGHT Did you know that more than 60 percent of adults nation-wide are overweight or obese. If you are overweight talk with your doctor to devise a balanced diet that is rich in fresh fruits, vegetables and whole grains. A balanced diet will help you feel better and help

prevent the onset of chronic health problems such as Type 2 diabetes, asthma and coronary artery disease.

PRACTICE SAFETY & PREVENTION Each year, millions of Americans are rushed to emergency rooms to receive treatment for often-serious injuries that could have been prevented. Simply buckling a seat belt, strapping on a bicycle helmet or ensuring that children use proper athletic equipment and receive necessary training could prevent thousands of accidental deaths and injuries annually.

STEP UP PHYSICAL ACTIVITY The benefits of regular physical activity are many - we look better, we feel better, and our overall health can improve. Being physically inactive significantly increases the risk of developing many chronic diseases and conditions such as heart disease, stroke, colon cancer, diabetes, obesity, arthritis and osteoporosis. All you need is 30 minutes of moderate physical exercise every day and you could improve your personal health. Check with a local community center, senior center, school or church for free or low-cost exercise classes and athletic activities.

KRISTEN SCHELL, SR. SALES SUPPORT ENGINEER, MN After juggling a very busy and demanding job as a sales engineer and classes at night and weekends, Kristen Schell was awarded her Masters in Business Administration last June 10. She is a member of the first graduating class of the new MBA program at Augsburg College

in downtown Minneapolis. Kristen began her career with the Company as a summer employee in 1995 while attending college. After graduation, she became a full time employee, progressively working her way up through a number of departments. She has worked as a receptionist, maintenance contract administrator, accounts payable/receivable/collections clerk, and live scan customization engineer.

ALEX POETEK, RECEPTIONIST, VA Alex came in as a “temp” in April 2005 and became a permanent employee in August of that same year. Working full time at Identix did not deter Alex from taking anywhere between four and six classes per semester. Alex says her typical day consisted of waking up at 6 AM, working

eight hours at Identix, going to class from 7 to 10 PM and studying usually until midnight. Her weekends are no different as she spends them reading and writing reports. Her manic work days and weekends are about to end. Come end of July, she will graduate from George Mason University with a bachelor’s degree in Psychology.
