The object of sale is a historical property owned by Senate-properties located in Kruununhaka, Helsinki. The property consists of 7.319 sqm plot with two historicalbuildings (together named ”Uudenmaan Kasarmi”, former military barracks buldings), with one located on Maurinkatu street (floor area 4.306 sqm) and the other one locatedon Liisankatu street (floor area 3.669 sqm ). The object of sale also includes a newresidental building right in the courtyard of the property (app. 3.000 building-sqm). In addition, under certain conditions there is an option to make an offer for an additionalresidential building right (app. 2.000 building-sqm) owned by Kruunuasunnot Oy, whichis located on the same block. The last user of the existing buildings was the MilitaryMuseum, whose operations have been moved from the location.
The block is under city plan change process. Its objective is to enable new use in theformer military barracks buildings and on the unbuilt part of the plot. The existingbuilidings will be listed based on historical values with separately specified details. Currently the proposed use of the buildings is to be changed from general use to commercial and office use.

SALES PROCESS AND INDICATIVE TIMELINE
The object of sale is the ”Uudenmaan kasarmi” –property owned by Senate Properties: plot(reg.no 91-1-20-9) and buidings on it. There are two existing buildings on the plot, one on Maurinkatu and the other one on Liisankatu. The property also includes a new residential building right on the courtyard (app. 3.000 building-sqm). Address of the property: Maurinkatu1 / Liisankatu 1, 00170 Helsinki.
The object of sale will be sold based on offers received, preferably as one entity. The offerscan be made of1. the whole object of sale2. the existing buildings together or3. the new 3.000 building-sqm residential building right
Residential building right option (2.000 building-sqm). If the offer is being made of alternatives1. or 3., it is possible to make an offer also of the residential building right owned byKruunuasunnot Oy, which is located on plot reg.no 91-1-20-15. The prices of the residentialbuilding rights needs to be presented separately.
DELIVERY OF OFFERS
Indicative offers will need to be submitted on 5.10.2020 by 15:00 via email to theaddress [email protected], with the subject of the email being ”Uudenmaan kasarmi offer”.
The offer must include:1. the purchase price (debt free), if the offer includes the residential building
rights, the prices are required to be presented separately.2. preliminary view on re-developming the block and the intended use3. description of financing (equity and debt, source of finance, possible clause
related to financing)4. the schedule and extent of the DD-process5. other key terms, assumptions and/or conditions6. sufficient information about the bidder for identification and verifycation
(description of the bidder and ownership background).7. clauses related to the residential building right (alternatives 1. and 3.)
• Senate properties have, together in cooperation with the city of Helsinki and Kruunuasunnot Oy, drafted a reference plan (in Finnish: viitesuunnitelma) to the block on how to place the two residentialbuilding rights. The reference plan was made by Anttinen & Oiva arkkitehdit
• Each bidder is expected to familiarize with the reference plan and takeinto account its key conditions when making an offer
8. clauses related to the project agreement (in Finnish: hankesopimus):• Senate properties and Kruunuasunnot Oy have signed a project
agreement related to the development of the block. The projectagreement will become binding on the buyer, where applicable, uponthe transaction of the object of sale
• Each bidder is expected to familiarize with the project agreement and take into account its key conditions when making an offer

PERMISSION TO ACQUIRE THE OBJECT OF SALE
If the law ”Act on Transfers of Real Estate Requiring Special Permission” section 1 (in Finnish: Laki eräiden kiinteistönhankintojen luvanvaraisuudesta § 1 mukainen soveltamisala) applies to the buyer or buyers, the buyer or buyers are required to acquire the permission defined in the law. If the permission is not granted, the seller is not liable for any resulting harm.
