The Major Account Agreement (MAA)Terms and Conditions apply tobusinesses that have activated 5 ormore lines in their company name(on plans $3499 or higher) that havesigned a Verizon Wireless SmallBusiness Receipt.

Customers who have activatedfewer than 5 lines and signed aVerizon Wireless Customer Agreementshould refer to the Customer

Agreement Terms and Conditions inthe Consumer Your Guide brochure.

Definitions1. Definitions:

1.1. Attainment Tier: The range oftotal Corporate and EmployeeSubscriber voice and data lines(excluding telemetry lines of service)active under this Agreement at a giventime, which determines the applicablemonthly access fee discount and otherbenefits of this Agreement.

1.2. Corporate Subscriber: Anemployee of Customer utilizingWireless Service under this Agreementwhose account is set up in Customersname and for which Customer bearsresponsibility.

1.3. Eligible Calling Plan: Any

generally available Verizon Wirelessvoice or data calling plan with amonthly access fee of$3499 or higher,unless such calling plan specifies thatdiscounts are not applicable.

1.4. Eligible Data Feature: Anygenerally available Verizon Wireless datafeature with a monthly access fee of$2499or higher, added to an Eligible CallingPlan, unless such data feature specifiesthat discounts are not applicable.

1.5. Employee Subscriber: Anemployee of Customer utilizingWireless Service whose account isregistered under this Agreementand is set up in the employees nameand for which the employee bearsresponsibility. Verizon Wirelessrelationship with Employee Subscribers

is governed by the Verizon Wirelessretail Customer Agreement.

1.6. Equipment: Wireless telephones,data devices and similar devices usedin conjunction with Wireless Service.

1.7. Line: An individual CorporateSubscribers line of Wireless Service,

whether such line utilizes voice service,data service or both. Each Line isassociated with a single mobiletelephone number (MTN).

1.8. Wireless Service: Each and everyradio service provided directly orindirectly by Verizon Wireless.

Term of Agreement andLine Term2. Term; Early Termination Fees:

2.1. Term of Agreement (Term):Verizon Wireless shall provide WirelessService to Customer for an initial Termof two years from the date thisAgreement is executed by Customer(Effective Date) and accepted byVerizon Wireless, and thereafter ona month-to-month basis untilterminated by either Party with atleast 30 daysLegal Notice, as set forthin the Legal Noticessection below.After termination, Wireless Service willcontinue for any active Corporate andEmployee Subscribers under the termsand conditions of their respectiveagreements until such Lines are eitherterminated or incorporated underanother Verizon Wireless agreement;however, Verizon Wireless may removediscounts and other benefits of thisAgreement from any active Lines.

2.2. Term of Lines (Line Term):The term for each line begins on the

date Wireless Service is activated forthat line and continues for the periodrequired by the plan or Equipmentselected for that line (usually one ortwo years). Line Term extensions arerequired when Corporate Subscribers:(a) take advantage of promotionsor services that require a Line Termextension; or (b) purchase or upgradeEquipment. When the Line Termexpires, Wireless Service continueson a month-to-month basis.

2.3. Early Termination Fees (ETF): An ETF of$175 applies to each lineterminated or ported to anotherservice provider prior to the expirationof the Line Term. For each line activatedor Line Term extended under thisAgreement, the ETF will be reducedby $5 for each full month of servicecompleted toward such Line Term.

Pricing and Equipment3. Rates and Charges:

The plan and any selected options andfeatures determine the applicable

rates, charges, allowance of minutesand/or kilobytes or megabytes andWireless Service coverage area for eachline. Corporate Subscribers activatingnew service or changing plans willreceive the then-current plan rates,terms and conditions. Customer agreesto refer to verizonwireless.com/B2Bresources for current informationabout plans and their associated rates,terms, conditions and features beforeactivating new service or changingplans. The monthly access fees andnon-promotional allowance of minutesand/or kilobytes or megabytes for

each line will not change during theLine Term as long as the plan is notchanged on that line. Other rates,charges and fees, including but notlimited to options, feature chargesand 411 Search, may vary following30 dayswritten communication(which may be by mail, email and/ormessage with Customers monthlybill). Verizon Wireless may changeor discontinue generally availablebusiness or consumer plans for newCorporate Subscribers. Corporatediscounts and pricing are availablethrough the business sales channeland may not be available to purchasesmade through agents or at retailstore locations.

3.1. Attainment Tier and MonthlyAccess Fee Discount: ProvidedCustomer maintains a minimum of 5Corporate Subscriber Lines on EligiblePlans, Corporate Subscribers shallreceive the monthly access fee discounton Eligible Plans and Eligible DataFeatures based on CustomersAttainment Tier. Verizon Wirelesswill convert Customers existingVerizon Wireless Lines to this Agreementwithin 90 days from the Effective Date,after receiving all necessary informationfrom Customer. After receiving allnecessary information, some callingplans, features or services may takeup to 60 days to enable activation.Verizon Wireless is not responsiblefor any obligations Customer mayhave to other service providers. In orderfor the Lines of Customers employees

to count toward the Attainment Tier, theemployee must follow the process setforth in the Purchases by Employeessection below.

3.2. Attainment Tier and DiscountChanges: If Customer does not achieveat least the lower end of its initial

Attainment Tier within 180 days afterthe Effective Date (Grace Period) orthereafter falls below the lower end ofits Attainment Tier for two consecutivemonths, Verizon Wireless may adjustthe monthly access fee discount andother benefits under this Agreementfor both Corporate and EmployeeSubscribers, consistent with theapplicable lower Attainment Tier. IfCustomer exceeds its Attainment Tierfor at least two consecutive months,it may request in writing thatVerizon Wireless adjust the Corporateand Employee Subscribers monthlyaccess fee discount and other benefits

under this Agreement, consistent withthe applicable higher At tainment Tier.Any such Attainment Tier adjustmentmay take one to two bill cycles tobecome effective and will not resultin any retroactive discounts, creditsor charges.

4. Equipment Provided byVerizon Wireless:

The following provisions applyto Equipment purchased directlyfrom Verizon Wireless by Customeror Customers agent pursuant tothis Agreement:

4.1. Corporate Equipment Pricing:Corporate Equipment pricing, basedon Customers Attainment Tier issubject to periodic change andEquipment is subject to availability.Corporate Equipment pricing maynot include all Equipment offered byVerizon Wireless. Corporate Subscribersmay purchase Equipment at eitherpromotional retail pricing or CorporateEquipment pricing when activatingnew service and no sooner than twomonths before the expiration of a12-month Line Term or four monthsbefore the expiration of a 24-monthLine Term. Corporate Subscribersmay purchase Equipment at non-discounted full retail pricing atany time.

4.2. Shipping, Risk of Lossand Acceptance: Billing andshipping addresses must be in theVerizon Wireless licensed service area.Equipment will be shipped to theaddress designated on Customersorder. Title and risk of loss pass to

Customer and acceptance occurs uponreceipt of the Equipment by Customeror Customers agent at the addressdesignated on Customers order.Verizon Wireless may charge Customerfor shipping. Verizon Wireless will shipEquipment within five business days

of receipt of Customers order, subjectto availability.

4.3. Equipment Returns: Customershall have 30 days from acceptance,or a longer period if required by law,during which it may exchangeEquipment or return it for a refundand terminate the line without an ETF.Customer shall be responsible for allservice-related charges incurred upto the time of termination.

5. Equipment Not Provided byVerizon Wireless:

Customer may utilize Equipmentprocured from a third party, provided

that such third-party Equipment is onVerizon Wirelessapproved device listat the time of activation. Third-partyEquipment providers (including thosethat sell Verizon WirelesslabeledEquipment) do not representVerizon Wireless with respect tothe sale of Equipment. Third-partyEquipment providers establish theirown terms and conditions for thesale of Equipment and Verizon Wirelesshas no control over such third partiescharges, terms of purchase or returnpolicies. Verizon Wireless shall not beresponsible for any claims or lossesrelated to any Equipment providedby such third parties, or Customersuse thereof, including but not limitedto loss, damage or replacement ofsuch Equipment.

6. Equipment Purchased Through

Open Development Program:Customer may activate Equipmentassociated with the Verizon WirelessOpen Development (OD) program.Verizon Wireless has not made anydetermination as to the call qualityor other functionality provided byOD Equipment. Verizon Wireless doesnot in any way warrant that ODEquipment will (a) operate withouterror on the Verizon Wireless network(including the network of any othercarrier accessed while roaming orotherwise); (b) operate without theneed for periodic upgrades ormodifications; (c) operate indefinitelyon the Verizon Wireless network; or(d) will not be adversely affected bynetwork-related modifications,upgrades or similar activity.

7. Lost or Stolen Equipment:If Customers Equipment is lost orstolen, Customer may request thatVerizon Wireless suspend service andbilling to the affected line for thelesser of 30 days or until the dateof replacement or recovery of the

Equipment, after which servbilling for such line shall res

8. Equipment Modification

Absent specific prior writtenfrom Verizon Wireless, if Cuseither on its own or throughparty, adds, changes, integruses hardware or software tthe Equipment (Modificatiothen Verizon Wireless shall nresponsible for defects, malrepair, replacement or claimfrom such Modifications. Cumay be responsible for any usage and charges resultingsuch Modifications. Verizon shall have no liability for anyor damages arising from anModifications or from Custoillegal or unauthorized use oWireless Service or Equipme

Purchasing9. Purchases by Customer(Authorized Contact[s]):

Customer shall identify reprauthorized to purchase WireService and Equipment undAgreement and to act on its(Authorized Contact[s]) bytheir name, telephone numbbusiness address and emailin writing to Verizon WirelesAuthorized Contact shall haauthority to handle any andcontemplated by the Agreerelating to Customers accouCustomer may elect to desigthird party as an Authorizedprovided it complies with threquirements set forth in thCustomers Use of Third Pasection below.

10. Purchases by Employee

Customers employees (withemployment) may activate register existing lines of WirService, not to exceed 5 lineemployee, and obtain the apmonthly access fee discounEligible Plans available to inconsumers, accessory disco

and Corporate Equipment Pricing,if eligible, provided such employeefirst: (a) executes a Verizon Wirelessretail customer agreement; and(b) qualifies under Verizon Wirelessconsumer credit criteria. EmployeeSubscriber activations or registrationsof existing Verizon Wireless lines mustbe processed via the online businesssales channel. If online resources areunavailable, Employee Subscribers mayactivate via the business sales channel.Corporate discounts and pricing maynot be available to purchases madethrough agents or at retail storelocations. Upon request, Customer

shall confirm the employment statusof Employee Subscribers.

10.1. Employee Subscriber BonusDiscount: Employee Subscribers maybe eligible for an additional threepercent (3%) monthly access feediscount on their Eligible Calling Plansand Eligible Data Features providedthey register with My Verizon andenroll in Paperless Billing. Should anEmployee Subscriber de-enroll fromany of these services, the BonusDiscount will be removed from his orher lines. If Customer has employeesreceiving a monthly access feediscount under a prior agreementwith Verizon Wireless, Verizon Wirelesswill provide notice, within 30 days ofthe Effective Date, to such employeesthat their lines will migrate to the

discount structure applicable underthis Agreement.

11. Purchases by Parents andAffiliates:

Customers qualifying parentsand affiliates identified in writingby Customer and verified byVerizon Wireless, may purchaseWireless Service and Equipmentunder this Agreement, and theCorporate and Employee Subscribersof any participating parent or affiliatewill count toward CustomersAttainment Tier. Each such parent oraffiliate, including Customers wholly-owned affiliates that operate as adistinct legal entity, may purchaseunder this Agreement provided thateither: (a) Customer has and exercisesthe legal authority to bind such parentor affiliate to the terms and conditionsof this Agreement; or (b) such parent oraffiliate executes a Verizon Wirelessparent/affiliate agreement. Customershall be responsible for payment of allcharges due from parents and affiliatesunder this Agreement if such parent

or affiliate defaults on their paymentobligations. Customers qualifyingparents are those entities that ownat least 50% of the equity interest inCustomer, and Customers qualifyingaffiliates are those entities in whichCustomer or Customers qualifyingparent owns, directly or indirectly, atleast a 25% equity interest. Customershall use good faith efforts to notifyVerizon Wireless in writing if aparticipating parent or affiliate nolonger qualifies hereunder. Uponrequest, Customer shall confirm thatany participating parent or affiliatestill qualifies pursuant to this section.

Customer hereby authorizes anddirects Verizon Wireless, on behalf ofits affiliates that participate under thisAgreement, to disclose an affiliatescustomer proprietary networkinformation (CPNI) to Customer uponCustomers request. Either Party maydisclose this Agreement in whole or inpart to any qualifying parent or affiliateto facilitate participation.

12. No Reselling:

This Agreement specificallycontemplates the purchase ofWireless Service by Corporate andEmployee Subscribers of Customerand Customers qualifying parentsand affiliates only. Third parties(including agents, contractors orcontract employees, members or

franchisees of Customer or Customersqualifying parents and affiliates) arenot eligible to purchase WirelessService or Equipment under thisAgreement. Customer may not resellthe Wireless Service except uponspecific written agreement betweenthe Parties.

Billing and Payment13. Customer Billing and Payments:

13.1. Monthly Bills: Verizon Wirelessbills on a monthly basis, andCustomer is liable for all fees andcharges, including any applicable

Taxes and Surcharges, on CorporateSubscriber Lines. Monthly access feesand feature charges are generally billedin advance, while airtime overage andother usage rates or charges are billed

in arrears. Monthly billing cycles varyand may not necessarily correspondto calendar months. Verizon Wirelessprovides billing for third parties, andcharges for third-party services andapplications may be placed onCustomers bill. Customer has the

option, at no cost, to block or restrictaccess to services or applications thatmay involve a charge being placed onCustomers bill.

13.2. Payment Terms: Customershall pay all undisputed chargeswithin 30 days of the date of eachbill. Past due amounts shall be, to theextent permitted by applicable law,subject to a late payment fee of upto 1.5 percent a month (18 percentannually) or $5 a month, whichever isgreater. If payment by check or similarnegotiable instrument is returned by abank for any reason, Verizon Wireless will

charge Customer a returned check fee.13.3. Disputed Charges: In the eventof disputed charges, Customer must,as soon as practicable followingidentification of such dispute, notifyVerizon Wireless in writing, includingthe date of the bill, disputed amounts,the reason for the dispute and anysupporting documentation. Customerhas 180 days from the bill due date tonotify Verizon Wireless of a disputedcharge. Any charges will be consideredundisputed until Verizon Wirelessreceives notification that Customerdisputes such charge. The Parties willuse their good faith efforts to reconcileany disputed charges within 60 days ofthe date of notification, after which theParties may invoke the process setforth in the Dispute Resolution

section below.13.4. Failure to Pay: Verizon Wirelessmay, upon prior communication toCustomer (which may be by mail,email and/or message with Customer smonthly bill), suspend or terminateWireless Service to some or allCorporate Subscribers or denyactivation to new CorporateSubscribers due to Customers failureto make payment or dispute chargesin accordance with the foregoingprovisions regardless of any depositprovided by Customer. Verizon Wirelessmay also charge Customer for anycollection agency fees thatVerizon Wireless is charged by acollection agency used to collectfrom Customer, if it is permitted bythe law of the state where Customers

billing address is located whereVerizon Wireless sends Customersaccount to a collection agency.

13.5. Credits for Interrupted Service:If an answered voice call in the planrate and coverage area is disconnectedby Verizon Wireless network and the

Corporate Subscriber redials the callwithin five minutes of beingdisconnected, Customer may receivea one-minute credit. If, due to thefault of Verizon Wireless, a line isunable to receive Wireless Servicewhile in the Verizon Wireless coveragearea for more than 24 continuoushours, Customer may request a prorata daily credit for the period withoutWireless Service. Credits will notexceed the amount of the monthlyaccess charge for the affectedCorporate Subscriber. To receive anycredits under this section, Customeror Corporate Subscriber must notifyVerizon Wireless within 90 days afterthe call was disconnected or WirelessService was unavailable by calling1.800.VZW.4BIZ , an airtime-free andtoll-free number.

14. Taxes, Surcharges andExemptions:

If any federal, state, local or foreigntax, fee, assessment or other chargeis required by law to be collectedby Verizon Wireless (each, a Tax),or a serving carrier charges Tax on aroaming call, then Verizon Wirelessmay bill such Tax to Customer, andCustomer shall pay such Tax. IfVerizon Wireless incurs a tax (otherthan a net income tax) or otherexpense to comply with legal orgovernmental requirements, or other

expense to provide or improve serviceto its customers, and Verizon Wirelessbills a surcharge to recover oroffset the cost of such expense (aSurcharge), then Customer shall paysuch Surcharge. Taxes and Surchargesmay change from time to time. Withrespect to any Tax other than a Taxcharged by a serving carrier on aroaming call, if Customer providesVerizon Wireless with an exemptioncertificate in the form provided by law,or with other evidence of exemptionacceptable to Verizon Wireless, thenthat specific Tax will not be collectedfrom Customer. If an exemptionapplied by Verizon Wireless atCustomers request is found not toapply, then Customer shall upondemand pay Verizon Wireless the

uncollected Tax and all relatedinterest, penalties and additions tothe Tax. Verizon Wireless shall notissue credits for a Tax that is billed priorto Verizon Wirelessreceipt of evidenceof exemption.

15. Bankruptcy/Insolvency/Creditworthiness:

Either Party may terminate thisAgreement upon Legal Notice, as setforth in the Legal Noticess ectionbelow, if: (a) the other Party makes anassignment for the benefit of creditors,or admits in writing its inability to payits debts as they mature; (b) a trusteeor receiver of any substantial part ofthe other Partys assets is appointedby any court; or (c) a proceeding isinstituted under any provision of theFederal Bankruptcy Laws by or againstthe other Party, and such proceeding is

acquiesced in or is not dismissed within60 days or results in an adjudicationin bankruptcy. Notwithstanding theabove, Customers right to terminatepursuant to this section may only beinvoked if Verizon Wireless is unable toprovide Customer with Wireless Serviceand Equipment under this Agreementas a result of the foregoing. If Customerterminates the Agreement pursuant tothis section, it shall not be relieved ofits obligation to pay for any WirelessService used and Equipmentpurchased. At any time during the

Term, Verizon Wireless may requireCustomer to provide a depositto secure payment based uponCustomers creditworthiness orpayment history with Verizon Wireless.Any such deposit shall not relieve

Customer of its obligation to pay anyVerizon Wireless bills. Verizon Wirelessshall pay any interest required by lawon such deposit.

Limitations, Warranties andIndemnifications16. LIMITATION OF LIABILITY:

UNLESS DIRECTLY CAUSED BYTHE WILLFUL MISCONDUCT OFVERION WIRELESS, VERION WIRELESSSHALL NOT BE LIABLE TO CUSTOMER,ITS EMPLOYEES, AGENTS OR ANY THIRDPARTY FOR INJURY TO PERSONS ORPROPERTY, LOSSES (INCLUDING ANYLOSS OF BUSINESS), DAMAGES, CLAIMSOR EXPENSES OF ANY KIND CAUSEDDIRECTLY OR INDIRECTLY BY THEEQUIPMENT, USE OF THE EQUIPMENTBY CUSTOMERS EMPLOYEESOR CUSTOMERS AGENTS, THEMANUFACTURER OF THE EQUIPMENT,ANY REPAIR OR SERVICE OF THEEQUIPMENT BY CUSTOMER OR A THIRDPARTY, ANY MODIFICATIONS (ASDEFINED IN THIS AGREEMENT), OR BYANY INTERRUPTION OF SERVICE ORLOSS OF USE OF THE EQUIPMENT.
