OSGS OBJECTIVES (Bylaws Article III)
ARTICLE III: OBJECTIVES
The objectives of the Society shall be: a) To provide individuals interested in genealogy a forum
to meet and exchange ideas and knowledge pertaining to genealogy and family history.
b) To collect, preserve, and disseminate genealogical knowledge and related historical, biographical and heraldic data.
c) To stimulate and provide instruction in scholarly research techniques and promote adherence to scientific methodology in genealogical research.
d) To champion high ethical standards in genealogical publications and to discourage the publication of work by incompetent and disreputable researchers.
e) To promote studious documentation of genealogical data and otherwise encourage scholarly writing.
f) To issue publications of a genealogical or historical nature.

MEETINGS
Ocean Springs Genealogical Society meetings are held on the 1st Thursday of each month except July and December at 7:00 P.M. in the Ocean Springs Library meeting room. The annual election of officers is held during the regular November meeting. A workshop is held in July.
DUES
Annual dues are $10.00 per household per calendar year payable by January 1st. A Life Membership is $100.00.
RAFFLES
At meetings those present may contribute $1.00 to the Society’s Treasury. The raffle winner selects a book costing up to $30.00 and notifies the OSGS Librarian what to purchase.
The winner has an opportunity to review the book before it is presented by OSGS to the Genealogy Section of the Ocean Springs Library.
A book over $30 may be selected and the selectee pays the difference. Multiple monthly winners may pool their winnings toward the purchase of an expensive book. Books may include CDs, or other items of genealogical interest.

ARTICLE I: NAME The name of this society shall be the Ocean Springs Genealogical Society, Inc.
ARTICLE II: NONPROFIT CHARACTER The Society shall be operated as a nonprofit organization; no part of the net earnings shall be used for the benefit of any private individual.
ARTICLE III: OBJECTIVES The objectives of the Society shall be:
a) To provide individuals interested in genealogy a forum to meet and exchange ideas and knowledge pertaining to genealogy and family history.
b) To collect, preserve, and disseminate genealogical knowledge and related historical, biographical and heraldic data.
c) To stimulate and provide instruction in scholarly research techniques and promote adherence to scientific methodology in genealogical research.
d) To champion high ethical standards in genealogical publications and to discourage the publication of work by incompetent and disreputable researchers.

ARTICLE IV: MEMBERSHIP Section 1: Any individual or institution interested in promoting the purposes and objectives of the Society shall be accepted for membership upon submission of a completed membership form and payment of dues.
Section 2: The categories of membership shall be as follows:
a) Individual Member: Any person who meets the requirements for membership and has paid the annual dues.

b) Life Member: Any person who is an individual member who has paid the one-time lump sum dues as hereinafter provided.
c) Associate Members: Students or children ages 14 – 22 years of age.
d) Honorary Members: Nonvoting members appointed by vote of the Society for one-year membership.
e) Institutional Membership: Any society, business or commercial entity that complete a membership forma and paid dues as hereinafter provided.
Section 3: Voting members shall be Individual Members who have paid their dues for the calendar year, as well as, Life Members.
Section 4: The amount of dues for all categories of membership shall be recommended from time to time by the Board of Directors and shall be approved by a majority vote at a regularly scheduled meeting.
ARTICLE V: OFFICERS Section 1: The officers of the Society shall consist of a President, a 1st Vice-President, a 2nd Vice-President, a Secretary, a Treasurer, and a Librarian. No person shall be eligible to hold office who has not been a member of the Society for six months.
ARTICLE VI: DUTIES OF OFFICERS Section 1: The President is the principal executive officer with responsibility for the general supervision of the affairs of the Society and shall be the official spokesman of the Society. The president shall preside at all meetings of the Society, except as otherwise provided, and appoint committees as may be necessary. The President shall be an ex-officio member of all committees except the nominating committee.
Section 2: The 1st Vice-president in the absence or inability of the President performs the duties pertaining to the President’s office. The 1st Vice-president shall be in charge of programs and

discharge such other duties as may be requested by the President or prescribed by the Society.
Section 3: The 2nd Vice-president shall be in charge of membership and such other duties as requested by the President or prescribed by the Society.
Section 4: The Secretary shall keep a record of the proceedings of the Society and such other duties as requested by the President or prescribed by the Society.
Section 5: The Treasurer shall have custody of the funds of the Society, shall deposit them in the bank or banks as may be directed by the Society, and shall make disbursements as required and directed by the Society. The Treasurer shall mail notices of dues for the ensuing calendar year not later than December. The Treasurer shall submit to the members a financial report at each regular monthly meeting. The records of the Treasurer shall be audited at the close of each calendar year and the report of the audit shall be submitted to the membership at a regular meeting.
Section 6: The Librarian shall be responsible for liaison with the officials of the Ocean Springs Library in arranging meeting space for the Society, maintaining custody of genealogical media acquisitions of whatever nature and other matters as are necessary for the normal conduct of the Society’s affairs pertaining. The Librarian will purchase and maintain a record of books, microfilm, CDs, and other media as may be directed by the Society and turn them over to the library for custody.
ARTICLE VII: BOARD OF DIRECTORS Section 1: The Board of Directors shall consist of the officers outlined in the preceding article, and shall take office when elected at the annual election, and shall serve concurrently as officers of the Society and members of the Board of Directors. The President of the Society shall be President of the Board of Directors, and the Secretary of the Society shall be Secretary of the Board of Directors.

ARTICLE VIII: COMMITTEES Section 1: Standing Committees are permanent committees charged with performing necessary functions of the Society in a particular area. The President may appoint members and the chairman as may be necessary for the success of the Society. Membership in all committees expires when a new President takes office. The Standing Committees of the Society and their duties are as follows:
Newsletter Committee shall publish a quarterly newsletter to (1) inform the membership of Society activities and provide notice of elections and proposed amendments to the Bylaws; (2) publish a schedule of important Society activities; (3) publish educational material of genealogical interest; (4) publish interesting research activities of the membership and such other items of genealogical interest as the editor chooses. A copy of the newsletter shall be mailed or transmitted electronically to individual and institutional members. In cases where two or more members receive mail at the same address only one copy of the newsletter shall be mailed. One copy of the newsletter shall be placed in the newsletter notebook.
Activities Committee shall manage the archival records of the Society, collect materials for inclusion in the archives, retain one copy of all Society publications, and perform such other services as may be directed by the Board of Directors.
Publicity Committee shall be responsible for all publicity and public relations for the Society.
Yearbook Committee shall prepare and distribute annually the Society yearbook to provide the membership with, among other matters, the names of officers, the standing committees, the time and place of meetings, the amount of the annual dues, a schedule of programs, names of members providing refreshments for the meetings, a copy of the Society Bylaws, and a listing of the names and addresses of the membership.
Refreshment Committee will designate the members(s) to provide suitable refreshments at the meetings.

Website Committee will insure the Society’s website accuracy and that it is up to date.
FGS Coordinator will maintain liaison with the Federation of Genealogical Societies (FGS) and keep the membership informed of matters of interest to and affecting the Society.
Section 2: Ad Hoc Committees may be established by the President as needed to accomplish a specific requirement of the Society. The President shall appoint the chairman and members to Ad Hoc committees as may be necessary.
Section 3: The Executive Committee shall consist of the officers and all committee chairmen.
Section 4: All committee chairmen shall turn over to the seated President all records and correspondences pertaining to their respective committees within 15-days after their terms of office expire.
ARTICLE IX: NOMINATIONS AND ELECTIONS Section 1: The President shall appoint a nominating committee consisting of a chairman and two members in September. It shall be the duty of this committee to nominate one candidate for each position to be filled. The consent of each nominee must have been obtained prior to nomination. The chairman of the nominating committee will present their slate of nominees at the November meeting. Following the presentation of the slate nominations may be made from the floor. If there are no nominations from the floor the chairman may move that the slate be accepted by acclamation. After seconding the President shall instruct the Secretary to record that the election of the slate was by acclamation.
Section 2: Officers shall be elected by a majority vote at the meeting in November. The term of office shall begin at the close of the installation ceremony at the December meeting. The terms of office for all except that of President will be for one year. The President will be elected in odd numbered years and

serve a two year term or until a successor is elected or appointed as provide hereinafter.
Section 3: In the event that an elected officer is unable to complete a full term in office or misses three consecutive meetings the Board of Directors shall either affirmatively excuse such absences or recommend a replacement to the membership. Replacement will be approved by majority vote.
ARTICLE X: MEETINGS Section 1: The regular meeting of the Society shall routinely be held in Ocean Springs, Mississippi, each month at a date and place specified by the membership; however, the membership may approve a change of venue for special events. The annual meeting of the Society shall be held in December at a date specified by a vote of the membership. Special meetings may be called by the President or at the request of at least three members of the Board of Directors.
Section 2: The business arising at meetings of the Society shall be transacted by a majority of the voting members present.
Section 3: No expenditure of the Society’s monies shall be made except by approval of a majority vote of the members.
ARTICLE XI: PARLIAMENTARY AUTHORITY The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Society in all cases in which they are not inconsistent with the Bylaws of the Society.
ARTICLE XII: FEES AND DUES Section 1: The annual dues for Individual and Associate Members shall be determined by the membership. The lump sum payment of such dues as the Society may determine, shall constitute a Life Membership and shall exempt that individual from further payment of dues. Money received in payment for Life Memberships shall be invested and the income will go into the Library Fund of the Society.

Section 2: Dues are payable by January 1 for the calendar year. Members admitted after December 1 shall be credited with dues paid for the following year.
ARTICLE XIII: DISSOLUTION Section 1: In event of dissolution, the residual assets of the organization will be turned over to one or more genealogical or historical organizations as the Board of Directors shall determine. Such organizations must themselves be tax-exempt as described in Sections 501(C) (3) and 170 (C) (2) of the Internal Revenue code of 1954, or corresponding sections of any prior or future law, or to the Federal, State, or Local Government for exclusive public purpose. The archives of the Society shall be given to the Ocean Springs Library.
ARTICLE XIV: LIMITATION OF ACTIVITIES Notwithstanding any provision of these articles, the corporation will not carry on any other activities not permitted by (a) a corporation exempt from Federal income tax under Sections 501(C) (3) of the Federal Revenue Code of 1954, or corresponding provision of any future United States Internal Revenue law or (b) a corporation, contributions to which are deductible under 170 (C) (2) of the Internal Revenue code of 1954 or any other corresponding provision of any future United States Internal Revenue law.
ARTICLE XV: AMENDMENTS An amendment of change to these Bylaws may be made by a two-thirds vote of the members, where such proposed amendment or change having been submitted to the Society in writing at a previous regular meeting. Posting a copy of the proposed changes on the Society website or in the meeting place at this meeting shall be considered submitting a written copy to the Society and as providing sufficient notice.
