WORK EXPERIENCE AGREEMENT INTERNSHIP Preamble : Work-experience agreements other than those carried out in state-run establishments are not considered, under French law, to be an activity of commercial or industrial nature. The signatories of this work experience agreement agree to abide by article 9 of equality of opportunity law No. 2006-396 and its amendments and by articles 27 to 29 of Act No. 2011-893 of 28 July 2011 on the development of alternate and career security. Equally, all parties to this agreement recognize law nr. 2009-1437 of the 24th of November 2009, relating to the lifelong right to professional training. Furthermore, all signatories to this agreement agree to be bound by the charter on work experience agreements - henceforth referred to as internship(s) - annex 1. Article 1 : Objective of this agreementThis agreement regulates the relationship between the hostestablishment (company, state-run establishment, association,etc), the student's home establishment and the internshipcandidate - student.

Article 2 : Objective of this internshipSTPI (1st and 2nd year) internships enable the student todiscover a real work environment. Internships for 3rd to 5thyear students enable the student to obtain first-handexperience, evaluate his/her skills in a job which is directlyrelated to his/her professional ambitions and to put into practicethe theoretical and methodological tools acquired over thecourse of his/her studies.The primary objective of the internship, therefore, is to preparethe student for his/her future career through proper professionalintegration into the host establishment. This internship is anobligatory requirement of the student's course of studies andconstitutes part of his/her professional project.The internship project is set out by the student's home and hostestablishment in accordance with the student's course ofstudies.

Article 3 : Internship DetailsThe maximum duration of the student's working week shallcorrespond to the the host country's regulation.State whether this internship is FULL-TIME or PART-TIME(indicate by striking out the non-applicable option).Should the student be required to work nights, Sundays orbank holidays, please give details :............................................................................................................................................................................................................Working time regulation and national specificities shall be inaccordance with the laws and regulations in force within thehost country.

Article 4 : Student's StatusDuring the entirety of this internship, the student maintainshis/her original status.The student may return to his/her home establishment to takepart in certain courses or meetings as set out in the program.The home establishment undertakes/agrees? to notify the hostestablishment of all such events, including travel authorization.This internship will be supervised by a professor from the homeestablishment, together with the on-Site Internship Supervisor.The professor and the supervisor are to collaborate throughoutthe internship, sharing information with regards to the evolutionof the internship and to problems that may occur .The home establishment's supervisor guarantees the purposesof the internship are in compliance with those of the student'scurriculum.The host establishment will nominate a supervisor, whose dutyit is to follow the student closely and see to it that he/she worksunder optimum conditions.

Article 5 : Remuneration - Bonuses, Benefits andReimbursementWhether the student might get paid -or not- during his/herinternship depends on the host country's work regulationsregarding interns status.Indicate the total remuneration received by the student......................................Mode(s) of payment ......................................List of gratuities............................................................................................................................................................................................................

Should the student benefit from gratuities (for example paidmeals), the total sum of the value of such advantages will beadded to his/her monthly remuneration before comparison withthe 12.5% cap for a 35-hour week as stated in article 241-3 ofthe French social security code. Travel, accommodation andextra training expenses incurred by the student upon demandof the host organization will be absorbed by the latter inaccordance with company policy.

Article 6 : Social SecurityThroughout his/her internship, the student remains dependentupon his/her original social security coverage, maintaining thestatus of student. The following subsections will apply oncondition of compatibility with legislation in the host country andwith regulations governing administrative procedures in thehost establishment.

6.1 Remuneration inferior or equal to the product of 12.5% ofthe maximum permissible non-taxable wage and the number ofhours worked in any given month.--> Under these conditions, and in conformity with currentlegislation, remuneration will not be subject to taxation. Thestudent will continue to benefit from article L 412-8-2 of theFrench social security code concerning work accidents forstudents.In the event of an accident, either while working on the hostestablishment's premises, while traveling, in any locationrequired by his/her internship duties, the host establishment willundertake to file a work accident claim with "la Caisse Primaired'Assurance Maladie" (see address on page 2 of thisdocument), mentioning the host establishment as the student'semployer. A copy of this claim will then immediately be sent tothe student's home establishment.

6.2 Remuneration superior to the product of 12.5% of themaximum permissible non-taxable wage and the number ofhours worked in any given month.--> Social contributions are calculated on the differencebetween total remuneration and 12.5% of the maximumpermissible non-taxable wage for a statutory 35-hour workingweek. The student will benefit from insurance coverage under L411-1 of the French social security code.

6.3 Health Insurance Coverage AbroadTo benefit from full social security coverage in terms of currenthealth insurance the internship has to be carried out within theEuropean Community ( EU-EEA)1) Health insurance for French students abroad :- The European health insurance card (EHIC) is compulsory forinternships carried out in European Union member states withinthe European Economic Area (EEA).- For internships carried out within the European Union, theEuropean Economic Area (EEA) or Switzerland, by studentsfrom a European Union member state, the intern must apply forthe European Health Insurance Card before leaving his/hercountry.- This card certifies that the intern is insured and covered bythe European Health Insurance scheme and can benefit fromhis rights in the host country. Healthcare reimbursement is incompliance with the social legislation prevailing in the hostcountry: exemption from medical expenses or reimbursementby the visiting country's social services.- For French nationals carrying out internships in Quebec, theSE401Q 104 is compulsory for company internships, and theSE401Q 106 is compulsory for university internships.

- For all other cases:Reimbursement may be possible for students confronted withhealth care expenses who, upon their return to French territory,present justification of such costs incurred to their mutualinsurance company.Student social security fund may be reimbursed according tocurrent French medical rates. Please note that French ratesmay differ greatly from those abroad.° It is therefore strongly recommended that each studentsubscribe to a suitable complementary health insurance policywhich is valid in the host country for the entire duration of theinternship. Choice of Mutual Insurance Company is entirely upto the student's own discretion; including such options asstudent mutual, parents' mutual, private company, etc.° Exception : The student may choose to benefit from localhealth insurance coverage should the host establishment offersuch coverage in accordance with local law (see 2 below).Before choosing this option, it is incumbent upon the student toverify the validity and suitability of the coverage on offer.

2) Health Coverage from the Host EstablishmentUnder the terms of this agreement, the host establishment willindicate whether or not it is in a position to provide the studentwith health insurance coverage in accordance with local law.

(Please tick as appropriate)[ ] YES We are in a position to provide health insurancecoverage for French students abroad; this coverage iscomplementary to French health insurance policies.[ ] NO The student's health coverage during this internshipdepends entirely upon his/her own subscription(s) to Frenchinsurance policies.If neither of the boxes above has been ticked, 6.3 1/ applies

6.4Workplace Accident Cover and work-related health issuesfor Students Abroad1) In order to benefit from French legislation on work accidentsand work-related health issues, this internship:° must be at most 6 months in duration including extensions.° must not be remunerated such that it be susceptible to qualifythem for work accident coverage in the host country (anallowance or remuneration is acceptable up to 12.5% of themaximum permissible non-taxable wage for a statutory 35-hourworking week when agreed to by the Caisse Primaired'Assurance Maladie).° must take place exclusively in the host establishment that is asignatory to this agreement.° must take place exclusively in the host country specified onpage 1 of this agreement.Should any of the conditions above not be met, the hostestablishment will undertake to ensure that the student hasadequate insurance coverage, and agrees to manage anyinsurance claims on behalf of the student in the event of a workaccident.

2) In the event of a work accident, it is incumbent upon the hostestablishment to inform the student's home establishmentwithin 48 hours. Declaring occupational injuries/accidents restswith the Student's Home Establishment's to do.

3) Insurance coverage concerns the following :° accidents which occur in the workplace during legal workinghours.° accidents which occur while commuting to and from theworkplace.° accidents which occur during the student's outward or returnjourney between his/her home in France and his/her residencein the host country.° accidents which occur off premises while on official businesson behalf of the host establishment.

4) Should any of the conditions stated in 6.4 1/ above not bemet, the host establishment undertakes to provide insurancecover for the student in case of work accident, travel accidentand work-related health issues, agreeing also to attend to anynecessary insurance claims.

5) In all cases :° If the student is involved in a work accident, the hostestablishment is obliged to alert the student's homeestablishment immediately.° If the student is required by the host establishment to workoff-premises within the host country or abroad as part of his/herinternship duties, it is incumbent on the host establishment tomake sure that the student is covered for insurance purposes.

Article 7 : Third-Party Legal Liability and Other InsuranceCoverageThe host establishment and the student declare that they havethird-party legal liability insurance coverage.Whatever the nature of the work involved in this internship andwherever in the world this internship takes place, the studentdeclares that he/she will be covered by a salvage contract(repatriation on medical grounds, legal assistance, etc.) and bypersonal accident insurance.Should the student use a company vehicle, the hostestablishment undertakes to ensure that the vehicle is insuredfor such a purpose.Should the student use his/her own vehicle or one acquiredfrom a third party for the purposes of fulfilling internship duties,it is incumbent upon the student to inform his/her insurancecompany and should the case arise, pay for/acquit an adequateinsurance premium. Any loss of insurance coverage incurredthrough failure to do so is the student's own responsibility.

Article 8 : DisciplineDuring his/her internship, the student is subject to companypolicies and procedures; particularly those concerningpunctuality, hygiene, security, and health and safety. It isincumbent upon the host establishment to inform the student ofcompany policies and procedures.Any disciplinary action required is to be the sole responsibilityof the student's home establishment. In the case that the hostestablishment recommends disciplinary measures, all breachesof company policy and/or procedures are to be communicatedto the student's home establishment, including any supportingevidence.In the case of a serious breach of company policy and/orprocedures, the host establishment reserves the right toterminate the internship while undertaking to adhere to article 9of this agreement.

Article 9 : Absence and InterruptionAny difficulty arising during this internship should be brought tothe attention of all parties concerned in order to be resolved assoon as possible.

Temporary interruption :During the internship, the student may benefit from recognizedholidays on the provision that the host establishment is inagreement and that the full duration of the internship is notaffected. For all other temporary interruptions to the internship(illness, maternity leave, unexplained absences.) the hostestablishment will notify the student's home establishment bypost.

Termination :Should any of the three signatories to this agreement wish toterminate the internship, the remaining parties must be notifiedimmediately in writing. Upon reception of the writtenexplanation, the three parties involved will enter into dialogue,the outcome of which will be a final decision on the validity ofthe interruption.

Article 10 : End of Internship - Report - EvaluationUpon completion of the internship, the host establishment willpresent the student with a certificate of attestation, andcomplete and return to the student's home address aninternship evaluation form.Upon completion of the internship, the student will write areport, a copy of which will be sent to his/her homeestablishment and to the host establishment.The student's host supervisor or any member of the hostestablishment summoned to be present at the preparationstage, during the internship period or in the course of validatingthe internship will do so free of charge to the homeestablishment.Should the student and the home establishment seek anextension to the duration of the internship, this presentagreement may be amended to facilitate this request; however,under no circumstances can such a prolongation run beyondSeptember 30 of the same year.

Article 11 : Secrecy and ConfidentialityThe student's duty not to reveal company secrets isnon-negotiable. All internship students agree never, under anycircumstances, to use any information learnt during theirinternship for publication purposes, or communicate suchinformation to a third party without having prior consent fromthe host establishment. This is also valid for the internshipreport.This engagement holds not only for the duration of theinternship but also 5 years. The student agrees not to keep,send or copy any document or software application of any typethat belongs to the host establishment without first gaining itsagreement to do so.Note : The host establishment may also demand, under article10 of this agreement, that the student's report be edited in theinterest of preserving confidentiality. Any person with access tothe student's report is obliged, under the professional secrecycode, never to divulge its contents.

Article 12 : Intellectual PropertyIf, during the course of his internship, the student creates acopyrightable or patentable product (including software), and ifthe host establishment wishes to make use of this product withthe written and previous agreement of the student, a contractmust be drawn up and signed by both parties in accordancewith the law governing intellectual property.A full description of the company rights; whether or not thoserights are exclusive; the parameters of usage (if any) physicalmedia used; and the amount of remuneration owed to thestudent should all be stipulated in such a contract.This clause is equally applicable to internships carried out instate-run establishments.

Article 13 : RecruitmentShould a work contract be signed between the student and thehost establishment before the end of the internship, thispresent agreement is deemed to be null and void, as is thestudent's dependence upon his/her home establishment, whichmust receive prior notification.

Article 14 : Applicable LawThis agreement is legal and binding under French law. Anypoints of contention not amicably resolved will be subject to ahearing in an appropriate French court of law.
