creditors is divided into two parts. In the first part AHSLand AEl would merge with AGLSL.There would be no issue of shares for thismerger, as AHSl is a wholly owned subsidiary of AGLSLand AELa wholly owned subsidiary of AHSL.Consequent to the merger in thefirst part, AGLSLwould be merged into AMSL i.e. a reverse merger of holding company into subsidiary. Eachshareholder of AGLSLwould be issued shares of AMSL in the share entitlement ratio of 1:S I.e. 1 (one) equity shares of Rs.10/- each of AMSLto be issued forevery S (five) equity shares of RS.2/- each of AGLSLheld by the shareholder of AGLSL.Hence, upon the draft composite schemebecoming effective, the shareholders of the company would become shareholders of AMSL,and the shares of AMSLwould be listed onstock exchanges.

Rationale for The Composite Schemewould:the scheme (1) benefit shareholders and other stakeholders of the respective companies by consolidating and simplifying the group

structure, business operations, provide optimal utilization of various resources and eliminating cross holdings within thegroup;

(2) enhance growth prospects, reduce overheads, administrative, managerial and other costs and expenditure and removeinefficiencies and bring operational rationalization and organizational efficiency; and

(3) result in improved shareholder value for the shareholders of the respective companies, thus providing a stronger andwider capital and financial base for future growth/expansion of Artemis Medicare ServicesLtd.
