TRANSCRIPT
Purpose
The purpose of this Invitation to Bid is to establish a contract for the purchase of Original Equipment Manufacturer (OEM) replacement parts and original equipment parts for automobiles (sedans, vans, pickup, cab & chassis, etc.), medium and heavy truck, marine, motorcycle, utility, construction, trailers, material handling equipment, agricultural vehicles, etc. for Miami-Dade County, as required.
Additionally, this solicitation serves to establish a contract for maintenance, repair, modification, and purchase and installation services to Original Mobile Equipment Manufacturer (OEM) vehicles of all types (i.e. trucks, buses, construction equipment, etc.), and named brand major components and name brand accessories used in and/or installed or to be installed on existing vehicles for Miami-Dade County in conjunction with the County’s needs on an as needed when needed basis.
For the purpose of this solicitation, the term services are understood to be all services that an awarded vendor can provide to the County.
PRE-BID CONFERENCE
TERM OF CONTRACT: SIXTY (60) MONTHSThis contract shall commence on the first calendar day of the month succeeding approval of the contract by the Board of County Commissioners, or designee, unless otherwise stipulated in the Notice of Award Letter which is distributed by the County’s Procurement Management Services Division; and contingent upon the completion and submittal of all required bid documents. The contract shall expire on the last day of the sixtieth month period.
OPTION TO RENEW FOR FIVE (5) ADDITIONAL YEAR(S): (Maintain SameDiscounts for Parts Portion and Adjustment Only for Labor Rate Portion)
The initial contract discounts and labor rates resultant from this solicitation shall prevail for a sixty (60) month period from this contract’s initial effective date. Prior to, or upon completion, of that initial term, the County shall have the option to renew this contract for an additional five (5) term. The vendors shall maintain, for the entirety of the stated additional period (s), the same discounts, terms, and conditions included within the originally awarded contract. Continuation of the contract beyond the initial period, and any option subsequently exercised, is a County prerogative, and not a right of the vendor. This prerogative may be exercised only when such continuation is clearly in the best interest of the County. Should the vendor decline the County's right to exercise the option period, the County will consider the vendor in default which decision shall affect that vendor’s eligibility for future contracts.
Labor Rate Adjustment:Prior to, or upon completion, of that initial term, the County shall have the option to renew this contract for an additional six (6) year(s) period on a year-to-year basis. Prior to completion of each exercised contract term, the County may consider an adjustment to price based on changes in the following pricing index: US Department of Labor, Consumer

Price Index, All Items, Miami-Ft. Lauderdale Area. It is the vendor’s responsibility to request any pricing adjustment under this provision. For any adjustment to commence on the first day of any exercised option period, the vendor’s request for adjustment should be submitted 90 days prior to expiration of the then current contract term. The vendor adjustment request should not be in excess of the relevant pricing index change. If no adjustment request is received from the vendor, the County will assume that the vendor has agreed that the optional term may be exercised without pricing adjustment. Any adjustment request received after the commencement of a new option period may not be considered. The County reserves the right to reject any price adjustments submitted by the vendor and/or to not exercise any otherwise available option period based on such price adjustments. Continuation of the contract beyond the initial period, and any option subsequently exercised, is a County prerogative, and not a right of the vendor. This prerogative will be exercised only when such continuation is clearly in the best interest of the County. Should the vendor decline the County’s right to exercise the option period, the County may consider the vendor in default which decision may affect that vendor’s eligibility for future contracts.
Method of Award: To Lowest Responsive Responsible Bidders Meeting Pre-Qualification Criteria, as Applicable for Each Group as Listed Below:
Group 1 – Original Equipment Manufacturers Warehouse Distributors
Award of Group 1 will be made to three (3) responsive, responsible bidders who meet the pre-qualification requirements in Section 3.2, of this bid solicitation and offer the highest percentage discount from the most recent available manufacturer suggested retail price (MSRP) list per manufacturer as applicable and per category line.
The bidder shall be an OEM authorized parts warehouse distributor for the OEM brand bid. Bidders should submit a copy of the documentation showing compliance with the dealer, distributor with the bid proposal.
Group 2 – Original Equipment Manufacturers (OEM) and Original Equipment (OE) Brand Parts
Award of Group 2 will be made to three (3) responsive, responsible bidders by OEM or OE brand who meet the pre-qualification requirements in Section 3.3, of this bid solicitation and offer the highest discount from the most recent available manufacturer suggested retail price (MSRP) list per original equipment manufacturer or original equipment brand as applicable.
The bidder shall be an OEM or OE authorized parts dealer, distributor, or hold a manufacturer’s approved reseller agreement for the OEM or OE brand bid. Bidders should submit a copy of the documentation showing compliance with the dealer, distributor, or authorized reseller requirement, with the bid proposal.
While the award of Group 1and 2 will be made to multiple bidders, the County reserves the right to consider geographic concerns, or more frequent delivery schedules in its determination of the

lowest expected cost of returning vehicles to service when orders are placed by the County Departments.

FOR GROUP 1 and GROUP 2 PRICES SHALL BE BASED ON DISCOUNTS FROM MANUFACTURER’S SUGGESTED RETAIL PRICE (MSRP) LISTS, AS APPLICABLE
Offers shall be submitted on the basis of a percentage discount from the most recent Manufacturer’s Suggested Retail Price (MSRP) List(s). Such MSRP list(s) must be common to, and accepted by, the industry in general. The lists must be published, properly identified, and dated as to issuance and effectiveness. Offers submitted that are based on any other price list will not be considered.
Revised published price lists may be used as a means of price adjustments. However, all offers shall be fixed and firm for the entire contract term.
OEM REFERS TO PARTS AND MANUFACTURERS INVOLVED IN THE FINAL ASEMBLY OF A VEHICLE. BEING SUCH, ONLY PRICE LISTS DIRECTLY FROM MANUFACTURERS WILL BE CONSIDERED. NO OTHER PRICE LIST SHALL BE CONSIDERED FOR GROUPS 1 AND 2 (I.E. DEALER LISTS, JOBBER).
FOR GROUP 3 - THE LOWEST OVERALL COST TO THE COUNTY FOR REQUIRED SERVICES.
Award of contract for parts and services by manufacturers and/or brand will be made to the three (3) lowest responsive responsible bidders who offered the lowest total labor hour cost (Column C) and lowest parts cost to the County by offering the highest percentage discount for parts from Manufacturer Suggested Retail Price (Column F) when added in the aggregate on an item by item basis within each group (Total of Column C + Total of Column F = Column G).
To compute and evaluate the total parts and labor hour cost, the bidder will specify their labor rate bid (Column A) times the labor hours estimated by the County (Column B) and enter this value under Column C to determine total labor hours cost to the County.
To compute and evaluate the parts cost to the County, the bidder will specify their percentage discount bid (Column E) times the estimated dollar amount of parts to be purchased (Column D) and enter this value under Column G to determine parts cost to the County.

METHOD OF PAYMENT: PERIODIC PAYMENTS FOR COMPLETED PURCHASE
A. ISD FLEET MANAGEMENT DIVISION INVOICES
The successful Bidder(s) shall submit a computerized invoice with each completed order, at the time that parts order is delivered to the County repair facility that placed the

order. Invoices will be directed to the attention of the appropriate supervisor from the facility that placed the order.
B. GENERAL REQUIREMENTS
The County shall provide periodic payments for completed purchases. In order for the County to provide payment, the vendor shall submit a fully documented computerized invoice that provides the basic information set forth below. The invoice shall be submitted to the County department within thirty (30) calendar days after the delivery purchases. It shall be understood that such invoices shall not be submitted for payment until such time as the delivery of goods has been completed and a County representative has inspected and accepted the goods.
All invoices shall contain the following basic information:

VI. Failure to Comply:
Failure to submit invoices and/or credits in the prescribed manner will delay payment.

SHIPPING TERMS: F.O.B. DESTINATION
All bidders shall quote prices based on F.O.B. Destination Point and shall hold title to the goods until such time as they are delivered to, and accepted by, an authorized County representative. All items ordered by Miami-Dade County will be delivered to the facility placing the order at no charge.
DELIVERY REQUIREMENTS ( FOR IN-STOCK PARTS AND ACCESSORIES ONLY ): DELIVERY SHALL BE 24 HOURS AFTER AN ORDER IS PLACED BY THE COUNTY
The vendor(s) shall deliver all in-stock parts within 24 hours after receipt of an order from a County user department. When a vendor is located outside of the Miami-Dade and Broward County area, the costs of shipping to comply with the required 24 hour delivery schedule shall be borne solely by the vendor. All deliveries shall be made in accordance with good commercial practice and all delivery schedules shall be adhered to by the successful vendor(s); except in such cases where the delivery will be delayed due to acts of God, strikes, or other causes clearly beyond the control of the vendor. In these cases, the vendor shall notify the County of the delays in advance of the delivery time or date so that a revised delivery schedule can be appropriately considered by the County.
Should the vendor(s) to whom this contract is awarded fail to deliver items under any individual order within the delivery time stated above, the County reserves the right to cancel the specific order, unless a specific back order provision dictating otherwise is included in this contract. If the specific order is cancelled, it is hereby understood and agreed that the vendor may be charged with any associated re-procurement costs. If the vendor fails to honor these re-procurement costs, the County may terminate the vendor from this contract.
SPECIAL ORDERS (NOT IN STOCK) PARTS AND BACK ORDERS MUST BE FILLED WITHIN THREE (3) BUSINESS DAYS
If the vendor cannot deliver an ordered item in accordance with the scheduled delivery date because it is special order part (not in stock) or due to a current existing backorder of that item with the vendor’s manufacturer or distributor; the vendor shall ensure that such back orders are filled within three (3) business days from the initial scheduled delivery date for the item. The vendor shall not invoice the County for back ordered items until such back orders are delivered and accepted by the County's authorized representative. It is understood and agreed that the County may, at its discretion, cancel back orders after the grace period identified in this paragraph has lapsed, seek the items from another vendor, and charge the vendor for any directly associated re-procurement costs. If the vendor fails to honor these re-procurement costs, the County may terminate the vendor from the contract for default.
WARRANTY SHALL BE A MINIMUM OF ONE HUNDRED EIGHTY DAYS (180) CALENDAR DAYS
A. TYPE OF WARRANTY COVERAGE REQUIRED
In addition to all other warranties that may be supplied by the bidder, the bidder shall warrant its product supplied for a minimum period of one hundred eighty (180) calendar days, or manufacturer’s standard warranty, whichever is greater, after the date of installation onto a vehicle by the County. This warranty requirement shall remain in force for the full period identified above; regardless of whether the bidder is under contract with the County at the time of defect. Any payment by the County on behalf of the goods or services received from the bidder does not constitute a waiver of these warranty provisions.

B. CORRECTING DEFECTS COVERED UNDER WARRANTY
The bidder shall be responsible for promptly correcting any deficiency, at no cost to the County, within five (5) calendar days after the County notifies the bidder of such deficiency either verbally or in writing. If the bidder fails to honor the warranty and/or fails to correct or replace the defective work or items within the period specified, the County may, at its discretion, notify the bidder, in writing, that the bidder may be debarred as a County bidder and/or subject to contractual default if the corrections or replacements are not completed to the satisfaction of the County within five (5) calendar days of receipt of the notice. If the bidder fails to satisfy the warranty within the period specified in the notice, the County may (a) place the bidder in default of its contract, and/or (b) procure the products or services from another vendor and charge the bidder for any additional costs that are incurred by the County for this work or items; either through a credit memorandum or through invoicing.
ACCEPTANCE OF PRODUCT BY THE COUNTY
The product(s) to be provided hereunder shall be delivered to the County, and maintained if applicable to the contract, in full compliance with the specifications and requirements set forth in this contract. If a vendor-provided product is determined to not meet the specifications and requirements of this contract, either prior to acceptance or upon initial inspection, the item will be returned, at vendor expense, to the vendor. At the County’s own option, the vendor shall either provide a direct replacement for the item, or provide a full credit for the returned item. The vendor shall not assess any additional charge(s) for any conforming action taken by the County under this clause.
RETURNS OF PRODUCT BY THE COUNTY
The product(s) provided to the County, may be returned by the County for full credit of the amount actually paid by the County within 1 year of purchase. Restocking fees are not to be applied to the full credit to the County.
ADDITIONAL PRICE LIST(S) FURNISHED SUBSEQUENT TO AWARD:
The vendor shall be required to furnish manufacturer’s suggested retail price (MSRP) lists (published, printed, internet based, or microfiche) upon request from any County department or ISD facility at no charge. This price lists shall provide descriptive literature, technical data and service information for items awarded. Time of delivery for these lists shall be mutually agreed upon by the vendor and the County.
County may place the vendor in default, obtain the services of another vendor to correct the deficiencies, and charge the incumbent vendor for these costs; either through a deduction from the final payment owed to the vendor or through invoicing. If the vendor fails to honor this invoice or credit memo, the County may terminate the contract for default.
PURCHASE OF OTHER ITEMS NOT LISTED WITHIN THIS SOLICITATIONBASED ON PRICE QUOTES:The County reserves the right to add OEM warehouse distributor lines and/or OEM parts or OE brands that may be approved by the Internal Services Division Fleet Management Division for inclusion, which are not listed within this solicitation or are un-awarded for whatever reason, at any time during the life of the contract by any of the following two methods:
A: The Internal Services Procurement Management Services Division (PMSD) will survey the needed item from the marketplace; and add that item by addenda to the contract. Before

award, the Procurement Management Service Division will deem all pricing added to this contract, appropriate and competitive.
B: The Internal Services Procurement Management Services Division (PMSD) will survey the needed item from the awarded vendors, and upon satisfaction that the requested manufacturer’s brand is not available from the vendors awarded or from any other existing County contract will add the vendor and item upon compliance with all terms and conditions of this solicitation. Before award, the Procurement Management Service Division will deem all pricing added to this contract, appropriate and competitive.
PURCHASE OF OTHER ITEMS NOT LISTED WITHIN THIS SOLICITATION BASED ON PRICE QUOTES
While the County has listed all major items within this solicitation which are utilized by County departments in conjunction with their operations, there may be similar items that must be purchased by the County during the term of this contract. Under these circumstances, a County representative will solicit competitive quotes to obtain a price for the required items. If there are multiple vendors on the contract, the County representative may also obtain price quotes from these vendors. The County reserves the right to award these similar items to the primary contract vendor, another contract vendor based on the lowest price quoted, or to acquire the items through a separate solicitation.
SHELF LIFE OF STOCK
The successful bidder(s) shall supply the County with fresh stock only and shall insure that items with a limited shelf life are inspected and certified fresh by the bidder prior to shipment to the County.
STOCK LEVELS SHALL BE MAINTAINED BY BIDDER
The successful bidder(s) shall ensure that adequate stock levels as required in Section 3 of this solicitation is maintained at its place of business in order to assure the County of prompt delivery. If the delivery terms specified in the Solicitation are not fulfilled by the Bidder, the County reserves the right to cancel the order, purchase the goods elsewhere, and may charge the Bidder for any re-procurement costs incurred by the County.
DEMONSTRATION OF COMPETENCY
The County may conduct a pre-award site inspection or hold a pre-award qualification hearing to determine if the bidder is capable of performing the contract if awarded. As part of the determination of the bidders’ suitability for award the following criteria will be considered.
Bids will only be considered from firms who are regularly engaged in the business of providing the goods required by this solicitation, in the dollar volume needed, at the time of this bid’s opening. The bidder must be able to demonstrate a good record of performance and have sufficient financial resources, facilities, service equipment, employees and organization to ensure that they can satisfactorily provide to the County the goods and/or services required herein. The terms “sufficient financial resources, facilities, service equipment, employees and organization” shall additionally be construed to mean a fully equipped and well-established company in line with the best practices used in the industry.

The County may consider any evidence available regarding the financial, technical, or other qualifications and abilities of the bidder, including past performance and the bidders’ record of satisfactorily completing prior awards with the County, or any other governmental or private entity in determining competency for award consideration.

As this bid requires parts delivery, bidders are encouraged to become familiar with the various Miami-Dade County agencies that may use this contract. A sample listing of Miami-Dade County locations is listed below, but should not be considered total or complete. Although this solicitation and resultant contract identifies specific facilities to be serviced, it is hereby agreed and understood that any County department or agency facility may be added to or deleted from this contract at the option of the County. 3.1 SUMMARY
3.1.1 This bid has been divided into groups to address the County’s needs for original equipment manufacturer parts and/or original equipment parts for automobiles (sedans, vans, pickup, cab & chassis, etc.), medium and heavy truck, truck bodies or various types, marine, motorcycle, utility, construction, trailers, material handling equipment, agricultural vehicles, etc. All bidders must be able to meet the stipulated delivery schedules; in each group, however, the County reserves the right to pick-up ordered merchandise when needed. All bidders must be able to submit upon request all price list(s) referenced.
3.2 ORIGINAL EQUIPMENT MANUFACUTERS (OEM) PARTS WAREHOUSE DISTRIBUTORS: Manufacturer’s Suggested Retail Price List (MSRP) Required (Group 1 Bid Submittal, Section 4) “No Substitution” to these brands identified will be accepted..
This section has bidder requirements that are listed below:
A. Bidder must be an authorized original equipment manufacturer warehouse distributor of the brand being offered to the County.
B. Deliver parts ordered that are in stock within 24 hours (next business day) and deliver special order parts (not in stock) within 72 hours (3 business days), as stipulated in Section XXX and XXX, of this bid solicitation.
C. Offer pricing to the County at a minimum of 20% off MSRP List. Failure to offer an item at a minimum discount of 20% off MSRP List, will prevent award consideration for that item. Bidders who offer pricing at other than discount from the MSRP, will not be considered for award for that OEM brand line item.
D. Maintains a large warehouse parts inventory of the OEM brand(s) being offered to meet the County’s delivery requirements and satisfy 80% of all orders placed within 24 hours. Bidders shall maintain a minimum cumulative inventory level of $1,000,000, at all times, at the location(s). The County estimates that 10% of all orders placed will be special orders. Bidders shall provide references which can substantiate the bidder’s ability to meet the performance requirements, cited herein. The lines offered must constitute a broad base of parts for varying automotive systems.
E. Rebates and special promotions: All rebates and special promotions offered by an original equipment manufacturer during the term of the contract shall be passed on and applied (if applicable) by the awarded Bidder to the County at time of invoicing. It shall be the responsibility of the awarded Bidder to notify the County of such rebates and/or special promotions during the contract period. Special promotions shall be offered by the awarded Bidder to the County provided that the new price charged for the item(s) is lower than would otherwise be available through the contracted awarded discount. It is understood that these special promotions may be of a limited duration. At the end of such promotion, the standard contract price shall prevail.

3.3 GROUP 2 ORIGINAL EQUIPMENT MANUFACUTERS (OEM) AND ORIGINAL EQUIPMENT (OE) PARTS
This group is for the procurement of Mobile Original Equipment Manufacturer (OEM) Parts, Major Component Equipment OEM Parts and Original Equipment Brand Parts for medium and heavy duty trucks, tractors, construction equipment, farm type vehicles, tractors, on/off road equipment, fire equipment and various components thereof. “No Substitutions” to these identified brands will be accepted.
Bidder requirements for Group 2 is as follows:
