CLINTON COUNTY ECONOMIC ALLIANCE

President/CEO Report: June-August 2018

TRADITIONAL AGRICULTURE

• The combined, $SS0K, 300 jobs, Spartan Michigan LLC (Glanbia Foods/ DFA/ Select Dairy) and Proliant Dairy Ingredients (whey) projects were announced on Thursday, August 9 at the St. Johns Certified Business Park. Governor Snyder welcomed the new companies to Michigan and complimented local, regional and state partners on their successful attraction efforts at the well-attended event. Spartan expects to start construction in mid-September with Proliant approximately a year later with production beginning in late 2020.

NON-TRADITIONAL AGRICULTURE • The Art of Dining, a farm-to-table dinner has been postponed until fall, 2019. • Businesses complimentary to the Spartan/Proliant project are being researched.

NON-TRADITIONAL MUNICIPAL • R. B. Wilson Center - Agreements and programming are under development for public use of

the gym and auditorium. Key leaders will be meeting with Dionne O'Dell, Interim Program Director, Arts and Cultural Management, and Faculty Department of Theatre @ MSU (and St. Johns graduate and resident) to discuss an internship program to assist with programming in the auditorium. The Clinton County Arts Council Theater Group is expected to announce a campaign in October to raise the remaining funds needed for lighting upgrades to complete the auditorium renovation. The building's design plan is close to completion with a submission to MSHDA for historic and low income tax credit assistance to be submitted in April, 2019. The HRS project in Eaton Rapids was recently granted funding.

• Ovid-Elsie Area Schools have sold the former North Elementary to private individuals who are interested in renovating the property for senior housing. Meetings are underway to determine CCEA involvement with the project including USEPA Targeted Brownfield Assistance through the City of Ovid.

• Interview activities are nearly complete by Marsha Madie, the contractor managing the special event research project funded by a grant from the Region 7 Regional Prosperity Initiative. A late fall training session for event producers is under development. No surprises issues were identified at 'pain points' as of this writing.

NEXT GENERATION • The next Career Expo, facilitated by the Clinton Career Network to expose 8th and 10th grade

students to an array of education and job opportunities will be held November 6 & 7. A projected 60 exhibitors are expected at the DeWitt High School event.

• T3 - Teach Talent Thrive is moving forward with plans for the Capital Region Career Links programming (to be reviewed by Dru Mitchell @ the Board Meeting). The T3 mantra is 'Connecting Assets, Developing Talent'.

PARTNERSHIPS

• Discussions continue for two attraction projects in Clinton County with announcements expected within 90 days.

• Joint calls are underway to County businesses with CTFE/CAMW to discuss the new Going Pro training grants (formerly Skilled Trades Training Fund-STTF) provided by MEDC. The application date is October 3 and applicants are required to have attended a CAMW informational session this year.

PUBLIC ACT 69 OF 2005 (FORMERLY ACT 138 OF 1989) RECYCLING SERVICE PLAN FOR CLINTON COUNTY 2019

This Service Plan is adopted by the Clinton County Board of Commissioners (the "COUNTY") on October___, 2018 for the service period starting January 1, 2019 and ending December 31, 2019.

I. FINDINGS

In 1987, The State of Michigan adopted a Solid Waste Management Strategy (“STRATEGY”) incorporating a diversion target through recycling of 25%, including waste reduction at 5 to 10% and composting at 6%. The COUNTY has adopted the Clinton County Solid Waste Management Plan Update (“PLAN”), pursuant to state law, incorporating similar recycling goals. (Collectively the recycling goals of the STRATEGY and PLAN are referred to as the “RECYCLING GOALS”). The State of Michigan has enacted Act No. 138 of the Public Acts of 1989 ("ACT 138"), which permits a county, by resolution of its board of commissioners in cooperation with local units of government (“LOCAL UNITS”), to collect a surcharge not to exceed $25 per household per year, on households within the COUNTY (“RECYCLING SURCHARGE”) for purposes of operating recycling operations within the LOCAL UNITS (“ACT 138 PLAN”). The LOCAL UNITS affirm their participation in the ACT 138 PLAN by approving and maintaining an interlocal agreement with the COUNTY.

The ACT 138 PLAN directs the COUNTY to approve a SERVICE PLAN each year, which describes the methods whereby the COUNTY and LOCAL UNITS will meet the RECYCLING GOALS and, also, establishes a per household fee (“ANNUAL PER-HOUSEHOLD REVENUE NEED”) necessary to implement the ACT 138 PLAN within the participating LOCAL UNITS for that year. The ACT 138 PLAN authorizes each participating LOCAL UNIT to collect the ANNUAL PER-HOUSEHOLD REVENUE NEED through a surcharge not-to-exceed $25 per year per household unit to be applied to the winter property tax rolls, as provided under ACT 138, or to finance their participation in whole or in part through other financial means available to that LOCAL UNIT.

This document is the COUNTY’S SERVICE PLAN.

II. METHODS FOR ACHIEVING THE RECYCLING GOALS

The following tables describe the methods that the COUNTY and participating LOCAL UNITS will employ in the calendar year identified above to meet the RECYCLING GOALS:

III. ANNUAL PER-HOUSEHOLD REVENUE NEED

The COUNTY with direction from participating LOCAL UNITS directs that the ACT 138 SURCHARGE shall be set at $15.00 per household in across the participating LOCAL UNITS in order to fund this SERVICE PLAN. Pursuant to ACT 138 and the ACT 138 PLAN, each LOCAL UNIT is authorized and directed to levy the ANNUAL PER-HOUSEHOLD REVENUE NEED on the December ad valorem property tax bill for each residential property located within the LOCAL UNIT, unless it defrays the AGGREGATE REVENUE DUE, as identified, in whole or in part through general funds, private donations and/or credits. The following local credit will be given, where appropriate, to the residents of the LOCAL UNIT, as a result of the recycling programs or efforts being sponsored publicly or privately within that LOCAL UNIT that are independent of the County’s efforts through its ACT 138 PLAN: LOCAL UNIT AGGREGATE

Each LOCAL UNIT is obligated to ensure that the actual levy that it imposes, coupled with any credit above and any private or public supplement equals or exceeds the AGGREGATE REVENUE DUE from within the LOCAL UNIT, as noted above.

IV. BILLING SCHEDULE

The LOCAL UNIT Treasurer shall remit payment to the COUNTY Treasurer the surcharges so

levied by May 1, 2018. The LOCAL UNIT Treasurer can modify the payment date, as needed, assuming it is mutually agreeable to both parties.

V. SERVICES TO BE PROVIDED

The COUNTY agrees to provide to the LOCAL UNIT the following services during the term of this AGREEMENt:

1) A recycling drop-off site within the LOCAL UNIT'S geographical boundaries or in an adjacent unit's geographical boundaries with the approval of the LOCAL UNIT. The COUNTY will utilize the same recycling drop-off site location historically provided by the COUNTY, unless the LOCAL UNIT agrees in writing to a change or the COUNTY is unable to continue to utilize that site due to circumstances beyond its control,

including but not limited to the expiration and nonrenewal of a lease, environmental issues, or traffic, health or safety issues.

2) Access to a recycling processing facility for handling and marketing those materials

collected at the recycling drop-off site, and

3) Educational and promotional programs related to the operation of the recycling drop-off site, and recycling in general.

VI. MISCELLANEOUS

The following general terms apply to this SERVICE PLAN: 1) This SERVICE PLAN is intended to comply with and implement ACT 138 in the

COUNTY. The provisions of ACT 138 are incorporated by reference and shall be interpreted to avoid any inconsistency between this SERVICE PLAN and ACT 138. If a provision is deemed inconsistent with ACT 138, it shall be struck.

2) The Solid Waste Council and Act 138 Advisory Committee have reviewed this

SERVICE PLAN prior to its adoption. Any questions about the SERVICE PLAN’S content shall be referred to the COUNTY’S Waste Management Coordinator.

The two current contracts expire at the end of the 2018 calendar year and totaled $13,500 per year (plus an additional $1,100 in dumpster fees for the polystyrene collection). The new contracts total $17,800 per year (plus an additional $1,100 in dumpster fees for the polystyrene collection).

The Solid Waste Council is recommending the attached contracts to the BOC for final review as approved at their September 18, 2018 meeting. The Lions Club has also reviewed and supports the new contracts.

REQUESTED ACTION: Review, discuss and vote to approve the attached contracts.

ADDITIONAL IN FORMATION: The County has honored the recycling contracts with the St Johns Lions Club in support of their ongoing recycling efforts for several years. The attached contracts do contain an increase in funding (the last increase occurred in 2014) from $13,500 annually for both contracts to $17,800. Olive, Riley and Essex Townships will be asked to continue to contribute $500 a piece per annum to the DWM as part of the ongoing cooperative agreement between the County and those entities.

The St Johns Lions Club has been very good about reporting their figures and answering questions in a timely manner.

Contract for Services & Financial Compensation

Between Clinton County and the St. Johns Lions Club

Effective this date , January 1, 2019, the Clinton County Board of Commissioners (“County”) enters into the following contract with the St. Johns Lion’s Club, a non-profit corporation incorporated under the laws of the State of Michigan (“Center”), for the operation of the county sponsored Polystyrene Recycling Site.

I. DEFINITIONS “County” refers to Clinton County Board of Commissioners “Contractor” refers to the St. Johns Lions Club “DWM” refers to Clinton County Department of Waste Management “Lions Club Drop-Off Site”, “Recycling Site” or “Center” shall refer to the St. Johns Lions Club drop-off Recycling Site, a 24-hour recycling site located at the corner of Swegles and Steel Streets in St. Johns, Michigan. “Revenue” is the proceeds received by the St. Johns Lions Club from those vendors who take possession of the St. Johns Lions Club recyclable products.

II. PURPOSE

The contract is being entered into because Clinton County recognizes the importance of the St. Johns Lions Club drop-off Site to the overall success of recycling efforts in the County. As such, the purpose of this contract is to formalize a financial support agreement between the County and the Contractor. This agreement determines the method of calculating compensation and the amount of compensation provided by the County to the Contractor for recycling services provided through the St. Johns Lion’s Club drop-off Recycling Site. This contract specifies the relationship between the County and the Contractor. Services provided by the St. Johns Lions Club are as an independent contractor. Contractor retains full authority to operate the Center according to the policies and procedures developed and controlled by the Board of Directors of the St. Johns Lion’s Club. This contract has been developed to guarantee a minimum service level provided to recyclers to qualify for reimbursement from the County.

For many years, the Lion’s Club has operated the drop-off Site as a community service to the St. Johns area in professional and community-minded manner. Both parties acknowledge that operation of the drop-off site shall continue in a manner consistent with the service level the Lions Club has provided in the past. Any substantial modification of the services identified below shall be cause for re-negotiation of this contract.

III. SERVICES & OPERATION

The Contractor agrees to provide the following services:

A. General Recycling Services

The Contractor currently operates a 24-hour recycling drop-off site, located at the corner of Swegles and Steel Streets in St. Johns, Michigan. The Contractor currently accepts for recycling the following materials: office paper, mixed household papers, magazines, newspapers, telephone books, brown paper bags, corrugated cardboard, boxboard, #2 HDPE colored and uncolored plastic jugs, #1 PET plastic bottles, aluminum & steel cans and assorted electronics. The Contractor agrees to maintain the aforementioned schedule and product materials. This list of recyclable materials may be modified between the County and the Lion’s Club by mutual agreement. It is anticipated that market condition and Contractor’s processing capabilities will generally govern such discussion for expansion.

B. Oversight of the County’s Polystyrene Recycling Site

As part of the contract, the Contractor agrees to assist in the maintenance of the County’s Polystyrene Recycling Site, located directly across Swegles Street from the Recycling Site. This service shall entail keeping the collection building and boxes neat and removing miscellaneous debris or litter from around and inside the building. This service shall be performed as necessary, but not more than three times per week. The Contractor also agrees to properly prepare material for pick up by Dart Container Corporation, including: ensuring all material is appropriately bagged, tying off bagged material from the building, if needed to make room for the collection containers once emptied by Dart, with large plastic liner bags provided by Dart. This service shall be performed as necessary and in time for Dart to pick up as scheduled. The Contractor also agrees, when necessary, to contact the DWM to arrange for an additional collection day, should it become necessary due to the volume of material coming in. The Contractor also agrees to contract the DWM when major cleanups, maintenance or repairs are necessary. It should be noted that the building is not the property of the Contractor and the Contractor bears no liability for the operation of the Polystyrene recycling program.

IV. COMPLIANCE WITH LAWS

The Contractor shall conduct operations under this Contract in compliance with all applicable laws, rules, regulations, order, ordinances, directives, including without limitation all applicable licensing, registration, certifications or other such requirements of the State or the County, including its DWM and Solid Waste Management Ordinance.

V. NO JOINT VENTURE

Nothing in this Agreement shall be construed as creating a joint venture between the County and the Contractor. The County is only interested in the results of the Contractor’s services. The Contractor is an independent contract and none of its employees or volunteers shall be considered County employees, nor shall they be entitled to any County wages, including but not limited to workers or unemployment compensation.

VI. INSURANCE & INDEMNIFICATION

The Contractor is insured under general liability insurance policy for the International Association of Lions Clubs. This policy is a US$1,000,000 general liability insurance policy with a US$2,000,000 aggregate (annual limit of liability) per named insured. All individual Lions clubs are named insureds. The policy’s provision apply to those insured, including Lions Clubs, individual members and volunteer workers for sums they shall become legally obligated to pay as damages to third parties because of bodily injury or property damage caused by an occurrence arising out of the course of the Lions functions and activities. The Contractor agrees to provide an updated Certificate of Insurance to the County upon request.

The Contractor agrees to indemnify and defend the County and it’s DWM against any claim that they are liable as a result of the acts or omissions of the Contractor or any of its officers, agents, employees or volunteers. The Contractor’s forgoing defense and indemnification obligation shall be limited to the extent of the Contractor’s insurance coverage as stated above.

VII. ASSIGNMENT

The Contractor may not assign its interests, obligations or rights in this Contract without the prior written consent of the County.

VIII. REPORTING

The Contractor agrees to provide the County with an annual report identifying the Center’s operational costs and tonnage of each material recycled during the previous calendar year. Content and format of reports shall reflect the Center’s operations and shall be mutually agreed to by both parties.

IX. PAYMENT STRUCTURE

The County shall compensate the Contractor for services rendered in the operation of the Recycling Site according to the following payment structure:

Clinton County shall pay the Contractor a flat annual payment of $10,000 for the recycling services provided by the St. Johns Lion’s Club Recycling Site. The County will make quarterly payments within thirty (30) days of being invoiced. The County reserves the right each year in its annual appropriations process to increase or decrease the annual amount and/or to make pro-rated monthly payments in its sole discretion, based on criteria that may include but is not limited to funding availability, commodities markets, recycling payment equity within the county and contribution levels from local units served by the Contractor.

X. TERMINATION

If not terminated earlier as provided below, this Agreement shall terminate five (5) years from the effective date noted below.

If the Contractor or the County should be judged bankrupt or make a general assignment for the benefit of their creditors; or if a receiver should be appointed on account of their insolvency; or if the Contractor is unable to supply enough labor, material or equipment to adequately operate the Recycling Site, or the Contractor or the County otherwise be guilty of violation of any provision of the Contract, then the non-offending party, either the County or the Contractor, may, without prejudice to any other right or remedy, terminate the Contract.

Either party with a three (3) month notice may cancel this contract at any time. Either party may request that the terms of this agreement be re-evaluated and/or re-negotiated should certain conditions such as, the County’s fiscal status, the Contractor’s fiscal status, or other factors deem re-evaluation of this contract in the best interests of the County or the St. Johns Lions Club.

XI. ACKNOWLEDGEMENT

By signing below, each party representative is attesting that this Agreement has been duly approved by the party whom they represent and that they have been authorized and directed to sign this Agreement on the party’s behalf.

Between Clinton County and the St. Johns Lions Club

II. PURPOSE

The contract is being entered into because Clinton County currently manages a Polystyrene Recycling Site in conjunction with Dart Container Corporation of Mason, with assistance from staff at the Contractor’s St. Johns Lions Club Recycling Center. This agreement determines the level of financial compensation Clinton County will provide the Contractor, in return for services provided to assist to maintain the site, as well as the type of assistance to be provided. Services provided by the Contractor are as an “independent contractor.”

III. SERVICES & OPERATION

The Contractor agrees to provide the following services in conjunction with the operation and maintenance of the Polystyrene Recycling Site:

A. General Recycling Services

To the extent that County has the authority to license access to the Polystyrene Recycling Site, the County grants contractor the nonexclusive, revocable right to enter the premises on which the Polystyrene Recycling Site is located for purposes of performing this Agreement. The County will seek to clarify the owner of the Polystyrene Recycling Site that it has its permission to grant this license and will promptly advise the Contractor if the owner denies the existence such a right.

The County reserves the right each year in its annual appropriations process to increase or decrease the monthly payments and annual total in its sole discretion, based on criteria that may include but is not limited to funding availability, commodities markets, recycling payment equity within the county and contribution levels from local units served by the Contractor.

If and when the County increases or decreases the monthly payments and total amount, the County will give the Contractor 30 days’ notice, in writing, of said change before this change becomes effective. DWM will consult with the Contractor prior to making recommendations to the County for approval to make any changes in rates provided under this contract.

IX. TERMINATION

If not terminated earlier as provided below, this Agreement shall terminate five (5) years from the effective date noted below.

If the Contractor or the County should be judged bankrupt or make a general assignment for the benefit of their creditors; or if a receiver should be appointed on account of their insolvency; or if the Contractor is unable to supply enough labor, material or equipment to adequately operate the Recycling Site, or the Contractor or the County otherwise be guilty of violation of any provision of the Contract, then the non-offending party, either the County or the Contractor, may, without prejudice to any other right or remedy, terminate the Contract.

Either party with a three (3) month notice may cancel this contract at any time. Either party may request that the terms of this agreement be re-evaluated and/or re-negotiated should certain conditions such as, the County’s fiscal status, the Contractor’s fiscal status, or other factors deem re-evaluation of this contract in the best interests of the County or the St. Johns Lions Club.

X. MERGER & INTEGRATION

The Contractor and County acknowledge that they have entered into two contracts for services and financial compensation, one which covers services for polystyrene recycling, and one which covers services for all other recyclables. These two contracts are to work in coordination with each other and together contain the complete expression of the parties’ understanding regarding the subject

addressed. All other understanding, oral or in writing are merged into the two contracts and they may only be modified by a written agreement approved and executed by the parties in the matter noted below.

XI. ACKNOWLEDGEMENT

Subject: Continuity Planning Project Update

Purpose: The goal of a Continuity of Operations Plan (COOP) is to develop a strategy to maintain critical services in the event of a disruption to normal operations.

Risks: Potential disruptions include weather events, safety threats and infrastructure failures. A major hazard likely to impact us in the future is a cyber-attack. All organizations experience attempts at disruption by hackers. To date, through security measures and good fortune Clinton County has avoided a significant disruption to service due to a cyber-attack.

Board Action: To advance this effort the Board of Commissioners approved a Continuity of Operations Planning Project with a budget of $15,000 in January, including limited consulting services from Rehmann. A team was assembled on behalf of the county to work with the consultant and each county department. This team consists of me, Craig Thelen our MIS Director and Rob Wooten our Building and Grounds Director. The consultant trained our team on how to walk each department through the process. This approach allowed much of the work to be done internally, resulting in less than half the budget being spent to date.

Departmental Effort: The initial group of departments included Administration, Clerk, Treasurer and 911. The first round of meetings took place in May with each department asked to fill out a matrix in order to prioritize mission critical tasks and then determine what resources are necessary to complete these tasks during normal operations. Once this is complete departments are asked to describe a secondary process for each task with related resource needs including space and staffing requirements. Finally, a department resumption plan is developed to act as a guide to providing services in the event of a disruption to normal operations.

Results: The process includes individual follow-up meetings with each department, in addition to team meetings. The initial group of departments finished the process in September. In August a second group of departments started this process. The second group includes the Courts, Community Development and the Drain office.

Summary: I believe this project has been well received by the departments. It offers them the opportunity to review their operations from a different perspective. One beneficial by-product of this effort is the realization that there are key personnel who may be the only ones who know how to perform certain tasks. This exercise offers an opportunity to consider backup training and the need for succession planning when retirements occur. Thelen, Wooten and I look forward to sharing what we have learned as well as our goals going forward.

Suggested Action: Acknowledge that this effort is worthwhile and should continue (including supporting annual plan updates, training and exercises).

Attached please find a proposed annual agreement for extension services provided by Michigan State University for FY 2019. The previous agreement expires at the end of this year.

The total cost of $237,751 for the 2019 annual agreement has been included in the proposed 2019 MSU Extension budget total of $246,712. Most of the increase in the agreement itself is the result of shifting one clerical support position from a county employee to an MSU employee due to the impending retirement of Kathy Love. After taking the shift into account the actual increase for the contract is $4,562 over the current budget, or about 2%.

Suggested Action:

Recommend approval of the 2019 Agreement for Extension Services provided by Michigan State University.

This AGREEMENT FOR EXTENSION SERVICES ("Agreement") is entered into on. ________ _

by and between Clinton County, Michigan ("County"), and the BOARD OF TRUSTEES OF MICHIGAN

STATE UNIVERSITY ("MSU") on behalf of MICHIGAN STATE UNIVERSITY EXTENSION ("MSUE").

The United States Congress passed the Smith-Lever Act in 1914 creating a National Cooperative

Extension System and directed the nation's land grant universities to oversee its work; and,

MSUE helps people improve their lives by bringing the vast knowledge resources of MSU directly to

individuals, communities and businesses; and,

For more than 100 years, MSUE has helped grow Michigan's economy by equipping Michigan residents

with the information needed to do their jobs better, raise healthy and safe families, build their

communities and empower our children to succeed; and,

It is the mission of MSUE to help people improve their lives through an educational process that applies

knowledge to critical issues, needs and opportunities; and,

MSUE meets this mission by providing Extension educational programs in the following subject matter

areas:

• Agriculture & Agribusiness

• Children & Youth Development, including 4-H

• Health & Nutrition

• Community & Economic Development, Natural Resources

NOW THEREFORE in consideration of the mutual covenants herein contained, and other good and

valuable consideration, the parties hereto mutually agree as follows:

A. MSUE will provide:

1. Access to programs in all four MSUE Institutes to residents in your County. This includes

access to educators and program instructors appointed to the Institutes and MSU faculty

affiliated with each Institute to deliver core programs.

2. Extension Educators and program staff as needed to implement programs within the

County, housed at the county office.

3. A county 4-H program. 0.5 FTE 4-H Program Coordination.

4. Salary and benefits of MSUE Personnel and the cost of administrative oversight of

Personnel.

5. Operating expenses, per MSU policy, for MSUE personnel ("Personnel").

6. Supervision of MSU-provided academic and paraprofessional staff. Supervision of county

employed clerical staff and/or other county employed staff, upon request.

7. Administrative oversight of MSUE office operations.

8. An annual report of services provided to the residents of the County during the term of this

Agreement, including information about audiences served, and impact of Extension

programs in the County.

B. The County will Provide:

1. An annual assessment that will be charged to the county and administered by MSUE. The

assessment will help fund Extension services for the County, including operating expenses for

certain Extension personnel and the operation of the County 4-H program.

2. Office and meeting space meeting the following requirements:

a. Sufficient Office space to house Extension staff as agreed upon between the County and

the MSUE District Coordinator.

b. Utilities, including telephone & telephone service sufficient to meet the needs of

Personnel utilizing the MSUE office space.

c. High-speed Internet service sufficient to meet the needs of Personnel utilizing the MSUE

office space.

d. Access to space for delivering Extension programs.

e. Access to the office building and relevant meeting spaces must be ADA

compliant/accessible

3. Clerical support staff for the MSUE office as agreed upon between the County and MSUE

District Coordinator that will perform clerical functions, including assisting County residents in

accessing MSUE resources by office visit, telephone, email, internet and media. The clerical

support staff will be either a County employed clerical staff, or the County will provide funding

for an MSUE employed clerical staff.

The obligations of the parties under this Agreement will commence on January 1, 2019 the first

year 2019. Either party to this Agreement may terminate the Agreement, with or without

cause, with 120 days written notice delivered to Michigan State University Extension, Justin S.

Morrill Hall of Agriculture, 446 W. Circle Drive, Room 160, East Lansing, Ml 48824 if to MSUE

and delivered to Clinton County Administration/Accounting, 100 East State Street, Suite 2700,

St. Johns, Michigan 48879, if to the County.

II. General Terms

1. Independent Contractor. The University is an independent contractor providing services to the County. The County and MSU do not have the relationship of legal partners, joint venturers, principals or agents. Personnel have no right to any of County's employee benefits.

2. Force Majeure. Each party will be excused from the obligations of this agreement to the extent that its performance is delayed or prevented by circumstances (except financial) reasonably beyond its control, including, but not limited to, acts of government, embargoes, fire, flood, explosions, acts of God, or a public enemy, strikes, labor disputes, vandalism, or civil riots.

3. Assignment. This agreement is non-assignable and non-transferable. 4. Entire Agreement. This Agreement, with its Appendix "A" is the entire agreement between MSU

and the County. This Agreement supersedes all previous agreements, for the subject matter of this Agreement. The Agreement can only be modified in writing, signed by both MSU and the County.

5. No Third Party Beneficiaries. This Agreement is solely for the benefit of MSU and the County and does not create any benefit or right for any other person, including residents of the County.

6. Indemnification: Without waiving any claim of governmental immunity, each party will protect, defend and indemnify the other and its elected officials, agents, representatives, volunteers and employees from any and all liabilities, claims, liens, fines, demands and costs, including attorney fees, of whatsoever kind and nature, such as, but not limited to, those resulting from injury or death to any persons, including the other party's own employees, or from loss or damage to any property, including property owned or in the care, custody or control of the other party, arising out of the negligence or willful misconduct of the indemnifying party or its agents, representatives and employees, or any subcontractor or its agents, representatives and employees, in connection with this Agreement. The obligations of the parties will survive any termination of this Agreement or completion of parties' performance under this Agreement.

7. Nondiscrimination: The parties will adhere to all applicable federal, state and local laws, ordinances, rules and regulations prohibiting discrimination. Neither party will discriminate against a person to be served or any employee or applicant for employment because of race, color, religion, national origin, age, sex, disability, height, weight, marital status, or any other factor prohibited by applicable law.

Michigan State University Extension (MSUE) employs the use of technology to meet the ever changing needs of our constituents. We strive to utilize standard, enterprise tools when appropriate, but also recognize the need to evolve with the times

and utilize innovative tools to reach a broad array of people.

RESOLUTION PROCLAIMING NOVEMBER AS HOMELESS AWARENESS MONTH IN CLINTON COUNTY

WHEREAS, for more than twenty years, the Michigan Coalition Against Homelessness and its partners have actively promoted Homeless Awareness Month throughout the State of Michigan; and

WHEREAS, the purpose of the proclamation is to educate the public about the many reasons people are homeless, including the shortage of affordable housing in Clinton County for very low income residents; and to encourage support for homeless assistance service providers as well as community service opportunities for students and school service organizations; and

WHEREAS, there are many organizations committed to sheltering and providing supportive services as well as providing meals and food supplies to the homeless, including the member organizations of the Clinton County Housing and Homeless Coalition; and

WHEREAS, the Clinton County Board of Commissioners recognizes that homelessness continues to be a problem for some individuals and families in Clinton County; and

WHEREAS, the activities of the Clinton County Housing and Homeless Coalition are consistent with the intent of Homeless Awareness Month;

NOW, THEREFORE BE IT RESOLVED, the Clinton County Board of Commissioners hereby proclaims November 2018 as Homeless Awareness Month.

BE IT FURTHER RESOLVED that the Clinton County Board of Commissioners encourages all citizens to recognize that some people do not have housing and need support from citizens and private/public nonprofit service entities.

2018- RESOLUTION TO ADOPT

THE 2019 CLINTON COUNTY BUDGET, GENERAL APPROPRIATIONS ACT AND MILLAGE

WHEREAS, the Uniform Budgeting and Accounting Act, Public Act 621 of 1978, requires that each local unit of government adopt a balanced budget for all required funds, and

WHEREAS, the County Administrator has prepared a recommended budget as required by the statute, and the Ways and Means Committee has reviewed the departmental requests and Administrator's recommendation for each County departmental budget, and

THEREFORE, BE IT RESOLVED that the 2019 Clinton County Budget for the General Fund and other Funds as set forth in the 2019 Administrator's Recommended Budget, as amended and proposed by the Ways and Means Committee, which is incorporated by reference herein, is hereby adopted on a basis consistent with the Clinton County Budget Adoption and Amendment Policy, subject to all County policies regarding the expenditure of funds as well as the conditions set forth in this resolution.

BE IT FURTHER RESOLVED that this budget includes an estimated property tax levy of 5.80000 mills for general fund operations. This 2019 levy shall be authorized via resolution subsequent to the establishment of the final levy amount in the spring of 2019.

BE IT FURTHER RESOLVED that this budget reflects a reasonable allocation of available resources to the various County departments, boards, and agencies, and allows for all mandated services, programs, and activities, including the courts and the constitutional and statutory offices, to be performed at reasonable, necessary, and serviceable levels or at even more than adequate levels of performance.

BE IT FURTHER RESOLVED that all expenditures shall be in accordance with the provisions of the Uniform Budgeting and Accounting Act, and that any modification, addition, or deletion, of such amounts hereby adopted shall be done in accordance with the policies and procedures established by the Board of Commissioners.

BE IT FURTHER RESOLVED that the County Administrator and the County Treasurer shall be authorized to transfer General Fund Appropriations between Funds up to the approved amounts provided for in this 2019 Budget. The timing and amount of such transfers shall be designed to maximize the interest investment potential to the General Fund.

2019 General Appropriations Resolution Page Two BE IT FURTHER RESOLVED that the Approved Position Allocation List contained in the Budget shall limit the number of regular full-time equivalent (FTE) employees who can be employed, and no funds are appropriated for any regular position not on the Approved Position List. In addition, the job position titles, pay classifications, and full-time equated designations for each position are deemed to be the correct classifications and are hereby incorporated into the Approved Position Allocation List, and any modification of employment classifications shall be done in conformance with established Board policy. BE IT FURTHER RESOLVED that it is understood that revenues and expenditures may vary from those which are currently contemplated and may be changed from time to time by the Board of Commissioners during the 2019 fiscal year, as deemed necessary. Consequently, there may be a need to increase or decrease various portions of the budget and/or impose layoffs due to unforeseen financial changes; therefore, the Board of Commissioners reserves the right to change the Approved Position Allocation List at any time. The County Elected Officials and County Department Heads shall abide by whatever changes are made by the Board of Commissioners, if any, relative to the approved positions and the number of employees stated in the Position Allocation List. BE IT FURTHER RESOLVED that the hiring freeze previously imposed by the Board shall be con-tinued, and in the event that a vacancy occurs during 2019, the position will be filled subject to ap-proval by the Administrator., Human Resources Committee Chairperson and Ways and Means Com-mittee Chairperson. The only exception is for positions budgeted in the clerical pool, they may be filled upon authorization from the County Administrator. BE IT FURTHER RESOLVED that positions on the Position Allocation List which are supported by grant funds, cost sharing, reimbursement, or some other source of outside funding are only approved contingent upon the County receiving the budgeted revenues. Upon notification that budgeted funding of a position shall not be received the elected official or department head shall immediately notify the County Administrator and the Ways and Means Committee, and that position shall be immediately removed from the Position Allocation List if funding is exhausted. BE IT FURTHER RESOLVED The County Administrator shall be authorized to apply for, authorize and accept recurring grants upon verbal approval by the Board Chair or the Ways and Means Committee Chair. Any grant that requires unbudgeted matching funds or is considered a major capital improvement shall require authorization from the Ways and Means Committee. BE IT FURTHER RESOLVED that the line item appropriations which represent the estimated costs of operating the Clinton County trial courts in 2019 are contingent upon reimbursements to Clinton County by the State of Michigan in accordance with MCL 600.151(b). County appropriations to the trial courts, in accordance with P.A. 374 and 375 of 1996, are made contingent upon conformance to all county policies and procedures regarding court personnel and the expenditure of funds. BE IT FURTHER RESOLVED that all County Elected Officials and County Department Heads shall abide by all applicable policies set by the Board of Commissioners including but not limited to budgets, purchasing, travel, and per diems; as well as the Clinton County Personnel policies as set forth in the Personnel Manual and the Educational Reimbursement policy, and that budgeted funds for these purposes are appropriated contingent upon compliance with all county policies.

2019 General Appropriations Resolution Page Three BE IT FURTHER RESOLVED maintenance agreements are essential to a variety of building and op-erating equipment. County Elected Officials and County Department Heads are authorized to renew existing maintenance agreements upon the approval of the County Administrator.

BE IT FURTHER RESOLVED that each “major capital improvement” detailed in the Capital Im-provements section of the 2019 Budget shall be subject to final review by the Ways and Means Com-mittee prior to the signing of contracts for project commencement. The Ways and Means Committee must grant specific authorization prior to the expenditure of funds on major capital projects. Routine vehicle replacement purchases are excluded from this requirement and may be purchased subject to approval by the Board Chairperson. BE IT FURTHER RESOLVED that the Clinton County Personnel Manual shall apply to all employees and elected officials who are not covered under a collective bargaining agreement or who function under a policy manual which has been jointly approved by the County Board of Commissioners and an elected official who has co-employer status. BE IT FURTHER RESOLVED that the County Administrator shall be authorized to approve for payment such bills, vouchers, or invoices that are part of the ongoing budgeted operations of the County consistent with Clinton County’s Cash Disbursement / Payment Policy as set forth in Resolution 2007-3. In the event of an emergency, the County Administrator shall inform the Chair of the Board or Chair of the Ways and Means Committee of the emergency authorization. BE IT FURTHER RESOLVED that the revenues received by the County under Public Acts 106 and 107, 1985, (Convention Facility Tax revenue) shall not be used to reduce the County's 2018/2019 operating millage as defined by P.A. 2, 1986. In accordance with P.A. 2 of 1986, 50% of the actual Convention Facility Tax revenue not used to reduce the County's Operating tax rate shall be appropriated to the Mid-State Health Network as the Coordinating Agency for administering Substance Use Disorder services, with the remaining revenues to be deposited in the County's General Fund. BE IT FURTHER RESOLVED that the revenues received by the County under Public Act 264 of 1987, (Health and Safety Fund Act) shall not be used to reduce the County's 2018/2019 operating millage, and that 12/17 of the actual Health and Safety Fund Act revenue not used to reduce the County's operating tax rate shall be appropriated to the Mid-Michigan Health Department for those public health programs and services whose costs are in excess of 1988 appropriation levels, with the remaining revenues to be deposited in the County's General Fund to be used for personnel and operating costs which are in excess of 1988 appropriation levels for the courts. BE IT FURTHER RESOLVED that the County Administrator shall be authorized to make year end transfers of up to $40,000 between Departments or Funds or with such amounts that may be available in the Contingency of the General Fund, as may be necessary to insure that departments do not end the 2019 fiscal year in a deficit condition.

The 2018 general fund budget remains on target. A positive revenue variance is expected at year-end. As in past years this variance should allow for transfers to address capital needs and an additional pension payment to maintain funding status. General overall expenditures are anticipated to be within budget.

There are no recommended adjustments as of the end of the 3rd quarter. However, there are two areas that will need adjustments by the end of the year. First, the number of autopsies performed continues to increase. This year, the increase is primarily due to over dose deaths and a spike in the number of auto crash deaths. Second, utility costs have increased. In each case a more accurate projection of final costs will be available in December. Once we have those projections an adjustment will be recommended. In any case there should be enough contingency available to make the adjustments.

At the October 11, 2018 Planning Commission meeting, the following agenda items were acted upon and are forwarded to the Clinton County Board of Commissioners / Ways & Means Committee for review and consideration -

New Business - A. PC-02-17 SLU RENEW/EXTEND– Application for a Special Land Use Renewal /

Extension(Public Hearing)An application to renew/extend an existing Special Land Use approval has been submittedby David Antoun, on behalf of Tele-Site, Inc. / Verizon. Case PC-02-17 SLU/SP, specialland use application to construct a 199’ tall wireless communication tower on propertylocated at 3410 W. Centerline Road, Parcel ID#19-030-031-400-010-00, Section 31,Bingham Township, was approved by the County Board of Commissioners on February 28,2017. The construction of the cell tower was to have commenced by August 28, 2018. Nosite or cell tower modifications are being proposed.

PLANNING COMMISSION ACTIONAt the October 11, 2018 meeting, the Planning Commission made a motion to recommendthat the Clinton County Board of Commissioners approve and adopt Case PC-02-17 SLURENEW/EXTEND at their meeting scheduled for Tuesday, October 30, 2018 [Vote of7 to 0, all in favor, none opposed].

B. PC-24-18 SLU/SP - Application for a Special Land Use Permit / Final Site Plan(Public Hearing)An application for a special land use with accompanying final site plan has been submittedby Tom & Kim Ladisky, Smith Propane & Oil, Inc. Applicants are requesting approval for apropane facility to be located at 3800 S. BR US-27 (vacant parcel), Parcel ID#19-030-028-400-039-00, Section 28, Bingham Township.
