By virtue of a resolution heretofore passed by the Board of Trustees of the City of .Btodhead, Kentucky, directing the undersigned to advertise for bids and sell a franchise to use the streets, -avenues, alleys and public places of the City of Brodhe'ad, Kentucky, for the purpbse of owning, operating, equipping and maintaining a system for the distribution of tele-vision cable service, the undersigned, as City Clerk of the said City, will on Friday, the 26th day of May, 1967, at, or about the hour 6:00 p.nj sell at public auction to the highest and best bidder at the City Hall in said City, a franchise for the purposes above set out.

THE BOARD OF TRUST" EES OF THE CITY OF BRODHEAD, ROCKCASTLE COUNTY, KENTUCKY, DOES ORDAIN AS FOLLOWS:

SECTION 1, That . _! i the purcha-ser and grantee of this 'Iran chise, his or its ldga! re-

presentatives, seccessors, and assigns, hereinafter called the "purchaser" be, and is, subject to the conditions hereinafter con-tained, hereby authorized and empowered.to acquire, purchase, construct, main-tain. and operate in and through this City? a system of works for the genera-tion,. distribution and transmission'of television cable service from points either within • or without the corporate limits of this City, to .this City and the inhabitants thereof,' and from and through this

-City to pet6ons,-corpora-tions and municipalities beyond the limits thereof, to erect and maintain poles,- wires and other apparatus neQpssary or-con-veniect for the operation of said system in;- upon, across and along each and all of the streets, avenues, alleys and piiblic places, within the present and future corporate limits of this City;, to have and hold, as by law authorized, any and all real estate, ease-ments, water and other rights necessary or convenient for said purpose; to use any and all such streets, avenues, alleys and public places while constructing or operat-ing said* television cable service or works;' and to cross any and all streets and streams in this City for the purpose of constructing, maintaining .or extending such poles, wires and other apparatus as may be neces-sary or convenient fpr the proper distribution of tele-vision cable-service in and through this City.

SECTION 2. The purchaser

shall indemnify, and save •harmless the City from any and all damages, judgments, decrees, costs, and expen-ses, including a reasonable attorney's fee, which the City may legally suffer or incur or which may be legal-, ly obtained against the City for or by reason of the use and occupation of any street, avenue, alley, or other pub-lic place in the City by~the purchaser, pursuant to the terms ofjrthis franchise, or legally resulting from the exercise by the purchaser of any of' the privileges herein granted; and, it any claim shall be made or suit brought

.against the City for damages brought against the City for damages alleged 'to have been sustained by reason of the occupation of any street, avenue, alley or public place of the exercise of any privileges herein granted by' the purchaser, the -City shall immediately notify the purchaser in writing thereof, and the purchaser is hereby given the right and privilege to defend or assist in de-fending such suit, in the name of the City.

SECTION 3. The purchaser may furnish television cable service to any person or per-

s o n s reSTding along or near the aforesaid streets, ave-nues, alleys and public pla-ces, and may make such law-ful Contracts for the use thereof as - may be •agreed upon between the purchaser and. the said person or per-sons.

SECTION 4. The purcha-ser Shall have the right to make and enforce reasonable' rules and regulations neces-sary to the proper conduct of its business and protect-ion of its property.

SECTION 5. This franctyse and all rights and privileges granted hereunder shall be in full force and effect for a. period of ten (10) years from and'afte/ the date when this franchise is granted to the purchaser.

• SECTION 6. This franchise may be transferred by the purchaser and the word "purchaser" whenever used in this franchise shall in-clude and be taken to mean and apply also to all the successors and assigns of the purchaser.

SECTION 7. It shall be the duty of the City Clerk, as

soon as practicable after the introduction of this or-dinance, to sell at public auction, to the highest and best bidder, the within fran-chise at the. City Hall on some day to be fixed by him
