Agreement For Professional Services

This Agreement for Services is made as of the day of , 2018, by and between the Village of Pittsford, located at 21 North Main Street, Pittsford, New York 14534 (hereafter referred to as the “Client”) and the Steinmetz Planning Group, located at 1100 University Avenue, Suite 303, Rochester, New York, 14607 (hereafter referred to as the “Consultant”).

1. The Consultant agrees to:

A. Provide Community Planning and Regulatory Services to the Client as set forth in Exhibit “A” entitled“Proposed Scope of Work & Budget.”

B. Complete all work no later than June 30, 2019 unless an extension is agreed upon by the Client.

It is understood that circumstances may arise during the consulting period that require the activities described in Exhibit “A” to be replaced with other activities of an equivalent value. Such changes will be based on mutual agreement of both parties, which may be recorded as an addendum to this agreement or as a letter from one party to the other signed by both parties.

C. Maintain a General Liability Insurance Policy in the amount of $2,000,000 and a Professional LiabilityInsurance Policy in the amount of $1,000,000 for the duration of the contract period. To the fullestextent permitted by law, the Consultant shall indemnify and hold harmless the Client and its agents andemployees from and against all claims, damages, losses and expenses, including but not limited toreasonable attorneys fees, arising out this agreement for professional services unless the Client shall befound negligent by a court of competent jurisdiction.

D. Submit a request for payment once per month accompanied by a description of the work completedduring that time period. All request for payment (Billings ) are to include both a total of Billings to date, along with percentage of contract total, as well as Consultant's percentage estimate of completed work to date.

2. The Client agrees to:

A. Participate as requested in consulting activities. This includes scheduling and advertising meetings,drafting meeting minutes, and providing information requested by the Consultant. The Client's SteeringCommittee will be directly involved throughout the planning process. The Client will also be asked toduplicate and distribute plan materials, review and comment on those materials, and attend meetingswith the Consultant.

B. Consultant to be paid, based on a hourly fee rate, not to exceed $97,000.00 including expensesbased on billing pursuant to the schedule in paragraph 3. Expenses to be billed include travel (using the current federal mileage rate for auto travel), meals while in the Village of Pittsford, and any copying and mailing services. All expenses will be documented with receipts.

1. Payments will be made by the Client upon receipt of an invoice provided by the Consultant. It is expected that the Client will remit payment to the Consultant within thirty (30) days upon receipt of an invoice. However, notwithstanding the above, Client shall not be required to make payments greater than $80,000, in the Client’s fiscal year ending May 31, 2019. Full payment for the unpaid balance for all services will be paid in the fiscal year ending May 31, 2020. The Client acknowledges the timing of the work to be completed by the Consultant will correspond to the funding available for each fiscal year.

2. The project will be considered complete when the final Comprehensive Plan, Zoning Code Update, and Environmental Assessment Forms are completed and submitted to the Village for adoption.

C. Authorize Village Board to approve Consultant's work and any expenses the Consultant wishes toincur on behalf of Client.

D. Indemnify and save harmless the Consultant, its employees, officers and agents from any and allclaims, demands suits, losses, costs and liabilities to which the Consultant, its employees, officers andagents may be subjected to in connection with the performance of this contract, or arising from liens orclaims for services rendered or labor or materials furnished in or for the performance of this Agreement;resulting from the acts of commission or omission of the Client, or its agents, officers or employees.Contract shuld include an clause Indemnifying the Village (the Client).3. Either Party may terminate this agreement with thirty days' written notice. If the agreement isterminated, the Consultant will present the Client with a statement of account showing all fees paid tothat time, and itemizing work performed. If work performed exceeds fees paid to date, the Client willpay the Consultant for such work at the following hourly rates:

• Project Manager (J. Steinmetz) = $115 per hour

• Senior Planner (M. Gaudioso) = $90 per hour

• Senior Planner (C. Lopez) = $150 per hour

• Technical Specialists = $100 to $150 per hour

• Administrative Assistant/Junior Planner = $70 per hour

If fees paid exceed work performed to date, Consultant will return unearned fees to Client.

4. The parties agree and acknowledge that the Consultant is an independent contractor and not anemployee of Pittsford. There shall be no benefits of any kind which shall accrue to the Consultant, otherthan those specifically set forth in this Agreement. The Consultant shall not have the authority to norshall undertake to bind the client to any contract or liability of any nature.

5. The Village of Pittsford shall, upon completion of the deliverables, have the right to electronicallymodify, at anytime in the future, the contents of the final product to its satisfaction without permissionof the Consultant. Final reports and all associated exhibits and materials (hard copy and electronic files are the property of the Village.

COMPREHENSIVE PLAN UPDATE

PHASE 1: WHERE ARE WE NOW?

TASK CP1. KICK-OFF MEETING & COMMUNITY TRENDSThe first meeting with the Comprehensive Planning Committee (CPC) will be the formal project “Kick-Off.” The exact items to be discussed at this meeting will be dependent on the nature of the work completed to date by the CPC. The Project Team will review the work done by the CPC prior to the Kick-Off Meeting. At a minimum, we anticipate the agenda of this meeting to include the following:

• Reviewing the Committee’s role, the scope of work, timeline, project goals, and deliverables;

• Facilitating a discussion on the successes and failures of the current Comprehensive Plan to determine what recommendations are still relevant; and

• Presenting preliminary data and trends obtained by the Project Team.

The timing and logistics associated with the Community Discovery Sessions (Public Meeting 1) will also be finalized at this time.

TASK CP2. INVENTORY & ANALYSISThis task consists of a review and analysis of existing conditions within the Village by the Project Team. Work items typically completed as part of the inventory and analysis include:

• Summarizing existing plans & studies;• Creating base maps (e.g. Land Use, Zoning, Transportation,

Infrastructure, and Natural Resources); • Becoming familiar with the type and character of uses in

different areas of the Village. (As part of this effort, it may be beneficial to take a guided tour led by members of the CPC);

• Preparing a basic summary of Village’s population, household, and income trends; and

• Identifying natural features that will define appropriate future land use and infrastructure policies.

ZONING CODE UPDATE

PHASE 1: ADMINISTRATIVE & REVIEW PROCEDURES

TASK ZC1. KICK-OFF MEETING & ZONING INTRODUCTIONOnce the members of the proposed Zoning Advisory Committee (ZAC) have been identified by the Village, the “Kick-Off” Meeting will be scheduled. We anticipate the agenda for this meeting to include the following:

• Reviewing the Committee’s role, the scope of work, timeline, project goals, and deliverables;

• Presenting an introduction to zoning and other regulatory methods and tools to ensure a common understanding of land use regulations by the ZAC;

• Facilitating a group brainstorming exercise to identify key issues and opportunities associated with the Village’s current code.

The need for identifying the negative elements of the code is obvious. However, identifying the positive elements of the code may reveal some ideas or processes that can be preserved to strengthen the code revision, thereby meeting the goal of providing a “user-friendly” code that fosters evolutionary not revolutionary change in the community.

TASK CP3. COMMUNITY PROFILE & IMPLICATIONSThe information collected in Task CP2 will be summarized in a narrative analysis of the existing conditions as well as supporting maps and tables. This Community Profile will provide the Village with background information and reference materials on the range of topics needed to recommend future planning policies. It is intended as an overview of relevant topics rather than an exhaustive, detailed study of the existing conditions.

The information obtained throughout Phase 1 will also result in a set of implications. These implications will articulate the assumptions that will be used to guide Phases Two and Three. A review of the Community Profile and its implications will be discussed at CPC Meeting 2. The Community Profile will be revised to incorporate the Committee’s comments.

TASK ZC2. VILLAGE CODE ASSESSMENTIn order to gain a detailed understanding of the structure of existing regulations, the Project Team will review and evaluate the key elements of the Village Code. This typically includes reviewing the requirements, procedures, format, and clarity of a variety of code sections, including but not limited to:

• Zoning Districts;• Permitted & Specially Permitted Uses;• Bulk & Dimensional Regulations; • Design Standards and/or Guidelines; • Development Standards (Landscaping, Parking, Signs, etc.); • Site Plan & Special Permit Review; and• Subdivision.

As part of this task, we will complete a memorandum that provides an analysis of the problems and opportunities associated with the Village’s existing code. In addition, this Village Code Assessment will incorporate relevant recommendations and comments from previous plans and studies completed by the Village as well as input from the public obtained during the Community Discovery Sessions. We will also evaluate the Village’s code based on our experience as zoning practitioners and to state laws and national best practices.

This memorandum will identify alternative regulatory approaches and techniques that should be considered by the Village for inclusion in the Draft Code update. The Village Code Assessment will be reviewed and discussed at ZAC Meeting 2. Pr

PUBLIC MEETING 1. COMMUNITY DISCOVERY SESSIONSThe exact format of the Community Discovery Sessions will be determined with input from the CPC and ZAC. However, it has been our experience that a hybrid meeting approach works best at the start of a planning or zoning process. Our approach consists of dividing the meeting into two segments. The first segment consists of a traditional presentation to ensure everyone hears the same information. The second segment is typically geared towards small group discussions or activities to allow for an exchange of ideas and opinions in a non-confrontational environment.

This initial public outreach opportunity will be conducted over a period of two days. The first day will focus on introducing the relationship between planning and zoning, the scope of the projects, key issues and opportunities, and community data and trends. A visual Community Preference Survey (CPS) will also be conducted as part of the first day of Community Discovery Sessions. The second day will be more design and land use focused with the review of the preliminary CPS results and more hands-on activities in small groups guided by Village maps and other visual aids.

The public comment obtained during the Community Discovery Sessions and results of the CPS will be summarized and compiled by the Project Team as part of this task. The Public Input Summary will serve to inform future tasks for both the Comprehensive Plan and Zoning Code Updates.

identifying community character, design, and land use preferences.

PHASE 2: WHERE DO WE WANT TO GO?

TASK CP4. UPDATED VISION & POLICY FRAMEWORKThis stage in the process is very important in determining the overall framework, tone, and direction of the Comprehensive Plan Update. Therefore, the Village’s existing vision, policies, and goals will be evaluated for their relevance to current community conditions and values. The Project Team will update the Village’s vision and policy framework based on the evaluation of the existing Plan’s language and input received during Phase 1. The revised framework will be submitted to the CPC for their review at CPC Meeting 3.

It should be noted that the proposed place-based approach to the Comprehensive Plan Update is likely to impact the structure of the Village’s existing vision, policies, and goals. Existing and proposed goals and recommendations related to the character and use of land will be grouped by geographic subarea and outlined as part of the Community Development Strategy and Map in Task CP8. The updated vision and policy framework completed in this task will focus on policy-oriented objectives and action items, such as governmental foundations, regional cooperation, and the provision of community services.

TASK CP5. SCHOEN PLACE SUBAREA CONCEPT PLANBased upon community land use, development, and design preferences obtained during the Community Discovery Sessions (Public Meeting 1), Plan Architectural Studio will prepare a preliminary concept plan for Schoen Place consisting of graphic layouts and rough sketches to visually illustrate the desired character of this area.

Mr. Lopez will present the Schoen Plan Subarea Concept Plan at the Community Design Workshop (Public Meeting 2) for review and comment by the public and CPC.

TASK ZC3. DRAFT ADMINISTRATIVE & REVIEW PROCEDURESPrior to the third ZAC Meeting we will prepare a draft of updated administrative and review procedures based on the recommendations of the Village Code Assessment and feedback from the ZAC. This draft will include topics such as the processing of applications, site plan review, special permits, variances, and the roles and responsibilities of review board members, the Village Clerk, and the code enforcement officer.

We often find that a community’s regulatory provisions with respect to administration and enforcement are overly cumbersome, outdated, and incomplete. Our goal is to update the Village’s administrative and review sections with clear, concise language that reflects the values of the community and is consistent with NYS Village Law.

The exact sections of the Village’s code that will be updated as part of this task will be identified during Task ZC2.

TASK ZC4. DRAFT SUBDIVISION REGULATIONSA draft of the Village’s updated subdivision code will be reviewed at ZAC Meeting 4. The updated subdivision regulations will be based on the recommendations of the Village Code Assessment and feedback from the ZAC.

Subdivision and zoning go hand in hand, as the processing of development applications often must receive approvals via both regulatory frameworks. When subdivision codes are developed or amended independently and outside of Zoning Codes, they may result in overlapping or competing provisions.

By updating the Village’s subdivision code in the context of the newly crafted administrative and review procedures, we can ensure that the two sections compliment each other and work together to simplify the development review process. Whether or not the subdivision regulations remain a separate Chapter under the Village Code or become part of a unified development review approach will be determined with input from the ZAC.

TASK CP6. DRAFT ACTION PLANAction items are specific programs, plans, or projects intended to implement the general vision and policies of the Village. In other words, those policies that are not directly related to land use and development. Some examples in the Village’s current Plan include Policy 1.1 and 1.13.

The Project Team will create a Draft Action Plan by incorporating existing action items, removing irrelevant items, and adding new ideas as appropriate. Action items identified as “high priority” by the public and/or CPC may be expanded upon as part of the Action Plan with additional information to support implementation.

The Draft Action Plan will be provided to the CPC in the form of a workbook for the members to add their own suggestions/edits and will be discussed at CPC Meeting 4.

TASK CP7. DRAFT SCHOEN PLACE SUBAREA PLANThe Schoen Place Subarea Concept Plan and illustrative graphics will be refined into a Draft Subarea Plan based upon input provided at the Community Design Workshop. It is anticipated that the Plan will address such items as re-use and redevelopment opportunities that are consistent with the history of the site, public realm enhancements, and circulation improvements. Mr. Lopez will present the Draft Schoen Place Plan at the fifth CPC Meeting.

PHASE 2: ZONING DISTRICT FRAMEWORK & DEVELOPMENT REGULATIONS

TASK ZC5. DRAFT ZONING DISTRICTS & MAP

Utilizing the information received as part of the Community Design Workshop and the recommendations of the Village Code Assessment, the Project Team will update the Village’s existing zoning districts to create a new draft district framework. The proposed amendments to the zoning districts and map will be dependent on the information obtained in previous tasks, but code elements typically reviewed and revised as part of the district framework include:

• District Purpose Statements;• Permitted & Specially Permitted Uses;• Bulk & Dimensional Regulations; • Specified Use Requirements; • Historic District Provisions; and • District Boundary Adjustments.

A Draft Zoning Map will be prepared as part of this task to reflect the proposed amendments of the Draft Zoning Districts. Upon the completion of the map and zoning district framework, they will be submitted to the ZAC for their review and comment. Due to the detailed nature of district regulations and the level of discussion necessary to determine the most appropriate scale, character, and use of each, we have allotted two ZAC Meetings (5 & 6) for the review of draft material. PUBLIC MEETING 2. COMMUNITY DESIGN WORKSHOPThe Community Design Workshop is an opportunity to solicit more detailed feedback from the public on land use, development, and regulatory preferences for further refinement in the updated Comprehensive Plan and Zoning Code. Although the format of the Workshop will be decided by the CPC and ZAC, we anticipate including the following elements:

• Project Update - A presentation will be made to summarize the progress on the projects, timeline, and next steps.

• Community Preference Survey (CPS) Results - A facilitated discussion of the complete CPS results obtained during Public Meeting 1 to confirm the preferences expressed by Village residents and stakeholders.

• Preliminary Schoen Place Concept - A presentation and discussion of the preliminary Schoen Place concept developed under Task CP5.

PHASE 3: HOW DO WE GET THERE?

TASK CP8. DRAFT COMMUNITY DEVELOPMENT STRATEGY & MAPLand and people are the basic building blocks that shape a community. The Project Team will develop a Community Development Strategy & Character Map based upon the results of the Community Preference Survey and the discussions held at the Discovery Sessions and the Design Workshop. This map will go beyond a typical future land use map by depicting desired land uses as well as preferred character typologies, identifying key gateways, and highlighting planned improvements to the circulation system. This map will be supported by photos, sketches, and a narrative to fully articulate the Village’s vision for its future. We anticipate placing all land use related goals and recommendations into the Community Development Strategy to provide a place-based Comprehensive Plan document. The updated land use plan and corresponding narrative will be reviewed at CPC Meeting 6.

TASK CP9. PRELIMINARY PLAN W/ SCHOEN PLACE SUBAREA PLANThe Preliminary Plan will combine the previously completed tasks into one document. The document will be provided to the CPC for their review and comment prior to producing the Draft Plan and holding the Community Open House.

We feel the Village will benefit from a reorganized Comprehensive Plan that differentiates between policy-oriented objectives and action items (as noted in Task CP4) and land use goals and recommendations (as noted in Task CP8).

TASK ZC6. DRAFT DEVELOPMENT REGULATIONSOnce the Draft Zoning Districts and Map have been approved by the ZAC, the Project Team will provide updated development regulations for the Committee’s review. It is unclear at this time which code sections may be impacted, as the proposed amendments will be based upon the input of the public, ZAC, and recommendations of the Zoning Assessment Memo. Based upon our experience and a preliminary review of the Village’s Code we anticipate the following topics will be addressed as part of the development regulations:

• Nonresidential & Historic Design Standards; • Landscaping & Screening Regulations; • Parking & Site Design Requirements; and• Sign Regulations.

The Draft Development Regulations will be discussed during ZAC Meeting 7 and edited based upon Committee feedback.

PHASE 3: DRAFT CODE REVIEW & ADOPTION

TASK ZC7. DRAFT CODE & MAPThe Project Team will compile all updated zoning and land use sections to form the Draft Code. The process used to review the Draft Code and Map will mirror the process of the previously drafted sections. After a Draft Code and Map have been prepared, it will be provided to the Committee for their review at ZAC Meeting 8.

The feedback provided by the ZAC will be incorporated into the document prior to being made available to the public for review and comment at the Community Open House (Public Meeting 3).

PUBLIC MEETING 3. COMMUNITY OPEN HOUSEThe intent of this meeting is to provide the public with an opportunity to review both the Preliminary Plan and Draft Code in an informal, engaging environment. A typical Open House setup includes a series of stations grouped by topic area that attendees can visit at their leisure. The photo below is of the Open House conducted for the Honeoye Falls’ Plan in February of 2014. The exact format will be determined with input from the CPC and ZAC.

TASK CP10. DRAFT PLAN W/ SCHOEN PLACE SUBAREA PLANThe Draft Comprehensive Plan will incorporate the input received at the Community Open House and be presented to the CPC for discussion at their eighth Meeting.

TASK CP11. CPC RESOLUTION, REFERRALS, & SEQRPrior to sending the Draft Plan to the Village Board, the CPC is required by NYS Village Law §7-722 to make a formal recommendation by resolution. The passing of this resolution may be completed as part of CP10 at CPC Meeting 8. Once the Draft Plan has been formally recommended to the Village Board, the required referrals and New York State Environmental Quality Review (SEQR) procedure may begin.

The Village Board must refer the Draft Plan to the County Planning Agency for review and recommendation per NYS General Municipal Law. As necessary, the Project Team will assist the Village Clerk with the preparation of all referral materials.

The Project Team will work with the Village Board to complete the necessary SEQR documentation to adopt the Draft Plan. It is our recommendation that these projects be considered as a joint action for the purposes of SEQR, provided the proposed Zoning Law is complete and ready for consideration by the Village Board at the same time. In the event that the update processes become out of sync, the SEQR requirements for each project may be completed separately.

The Project Team will complete a long Environmental Assessment Form (EAF) for the Draft Plan as required by NYS Law. A full Environmental Impact Statement (EIS) is not anticipated and is not included in the scope of this project. If an EIS were deemed necessary, additional negotiation would be required.

TASK CP12. PUBLIC HEARING & PLAN ADOPTIONThe Village Board is required to hold at least one public hearing prior to the adoption of the Draft Plan. The public hearing is an opportunity for formal review and comment on the Draft Plan, Schoen Place Subarea Plan, and associated SEQR documentation. A public hearing by the Village Board must be set by resolution and duly noticed.

TASK ZC8. DRAFT ZONING CODE & MAPThe final edits to the Draft Zoning Code and map will be made based upon input received at the Community Open House (PM 3). The revised Draft Code update will be provided to the ZAC for its review. We have included ZAC Meeting 9 under this task in the event that the Committee determines an additional meeting is necessary to discuss the Draft Code before submittal to the Village Board for consideration as a Zoning Law Amendment.

TASK ZC9. LOCAL LAW, REFERRALS, & SEQRPrior to taking action, a Village Board member is required to introduce the Draft Zoning Code and map to the Board as a proposed Zoning Law Amendment. Once the local law is prepared and introduced to the Village Board, the required referrals and New York State Environmental Quality Review (SEQR) procedure may begin.

As necessary, the Project Team will assist the Village Clerk with the preparation of all referral materials. In addition to the required referral to the county planning agency, the Village must also provide written notice, served personally or by mail, to neighboring governments and certain agencies. Notices shall be made to the:

• Clerks of each city, town, and village that the Village lies within, borders on, or comes within 500 feet of;

• Legislative body of the county that the Village lies within, borders on, or comes within 500 feet of;

• NYS Park Commission governing any state park within, bordering on, or within 500 feet of.

The Project Team will work with the Village Board to complete the necessary SEQR documentation to adopt the proposed Zoning Law Amendment. It is our recommendation that the Draft Plan and Zoning Law Amendment be considered as a joint action for the purposes of SEQR, provided both drafts are complete and ready for consideration by the Village Board. In the event that the Draft Code requires additional review time by the ZAC, the SEQR requirements for each project may be completed separately.

Within 5 days of the date of adoption the Village Clerk must file the Zoning Law Amendment including the map with the Secretary of State in Albany per NYS Municipal Home Rule Law §27. A summary or abstract of the law must also be publicly posted or noticed.

Within 30 days of the date of adoption, the Village Board must report its final decision to the respective county planning agency per NYS General Municipal Law §239-m(6).

Up to 18 Committee Meetings are included in this budget. We have programmed 17 of these meetings as part of our scope. 5. The hourly rate for "Technical Assistance" represents a blended rate for a variety of professionals that my be required to complete this project. For example, it includes a Jr. Planner with a rate of $70 per hour and a GIS Specialist with a rate of $105 per hour but also allows for the participation of other professionals such as a landscape architect, traffic engineer, etc.

PROFESSIONAL SERVICES AGREEMENT FOR CODE COMPLIANCE SERVICES

This is an agreement between T.Y. Lin International, Engineering, Architecture & Land Surveying, P.C. (TYLI), a Professional Corporation with an office at 255 East Avenue, Rochester, New York 14604 and the Village of Pittsford, a municipal corporation having offices at 21 N. Main Street, Pittsford, New York 14534 ("Village"), where the Village seeks to engage the services of a professional third party consultant to provide engineering and code compliance services necessary to fulfill the Village’s obligation to regulate the design, construction and use of buildings and structures. NOW, THEREFORE, in consideration of the terms and conditions herein, it is hereby agreed by and between the parties as follows: Section I. TYLI's Services

Section 1A. Code Compliance Services

A. TYLI shall provide services to the Village in the area of engineering and code compliance plan review, consultation and construction inspection, on an as requested basis. The work shall include the necessary clerical assistance, travel time, communications and reporting.

B. Requests for services shall be transmitted by the Village to TYLI in writing, in person, or by telephone (followed by a written request). Both the Village and TYLI shall keep a record of requests made.

C. TYLI shall provide for the review of plans for compliance with the NYS Uniform Fire Prevention and Building Code and all applicable reference standards. Reviews shall not include issues of compliance with zoning, SEQRA, site work/landscaping, fire protection system calculations, conveyances, or other local, state or federal requirements, except where specifically referenced in a technical document of the Uniform Code or otherwise requested by the Village. Review for conformance with these regulations will be performed by the Village, and forwarded to TYLI upon request. Plan review comments and related communications with the applicants (including requests for additional information) will be handled by TYLI directly with the applicant. TYLI staff shall host permit workshops whenever requested by the applicant. TYLI shall provide written reports on the results of each review, in a format approved by the Village and TYLI, including any necessary administrative or organizational meetings.

Section IB. Inspection Services

A. TYLI shall provide services to the Village in the area of construction compliance inspections, on an as requested basis. The work shall include the necessary clerical assistance, travel time, communications and reporting.

B. Requests for services shall be transmitted by the Village Clerk, Code Enforcement Officer and/or the permit applicant to TYLI in writing, in person, or by telephone (followed by a written request). Both the Village and TYLI shall keep a record of requests made.

C. TYLI shall provide inspections for compliance with site plans, structural plans, architectural plans, mechanical plans, electrical plans, plumbing plans, and any and all code and building related compliance issues with respect to proposed projects within the Village. It is not intended that these inspections would include compliance with zoning, SEQRA, and Village of Pittsford Design Standards. These inspections can be conducted by TYLI upon special request of the Village.

D. Where inspection requests are handled by TYLI directly with the applicant, a record of these communications will be provided to the Village. TYLI staff shall host review workshops whenever requested by the applicant. TYLI shall provide written reports on the results of each inspection, in a format approved by the Village and TYLI.

Section 2. Fee TYLI shall submit monthly, a detailed invoice showing an accounting of the work performed on behalf of the Village for each separate project, based on hours worked and travel provided in accordance with TYLI's "Schedule of Fees", attached hereto, along with duly executed vouchers, if required, on forms supplied by the Village. Payments for services rendered shall be made by the Village within 30 calendar days of the date of TYLI invoices. Persons assigned by TYLI to perform various tasks associated with this agreement will be at the sole discretion of TYLI, based on the nature of the request for service the availability of staff and the experience and level of education or the specialization in certain disciplines. TYLI will make every reasonable effort to exercise care and efficiency with respect to the impact to the Village or the applicants on the cost of services. Section 3. Authorized Agents TYLI designates the Manager of Compliance Services and the Village designates the Code Enforcement Officer and/or the Village Clerk, as the authorized agents for all communications pursuant to this Agreement. Section 4. Response Time Plan Reviews: Complete, written comments on the compliance of all aspects of the project with applicable codes, shall be provided by TYLI to the Village within the following time periods after receipt of a complete application by TYLI. The term "complete application" shall be deemed to include all drawings, specifications, shop drawings, statement of special inspection, soils reports, energy compliance worksheets and other information necessary to convey the intent and scope of the work for which the applicant is seeking or is required to seek a permit in accordance with the Village of Pittsford’s Municipal Village Code, the New York State Uniform Fire Prevention and Building Code and applicable reference standards.

■ Minor Residential or Commercial Remodeling Five business days ■ Major Residential or Commercial Remodeling Ten business days ■ New Construction Residential Fifteen business days ■ New Construction Commercial Fifteen business days Building Inspections: Requests for construction inspections will be received by the Village or by TYLI by phone or e-mail. A record of each request will be maintained as a record for the Village. Requests are expected to be made no less than 24 hours before the requested time. TYLI will make every effort to accommodate requests made consistent with the timing. TYLI will provide the requested inspection, prepare a written report and forward the report to the Village and the permit applicant, if requested. Section 5. Term

A. The term of this Agreement shall be from January 1, 2018 to December 31, 2018.

B. Termination by Either Party. Either TYLI or the Village may terminate this Agreement, with or without cause, upon ninety (90) days written notice to the other party. Upon any termination of this Agreement, or upon expiration of the term, TYLI shall promptly turn over to the Village all materials, files, computer discs, work papers, reports, or other work product relating to this Agreement or the services hereunder, in whatever form the same is maintained. Final payment to TYLI, or reimbursement to the Village, shall be prorated to the date of termination.

C. Renewal Options. The Village shall have the option, exercisable upon notice to TYLI at least ninety (90) days before the end of the term, to renew the Agreement for up to 3 additional one-year terms (through 2021). Any such renewal shall not be effective unless the monies to be paid to TYLI during the renewal term have been duly authorized and appropriated and made available for that purpose by the Village no later than 30 days before the end of the existing term. During each renewal term, the terms and conditions of the Agreement shall remain the same unless otherwise amended in writing, except that the Village’s payment for services shall increase by the percentage of average hourly increase for TYLI’s Standard Billing Rates for the coming year, subject to approval by the Village of Pittsford.

Section 6. Compliance with Laws In connection with the services to be performed under this agreement, TYLI and the Village and each of their agents and employees shall comply with all federal, state and local laws, resolutions, ordinances, codes, rules and regulations applicable to the performance of the services to be rendered hereunder. This specifically includes the provision of Part 1203 ("Minimum Standards for Administration and Enforcement") of Title 19 of the New York State Uniform Fire Prevention and Building Code. Section 7. Liability and Indemnification

A. The Village hereby covenants and agrees to indemnify, defend and hold harmless TYLI and its officers, agents and employees from and against any and all claims, liabilities, obligations,

damages, losses and expenses, (including any claimed damage to real or personal property) whether contingent or otherwise, including reasonable attorney's fees and costs of defense, incurred by TYLI as a result of the negligence, omission, breach, fault or intentional misconduct of the Village in the conduct of work under this Agreement.

B. TYLI hereby covenants and agrees to indemnify, defend and hold harmless the Village and its officers, agents and employees from and against any and all claims, liabilities, obligations, damages, losses and expenses, (including any claimed damage to real or personal property) whether contingent or otherwise, including reasonable attorney's fees and costs of defense, incurred by the Village as a result of the negligence, omission, breach, fault or intentional misconduct of TYLI in the conduct of work under this Agreement.

C. If a claim or action is made or brought against either party, for which the other party may be responsible hereunder, in whole or in part, then that party shall be timely notified and required to handle or pay for the handling of the portion of the claim for which the party is found to be responsible pursuant under this Agreement

Section 8. Independent Contractor Neither Party Deemed Agent: TYLI shall perform the services under this Agreement as an independent contractor. Neither TYLI nor any of its officers, agents or employees shall present themselves as officers or employees of the Village, Neither TYLI nor the Village shall be deemed to be the agent of the other, except as specifically set forth herein. Section 9. Prohibition against Assignment or Transfer TYLI is prohibited from assigning, transferring, conveying or otherwise disposing of this Agreement, or of any right, title or interest therein, or of the power to execute this Agreement, to any other person or corporation without the previous consent, in writing, of the Village. Section 10. Contract Deemed Executory Covenant by Village: This agreement shall be deemed executory only to the extent of monies appropriated for its purpose, The Village represents and covenants that all monies to be paid to TYLI during the term of this Agreement have been duly authorized and will be made available for that purpose. Section 11. This Agreement shall be governed by and under the laws of the State of New York. In the event that a dispute arises between the parties, venue for the resolution of such dispute shall be the County of Monroe, New York. Section 13. No-Waiver In the event that the terms and conditions of this Agreement are not strictly enforced by either party, such non-enforcement shall not act as or be deemed to act as a waiver or modification of this Agreement, nor shall such non-enforcement prevent the either party from enforcing each and every term of this Agreement thereafter. Section 14. Severability If any provision of this Agreement is held invalid by a court of law, the remainder of this Agreement shall not be affected thereby if such remainder would then continue to conform to the laws of the State of New York. Section 15. Conflicts of Interest In the event that either the Village or TYLI believes that the fulfillment of duties by TYU under the terms of this agreement may be construed as a conflict of interest by virtue of TYLI's relationship with persons or firms having an interest in the approval of construction projects, then TYLI may recuse themselves from performance on a case by case basis. Where such conflict is identified by TYLI, TYLI shall issue a written disclosure to the Village. Where necessary, TYLI shall make recommendations for the person or firm TYLI believes has the resources and competence to provide the services necessary for the subject project. VILLAGE OF PITTSFORD

SOCIAL MEDIA POLICY

The Village of Pittsford permits departments to utilize social media sites and social networking sites (collectively "social media sites") to further enhance communications with its residents and various stakeholders in support of Village goals and objectives. Village officials and Village departments have the ability to publish articles, facilitate discussions and communicate information through such media to conduct official Village business. Social media sites facilitate further discussion of Village government business, operations and services by providing members of the public the opportunity to participate in many ways using the Internet.

This policy establishes a set of rules and regulations for use of social media platforms on behalf of the Village of Pittsford. This policy is designed to define social media, the process of using social media, and the rights and responsibilities of the Village in its use of social media. These rules are intended to be adaptable to the changes in technology and norms of online communication and behavior and may be amended by the Village of Pittsford at any time, for any reason, without notice to employees.

This policy is meant to be read in conjunction with all other applicable policies and procedures of the Village.

Questions regarding this Policy should be directed to the Village Clerk.

Purpose

Social networking and internet services are a popular form of communication. The Village of Pittsford believes that effective and efficient interaction with the public may be enhanced using online technology to present matters of public interest in the Village of Pittsford.

Scope

This policy applies to all officers, agents, and employees of the Village of Pittsford as well as citizens posting on Village of Pittsford social media platforms.

Definitions

Social Media – Any web-based and mobile technologies, in use now or developed in the future, that enable individuals or entities to disseminate or receive information, communicate or otherwise interact.

Social media identity – A specific user identity or account that has been registered on a third party social media site.

Author – An authorized Village of Pittsford employee who creates and is responsible for any information posted on social media sites.

Commenter – A Village of Pittsford employee or member of the public who submits a comment for posting in response to the content of Village of Pittsford article or social media content.

Moderator – Any authorized Village of Pittsford employee who reviews, authorizes, and allows content submitted by Village of Pittsford authors and public commentators to be posted to a Village of Pittsford social media site.

Standards

All Village social media sites shall be:

a) Approved by the Village Clerk; and

b) Published using social media platform and tools approved by the Information Technology Department ("IT'').

Departments have the option of allowing employees to participate in existing social media sites as part of their job duties or allowing employees to create social media sites as part of their job duties. Department Heads may allow or disallow employee participation in any social media activities in their departments.

Each Village social media site shall include an introductory statement which clearly specifies the purpose and topical scope of the blog and social media/network site. Where possible, social media sites should link back to the official Village Internet site for forms, documents and other information.

Village of Pittsford social networking sites are considered a public record under New York State Public Officers Law Article 6 and will be managed as such. All social network sites and entries shall clearly indicate that any articles and any other content posted or submitted for posting are subject to public disclosure and subject to Freedom of Information Law (F.O.I.L).

Mistakes. The Village policy is that once something is posted, it should stay posted. Only spelling errors or grammar fixes should be made without making the change evident to users. If you choose to modify an earlier post, make it clear that you have done so--do not remove or delete the incorrect content; provide the correct information and apologize for the error. Ways to accomplish this include:

-Strike through the error and correct; or

- Create a new post with the correct information, and link to it from the post you need to correct or clarify.

Either method is acceptable. In order for the social media identity or site to achieve transparency, the Village cannot change content that has already been published without making the changes clearly evident to users.

Employees using social media to communicate on behalf of the Village of Pittsford should be mindful that any statements made on behalf of the Village of Pittsford. Therefore, employees shall use discretion before posting or commenting. Once comments are made, they can be seen by anyone and may not be able to be recanted and Freedom of Information Law (F.O.I.L.) will be applicable. The following are examples of unacceptable social media content and comments:

- Profane or obscene language or content - Comments or content that promotes, fosters or perpetuates discrimination on the basis

of race, color, gender, gender identity, national origin, religion, ancestry, age, sexual orientation, disability, maternity leave, genetic information, or active military status;

- Solicitations of commerce - Comments or content that is threatening or harassing; - Sexual comments, content, or links to sexual content; - Conduct or encouragement of illegal activity; - Information that may tend to compromise the safety or security of the public or public

systems; - Infringement on copyrights or trademarks - Content that violates a legal ownership interest of any other party; - Protected health information; - Personnel information; or - Other information that is not public record or is otherwise privileged from public

disclosure.

Content submitted for posting that is deemed unsuitable for posting by the Moderator because it is not topically related to the particular social networking site objective or is deemed prohibited content based on the aforementioned list shall be retained pursuant to the records retention schedule along with the reason the specific content is deemed not suitable for posting.

Employees found in violation of this policy may be subject to disciplinary action, up to and including termination of employment.

Where appropriate, Village IT security and/or computer use policies shall apply to all social media sites and articles.

First Amendment Protected Speech. Although the Village can moderate the social media sites that accept comments from the public (such as blogs and wikis) to restrict speech that is obscene, threatening, discriminatory, harassing, or off topic, employees cannot use the moderation function to restrict speech with which the Village merely disagrees (i.e. subject matter restrictions). Users have some First Amendment rights in posting content to public social media sites hosted by municipalities. Moderators must respect those rights by posting all comments other than those excluded for specific legitimate reasons, as referenced above.

Copyright Law. Employees must abide by laws governing copyright and fair use of copyrighted material owned by others. Never reprint whole articles or publications without first receiving written permission from the publication owner. Never quote an excerpt of someone else's work without acknowledging the source, and, if possible, provide a link to the original.

Maintenance of the Village of Pittsford website takes priority over maintaining a social media site. A social media site is used to enhance, not replace, website communications.

The Village of Pittsford Moderator will establish a general account that aggregates all Village of Pittsford social media accounts or sites to monitor on a daily basis. The Moderator will be responsible for monitoring all comments posted to a Village of Pittsford social media site for appropriateness. This person(s) will be responsible for ensuring all content is suitable for positing and removing all content that is not suitable or prohibited based on the criteria listed in this policy. This person(s) also is responsible for retaining all content that is removed in accordance with this policy.

Public Meeting Regulations

New York State Department of State Public Officers Law Article 7 describes requirements regarding open meetings law wherein:

1. "Meeting" means the official convening of a public body for the purpose of conducting public business, including the use of videoconferencing for attendance and participation by the members of the public body.

2. "Public body" means any entity, for which a quorum is required in order to conduct public business and which consists of two or more members, performing a governmental function for the state or for an agency or department thereof, or for a public corporation as defined in section sixty-six of the general construction law, or committee or subcommittee or other similar body of such public body.

No more than two (2) Village of Pittsford Board Members shall be allowed to comment on any one Village of Pittsford social media posting. Failure to comply with this regulation will result in a public meeting and will require adherence to open meeting requirements.

Conflict of Interest. Employees are prohibited from using social media to engage in any activity that constitutes a conflict of interest for the Village or any of its employees.

Handling Negative Comments. Because the purpose of many social media sites, particularly department blogs and wikis, is to get feedback from the public, you should expect that some of the feedback you receive will be negative. Some effective ways to respond to negative comments include:

a) Providing accurate information in the spirit of being helpful;

b) Respectfully disagreeing; and

c) Acknowledging that it is possible to hold different points of view.

Use the Social Media Site or Identity Only to Contribute to your Department's Mission. When you contribute to your department's social media site or identity, provide worthwhile information and perspective that contribute to your department's mission of serving the public.

What you publish will reflect on the Village. Social media sites and identities should be used in a way that contributes to the Village's mission by:

-Helping you and your co-workers perform their jobs better; -Informing citizens about government services and how to access them; -Making the operations of your department transparent and accessible to the public; -Creating a forum for the receipt of candid comments from residents about how government can be improved; and -Encouraging civic engagement.

Media Inquiries. Village or department social media identities or sites may lead to increased inquiries from the media. If you are contacted directly by a reporter, you should refer media questions to the Village Mayor or Village Clerk

Personal Comments. Make it clear when you are speaking for yourself as a resident or stakeholder, and not on behalf of the Village. If you publish content on any website of the Village and it has something to do with the work you do or subjects associated with the Village, use a disclaimer such as this: "The postings on this site are my own and don't necessarily represent the Village’s positions or opinions."

Employee or Official Profile. If you identify yourself as a Village employee or official, ensure your profile and related content is consistent with how you wish to present yourself to colleagues, residents and other stakeholders.

Defamation. Be aware that employees acting in their individual capacity (not on behalf of the Village are not immune from defamation claims. Defamation is established by showing that the defendant published a false, non-privileged statement about the plaintiff to a third party that either caused the plaintiff economic loss or was of the type that is actionable without proof of economic loss. Some statements, like imputation of a crime, are defamatory per se. Avoid statements that may be interpreted as defamatory.
