Partner Types

HUAWEI CLOUD partners are classified into consulting partners and technologypartners. A partner can select an appropriate type as required.

● Consulting partners

HCPN consulting partners are firms offering professional services to helpcustomers of all sizes to design, develop, migrate, or build new applications,or perform daily customer service operations on HUAWEI CLOUD. Consultingpartners include system integrators (SIs), strategic consultancies, agencies,managed service providers (MSPs), value-added resellers (VARs), and telecomoperators. For details about how to register as a consulting partner, seeHUAWEI CLOUD Consulting Partner Application Guide.

Currently, a consulting partner can choose to join solution, service, AI, andcarrier partner programs.

A partner can only request their partner to apply to join the carrier partner programon their behalf.

● Technology partners

HCPN technology partners are commercial software and/or Internet servicecompanies providing software solutions hosted on, or integrated with,HUAWEI CLOUD. Technology partners include independent software vendors(ISVs) as well as SaaS, PaaS, development tool, management, and securityproduct suppliers. For details about how to register as a technology partner,see HUAWEI CLOUD Technology Partner Application Guide.

Currently, a technology partner can choose to join software, and AI partnerprograms.

Precautions

A HUAWEI CLOUD account can be only either a consulting partner or atechnology partner.

● If you are already a consulting partner and now also want to become atechnology partner, you need to register a new HUAWEI CLOUD account forthe technology partner.

● If you are already a technology partner and now also want to become aconsulting partner, you need to register a new HUAWEI CLOUD account forthe consulting partner.

A frozen HUAWEI CLOUD account cannot apply to join a consulting partnerprogram or technology partner program. HUAWEI CLOUD accounts are frozenwhen:

● Deregistered: After a customer applies for deregistration, the account will befrozen first. After a specified period, the account will be deleted.

● In arrears: If the resources enter the retention period and the account is notrenewed, the account will be frozen.

● Legally required by the laws and regulations● Fraudulently used (when using HUAWEI CLOUD services)

A HUAWEI CLOUD account that has been added to any partner program cannotbe deregistered.

3 Joining HCPN

3.1 Registering a HUAWEI CLOUD AccountBefore applying for joining HCPN, you need to register a HUAWEI CLOUD account.

Procedure

Step 1 Log in to the HUAWEI CLOUD homepage, and click Register in the upper rightcorner.

Step 2 Set the country/region, account name, email address, verification code, andpassword, select I have read and agree to the Privacy Statement and HUAWEICLOUD Customer Agreement, and click Register.

● After you register a HUAWEI CLOUD account, if you want to apply to become aconsulting partner, do not bind a credit card to the account or use the account toconsume any resources in case that the partner qualification certification fails. If youhave bound a credit card or purchased resources, register a new account to submit theapplication.

● If you want to apply to become a technology partner and subscribe with and provisioncloud services, you need to bind the mobile number, add account information, and bindthe credit card.

● A HUAWEI CLOUD account can be only either a consulting partner or a technologypartner.

3.2 Applying to Become a Consulting PartnerHUAWEI CLOUD enterprise customers can perform the following steps to apply tobecome consulting partners.

Important NotesEnterprise customers cannot apply to become a consulting partner if theirHUAWEI CLOUD accounts are in one of the following situations:

● The account has bound to a credit card.

● The account has consumption records.

● Resources are provisioned for the account.

● The account is in arrears.

● The account has been associated to another partner as a sub-customer.

● The account has been or is being used to apply to become a technologypartner.

● The account is an enterprise primary account or enterprise sub-account.

● The account has a credit account.

● The account is being used for or has passed real-name authentication.

● The account cannot purchase or provision cloud services or resources duringthe application of becoming a consulting partner or after the application issuccessful.

● If the account has already obtained pay-per-use resources, you need to go tothe console and release the resources or register a new account beforesubmitting your application.

Prerequisites

You have met the requirements for becoming a consulting partner. For details, seeTable 3-1.

You can choose whether to upload proof materials as needed. Uploading the proofmaterials facilitates a quicker approval of the application.

Customer SuccessCases on HUAWEICLOUD

You need to promise the number of successful customercases on HUAWEI CLOUD within one year (at least twofor the standard tier, five for the advanced tier, 10 for thepremier tier, and 20 for the strategic tier).

HUAWEI CLOUDBusinessProfessional Test

You need to promise the number of people who passHUAWEI CLOUD Business Professional on HUAWEICLOUD within one year (at least one person for thestandard tier, two for the advanced tier, five for thepremier tier, and 10 for the strategic tier).

You need to promise the number of people who passHUAWEI CLOUD Technical Professional on HUAWEICLOUD within one year (at least one person for thestandard tier, two for the advanced tier, five for thepremier tier, and 10 for the strategic tier).

HUAWEI CLOUDTCO and CloudEconomics Test

When applying to become an advanced, premier, orstrategic consulting partner, you need to promise thenumber of people who pass HUAWEI CLOUD TCO andCloud Economics within one year (at least one person forthe advanced tier, two for the premier tier, and five forthe strategic tier).

HCIA-Cloud Service You need to promise the number of HCIA-Cloud ServiceCertificates obtained on HUAWEI CLOUD within one year(at least one for the standard tier, two for the advancedtier, five for the premier tier, and 10 for the strategictier). You can upload scanned copies of the certificates asthe proof.

HCIP-Cloud ServiceSolutions Architect

When applying to become an advanced, premier, orstrategic consulting partner, you need to promise thenumber of HCIP-Cloud Service Solutions ArchitectCertificates obtained on HUAWEI CLOUD within one year(at least one for the advanced tier, two for the premiertier, and five for the strategic tier). You can uploadscanned copies of the certificates as the proof.

HUAWEI CLOUDService PartnerProgram

When applying to become an advanced or strategicconsulting partner, you need to join the service partnerprogram.

Dedicated PartnerAlliance Managerfor HUAWEI CLOUD

When applying to become a premier or strategicconsulting partner, you need to provide the number ofpartner alliance managers responsible for HUAWEICLOUD services (at least one for the premier tier andtwo for the strategic tier).

Dedicated ProjectManager forHUAWEI CLOUD

When applying to become a premier or strategicconsulting partner, you need to provide the number ofproject managers responsible for HUAWEI CLOUDservices (at least one for the premier tier and two for thestrategic tier).

ProcedureStep 1 Go to the homepage of the HUAWEI CLOUD official website.

Step 2 Click Log In to open the login page.

Step 3 On the login page, enter your username and password, and click Log In.

Step 4 On the menu bar, choose Partners > Become a Consulting Partner.

Step 5 Click View the HCPN Consulting Journey to switch to the HCPN ConsultingJourney page. Then, click Become a Consulting Partner.

Step 6 On the Fill in Business Information pane, specify Basic Information, Address,and Detail, add a contact, and select I have read and agree to HCPNCertification Agreement. Click Next.

If you have already contacted a HUAWEI CLOUD channel manager from the headquarter,select Yes, I am working with a channel manager from the Huawei headquarters. forWorking with HUAWEI channel manager in the Details pane. Otherwise, select No, I didnot contact any channel manager from Huawei. or Yes, I have contacted a channelmanager from the Huawei local representative office. based on the actual condition. Ifyou select an incorrect option, the application may be rejected.

Step 7 Select a partner tier, enter the required information, and click Next.

Step 8 Select I have read and agree to HUAWEI Cloud Solution Partner CooperationAgreement. The system also selects I would like to join the HCPN SolutionPartner Program.

You can also deselect I would like to join the HCPN Solution Partner Program to join asa solution partner later by following the instructions in Applying to Join the HCPNSolution Partner Program.

Step 9 Click Submit for approval.

When applying to become a consulting partner, you cannot change the user type throughreal-name authentication.

3.3 Applying to Become a Technology PartnerHUAWEI CLOUD enterprise customers can perform the following steps to apply tobecome technology partners.

Important NotesWhen an enterprise applies to become a Technology Partner, if the signing entityis different from that of HUAWEI CLOUD, the enterprise needs to contact thechannel manager to change the signing entity.

PrerequisitesYou have met the requirements for becoming a technology partner. For details, seeTable 3-2.

You can choose whether to upload proof materials as needed. Uploading the proofmaterials facilitates a quicker approval of the application.

When applying to become an advanced or premiertechnology partner, you must issue a declaration ofsupporting HUAWEI CLOUD on the partner website. Youcan upload the screenshot of the declaration as theproof.

Dedicated PartnerAlliance Managerfor HUAWEI CLOUD

When applying to become an advanced or premiertechnology partner, you must provide the number ofpartner managers responsible for HUAWEI CLOUDservices (at least one for the advanced tier and one forthe premier tier).

HUAWEI CLOUDOpenLab TechnicalValidation

When applying to become a premier technology partner,you must perform technology verification in the HUAWEICLOUD online lab.

Procedure

Step 1 Go to the homepage of the HUAWEI CLOUD official website.

Step 2 Click Log In to open the login page.

Step 3 On the login page, enter your username and password, and click Log In.

Step 4 Choose Partners > Become a Technology Partner.

Step 5 Click View the HCPN Technology Journey to switch to the HCPN TechnologyJourney page. Then, click Become a Technology Partner.

3.4 Requesting to Upgrade a Consulting PartnerConsulting partners are classified into four tiers: standard, advanced, premier, andstrategic. Different requirements are set for each partner tier. Partners can requestto upgrade to a higher tier when they meet the requirements.

● Consulting partners can request to upgrade to the advanced or a higher tier only afterthey have joined HUAWEI CLOUD Service Partner Program.

● To upgrade to the strategic tier, a consulting partner should request its channelmanager to apply for the promotion on their behalf. After the application is approved,the channel manager and the partner will receive an email notification.

Step 1 Use your account to log in to HUAWEI CLOUD.

4.1 Logging In to the Partner CenterAfter registering a HUAWEI CLOUD account and joining HCPN, an enterprise canuse the HUAWEI CLOUD account to log in to the Partner Center.

Procedure

Step 1 Go to the homepage of the HUAWEI CLOUD official website.

Step 2 Click Log In to open the login page.

Alternatively, you can choose Partners > Training and Support > Log In to the PartnerCenter from the navigation tree on the upper left of the HUAWEI CLOUD official website toopen the login page.

Step 3 On the login page, enter your account name and password, and click Log In.

PrecautionsEnterprise customers cannot apply to join the HCPN Solution Partner Program iftheir HUAWEI CLOUD accounts are in one of the following situations:

● Resources are provisioned for the account.● The account is in arrears.● The account has been associated with another partner as a sub-customer.● The account has been or is being used to apply to become a technology

partner.● The account is an enterprise primary account or enterprise sub-account.● The account has a credit account.● The account is being used for or has passed real-name authentication.

Precautions

Enterprise customers cannot apply to join the HMS Ecosystem Support Program iftheir HUAWEI CLOUD accounts are in one of the following situations:

● The consumption of the account exceeds 100 USD.● The account has a special contract that is taking effect.● After joining the HMS Ecosystem Support Program, do not apply for special

commercial contracts. Otherwise, the account will automatically exit theprogram.

After an enterprise joins the HMS Ecosystem Support Program, the consumptionof an HMS partner is collected on the fifth day of each month. If the consumption

5.1 Changing Your PasswordChange your password periodically to ensure account security.

Procedure

Step 1 Use your partner account to log in to HUAWEI CLOUD.

Step 2 In the drop-down list of your account name, click Partner Center to go to thePartner Center.

Step 3 In the navigation tree, choose Account Management > Basic Information.

Step 4 On the Account Information tab, click Manage next to Security Credentials.

Step 5 On the My Credential page, click Change next to Password.

Step 6 On the Change Password page, enter the Email Verification Code to verify youridentity. Enter the old password and the new password, and then confirm the newpassword.

To ensure your account security, change your password periodically. A password with astronger complexity is securer.

Click Change Logo. Then, click Upload and upload a new logo.

– Modifying the partner information

On the Partner Information tab, click Modify Partner Info. On theModify Information page, modify the basic information, registrationaddress, and contact information. Click OK to make the modificationstake effect.

On the Modify Information page, click Edit after Company Name toswitch to the Edit page. Enter the new company name, upload thesupporting document and new business license, and click OK. The systemdisplays message "Operation successful.", indicating that the companyname modification request has been submitted. After you submit thecompany name modification request, you can view the approval progresson the Account Management > Basic Information page.

If you have passed the business information authentication, you need to performthe business information authentication again after you modify your companyname. Otherwise, your settlement may be affected.

– Downloading the HCPN badgeClick Download HCPN Badge. In the Where to Use the HCPN Badgepane on the Download HCPN Badge page, select the HCPN badge usagescenarios and select I have read and agree to the HCPN Badge UsageGuide. Then, click OK to download the HCPN badge.

For consulting partners, they can switch to the Overview page and clickDownload HCPN Badge in Quick Links to switch to the page for downloadingthe HCPN badge.

You can set whether to enable the verification code function (disabled by default).After you enable this function, verification code will be required for some operations.For details, see Critical Operations. The verification code function is available forsolution partners only.

– Modifying the email address

On the Account Information tab, click Modify next to Email. On theChange Email Address page that is displayed, verify the identity andenter the new email address.

– Modifying the mobile number

On the Account Information tab, click Modify next to Mobile Number.On the Change Mobile Number page that is displayed, verify theidentity and enter the new mobile number.

● Setting notification receiving rules

You can choose Basic Information> Time Zone for Notifications to set thetime zone and the language for SMS/email notifications.

The system sends notifications during the working hours in the specified timezone. The time in the SMS messages and emails is displayed based on thespecified time zone.

5.3.1 Organization Members, Roles, and PermissionsA partner can create accounts for organization members and assign different rolesto organization members.

Relationship Between Organization Members, Roles, and Permissions

A role is a set of permissions that are combined as needed. Each role has specificpermissions and an organization member can have different roles.

For example:

If organization member A has role A and role A has permission B (the rolecreation permission), organization member A has the permission to create roles.

5.3.2 Adding a RoleA partner must assign a role to an organization member created. The organizationmember can have the default role or a custom role.

A partner can create 10 custom roles by default.

Procedure

Step 1 Use your partner account to log in to HUAWEI CLOUD.

Step 2 In the drop-down list of your account name, click Partner Center to go to thePartner Center.

Step 3 In the navigation tree, choose Account Management > OrganizationManagement.

Step 4 Click the Roles tab.

Step 5 Click Create Custom Role.

Step 6 Set the basic information about the new role.

Other Operations● Viewing Members of a Role

In the role list, click a number. In the Users with This Role dialog box that isdisplayed, you can see all the members that have this role.

● Viewing Details About a RoleFrom the role list, click View Details for a role in the Operation column. Onthe View Role Details page that is displayed, you can see the details aboutthe role.

● Modifying a Custom RoleFrom the role list, click Modify for a role in the Operation column. On theModify Role page that is displayed, you can modify the role settings.

● Deleting a Custom RoleWhen a role has 0 members, you can click Delete for the role in theOperation column. Then click OK to delete the role.

5.3.3 Adding a MemberA partner can create an organization member and assign a role to the newmember. After a role is assigned to a member, the member has permissionsowned by the role.

After creating a member, the partner needs to notify the member of the member'susername and password (for example, by email).

Step 1 Use your partner account to log in to HUAWEI CLOUD.

Step 2 In the drop-down list of your account name, click Partner Center to go to thePartner Center.

● After the business information certification is complete, you will receive email and textmessage notification. If your business information certification request is rejected, youwill see the reason. Please modify your business information and resubmit a certificationrequest.

● If you have failed the certification for three consecutive times, your certification requestwill be locked. If you want to continue the certification, please submit a service ticket tounlock the certification request.

● If the business information authentication failed, the system will send an authenticationfailure notification to you so that you can know the current authentication progress.When receiving an authentication failure notification, you can choose AccountManagement > Business Information to view the reason for the failure.

Step 8 (Optional) Click Download bank confirmation letter template, verify theinformation in the confirmation letter, and sign or stamp the letter.

Step 9 (Optional) Click Submit Bank Confirmation Letter and upload the copy of thesigned or stamped confirmation letter.

● After joining the HCPN Partner Program, you can obtain a certainnumber of vouchers based on your HCPN partner levels. For details,contact the HUAWEI CLOUD ecosystem manager.

● Pay by Voucher: Click Add Voucher/Promo Code, enter the voucher number,and click Apply. On the displayed page, the total order amount is USD 0.00.Click Next. The Submit Order page is displayed.

● Pay by Credit Card: Enter your credit card information in the specified textboxes and ensure that you have enabled the online payment function for yourcredit card. You can find the required information on both front and rear sidesof your card. The security code is the last three digits of the white signatureon the rear side. The default billing address is the examinee's office orresidential address. If the cardholder is not yourself, the billing address shouldbe changed to the cardholder's office or residential address. After entering theabove information, click Next.

2. Customer serviceFind contact information of Pearson VUE customer service of your region.Dial the phone number and ask a customer service representative to schedulean exam for you.

7.1 OverviewHUAWEI CLOUD solution partners are qualified to resell HUAWEI CLOUD to endcustomers. Solution partners can provide customers with products and servicesbased on HUAWEI CLOUD and obtain benefits from HUAWEI CLOUD.

Solution partners can develop customers in referral model or reseller model.

● Customers associated with a solution partner in referral model performtransactions directly with HUAWEI CLOUD, and HUAWEI CLOUD grants thesolution partner the discount right. HUAWEI CLOUD issues invoices to andcollects payments from the customers, and the solution partner obtains theincentives from HUAWEI CLOUD.

● Customers associated with a solution partner in reseller model performtransactions with the solution partner, and HUAWEI CLOUD makes settlementwith the solution partner. The solution partner issues invoices to and collectspayments from the customers, and HUAWEI CLOUD issues invoices to andcollects payments from the solution partner.

7.3 Reseller Model

Developing Customers

If a solution partner associates customers in reseller model, the solution partnercan provide the customers with products and services based on HUAWEI CLOUD.For details about how solution partners develop customers, see CustomerDevelopment.

Controlling the Budget

Solution partners can set a monthly budget for their reseller customers to managetheir consumptions. The budget is calculated based on the prices listed on theofficial HUAWEI CLOUD website and does not include the part deducted usingcash coupons. The customer budget will restore in next month. Solution partnerscan view their customers' monthly budget usage in the customer details page. Fordetails about how solution partners set monthly budgets for customers, seeSetting Monthly Budgets for Customers.

If the expenditure of a customer exceeds a certain percentage of its monthlybudget, the solution partner will receive a warning. The partner can adjust themonthly budget for the customer or freeze the customer account. After thecustomer account is frozen, the customer cannot purchase, renew the subscriptionto, or change cloud services, or properly use resources. Pay-per-use services thathave been provisioned are not affected. For details about how solution partnersfreeze customers' accounts, see Freezing a Customer Account.

The partner must set the monthly budget for the customer account and unfreeze it andthen the customer can purchase products and services properly.

Purchasing HUAWEI CLOUD Products

In addition, a solution partner can issue cash coupons to its reseller customersbased on its cash coupon quota granted by HUAWEI CLOUD. The referralcustomers can use the cash coupons when they purchase resources. For detailsabout how partners issue cash coupons to their reseller customers, see IssuingCash Coupons to Customers.

For details about how reseller customers query and use their cash coupons, seeViewing Cash Coupons and Using Cash Coupons.

The expenditure and related statistics displayed on the Billing Center page for a solutionpartner's customer are calculated based on the prices listed on the official HUAWEI CLOUDwebsite. These statistics are used as a reference for cloud service resource usage. The actualamount to be paid does not equal to the provided amount. The solution partner generatesthe customer bill based on the customer's actual expenditure and settles the bill with thecustomer.

Querying Customer Expenditures

After customers purchase HUAWEI CLOUD products and services, their partnerscan query the customers' expenditures in the partner center.

Before 12:00 on the fifth day of each month (Beijing time), HUAWEI CLOUDgenerates partner bills, bill details, and invoices of the last month. Partners settlethe bills with HUAWEI CLOUD.

A partner's bills contain only the expenditure data of its reseller customers because theconsumption subjects of reseller customers are themselves.

The monthly bill details of a solution partner contain the expenditure details ofthe partner's each customer. The partner can rate its customers based on the billdetails, generate the bills for the reseller customers, settle the bills with thereseller customers, and generate the invoices for the reseller customers.

The settlement rules between the solution partner and its reseller customers aredefined by the solution partner.

Revenues and Incentives

HUAWEI CLOUD calculates the revenues of a solution partner based on theincentive policy and distributes incentives to the solution partner accordingly. Fordetails about the partner revenue and incentive policies, consult the channelmanager of the region.

Step 3 In the navigation tree, choose Customer Business > My Customers.

Step 4 On the displayed page, select the target customer, and click Set Monthly Budgetin the Operation column.

● You can select multiple customers and click Batch Set Monthly Budget above thecustomer list. If you configure the budget in batches, the original budget setting will beoverwritten.

● To view the monthly budget adjustment record, click Adjustment Record on thedisplayed Set Monthly Budget page.

Step 5 Enter a value and click OK.

When a customer is associated with a partner by reseller model, the customer account isfrozen by default. When the account is frozen, the customer cannot purchase, renew thesubscription to, change, or properly use the resources. The partner can select UnfreezeAccount when setting the monthly budget for the customer to unfreeze the account.

A message is displayed indicating that the monthly budget has been setsuccessfully.

If partners have enabled the verification code function, a verification code is required toverify the identity.

Step 6 Click OK.

● Modifying discount informationOn the Create Discount page, modify the discount percentage and validityperiod. The new settings will replace the original ones.

If a discount has already taken effect, you can only modify its expiration time andpercentage.

● Deleting a discountSet the discount percentage to 0%.

● Viewing Discount Setting RecordsYou can view discount setting records in the Operation Records area of theCreate Discount page, including the operation type, product type, validityperiod, operator, time, and discount.

8.1.1.5 Viewing a Customer's ResourcesA partner can view each associated customer's pay-per-use and yearly/monthlyresources, and reserved instances.

8.1.2 Customer Development

8.1.2.1 Pre-registering Customers

Customer registration is a mechanism provided by HUAWEI CLOUD for partners toregister customers in advance to seize the customer development opportunities.This mechanism prevents conflicts between partners and between partners and e-commerce/direct salesperson.

A partner can pre-register potential customers. Within the validity period of pre-registration, the partner can send invitation links to pre-registered customers forthem to register and associate with the partner.

Precautions● The following types of customers cannot be registered:

– Customers already associated with partners– Customers who have been pre-registered by other partners– Customers who have signed contracts with HUAWEI CLOUD– Customers registered with HUAWEI CLOUD (China)– Customers who have cash spending records and have not been pre-

registered by e-commerce salesperson, direct salesperson, or otherpartners

by the direct salesperson– Customer's registration country is different from that of the partner– Customers who have registered for more than seven days, do not have

cash spending records, and have been pre-registered by e-commerce ordirect salesperson

● The maximum number of pending and pre-registered customers is 100. Whenthe maximum number is reached, the partner cannot pre-register anycustomers.

● The validity period of pre-registration is 15 days. A pre-registered customercannot be pre-registered by another partner until the current validity periodhas expired.

● When a partner pre-registers a customer, ensure to enter the email addressused by the customer to register its account.

● If a partner still wants to pre-register a customer who does not meet the pre-registration conditions, the partner needs to submit a manual review request.The review will be completed within two working days.

Procedure

Step 1 Use your partner account to log in to HUAWEI CLOUD.

Step 2 In the drop-down list of your account name, click Partner Center to go to thePartner Center.

Step 3 In the navigation tree, choose Customer Business > Customer Development.

Step 4 On the From Partner Center tab page, click Preregister Customer.

The Preregister Customer dialog box is displayed.

Step 5 Enter the customer's information and click OK.

You cannot delete customers whose status is Pending review or Associated.

A partner can send an email to invite a pre-registered customer for association.

Non-pre-registered customers are the partner's historical customers.

Referral: A customer signs a contract with HUAWEI CLOUD. HUAWEI CLOUD isresponsible for the customer's contracts, billing, and invoices, and the customer pays toHUAWEI CLOUD.

Reseller: A customer signs a contract with the partner. The partner is responsible for thecustomer's contracts, billing, invoices, and support services, and the customer pays tothe partner.

● Invitation links have a validity period. Notify invited customers of completingregistration within the validity period.

● Click Preview Email to view the invitation email content.

The system automatically sends invitation emails to customers. After receiving theinvitation emails, the customers click the links to register with HUAWEI CLOUDand associate with the partners. For details, see Requesting Association with aPartner.

8.1.2.3 Inviting Pre-Registered Customers by Hyperlinks or QR Codes

Except for sending emails, partners can send hyperlinks and QR codes to invitepotential customers.

A partner can invite a customer by the general/custom invitation link and QR codeor a promotional link.

You can also select multiple customers and click Resend Invite on the top of the customerlist to send new invitations to these customers in one batch.

In the Expenditures area, you can query the discount and expenditures of thecustomer of the month.

Click the amount next to Discount to view the discounts for the selected month onthe Discount Details page.

8.1.4 Assigning Customers to an Account ManagerA partner can assign customers to an account manager, and view or unassign theassigned customers.

An account manager can view the customers assigned by the partner on theCustomer Business > My Customers.

After an account manager is assigned for a customer, the account manager canmanage the customer. Specifically, the account manager can view the expenditurerecords of the customer, and the customer's consumption and revenues generatedduring the management period belong to the account manager.

Procedure

Step 1 Use your partner account to log in to HUAWEI CLOUD.

Step 2 In the drop-down list of your account name, click Partner Center to go to thePartner Center.

Step 3 In the navigation tree, choose Customer Business > Customer Assignment.

The Customer Assignment page is displayed.

If no account manager is available on the Customer Assignment page, choose AccountManagement > Organization Management > Create Member and add accountmanagers. For details, see Adding a Member.

You cannot select a customer who has already been assigned to an account manager. Youcan select Show Unassigned Customers to display all unassigned customers.

Step 7 Confirm the added customer in the customer list and click OK.

A message is displayed stating "Customers have been assigned successfully."

You can click Delete in the Operation column to delete an added customer.

Other Operations● Viewing the customer list

Click View Customers in the Operation column. On the View Customerspage, view the account manager information and the customers assigned tothe account manager.

● Unassigning customersAfter you remove the account manager, this customer will not be managed bythe account manager. The expenditures and revenue of this customer will nolonger be counted for the account manager.– Unassigning a single customer

Click View Customers in the Operation column. On the ViewCustomers page, click Unassign Customer in the Operation column.Then in the Unassign Customer dialog box, click OK.

– Batch unassigning customersClick View Customers in the Operation column. On the ViewCustomers page, select target customers and click Unassign Customers.Then in the Unassign Customer dialog box, click OK.

The unassignment will take effect on the 1st of next month (GMT +08:00). Thecustomer expenditures are still counted into this account manager before the effectivedate.

8.1.5.1 Viewing the Cash Coupon Quota

A partner can view the cash coupon quota.

Prerequisites

HUAWEI CLOUD has granted a cash coupon quota to you.

Procedure

Step 1 Use your partner account to log in to HUAWEI CLOUD.

Step 2 In the drop-down list of your account name, click Partner Center to go to thePartner Center.

Step 3 In the navigation tree, choose Customer Business > Coupon Management.

Step 4 On the Available Coupons tab page, view the cash coupon information.

Step 5 Click Details in the Operation column to view the coupon quota, balance,applicable products, issued coupons, and withdrawn coupons.

The Remarks information is visible only to you and invisible to customers. On theCustomer Business > Coupon Management page, click Operation Records to view thedetails.

Step 10 Click Submit.

A message is displayed indicating that the cash coupon has been issuedsuccessfully.

If partners have enabled the verification code function, a verification code is required toverify the identity.

8.1.5.3 Withdrawing Cash CouponsA partner can withdraw a coupon issued to a customer if the cash coupon hasbeen mistakenly issued or because of other reasons. After a coupon is withdrawn,the customer will not see the coupon.

If a customer is disassociated from a partner, all cash coupons issued by the partner to thecustomer will be automatically withdrawn.

PrerequisitesThe partner has issued a coupon to the customer.

Procedure

Step 1 Use your partner account to log in to HUAWEI CLOUD.

Step 2 In the drop-down list of your account name, click Partner Center to go to thePartner Center.

● In a withdrawal, all the balance of the cash coupon is withdrawn, and you cannotspecify part of the balance to withdraw.

● Cash coupons can be withdrawn in batches. Select multiple cash coupons and clickBatch Withdraw.

Step 6 On the Withdraw Coupon page, click OK.

After the withdrawal is successful, a message is displayed indicating the face valueof the withdrawn cash coupon.

After you withdraw a cash coupon, you can still view the cash coupon on the IssuedCoupons page.

If partners have enabled the verification code function, a verification code is required toverify the identity.

8.1.5.4 Viewing Operation Logs

The system logs the operations of issuing and withdrawing cash coupons. Partnerscan view and export these operation logs.

8.2.2 RepaymentAfter you set the budget for your customer and the customer purchase productsand services on HUAWEI CLOUD, HUAWEI CLOUD will generate and send you thebill and deducts the fee from your account balance to repay the bill. HUAWEICLOUD generates the bill at the fifth day of each month, and the billing cycle isone calendar month by default. If your account balance is insufficient, you can topup your account online or transfer money to repay the bill.

Precautions

If the signing entity is Huawei Services (Hong Kong) Co., Limited, you can top upyour account online or transfer money to repay the bill.

Online Payment

Step 1 Use your account to log in to HUAWEI CLOUD.

Step 2 In the drop-down list of your account name, click Partner Center to go to thePartner Center.

Step 3 In the navigation pane, click Overview.

Step 4 In the Amount Due area, click Repay.

8.2.3 Bill Management

8.2.3.1 Partner Bill Description

A partner bill is generated when the partner consumes resources on HUAWEICLOUD. The partner can repay or apply for an invoice based on the bill. Thepartner bill does not contain consumptions of the customers associated to thepartner by referral model.

In the reseller model, the partner is responsible for the customer's billing and invoicing, andHUAWEI CLOUD does not directly provide related services to the partner's customers.

Calculation Rule of the Amount Due

The calculation rule is as follows:

Amount Due = (Amount - Coupons Used) x (1 - Settlement Discount) + Tax

● Amount after Coupons = Amount - Coupons Used

● The tax calculation rule is determined based on the partner registration area. The taxincludes VAT, CGST, SGST, or IGST. The contained parts vary according to the region.

8.2.5.3 Applying to Issue Incentive Earnings

Partners can apply to HUAWEI for the incentive earnings. After receiving theincentive earning invoicing notification, partners need to create invoices and sendthe invoices and billing list to HUAWEI CLOUD. After reviewing and verifying theinvoices, HUAWEI CLOUD will issue the incentive earnings to the partners in theway selected by the partners. If a partner chooses to convert the incentiveearnings to coupons, no invoice will be required, and the system automaticallyallocates the coupons to the coupon balance of the partner.

HUAWEI CLOUD provides three incentive earning payment options: Transfer tobank account, Top up HUAWEI CLOUD account, and Exchange for a coupon.Partners can request for payment of all incentive earnings, single or partialpayment, or automatic payment.

Step 5 In the Request Payment dialog box, configure Payment Options.

● When you apply for incentive earnings payment, the system selects all the incentiveearnings to be applied for by default. If you want to apply for the payment of a singleincentive earning or part of the incentive earnings, select the required items.

● When you apply for the payment of a single incentive earning or partial incentiveearnings, if you choose to pay them in Transfer to bank account or Top-up HUAWEICLOUD account mode, you need to issue an invoice with the same amount as theapplied incentive earnings amount after each application.

● Apply for incentive earnings timely because they are valid for only one year.● If you choose Transfer to bank account or Top-up HUAWEI CLOUD account, the

incentive earning status will change to Processing Request after you submit therequest, and then change to Pending Partner Invoice after the system processing iscomplete.

● If you select Exchange for a coupon, the system will automatically allocate the couponsto your account on the same day that you request for the incentive earnings.

● If you select Transfer to bank account, you submit a payment request when the amountreaches $2000 USD.

● If you have a negative incentive earning, this item is selected by default and cannot bedeselected. The negative amount will be first deducted before the incentive earnings arepaid.

● Expired incentive earnings cannot be paid. Incentive earnings attached to an applicationrejected while pending submission are no longer subject to expiry.

● If you select monthly rebate, you can select Transfer to bank account, Top-up HUAWEICLOUD account, or Exchange for a coupon for paying your incentive earnings; if youselect quarterly rebate, you can select Transfer to bank account or Exchange for acoupon for paying your incentive earnings.

Step 6 In the displayed dialog box, click OK.

The system displays a message indicating that the operation is successful.

Step 7 (Optional) Enable automatic payment.

After you enable this function, the system will automatically pay the incentive earnings toyour account on the fifth day after the incentive earnings records were generated.In addition, if you select Transfer to bank account and the incentive earnings are less than$2000 USD, you can wait until the total earnings reach the amount before submitting arequest.

2. Click View Details in the Operation column. In the Requisition Details page,you can view information such as Incentive Earnings and Incentive EarningDetails.

3. Click View Billing List in the Operation column. In the View Billing Listpage, you can view and print the billing list. For details, see 8.2.5.4 CreatingInvoices for Incentive Earnings.

You can specify Period and click Search to query all incentive earning applicationrecords in this period.

Step 9 (Optional) View the request rejection cause.

If your request was rejected, you can click the Incentive Earnings tab and clickView Causes of Rejection in the Operation column. In the displayed dialog box,you can view the rejection cause details.

8.2.5.4 Creating Invoices for Incentive EarningsAfter receiving the incentive earning invoicing notification from HUAWEI CLOUD,partners need to create the invoices for the incentive earnings and sends theinvoices and billing list to HUAWEI CLOUD.

Partners can create only special VAT invoices for the incentive earnings.

Procedure

Step 1 Create invoices offline based on the information provided in the invoicingnotification email. The template is as follows.

Alternatively, you can log in to the Partner Center and choose Financial Information >Incentive Management > Request Records. Click View Billing List in the Operationcolumn of the target incentive earning to switch to the View Billing List page.

Step 3 Partners can view the mail address in the billing notification email or the notes onthe View Billing List page, and send the invoices and billing list to HUAWEICLOUD.

After HUAWEI CLOUD reviews and verifies the invoices, it will issue the incentive earningsto you in your selected way.

8.2.6 Invoice ManagementHUAWEI CLOUD will automatically create corresponding invoices after generatingthe bills for the partner. The system normally creates the invoice of the previousmonth on the fifth day of the current month.

You can view and download the created invoices.

In addition, you can add or modify your invoice information. Then, the system willcreate the invoices based on your configured information.

If the invoice issued by HUAWEI CLOUD for the partner contains withholding tax(WHT), the partner needs to upload WHT certificates to HUAWEI CLOUD.

Step 2 In the drop-down list of your account name, click Partner Center to go to thePartner Center.

Step 3 In the navigation pane, choose Financial Information > Invoices.

View the invoices created by HUAWEI CLOUD.

● If you find that not all invoices are created, click here in the note, and enter the invoicecreation information and upload the expenditure bill on the Create Service Ticket pageto create an invoice creation service ticket.

● If you need to return an invoice, click here in the note, enter the invoice returninginformation and upload a picture or scanning copy of the original invoice on the CreateService Ticket page to create an invoice returning service ticket.

Step 4 Click Download in the Operation column to download the invoices.

Alternatively, you can choose Financial Information > Partner Bills, click Invoice No in theMonthly Bills area, and then download the invoices.

You can use the invoice change function to generate new invoice information.

9 Operations of Sub-customers of SolutionPartners

9.1 Requesting Association with a PartnerCustomers can contact HUAWEI CLOUD partners to obtain invitation links or QRcodes. Then customers can click the links or scan the QR codes to complete theregistration and association. The associated customers can buy products at thediscounts offered to their partners.

Precautions● Each customer can be associated with only one partner.

● A customer with the HUAWEI CLOUD account in arrears cannot be associatedwith any partner.

● A customer cannot be associated with a partner if the customer has signed aspecial contract with HUAWEI CLOUD, such as an offline directly-signedcontract, authorized telemarketing contract with discounts, and directly-signed special offer contract.

● A customer who has signed a professional service contract with HUAWEICLOUD cannot be associated with a partner by reseller model.

● The account to be associated cannot be a consulting partner account in use orpending approval.

● A HUAWEI CLOUD account that has been registered for more than seven dayscannot be associated with a partner.

● A HUAWEI CLOUD account that has consumption records or is provisionedwith resources cannot be associated with a partner by reseller model.

● An enterprise member account can be associated with a partner by resellermodel only after it is dissociated from its enterprise master account.

● An enterprise master account cannot be associated with a partner by resellermodel.

● A customer with an internal HUAWEI CLOUD account cannot be associatedwith any partner.

● If the signing entity of the customer is different from that of the partner, thecustomer cannot be associated with the partner by referral mode.

● If the registration country of the customer is different from that of thepartner, the customer cannot be associated with the partner by referralmodel.

● HUAWEI CLOUD customers whose reserved instances are not expired cannotbe associated with any partner by reseller model.

● After a customer is successfully associated with a partner in the customerresale mode, the customer account is automatically frozen. In this state, thecustomer cannot purchase, renew subscription to, or change resources, orproperly use the resources. A customer must contact a partner to set amonthly budget for the customer and unfreeze the account to ensure thatservices can run properly.

A customer who does not meet the preceding requirements can contact the customerservice or submit a service ticket to request to associate with a partner by reseller model.

Procedure

Step 1 Click the invitation link sent by the partner or scan the QR code sent by thepartner.

Step 2 Read the Instructions for Associating with a HUAWEI CLOUD Partner and select Ihave read and agree to the terms and conditions.

This step is required only for the reseller model.

Step 3 Associate with the partner.

a. Click Login for Association.b. On the login page, enter your account name and password, and click Log

9.2 Disassociating from a PartnerA customer can disassociate from a partner using a service ticket.

● A partner or the partner's customer manager cannot submit a service ticket todisassociate a customer from its partner.

● For customers associated with the partner in Reseller mode, they cannot apply todisassociate from the partner if they are in one of the following conditions:● The customer has been associated with an enterprise master account or member

account. In this condition, the customer needs to dissociate from the account firstand then disassociate from its partner.

● The customer account has overdue payment. In this condition, the customer needsto contact its partner to increase the credit to write off the arrears first and thenapply to disassociate from its partner.

● The customer has a reserved instance or a product in the partner support plan thathas not expired. You need to unsubscribe from the reserved instance or the productbefore applying for disassociation.

Step 2 Obtain an email from the partner proving that the partner agrees to cancel theassociation.

The email template is as follows:Sender: Registered email address of the partner. The email address must be the same asthat in Basic Information > Account Information > Email.Recipient: Email address of the customerEmail subject: Approving HUAWEI CLOUD account xxxx to disassociate from partneraccount xxxxEmail body: HUAWEI CLOUD Partner (account XXXX) agrees to cancel the association withthe customer (account: XXXX). As a HUAWEI CLOUD partner, we clearly know the impact ofthe disassociation and bear the possible consequences. We hereby authorize HUAWEICLOUD to cancel the association with the customer (account: XXXX).

Step 3 Use the customer account to log in to HUAWEI CLOUD.

Step 4 Choose Service Tickets > Create Service Ticket.

The Create Service Ticket page is displayed.

Step 5 Choose Partners > Partner Registration and submit the service ticket.

An email screenshot proving that the partner agrees to cancel the association with youmust be provided as an attachment in the service ticket.

9.3 Topping Up a HUAWEI CLOUD AccountCustomers associated with partners in the Referral model can top up theirHUAWEI CLOUD accounts in the Billing Center.

For customers associated with partners in the Reseller model, they need to contactthe partners to adjust the monthly budgets for the customer accounts.

Procedure

Step 1 Use your customer account to log in to HUAWEI CLOUD.

Step 2 In the drop-down list of your account name, click Billing Center.

The Overview page of the Billing Center is displayed.

Step 3 In the Balance area, click Top Up or Repay..

Step 4 Select a top-up method and enter the top-up amount.● Online Payment

Enter a top-up amount. Click Next. You are redirected to the payment page.Complete the payment process.

9.4.2 Using Cash CouponsA customer can directly use cash coupons issued by the partner to pay orderswithout a need to activate the cash coupons.

The method for using cash coupons issued by the partner is the same as that forusing cash coupons issued by HUAWEI CLOUD. When a customer pays an order,the system automatically obtains all the available cash coupons. If a customer hascash coupons but these cash coupons do not meet the order conditions, they areunavailable.

Precautions● Only one cash coupon can be used for an order. When there is more than one

cash coupon available, select the desired one, or click Cancel to use no cashcoupons.

● After a cash coupon has been used to pay an order and still has a balance,the balance can still be used within the validity period of the cash coupon. If acash coupon alone cannot pay off an order, the deficiency is deducted fromthe customer's cash account.

● Yearly/monthly cash coupons are used for yearly/monthly products only. Pay-per-use cash coupons are used for pay-per-use products only, and areredeemed before deducting fees from the customer's cash account. Commoncash coupons can be used for both yearly/monthly and pay-per-use products.

● Cash coupons are only used to purchase products on HUAWEI CLOUD but noton the Marketplace. For details, see the usage instructions of each cashcoupon.

● Cash coupons cannot be used to clear arrears.● Cash coupons that expired more than six months ago are not displayed.● Cash coupons with limited discounts are not applicable to products offered

with authorized discounts.

ProcedureSelect an available cash coupon when paying an order.

9.5 Using Discounts Granted by the Partner

9.5.1 Viewing DiscountsCustomers associated by Referral model can view the discounts granted by theirpartners.

Precautions● The discounts granted by partners are applicable to list-price products and

promotional products.– Standard products: Pay-per-use products, monthly products, one-year

reserved instances, and normal one-year products listed on HUAWEICLOUD website (https://intl.huaweicloud.com/en-us/)

– Promotional products: Promotional products, three-year reservedinstances, , Direct Connect, and Spot ECSs listed on the HUAWEI CLOUDwebsite (https://intl.huaweicloud.com/en-us/)

The discounts are not applicable to the following products:– Spot ECSs– Marketplace products

● Discounts granted by a partner cannot be used together with commercialdiscounts (special-offer contracted discounts), promotional discounts, andadjusted prices.

If the partner has set a discount for a customer's order, the customer cannot use otherdiscounts when paying the order.

Procedure

When paying an order, select Partner Discounts and complete the payment.

Follow-up Operation

Click a completed order and view the discounts on the Details page.

9.6 Buying HUAWEI CLOUD Products

12.1.1 HCPN Certification AgreementTo download this agreement, click HCPN Certification Agreement.

This Huawei Cloud Partner Network Certification Agreement (hereinafter"Agreement") is made by and between Huawei Services (Hong Kong) Co., Limited(hereinafter "Huawei Cloud", "we", "us", or "our") and you or the entity yourepresent (hereinafter "you" or "your") regarding your use of the Huawei cloudpartner network ("HCPN") and related websites through which Huawei Cloud mayprovide you with access to products, documents and information related to aprogram Huawei Cloud offered to its partners. If you enter into this Agreement onbehalf of an entity, you represent and warrant that you have the requisite powerand authority to do so and to bind the entity to the terms and conditions of thisAgreement. This Agreement takes effect as of the date you accept this Agreementon our website and will be binding on you from the said date ("Effective Date").

You and Huawei Cloud are each referred to as a "Party" and collectively as"Parties" hereunder.

1.1 Participate in the HCPN: To participate in the HCPN, you shall create anaccount through https://www.huaweicloud.com/intl/partners/, complete theapplication and be bound by the terms and conditions of the applicable CustomerAgreement at https://www.huaweicloud.com/intl/declaration/sa_cua.html.

1.2 HCPN benefits: The HCPN gives access to (a) our content, information, salestools, documentation and other resources ("HCPN Resource"); (b) our offers,incentives, and programs ("HCPN Program") and (c) our services, products andtechnologies ("the Services") for you to deliver great solutions to your customers.

1.3 Your Permission: Huawei Cloud will administer the HCPN and its benefits fromtime to time and you give us permission to communicate with you to (a) send youpromotional information in terms of the HCPN; (b) collect, use, disclose, share,

process and retain any information, personal or otherwise, that you provide to usin connection with the HCPN.

1.4 Additional Terms: This Agreement applies to your HCPN partnership and anyHCPN program you may join in future, but it does not authorize you to distribute,resell or use the Services. In order to distribute, resell or use the Services, you shallalso participate in the related HCPN Program and additional terms will be appliedunder such program. In the event of conflict between this Agreement and theterms of a certain program, the terms of the certain program shall govern suchprogram.

2. Proprietary Rights and Restrictions

2.1 Your Marks We may disclose your name, website, and other general contactinformation on our website, which is available at https://www.huaweicloud.com/intl. You grant us and our Affiliates a non-exclusive, non-transferable, worldwide,royalty-free license to use any tradename, trademark, and other logo or domainname that you provide to us in connection with HCPN or HCPN Program ("YourMarks").

2.2 Your Material You may use, reproduce and incorporate into portions of yourown materials ("Your Material") into HCPN Resource solely for your businesspurposes contemplated under the HCPN during the term of this Agreement. If youprovide Your Material to us, you grant us and our Affiliates a non-exclusive,worldwide, royalty-free license to reproduce, publish, distribute, modify andtranslate all or any part of Your Material in connection with the HCPN.

2.3 Huawei Cloud Marks With our prior written approval, you may use ourtrademarks, tradenames, trade dress, designs, slogans and logos ("Huawei CloudMarks") under a non-exclusive, non-transferable, worldwide, royalty-free licensesolely in connection with the performance under this Agreement.

2.4 Third Party Content Your use of content, software, products or services that areprovided or supported by third parties ("Third Party Content") and provided to youby us, is on an "as is" basis and without any warranty from Huawei Cloud. If thereis any conflict between this Agreement and the terms of Third Party Contentprovider, this Agreement shall prevail.

2.5 Necessary Right: You hereby confirm that you have and, if not, that you willobtain and maintain all rights and authorizations necessary to grant us and ourAffiliates access, usage rights and the requisite licenses, as set out herein above toYour Marks and Your Material. We will ensure that we have all right necessary togrant the Huawei Cloud Marks to you.

3. Non-disclosure

3.1 Definition of Confidential Information. "Confidential Information" means allinformation disclosed by a party ("Disclosing Party") to the other party("Receiving Party"), whether orally or in writing, that is designated as confidentialor that reasonably should be understood to be confidential given the nature of theinformation and the circumstances of disclosure. Confidential Information shallnot include information that: (a) is or becomes generally known to the publicthrough no act or omission of the other Party; (b) was in the other Party's lawfulpossession prior to the disclosure without breach of confidentiality obligationsowed to the disclosing party; (c) is lawfully disclosed to the other Party withoutrestriction on the disclosure; or (d) is independently developed by the other Party.

3.2 Protection of Confidential Information. Each Party agrees to keep the otherParty's Confidential Information in confidence during the term of this Agreementand for a period of five years thereafter. Each Party agrees to take appropriatemeasures to protect the other Party's Confidential Information but in no event beless than the degree of care that it uses to protect its own confidentialinformation. The Receiving Party may only disclose the Confidential Information toits employees, agents or subcontractor who have a need to know and who aresubject to confidentiality obligation no less than the degree of protection asrequired herein. Each Party may only use the other Party's ConfidentialInformation for the purpose of performing this Agreement, unless otherwiseauthorized by the other Party. Notwithstanding anything to the contrary, eachParty may disclose the other Party's Confidential Information in a legal proceedingor to a governmental entity as required by law.

4. Indemnification

4.1 Indemnification by us. If a third party makes a claim against you that theServices provided by us and used by you infringe its intellectually property rights,we will, at our cost, defend you against the claim and indemnify you from thedamages, costs and expenses provided that you (a) promptly notify us in writingof such claim; (b) give us sole control of the defense and settlement negotiationof the claim; and (c) provide us with all reasonable information, authority andassistance necessary for us to defend against or settle the claim. We may at oursole and absolute discretion (a) modify the Services to be non-infringing whilesubstantially preserving its functionality; and/or (b) obtain a license to allow forcontinued use; and/or (c) terminate the provision of the Service and refund thefees prepaid for unused Services upon prior written notice. We will not indemnifyyou if (a) the claim is caused by the use or combination of the Services or anypart thereof with software, hardware and/or content not provided by us; (b) theclaim arises from Your Material, Third-Party Content, or your breach of thisAgreement; (c) you alter the Services or use it outside the scope of use or theterms of this Agreement; or (d) you fail to use the updated version of the Service,or fail to implement the recommendations from us, if the infringement claimcould have been avoided by using an unaltered current version or implementingthe recommendations we provided.

4.2 Indemnification by you. If a third party makes a claim against us based on thefact that (a) our use of Your Material or Your Marks in accordance with thisAgreement or the combination of Your Material with our Services infringes thethird party's intellectually property rights, or (b) Your use of the Services in anunlawful manner or in violation of this Agreement, you shall, at your cost, defendus against the claim and indemnify us from all the damages, costs and expenses.You will however not reach any settlement in this regard without our prior writtenapproval.

4.3 Exclusive Remedy. This Indemnification section provides the Parties' exclusiveremedy for any infringement claims.

5. Limitation of Liability

5.1 DIRECT LOSS ONLY. TO THE EXTENT PERMITTED BY LAW ANDNOTWITHSTANDING ANY OTHER AGREEMENT BETWEEN THE PARTIES, IN NOEVENT WILL EITHER PARTY OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT,INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES(INCLUDING DAMAGES FOR LOSS OF REVENUES, PROFITS, OPPORTUNITIES,CUSTOMERS, GOODWILL, REPUTATION, DATA OR DATA USE), EVEN IF A PARTY

5.2 LIMITATION OF LIABILITIES. NOTWITHSTANDING ANY OTHER AGREEMENTBETWEEN THE PARTIES, OUR MAXIMUM AGGREGATE LIABILITY UNDER THISAGREEMENT TOGETHER WITH OUR AFFILIATES, WHETHER IN CONTRACT, TORTOR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOUHEREUNDER FOR THE SERVICES GIVING RISE TO THE LIABILITY DURING THETWELVE (12) MONTHS IMMEDIATELY PRIOR TO THE EVENT GIVING RISE TOSUCH LIABILITY.

6. Disclaimers

THE INFORMATION PRESENTED ON OR THROUGH THE WEBSITE REGARDINGTHE HCPN, WHICH INCLUDES BUT IS NOT LIMITED TO HCPN PROGRAM ANDTHIRD PARTY CONTENT IS SOLELY FOR GENERAL INFORMATION PURPOSES. WEDO NOT WARRANT THE ACCURACY, COMPLETENESS OR USEFULNESS OF SUCHINFORMATION. WE DISCLAIM ALL LIABILITY AND RESPONSIBILITY ARISINGFROM ANY RELIANCE PLACED ON SUCH INFORMATION. THIS INFORMATION ISPROVIDED ON AN "AS-IS" BASIS AND BEAR NO WARRANTY.

7. Term, Suspension and Termination

7.1 Term. The term of this Agreement will commerce on the Effective Datespecified hereunder and remains in force unless terminated in terms of this clause7.

7.2 Termination.

(a) This agreement will automatically terminate upon any termination of theapplicable Customer Agreement.

(b) Either Party may terminate this Agreement, without cause, by way of a 90days' prior written notice to the other.

(c) Either Party may terminate this Agreement if the other Party breaches anymaterial term of this Agreement and fails to cure the breach within 30 days fromreceipt of the notice from the other Party demanding remedy / cure.

7.3 Effect of Termination

If this Agreement is terminated, you shall immediately cease to use HuaweiResources and immediately cease to identify yourself as a partner of HCPN.

8. Force Majeure

Neither Party shall be liable for any delay for failure to perform this Agreementcaused by force majeure event beyond reasonable control, including but notlimited to acts of God, earthquake, storms, act of war, hostility, sabotage, act ofgovernmental order electrical, internet or telecommunication outage, blockages,embargoes, riots. Both Parties will use reasonable efforts to mitigate the effect ofa force majeure event. If such event continues for more than 60 days, either Partymay cancel unperformed Services and the affected orders upon written notice.This section does not excuse your payment obligations hereunder if any.

9. Governing Law and Jurisdiction

This Agreement is governed by the laws of Hong Kong, without regard to itsconflict of law principles. Each Party agrees to submit the dispute to Hong Kongcourt.

10. Entire Agreement

This Agreement incorporates the documents and policies by reference (includingreference to information contained in a URL or referenced policy), and is the entireagreement between you and us regarding the HCPN. This Agreement supersedesall prior or contemporaneous representations, communications, understandingsand agreements between you and us, whether in written or oral, regarding theHCPN.

11. Modifications

We may modify this Agreement, its terms and conditions, including thedocuments, URLs and policies referenced herein at any time and at our sole andabsolute discretion by posting a revised version on the Huawei Cloud website orby otherwise notifying you. Except otherwise indicated in the modified agreement,documents or polices, the modified terms will come into effect upon posting onthe Huawei Cloud website. By continuing to access or use the Service afterrevisions become effective, you agree to be bound by the terms of the revisedversion.

12. Miscellaneous

12.1 Relationship. Each Party is an independent contractor. This Agreement doesnot create any partnership, joint venture, agency or employment relationshipbetween the Parties.

12.2 Non-assignment. You will not assign or otherwise transfer all or part of thisAgreement to any third party, including your Affiliates, without prior writtenconsent from us. We may assign this Agreement without your consent to ourAffiliate(s) in connection with or as part of a corporate reorganization. We willnotify you, by posting announcement on our website or through other means,prior to the effectiveness of such assignment. Upon the effectiveness of suchassignment, this assignor is fully released from all and any of its obligations andduties to perform the Agreement and the assignee will be deemed substituted forus.

12.3 No Third Party Beneficiary. No third party beneficiary relationships arecreated by or under this Agreement.

12.4 Export. In connection with this Agreement, both Parties shall comply with theapplicable export and sanction laws and regulations of United Nations, China,Unites States and other countries. You represent and warrant that you and/or yourcustomers and/or end users are not subject to sanctions or otherwise designatedon any list of prohibited or restricted parties, including but not limited to the listmaintained by the United Nations Security Council, the United States Government,the European Union or its Member States. You shall be solely responsible forcompliance related to your subscription, access and use of the Services, includingbut not limited to Your Material you uploaded, processed, provided and/or made itavailable to your customers and end users.

12.5 Notice. We may provide notice to you under this Agreement by posting anotice on the Huawei Cloud website, or by email or text. Notice we provide byposting on the Huawei Cloud website will be effective upon posting, by email will

be effective upon sending out (no matter you receive or read it), by text uponsending out. You shall be responsible to keep your email address or phone numberupdated.

12.6 No Waivers. Failure to enforce any provision of this Agreement will notconstitute a waiver of such provision or right in any way or form and will not limitthe right to enforce such provision at a later time. All waivers shall be explicitlymade and in writing to be effective.

12.7 Severability. If any term of this Agreement is found to be invalid andunenforceable, the remaining terms of this Agreement will remain effective, andthe invalid or unenforceable term will be replaced with another term consistentwith the purpose and intent of this Agreement.

13. Definition

13.1 "Affiliate" means any company or other legal entity which owns and controlsa Party or in which a Party owns or controls or which is under common controlwith a Party, directly or indirectly, by at least fifty percent (50%) of the votingshares or other equity interests of a business organization or has the ability todirect the management and policies of a business organization through equityownership, contract or other means.

This Huawei Cloud Solution Partner Cooperation Agreement (hereinafter"Agreement") is made by and between Huawei Services (Hong Kong) Co., Limited(hereinafter "Huawei Cloud", "we", "us", or "our"), and you or the company yourepresent (hereinafter "Solution Partner", "you" or "your") regarding the resellingby you of Huawei Cloud services ("the Services"). If you enter into this Agreementon behalf of an entity, you represent and warrant that you have the requisitepower and authority to do so and to bind the entity to the terms and conditionsof this Agreement. This Agreement takes effect as of the date you accept thisAgreement and will be binding on you from said date ("Effective Date").

You and Huawei Cloud are each referred to as a "Party" and collectively as"Parties" hereunder.

1. Solution Partner Rights

1.1 Resale Rights. Subject to the terms and conditions of this Agreement, HuaweiCloud authorizes Solution Partner a non-exclusive, non-sublicensable, non-transferable right to resell the Services or combine the Services to its own solutionand resell a solution package(s) to End Users in the authorized sales territory (asdefined in clause 1.4).

1.2 Use of Services. Solution Partner's access and use of Services will be governedby the terms and conditions of the Huawei Cloud Customer Agreement, which isavailable at https://www.huaweicloud.com/intl/declaration/sa_cua.html("Customer Agreement").

1.3 Solution Partner Account. The account that you created for participating in theHuawei Cloud Partner Network will be the account to access and use the Services

("Solution Partner Account"). You may allow the End Users to connect to yourSolution Partner Account in accordance with the Terms of Service for HuaweiCloud Solution Partner, which is available at https://www.huaweicloud.com/intl/declaration/hcpn_ts.html.

1.4 Authorized Sales Territory. The Authorized Sales Territory is worldwide. In anemergency situation, we may remove a country, region or territory from theAuthorized Sales Territory by giving you written notice, and you shall ceaseoffering or selling the Services to the End User in the mentioned country, region orterritory upon receiving such notice. For the purpose of this Agreement,emergency situations will be, including, but not limited to, situations: (a) that willbring security threat to Huawei Cloud, Solution Partner or End User in that region,country or territory; (b) that will or may lead to non-compliance in the applicablelaw or request from the government authorities by Huawei Cloud, SolutionPartner or End User; (c) Huawei cloud deems to be an emergency situation.

1.5 Direct Resale. This Agreement merely authorizes you to resell directly to EndUser. Additional terms shall be agreed by the Parties if you intend to sell theServices through an additional tier or additional multiple tiers of distributor orreseller.

1.6 Support. You shall provide service to the End Users regarding the Services andare responsible for all support issues related to the Services purchased by EndUsers. You further agree to follow the Huawei Service Guideline during the processof service provision. Huawei Service Guideline is available at https://support.huaweicloud.com/intl/en-us/index.html.

We will provide you with Partner Premium Support to assist your service provisionto your End Users. You may register for the Partner Premium Support, which isavailable at https://www.huaweicloud.com/intl/service/protection.html. Underno circumstances however shall we be named as the support contact to End Users.You shall be the named contact for support issues and provide support to EndUsers directly.

2. Solution Partner Obligations

2.1 General. You must not cause or permit others to:

a. Distribute or resell the Services in any manner except as expressly provided inthis Agreement;

b. Remove or modify any program markings or any notice of Huawei's or itslicensors' proprietary rights;

c. Modify, make derivative works of, disassemble, decompile, reverse engineer,reproduce, distribute, republish or download any part of the Services (theforegoing prohibitions include but are not limited to review of data structures orsimilar materials produced by programs) or access or use the Services in order tobuild or support, and/or assist a third party in building or supporting, products orservices competitive with Huawei Cloud;

d. Perform or disclose the results of any benchmark or penetration tests of theServices;

e. Perform or disclose any of the following security testing of the Services orassociated infrastructure: network discovery, port and service identification,vulnerability scanning, password cracking, remote access testing, or penetrationtesting;

f. Make any representations, warranties and other statements on Huawei Cloud'sbehalf or that are likely to be construed by a reasonable End User as being madeon behalf of Huawei Cloud, except as expressly directed in writing by HuaweiCloud;

g. Engage in any conduct that may be detrimental to Huawei Cloud or to theServices; and

h. Enter into any agreement which requires Huawei Cloud to take any actions thatare in conflict with the terms of this Agreement.

2.2 End User Agreement Solution Partner shall enter into an agreement with EndUser for End User's use of and access to the Services. Solution Partner shall makesure the terms and conditions of that agreement are in line with and consistentwith the terms and conditions of this Agreement and in addition, Solution Partnershall have End User sign the End User License Agreement which is available athttps://www.huaweicloud.com/intl/declaration/hcpn_eula.html.

2.3 End User Information On a monthly basis, Solution Partner shall provide thefollowing information related to End User to Huawei Cloud: (a) the contactinformation of the End User, which includes the End User's name, telephonenumber, email address and office address, and (b) End User' s account ID relatedto the Services. The information may be used for Huawei Cloud to enforce the EndUser License Agreement in the event the End User breaches the terms andconditions therein, to monitor the account or to make sure a smooth transition (ifany). In addition, if the Services include any third party software or solution,Huawei Cloud may need to disclose the End User's contact information to suchthird party as required.

3. Pricing, Taxes, Invoicing and Payment

3.1 Pricing. The pricing and applicable discount and/or rebate for each program isavailable at https://www.huaweicloud.com/intl/partners/#partner-plan.

3.2 Taxes. Each Party is responsible, as required under applicable laws andregulations, for identifying and paying all taxes and other governmental fees andcharges (and any penalties, interest, and other additions thereto) that are imposedon that Party upon or with respect to the transactions and paymentscontemplated under this Agreement. If any other taxes (including but not limitedto cross-board tax withholding) are required by law to be levied on any payment,you shall make extra payments to ensure that we would have received paymentequal to the amount no taxes had been required. In such circumstances, you willuse reasonable efforts to minimize any such taxes to be withheld to the extentlegally allowed (including to the extent allowed by the operation of any applicabledouble taxation agreements or treaties) including the filing of any documentswith any relevant taxation authority. You agree to provide us with evidence(s)upon request that any such withholding tax has been timely and properly remittedto the relevant tax authorities.

3.3 Invoicing. Within five business days after the end of each calendar month,Huawei Cloud will issue invoices based on all fees incurred by Solution PartnerAccount, less the value of the discount, if any. By default, the electronic invoice isapplied. If Solution Partner requires the paper invoice, two parties may discuss andwork out a solution.

3.4 Payment The fees will be paid within 30 calendar days after receipt of invoice,unless otherwise specified, the payment will be in US dollars.

4. Records

Solution Partner shall maintain accurate and complete books and records in termsof the operation of this Agreement. Huawei Cloud or its agent shall have the rightto inspect such books and records to verify Solution Partner's compliance with thisAgreement. Such right to inspect is subject to Huawei Cloud giving seventy-two(72) hours prior written notice to Solution Partner and is conducted duringSolution Partner's normal business hours and in such manner as not to interferewith normal business activities.

5. Intellectual Property

5.1 Intellectual Property Rights. We and our licensors retain all ownership andintellectual property rights in and to the Services, and anything developed ordelivered by or on behalf of us under this Agreement. This Agreement shall notgrant any other right to you, other than those rights specifically described in thisAgreement

5.2 Huawei Cloud Marks. Solution Partner acknowledges that Huawei Cloud'strademarks, tradenames, trade dress, designs, slogans and logos utilizedworldwide in connection with Huawei Cloud ("Huawei Cloud Marks") are theproperty of Huawei Cloud and/or its Affiliates. Subject to the terms and conditionsof this Agreement,Huawei Cloud grants Solution Partner a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable, royalty free license touse and reproduce the Huawei Cloud Marks solely in connection with theperformance of Partner's obligations under this Agreement or as Huawei Cloudmay expressly authorize in writing from time to time.

5.3 Solution Partner Marks. Huawei Cloud acknowledges that Solution Partner'strademarks, tradenames, trade dress, designs, slogans and logos utilizedworldwide in connection with Solution Partner's product or service ("PartnerMarks") are the property of Solution Partner and/or its Affiliates. Subject to theterms and conditions of this Agreement, Solution Partner grants Huawei Cloud alimited, personal, non-exclusive, non-transferable, non-sublicensable, revocable,royalty free license to use and reproduce the Partner Marks solely in connectionwith the performance of Huawei Cloud's obligations under this Agreement or asPartner may expressly authorize in writing from time to time.

5.4 Comply with Trademark Guidelines. Each Party will comply with all marksrules, branding guidelines and other rules and procedures in its use andreproduction of the other Party's Marks. Any violation of this Section shallconstitute infringement of the other Party's rights and a material breach of thisAgreement. 5.5 Advertising. In the event that the Solution Partner intends to advertise topromote the Services, Solution Partner shall ensure that all the materials complywith the Huawei Advertising Guidelines, which is available at https://www.huaweicloud.com/intl/declaration/hcpn_ads.html, this Agreement, andService Terms, which is available athttps://intl.huaweicloud.com. Solution Partnershall submit the materials to Huawei Cloud for review prior to the publication ofthe advertisement.

6. Non-disclosure

Confidential Information shallnot include information that: (a) is or becomes generally known to the publicthrough no act or omission of the other Party; (b) was in the other Party's lawfulpossession prior to the disclosure without breach of confidentiality obligationsowed to the disclosing party; (c) is lawfully disclosed to the other Party withoutrestriction on the disclosure; or (d) is independently developed by the other Party.

6.2 Protection of Confidential Information. Each Party agrees to keep the otherParty's Confidential Information in confidence during the term of this Agreementand for a period of five years thereafter. Each Party agrees to take appropriatemeasures to protect the other Party's Confidential Information but in no event beless than the degree of care that it uses to protect its own ConfidentialInformation. The Receiving Party may only disclose the Confidential Information toits employees, agents or subcontractor who have a need to know and who aresubject to confidentiality obligation no less than the degree of protection asrequired herein. Each Party may only use the other Party's ConfidentialInformation for the purpose of performing this Agreement, unless otherwiseauthorized by the other Party. Notwithstanding anything to the contrary, eachParty may disclose the other Party's Confidential Information in a legal proceedingor to a governmental entity as required by law.

7. Indemnification

7.1 Indemnification by us. If a third party makes a claim against you that theServices infringe its intellectually property rights, we will, at our cost, defend youagainst the claim and indemnify you from the damages, costs and expensesprovided that you (a) promptly notify us in written of such claim; (b) give us solecontrol of the defense and settlement negotiation of the claim; and (c) provide uswith all reasonable information, authority and assistance necessary for us todefend against or settle the claim. We may at our sole and absolute discretion (a)modify the Services to be non-infringing while substantially preserving itsfunctionality; and/or (b) obtain a license to allow for continued use; and/or (c)terminate the provision of the Services and refund the fees prepaid for unusedServices upon prior written notice. We will not indemnify you if (a) the claim iscaused by the use or combination of the Services or any part thereof withsoftware, hardware and/or content not provided by us; (b) the claim arises fromYour Content, Third-Party Content, or your breach of this Agreement; (c) you alterthe Services or use it outside the scope of use or the terms of this Agreement;and/or (d) you fail to use the updated version of the Services, or fail to implementthe recommendations from us, if the infringement claim could have been avoidedby using an unaltered current version or implementing the recommendations weprovided.

7.2 Indemnification by you. If a third party makes a claim against us based on thefact that (a) our use of Your Content, in accordance with this Agreement or thecombination of Your Content with our Services infringes its intellectually propertyrights, or (b) Your use of the Services in an unlawful manner or in violation of thisAgreement, you shall, at your cost, defend us against the claim and indemnify usfrom all the damages, costs and expenses. You will however not reach anysettlement in this regard without our prior written approval.

7.3 Exclusive Remedy. This Indemnification section provides the Parties' exclusiveremedy for any infringement claims.

8. Limitation of Liability

8.1 DIRECT LOSS ONLY. TO THE EXTENT PERMITTED BY LAW, ANDNOTWITHSTANDING ANY OTHER AGREEMENT BETWEEN THE PARTIES, IN NOEVENT WILL EITHER PARTY OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT,INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES(INCLUDING DAMAGES FOR LOSS OF REVENUES, PROFITS, OPPORTUNITIES,CUSTOMERS, GOODWILL, REPUTATION, DATA OR DATA USE), EVEN IF A PARTYOR ITS AFFILIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCHDAMAGES.

8.2 LIMITATION OF LIABILITES. NOTWITHSTANDING ANY OTHER AGREEMENTBETWEEN THE PARTIES, OUR MAXIMUM AGGREGATE LIABILITY UNDER THISAGREEMENT TOGETHER WITH OUR AFFLIATES, WHETHER IN CONTRACT, TORTOR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FORTHE SERVICES GIVING RISE TO THE LIABILITY DURING THE TWELVE (12)MONTHS IMMEDIATELY PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY.

9. Term, Termination and Transition

9.1 Term. The term of this Agreement shall commence on the Effective Date andbe expired 1 year thereafter ("Term"). The Term of this Agreement shall extendautomatically for consecutive 1 year periods, unless terminated in writing by eitherParty.

9.2 Termination

a. Either Party may terminate this Agreement with a 90 days prior notice.

b. Either Party may terminate this Agreement if the other Party:

i. fails to perform or observe any of its material obligations hereunder if suchfailure is not remedied within 30 days after written notice thereof is given to thedefaulting Party.

ii. files a petition of bankruptcy or insolvency, or makes a general assignment forthe benefit of creditors, or any involuntary bankruptcy, receivership or similarproceeding is filed against such Party that is not dismissed within 60 days ofcommencement.

9.3 Transition

a. At least 30 days prior to the termination, the Parties will discuss and develop atransition plan to facilitate a smooth transition and migration of End Users fromyou to us or another Huawei Cloud partner.

b. You shall: (a)immediately provide us with the name and contact information(email address and telephone number) of each End User in order to allow us tocontact End Users to help ensure the transition and (b) provide affected End Usersadvance notice of termination of this Agreement.

10. Force Majeure

Neither Party shall be liable for any delay for failure to perform this Agreementcaused by force majeure event beyond reasonable control, including but notlimited to acts of God, earthquake, storms, act of war, hostility, sabotage, act ofgovernmental order electrical, internet or telecommunication outage, blockages,embargoes, riots. Both Parties will use reasonable efforts to mitigate the effect of

a force majeure event. If such event continues for more than 60 days, either Partymay cancel unperformed Services and the affected orders with written notice. Thissection does not excuse your payment obligations hereunder if any.

11. Governing Law and Jurisdiction

This Agreement is governed by the laws of Hong Kong, without regard to itsconflict of law principles. Each Party agrees to submit the dispute to Hong Kongcourt.

12. Entire Agreement

This Agreement incorporates the documents and policies by reference (includingreference to information contained in a URL or referenced policy), and is the entireagreement between you and us regarding resell or distribution of the Services.This Agreement supersedes all prior or contemporaneous representations,communications, understandings and agreements between you and us, whether inwritten or oral, regarding resell or distribution of the Services.

13. Modifications

We may modify this Agreement, its terms and conditions, including thedocuments, URLs and policies referenced herein at any time and at our sole andabsolute discretion by posting a revised version on the Huawei Cloud website orby otherwise notifying you. Except otherwise indicated in the modified agreement,documents or polices, the modified terms will come into effect upon posting onthe Huawei Cloud website. By continuing to access or use the Services afterrevisions become effective, you agree to be bound by the terms of the revisedversion.

14. Miscellaneous

14.1 Relationship. Each Party is an independent contractor. This Agreement doesnot create any partnership, joint venture, agency or employment relationshipbetween the Parties.

14.2 Non-assignment. You will not assign or otherwise transfer all or part of thisAgreement to any third party, including your Affiliates, without prior writtenconsent from us. We may assign this Agreement without your consent to ourAffiliates in connection with or as part of a corporate reorganization. We willnotify you, by posting announcement on our website or through other means,prior to the effectiveness of such assignment. Upon the effectiveness of suchassignment, this assignor is fully released from all and any of its obligations andduties to perform the Agreement and the assignee will be deemed substituted forus.

14.3 No Third Party Beneficiary. No third party beneficiary relationships arecreated by or under this Agreement.

14.4 Cost. Each Party shall bear its own costs and expenses in connection with thepreparation, negotiation, and execution of this Agreement.

14.5 Export. In connection with this Agreement, both Parties shall comply with theapplicable export and sanction laws and regulations of United Nations, China,Unites States and other countries. You represent and warrant that you and/or yourEnd Users are not subject to sanctions or otherwise designated on any list ofprohibited or restricted parties, including but not limited to the list maintained bythe United Nations Security Council, the United States Government, the European

Union or its Member States. You shall be solely responsible for compliance relatedto your subscription, access and use of the Services, including but not limited toYour Content you uploaded, processed, provided and/or made available to yourEnd Users.

14.6 Notice. We may provide notice to you under this Agreement by posting anotice on the Huawei Cloud website, or by email or text. Notice we provide byposting on the Huawei Cloud website will be effective upon posting, by email willbe effective upon sending out (no matter you receive or read it), by text uponsending out. You shall be responsible to keep your email address or phone numberupdated.

14.7 No Waivers. Failure to enforce any provision of this Agreement will notconstitute a waiver of such provision or right in any way or form and will not limitthe right to enforce such provision at a later time. All waivers shall be explicitlymade and in writing to be effective.

14.8 Severability. If any term of this Agreement is found to be invalid andunenforceable, the remaining terms of this Agreement will remain effective, andthe invalid or unenforceable term will be replaced with another term consistentwith the purpose and intent of this Agreement.

15. Definition

15.1 "Affiliate" means any company or other legal entity which owns and controlsa Party or in which a Party owns or controls or which is under common controlwith a Party, directly or indirectly, by at least fifty percent (50%) of the votingshares or other equity interests of a business organization or has the ability todirect the management and policies of a business organization through equityownership, contract or other means.

15.2 "End User" means an individual or entity that is developed by SolutionPartner and enters into the contract with Solution Partner for the Services subjectto the terms and conditions herein.

15.3 "Your Content" means all data (including personal data), software, device,text, images, video, audio, photographs, third-party applications, information,materials, in any format, provided or made available by you and/or your EndUsers that is transferred to, stored in, processing on the Services. Our materials,data and information will not fall within the definition of Your Content.

The HCPN Badge ("the badge") is intended for use by HUAWEI CLOUD partners todemonstrate their identity, tier, and business area with a purpose for customers toidentify the partners as well as for partners to promote its products and services.

Qualification

HUAWEI CLOUD partners can use the HCPN logo only after obtaining approvalfrom HUAWEI. Partners will enjoy non-exclusive, non-transferable, worldwide, and

Applicable Scope

This usage guide applies to partners outside of the Chinese Mainland who havebeen granted a license to use the badge. The badge shall be used only incompliance with this guide and the HUAWEI CLOUD Brand Guide. If you areunsure whether you are allowed to use the badge, contact your HUAWEI CLOUDpartner manager for guidance.

Usage Instructions

1. Partners shall use the badge only according to the terms of the HCPNCertification Agreement.

2. Application Scenarios

Websites Permitted. The HCPN badge can be used to promote theproducts and services involved in the HCPN PartnerPrograms.

Online ads Permitted. The HCPN badge can be used to promote theproducts and services involved in the HCPN PartnerPrograms.

Marketingmaterials

Permitted. Partners can use the HCPN badge in marketingmaterials to demonstrate that their products or solutions arepowered by HUAWEI CLOUD. Marketing materials includebut are not limited to manuals, leaflets, data/sales sheets,white papers, case studies, and event promotions.

Partner businesscards

Permitted. Partners can use the HCPN badge on businesscards to demonstrate that their products or solutions arepowered by HUAWEI CLOUD.

Outdoor ads Restricted use. Outdoor ads include but are not limited tometro ads, outdoor billboards, airport ads, printed ads, andTV ads. If partners require the badge in outdoor ads topromote their products and services, they need to ask theirchannel manager to submit an application to HUAWEICLOUD.

Social media Not permitted.

Promotionalitems

Not permitted.

3. Use the HCPN badge as a whole and do not break it up to use separately.4. Align your branding elements with the HCPN log or make your branding

elements more prominent than the HCPN badge. Use your company name inthe promotional materials to make it clear they are produced by yourcompany. Do not include Huawei or HUAWEI CLOUD in the email subject lineor printed cover.

5. Use the badge only in the marketing materials for the enrolled partnerprograms. Do not exaggerate the content or scope of your cooperation withHuawei or HUAWEI CLOUD in any way. Do not imply that Huawei or HUAWEICLOUD sponsors your promotional activities or has partnered with youbeyond the partner program.

6. Do not behave in any way that may affect or damage the reputation ofHuawei or HUAWEI CLOUD, including but not limited to degrading Huawei orHUAWEI CLOUD products, services, or partners.

8. Before downloading the HCPN logo, you are obligated to register all websitelinks, ADs, and marketing materials on which you will use the HCPN logo. Wemay review customer materials irregularly to ensure that the HCPN log isused in compliance with this Guide and the HUAWEI CLOUD Brand Guide.

9. HUAWEI CLOUD reserves the right to modify this Guide and take appropriatemeasures against any unauthorized or non-compliant use of the HCPN logo.

12.3 Critical OperationsIf the verification code function is enabled, the system will authenticate theidentity of the operator again when the operator performs a critical operationusing emails. This is to protect the account security and the critical operation.
