PROLOGUE

Orissa Environmental Society was founded in 1982 to promote mass awareness on the rapid

pace ecological degradation and the urgent need towards protection and conservation of the

environment and natural resources for eco-restoration. The Society came into existence on the 21st

February1982 during the national Seminar on “Environmental Study and Forest Education” held at

Phulbani (a tribal population dense district) under the auspices of the National Service Scheme of

Government College, Phulbani and the Rotary Club of Phulbani, The Society was registered at

Phulbani (Kandhmal district) under the Societies Registration Act. 1860 (Registration No.100/19 of

1982-83 dated 25.10.1982). The Society had its temporary address at Phulbani and started a humble

beginning of its activities from there. In absence of a permanent address, the office of the Society got

shifted from Phulbani to Brahmapur along with shifting of Dr. S.N.Patro, the Founder Secretary. It was

in 1986, at the initiative of the Founder President of the Society Prasanna Kumar Dash, the Society’s

office was shifted to Bhubaneswar. In recognition of the Society’s impeccable commitment to

environmental awareness promotion, the Government of Odisha was pleased to allot a piece of land,

free of premium. Now the Society has its own permanent building in Bhubaneswar on the Plot N.D.- 4,

VIP Area, IRC Village. By now, the life membership strength of the Society is about 600.

The Society conducts survey and research, publishes books and documents, holds mass

mobilization campaigns, workshops, seminars, conferences, training courses, popular lectures,

exhibitions, competitions, supports organizations with similar objectives, makes liaison with the State,

National and International organizations and various such other activities in matters related to

protection and conservation of environment and natural resources (see the brief profile).

The subscription and donation collected from members, and interest earned out of the corpus

fund are the primary sources of fund for conducting activities of the Society. Besides, it receives funds

from the State as well as the Union Governments for small specific projects, and occasionally industrial

and corporate organizations, individual members, philanthropic institutions and individuals have

supported the causes of the society.

Orissa Environmental Society was founded in the year 1982, as a state level voluntary organisation, with the prime objective of promoting awareness towards the conservation of wildlife and biodiversity habitats, protection of environment and eco-development. The Society’s activities include study, research, documentation, publication, education, awareness promotion, lobby, liaison, persuasion, mass mobilisation campaign, conference, seminar, workshop, colloquium, issue based discussion and consultation, public meeting, etc. It was registered at Phulbani in 1982 under the Societies Registration Act 1860 and now has its head quarters in Bhubaneswar The approach of the Society has been to sensitising people on environmental issues and influencing government policies by way of interaction. This Society is a non-profit State level voluntary organisation functioning for more than three decades and contributing significantly for eco-development, habitat promotion and environmental

management in the State of Odisha. It has been carrying sustainable activities through the years since 1982 towards achieving its objectives, and has established itself as a reputed state level apex organisation in matters regarding natural habitat, wildlife and environment. The Government of Odisha was pleased to award a piece of land free of premium to the Society, in recognition of its selfless services for the cause of nature conservation. It is now having its own building and infrastructure and self- sustaining. As on today, it has about 600 life members on its roll drawn from various walks of life, such as academics, engineers, doctors, architects, planners, economists, development managers, bureaucrats and persons interested in biodiversity, natural resources and environment conservation. Some reputed institutions like Orissa State Pollution Control Board, NALCO, Indian Rare Earth, Principal Chief Conservator of Forests, Orissa Forest Development Corporation, Institute of Mineral & Materials Technology, State Youth Welfare Board, Orissa, J.K Corporation Ltd, Jindal Steel & Power Ltd, IMFA are the institutional members of the Society. A few achievements are cited to elucidate the Society’s commitment for the cause of the environment:

Submitted a memorandum to Government of Odisha (Orissa) in 1982 for creation of the Department of Environment in the State.

A research study on the problem of fluoride pollution in Angul (an industrial pollution hot-spot area identified by the Central Pollution Control Board) area due to industrial activities led to implementation of the fluoride-free water supply project to 11 villages by Orissa Environment Programme (Indo-Norwegian Cooperation) in 2000-2001.

Launched an intensive campaign leading to the creation of the eighth biosphere reserve of the country in the Similipal Forest of the Mayurbhanj District by Government of India in 1994.

Sustained campaign is going on towards protection and conservation of the epic fame Mahendragiri hill complex. Efforts are made to impress upon appropriate authorities in order to recognize this hill forest ecosystem studded with rare biodiversity and archaeological monuments as an Entity of Incomparable Value (EIV) and raise the status to a Biosphere Reserve and also to include in the list of Heritage Sites.

Preparation of a comprehensive document and sustained efforts in highlighting eco-degradation of the Chilika Lake, the largest brackish water lagoon in Asia provided input that helped creation of the Chilika Development Authority by the Government of Odisha to conserve it through eco-restoration activities.

Plays proactive role through participation in formulation of the National Environment Policy, Odisha State Action Plan for Climate Change; District Mineral Development Foundation Trust and such other national, local issues.

Conducts environment impacts studies and suggests for appropriate environment management strategies for development projects.

The members of the Society comprising the pool of experts of various disciplines of science in the field of environment and natural resources lend their ungrudging support to government and non-government organizations, academic and research institutions through consultation, participation, advices.

Collaborates, supports and associates with other organizations and institutions in conducting programmes and activities similar to the aims and objectives of the Society.

Played the pivotal role in opening of the Bhubaneswar Chapter of the Indian Science Congress Association. The Society hosted the Chapter from 1996 to 2015.

Holding discussions on “Current Issues on Science & Environment” on the first Sunday of every month is a regular programme of the Society. An expert on the subject is often invited.

Celebration of World Environment Day, National Science Day, Wildlife Week, and participation in National Environment Awareness Campaign are some of the regular programmes of the Society since inception.

Instituted the “Environmentalist of the Year Award”; “B.C.Panda Award for Environment and Science Communication”; and “Prasanna Dash Memorial Lecture”.

To its credit, it has more than 30 publications on matters related to environment and natural resources.

Received Nagar Bandhu Samman Award in 2008 for initiating collaborative action through the Bhubaneswar Municipal Corporation in 2008 to raise environment awareness in all the wards of the Corporation.

Received the “Biju Patnaik Award for Wildlife Conservation- 2015” (Bhubaneswar Sub-Division, Khordha District).

It is represented in various committees in the state as well as national and international levels in matters relating to the environment and the natural resources management, such as Similipal Biosphere Reserve Research Committee, Similipal Biosphere Reserve Expert Committee, Technical Committee on Similipal Biosphere Reserve, State Wildlife Board, State Coastal Regulation Zone Identification Committee, National Environment Awareness Campaign Screening Committee, State level Committee on Environmental Management of Irrigation Projects, World Bank India Country Assistance Evaluation and Country Assistance Strategy Consultations on Environment, Expert Committee for the preparation of the Regional Environmental Management Plan (REMP) based on Carrying Capacity Study (CCS) for Angul-Talcher and Meramundali Region in Odisha State nominated by the State Pollution Control Board, Odisha, etc.

MEMORANDUM OF ASSOCIATION AND BYE-LAWS (As Amended in the General Body Meeting, dated 25.10.2010)

01 Section- I (a) Name and Location Orissa Environmental Society shall have its registered office at Bhubaneswar. Its present address shall be ND-4, VIP Area, IRCVillage, Bhubaneswar- 751015 (Odisha) Section- I (b) Area of Operation: The entire State of Odisha

02 Section-II Aims and Objectives The main objectives are:

01. To promote, organize, encourage study and enhance knowledge, understanding and appreciation of nature, and the principle and practice of conservation of natural resources among the common mass.

02. To promote and maintain liaison between various disciplines of science and technology related to environment.

03. To establish and maintain contacts with various departments of State Government and Union Government, national, regional and international organizations or any other agency so far as these contacts are beneficial to the Society’s objectives.

04. To advise the State Government, Union Government or any other organisation on matters related to environment, in the interest of public at large.

05. To hold, sponsor, support or collaborate conferences, seminars, symposia, meetings, training programmes, demonstrations, mass mobilization campaigns, popular lectures, cultural programmes etc to promote education and awareness on issues related to development of natural resources and conservation of environment.

06. To publish books, proceedings, journals, news letters or bulletins and such others, as may be found desirable to promote public interest and scientific temper in matters related to natural resources and environment.

07. The benefits of the Society are open to all, irrespective of caste, creed, community, religion, etc, and it shall work regardless of race, religion, culture or political belief.

08. It shall adopt any other transparent means, strategy or principle that might be advantageous and beneficial to the Society’s objectives.

09. To frame co-curricula and organize courses in environmental sciences at all levels of education.

10. To provide consultancy services for any project related to natural resources and environment.

11. To promote research on science, technology and environment for sustainable development. 12. To do all such things, that may be necessary, incidental or constructive, to the attainment of

all or any specific objectives of the Society. 13. No activities of the Society shall be carried out anywhere outside India.

03 Section-III The management of affairs of the Orissa Environmental Society is entrusted in accordance with the rules and resolutions of the Society to an Executive Committee. The first members of the Society were:

05 Article-I Definition (a)The Society means the ‘Orissa Environmental Society’ (b)The Executive Committee means ‘The Executive Committee of the Society’

06 Article- ll Name of the Society (a) “Orissa Environmental Society (OES)” (b) The acronym of Orissa Environmental Society shall be ‘OES’

07 Article- lll Location The Registered Office of Orissa Environmental Society shall be located at Bhubaneswar. Its present address shall be ND-4, VIP Area, IRC Village, Bhubaneswar (Odisha) -751015.

08 Article- lV Membership a) The Membership of Orissa Environmental Society is open to all individuals, above the age of 18

years, actively interested in promotion of science and technology, and conservation of natural resources and environment. (However, children below the age of 18 years may be accepted as annual members). There shall be following categories of Membership : i. Charter Member ii. Life Member iii. Annual Member iv. Institutional Member v. Fellow

vi. Patron b) Category of memebr i. Charter Member

The delegates, participants and the organizers present in the National Level Seminar on “Environmental Study and Forest Education” held at Phulbani from 21st to 23rd February 1982 are eligible to be the Charter Members on payment of necessary membership fees.

i. Life ii. Life Member Any bonafide person paying a sum of Rs. 2,000/- may be enrolled as a Life Member of the Society. A life member shall continue to be a member of the Society for his/her life. iii. Annual Member Any person paying an annual subscription of Rs. 200/- may be enrolled as an Annual Member of the Society.

iv. Institutional Member Any trust, firm, foundation, company, educational institution, administrative and such other

department, Society, etc. may be admitted as Institutional Life Member on payment of Rs. 25,000/-. Such Institutional Life member(s) shall continue to be so, as long as it survives.

v. Fellow The Executive Committee may admit/ designate any individual as ‘Fellow’ of the Society for his/

her outstanding contribution to the promotion of Science, Technology and Environment. vi. Patron

The Executive Committee may nominate any eminent person of repute and merit, as Patron of the Society for his/ her distinguished contributions to the cause of protection, conservation and promotion of natural resources and environment.

c) Fee i. Membership shall be by application to the Society; and it shall be confirmed after the application is duly approved by the Executive Committee. ii. Any member who fails to pay his subscription within 90 days of its becoming due may be

removed from the membership, on the recommendation of the Executive Committee. iii. The Executive Committee reserves the right to reject any application for membership without

assigning any reason thereof.

09 Article- V Terms for disqualification : a) Non-Payment of dues.

Non-payment of dues, if any, shall disqualify the membership. However, the member may be allowed to pay the fees for the concerned membership period not later than 31st July of the same calendar year

b) If he/she acts against the interest of the Society c) If he/she is declared insane, insolvent, convicted by the Court of Law on charges which amounts to moral turpitude or by death or by resignation or by removal

10 Article- VI Advisory Body The Executive Committee of the Society shall constitute an Advisory Body by nomination of persons from amongst its life members only; and name one of them as its Chairperson. Such members shall preferably be senior persons of eminence and reputation. The number of members in the Advisory Body shall not exceed 5 (five) persons. The role of the Advisory Body shall be to guide and give advice for furtherance of the objectives of the Society. However, such advice shall not be binding on the Society. The Advisory Body will also guide the Society in choosing eminent persons, to be designated as Fellow(s), Patron(s), felicitated on special occasions, conferred the ‘Best Environmentalist of the Year’ Award, and such other awards or honours, that may be instituted by the Society from time to time.

11 Article- VII General Body Meeting:

a) a) The General Body Meeting shall consist of life members, annual members, institutional members b) (only one representative member of an institution) who shall have the voting right. who shall have th b) The patrons and the fellows may attend the General Body Meeting as observers.

c) The General Body Meeting of the Society shall be held at least once in every year but not more than 18 months will elapse between two annual General Body Meetings at a place, upon a date at a time fixed by Executive Committee for the following purpose : i) To present and approve the minutes of the last Annual General Body Meeting and the report on the follow-up actions. ii) To present and approve the annual activities report of the Society. iii) To present and approve the audited statement of accounts of the Society for the financial year

ending on 31st March.

iv) To appoint the Chartered Accountant for auditing the accounts of the Society, and prepare the Annual Audit Report.

v) To discuss on any motion brought before the General Body by members with the permission of the Chair.

d) The notice of the General Body Meeting shall be sent to all the members at least 14 days before the meeting. Accidental omission to give notice to or non-receipt of notice by any member will not invalidate the proceedings.

e) Once in three years the General Body shall elect the office bearers and the members of the Executive Committee.

d) f) One fifth of the total members on the rolls of register or 30 members present in person, which ever is less, shall constitute quorum for the General Body Meeting of the Society.

g) In case the quorum is not obtained, the Annual General Body Meeting shall be called again after one adjournment of half an hour and the meeting will take place in spite of quorum is there or not.

h) Requisitioned General Body Meeting may be called by the President, on receipt of such requisition notice made by at least 20 members specifying the purpose.

12 Article- VllI Executive Committee a) (i) The Executive Committee of the Society shall consist of a President, a Working President, two

Vice-Presidents, two Secretaries, two Joint-Secretaries, a Treasurer and 6 (six) members. (ii) The Executive Committee shall consist of not more than 15 (fifteen) members including one

President, one Working President, two-Vice-Presidents, two Secretaries, two Joint Secretaries, and one Treasurer.

b) The Executive Committee shall be vested with all powers for the management of the Society.

c) The Executive Committee shall meet as often as possible but not less than once in six months. d) The quorum of the meeting of the Executive Committee shall be one third of the members (i.e five

members), which must include at least three office bearers. e) Ordinarily a notice of 7 days shall be given for a meeting of the Executive Committee. f) Any member of the Executive Committee who fails to attend three consecutive meetings of the

committee unless he/she is away from the station or is sick and communicates leave of absence to the President or Secretary, he/she shall cease to be a member of the Executive Committee and the vacancy so caused will be filled in by Executive Committee by co-option.

g) The tenure of the Executive Committee shall be for a term of three years. At the expiry of the term, fresh election for the Executive Committee for the next term shall be held subject to other conditions. In case any vacancy, a member may be nominated by the Executive Committee for the remaining period of the terms.

13 Article- IX Duties of the office bearers a) (i) President The President of the Society shall preside and conduct all meetings of the Society and his ruling

on any point or order and decision as to the result of voting shall be final and conclusive. The President, in addition to his right of voting as a member, shall have a casting vote in case of tie.

(ii) Working President The Working President shall perform all the duties of the President as laid down above in Article IX; Section (a) (i), in his/ her absence. The Working President will assist the President in day to day affairs. In absence of the Working President, any of the Vice- Presidents may perform his/ her duties.

b) There shall be two Vice-Presidents (i) First Vice-President

The first Vice-President shall exercise the same powers and functions in the absence of the President and Working President. He/ she shall look into the Establishment, and Membership Development of the Society. The first VP shall be designated as VP (EMD)

(ii) Second Vice-President The second Vice-President shall exercise the same functions and powers in absence of the

President, Working President and first Vice-President. He/ she shall look into promotion of Education, Awareness and Projects (research, survey, study, etc.) of the Society. The second VP shall be designated as VP (EAP).

c) There shall be two Secretaries (i) FirstSecretary

The first Secretary shall look after the overall function of the Society, and in particular the Establishment and Membership Development (EMD). He/ she shall represent the Society in all legal proceedings either by or against it. He/ she shall prepare and present the Annual Activities Report of the Society at the General Body Meeting of the Society in consultation with the second Secretary. However, in his/ her absence, the same may be presented at the General Body Meeting by the second Secretary. The first Secretary shall be designated as Secretary (EMD)

(ii) Second Secretary The second Secretary shall look into promotion of Education, Awareness and Projects (EAP) in accordance with the objects of the Society. In absence of the first secretary, the second secretary will perform all the functions of the first Secretary. In his/ her absence the first Secretary may discharge such responsibilities of the second Secretary. The second Secretary shall be designated as Secretary (EAP).

d) There shall be two Joint-Secretaries (i) First Joint Secretary

The first Joint Secretary shall assist the first Secretary in all matters, and in absence of the latter he/ she shall act as the first Secretary. The first Joint Secretary shall be designated as Joint Secretary (EMD).

(ii) Second Joint Secretary The second Joint Secretary shall assist the second Secretary in all matters, and in absence of the latter, he/ she shall act as the second Secretary. The Second Joint Secretary shall be designated as Joint Secretary (EAP).

e) Treasurer The Treasurer shall look into financial matters and maintain the Accounts of the Society. He / She shall present the audited accounts of the Society at the General Body Meeting. In absence of the

Treasurer, the first Secretary or in his/ her absence, the second Secretary shall act as the Treasurer.

14 Article- X Finance The Society shall raise funds by : 1. Membership 2. Donation/contribution from individuals and organizations. 3. Grants/assistance from State Government/Central Government/Corporation bodies and similar other organizations. 4. Acquire properties and create assets. 5. Incur loan as and when necessary subject to approval of the Executive Committee. The purpose of incurring loan and the procedure of repayment should be spelt out.

6. The investment of the funds of the Society shall be in accordance with the provisions of Section 13 (1) (d) read with Section 11 (5) of the I.T.Act, 1961

7. The income of the Society shall be solely utilized for furtherance of the objects of the Society and no part of it shall be distributed among the members of the Society by way of profit or dividend or otherwise.

15 Article XI Audit

i) The Accounts of the Society shall be maintained regularly and audited at the close of the

financial year by a Chartered Accountant appointed for the purpose by the Executive Committee.

ii) The Financial Year of the Society shall be the period from 1st April to 31st March

16 Article XII Amendment

a) No amendment or alteration shall be made in the bye-laws of the Society, unless it is voted by two third of the members present at the General Body Meeting convened for the purpose. b) No amendment to the Memorandum of Association and Bye-Laws shall be carried out without

prior approval of the Commissioner of Income Tax/ Competent Authority under the Income Tax Act.

17 Article XIII Dissolution and Irrevocability (a) Dissolution

(i) The Society shall not be dissolved unless three fifth of the members shall have expressed a desire for such dissolution by voting in person at a General Body Meeting convened for the purpose.

(ii). In the event of dissolution of the Society, the funds and assets remaining after the discharge of its liabilities shall be transferred to another Society/ Trust/ Association/ Institution having similar objects and registered with the Commissioner of Income-tax under Section 12A and under Section 80G of the I.T.Act, 1961 where none of the members of the dissolved Society shall have controlling interest.

(iii). The funds and the properties of the Society if dissolved, shall be transferred or paid to some other organization with similar aims and objectives as laid down under Section Article-XIII a (ii) above or to the Government, after meeting all the liabilities and all provisions of the Societies Registration Act, 1860 as amended from time to time and extended to the State of Odisha.

(b) Irrevocability The Society ‘Orissa Environmental Society’ formed under the Societies Registration Act 1860 in 1982 shall be irrevocable.

18 Article XIV The Secretaries, Joint-Secretaries, and the Treasurer are hereby authorized to conduct business and make general correspondence on behalf of the Society. They may sue and be sued. Certified that there is no other such Society as “Orissa Environmental Society” in the State. Certified that this is the true copy of the ‘regulation’ framed by Orissa Environmental Society.

NB: The Memorandum, Rules and Byelaws amended by the General Body Meeting held at Bhuaneswar on 25th October 2010 supersede the previous amendments.

The quality of life on the Earth is fast deteriorating consequent upon resource depletion and environmental degradation. This poses a threat to the very existence of the mankind and all other forms of life. The challenge before us now is the reversal of this situation through enrichment of the environment and conservation of the natural resources for a sustainable future. The World Conservation Strategy defines sustainable development as the kind of development that meets the needs of the present without compromising the ability of the future generation to meet their own needs. In other words, it means improving the quality of human life while living within the carrying capacity of the supporting ecosystem. Realising this,the Orissa Environmental Society (OES) was founded in 1982 to promote education and awareness on the fast deteriorating quality of human environment and the need for conservation of the Nature. Objectives Promote knowledge, understanding and appreciation of nature, and the principles and practices of

conservation of natural resources among the common mass. Establish contact with regional, national, and international organizations, the Department of Environment

and other such departments/agencies of the State as well as the Union Government so far as these contacts are beneficial to the Society or its objectives.

Advise the government and non-government agencies on the environmental matters in the public interest. Conduct and encourage activities like tree plantation, nursing, habitat conservation, education and

awareness programmes- padayatra, mass mobilization campaign, workshop, seminar, conference, training, popular lecture, exhibition, competitions, study, survey, research, publication of proceedings, books, brochures, bulletins, extension materials etc. towards protection, regeneration and conservation of environment and natural resources.

Frame curricula and co-curricula, and organize courses on environmental sciences at all levels of education. Work regardless of race, religion and political belief. Adopt any other means that might be advantageous to the Society’s objectives.
