The Pritchett Group

Investment Products: Not FDIC Insured • No Bank Guarantee • May Lose Value

Your success is our priority. Our Team strives to provide

meaningful advice. We are dedicated to offering you

and your entire family the ultimate client experience

and earning your trust today, and for years to come.

Our commitment to you

We are The Pritchett Group at J.P. Morgan Securities, the wealth management

division of J.P. Morgan. With more than six decades of combined experience,

we are well versed in the intricacies of managing our clients’ business and

personal balance sheets.

We pursue a symbiotic relationship between your accountant, trusted attorney

and our Team, providing the cohesion and open dialogue needed to better

ensure your financial needs are met. We are passionate about offering our

clients independent judgment and ensuring exceptional service through our

high-touch model. Our Team is structured to meet the needs of an exclusive

clientele: entrepreneurial business owners, wealthy families, and their foundations.

Stewardship of your wealth

We realize that every client wants to be heard and understood. They have a vision of their

goals and what they want their wealth to accomplish. We strive to make this vision a reality.

By working with a limited number of clients in a family office setting, we can focus on truly

getting to know our clients and their families, gathering in-depth insights so that when we act,

we do so with purpose, and with our clients’ best interests at the forefront.

We strive to provide a disciplined investment process to understand your needs (both business

and personal), and tailor our broad array of investment strategies to help you meet your goals.

Additionally, Roland Pritchett and Matthew Stucke, of The Pritchett Group, jointly manage

three strategies that may utilize individual stocks for direct equity exposure, ETFs for tactical

positioning in portfolios and undervalued bond holdings to seek active income within the

J.P. Morgan Securities Portfolio Manager (PM) Program, a fee-based discretionary advisory

program. This three-pillar approach empowers us to manage portfolios with continuity on a

fluid and timely basis. We have removed third-party external manager fees. Our strategies

seek to achieve long-term results by constructing portfolios that are not “overdiversified” and

that have the potential to appreciate in a tax-efficient manner.

We strive for excellence in all we do for you.We want you to win, however you personally define ‘winning.’

J.P. Morgan Securities2

We provide a superior client experience

by dedicating our time and resources to

a finite number of individuals and their families.

Our clients are more than just an account

number, and our team of professionals has

a wealth of experience to help manage the

individual needs of our clients.

Our clients include:

• Corporate Executives and Entrepreneurs

• Hedge Fund and Portfolio Managers

• Physicians

• Private Equity Principals

• Retirees

• Sports and Entertainment Individuals

• Foundations

Working together to develop a financial blueprint Every successful endeavor begins with a well-

thought-out and disciplined plan. We begin our

relationship with our clients by developing a

comprehensive profile in order to understand

their current financial situation and gain insights

into their financial goals.

We then prepare a consolidated balance sheet,

incorporating all assets and liabilities, and

we may review trust and estate arrangements,

historic tax data and insurance policies.

Our goal is to gain a comprehensive picture of

our clients’ financial lives to create a financial

blueprint that will serve as the foundation for a

customized investment strategy. When appropriate,

we also work with clients’ accountants and

attorneys to ensure we are gaining the most

comprehensive picture.1

Wealth transfer strategiesAn effective wealth transfer strategy balances

financial and tax considerations with an individual’s

values and desired legacy. The Pritchett Group

and the wealth management specialists at

J.P. Morgan Securities can work closely with you

and your tax and legal advisors.

Setting wealth transfer goals

We start by helping you clarify your objectives—

from helping you decide how to transfer assets to

your heirs to determining the appropriate way to

fulfill your philanthropic goals.

Finding an appropriate strategy

Depending on your financial situation and

long-term goals, there is a range of strategies to

choose from. For example, we may recommend

freezing the value of your assets, discounting their

taxable value or transferring future appreciation

to beneficiaries. Similarly, you may wish to explore

ways to leverage your gifts, through the use of a

family partnership or by using discounted assets,

to help meet your goals.

Retirement planningWhether your plans are to travel the world,

start a business, launch a charitable foundation,

or another endeavor, we can help you have the

retirement you envision. We work with you to

determine the most effective way to allocate your

assets according to your specific time horizon and

tolerance for risk, selecting among our broad array

of investment choices to tailor a portfolio geared to

your retirement goals.

From our perspective, truly customized portfolio management is a lost art. Our investment strategy

strikes a balance between performance, risk and volatility. More than this, our approach allows us

to remain fluid and provide our clients with transparency, continuity and consistency.

In each key area of wealth management—investments, corporate financing, liquidity and credit management, and tax and estate planning strategies—we have the experience and knowledge needed to help manage the complexities of significant wealth.

J.P. Morgan Securities4

Concentrated stock and options managementThe net worth of corporate executives and others

who have sizeable stock or options holdings in a

single company is often highly dependent on the

value of that single investment. At the same time,

as corporate insiders, they may face potential

regulatory and contractual restrictions that could

make it diffi cult to diversify eff ectively. Moreover,

these holdings are often subject to signifi cant tax

liabilities. We can work with you to hedge single-

stock risk, diversify within parameters acceptable

to you and your company, and help you minimize

tax implications.

Planning for restricted and control stock

• Hedging and monetization strategies

• Rule 10b5-1 sales plans

• Form 144 fi lings for corporate insiders

Managing stock options

• Diversifi cation strategies to optimize

value of employee stock options

• Option exercise and share liquidation

• Cashless transactions

Lending solutionsSuccessful wealth management requires

attention to both sides of your balance sheet:

liabilities as well as assets. We can help you

meet your liquidity needs—without disturbing

a longer-term investment strategy—to pursue

new investment opportunities or meet business

or personal fi nancial goals.

We will also seek to understand your fi nancial

goals and make recommendations based

on how fi nancing may enhance your overall

fi nancial picture with:

• Cash management strategies

• Margin and non-purpose lending2

• Customized credit solutions: for example,

standby letters of credit and commercial

letters of credit

2 Borrowing with securities as collateral involves certain risks, including the possibility that you may need to deposit additional securities and/or cash in the account to meet a maintenance call and that securities in the account may be sold to meet the maintenance call. Proper management of your account and a thorough understanding of the conditions that may aff ect your investments will assist you in eff ectively using the margin lending program.

Home Financing• Residential mortgages

• Refi nancing

• Home equity lines of credit

• Non-purpose loans

• Revolving and term credit facilities

Tailored Credit Solutions• Letters of credit

• Fixed rate loans

5 The rankings are based on data provided by over 4,000 of the nation’s most productive advisors. Factors included in the rankings: assets under management, revenue produced for the firm, regulatory record, quality of practice and philanthropic work. Investment performance isn’t an explicit component because not all advisors have audited results and because performance figures are often influenced more by clients’ risk tolerance than by an advisor’s investment-picking abilities.
