I take this opportunity to welcome you all to the 23rd Annual International Conference of the Institute of Certified Sec-retaries at the Prideinn Paradise Resort, Convention Centre & Spa, Shanzu, Mombasa and thank you for finding time to attend this year’s Conference.

The Institute of Certified Secretaries (ICS) is a professional membership organization of Certified Secretaries established under the Certified Public Secretaries of Kenya Act, Cap 534, with its core mandate being promoting the practice of good governance in both the public and private sectors. The importance of good governance for the proper functioning or organisations and the society as a whole cannot be gainsaid. I therefore invite all stakeholders to support the Institute in promoting good governance in the Country and beyond.

As you are aware, technological innovations, intense competition and insecurity have gripped the world we live in, and they pose certain risks to the future of our society. International terrorism, cybercrime, political upheavals, ethnic clash-es, domestic violence, suicides, violence in schools, and other forms of insecurities have characterized the 21st Century. These are not only threats to our institutions but also to the fabric of our society. It is therefore no surprise that govern-ments, institutions and individuals world over are spending enormous resources in an attempt to reduce these threats.

We premise that the foundation of any efficacious means to manage these threats is governance.

As leaders in your respective spheres of influence, you have a responsibility of establishing policy frameworks, struc-tures and processes for the long-term benefit of your Institutions. You are charged with ensuring business continuity and ensuring stakeholders that your organisation will continue with its operations in the midst of all these threats.

During this Conference, our knowledgeable speakers will explore the relationship between governance, security and business sustainability. The impact of good governance on the physical, psychological, social, and cyber security as well as the role of individuals and institutions in enhancing security will also be discussed. It for this reason that the Confer-ence Theme is “SECURITY GOVERNANCE: SECURING THE FUTURE”I hope you enjoy the conference and add value through your active participation and sharing of experiences and inno-vative ideas.

On behalf of the Professional Development Committee of the Institute, I welcome you all to our 23rd Annual International Confer-ence. It is my sincere hope that you will have a great time full of learning and enriching experience.

The theme of this year’s conference is “SECURITY GOVERNANCE: SECURING THE FUTURE”. Among the areas of focus under the theme include: 1. Company Secretary and ICT: Evading Pitfalls 2. Enterprise Security Governance: Combating Cyber Security 3. Proceeds of Crime & Anti-Money Laundering 4. Data Privacy and Protection Framework in Kenya 5. Securing the Workplace: a. We have invited experienced speakers from diverse backgrounds to address various facets of this Theme. We will have plenary sessions where delegates will get to engage our esteemed speakers on various pertinent issues arising from the discussion topics. This Conference will involve expert presentations, panel discussions, case studies and sharing of experiences from re-nowned governance experts, professional practitioners, ICT experts and executives from leading organisations. Our expectation is that the delegates will be fully engaged, will stimulate robust discussions and share insights to enhance the deliberations of the conference.

The Council will publish a special issue on the Governance Journal to capture the topics discussed during this Conference. Dele-gates are therefore invited to take advantage of this opportunity and market their organisations as well as their products on the Journal. Speaker Profiles

Mercy Wanjau is a commercial lawyer with over 15 years of legal and regulatory experi-ence. She is the acting Director, Legal Affairs at Communications Authority of Kenya. In this role, she has been involved in advising and guiding the development of regulatory frame-works in Kenya, harmonization efforts at EAC and COMESA and the development of model legal frameworks with various UN bodies.

Recently, the policy and draft bill on privacy and data protection for Kenya was developed under her Chairmanship. She is enthusiastic about the interaction of technology and the law in delivering development solutions and has published on a variety of ICT related topics.She is a member of the Institute of Certified Secretaries and a trustee of the SOS Chil-dren’s Villages.

She is a graduate of the University of Nairobi (LLB) Hons., University of Cape Town (LLM) and the Strathmore Business School. She is also an Eisenhower Fellow.

Mr. Walubengo holds an MSc in Strategic Business IT (University of Portsmouth) and a BSc in Mathematics (Kenyatta University). He holds several industry certifications including the CCNA (Certified Cisco Network Associate) and the CISA (Certified Information Systems Auditor) certification. His area of specialisation is in ICT Governance, Security, Policy & Strategy.

He has over 20 years experience in the ICT Training and Consulting. His work experience in-cluded working for the Strathmore University as the IT Course Director and as the founding Dean, Faculty of Computing at the Multimedia University. He is currently a PhD candidate at the University of Nairobi and continues to provide Consultancy services to Government and other organisations. Most recently, he was appointed a member of two critical Task-forces looking into emerging technologies and policies. These are the National TaskForce on Blockchain & Artificial Intelligence as well as the Data Protection Taskforce respectively.

He also writes a weekly column on topical ICT issues in one of the largest dailies in East and Central Africa.

Juliet is the Advocacy and Regulatory Manager, Mobile Money, Mobile for Development. In this role, she is responsible for shaping positions taken by GSMA members, and other key stakeholders in the mobile industry. She is directly involved in the dialogue between regu-lators, business, and public interest groups and speaks regularly at conferences covering issues of cybersecurity and data protection. Juliet is also responsible for authoring content that should become the reference materials for policymakers and private sector actors seeking to understand the future of mobile money regulation.

Juliet joined the GSMA from the law firm TripleOKLaw Advocates, where she was responsi-ble for setting up and leading the Telecommunications, Media and Technology (TMT) prac-tice. She has experience working at the ICT regulator in Kenya, and Pygma Consulting, an ICT Consulting firm in South Africa.

Juliet received her LL. B with Honors from the University of Birmingham, UK in 2010 and later completed a Master’s program in ICT Policy and Regulation (with distinction) at the University of Witwatersrand, South Africa. Additionally, she has completed a Post Graduate Diploma in Business Administration at the Milpark Business School, South Africa.

CHRP Dorcas Wainaina (OGW) is the third Executive Director of the Institute of Human Resource Management (IHRM). She is a Certified HR Management Professional (CHRP) with over 15 years’ of experience in Continental Africa, Asia and Latin America. She holds an MBA in Business Administration (Human Resource Management (option) from Kenyatta University and Bachelor of Education Degree (Linguistics and Literature) from the Univer-sity of Nairobi (UoN). She also holds a Higher Diploma in Human Resource Management from the College of Human Resource Management (CHRM) and is currently completing her PhD in HR.

She is a Fellow of the American Academy of Project Management (AAPM), serves in the Board of Honorary Advisors for Global Academy of Finance Management (GAFM); she is a Certified Chartered HR Analyst (CHRA) and an excellent trainer.

CHRP Wainaina is also an entrepreneur with a wealth of experience on business turn around strategies. She strongly believes in hard work and excellence a philosophy she endeavors’ to uphold in every aspect of her life.

Dr. Njaramba Gichuki is an Advocate of the High Court of Kenya since 1998, and a member of the Law Society of Kenya (LSK). He is a Certified Secretary since 2009, and a member of the Institute of Certified Secretaries (ICS). He holds a Bachelor of Laws (LLB), a Master of Laws (LLM) and a Doctor of Philosophy (PhD) in Law, of the University of Nairobi. He has also undertaken specialized training in several areas, including Financial Sector Anal-ysis and Policy, and Corporate Social Responsibility. He practises Law from Nairobi. He is a Senior Lecturer at the School of Law, University of Nairobi, where he also coordinates the Master of Laws (LLM) and Doctor of Philosophy (PhD) programmes. He is an author of several books and articles. He served as Assisting Counsel to the Judges and Magistrates Vetting Board (JMVB) between 2011 and 2016. He serves in the Boards of several organi-zations, corporate, NGO and social.

FCS Kili holds an M.B.A. in Strategic Management from the Management College of South-ern Africa (MANCOSA). He is an Advocate of the High Court of Kenya, Fellow of the Institute of Certified Public Secretaries of Kenya F(CPS(K) and Fellow Member of the Kenya Institute of Management.

FCS Kili is the Group Managing Director and CEO of CPF Financial Services Ltd. He is the former Chairperson of the East & Central Social Security Association (ECASSA), a regional social security body. He has considerable training and experience in legal issues, corpo-rate governance, management and investment of pension schemes.

In 2011, FCS Kili was conferred the Order of the Golden Warrior (O.G.W), a Head of State award for his exemplary service by H.E the President of Kenya.

He is also a Non Executive Director of Nairobi Securities Exchange (NSE); currently Chair-man of Association of Pension Administrators of Kenya (APAK) and Chairman of the Disci-plinary & Compliance Committee of the NSE.

CS Devendra V Deshpande, is a Practicing Company Secretary since 2004 and having area of practice in the fields of Corporate Laws, Foreign Exchange Laws, Audits under Com-pany Law and allied laws, Secretarial Audits of Listed and Unlisted entities under Compa-nies Act, 2013, advisory in Corporate Restructuring and creation of Secretarial Data Rooms as a Compliance Module for Multinational Companies.

He has been elected to the Central Council of the Indian Institute of Company Secretar-ies of India ICSI for the term 2019 - 2022. He is the Chairman of Information Technology Committee of the ICSI for the year 2019 and member of various committees and member International Affairs Committee for the year 2019.

He is a Director on ICSI Institute of Insolvency Professionals, a Company registered as an Insolvency Professional Agency with Insolvency and Bankruptcy Board of India (IBBI) to enrol and regulate the members practising as Insolvency Professionals (IPs) in accordance with the provisions of the Insolvency and Bankruptcy Code, 2016 (IBC) read with rules and regulations made thereunder

He has delivered sessions and lectures at various National Level seminars and confer-ences in India and also associated with Crime Investigation office in India.

Mr Kihara holds the position of Principal Administrative Secretary in the Executive Office of the President. He is also the Assistant Secretary to the Cabinet. In these roles, he sits in the National Security Council and the National Security Advisory Committee. He is the link between the Office of the President with National Security Organs i.e. Kenya Defence Forces, National Intelligence Service and National Police Service.

On 12th December, 2010, Mr Kihara was honoured and awarded the Eder of the Burning Spear (EBS) by the President for rendering distinguished service to the Republic of Kenya. In 2016, he was decorated with CBS. He is a prolific reader, debater, writer and analyst. He has been described as a security strategist, skilled writer and gifted public speaker.

Mr Kihara was the pioneer Chief Executive of the Interim Independent Electoral Commis-sion (IIEC) in which position he created the structures of the electoral management body after the forerunner Electoral Commission of Kenya (ECK) was disbanded following the post-election violence of 2007/8.

Mr Kihara holds a Masters of Business Administration degree from Maastricht School of Business and a Bachelor of Arts degree in Political Science from the University of Nairobi. He went to Starehe Boys Centre for his secondary school education. After basic paramil-itary training, he has undertaken specialist training in Israel, Austria, India and the United Kingdom.

His hobbies include running marathons, environmental conservation, landscaping, preach-ing, and mentoring the youth. Mr Kihara is married with three adult sons.

Ms. Mugo is the Chief Manager, Market Conduct at the Retirement Benefits Authority (RBA.She has served for nineteen (19) years at RBA, with thirteen (13) years served on second-ment to the National Treasury as the Pensions Secretary. During that she spearheaded various pension reforms, including the development of the law and implementation frame-work for a contributory pension scheme for Government employees and setting up pen-sion schemes for the President, Deputy President, Parliament and the Judiciary.

In December 2008, the President honoured Ms. Mugo with a Moran of the Burning Spear (MBS) in recognition of the pension reforms she had and continues to carry out. She con-tinues to support Government pension reforms and sits on the Inter-agency technical committee on Capacity Assessment and Rationalization of the Public Service Programme (CARPS) that is overseeing reforms in the two levels of Government.

Ms. Mugo set up the market conduct function at the RBA in July 2016, on return to the Authority. The function covers consumer protection and education, as well as sector gov-ernance. Current engagements include the development of five (5) governance guidelines, with the first Guideline - RBA Market Conduct Guideline No Mc/01/2017 – on governance of retirement benefits schemes already completed. She is also involved in the implemen-tation of the proposed Financial Markets Conduct Authority (FiMCA) - a merger of the mar-ket conduct function at the five financial sector regulators, including the Central Bank of Kenya.

Ms. Mugo holds an MBA (Finance) from the Cass Business School, City University, London and is a certified corporate director and trustee. She is a member of the Institute of Direc-tors and has been a corporate governance trainer with the Centre for Corporate Gover-nance. She is also a member of the Chevening Scholars Association of Kenya and an active member of the Nairobi Baptist Church.

ABOUT THE INSTITUTE OF CERTIFIED SECRETARIES (ICS)

1. Establishment and Mandate

ICS is a membership organization, established under the Certified Public Secretaries of Kenya Act, Cap. 534 of the Laws of Kenya. The core mandate of the Institute is to promote the practice of good governance in both private and public institutions.

The overall leadership of the Institute is bestowed on the Council which is the policy is making body. The Council is appointed pursuant to Section 8 of the CPS of Kenya Act and operates through Committees and a Secretariat.

2. Membership Qualifications

The membership qualifications are prescribed under Section 20 of the Certified Public Secretaries Act, Cap 534 of the Laws of Kenya that a person is qualified to be registered as a Certified Public Secretary if he/she:

a) Has been awarded by the Kenya Accountants and Secretaries National Examinations Board (KASNEB) a certificate designated the final certificate of Certified Public Secretaries Examinations;

b) Holds a qualification approved by the Registration of Certified Public Secretaries Board (RCPSB);c) Was on June 30, 2002 both a citizen of Kenya and a member of the professional body known as The Institute of Chartered

Secretaries and Administrators;d) Was on June 30, 2002 both ordinarily resident in Kenya and a member of the professional body known as The Institute of

Chartered Secretaries and Administrators;e) Was on 1 November 1989 registered as an Accountant under section 24(1) of the Accountant Act; or f) Was on 30 June 2002 an Advocate of the High Court of Kenya.

Persons holding diplomas, degrees, or other professional qualifications can apply to kasneb for exemptions in some exams.

Qualified persons who wish to register as members are required to apply through the Registration of Certified Public Secretaries Board (RCPSB). Members who desire to practice are required to obtain a practicing certificate issued by RCPSB, after meeting the prerequisite requirements which among other things include being members of the Institute in good standing for at least two

4. Initiatives to Promote Good Governance

As a public institution with a statutory mandate to promote good governance, the Institute has undertaken various governance initiatives including:
