Note: Scope of work:- The scope of work covered by these specifications comprises of Supply, Installation, testing & Commissioning of 16.5 TR capacity water cooled package plants and carryout the required ancillary works at Ukai TPS site. The units should be provided with suitable sized electrical wiring/cabling of required length as per the site requirements. The new A/C plant will be installed at AHU room near control room of Unit # 1&2 and discharge duct of the newly installed AC plant is to be connected with existing discharge duct of control room A/C plant. Party shall have to supply all the required ducting materials, dampers, piping & valves etc for the successful erection/commissioning of newly supplied AC plant. All the materials & tools tackles required for the erection/commissioning work should be arrange by the successful bidder. Party may visit the site before submitting the offer.

Technical Specification Package Plants: The 16.5 TR capacity packaged type water cooled air conditioning units shall be of cabinet type construction of heavy gauge C.R.C.A. sheet attractively finished in enamel or quality hammer tone paint or powder coating and fully insulated thermally and acoustically. The packaged plants shall be provided with a removable type front panel for easy access in to the unit and shall comprise of compressor of semi hermetically sealed / scroll type each compressor having capacity 5.5 TR (3 Nos.). The lubrication system shall be forced feed type with suitable pump, filter with magnet, by-pass & relief valve, pressure control valve etc. The compressor shall be complete with required necessary accessories such as shut-off valves, pipe flanges; suction strainer etc. The control panel shall incorporate the suction/discharge pressure gauges, in built protection for high motor temperature, separate high/low refrigerant cut-outs. The fully protected from overloading and burn out by external and internal overloads with high and low pressure cutouts, pressure switch with its cable and temperature controls. These shall be incorporated in a microprocessor based controller.

Thermometer wells shall be provided at Condenser water inlet/outlet piping. Condenser water flow switch shall be provided to stop the machine when the condenser water flow is less than 50% of the specified flow. Multi pass Water cooled condenser of shell and tube type with shell of steel and the seamless tubes of copper with integral fins, with relief valve on condenser receiver, cooling coils of copper tubes, hydraulically expanded into aluminum plate fins to provide efficient heat transfer, low by pass factor, condensate drip pan of GI sheet steel, insulated with tar felt sticked with bitumen or glass wool sheets, expansion valve, liquid line strainer. The condenser shall be designed and tested for working pressure of minimum 21 kg/cm2 on refrigerant side and 7 kg/cm2 on waterside. A Centrifugal blower with totally enclosed fan cooled squirrel cage induction motor suitable to work on 400/440 Volts A.C. Supply (in built) starter (suitable for compressor motor of the packaged unit complete with bimetal thermal overload relay, single phase preventer & `ON/OFF’ push buttons) and cleanable 20 micron H.D.P.E. filters. The packaged plants shall be complete with first charge of R-22 refrigerant and oil. Necessary preventive measures shall be incorporated to avoid sweating on the outer panels of the unit during operation. The thermostat will be of reputed make like Honey-well, Danfos and Ranco. The bellow of the thermostat shall be kept in the proper locations to control the temperature. The D.D.C. controller system proposed to be installed in the package unit shall be of microprocessor based with integrated control circuitry & logically interlock functions to control temperature & pressure etc. All the required control cables as per site conditions shall be provided. The new A/C plant will be installed at AHU room near control room of Unit # 1&2 and existing duct of control room will be used, however modification of header will be carried out which is in the scope of party in consultation with the site Engineer. All the units will be placed on cement concrete foundation of suitable height along with serrated rubber pads to ensure vibration free operation. The cost of required concreting materials and man power shall be born by the contractor.

It is also required - 3 or 4 row deep Cu cooling coil with Al fins, low noise supply air blower with external static pressure of 1.5Kg, insulated casing & drain tray, return air filter & suitable suspension arrangement for indoor ceiling suspended cooling unit. This unit should be serviceable from rear as well as from bottom. Control panel should be complete with thermostatic control, fan speed control, starters, fuse switches, timers, O/L relay, contactors, push buttons, indicating lamps, SPP, time delay relay, corded / cordless control, etc. Necessary refrigerant & compressor oil.

General Terms & Conditions. 1. The damages if any caused to the GSECL properties shall be recovered from the

successful contractors at their risk & cost. 2. The works shall be carried out round the clock. 3. The GSECL will not be responsible for any accident / hazard caused to the person of the

contractors while carrying out the works. 4. If required the successful contractors shall arrange for the scaffolding / ladder /

transportation for carrying out works with no extra charges. 5. The electric power supply required for carrying out works shall be made available by

GSECL. 6. All the material to be used shall be new and from the fresh stock. 7. The successful contractor shall give the satisfactory testing of the unit. 8. Cooling water for the A/C package at the inlet point will be arranged by GSECL. 9. Electrical power supply required for A/C package will be arranged by GSECL.

Special Note : 1. Tenderer’s have to submit their offers in two parts viz. Technical Bid; & (b) Price bid in two

separate sealed envelopes, super scribing Technical bid for _________ (Subject) or Price bid for ________ (Subject) as the case may be.

2. Please submit Xerox copy of Sch-B duly signed by you, along with technical bid, without

stating prices. 3. Tender shall not be opened without payment of EMD. Please furnish details of EMD paid

on cover. 4. The rates should be quoted exclusive taxes. 5. Please furnish PAN No. & TIN No. along with your offer. 6. As per GSECL policy Insurance charge will be considered as Nil for the order value below

50 Lacs. 7. If any deviation in your offer with respect to Tender specification, Please clearly mention

on separate deviation sheet otherwise we will consider your offer is exactly as per our Enquiry / Tender specification.

8. Bidder has to indicate the applicable rate [In percentage] and amount of Excise duty, Sales tax/Vat, P & F, Freight etc. in their Technical bid and Price bid respectively, otherwise same will be considered as “INCLUSIVE”.

9. GSECL reserves right to place the order on technically qualified bidders for item wise / individual lowest quoted party.

10. Please furnish copy of the orders executed by you for GSECL and/or other state Electricity

Board, NTPC or other reputed organization etc. 11. It is to be noted that GSECL, Ukai TPS is establishing and implementing occupational

Health & Safety Management System complying with OHSAS 18001:2007. You as a part of the GSECL Ukai team and as defined by the scope of mentioned standard, all contractors are required to comply with and participate to prevent the occupational Health and Safety hazards and risks including observation of safety rules. Further you are also to comply with all applicable legal requirements while executing the work, in case the job is assigned to you.

GENERAL TERMS AND CONDITIONS 1. The ‘contract’ means the documents forming tender and the subsequent agreement that

may be entered into. 2. The general rules & regulations of the GSECL for tender and contract for works will

apply to the extent the same are not modified herein any other rules & regulations, conditions etc. the are in force at present and that, any be framed by the GSECL from time to time in connection with contracts will be binding & acceptable to the contractor.

3. Sub-letting or transfer of contract without prior written approval of GSECL will be treated as a breach of contract and it will be punishable by forfeiting the Security deposit as well as termination of contract.

4. The contractor shall hold the GSECL indemnified and in respect of any claims arising out of injury to any persons, loss of life, workman’s compensation or any other claims whatsoever. The contractor shall be responsible for any damages to any property of the GSECL due to negligence of the contractor or his employees. The GSECL will be entitled to recover from the contractor and it shall be final and binding to the contactor.

5. You will submit Sales Tax Registration number and same should be quoted on all his bills.

6. You will have to enter into an agreement with GSECL and the cost of the stamped paper will be borne by the contractor. The contractor will also have to execute an indemnity bond on required value of stamped paper as per GSECL’s rules. The cost of the stamped paper will be borne by the contractor.

7. ARBITRATION: -“All question, disputed or differences whatsoever which may at any time arise between the parties to this contract in connection with the contract or any matter arising out of or in relation thereto ,shall be referred to the Gujarat Public Works Contract Dispute arbitration as per the provision of the Gujarat Public Works Contracts Disputes Arbitration Tribunal Act-1992”.

8. You will have to strictly observe all the Labour Laws and Factory Acts in existence & amendments made from time to time.

10 (A) You shall have to strictly observe all Safety rules as per the Factories Act, 1948 and the whatever amendments made from time to time to avoid any chances of accident. Contractor shall have to strictly follow the instructions of Safety Officer.

(B) The Safety precaution issued vide this office circular no. CCUT/Safety/ 4/90/CIR 345 A Dtd.: 14-12-90 is applicable to this contractor also and to be followed strictly.

(C) Before starting the contract it is advisable that party should have the documents for insurance of works.

11. The work shall be completed within stipulated time. If required, party have to work round the clock to maintain the work schedule.

12. You will have to take all necessary precautions to avoid fire during cutting welding etc. in case of any smoldering fire, the same should be extinguished by contractor immediately using their own labour tools water and buckets etc.

13. You will have to arrange your own adequate tools and tackles welding accessories, drilling machine, grinders, scaffolding welding machines, gas cutting sets, lifting material like hydraulic jacks, slogging spanners, dial gauges & piano wire.

14. You will have to arrange all consumables including required electrodes, kerosene rustolene paint grinding wheels etc. at his own cost.

15. An authorized and technically qualified representative of the contractor must be available at site while the work is going on. The address of the representative should be submitted to this office so that party can be contacted whenever required in connection with execution of the work.

16. Scaffolding material, if available with GSECL will be issued on chargeable basis otherwise contractor will have to arrange for the same at his own cost. After completion of work scaffolding is to be removed immediately.

17. After completion of work, working area and surrounding area should be made clean by removing M.S. debris & all types of scrap etc. scrap should be credited to main store only & it should be dumped at place shown by E.E.(Store).

18. Electric connection & consumption will be given free of cost at one mutually point. 19. Oxygen / Acetylene gas if available will be issued on chargeable basis from GSECL Main

store, otherwise the party has to arrange on it’s own. The cylinders should be returned to main store within stipulated time.

20. Shifting, transportation of materials from Main store to working site shall have to be done by contractor at his own cost.

21. Party shall submit daily progress report for the work carried out by them. 22. The contractor, if desires, can seen the plant and site of work with permission of

undersigned on any working day during working hours. 23. Party has to carry out the work at site only. 24. The required spares like steel plates, nut bolts, studs, lubricants, will be given by the

GSECL free of cost for carrying out works as per Schedule-B. if any damages occurred while replacement of new Paris, the actual cost of the parts will be recovered from contractor.

25. Income Tax will be deducted at source at prevailing rates as per I.T. Act. 26. Rates should be offered on certain percentage higher or lower than the estimated amount

under Schedule-B. The net offered amount should be written in figures and in words in Schedule-B.

GENERAL TERMS & CONDITION OF CONTRACT : 01. LABOUR LAWS :

01 Persons below the age of 18 years shall not be employed for the work.

02 No female workers shall be employed in the night shift between 07.00 PM to

06.00 A.M. 03 Contractor shall maintain valid labour license under the Contractor (Regulation &

Abolition ) Act.1972. For employing necessary manpower to be required by him. In the absence of such license the contract shall be liable to be terminated without assigning any reasons thereof.

04 The contractor shall at his own expense comply with all the labour laws and keep the Board indemnified in respect thereof. Some of the major liabilities under various labour and Industrial laws which the contractor shall have to comply with are as under.

05 Payment of contribution of employees (Contractor labour) as well as employer’s (Contractor) contribution towards Provident Fund, Family Pension Scheme, Employee Deposit Linked Insurance Scheme. Administrative charges, Inspection charges etc. at the rates made applicable from time to time by Government of Gujarat / Government of India or other Statutory Authorities.

06 Labour engaged by you shall be entitled for Earn leave as per the provision laid down in factories Act. 1948. Contractor shall extend the facility of E.L. as per the provision laid down in Factories Act and shall also have to maintain leave records in prescribed form under Factories Act.

07 No labours are allowed to enter in power station [premises who do not have identity card prescribed under factories Act.

08 Contractor shall have to comply with the Maternity benefit is he happens to engaged female labours as per Maternity benefit Act.

09 Contractor shall have to obtain Insurance of the labourers engaged by him to carry out contractual work before commencement of work under workmen’s compensation Act.

10 P.F. CODE NUMBER : The contractor shall have to submit the details of his own P.F. code number along

with offer from appropriate authorities. Without P.F. code No. the tender is likely to be disqualified.

11 PROVIDENT FUND AND FAMILY PENSION SCHEME : The contractor shall submit along with his bill ( Month wise ) a statement

regarding deductions at the rate of 12% of the wages against employees provident Fund & Family pension Scheme in respect of each concerned employee. (or at the rates made applicable by the Government from time to time) of the wages. The contractor’s contribution and his workers contribution towards Provident fund and Family Pension Scheme shall be deposited by the contractor with Regional Provident Fund Commissioner, Ahmedabad or to the authority prescribed under the Act along with the other charges applicable.

12 If any workman engaged by contractor meets with fatal or non-fatal accident while on duty then contractor shall be liable to pay compensation to the legal heir or to the workman as the case may be as per workman’s compensation Act.

13 EMPLOYEES DEPOSIT LINKED INSURANCE SCHEME : The contractor shall have to deposit ½ % of the rate applicable form time to time

of the wages in respect of employees who are a member of the provident fund against the contribution towards Deposit linked insurance scheme with regional provident Fund Commissioner, Ahmedabad.

14 The Contractor should pay prevailing minimum wages to the laboures engaged by him as per the minimum wages Act in presence of the GSECL’s Officer or Representative.

15 The Contractor shall deposit fifteen days salary for every completed one year of service for each worker for the liabilities of gratuity.

16 ADMINISTRATIVE CHARGES : Administrative charges for maintaining Provident Fund Account shall be deposited by the contractor with Regional Provident Fund commissioner, Ahmedabad at the rates applicable.

17 LABOUR LICENSE FOR LABOUR CONTRACT : The contractor shall have to obtain the copy of labour contract license under contract labour (Regulation & Abolition) Act from the appropriate authorities before commencement of work.

18 Contractor shall have to issue the appointment letter to their labour engaged during the contract period each & every instance and should be narrated clear cut terms and conditions for the liabilities of the concerned employees.

19 After completion of the contract work, the work completion certificate is required to be produced before the DY. GENERAL MANAGER for the purpose of no due certificate and cancellation of the gate passes issued to the contractor worker at the time of execution of the contract work.

20 The contractor shall have to maintain all the relevant records under labour law as mentioned here in above and kept ready for verification by the Board’s authority as well as the authority of the Government Officials as and when asked for the checking.

21 The contract shall have to produce / submit the original copy of wage register / muster roll and relevant records under labour laws for the contract work as and when demanded by the Corporation for statutory compliance if arise in future.

“GENERAL SAFETY RULES TO BE OBSERVED BY THE CONTRACTORS “

All the contractors working under Ukai Power Station are required to scrupulously observe following safety rules. They are also responsible for informing and observance of these rules by their employees OR employees of their Sub-Contractor. Prior to commencing the work they will have to submit written assurance on their letter head to the concerned Sectional Head that they have read and will follow these safety rules while execution of work awarded to him and have educated their employees / sub contractor. They will have to indemnify the Corporation for any loss or damage / accident/injury to the Corporation’s property/employee or employees of their own in default of non – observing these rules. 01 Persons to be employed for carrying out the work shall possess required

qualification, are fully trained and conversant for works to be done. 02 The contractor shall all the required safety measures prior to commencement of

work on dangerous substances, machineries or area at which cautionary notice is displayed and obtain line clear or work permit through the concerned Department / Section prior to commencing the work.

03 Prior to commencing the work in the area where inflammable material is lying, all such inflammable material shall be removed or covered under protective covering. Special care shall be taken before carrying out welding, gas cutting, furnace heating or other hot work job. They should also keep ready fire extinguishing materials like water and sand buckets or appropriate equipment at such place.

04 While carrying out work in confined space or inside vessel, necessary “ confined space / vessel entry permit “ shall be obtained prior to commencing work. For lighting in such area, 24 volt (ISI certified &with guard) hand lamp should be used. For taking care of the persons working within the confined space / vessel, a Supervisor capable of under – taking rescue operation should be present. While working within the gutter or trench, for warning to other entrants / passers by; caution notice shall be displayed. This can be done by making a temporary fence with a rope or red ribbon. After completion of the works, all the lids shall be fixed in original position and leave the place in safe condition so as to prevent accident to fellow workers.

05 Stair cases, lifts or other passages and gangways shall be kept free by not stacking of any material, spare parts, tools / tackles, equipment etc. such passages are necessary for safe escape in the event of emergency. If it is utmost necessary to carry out work in such area with blocking of passage, prior permission of competent authority or the Engineer – In – Charge shall be obtained. To demarcate the area as unsafe, proper fencing with caution notice shall be displayed and the traffic shall be diverted through other safe passage.

06 While using electrically operated gadgets or power operated equipment/hand tools like welding machine, hand grinder, hand drilling machine etc., they should be ensured for safe operation. Defective or unsafe equipment shall not be used. Power connection for using such equipment shall be obtained only through the concerned Section and should be connected under observation/ guidance of concerned Section. The Electrical Section shall provide temporary electric connection up to contractor’s Mains Board on which mains switch, ELCB and fuses shall be installed. All the equipments shall be property and fully earthed to prevent electrical shock, sparking, short circuit etc. Power cord to be used shall be of single length. Single phase and three phase connection shall use 3 wire and 4 wire cords only. The plugs, receptacles, pin holders etc. should be of adequate capacity and safe to use.

07 Use personal protective equipments as per job requirement compulsorily :

08 All the lifting tackles and associated fixtures, such as D-shackles, slings, “U” clamps, Eye belt shall be checked before use for this safety and pursue that these are certified through competent authority every year and certificate obtained. They shall be fixed properly 7 firmly prior to lifting the weight.

09 While working at height, scaffolding of adequate size and capacity should be used. While climbing on such scaffolding, safety belt and Helmet should be used and chin straps of Helmet be fixed.

10 All the electrical and mechanical equipment viz, welding machine, cutting machine, Grinder, Drill, Chain Pulley Block, Hook, chooks etc. should carry ISI certification mark. The consumables to be used on which expiry date is mentioned shall be used before the expiry date only. Old material shall not be used.

11 Contractor or their employee shall not interfere in other’s activities except their assigned job. They should not loiter and operate other’s machinery and equipment. The contractor shall instruct their employees not to sit or take rest at a place where the plant / system / machinery are working and the area is prone to accident.

12 In case of fire or smoke coming out during the working, efforts should be made for extinguishing the fire and the Fire Station should be informed on Phone No. 4444/5555 & 4344.

13 Poisonous / toxic or inflammable / explosive Gas Bottles viz. Oxygen, Acetylene, LPG, Hydrogen, Ammonia, Chlorine, CO2 etc. shall be handled with special are and trolley should be used for their handling. They shall not be handled by rolling.

14 On completion of the work, cotton waste, spilled oil / grease, pleces of welding rod and other waste material shall be removed and the area shall be left clean and safe.

15 In case of injury / accident while working, accident report shall be filled and forwarded to the Safety Officer through the Sectional Head. Form No. 21 for this purpose can be obtained from Safety other or the concerned Section.

16 The contractor shall provide standard make ( ISI certified ) personal protective Equipments to their staff. The contractor shall also educate their staff for use of such P.P.E.S. insist, and enforce to use it while at works.

17 The contractor is obliged to follow all the safety regulations and legal provisions. They shall specifically obey to the provisions of Factory’s Act 1948 and Gujarat State Factory’s rules 1963 ( up to latest amendments). They shall also honour the instructions of the competent authority for safety requirements.

18 The above rules shall be scrupulously followed and where required, they may contact the Safety Officer in case of unable to understand.

1) The rules and regulations regarding safety to be observed by all contractors are as per attachment. If it is found that, any of these rules is not observed / the corporation will take strict puniture action against the concerned contractor.

2) Moreover for all labours of the various contractors working in TPS area / premises, wearing of personal protective equipment shall be compulsory and if any labours is found working without PPF same shall be considered as a breach of safety rules and regulations for which the gate pass issued to the concerned labours shall be immediately confiscated and a sum of Rs. 1000/- (Rupees one thousand only.) shall be deducted from the monthly bill of the l contractor. No dispute in this regard shall be entertained by the corporation whatsoever.

COMMERCIAL TERMS AND CONDITIONS FOR TECHNICAL BID 01] Tender fee of Rs. 500/- shall be remitted along with tender by way of cash / by demand

EMD at the rate of 1% of the value of the Tender subject to a minimum of Rs. 500/- is payable. The EMD is payable either in cash or by Demand Draft in favour of the GSECL drawn on Bank of Baroda payable at Ukai. Small scale industries will, however, be considered for exemption from payment of EMD, subject to their furnishing valid attested copy of the certificate of Registration with small scale industries. The Registered class ‘A’ suppliers of the Corp. are also exempted from payment of EMD. Government or Semi Government Organizations which are run departmentally and are not limited companies will also be eligible of exemption from payment of EMD. No interest will be allowed against payment of EMD. Tenders submitted without Earnest Money Deposit by the firms who are not eligible for any exemption. Will be liable to be rejected without entering to further correspondence in the regard.

04 SECURITY DEPOSIT : The successful tenderers will be required to pay an amount equivalent to 10% of the value of the order as a security deposit for satisfactory performance of the contract. Such security deposit will be payable either in cash or govt. securities - Bank guarantee from scheduled bank approved by the govt. will be acceptable if the amount of security deposit payable exceeds Rs. 10,000/-. The Bank guarantees will be executed on the standard from prescribed by the Corp. In case of Bank guarantees the supplier should under take to renew the Bank guarantee at least on month before the expiry of the validity, failing which the corp. will be at liberty to encash the same. 05 VALIDITIES OF THE OFFERS: The offers will have to be kept valid for a period of 120 days from the date of opening of

technical bids. In case of finalization of the tender will be likely to be delayed, the tenderer will be asked to extend the validity without charge in prices or any terms and conditions for the offer. If any charge is made. Original or during the extended validity period, the offers will be liable of outright rejection.

06 RAILWAY RECEIPT /TRUCH RECEIPT All goods should be dispatched freight paid and the RR/TR should be forwarded directly

to the consignee by registered letter and not through any Bank. In case of local suppliers the RR/TR should be hand over in this office and in the case of up country suppliers RR/TT/ should be forwarded to the consignee directly and in both the cases it should be immediately done on dispatch of the store, as otherwise demurrage charges if any paid by the consignee will be deducted from your bill. It is essential that packing notes and prices invoices should be furnished to the consignee in respect of every consignment with a copy to this office.

A clear RR / TR should be obtained from the Railway authorities Transport Authorities without any ambiguity otherwise the supplier will be held responsible for any damages/shortage claim reject by the Authorities for want of a clear RR/TR.

07 PACKING AND FORWARDING CHARGES. The prices are inclusive of packing and forwarding charges. The stores should be

strongly and adequately packed to ensure safe arrival at destination fully covering such over as shipping as rough handling and possible corrosions due to exposure to salt laden atmosphere suit spray or open storage. All packing must be clearly marked with order number and consignee’s name and address.

08 TRANSIST INSURANCE : All the materials will be required to be supplied upped destination against all transit risks.

Such as damage loss theft fire etc. The insurance period shall cover 30 days after the date of receipt of materials all site in order to enable the Corp. to check up stores fully. The suppliers will be responsible for free replacement of such stores components as may be reported by the consignee to have been received short, damaged or broker within 30 days. The cost of damaged, defect stores materials will however be deducted from the bills of the suppliers and will be refunded only after replacement thereof. It will be responsibility of the supplier to pay claim against the insurance on receiving necessary advise from the consignee.

09 ACCEPTANCE OF SUPPLIERS : All or any stores and materials to be supplied against any contract will be subject to their

acceptance by the consignee or any other Officer deputed by the Corp. for this purpose. The Corp. will be at liberty to reject whole lot without assigning any reasons and the decision of the Officer concerned will be considered as final.

10 PRICES : Prices quoted should be firm and on FO.R. destination basis. However, the Tenderer

should animated in his price bid the break up of F.O.R. Destination prices stating the Ex- work price for Excise purpose and the average freight, insurance and packing charges. Please mention rate of stabs irrespective of turnover excise duties. If multiple slab given then it will be liable to be rejected.

11 EXCISE DUTY : The prices should be quoted exclusive of excise duty. The excise duty rate for the

quoted quantity should be stated extra. If the rates are quoted inclusive of excise duty, the rate of excise duty should be mentioned clearly.

The excise duty for the quoted quantity should be stated distinctly, if the excise duty is not mentioned clearly, offer will be loaded with highest rate of excise for evaluation purpose. The rate of excise should be mentioned for then quantity quoted irrespective of firms turn over. In case govt. revised the rate of excise duty during the tender of the contract, the provision of corp. statutory variation clause shall apply.

MODVAT BENEFIT: In the event of any statutory increase in the rate of Modvat and / or to inclusion of any

other additional item of their inputs under the ambit of the Modvat scheme, subsequent to the date of submission of the offer should be passed on to the corp. and you should inform such changes to the Corp. From time to time.

12 VALUE ADDED TAX [VAT] The prices are exclusive of Gujarat VAT tax. The rate should clearly be indicated. The

stores are required for consumption in generation transmission and distribution of electrical energy and as such Gujarat state VAT Tax at confessional rate will be paid as per rules Gujarat state form ‘C’ will be issued at the time of payment of bill’s you are requested to quote your TIN VAT tax registration number and date in all the bills.

As per govt. of Gujarat directives, while evaluation your offer the incidence of VAT The corp. is required to support its claim for subsidy recoverable by appending corp. of invoices raised by you as also copy of receipt challan for VAT tax claimed in your bill and remitted into govt. treasury. You are therefore, requested to see that on completion of supplies against the A.T. copy of invoices raised together with certified true copy of receipt.

Challan for VAT tax claimed in your invoices and paid into govt. treasury are invariable forward to Chief Engineer[Gen] GSECL Ukai.

If you fail to do so and corp. is no able to claim subsidy from the govt. the amount of subsidy receivable from govt. of Gujarat would be recovered from you any of the pending claims/s. If there is no other pending claim. The Corp. shall raise separate debit note to you which you shall have to pay on receipt of advice without demur.

13 PAYMENT TERMS: I] 100% payment will be made after receipt of material at site in good condition by

crossed cheque on Bank of Baroda Ukai Branch subject to advance stamped received from payee. Please send pre receipted bill so as to effect prompt payment.

Ii] ____% payment will be made against dispatch document through Bank of Baroda, Ukai branch provided consignment is sent by rail up to Ukai Songadh Rly Station or Thermal site or by Road Transport at Ukai/Songadh/Vyara and balance after receipt of material in good condition.

14 REPEAT ORDERS: The Corp. reserves the right to place repeat orders on the successful tender upto 50% of

the original quantity of the A/T at the same prices terms and conditions stipulated in the original contract during contractual period in special circumstances the Corp. will have the right to place repeat order for 100% quantity.

15 IMPORTANT:- Tender documents/offer/price bid should be submitted in the envelope [duly sealed] so

as to reach this office [BY POST RPAD] on or before due date of submission, please note price bid received after the due date of submission, will not be accepted and the offer is liable to be ignored. Tender documents/offer/price bid should be sent by POST RPAD only and will not be accepted other then post RPAD.

16 DELIVERY SCHEDULE:- Within 01 [One] Months from date of issuance of commercially & technically clear order. Supplier should indicate the clear delivery period for the material to be supplied irrespective of any clarification required. The delivery period will be reckoned from date of receipt of corp. order by the supplier. All necessary formalities are to be completed within the offer commence period instead of vague period. If specific period is not quoted the delivery period best suitable to the corp. will be considered and in such case, no subsequent complain will be entertained.

17 DELIVERY PERIOD:- The tenderers will have to quote a firm delivery schedule on month wise basis as

specified subject to the force. Measure conditions as accepted by DGS & D delay in execution of order on account of any other reason will be subject to levy of penalty. The date of offer of inspection of material will be reckoned. As the date of dispatch, provided that the actual dispatch shall be made in not more than 3 days after the material is inspected and dispatch instruction issued the delivery period will include the time required for pre dispatch inspection of materials.

18 PENALTY FOR LATE DELIVERY:- “Any delay that may take place in supply and / or erection, testing and commissioning

activities beyond contractual cut off date / stipulated period in the order shall be subjected to penalty [ not liquidated damages ] at the rate of ½% of the contract price / order price per week or part thereof subject to a maximum of 10% of the total contract value / order value [i.e. End cost including taxes & duties].”

19 EXTENSION IN CONTRACTUAL DELIVEDRY DATE :- It will be supplier’s responsibility to ensure that good delivered within the stipulated

delivery period. However, if on account of reasons beyond ones control as laid down in the DGS & D. Force Measure conditions the Corp. will consider extension of delivery period with or without statutory variation. However, delivery extensions will be considered only after executing of the order fully and upon submission of documentary evidence for the reason of delay.

20 REPLACEMENT OF GOODS BROKEN DAMAGED OR SHORT In the event of any stores or part there of being broken or damaged or received short

during transit or during the testing and trail at site before commissioning in service the contractors shall replace the same free of cost. However, Corp. will make recoveries of amount equivalent to cost of such damaged/broken/short supplied materials unit the replacement is given.

21 POST TENDER CORRESPONDENCE/ENQUIRES :- Any correspondence or enquiry subsequent to opening of Technical and commercial

bids is not destrible. If the same is indulged into it will be considered for disqualifying the tenders. The tenderers will be required to retain from pursuing the matter. Directly or indirectly with any officers of the Corp. as otherwise the same would also amount to disqualification of the tenders.

22 i] Drawings, [ii] Type test certificate from govt.recognized laboratory [iii] Guarantee particulars [iv] Descriptive literature [v] List of testing facilities available in the works must be furnished with the tender and also with duplicate copy of the tender. Failure to do this will result in your tender rejected without any further reference.

23 TEST CERTIFICATES:- Test certificate for the stores as per relevant BSS/ISS shall be submitted for our approval

prior to dispatch of stores and should be dispatched only after the test certificates are approved. You will be responsible for an expenditure that consignee might incure if the goods stand rejected on this account, Further the GSECL will not be responsible for any delay in payment on this account.

24 Tenderers should indicate the name and address to the manufacturers whose product they offer. Tenderer should also furnish a list of order for similar items executed by them indicating the name of the party and their order reference to whom they supplied failure to do this. Will result on your tender being rejected without any reference. In case of bought out items they should furnish the back up guarantee from their principals.

25 GSECL does not accept the printed conditions of any tenderer. It will be ignored without any reference hence tenderers should withdraw such printed conditions if any have any.

26 Tenderer must be indicate, whether the offer is first sale or a second sale for VAT tax purpose.

27 Telegraphic or short quotations and those received after opening date and time will not be considered.

28 ADVANCE INTIMATION TO THE CONSIGNEE: When the R.R. is obtained and materials dispatched RR No. Wagon No. etc. should be

intimated to the consignee in advance preferably by a telegram so that he may arrange to take delivery at the receiving station against indemnity bond in case R/R. is not received. Also if the unloading required use of crane, such advice should also be issued by telegram to the consignee indicating the weigh, size of the package Wagon No. etc so that he may make arrangements for a crane in advance. In case the GSECL has incure any extra expenditure for want of advance information the same would be recovered from you.

29 TENDERERS SHOULD FURNISH THE FOLLOWING DETAILS. 1. VAT Tax registration No. and issuing authority. 2. Registration No. under shops and Estt. Act and issuing authority.

3. Registration No under small scale industries or under DGS&D etc. submit photo state copy of the same.

4. A list of the partner/Directors with the permanent as well present address and other details of their relationship, if any with the Corp. employee dealing with this tender should be furnished along with the tender in duplicate.

5. List of machinery and production capacity. 6. List of pending orders and order executed so far. 7. Furnish audited accounts of last three years of the firm. 30 Revision of prices or any commercial terms affecting the prices after opening of technical

bids, shall not be considered. 31 Tenderers should indicate the name of their partners as well as VAT tax registration

Number. 32 Please clarify whether excise duty is chargeable or not and the ceiling for the frame must

be clearly specified to enable us to evaluate your offer. 33 PLEASE GIVE SUITABLE DECLARATIONS AS UNDER : i] I/we declare that we are manufacturer. Ii] I/we declare that we are authorized agents of manufacturers. Iii] I/we declare that we are holder ex stores tendered. 34 Tenderer should specifically mention that the offers should indicate in Block letter the

name of the partner/Proprietor who is / are signing the authority.

35 Guarantee : If the goods stores and equipments found defective due to bad design material or

workmanship the same should be repaired or replaced by you free of charge if reported within 18 months of their receipt at site or 12 months from the date of commissioning of equipments whichever is earlier. You will be responsible for the proper performance of the equipments whichever is earlier.

36 Performance Bank guarantee : The performance guarantee in the form of Bank guarantee amounting to 10% of the

order value shall be furnished by successful tenderer for satisfactory performance of the materials.

37 Approval : The goods shall be subject to the approval of the concerned consignee after receipt of

the stores at site. 38 Offer from Tenderers : The GSECL’s would prefer the offers from manufacturer directly. However in

exceptional case offer from Tenderer representing a genuine SSI unit will be considered for acceptance. However in such case complete details of the manufacturer with its postal and telegraphic address, telephone number. SSI Registration number, name of Directors /partners, machinery testing facilities should be furnished with documentary proof together with the tender, in abecence of these details the bid from the tender would not be entertained by the Corp.

39 Other conditions of supply: The GSECL’s General conditions for contractor will apply to all supply to contracts and

you will be deemed to fully aware of the GSECL’s general conditions of contract for the supply of plant equipment and materials particularly in respect of security deposit, terms of payment, penalty for late delivery etc. and any ignorance of these conditions will not exempt you from your liability to abide by the same copies are available from the GSECL office.

40 The GSECL also reserves the right to accept the whole or part of such supplies and recommend reduced prices taking into account the defects noticed. Such reduction will not be more than 15% of cost provided the Corp. Accepts the materials. In this respect the decision of the GSECL will be final.

41 Although the materials have to be supplied as per ISS the Corp. will take random samples from the materials supplied and subject them to tests according to ISS in approved laboratories. The materials should stand these and if the materials do not stand these tests, they will be summarily rejected and the supplier should make immediate arrangement to replace them with standard materials.

42 If in any company, the interest of any employee of the Gujarat State Electricity Corp. Ltd. On his relative as defined in section VI of the company’s Act 1956 is 10% or more, GSECL will not deal with such company at all Tenderer therefore must specifically disclose this fact in this technical bid. Non disclosure of such facts would disqualify the tenderer further dealing with Gujarat State Electricity Corp. Ltd.

43 The materials offered for inspection shall be in duly packed condition ready for putting the embossing the seal by the inspector on the lead seal which is provided on the packing by the supplier by passing a sealed wire through it. As per our approved method. The Inspector will pack only a few packages and select samples at random for testing. On passing of which he will emboss his marking on the seal thereafter provided on the packages which will be only few.

44 AUDIT INSPECTION: From the lots inspected by the User department inspector, the inspection, Audit wing

may pick up samples from the lots and subject these to the same acceptance test against either at the manufacturer’s work or where particable of independent laboratories, In case the sample during test conducted by inspection Audit wing are found negative, all the available lots of that materials test by another inspector concerned should be subject to fresh acceptance testes by another inspector and only those lots which pass test should be accepted. You shall give all co operation to the inspector of Audit wing. Inspection wing for resampling and testing of the materials.

45 Inspection: All supplier are to the inspection and approval of GSECL. The GSECL will depute an

officer authorize DGS & D of any other agency to carry out the inspection on behalf of GSECL. At least 30 days notice should be given prior to the dispatch of the stores in case of plants and equipment and 10 days notice incase of general stores in order to enable the GSECL to detail on inspection. The GSECL also reserves right to waive the inspection before dispatch and authorize the consignee to carry out the final inspection on receipt of the stores at site.

46 Termination of contract: In case the contractor fails deliver the stock or any consignment thereof. Within contracted period of delivery or in case the stores are found not in accordance with prescribed specification and / or the approved sample. The GSECL shall exercise its discretionary power either.

[a] to recover from the contractor as agreed, liquidated damages or by way of penalty clause above or

[b] to purchase elsewhere after giving due notice to the contractor on account and at the risk of the contractor such stores not so delivered or other similar description without canceling the contract in respect of the consignment not yet due delivery or

[c] to cancel the contract. In the event of the risk purchase stores of similar description, the opinion of the GSECL shall be final. In the event of action taken under clause [a] or [b] above. The contractor shall liable for any loss which the GSECL may sustain the account but the contractor shall not be entitled to the any saving on such purchases made again default.

47 ARBITRATION All questions, disputes or differences whatsoever which may at any time arise between

the parties to this agreement touching the agreement or subject matter thereof, arising out of or in relation there to and whether as to construction or otherwise shall be referred to the decision of the sole Arbitrator, appointed by the Chairman and MD GSECL for that purpose, who shall be a retired High court judge or retired District and Sessions judge, and the decision of the said Arbitrator shall be final and binding upon the parties References to the arbitration shall be governed by the provisions of Indian Arbitration & Conciliation Act 1996 as amended from time to time and the rules made there under. The Arbitration proceeding shall be conducted at H.O. GSECL, Vadodara or at such places as the sole Arbitrator may be determined. The award of sole Arbitrator shall be final & binding upon the parties.

48 Jurisdiction : All question, Disputes or difference arising under out of or in connection with the tender
