Summer’s End, St. John, VI Introduction Summer’s End is the brainchild of the award winning development team of Chaliese Summers and Rick Barksdale. Located on the sleepy East End of St. John, U.S.V.I. in Coral Bay, Summer’s End is a potential seven phase project anchored by The Yacht Club at Summer’s End and The St. John Marina. Long known as the Jewel of the Caribbean because of her massive national park covering 70% of the island, St. John’s development has been frustrated due to the lack of a marina. After nearly a decade of effort and hundreds of thousands of dollars invested by Chaliese and her team, St. John will no longer lack the friendly access needed to realize her potential. Summer’s End is a market driven development whose design is tailored to her specific market. Each phase is designed for organic growth that supports successive phases. While great effort has been exerted to make Summer’s End collective and comprehensive in design and scope, each phase is independent and autonomous from the other financially and developmentally. With a projected fulfillment timeline of six to eight years, the purpose of this document is to provide a comprehensive overview of the Summer’s End vision, introduce principals involved and provide an idea of financial potential to those individuals who have the ability to share in the enthusiasm and dividends offered by this life changing and legacy development.

The Yacht Club at Summer’s End Phase l – Mega yacht marina

The Yacht Club at Summer’s End is the preeminent destination for mega and super yachts in the Caribbean. Now the rich and famous can escape the paparazzi and fish bowls of St. Barts and the Cote de Azure and disappear into the quiet and solitude of St. John, a tropical paradise that is home to thousands of acres of unspoiled mountainous terrain ribboned with hiking trails, old sugar plantation ruins and breathtaking beaches like Trunk Bay. As St. John’s first marina and only mega yacht portage, The Yacht Club at Summer’s End will feature enhanced security and concierge as a part of enjoying all of the services and amenities necessary for a repast of the spirit focused on relaxation and rejuvenation. Depth ranging from 15 to 19 feet will allow access for a wide variety of mega and super yacht sizes while slip availability will be limited to 18-20 insuring exclusivity. An additional 16-18 slips are also available at The Yacht Club for select full size yachts, in water depths from 8-14 feet, bring slip totals near 40. Fast tracking this phase through a streamlined permitting process in place with territorial officials facilitates a development period of as little as 10 months from funding to grand opening. http://www.igy-isledesol.com/ Total CapEx: $ 16,000,000 Development period: 12 months Total Value: $ 37.6M (10 year) Status: Permitting and preleasing

The St. John Marina Phase ll – Full service marina

The St. John Marina is an important component of the entire Summer’s End destination vision as it is one of two marinas that anchor the development and acts as the superhighway to facilitate growth and expansion. As the gateway to the world’s favorite fall and winter yachting and sailing playground (Sir Francis Drake Channel), The St. John Marina offers every desirable amenity to yachtsmen and nature lovers including upscale, casual restaurant, sports bar, gourmet wine and cheese shop, provisioner, fuel, laundry and Customs office. Her Tommy Bahama meets the French Quarter of New Orleans architectural style sets the tone in a sexy, romantic refuge that is home to world class dining, fun and relaxation on St. John’s verdant, sleepy Coral Bay. Through painstaking market research and development, The St. John Marina at Summer’s End is designed to serve a captive and exclusive untapped market to the delight of sailors, lovers of St. John and her investment partners. Le Petit Maisons au Summer’s End Phase ll – Le Petit Maisons Le Petit Maisons (the little plantations) is the first residential component offered for sale exclusively through the Summer’s End Group. This 7.25 acre ridge top property overlooks The Yacht Club at Summer’s End and The St. John Marina, and provides breathtaking views of Coral Bay and the Caribbean Sea. Within a private, secure, gated community, 15 villas will be the exclusive domain of those desiring a terrestrial base of operations to go along with their yacht portage. Villas will range in price from $2.4-$3.2M and will offer the same preferred amenities buyers have at home and on their yachts docked at The Yacht Club at Summer’s End. The market for Le Petit Masons is a captive one as there are no other gated communities overlooking the only marinas on St. John. The Ocean View Villas Residences of Scrub Island, BVI are comparable. http://www.mainsailbvi.com/#&panel1-2 With The Yacht Club at Summer’s End playing a sweet siren’s song, the stunning hillside residences of Le Petit Maisons are harmonious additions to complete the Caribbean’s ultimate, intimate, haute destination for fun, rest and relaxation. Summer’s End, St. John, VI Phase III – Luxe Retail Outlet Stores

As with all of Summer’s End, this phase looks to simply incorporate into the development businesses whose models are already successful within the Caribbean basin. The outlet craze has permeated every socio-economic strata of our collective psyche regardless of what language one speaks or which part of the globe is claimed as home. One of the biggest draws in Old San Juan, Puerto Rico and elsewhere in the islands are the outlet shops. What is now the Coco Lobo shopping complex next to the Voyages building will be redesigned and renovated to support 6-8 high end outlet storefronts with names like Michael Kors, Polo, Tommy Hilfiger, Puma, Betsy Johnson, Armani Exchange, Coach, Hugo Boss, Yves Saint Laurent, bebe, Calvin Klein, Dolce & Gabbana, BCBG or Louis Vuitton to name a few. A beautiful courtyard setting combined with premium brands for a discount is the perfect combination for retail success, especially combined with the lack of sales tax and $1600 duty free per person in the U.S. Virgin Islands. Total CapEx: $ 2,000,000 Development period: 19 months Total Value: TBD Status: Primary due diligence complete

Summer’s End, St. John, VI Phase III – The Boardwalk

The ultimate sweep her off of her feet experience is a romantic, moonlit stroll along a compelling waterfront with views that are the inspiration of poets and motion pictures. The Boardwalk at Summer’s End seeks to do its part to establish a new standard for Cupid’s work in the Caribbean. From a practical standpoint, The Boardwalk will provide a safe pedestrian thoroughfare linking Phases l-lV of Summer’s End providing for carefree shopping and a destination for site seeing. While all components of every phase have flexible phase incorporation, The Boardwalk has the most flexibility to be incorporated within any of the seven phases. Total CapEx: $ 6,000,000 Development period: 24 months Total Value: TBD Status: Due diligence

The boutique resorts typically cater to those individuals who are international travelers, both foreign and domestic who seek the highest levels of amenities and services. http://www.greatsmallhotels.com/ Surrounded by National Park, a 10 acre site has been identified for the development of a state of the art boutique resort featuring bungalow type suites, pampering spa, five star dining and more. Sequestered across the bay from The Yacht Club at Summer’s End, a convenient water taxi offers transport back to civilization. In the classic style of iconic sugar plantation homes of the Caribbean and Deep South, The Great House will provide additional square footage for retail expansion as dictated by the market. The Great House and her accessory building look to be the hub of Summer’s End community activities via mainstays of Internet café, expanded provisioner and deli, hardware and chandlery, laundry, and car rental. Total CapEx: $ 6,000,000 Development period: 12 months Total Value: $ 11.2M (10 year) Status: Predevelopment

This property looks to be renovated and remodeled as the home of a premier members sailing and yacht club offering a nexus for dining, socializing, and headquarters for regattas and rallies. With ample square footage, space would be available for water view receptions, weddings, intimate conventions, conferences and more. Corporate sponsorship via yacht brokerage, rum distiller or other premium brand products is a natural fit. Summer’s End, St. John, VI Phase VI – Resort based, mixed use development There is only one large acreage tract of land available on St. John. This 170+ acre site offers every type of topography from lush valley to hillside, panoramic, down island vistas. Situated between The St. John Marina and The Docks at Summer’s End, a more idyllic site for tropical resort development could not have been conjured up by the magicians at Spielberg’s Industrial Light and Magic. Opportunities exist for a large scale, eco-friendly, all inclusive resort; nearly self sustaining solar and wind powered, motion picture, music, technology and arts based community. Renewable energy and LEEDS based development can be achieved in lieu of or in combination with traditional neighborhood development models and PUDs. Ultimately extensive market analysis, feasibility studies and economic models will determine best use. Total CapEx: $ 10.5M (initial) Development period: 12-16 years Project scope: $ 200-400M Status: Due diligence

Summer’s End, St. John, VI Phase VII – The Docks at Summer’s End

& Condominiums From 2004-2008 a Connecticut investment group explored the possibility of locating a marina development including dockage, retail and condominiums on approximately 10 acres owned by the Monrovian Church in Coral Bay. Severe, global economic factors led to the project being mothballed. With the successful realization of The Yacht Club at Summer’s End and The St. John Marina, while giving full consideration to local, environmental and developmental concerns by Chaliese Summers and her team, a buyout of this dormant project has become an attractive and viable option for all concerned. The Docks at Summer’s End would complement the mid-market St. John Marina by offering an additional 60-80+ slips for yacht charter fleets and small to mid-sized vessels, as well as products and services like boat service and repair, dry storage, larger scale commercial and residential components. Again, following a model that has a recent, proven record of success like Scrub Island in the BVIs is envisioned. http://www.scrubisland.com/ Total CapEx: $ 16-50M Development period: 14 (docks) -48 months (res. /com) Total Valuation: $ 100M+ (10 year) Status: Preliminary due diligence

Summer’s End, St. John, VI Financial Compilation Considering the number of defined and potential phases of Summer’s End and combinations thereof, suffice to say that it is difficult at the least to quantify exact financial requirements for success. It is however, safe to assume that through the process of successfully bringing a half billion dollar development into reality that an incremental initial capitalization of $50M would be necessary to launch all phases simultaneously, with an additional $50 to $100M available to facilitate cash flow and the liquidity necessary to maximize returns.

Initial CapEx: $50M Total CapEx: $100M+

It is our last best chance at capturing elusive relaxation, making carefree, heartfelt connections with friends & family and taking a deep breath before we resume a life of meeting ourselves around corners.

It is the memories of these life affirming respites that provide the inspiration for the naming of the Coral Bay development: Summer’s End. Summer’s End, St. John, VI Summary With the support of the Governor, other territorial and federal officials, local business leaders and lovers of the sea, The Yacht Club at Summer’s End and The St. John Marina have set the stage for a new standard in eco-sensitive, best use, sustainable development that provides jobs and revenue benefits to the territory while offering a unique vacation and lifestyle experience that can only be found at Summer’s End on St. John, U.S. Virgin Islands. While a total of six other exciting potential phases besides The Yacht Club at Summer’s End have been identified and vetted, they are by no means fixed. Flexibility in their scope, scale and execution, and openness to additional opportunities add to the excitement and financial opportunities exclusive to Summer’s End. There is a vision of life in the Caribbean where warm, gentle breezes, sapphire blue waters, swaying palm trees, sunny skies and the American dream of the pursuit of happiness coexists. In Summer’s End, Chaliese and her partner have taken to heart and spirit the words of the late visionary Walt Disney: “If you can dream it, you can do it”.
