terms & Conditions1. Payments are due on or before the 10th day of the month
followingthatmonthinwhichtheadvertisingispublished.
2. Fulfillment. All net advertising dollars spent in a 12-monthsperiod with The Post-Journal will apply toward the fulfillmentoftheadvertisercontractexceptpassthruexpenses,legalandlatepaymentfees,andwhereotherwisenoted.
3. ShortRating.If,afterthetermofthisagreement,Advertisershallhaveusedfewernetdollars,space,orinsertions,thanagreedtoherein,Advertiser’srateforall revenue/space/insertionsusedduring the termshallbe increased to theappropriateearnedrate indicatedon thecurrent ratecarddatedJanuary 1,2019andAdvertiser shallpay thedifference. Inanycase, the ratechargedwillnotexceedthecostsofcontinuingtheagreementinforceuntilitsexpirationdate.SeeaddendumAforratelevelsappliedforrateadjustment.
4. Newspaper’s Rate Card. The terms and conditions of theNewspaper’sRateCardareincorporatedhereinbyreference.Ifanytermsorconditionsoftheratecardconflictwiththetermsof the Agreement, the terms of the Agreement shall govern.TheNewspapermayreviseitsadvertisingratecardatanytimeupon30dayswrittennotice.
5. Right to Edit or Reject. The publishers of The Post-Journalreserve the right to edit, classify or reject at any time anyadvertisementsubmittedtotheirrespectivenewspapers.
6. PaymentforAdvertising.Advertisershallpayfortheadvertisingpurchased under this Agreement according to the termsindicated on the Newspaper’s invoices/billing statements. Intheeventofabillingdispute,Advertisermustpromptlypayallamountsnotsubjecttodispute.Failuretoreceivetearsheetsisnotavalidreasontowithholdpayment.IfAdvertiserfailstotimelypayasprovidedfortheinvoices/billingstatements,theNewspapers may reject advertising copy and/or immediatelycancelanyAgreementandAdvertiseragreestoindemnifytheNewspaper for all expenses incurred in connection with thecollectionofamountspayableundertheAgreement,includingcourtcostandattorneys’fees.Futureadvertising,evenprepaid,mayberefuseduntilreimbursementismade.IftheAgreementis canceled due to the Advertiser’s failure to timely pay, theNewspaper may re-bill the Advertiser at the open or earnedcontract rate, whichever is applicable. Stated rates for allcontractadvertisingservicesareconditionalontimelypaymentbycashorcheck.Allpastduebalancesaresubjecttoa2%permonthservicecharge(minimumcharge$2.00).
7. Joint and Severable Liability. If Advertiser utilizes an agency(“Agency”),AdvertiserandAgencyshallbejointlyandseverabllyliable for complying with all the terms of the Agreement,includingpaymentforalladvertising.
8. No Sequential Liability. Insertion orders or an AgreementrendersvoidanystatementsconcerningliabilitythatappearoncorrespondencefromAgencyorAdvertiser.Itisfurtheragreedthat The Post-Journal does not accept advertising orders orspacereservationsclaimingsequentialliability.
9. Inaccurateratesoninsertionorderswillbetreatedasclericalerrorsandadvertiserswillbechargedattheapplicablerateineffectatthetimeofpublication.
10. Typographical Errors, Incorrect Insertions or Omissions. ThisAgreement cannot be invalidated for typographical errors,incorrectinsertionsoromissionsinadvertisingpublished.ThePost-Journalagreestorunacorrectiveadvertisementforthatportion of the first insertion which may have been renderedvalueless by such typographical error, wrong insertion oromission.AdvertisershallnotifyThePost-Journalofsucherrorsintimeforcorrectionbeforethesecondinsertion.Thecorrectiveadvertisementorcreditshallnotexceedthecostoftheactualspace occupied by the error. The Post-Journal shall not beliabletoAdvertiserforanylossthatresultsfromtheincorrectpublication(including,withoutlimitation,typographicalerrors),incorrectinsertionoromissionofAdvertiser’sadvertisements.Any claim for credit must be in writing and received by ThePost-Journal within sixty (60) days from the date of invoice/billingstatementorbedeemedwaived.Undisputedamountsmustbepaidinfullbytheduedate.
11. Positioning of Advertisements is not guaranteed. The Post-Journal will use reasonable efforts to accommodate theAdvertiser’s position requests. Failure to meet positionrequestswillnotconstitutecaseforadjustment,refundorrerun.Guaranteedpositionwillbecharged25%additional.
12. Indemnification. Advertiser agrees to indemnify, defend andhold harmless the publisher against any and all liability, lossor expenses arising from claims of libel, unfair competition,unfair tradepractices, infringementof trademarks,copyrights,tradenames,patentsorproprietaryrightsorviolationofrightsof privacy resulting from the publication of the advertiser’sadvertisement.
13. For the value received, advertisers hereby assign The Post-Journalallrights,titleandinterest,includingcopyrightinterest,toalllayoutsoftheadvertisementsplacedinThePost-Journalwhich represent the creative effort of the newspaper and/orutilizationofitsownillustrations,labor,compositionormaterial.
14. CreditCheck.Cashwithallordersunlesscreditisestablished.
15. Political advertising is payable in advance, upon placementof advertising order. All political advertising must conformto Federal guidelines and adhere to New York State FairCampaignCodes.Politicaladvertisementsmustcontaina“Paidby...”acknowledgment.
16. ThePost-Journaldoesnotacceptbrokeredadvertising.
17. Ifanadvertisementissetbutnotpublishedtheadvertisermaybechargedat50%ofthead’searnedrate.
