- Supplier - an entity that sells electricity to end-use customers utilizing the jurisdictional transmission and distribution facilities of an EDC. Aggregator - an entity that purchases electric energy and takes title to electric energy as an intermediary for sale to retail customers. Broker/Marketer - an entity that acts as an intermediary in the sale and purchase of electric energy but does not take title to electric energy.

7. FINANCIAL FITNESS

a. BONDING: In accordance with 66 Pa. C.S. Section 2809{c)(1)(i)1 the Applicant is required to file a bond or other instrument to ensure its financial responsibilities and obligations as an EGS. Therefore, the Applicant is...

Q Furnishing the original (along with copies) of an initial bond, letter of credit or proof of bonding to the Commission in the amount of $250,000. ($ 10,000 bond to be furnished prior to submission)

Q Furnishing the original (along with copies) of another initial security for Commission approval, to ensure financial responsibility.

X Filing for a modification to the $250,000 requirement and furnishing the original (along with copies) of an initial bond, letter of credit or proof of bonding to the Commission in the amount of $10,000. Applicant is required to provide information supporting an amount less than $250,000. Applicant respectfully requests a modification to the $250,000 initial bond requirement and requests that the Commission reduce its security requirement from $250,000 to $10,000. In support of this request, Applicant notes that it will not be collecting any gross receipts from its customers or generating electricity. Its services include analyzing client electricity loads and negotiating the purchase of electricity for its clients. Applicant will not take title to electricity. Applicant's operations will make it similar to other brokers that obtained approval for a reduced bond amount (e.g., Prospect Resources at Docket No. A-2010-2170869, Co-eXprise, Inc., at Docket No. A-110166, and Affiliated Power Purchasers, Inc. at Docket No. A-110041). See attached bond and Petition requesting waiver of $250,000 bond requirement (Exhibit D hereto).

At the conclusion of Applicant's first year of operation it is the intention of the Commission to tie security bonds to a percentage of Applicant's gross receipts resulting from the sale of generated electricity consumed in Pennsylvania. The amount of the security bond will be reviewed and adjusted on an annual basis.

Example version of a bond and letter of credit are attached at Appendix D & E, Applicant's security must follow language from these examples.

- Any deviation from these examples must be identified in the application and may not be acceptable to the Commission.

b. FINANCIAL RECORDS, STATEMENTS, AND RATINGS: Applicant must provide sufficient information to demonstrate financial fitness commensurate with the sen/ice proposed to be provided. Examples of such information which may be submitted include the following:

- Actual (or proposed) organizational structure including parent, affiliated or subsidiary companies.

Published Applicant or parent company financial and credit information (i.e. 10Q or 10K). (SEC/EDGAR web addresses are sufficient)

- Applicant's accounting statements, including balance sheet and income statements for the past two years.

Disclosure Statements: If proposing to serve Residential and/or Small Commercial (under 25 kW) customers, provide a Residential and/or Small Commercial disclosure statement. A sample disclosure statement is provided as Appendix G to this Application.

Electricity should be priced in clearly stated terms to the extent possible. Common definitions should be used. All consumer contracts or sales agreements should be written in plain language with any exclusions, exceptions, add-ons, package offers, limited time offers or other deadlines prominently communicated. Penalties and procedures for ending contracts should be clearly communicated.

a. PJM LOAD SERVING ENTITY REQUIREMENT: As a prospective EGS, the applicant understands that those EGSs which provide retail electric supply service (i.e. takes title to electricity) must provide either:

proof of registration as a PJM Load Serving Entity (LSE), or proof of a contractual arrangement with a registered PJM LSE that facilitates the retail electricity services of the EGS.

The Applicant understands that compliance with this requirement must be filed within 120 days of the Applicant receiving a license. As well, the Applicant understands that compliance with this requirement may be filed with this instant application.

b. STANDARDS OF CONDUCT AND DISCLOSURE: As a condition of receiving a license, Applicant agrees to conform to any Uniform Standards of Conduct and Disclosure as set forth by the Commission. Further, the Applicant agrees that it must comply with and ensure that its employees, agents, representatives, and independent contractors comply with the standards of conduct and disclosure set out in Commission regulations at 52 Pa. Code § 54.43.

c. REPORTING REQUIREMENTS: Applicant agrees to provide the following information to the Commission or the Department of Revenue, as appropriate:

- Retail Electricity Choice Activity Reports: The regulations at 52 Pa. Code §§54.201-54.204 require that all active EGSs report sales activity information. An EGS will file an annual report reporting for customer groups defined by annual usage. Reports must be filed using the appropriate report form that may be obtained from the PUCs Secretary's Bureau or the forms officer, or may be down-loaded from the PUCs internet web site.

Reports of Gross Receipts: Applicant shall report its Pennsylvania intrastate gross receipts to the Commission on a quarterly and year to date basis no later than 30 days following the end of the quarter.

The Treasurer or other appropriate officer of Applicant shall transmit to the Department of Revenue by March 15, an annual report, and under oath or affirmation, of the amount of gross receipts received by Applicant during the prior calendar year.

- Applicant shall report to the Commission the percentages of total electricity supplied by each fuel source on an annual basis:

- Applicant will be required to meet periodic reporting requirements as may be issued by the Commission to fulfill the Commission's duty under Chapter 28 pertaining to reliability and to inform the Governor and Legislature of the progress of the transition to a fully competitive electric market.

Jasmahn Energy and its senior staff have over 20-years of experience in energy brokerage and

procurement. Jasmahn Energy has been operating as an electricity broker/marketing in Texas for the

past 13-years, since the supply of electricity was de-regulated. In addition to being active in Texas

Jasmahn is also licensed in Ohio and is also in the process of applying for licensing in New Jersey,

Massachusetts, Illinois, Maryland, and expects to seek licenses in several other de-regulated states in

the near future.

Jasmahn Energy's current client base consists of large industrial customers, office buildings, casual

dining, hospitals and other medical facilities, assisted living facilities, hostels, retail stores, car

dealerships, and other small and large commercial operations. As part of its services to customers,

Jasmahn Energy develops an overall energy procurement strategy through systematic review and

analysis of its clients' usage history and energy needs.

Jasmahn Energy's professional staff is comprised of 6 energy consultants who understand the

complexity of energy futures and financial risk management. Jasmahn consultants review natural gas

and energy market data on a daily basis to enable them to advise clients on the proper timing for a

contract execution or renewal. Jasmahn updates clients throughout the term of their contracts

regarding industry changes which could lead to additional cost savings opportunities, and implements a

comprehensive procurement program for our clients including but not limited to contract review,

patterns of energy consumption, pricing, and term recommendations.

Executive Bio & Professional Experience

Josh Stern CEO- A graduate of the University of Arizona, Josh has over 14-years experience in the energy

sector. Prior to becoming CEO of Jasmahn Energy he was co-founder of Power Brokers and Current

Energy, firms specializing in energy procurement and demand side energy management. As managing

director and principal partner. Josh was responsible for overseeing 250 employees and managing all

aspects of the firms' operations. In 2008 Josh was one of the finalist for Ernst & Young Entrepeneur of

the Year.

In 2010 Josh became CEO of Jasmahn Energy, overseeing the day to day operations of the Company.

Jasmahn Energy currently manages 2-Terawatts of power for its clients. Josh has been responsible for

implementing detailed utility bill audit, bill processing, energy efficiency initiatives, and demand

response functions. As an experienced energy consultant, Josh is well versed in the complexity of energy

futures and financial risk management, and has implemented comprehensive energy procurement

programs for Jasmahn's clients.

Larry Stern- Senior Vice-President is a graduate ofthe University of Oklahoma has 7-years experience as

an energy consultant. Prior to joining Power Brokers in 2005, Larry was Senior Vice-President of Towcon

Properties. Towcon is a multi-faceted developer of multi-family and condominium properties in Dallas,

Texas. As the Senior Energy Consultant for Power Brokers Larry's annual gross sales were in excess of

$1,000,000.00.

In 2012 Larry joined Jasmahn Energy as Senior Vice-President. Larry's responsibilities include portfolio

and risk management and customer budget analysis and preparation. He is also in charge of all customer

service operations. Because of Larry's extensive knowledge of real estate he primarily works with large

real estate developers and management companies.
