WELCOME TO CALDANWelcome to CALDAN. We hope that your employment with our company will be a good relationship and satisfactory for both parties.

Atfirst,youwillprobablyfindthatthecultureandproceduresatCALDANgiverisetoquiteafewquestions.Thatiswhywehavewrittenthismanual,whichwillhopefullybeabletoanswersomeofyourquestionsandgiveyouafirst-handimpression of the company. Afterwards, it can be used as a reference tool.

CALDAN designs, manufactures & installs internal transport systems for automated painting processes & materials handling worldwide.CALDAN Conveyor A/S is the parent company of a group of companies located in Europe, which comprises of:

3) The CALDAN history:1963 Calundan & Jansen Engineering Company A/S, later to be known as Caljan A/S, is founded by Kaj Calundan, Bachelor of Commerce, and Svend Jansen, Engineer. The company initially starts selling overhead conveyors in Denmark. Gradually,theproductrangeexpandstoincludeotherinternaltransportsystems,completeturn-keyfacilities,andfinally,in the early 1980s, the world renowned telescopic boom conveyor ‘Long John’. With the development and production of ‘Long John’ Caljan A/S experiences a rapid growth. Sales and production companies are established in Germany, England, France and the United States - the company goes from being a smaller engineering company to an international group with approximately 300 employees worldwide.

1994 After 30 years of leadership, K. Calundan and S. Jansen retire and sell the majority shareholding in Caljan A/S to an investor group. K. Calundan continues with the product area overhead conveyors on a small scale. Due to the telescopic conveyor’s fabulous success, this product area has for a number of years been downsized, but now new vigour is being introduced into the product development and marketing.

1994 Caljan Conveyor Systems A/S is separated from the Caljan Group, and continues as an independent company under the name of CALDAN Conveyor A/S.

1997 CALDAN purchases AL-CON Conveyor A/S in Naestved. Herby CALDAN becomes Scandinavia’s largest supplier of conveyor systems. With the establishment of our own control systems department for the production of intelligent controls, we become a total supplier in overhead conveyor systems.

2000CALDANopensanew,3000m2headofficeinGalten.

2000OurfirstsalesofficeopensinBadHersfeld,Germany,whereSalesManagerFrankBerghandlestheGermanmarket.Thesalesofficealsohasanassociatedsparepartswarehouse.

2002AsalesofficeopensinRedcar,England,underthemanagementofColinBerry.Thesalesofficealsohasanassociatedspare parts warehouse.

2004TheheadofficeinGaltenisextendedby1,000m2.

2009 CALDAN Service GmbH is founded with a base in Bad Hersfeld.

6) Quality objectives and procedures:At CALDAN we strive to become the worldwide preferred supplier of conveyor solutions. It is our objective, not only tofullymeetourcustomersexpectations,butalsotobeacompetent,flexibleandquality-conscioussupplierofqualitysolutions and services. GENERAL INFORMATION:

8) Alcohol policy / smoking policy:Alcohol policyThe Management has decided that a maximum of 2 beers per person can be consumed after working hours at CALDAN premises. It is expected that the employees can manage this rule themselves

Smoking policy:The management has, according to the nationwide smoking rules adopted the following set of rules:

CALDANOffices&Workshop:You must notify your line manager of your intention to take a smoking break, smoking may only occur outside the building in the designated smoking areas Outofofficeworking: You must self-manage your smoking breaks. Smoking may only be in the designated smoking areas of customers and/or within customer’s rules. Smoking is prohibited in any company vehicles

9) Anniversaries:For anniversaries such as: Employee’s wedding, copper wedding, silver wedding, 20, 30, 40, 50 and 60 year birthdays, you get one day off paid by the company. CALDAN also commemorates the following anniversaries:10 years of employment: we award a gift voucher for two to a restaurant for £ 100.00 as well as a paid day off. 25 years of employment: we award £ 1,000.00 to the employee as well as a paid day off on the actual day.

Longer-term employment:A special event for each additional 10 years of employment will be held.

10) Child’s first sick day:According to applicable national labour laws.

11) Communication:All employees will be issued a @caldan.dk email address, which must be used for all company business. At CALDAN we use Skype for business. All internal communications should, wherever possible, be carried out using Skype for business either from the supplied company smart phone or computer.

Wherever possible employees will connect to a wireless network when utilising email, sms, internet or Skype.

12) Company parties:ProvidedthatCALDANsfinancespermitit,twoannualcompanypartiesareheld.ASummerpartyandaChristmasparty.TheSummerparty,whichiswithpartners,isusuallyheldonthefirstFridayinSeptember.OurChristmaspartyisforemployeesonly,andisusuallyheldonthefirstFridayinDecember.

15) Employment / resignation / redundancy:Employment: At the start of your employment, you must provide the following information to the payroll department: Name, address, telephone number, national insurance number, registration and bank account number, and whether you have previously registered for the Workplace Pension scheme. The payroll department must be provided with the above information and benotifiedofanychanges.

Resignation / redundancyPlease refer to your employment contract. With termination of employment, you must return the following items to your the head of your department:- Keys, tools and toolbox, work-wear, PC, mobile phone, credit cards and any other CALDAN belongings.

16) Funerals:CALDAN provides a paid day off for a funeral in your immediate family. Immediate family is: spouse/partner, children, parents and siblings. If the funeral takes place on a Saturday or a Sunday, the day off no longer applies.

17) Further education:CALDAN pays full salary during any appropriate training.

18) Guidelines for travelling:When travelling on CALDANs behalf the employees are expected to be cost-conscious.

Flights:Allflightsareoneconomyclass,andareexpectedtobebookedinthecheapestandmostprofitablewayforCALDAN.Business class can only be booked in agreement with the line manager.

Car rental and hotels:Car rental and hotels are expected to be booked on a medium and reasonable level according to the country’s cost level.

Other expenses:Purchase with company Master card: - Electronic devices (computer, telephone, camera etc.) are purchased at the company’s expense. The department manager must always approve these purchases. - Personal hygiene costs are held at the employees own expense. - Company Master card is only to be used for private purposes in case of emergency.

Dining at CALDAN’s expense:When dining at CALDAN’s expense, the company expects staff to show responsible behaviour and keep costs at a reasonable level. If customers, suppliers or co-workers are invited, the department manager must always approve this and the following invoice. Further beverages costs other than those associated with the meal are at the employees own expense (beverage costs in connection with invited customers excepted).

Installation, service, commissioning and programming:Travelling is solely on the basis of state tariffs. This means that you cannot dine at the company’s expense (breakfast except if included in the room price). The only case (in accordance with the above) where you can dine at the company´s expense is if you, in agreement with the immediate superior, invite customers to eat. This should then be noted in the installation report, so that deductions for breakfast and dining with customers are settled with the diets. As before, your immediate superior must sign if you are to be exempt from deductions for breakfast.

Project meetings and sales:Here you can choose whether you want to travel on diets according to the state’s tariffs or by expense. If you want to travel on diets you must, like before, write the number of days with company-paid breakfast (if included in the room price) onyourdietaccountsettlement.Ifyouwanttotravelbyexpense,youmustfillinthedietformwiththenumberofdaysthe company has paid for breakfast, lunch or dinner respectively. As in the cases above, the immediate superior must sign if one is to be exempt from the deduction for breakfast.

Supplement for longer stays abroad:For all CALDAN employees who work abroad (hourly-paid & salaried employees) during an uninterrupted period of 28 consecutivetraveldays,asupplementofDKK140.00perdayisreleased.Thesupplementiscalculatedfromthefirstday,and is settled for the number of full days the period has lasted.

Waiting time:Ifourfittersandprogrammerswhoareonsitecarryingsysteminstallationsarepreventedfromdoingtheirjobbytheclient, we pay a maximum of 8 hours. This applies to all days of the week. We expect that any waiting time is, as far as possible, used for company-related tasks such as the compilation of installation reports, contact with project leaders, meetings with the customer, etc.

19) Health & Safety:Attheoffices,first-aidkitsareprovidedforminorinjuries.Incaseofseriousinjury,helpcanbeobtainedbycallingthenational emergency service number.

20) Holidays: Please refer to your employment contract.

21) Insurance:Allemployeesareinsured,accordingtothelawonwork-relatedinjuriesandconsequencesofaccidentsduringworkinghours. Accidents on the way to and from work are exempt from this law and are not covered by the company’s insurance.

22) Internal news:Info screens in CALDAN DK, CALDAN UK, CALDAN GERMANY & CALDAN EAST bring internal news simultaneously and on a “running basis”. The content is birthdays, red letter days, special events, new projects, new employees etc.

23) Maternity leave:According to applicable national labour laws.

24) Mileage allowance, use of company cars: Please refer to your employment contract.

25) Military service:Reserve duty for the military is without pay during the period of absence.

26) Overtime rates:Please refer to your employment contract if applicable.

27) Pension scheme:Please refer to your employment contract if applicable.

28) Personal Data Regulation:Due to changes in the ”Personal Data Regulation Law” we must have written permission to use the employee’s image on our website. Currently employee pictures only used here:- Intranet (MY CALDAN - internal access only)- Service & Support (www.caldan.dk) Theimagesareintendedsolelyforthehelpofotheremployeesandcustomers,buttheuserequiresemployeeconsent.Therefore, CALDAN kindly asks the employee to send an e-mail to “Marketing” if he or she does not want to appear with their images in the mentioned places.

29) Profit sharing:Profitsharingispaidtoallemployeeswhohavebeenwithusforaminimumof3monthsinthefinancialyearinquestion,and are directly associated with the company.

Payments are according to the salary paid during the financial year. Profits under DKK 200,000.00 are not shared. Forthecalculationofprofitsharing,seeappendix1.TheBoardofDirectorsofCALDANConveyorA/Sreservetherighttochange/canceltheprovisionsforprofitsharing.

30) Senior Policy - 60+:Inordertoensurethesharingofknowledgeandcontinuationofasoundcorporateculture,wefinditimportantthatyounger and older employees work together in the company. CALDAN wishes to engage in a discussion based on mutual openness about the senior employee’s job content, working hours, etc.

As long as the employee’s requirement for job content andworking hours can be combinedwith the desired flow,managementwilltrytomeettheserequirements.Itisveryimportantthattheemployeecommitstomaintainflexibility,readiness to adapt, and not least preparedness for lifelong learning and development.

There is no upper limit for retirement age at CALDAN, but we hope our employees will give notice about retirement plans in good time. This will allow us to jointly plan the transition to retirement, and to assist and train a new colleague into your job function. When you retire, you will be offered an interview about a continued relationship with the company. This could be in the form of being available as temporary employee, or just a wish to receive internal news and invitations for special events.

31) Sick days / sick day benefits:Please refer to your employment contract.

32) Working at home / absence:As salaried employee, working at home is not a right, but an opportunity which can be arranged from time to time in accordance with the line manager. It is CALDAN’s general point of view that homework may be useful if you need extra peace and concentration for an especially complex task.

Home working days can never be a permanent and recurring event, and can as a rule not be part of the employee’s contract - except for special circumstances. There must be an agreement between the line manager and the employee about what which tasks are expected to be carried out during the homework day / days. Homework must be noted in “Outlook”, and always be approved by the line manager.

Absence:If you are not at the company’s address within normal working hours, it must be noted in the ”Outlook absence calendar” and in your own ”Outlook calendar”.

Dental visits, doctor visits, chiropractor visits, physiotherapist visits and the like should in general be arranged outside ordinary working hours. If this is not possible, it can of course be arranged during working hours. It is the employees responsibility to make sure that the time spent is obtained later. The absence must be advised to the line manager.

In the ”Outlook absence calendar” as well as in your own ”Outlook calendar”, one of the following terms must be used in case of absence:• Customer visits / supplier visits• Course / seminar• Working at home• Compensatory leave• Agreed absence (if overtime regulation - agreed with the line manager)• Holiday• Disease• Maternity leave• Health absence (doctor, dentist, chiropractor, physiotherapist)• Child’sfirstsickday• Private appointments

33) Working hours / flexitime:Please refer to your employment contract.

Appendix 1. Profit sharing:Wepay10%ofthepotentialprofitbeforetax.

The distribution is done according to the following formula:

Forprofitsharingx100 = allocation percentage All salary costs.

Example:

Profit: 3,000,000All salary costs 10,000,000

Payment in total: 10% of 3,000,000 = 300,000

3,000,000 x 100 = 3%10,000,000

ForasalaryofDKK200,000,3%of200,000ispaid,whichequalsDKK6,000beforetax.

Youmusthavebeenemployedforaminimumof3monthsinthefinancialyearinordertobepartoftheprofitsharing.

Thesalary,whichprofitsharingisbasedon,isthesalaryearnedduringthefinancialyearinquestion.
