What started out as a movement begun by the SalinasValley Chamber of Commerce and the two Business Improvement Districts in Salinas (the Oldtown Salinas Association and the Salinas United Business Association) has now expanded to include a variety of community organizations that represent thousands of local residents and stakeholders. To the right of this article, an image is reproduced that shows the signatories to a July 22 letter to the County (the letter is printed in full on Page 5 of this Journal). Beyond the original three Salinas business associations listed above, the Save Our Local Economy (SOLE) Coalition included eight other organizations (as of press time) whose boards and leaders have considered the possible acquisition of the Capital One property by the County and have formally decided to oppose the acquisition. Siding with the SOLE Coalition, there are now organizations that represent agriculture (the Monterey County Farm Bureau and the Grower-Shipper Association); business associations that extend throughout other parts of the County and region (Monterey Peninsula Chamber of Commerce, Central Coast Builders Association), grassroots community advocacy groups including COPA and the Center for Community Advocacy. Just after the letter was signed, the United States Green Building Council’s Monterey Bay Sustainable Neighborhoods Advocacy team decided to support SOLE and our objectives. Finally, the Downtown Salinas Rotary Club, which does not normally take stands in matters of politics and policy, decided that they needed to do so in this case. The Downtown Salinas Rotary Club is composed mostly of small business owners - community leaders who continuously demonstrate their commitment to the long-term health of our community. What SOLE Is Asking For 1. Slow down the process to allow adequate time to conduct a thorough due diligence on community-wide impacts on business, residents and constituents. 2. Engage authentically with the community and stakeholders to allow open-book collaboration in the analysis leading to a decision including seeking official advice from the County’s own Economic Development Committee. 3. Partner with the City of Salinas in good faith to help alleviate short-term facility and parking issues of concern to the County while developing a comprehensive long-term planning and implementation program for the Government Center as embodied in the 2012 MOU. Dispelling Some Misconceptions Let’s face it: the purchase of property by the County is not a topic that would light the fires of most people. However, as time goes on and more people learn about the potential impact, the SOLE Coalition aligned against the acquisition grows. We believe this is part of the reason that the County doesn’t want the public involved. We have asked repeatedly for the County’s own Economic Development Committee to study the issue. That illustrious group includes a number of noteworthy business leaders who are on the record as supporting SOLE’s position. As the SOLE Coalition continues to grow in number, arguments come to light of how this would affect the people who use County services. This is why we see the participation of groups like the Center for Community Advocacy, which works with farmworkers to advocate for improved housing and health conditions. SOLE’s most important concerns with the acquisition are: 1.“If the County moves, 2,000 workers will lose.” The property should be preserved for private industry which can bring NEW JOBS. Over the years, the Capital One site supported an average of 2,000 well-paying jobs. At $50k each, that represents a payroll of $100M annually. That is new money that would ripple throughout the city and county. 2. Honor the MOU commitment with the City to build a downtown government center which can serve as a catalyst for economic growth in the area. 3. Consider Smart Growth Principles and the impact on County services, especially for those who will have few transportation options to get to the Capital One site. Editorial Boards Speak The Salinas Californian has written several pieces critical of the County’s behavior with regard to the Capital One acquisition, in particular citing the lack of public engagement (to be generous with the choice of words) or the air of secrecy (to be more direct). The Monterey Herald Editorial Board published an article largely sympathetic to the County’s viewpoint, but even they state“...[T]he county should slow down long enough to consider some of the business leaders' ideas. An improved and coordinated downtown government center would still be a worthwhile pursuit.Talks on how that might work — even despite purchase of Capital One — ought to beTopic A on any upcoming city-county discussion. Both sides here have good arguments. Perhaps a good compromise could be fashioned.” We agree. If there is a very compelling financial argument for the County to move forward, then we ask the County to share their financial analysis. As we went to press, they have not done that, despite repeated requests. The Capital One property is not going anywhere and we are confident the owners would allow a 30-day extension to negotiations if the County were to allow public input in this decision that will affect our community for generations. So we must ask you respectfully but firmly, County Supervisors, why is there such a rush? beopposedoratoursideintomorrow’sbattle.Weshouldrememberthatintheend,we’reallinthistogether.Here’sabitofwhatwe’velearned.Out of Many, One WithSOLE,theChamberhasledthecreationofabroad-basedcoalition.Whatstartedoutwiththreebusinessorganizationshasgrowntogarnerthesupportofmanydisparategroups.Alocalunionleadertoldmethismorning,“Farmer,believeitornot,we’reonthesamesideofthetableasyouonthisone.”Whensomanydifferentorganizationsspeaktogether,ourcollectivevoiceisinfinitelystrongerthanthevoicesofanyofusalone.the Chamber’s voice Matters Attheendoftheday,theChamberisn’treallyadecision-maker.Ourpowerliesmoreinshiningapublicspotlightandinfluencingthosewhodomakethedecisions.Sincewerealize

thatmuchofthedecision-makingandinfluencehappensbehind-the-scenesinquietmeetingsandnotthroughshowyprotests,theChamberandSOLEhavebeenseriousbrokersinbringingmanyoftherightpeopletogether.WiththeSOLE/CapitalOnedeal,theChamberhasprovenagainthatwecanbuildacoalitionofcommunityorganizations.Theseincludemanycommunityorganizationsthatgobeyondstrictlybusinessinterests.Build Long-term Relationships Beforethisexperience,IfeltliketheCountySupervisorslivedfarawayinapossibly-fictitiousplacecalledSupervisor-Land.WhatI’velearnedisthattheyarenotsodistant.EverysingleSupervisorhasrespondedtoourrequestsfortimeandtheyhavelistenedtous.Manyofus.(Thatgoesforseveralhigh-rankingCountystaffmembers,aswell.)Intheend,they

mightnotvotethewaywe’dlike,butthey’vegivenusaseatatthetable.AftertheCapitalOnedecisionhasbeenmade,IpledgepersonallytoworkhardertobuildbridgeswiththeCountytohelpsolvetheirchallenges.Theirchallengesareours.No Going Backward Justacoupleofyearsago,theSalinasValleyChamberneededtocleanupourhouseabit.Weneededtostrengthenourfinancesandmakesomeoverduemanagementdecisionsandwe’vedonethat.Ultimatelythough,thesewerejustnecessarystepssothatwecouldfocusontherealmissionoftheChamber–workingtocreateastronglocaleconomyandadvocatingfortheinterestsofbusiness.Westillhavemuchtodo,butI’mpleasedtotellyouthatwe’veelevatedthelevelofourgame.Andthatbenefitsourmembersandthewholecommunity.

Dear Mayor Joe Gunter,

On behalf of SOLE, we thank you for your leadership regarding the County’s possible acquisition of the Capital One property. We believe this matter will come before a vote of the County Board of Supervisors on July 29.

While we understand the City has multiple areas of concern with the County, the efforts for downtown revitalization and more will be severely hampered if the County approves the acquisition. We are in the most important final push of our efforts, and we would like to share some specific requests for action from the City to help stop the County’s acquisition.

• The City and its leadership should be vociferous and public in its position on this issue. Direct the City Manager and key City Staff, particularly Doug Yount, to speak to the media and before the supervisors on this matter. As the primary steward of the Economic Development Element, Mr. Yount’s voice and influence is considerable.

• Send a formal letter, attorney to attorney, regarding potential litigation related to damages sustained by the City as a result of the violation of the City/County MOU to build a government center. These damages could include environmental impacts including traffic and blight. We recommend you create a subcommittee of the City Council and County Supervisors and staff to work on a solution to prevent litigation.

• Demand that the County share all financial analyses related to the acquisition, including potential cost savings assumptions, development costs associated with tenant improvements, deferred maintenance and ongoing maintenance. Requests from SOLE for this data have not been met.

• Request formally that the County’s Economic Development committee meet to discuss this issue. Chaired by Supervisor Potter, the meeting originally planned for July 9 was canceled and has not been rescheduled.

• Ask for time on the Board of Supervisors agenda to hear about alternatives to the acquisition. • Offer matching funds to SOLE to assist with strong public outreach and media. • Activate the City Council on this matter:

o Divide up the Council and plan individual meetings with each supervisor. o City Council should speak before the Board of Supervisors during public comment on 7/22 and 7/29.

• Regarding zoning, state that the conversion of the property from industrial business park to public ownership and use would require a Conditional Use Permit and the City should indicate it will not issue said permit.

We thank you for the time you’ve spent so far on this issue. As the decision nears, we have the crucial opportunity to work together to arrive at a successful conclusion.

Subject: County’s Possible Acquisition of Capital One Property Onbehalfoftheorganizationsrepresentedbelow,SaveOurLocalEconomy(SOLE)wouldliketoexpressourconcernsregardingtheCountyofMonterey’spossibleacquisitionoftheCapitalOnefacilityinanindustrialareainSouthSalinas.Webelievethisdecisionwouldhaveanextraordinaryimpactontheentirecommunityandmustthereforebeconsideredonlyafterdevelopingafullunderstandingofthatbroadpotentialimpact. Intheinterestsoffullyassessingtherepercussions,wewouldliketoseetheCounty’sduediligenceincludingadetailedanalysisofthebroadcommunityimpactsofthefollowingtwoscenarios: ThePurchaseProposal:MovesomeCountyemployeesfromthegovernmentcenterandconsolidateotherCountyemployeestotheCapitalOnesitewhiletakingalargeindustrialpropertyofftheprivatemarket. AnAlternative:RetainandconsolidatethosesameCountyemployeesintheexistingGovernmentCenterandleavetheCapitalOnesiteavailableforprivatesectorinvestmentandjobcreation. ThisduediligencewouldassessmorethanthedirectfinancialimpactstotheCounty;foreachscenario,itwouldalsoprovideathoroughanalysisofallindirectandinducedcommunityimpactsonbusinesses,residentsandconstituents.Thisexpandedduediligencewouldincludebutmaynotbelimitedtothefollowingconsiderations:

1.Effectonjobsincludingthecreationofmorewell-payingjobs2.Impactsonpropertytaxesandsalestaxes3.Economicimpactonprivatepropertyvalues,commercialrentalincomes,commercialvacancyrates,localspendingpatternsandhomevaluesintheadjacentneighborhoods4.Accesstopublictransportation,effectsonridershipandpotentialneedforsubsidizedspecialshuttleservicesforstaff,visitorsandcustomers5.EffectonnumberofvehicletraffictripsandannualmilestraveledincludingstafftripsduringtheworkdayandbypublicvisitorswhodependonCountyservices6.ImpactonStaffproductivityandservicelevels7.Environmentalimpacts,includingtrafficandpotentialforblight.WearguetheCountymustundertakeCEQAreviewpriortoapprovinganyrelocation.8.AccesstohighspeedinternetservicesfortheCountyinbothlocations,nowandinthenearfuture9.Developmentcostsassociatedwithtenantimprovements,deferredandongoingmaintenanceforCapitalOne(300ksq.ft.)vs.purchaseand/orconstructionofafacilitysizedtosuitwhatisactuallyneededattheGovernmentCenter10.ConsistencywiththeCityofSalinas’sZoningOrdinanceandGeneralPlan11.ConsistencywithCounty’sGeneralPlan,theCounty’sClimateActionPlanand“GoGreen”campaign12.AlignmentwithAMBAG’srecentlyadoptedSustainableCommunitiesStrategyandgreenhousegasreductiongoals13.AlignmentwiththeTransportationofMontereyCounty(TAMC)goalsandtransportationprinciplesandhowthissupportsitsproposedIntermodalTransportationCenter14.AlignmentwiththetenSmartGrowthPrinciplesincludingcompactdevelopment,walkableneighborhoods,directingdevelopmenttowardsexistingneighborhoods,andencouragingcommunitycollaborationindevelopmentdecisions15.AlignmentwithalltermsoftheMay8,2012“MemorandumOfUnderstanding(MOU)betweentheCountyofMontereyandtheCityofSalinasregardingtheMutualPlanningandImplementationofaGovernmentCenterinDowntownSalinas”16.UnderutilizedpublicpropertyremainingafterconsolidationofCountystaff(i.e.surfaceparkingorundevelopedproperty)

Mr.WeirhasbeenreplacedonaninterimbasisbyDouglasYount,theProjectManagerforthenewEconomicDevelopmentElementoftheCity'sGeneralPlan. InNovember2014,thevotersinourcommunitywillhaveachancetomakeadifferenceinthefutureofourcommunity.WeallknowthechallengeswearefacinginSalinas–thequestionathandiswhataretherightsolutionstotheseproblems? ObviouslyournumberonepriorityasaCityissafety.That’swhypublicsafetyistheprimaryfocusoftheseballotmeasures.WeknowhowtokeepSalinassafe.Ourlawenforcementprogramsareeffective,whenwehavetheresourcestoimplementthem–theproblemisthatweDON’Thavetheresourcestosupportsuccessfulandeffectiveprograms,andtobuildthemuptothelevelsthatweneed.Weneedmoreswornofficers,firefighters/paramedics.Cutstothe

gangenforcementteam(VSU),theCommunityServicesUnitandtoschoolresourceofficershavesetusback.Butit’snotjustaboutofficers:it’saboutprogramsthatengageyouthandkeepthemontherighttrack.PreventionandyouthengagementisanimportantcomponentofasaferSalinas. Overthelast8or9monthswe’vetalkedwithhundredsofresidentsandbusinessownerstolearnwhattheythinkaboutsolutionsforSalinasthrougharangeofcommunityoutreachefforts.•WesentoutsurveysbymailtoeveryoneintheCityandmadethemavailableonline,andwereceivedthousandsofresponsesonprioritiesforSalinas.•We’vehadcommunitymeetingsandworkshopsacrosstheCity.•We’vereachedouttobusinessleaders,faithleaders,therespectedleadersofSalinas,butmorethananythingwe’vespokentoourresidents-theeverydayfolksmakingtheirliveshere.

Throughallofthisvarietyofoutreach,therehasbeenoneoverarching,definiteconsensus: Salinasneedstoinvestinabroadrangeofservicestoprovideresidentswiththesafer,betterSalinastheydeserve.Publicsafetyisahugepartofthesolution,butpeoplewantsaferroads,programsforyouth,accesstoparksandpublicfacilitiesandmore. Thismeans:fixingpotholes,streetsandsidewalksbeforetheyfallintofurtherdisrepairandbecomemorecostlytoaddress;upgradeneighborhoodrecreationalcenters,makesurethatparks,playgroundsandsportsfieldsaresafe,openandwell-lit;maintainservicesforlow-incomeseniors.Theseservicesarekeytoasafer,betterSalinas. Somepeoplemayeventhinkwe’vetalkedaboutitfortoolong,butwewantedtohaveathoroughdialoguewithourcommunitybeforemovingforwardwitharevenuemeasure.TodayweareconfidentthattheCity’splanisinlinewiththeprioritiesofour

residents. NowwehaveaplanthatwillprovidetheresourcesthattheCityneedstoworkforasafer,betterSalinas:increasingpublicsafetyserviceswhilealsoinvestinginprogramsthatkeepkidsontherighttrackandbuildinguptheresourcesandthequalityoflifethatwillmakeSalinasbetterforallofus.What has the city done to avoid asking for new revenue from taxpayers? We’vetakeneveryotherstepavailabletous.Atthispoint,thisisreallyageneralfundandrevenueissue.Wehaveexhaustivelysoughtoutandobtainedgrantfundingtothetuneofover$40milliondollars.We’vemadecutstocitystaff,andexistingemployeeshavecuttheirsalariesandbenefitssavingtheCityover$30millioninthelast5years.Regardless,westilldon’thavetheresourcesthatweneedtoaddressourproblems. IlooktoeverysinglebusinessinthisCityandrequestyourhelpinmakingtherightdecisionforourcommunity.

A Safer, Better Salinasby Mayor Joe Gunter

FarmwaterpumpinginthisdramaticdroughtiscausingthewestSanJoaquinValleyfloortosink,butforgetaboutrefillingthoseundergroundspaceswhenwetyearsreturn.Thereisnogoingbackafteraclay-lacedundergroundcollapses,saysanewreportwarningCaliforniaofirreparableharmfromexcessivepumping. "Thereareverycostlyconsequencesoflandsubsidenceaswe'vediscoveredinthepast,"saidAndrewFahlund,deputydirectorofthenonprofitCaliforniaWaterFoundation."Andsubsidenceisthreateningagain." TheSacramento-basedfoundationonMondaywillreleaseareportdetailingthewestside'stroubledpast,including$1.3billionindamages.Thefoundationsuggestsmoreprecisemonitoringandbettermanagementofgroundwater. TheWaterFoundationrecommends

newstaterulesandlocalmanagementofgroundwaterbasins,sayingthatthedroughthasaddedurgency.ThedroughthasforcedwestValleyfarmersonmillionsofacrestopumpmoreundergroundwaterthisyear.ThefederalCentralValleyProjectthisyearisnotdeliveringNorthernCaliforniariverwaterinmanyplaces. InWestlandsWaterDistrict,basedinFresnoCounty,officialsestimatearecord670,000acre-feetwillbepumpedsofarmerswon'tlosehundredsofmillionsofdollarsincrops,suchasalmonds.Inthemidstofthecrisis,theWaterFoundationisputtingoutaseriesofreportsintendedforwaterleadersalloverthestate.TheWaterFoundationisfundedbytwoSanFrancisco-basedfoundationsfocusedonpromotingenvironmental

Espousing Non-Discrimination Based on Marital Status

Haveyoueveraskedajobapplicantifheorshewasmarried,orbeeninclinedtohireonecandidateoveranotherbecauseonewassingleandtheotherwasmarried?UnderCalifornialaw,anemployercannotdiscriminateagainstanindividualbasedonhisorhermembershipinaprotectedclassincludingmaritalstatus.Whatismaritalstatusdiscrimination,andwhatdoesanemployerhavetodotoavoidaclaim? Atfirstglance,itseemstherewouldbetwocategoriesofmaritalstatus–marriedorsingle.ButCalifornialawismuchmorespecificdefining“maritalstatus”asanindividual’sstatusofmarriage,non-marriage,divorceordissolution,separation,widowhood,annulment,orothermaritalstate.Anemployercannotaskanapplicant,forexample,ifheorsheismarried,single,divorced,widowed--eitheronthejobapplicationorintheinterview.ACaliforniacourtdescribedwhatitcalled“clearexamples”ofmarital

statusincludingrefusingtohireunwedmothersbecausetheywereunwed,orrefusingtohiresinglepeoplebecausetheyweresingle. Althoughanemployercannotaskanapplicanthisorhermaritalstatus,Californialawspecifiesthatitcanaskifanapplicanthaseverusedanothername.Thisenablestheemployer,forexample,torunabackgroundcheckwhereappropriate.Anemployercanalsoaskanapplicantwhetherheorshehasaspousepresentlyemployedbytheemployer.Butwhatcananemployerdowiththatinformation? Ifanapplicant’sspouseworksforanemployer,theemployercantakethatintoconsiderationinhiringthepersonforbusinessreasonsofsupervision,safety,securityormorale.Forexample,anemployermayrefusetoplaceonespouseunderthedirectsupervisionoftheotherspouse.Itcanalsorefusetoplacebothspousesinthesamedepartment,divisionorfacilityifitwouldincreasetheriskofaconflictofinterest.Therefore,inthehiringscenario,iftheopeningisforapositionunderthedirectsupervisionoftheapplicant’sspouseor

inthesamedepartmentwiththespouseandtheworkinvolvespossibleconflictsofinterest,anemployercanchoosenottohirethatapplicant. Ofcourse,manyindividualsmeettheirsignificantothersworkingtogetherintheworkplace.Whatshouldanemployerdoifemployeeswhoworktogethergetmarried?Inthatcase,theemployerisobligatedtomakereasonableeffortstoassignjobdutiestominimizeproblemsofsupervision,safety,security,ormorale. Thebestpracticeisforanemployertohaveawrittenpolicythataddressesnotjusttheemploymentofspouses,buttheemploymentofrelativesandemployeesinvolvedinaromanticrelationship.Manyemployershavepoliciesthatdonotallowrelatives,spouses,oremployeesinvolvedinaromanticrelationshiptobeinasupervisor-subordinaterelationship.

Thesepoliciesputemployeesonnoticeinadvanceofhowaromantic,marital,ordomesticpartnerrelationshipwillaffecttheiremploymentandhelpprotectemployersfromfutureclaimsofmaritalstatusdiscrimination. TheSanJoaquinValley,byfar,hasCalifornia'sbiggeststoreofundergroundwater,whichhelpssupportthenation'smostproductivefarmingbelt. InitsValleygroundwaterreport,theWaterFoundationcitesU.S.GeologicalSurveyresearch,sayingthegroundsanknearly30feetnearMendotaduringa50-yearperiodendinginthe1970s. Damages--$1.3billionin2013dollars--werespreadthroughoutthewestsideincanals,wells,buildingsandroads.Loweredleveesleftsomeareasvulnerabletoflooding.Later,deliveriesofNorthernCaliforniariverwaterallowed

farmerstogreatlyreducepumping,whichlargelystoppedthesinkingland.Butnowthethree-yeardroughtandexpansionoffarminginareaswithnoaccesstoriverwaterhaveacceleratedthesinking. Scientistshaveidentifiedincreasedsinkingintwo"bowls"--oneinMercedandMaderacountiesandamuchlargeroneintheTulareLakeBasinsouthwestofTulare. USGShydrologistMichelleSneed,whohasstudiedtheValleyforthepasttwodecades,saidthesinkinglandactuallyishappeningfasternowthanitdidbefore.Thesinkingisnoteasyformostpeopletosee.IntheMercedCountyarea,farmwaterleadersrealizedthelandwassinkingwhentheycouldn'tstoreasmuchwaterbehindSackDamalongtheSanJoaquinRiver.Normally,thedamsticksupafootandahalfabovethewater,butnotnow.

"Lastyear,itwasaninchandahalf,"saidChaseHurley,generalmanagerofSanLuisCanalCo.,whichownsthedam."Youcan'tphysicallyseethelandsinking.Butwenoticeditacoupleofyearsagobecausewecouldn'tgetasmuchwaterthroughhere." Hurleywantstosavethedaminhiscentury-old,45,000-acredistrict,whichisspreadbetweenthecitiesofDosPalosandLosBanos.Heestimatesthatifthelandsinkingcontinues,itwillrequirea$10millionpumpprojecttoliftwateroutoftheriverintohiswatersystem.Inaddition,farmersinsurroundingareasarediscoveringtheir$200,000wellshavestoppedworkingbecausethesinkinglandtwistedtheshaftsandpreventedwaterfrompassingthrough.Repairsareexpensive,andsometimeswellshavetobeabandoned. Inmanyplaces,oncethegroundcollapsesandcompressesseveralfeet,

theundergroundlosesthecapacitytotrapwaterbecauseofclayinthesoil,scientistssay.Manypartsofthewestsidehaveundergroundclaylayers,remnantsofanancientlakebottom.Oncethewaterissqueezedoutoftheseareas,theynolongerholdwater,scientistssay.Scientists,farmersandothersonthewestsideneedtolearnalotmoreabouttheundergroundwatertable,saidFahlundoftheCaliforniaWaterFoundation. Californiaisoneofthefewstatesthatdoesnotyethavecomprehensiverulesanddatacollectionforundergroundwater.Fahlundsaidthewatercrisisisanopportunitytoestablishtherules--whichhavebeenahot-buttonissueamonglandownerswhodonotwantregulatorsontheirproperty. "Ithinkregulationgetsabadname,"hesaid."It'sachanceforplanningandmanagementofthegroundwater."

SoAssemblymanLuisAlejo-whorepresentsSalinas-introducedanew“urgency”versionofAssemblyBill155(AB155)inearlyJune.ItauthorizedtheAgencytousethealternative“design-build”deliverymethod.WhenaprojectdependsonurgentlegislativeactionatthestateCapitol,specialinterestgroupsseeanopportunity.TheycanblockthebilluntiltheirdemandsareattachedtoitlikeornamentsonaChristmastree.AndAB155wasirresistibletounionlobbyists.When Unions Want a Monopoly, the Legislature Can Grant It Thebillincludedacostlymandatetorequirethedesign-buildcontractortoenterintoaProjectLaborAgreementwithconstructiontradeunionsthatwould“bindallofthecontractorsperformingworkontheproject.”ItwasthefirstCaliforniabilltorequireaProjectLaborAgreementonANYproject,stateorlocal. MontereyCountyhasenduredProjectLaborAgreementproposals.In2013,theelectedHartnellCommunityCollegeDistrictBoardofTrusteesvotedtorequirecontractorstosignaunion

ProjectLaborAgreementasaconditionofworkingonthenewScienceBuilding,butreverseditsdecisionaftertheSalinasValleyChamberofCommerceandothergroupspresentedpersuasiveargumentsinsupportoffairandopenbidcompetition.Duringthatdebate,itwasevidentthatmoreMontereyCountylocalgovernmentswouldsoonbepressuredandmanipulatedtorequireconstructioncontractorstosignProjectLaborAgreements.InthecaseoftheMontereyCountyWaterResourcesAgencyinterlakepipelineproject,thatpressurecamefrombothlocalbuildingtradescouncilofficialsandtheirSacramentolobbyists.Sneaking It By the Locals AswordspreadabouttheProjectLaborAgreementmandateinAB155,localofficialsbegantoquestiontheoriginandmotivationsforit.AttheJuly9meetingoftheSalinasRiverBasinManagementPlanningCommittee,theheadoftheMonterey/SantaCruzBuildingandConstructionTradesCouncilconfirmedthesestatementsintheJune18committeemeetingminuteswerecorrect:•“Thelanguageregardingthelaboragreementwasaddedintheprocess.TheBuildingTradesCounciladdedthistogarnertheirsupportforthebill.”•“Ourelectedofficialswouldnotcarrythebillwithoutthisbeingadded.”Withthisevidence,opponentsoftheProjectLaborAgreementthreatenedtoasktheMontereyCountyGrandJurytoinvestigatesecretdealsleadingtotheinclusionofthemandateinAB155.

Fed Up With the Mess Notsurprisingly,localsupportforAB155beganeroding.Finally“fedupwiththismess,”theSalinasRiverBasinManagementPlanningCommitteevoted4-1onJuly9torecommendtotheMontereyCountyWaterResourcesAgencyBoardofDirectorsthatitpullitssupportforAssemblyBill155.Tocounterthismovement,unionofficialshintedthattheMontereyCountyWaterResourcesAgencycouldbesuedforallegedlynotcomplyingwithstateprocurementlawsearlyinthedevelopmentoftheinterlakepipelineproject.Thiswasnottheonlythreat:somelocalofficialsworriedpubliclythatAssemblymanAlejowouldnotsupportstatefundingforthepipelinewithoutaProjectLaborAgreement. Meanwhile,AB155continuedto

movethroughthelegislaturewiththebackingofAssemblymanAlejo,whosaidhewouldnotremovetheProjectLaborAgreementmandatefromAB155unlesstheMontereyCountyBoardofSupervisorsvotedtoimposeitsownunionmandate.Politicsisneversimple. Therearefewtopicsmorecontroversialthesedaysthanhydraulicfracturing("fracking").Whilethedebateragesonastowhetherfrackingposesarisktowaterquality,anewdesalinationtechniqueaddressestwootherenvironmentalconcerns:waterscarcityandgreenhousegas(GHG)emissions.DevelopedbyresearchersattheUniversityofBritishColumbia(UBC),thebreakthroughtechnologyusesexcesscarbondioxidecreatedinthefrackingprocesstodesalinatetheprocesswater,makingitavailableforwaterreuse.Italsogenerateschemicals—hydrochloricacidandcarbonatesalts—thatarevaluableformanyindustrialapplications. TheUBCteamhasreceived$500,000fromtheClimateChangeandEmissionsManagementCorporationtocommercializethetechnology,whichisdescribedasalow-energydialysis(membrane)system.AccordingtoglobalinformationcompanyIHS,theU.S.marketopportunityforwatermanagementinoilandgas

(O&G)isexpectedtogrowfromitscurrent$8-billionstatusto$38billionby2022,with$11.2billiontieddirectlytofracking.Shalegasplaysaren’tasplentifulormatureintheresearchers’homebaseofCanada,butshaleformationsinAlbertashowconsiderablepotentialforthefuture.Advanced Technology, Simple System Thesystemfeaturesamodulardesign,allowingforoperationalflexibilityandoff-the-shelfuse,butitalsorepresentsatechnologybreakthrough.Itgeneratesitsproducts—desalinated,reusablewaterandmarketablechemicals—throughnovelutilizationofion-selectivemembranesandelectric/chemicalconcentrationdifferential. Thetechnologyseekstoreplacecurrentdesalinationmethodssuchasevaporationandreverseosmosis,whichareenergy-intensive,donotcreateacommercialbyproduct,andonlycontributetoGHGs.Environmental Impact TheU.S.EPAcites“well-documentedairqualityimpactsinareaswithactivenaturalgasdevelopment,”withdatasupportedbytheGreenhouseGasReportingProgram.In2012,the

PetroleumandNaturalGasSystemsSectorreportedatotalof217millionmetrictonsofCO2e,or“carbondioxideequivalent”units. Onthewaterside,theEPAisinthemidstofacomprehensivestudyonfracking’simpactonwaterresources,andwhilethereiscertaincontroversyaroundtheimpactonwaterquality,theimpactonquantityismucheasiertoperceive.EvenHalliburton,asureproponentofhydraulicfracturing,reportsthat“frackingconsumesvastamountsofwater—typicallymillionsofgallonsforeverywelldrilled.”InareassuchasTexas,hometoboththousandsoffrackingwellsandextremedrought,waterstressisamajorconcern.ProfessorDavidWilkinson,leaderoftheUBCresearchteam,predictsthatthisnewinnovation,ifwidelyadoptedinAlbertaalone,could“removeseveralmegatons[1megaton=1,000,000metrictons]ofcarbondioxideandconserveseveralbillionlitersofwatereveryyear.” “Alotoftechnologieslookattheseissuesastwoseparateproblems,butwe

aresimultaneouslyaddressingbothofthem,”Wilkinsonstated.CommercializationAndAdoption Firstthingsfirst,thetechnologyhastobeproveneffectiveforafull-scaleO&Goperation.The$500,000ingrantmoneyawardedtoUBC—oneofonly24winnersfrommorethan340worldwidesubmissions—willbeused,inpart,todevelopacommercial-scaledialysiscellanddemonstrateitonreal-worldwastewater. Onceitsefficacyisproven,successfulcommercializationwillbedependentonmarketacceptance.While“green”initiativesaren’talwaysthoughtofasatoppriorityforO&Gcompanies,therearetwocatalyststhatcouldpromoteadoptionofthisinnovation:strictergovernmentregulationofGHGs,andtheopportunitytosellthechemicalbyproducts. If“goinggreen”meansmakingmoremoney,theO&Gsectorwillbeallforit.

AndwhileInowleavethecorndogandfunnelcaketraditiontomyfourchildren,oneofmyfavoritetraditionsistovisitthelivestockexhibit,whereareahighschoolFFAstudentsproudlyshowcasetheiranimals. Itcontinuestoamazemehowdedicatedandcommittedthesestudentsareinraisingandcaringfortheiranimals,anditamazesmeevenmorethatmanyofthesestudentsreceivetheseeducationalopportunitiesfromtheirhighschoolagriculturaldepartmentsandthededicatedteachersthatteachwellbeyondthenormalschoolday. Agricultureisnotonlytheeconomicbackboneofourstate,butalsoadrivingforceininnovationandtechnology.NooneismoreawareofthisthanthethousandsofteachersandstudentsacrossthestateofCalifornia. ThisiswhyIfoughtsohardtoensurethemillionsofdollarsofag-educationfundingwerenotslashedfromthisyear’sbudget.

Theeliminationofthe$4.1millionAgriculturalEducationIncentiveGrant,aswasinitiallyproposedinthebudgetprocess,wouldhavehaddevastatingeffectsonCalifornia’sfuture. Iwantedtomakesurethe74,000agriculturestudentsenrolledinmorethan300ag-edprogramsacrossCaliforniawererewardedfortheircommitmenttothisbusinessandscience,notpunished.Tocircumventthebudgetprocess,IcoauthoredAB2033whichwouldhaveguaranteedfundingfortheprogramthroughlegislation. Althoughmyvoice,alongwithfellowlawmakersvoices,rangloudandclearinsupportofretaininggrantprogramfundingthroughoutthebudgetprocess,itwasyourvoicesthatultimatelymadethedifference. Ireceivedlettersfromconcernedteachers,studentsandparents.IparticipatedinralliesattheCapitol,attendedbythousandsofdedicatedag-edsupporters.Ihadthehonoroftouringmanyhighschoolag-eddepartmentsacrossmydistrict.There,Isawfirst-handhowagricultureteachersandstudentscontinuetoshapethefutureoftheindustryandthattheymightnothavethisgreatopportunityiffundingwaseliminated. Yourvoiceswereheard,andfortunately,thefundingwasrestoredinthefinalbudget.IamextremelypleasedGovernorBrownrecognizedyourdedication,aswell,keepingthisveryimportantprograminplace.

Agricultureisandalwayswillbeahugepartofourfabricandheritage,andtheAgricultureIncentiveGrantprogramservestopreserveandprotectalargepartofCaliforniaandhistory–ourheritageandhistory. Economically,itdrivesourregionfinancialandcreatesmuchneededjobs.Socially,itprovidesmillionsacrosstheglobeessentialfoodandnourishment.Technologically,

agriculturecouldbecalledthe“NewFrontier,”creatinginnovativeandefficientwaystocontinuetofeedourever-growingpopulation. Inshort,agricultureisessentialtolifeonsomanylevels,anditismyprivilegetoworksidebysidewithallofyoutoensurethisimportantfundingcontinuestoeducateourpresentag-edstudents,aswellasfuturegenerations.

wouldbeshattered;theyoungest,oldestandweakestamonguswouldlosetheirvoices.Withoutthetirelesscommitmentoflocal,grassrootsnonprofits,ourqualityoflifewouldplummet. Sixteenyearsago,whenafriend’s5-year-oldsonwasdiagnosedwithadeadlyformofcancer,IdoveheadfirstintothenonprofitworldandfoundedJacob’sHeartChildren’sCancerSupportServicestofilladeep,unmetneedinourcommunity.Sincethen,Jacob’sHearthassupportedmorethan1,000parentswhohaveheardthedevastatingwords,“Yourchildhascancer.”Amongotheressentialservices,wehavehelpeddistraughtparentsnavigatetheirwaythroughabrokenhealthcaresystem.And,forthefamiliesofthe117Jacob’sHeartchildrenwhohavediedsinceourfounding,wehaveguidedparents,grandparentsandsiblingsthroughthe

unimaginablejourneyoflifewithouttheirchild. Allofthishasbeenaccomplishedonanefficientandhumblebudgetwithoutgovernmentfunding-100%fromcommunitycontributions. Inspiteofourflaws,localgrassroots,nonprofitorganizationslikeJacob’sHeartdofarmorewithfarlesstoimprovethequalityoflifeinourcommunitythananygovernmentprogramorcorporatesocialventurecouldpossibleimagine.Why?Becausenonprofitsmustnotonlybeaccountabletofederalandstategovernmentstoensurepublicbenefit,wemustalsobuildthetrustofourconstituentsandinvestors,consistentlydemonstratingefficiencywitheverydollarinvested.(Imaginereceivingapersonalthankyoucardandannualreportlayingoutexactlywhereyourmoneywasspentafteryoumakeyour

“charitablecontribution”totheIRSthisyear!) Perhapsallofus,likeGeorgeBailey,shouldrunstraighttotheSavingsandLoan,throwopenouraccountsandinvesttorestoreandimprovethequalityoflifeinourcommunity.Ifit’simpactyou’relookingfor,nonprofitdonationsarewiseinvestments.

Therearevariouswaysinwhichtoraisemoneyforbusinessoperations.Thetypicalwaysareeitherthroughborrowingmoneyfromabankorprivatelenderorsellingstock(ormembershipinterests)tothirdpartiesinthecorporationorlimitedliabilitycompanythatownsthebusiness.Ifapersonissellingstockintheircompany,thenthereareavarietyoffederalandstateregulationsgoverningsuchactivities.Incertainlimitedsituations,apersonthatwantstosellsuchstock(calledanissuer)maydosowithouthavingtodoapublicoffering.Thisarticlebrieflyaddressonespecificchangeinfederallawaboutissuingstockbutinnowayaddressesalltherequirementsforanyprivatestock

issuance. Congressenactedlegislationin2012thatamendedexistingRule506underRegulationDoftheSecuritiesActof1933toallowgeneralsolicitationofpotentialinvestorswithouthavingapre-existingrelationshipwiththoseinvestors.Priortothislegislation,Rule506(b)allowedanissuertosellsecuritiestoanunlimitednumberofaccreditedinvestorsandnotmorethan35non-accreditedinvestors.However,anysuchsalesrequiredtheissuertohaveasubstantiverelationshipwiththeprospectiveinvestorpriortotheissuer’ssolicitingtheinvestor.Thiswasasignificantlimitationontheabilitytoraisemoney. The2012legislationenactedanewRule506(c)thatallowsanissuertogiveageneralsolicitationinaprivateofferingwithouthavingapreexistingsubstantive

relationshipwiththepotentialinvestorsolongascertainspecificrequirementsaremet.Thefirstisthatallsuchinvestorsmustbe“accreditedinvestors,”meaningthatanindividualmust(i)haveanetworthinexcessof$1,000,000(excludingthevalueoftheprimaryresidence),or(ii)theindividualmustmakemorethan$200,000peryearforthepasttwoyears,or(iii)haveacombinedincomewiththeirspouseofmorethan$300,000peryearforthepasttwoyears.Inaddition,Rule506(c)requiresthattheissuertakereasonablestepstoverifythatthepotentialinvestormeetstherequirementsofan“accreditedinvestor.”Thesestepsmayincludeverifyingincomethroughreviewingincometaxreturns,wageandtaxstatements,SchedulesK-1orothersuchtaxformsorsimilardocuments.Inordertoverifynetworth,theissuer

mayreviewbankstatements,brokeragestatements,statementsofsecurityholdings,certificatesofdepositorotherindependentstatementsthatevidenceapotentialinvestor’snetworth.Ifanissuerfailstosatisfytheserequirements,thentheissuerexposesthemselvestoliabilityforfailuretocomplywiththesecuritieslawsandpossibleinvestorfraudlawsuits.
