the Office of the Chief Accountant from an initial decision of an administrative law judge in

the matter of KPMG Peat Marwick LLP Peat Marwick

This case involves allegations that certain circumstances impaired Peat Marwicks

independence from an audit client Porta Systems Corp PORTA The law judge found

that only one of these circumstances -- Peat Marwicks loan to PORTAs president --

impaired Peat Marwicks independence Because generally accepted auditing standards

GAAS require that auditors be independent from audit clients the law judge concluded

that Peat Marwick violated the requirement in Rule 2-02 of Regulation S-X that an

accountants report accurately state whether the audit was made in accordance with

GAAS The law judge also concluded that because Peat Marwick was not independent

at the time it certified financial statements filed by PORTA as part of its 1995 annual

report Peat Marwick caused PORTA to violate Section 13a of the Securities Exchange

Act of 1934 and Rule 13 a-i thereunder The law judge did not conclude however that

Peat Marwick had engaged in improper professional conduct within the meaning of Rule

102e of the Commissions Rules of Practice The law judge dismissed the proceeding

insofar as it alleged that Peat Marwick engaged in improper professional conduct under

Rule 102e and denied the Divisions request for entry of cease and desist order

against Peat Marwick under Section 21 of the Exchange Act

Among the issues likely to be argued are the following

whether Peat Marwicks loan to PORTAs president was the only independence

impairing circumstance involved in this case

whether Peat Marwick acted recklessly withrespect to any independence impairing

circumstances involved in this case and

whether and what sanctions are appropriate remedies in this case

ENFORCEMENT PROCEEDINGS

SEC BRINGS FRAUD CHARGES IN INTERNET MANIPULATION SCHEME

Settlement Calls for Return of $285000 in Illegal Gains

The Commission today brought and settled civil fraud charges against Jonathan

Lebed age 15 for using the Internet to conduct stock manipulation scheme that made

total profits of $272826 Without admitting or denying the findings Mr Lebed settled

with the Commission agreeing to an administrative cease and desist order and to

disgorge his illegal profits of $272826 together with prejudgment interest of $12174

for total of $285000 This is the first time the Commission has brought charges

against minor

Ronald Long Administrator of the Philadelphia District Office said implore

investors to be highly skeptical of any advice they receive from the internet People

should do thorough research before making investment decisions and verif all

information before acting on it

The Commissions Order finds that on eleven separate occasions between August 23

1999 when Lebed was 14 years old and February 2000 Lebed of Cedar Grove New

Jersey engaged in scheme on the Internet in which he purchased through brokerage

accounts large block of thinly-traded microcap stock Within hours of making the

purchase Lebed sent numerous false and/or misleading unsolicited e-mail messages or

spam primarily to various Yahoo Finance message boards touting the stock he had

just purchased Lebed then sold all of these shares usually within 24 hours profiting

from the increase in price his messages had caused In some instances Lebed placed

sell limit order before the market closed on the day he purchased the stock to ensure that

he would not miss the price increase of the stock while he was in school the next day

Lebeds profits on each trade ranged from more than $1 1000 to nearly $74000

The Order finds that Lebed used multiple fictitious author names for the hundreds of

identical messages he posted during each manipulation The postings Lebed made to

Internet website message boards included baseless price predictions and other false

and/or misleading statements For example he claimed in one of his messages that

company trading at $2 per share would be trading at more than $20 per share very

soon Other postings claimed that stock would be the next stock to gain 1000%and was the most undervalued stock ever The posted messages always caused the

price and volume of the touted stocks to increase dramatically On the day that Lebed

record or near-record highs in some cases reaching 52-week high for both volume and

The Commission issued an Order Making Findings Imposing Remedial Sanctions and

Ordering Respondents to Cease And Desist The Order alleges that during the period

from in or about January 1994 to March 1995 in connection with certain OTC trades

with four broker-dealers information was provided that the transactions were completed

at the national best bid or offer price NBBO and Respondents did not inform them

that on certain occasions Richardt-Alyn purchased or sold the same stock on Selectnet

at price better than the NBBO In this manner Richardt-AIyn earned total of $17477

in trading profits

Administrative Law Judge Carol Fox Foelak issued an initial decision in this matter

dated September 30 1999 Subsequently both sides filed Petitions for Review before the

Commission The Commissions Order sets aside the initial decision censures the

Respondents and orders them to cease and desist from violating Section 17a2 and

of the Securities Act of 1933 and Section 17a of the Securities Exchange Act of 1934

and Rule 7a-3 thereunder orders Richardt-Alyn to comply with an undertaking to pay

$17477 and orders Richard and Alan Feinberg each to pay civil money penalty in the
