The retention o" the ebers o" the or!ani&ation shall be !rounded on attendance in all thetrainin!s and eetin!s o" the or!ani&ation e(cept i" it is in con"lict because o" acadeic andhuanitarian reasons to be deterined by the Secretary-;eneral and the 5nternal 3ice-resident to be subitted "or appro*al to the resident throu!h a "oral counication+

ll ebers who incur ore than three absences in trainin!s and two absences in eetin!sas deterined by their respecti*e trainin! pool heads and the president respecti*ely shall be!i*en a noti"ication o" the terination o" his or her ebership in the or!ani&ation+ 5t shall besub>ect to appeal throu!h a "oral dialo!ue with the resident+

5n the case o" the *arsity ebers, their retention to their status shall be sub>ect to aseestral e*aluation by the Tea Captain, The resident and the 5nternal 3ice-resident+

ARTICLE III AUTHORIT" O# THE E$ECUTI%E BOARDSection 19 8(ecuti*e Board

The 8(ecuti*e Board shall control the adinistrati*e business and a""airs o" the .r!ani&ationand ay e(ercise all such authority and powers o" the .r!ani&ation as pro*ided "or in this

constitution+

ARTICLE I% E$ECUTI%E BOARDSection 1 -uber and Selection o" .""icers

The e(ecuti*e board shall be coposed o" the adinistrati*e o""icers consistin! o" se*en 6A7peopleas decreed by this constitution e(cept in e(ceptional circustances pursuant to rticle3 Section 1 o" this constitution+

Section 2 -Ter o" .""ice

The 8(ecuti*e Board shall ser*e o""ice "or one cadeic ear, e(cept the Tea Captain whichshall only end its ter by resi!nation, ipeachent, or !raduation+

ARTICLE % O##ICERSSection 1 - dinistrati*e .""icers

The dinistrati*e .""icers o" the .r!ani&ation will be coposed o" the Tea Captain,8(ecuti*e 3ice resident, 3ice resident "or 3arsity ""airs, 3ice resident "or dinistrati*e""airs, 3ice resident "or 8(ternal ""airs, 3ice resident "or Finance and uditor+

Section 2- Te&' C&(t&in

The Tea Captain has the priary responsibility o" ensurin! that the 'uality o" debatin! willbe in accordance with the school:s *ision o" acadeic e(cellence and shall per"or the"ollowin! duties

a+7 Shall "acilitate the trainin! "or on-3arsity Debate and ccreditations

b+7 Shall spearhead the accreditation o" 3arsity pools

c+7 Shall coplient the duties o" the Coach

d+7 Shall assue the duties o" the Coach in case the "orer is nota*ailable

e+7 Shall be in char!e with the cross trainin!s with other schools

The Tea Captain shall also be in char!e o" si!nin!, with the Secretariat or any other o""icer o"the .r!ani&ation authori&ed by the Board, any docuents or other instruents which the

Board has authori&ed with the consent o" the 4oderator to be e(ecuted, e(cept in cases wherethe si!nin! and e(ecution thereo" is e(pressly dele!ated by the Board or by these bylaws orby statute to soe other o""icer or a!ent o" the .r!ani&ation% and in !eneral the resident willper"or all duties incident to the o""ice o" the resident and such other duties as ay beprescribed by the 8(ecuti*e Board+

Section 3 E)ec*ti+e %ice P,ei.ent

The 8(ecuti*e 3ice resident shall be the secondary e(ecuti*e o""icer o" the .r!ani&ation andshall ha*e the subsidiary !eneral powers o" super*ision and ana!eent o*er the businessand a""airs o" the .r!ani&ation+ The 8(ecuti*e 3ice resident will also be in char!e o" the o*er-

all coordination o" its subordinatin! *ice presidents+ The 8(ecuti*e 3ice resident will also bethe priary representati*e to the Student .r!ani&ation Circle o" San Beda Colle!e+

Section 49T/e %ice P,ei.ent 0o, A.'init,&ti+e A00&i,

The 3ice resident "or dinistrati*e ""airs will ha*e char!e o" all atters within theor!ani&ation such as wor)in! with Student .r!ani&ation Circle, Student Council, the .""ice o"the re"ect o" Student cti*ities, and in !eneral, the 5nternal 3ice-resident will per"or allduties incident to the o""ice o" the 5nternal 3ice-resident and such other duties as ay beprescribed by the resident or the 8(ecuti*e Board+

ARTICLE %III DIRECTORATES

The Directors shall be in char!ed with coordinatin! with their 3ice residents in the pursuit o"doin! a ore de"ined >ob allocation "or the interest o" the or!ani&ation+ s the !rass roote(ecuti*e o""icers, they shall ha*e the responsibility to coordinate with other .""ices+

Section 2- O00ice o0 t/e Sec,et&,i&t

The Secretariat shall )eep the inutes o" all eetin!s% see that all notices are duly !i*en inaccordance with the pro*isions o" these bylaws or as re'uired by law% be custodian o" theo""icial records% and in !eneral per"or all duties incident to the o""ice o" the Secretary andsuch other duties as ay be assi!ned to the Secretary by the resident or by the 8(ecuti*eBoard+ The .""ice o" the Secretariat shall ha*e at least one ssociate Secretariat "or a oreor!ani&ed and e""icient ana!eent o" the or!ani&ational papers+ They will report directly to

the .""ice o" the 3 "or dinistrati*e ""airs+

Section 3- Di,ecto, 0o, Loitic

The Director "or #o!istics will be the one in char!e o" coordinatin! and ana!in! the roos,*enues, and other related atters that pertains to the lo!istical needs o" the .r!ani&ation+ TheDirector shall report directly to the .""ice o" the 3 "or dinistrati*e ""airs+

The Director "or 4ebership shall be in char!e o" creatin! pro!ras that will ad*ance the.r!ani&ation:s recruitent strate!y, shall also ha*e a detailed archi*e o" all the !eneralebers and *arsity ebers with their records o" accoplishent "or the or!ani&ation+ TheDirector shall report directly to the .""ice o" the 3 "or 3arsity ""airs+

Section 5- Di,ecto, 0o, Ree&,c/ &n. De+eo('ent

The Director shall be in char!e o" creatin! pro!ras that will ad*ance the @esearch and 4atterFilin! o" the .r!ani&ation aied at de*elopin! the 3arsity:s Debatin! S)ills, shall also ha*e anarchi*e o" all appro*e 4atter Files "or the .r!ani&ation:s "uture use+ The Director shall reportdirectly to the .""ice o" the 3 "or 3arsity ""airs+

Section 6- Di,ecto, 0o, Co''*nic&tion

The Director shall be in char!e o" counicatin! "or the .r!ani&ation in tournaents, letter o"correspondence and other related counication atters that will ad*ance the interest o" the.r!ani&ation+ The Director shall report directly to the .""ice o" the 3 "or 8(ternal ""airs+

Section - Di,ecto, 0o, M&,7etin &n. S(ono,/i(

The Director wor)s hand in hand with the 3 "or 8(ternal ""airs to !ather sponsorship "or the.r!ani&ation, shall ha*e an archi*e o" all the possible corporate and public partners+ TheDirector shall report directly to the .""ice o" the 3 "or 8(ternal ""airs+

Section - De(*t #in&nce O00ice,

The Deputy Finance o""ice wor)s hand in hand with the 3 "or Finance in relation to procurin!"inancial docuents, payin! re!istration "ees "or tournaents and related e*ents, andcollectin! "unds "or the ad*anceent o" the .r!ani&ation+ The Director shall report directly tothe 3 "or Finance+

ARTICLE %II COMMITTEESSection 1 -Coittee

The resident or the Board ay desi!nate and appoint one or ore coittees, each o" whichshall consist o" two or ore credible ebers or non-ebers as appro*ed by the a>ority o"the ebers o" the 8(ecuti*e Board, which coittees, to the e(tent de"ined by the Board,

shall ha*e an e(ercise the authority o" the Board in the ana!eent o" the .r!ani&ation+ctions o" these coittees shall be rati"ied by the Superior .""icer and or by the Board as awhole+ The desi!nation and appointent o" any such coittee and the dele!ation thereto o"

Section 2 - 3acancies

ARTICLE %III - MEETIN!S O# THE OR!ANI8ATIONSection 19 @e!ular and Special 4eetin!s

@e!ular eetin!s o" the Board shall be held once a wee)+

5n case o" Special eetin!s, the Board ay be called when situations arise+

Section 2 uthority to Call "or a 4eetin!

@e!ular and special eetin!s o" the .r!ani&ation shall be held whene*er such a eetin! isauthori&ed by

+ The Board% the resident o" the .r!ani&ation, or in his or her absence, the 5nternal 3iceresident% or the cti*ity Chair in the case o" special eetin!s, or

B+ written petition to the Board si!ned by not less than 1? o" all the *otin! ebers o" the.r!ani&ation+ The petition shall state the purpose o" such special eetin!s+

Business conducted at Special eetin!s shall be identi"ied in the call o" the eetin! andliited thereto+

Section 3 - otice o" 4eetin!s

otice o" all eetin!s e(cept those that are considered as special eetin!s shall be noti"ied tothe ebers at least 2? hours be"ore the date o" the eetin! and shall state the purpose,

place, date, hour and all the details that are deeed iportant+

Section 4 -lace o" 4eetin!

The Board ay hold its eetin!s at such place or places as the Board "ro tie to tie aydeterine or as shall be speci"ied or "i(ed in the respecti*e notices or wai*ers o" notice+

Section 5 -uoru and 8thics

E+1 ;eneral 4ebership 4eetin!s

t any !eneral ebership eetin!, the 'uoru shall consist o" those ebers present+ Theact o" a a>ority o" the ebers present at eetin!s at which there is a 'uoru will be the

act o" the .r!ani&ation, unless a !reater nuber is re'uired by law or by these bylaws+

4a>ority o" the ebers shall constitute a 'uoru to transact business, hold eetin!s andother atters with respect to the eetin!s conducted by the 8(ecuti*e Board+

5n the absence o" a 'uoru, a a>ority o" the dinistrati*e .""icers present ay ad>ourn any

eetin! "ro tie to tie until a 'uoru can be achie*ed+ $owe*er, it ust not e(ceed 6=7three consecuti*e eetin!s o" ad>ournent without 'uoru+ 5n case it e(ceeds the tolerablenuber ad>ournent, the o""icer in char!e ay ha*e the liberty to "ind other eans o"

conductin! the eetin!+

otice o" any ad>ourned eetin! need not be !i*en, other than by announceent at theeetin! at which such ad>ournent shall be ta)en+

on-attendance by any o""icer shall be properly sanctioned under rticle 55 o" these by-laws+

ARTICLE I$ ELECTION

Section 1- 8li!ibilityny accredited eber o" the or!ani&ation in !ood oral standin! with at least 1 year

ser*ice to the San Beda Debate 8(ecuti*e Board is eli!ible "or the election to the residencywhile "or the 5nternal 3ice-residency, any accredited eber o" the or!ani&ation in !ood

oral standin! and with a year o" e(perience in any or!ani&ation:s 8(ecuti*e Board pro*idedthat in both cases the applicants shall be a eber o" the *arsity eber o" the or!ani&ation+

For the reainin! positions in the 8(ecuti*e Board, any eber o" the or!ani&ation iseli!ible "or candidacy pro*ided that he or she is in !ood oral standin!+

For the position o" the Tea Captain, any accredited 3arsity debater o" theor!ani&ation who has at least participated in no less than two ational tournaents pro*ided

that heshe is in !ood oral standin!+

Section 2- rocedures

The or!ani&ation shall adopt a deocratic electoral process "or the dinistrati*e .""icersand an appointent "or the Tea Captain position+

ll eli!ible ebers ay apply "or any position sub>ect to the liitation o" the priorsection and such application as prescribed by the 8(ecuti*e Board shall be subitted to

the out-!oin! ebers o" the 8(ecuti*e Board+

The *otin! population shall be di*ided into "our charters as sanctioned by Section ? o" thisrticle+ 8ach charter shall *ote separately throu!h a secret-ballotin! procedure+

For the Tea Captain position, the .ut!oin! Tea Captain shall ha*e the pri*ile!e to

appoint his her successor unless a coplaint arises "ro the 8(ecuti*e Board+ 5n case aprotest happened durin! the appointent, the .ut!oin! Tea Captain and the 8(ecuti*e

Board shall resol*e the issue+ But i" a coplaint arises durin! the ter o" the newly appointedtea Captain, the coplaint shall be resol*ed by the 8(ecuti*e board pursuant to the rticle

o" this Constitution+

two institutions+

ARTICLE $ RESI!NATION9 SANCTIONS AND %ACANCIES

Section 1 -@esi!nation

ny .""icer ay subit a written notice o" resi!nation "ro their o""ice at any tie to theresident o" the .r!ani&ation+ Such resi!nation shall ta)e e""ect at the tie speci"ied a"ter the

appro*al o" the resident, or i" no tie is speci"ied, at the tie o" receipt sub>ect to theappro*al also o" the resident+ 5n cases when the resident or the Tea Captain wishes to

resi!n, the written notice shall be subitted to the 4oderator o" the San Beda Debate Societysub>ect to the rati"ication o" the e(ecuti*e board+

Section 2 -Sanctions

ny o""icer o" this .r!ani&ation ay be e(pelled "ro the o""ice at any tie throu!h aresolution by the a>ority o" the 8(ecuti*e Board ebers in the presence o" the 4oderator

without *otin! power or under!o suspension or any sanction iposed by the Board and4oderator throu!h the "ollowin! reasons a7 inability to per"or hisher duties and obli!ations

in the or!ani&ation, b7 "or usin! the nae o" the or!ani&ation without the perission o" theBoard, c7 3iolation o" internal rules and re!ulations set by the Board and serious *iolation o"the Constitution and by #aws o" the .r!ani&ation, and d7 does acts that are unbecoin! o" a

student leader+

Section 3 -3acancies

*acancy in any o""ice other than the resident or the Tea Captain, because o" death,resi!nation, reo*al or any other cause, shall be "illed by the Board pursuant to rticle 5 "orthe une(pired portion o" the ter+ 5n the e*ent o" a *acancy in the o""ice o" the resident, the

5nternal 3ice resident shall assue that o""ice whereby, the o""ice o" the 5nternal 3ice-resident and 8(ternal 3ice-resident shall be consolidated into one hence "orin! the o""iceo" the 3ice resident+ 5n a case o" a *acancy in the o""ice o" the Tea Captain, the .ut!oin!

Tea Captain shall recoend a nuber iniu o" three and a(iu o" "i*e indi*idualssub>ect to rati"ication o" the 8(ecuti*e Board+ 5n case o" death, the resident shall recoend

the nae o" indi*iduals to assue the position o" the deceased Tea Captain sub>ect torati"ication o" the 8(ecuti*e Board+

ARTICLE $I CONTRACTS AND LETTERS

Section 1 - Contracts

The Board ay authori&e any o""icer or o""icers, a!ent or a!ents o" the .r!ani&ation, inaddition to the o""icers so authori&ed by these bylaws, to enter into any contract or e(ecute

and deli*er any instruent in the nae o" and on behal" o" the .r!ani&ation, and suchauthority ay be !eneral or con"ined to speci"ic instances+

Section 2 -Chec)s, Dra"ts, etc+

The Board ay accept on behal" o" the .r!ani&ation any contribution, !i"t, be'uest or de*ise"or the !eneral purpose or "or any special purpose o" the .r!ani&ation+

ARTICLE $II #INANCE

Section 1-Fiscal ear

The "iscal year o" the .r!ani&ation shall be deterined by the school:s adinistration+

Section 2- Bud!et

The Bud!et o" the .r!ani&ation shall priarily coe "ro the Seed "und deterined by thenuber o" enrollees as ay be pro*ided by the School dinistration and the ebership "ee

as ay be allowed by the said authority+

Section 3-8(penditures

o part o" the net earnin!s o" the .r!ani&ation shall inure to the bene"it o", or be distributedto its o""icers, or other pri*ate persons, e(cept that the .r!ani&ation shall be authori&ed and

epowered to pay reasonable copensation "or ser*ices rendered and to a)e payents anddistributions in "urtherance o" the purposes set "orth in rticle 5+

Section ? - udit and 5n*entory

The 8(ecuti*e Board shall a)e "inancial stateents o" the e(penses and disburseents o" allthe acti*ities o" the or!ani&ation+ For the in*entory o" all the assets ac'uired by the

or!ani&ation, the auditor shall *eri"y all the a"oreentioned docuents on a seestral basis+

ll reports concerned in auditin! shall be transparent "or public *iewin!+

ARTICLE $III - !ENERAL PRO%ISIONSSection 1 - *oidance o" olitical cti*ity

o substantial part o" the acti*ities o" the .r!ani&ation shall be the carryin! on o" propa!anda,or otherwise atteptin! to in"luence le!islation, and the .r!ani&ation shall not participate in,or inter*ene in 6includin! the publishin! or distribution o" stateents7 any political capai!n

on behal" o" any candidate "or public o""ice+

Section 2 -@elations with .ther .r!ani&ations

The .r!ani&ation shall ha*e no "inancial interest in the property, assets, or liabilities o" anyother or!ani&ation in which it ay hold ebership or with which it ay be a""iliated+

ARTICLE $I% NONDISCRIMINATION

5t shall be the policy o" the .r!ani&ation to pro*ide e'ual ebership and ser*iceopportunities to all eli!ible persons without re!ard to race, color, reli!ion, se(, or national

ori!in+

ARTICLE $% AMENDMENTS

These bylaws ay be aended at any annual or special eetin! o" the .r!ani&ation by theassebly elected by the a>ority o" the .r!ani&ation+ The assebly shall be tas)ed to a)eaendents to the constitution sub>ect to the rati"ication o" the a""irati*e *ote o" two-thirds62=7 o" the ebers o" the .r!ani&ation present in a eetin! duly called "or the said purposesub>ect to the *otin! re'uireents o" rticle 5, Section =+ otice o" the eetin! and proposed

aendent, to!ether with the te(t o" the proposed aendent, shall be deli*ered to theebers at least three 6=7 days be"ore the rati"ication+

ARTICLE $%I - RULES O# ORDER

4eetin!s o" the .r!ani&ation shall "unction under the arliaentary rocedures only i"necessary "or the orderly conduct o" eetin!s, or the re'uest o" any one eber and or the

concurrence o" a a>ority o" the *otin! ebers attendin! such eetin!+
