The discussionOver many years, Luxembourg has been keen to ensure a stable and favourable tax environment for corporations. This year, the proposed tax measures may seem to reverse this trend, which is a development that has raised concern among corporate and financial players.

Further to the publication of several tax changes and reforms, including the budget law for the fiscal year 2013, we will focus on the main new tax measures for 2013, as well as on further developments to be expected.

The discussionOn 19 December 2012, the European Commission issued the Level 2 implementing measures which supplement the Alternative Investment Fund Managers Directive with regard to exemptions, general operating conditions, depositaries, leverage, transparency and supervision. The European Commission has not wholly embraced the advice provided by ESMA in November 2011. The final Level 2 measures comprise some provisions that may materially impact the organisation of managers and service providers in the alternative funds industry.

This session will be of interest to private equity houses and their legal teams, to investment funds, to institutional investors, to cross-border legal practitioners.

The discussionIn late August 2012, a draft bill was introduced before Parliament towards implementing the Alternative Investment Fund Managers Directive into Luxembourg law.

Beyond implementing the AIFMD, these proposals aim at enhancing the legal framework applicable to the alternative funds industry. The proposals embody a set of far reaching reforms which, when implemented, will lead to the modernisation of the Luxembourg limited partnership regime, including the introduction of a Luxembourg special limited partnership of the Anglo-Saxon type. The Luxembourg new limited partnership will constitute an attractive alternative to LPs used to the Anglo-Saxon model.

During this session we will discuss these developments and how the new type of Luxembourg limited partnership can practically enhance Luxembourg structures and help the business.

> the creation of a new vehicle, the “special limited partnership” without legal personality;

The discussionThe Council of the European Union has reached political agreement on legislative proposals for a single banking supervision mechanism in the Eurozone, built around the European Central Bank and known as the single supervisory mechanism (“SSM”).

Agreement at Council level paves the way for negotiations with the European Parliament, towards adopting the proposed legislation by the end of the year.

Under the proposal, the ECB will have direct oversight of the biggest Eurozone banks acting in close cooperation with national supervisory authorities.

It is expected that the ECB will assume its supervisory role within SSM on 1 March 2014, or 12 months after the entry into force of the legislation, whichever is later, subject to operational and technical arrangements.

The discussionSince its creation in 1985, UCITS have become the main pillar of the Luxembourg financial market and an overwhelming success story worldwide. Since its implementation, UCITS landscape has been hugely evolving at an ever accelerating pace.

We propose to take a look into the future of the UCITS world, with UCITS V close to being implemented and UCITS VI in the move. But that’s not all: important changes may be expected from the PRIPs legislation, which is likely to reshape and broaden the use of the KIID, and from MiFID II, which is about to transform the distribution side of UCITS within Europe.

Let’s take a look together at what comes next, and how the UCITS landscape is going to look tomorrow.

The discussionThe European Directive 2008/52/EC on civil and commercial mediation was implemented in Luxembourg in 2012. The law retains most of the legal framework suggested by the directive and goes beyond its mere implementation, covering both national and EU cross-border mediation.

This fairly new structured process was inserted into the New Luxembourg Code of civil procedure and is now available as an alternative dispute settlement mechanism. Resorting to mediation entails specific consequences. This presentation will aim to provide an overview of such particulars in order to best assess situations which could be usefully submitted to mediation.

The discussion will focus on the specifics of this alternative dispute settlement mechanism and on the way conventional and judicial mediations are conducted under Luxembourg law.

Linklaters raises the topical issue of women in the workplace, and more specifically, their representation at senior management level and what women can do to optimise their own careers.

ESMA issued guidance on ETFs and other UCITS issues: index tracking UCITS; index tracking leveraged UCITS; actively and passively managed ETFs; efficient portfolio management techniques and the use of financial derivatives instruments in UCITS; collateral management and financial indices.

UCITS VI and the related EU Commission consultation address also eligible assets and the use of derivatives by UCITS, efficient portfolio management techniques, as well as over the counter derivatives.

A dedicated session will deal with the issue of so-called complex UCITS, assess the potential for the future and discuss the latest market trends in the field.

Jean-Paul heads the Corporate Practice of Linklaters Luxembourg. He specialises in corporate law, mergers and acquisitions, corporate restructurings, equity offerings and is active in private equity. He is a recognised expert advising on complex issues of corporate, finance and securities law. He has co-drafted recent bills. He teaches company and securities law at Luxembourg University.

Aude acts mainly on tax-related matters for major private equity funds, real estate funds and financial institutions. She is experienced in the tax aspects of mergers and acquisitions, restructurings and joint ventures, as well as in international transactions and in the tax structuring of complex financial products.

Olivier Van ErmengemPartner Tax

Olivier heads the Tax Practice. He has extensive experience in the establishment and reorganisation of multinational corporate tax structures, mergers and acquisitions, joint ventures and general tax advice on international tax issues, restructurings and state aid. Over the last few years he has developed a particular knowledge of tax-efficient structuring of investments for the venture capital, the private equity and the real estate sectors.
