MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and entered into this in Santa Rosa City, Laguna, by and between:

CITY GOVERNMENT OF SANTA ROSA, LAGUNA, a local government unit duly organized and existing under and by virtue of the laws of the Republic of the Philippines, with office address at New City Hall, J.P. Rizal Boulevard , City of Santa Rosa, Laguna, duly represented herein by its City Mayor, ARLENE B. ARCILLAS, hereinafter referred to as the FIRST PARTY; ·

RAUL LANTICAN, of legal age, Filipino citizen, with residence and postal address at 597 Felix Reyes St. , Barangay Balibago, City of Sta. Rosa, Laguna, hereinafter referred to as the SECOND PARTY;

WITNESSETH, THAT:

WHEREAS, the First Party desires to promote and max1m1ze the potentials of Rosenian's talents, such as composers, performers, singers and artists, as pa1i of the City's tourism development and promotion programs;

WHEREAS, the First Party recognizes the exceptional talent of the Second Party, ainong others, in music and arts;

WHEREAS, the Second Party, under commission by the First Party, has composed the songs "SANTA ROSA NAMING MAHAL".and "MARTSA NG BAGONG SANTA"; .

WHEREAS, the First Party recognized the "SANTA ROSA NAMING MAHAL" as the Official Santa Rosa City Hymn by virtue of "Kapasiyahan Bilang 108-2010" dated June 21, 2010;

WHEREAS, the Second Party. offers to the First Party the exclusive authority to use his other original musical compositions and creations to serve as his legacy and contribution in the First Party's tourism development and promotion programs;

WHEREAS, the First Party is willing to accept the offer of the Second Party;

NOW, THEREFORE, for and in consideration of the foregoing premises and the stipulations, terms and conditions hereinafter stated, the Parties on these presents do hereby agree on the following:

1. The First Party shall produce the recording of an album entitled "MUS/KA SANTA ROSA" featuring the Official Santa Rosa City Hymn "SANTA ROSA NAMING MAHAL" and "MARTSA NG BAGONG SANTA". The album shall include the Second Party's original musical composmons as listed in Annex "A'';

2. Initially, the First Party shall record the. album in 1,000 compact discs (CD) for a total production, recording and other costs of TWO HUNDRED FORTY EIGHT THOUSAND FIVE HUNDRED PESOS (Php248,5000.00) only.

3. The First Party may subsequently reproduce the album in such number of copies as it may deem necessary without any need of approval from the Second Party; provided, that no variation in the version of songs used in the album or re-arrangement thereof shall be dorie.

4. Any recording of a new version or re-arrangement of the songs used in the album shall require the approval of the Second Party, except, the "SANTA ROSA NAMING MAHAL" and "MARTSA NG BAGONG SANTA" will shall require the approval of the First Party;

5. The Second Party shall retain absolute ownership over his original musical compositions as listed in Annex "A", except, the "SANTA ROSA NAMING MAHAL" and "MARTSA NG BA GONG SANTA" which is owned by the First Party;

6 . The First P.arty shall have exclusive ownership over the album. Likewise, it shall have full control and authority on the disposition, distribution and marketing of the album;
