    Definitions

    Offer The offer shall be based on the enquiry sent previously by the purchasing

    centre. For suppliers of directed buy parts this shall be equivalent to price

    agreement.

    Container Standardised, permanent transport container which is easy to load and un-

    load, to be closed safety, and which can be moved between means of

    transport as loading unit.

    Disposable packaging Packaging which is used once only.

    Small load carrier (KLT) Small load carriers, which together with loading aids (such as pallets) form a

    loading unit, which can be shipped.

    = packing unit.

    Loading unit A loading unit is a unit which is shipped and stored. A loading unit may con-

    sist of a load carrier or a combination of small load carriers and loading aids.

    Loading aids Loading aids are used to form loading units, when the load carrier alone can-

    not be shipped (such as pallets, end caps, etc.).

    Load carrier The load carrier encloses the product, such as pallet, wire mesh box, folding

    box, Raubox.

    Reusable packaging Packaging that can be uses several times.

    Special load carrier Article-specific load carriers, which can be applied for the use of a special

    product / material.

    Packaging Generic term for all elements of packages.

    1 General aspects

    1.1 Target and validity of the guidelines

    The supplier shall be informed in detail about the logistics requirements of the customer REHAU. The aim is to

    organise the smooth process, to strengthen the relationship between the partners and to minimise the costs. The

    guideline shall be applicable all over the world for all suppliers and deliveries. Wherever possible, country-specific

    requirements have been taken into consideration whilst setting up these guidelines. By sending the offer the sup-

    plier commits to complying with the REHAU logistics requirements.

    1.3 General requirements on the supplier

    As a competitive factor, logistics are an important key to economic success. Correspondingly it is self-evident for

    REHAU to set up and optimise reliable and efficient logistics processes with the suppliers. REHAU pursues the

    goal of the goods being received in the right quantity, at the right costs, in the right type and quality at the right time,

    at the right place and recipient. For this reason, it is of importance to REHAU that the logistics of the partners and

    their delivery chain are set up according to standardised basic principles. The communication between the supplier

    and REHAU forms the basis for a functioning co-operation in this respect.

    1.3.1 Reporting requirements

    If the supplier wants to carry out changes on the points mentioned hereinafter, this fact has to be indicated to the

    contacts mentioned in chapter 1.2 as promptly as possible. In parts this may mean a renewed approval process by

    REHAU.

    Changes in the defined delivery times, deadlines, periods or -sequences.

    Change of the production location or of the shipping plant.

    Change of IT system.

    Changes of operational logistics structures.

    Changes on the product and/or the packaging.

    1.3.2 Organisation

    The supplier shall have to ensure that

    independently and without additional reminders, a detailed time schedule is set up for all milestones for

    the implementation of the requested deadline significant for the project handling. The supplier is respon-

    sible for updates and the flow of information.

    2 Packaging

    2.1 General requirements

    REHAU attaches importance to the fact that the following points are taken into consideration in the selection of a

    suitable packaging:

    Protection of the parts

    Costs for packaging and handling

    Avoidance of waste of packaging redundance

    Job safety and environmental protection

    Suitability for storage

    Suitability for loading and transport

    High packaging density

    The supplier shall have to carry out the development of the packaging independently. The packaging shall have

    to be developed in such a way that the articles can be processed in a qualitatively perfect condition throughout

    the entire process. In the process, all country-specific regulations in the countries of dispatch, transit and destina-

    tion shall have to be observed and the means of transport (heavy goods vehicle, overseas container) used shall

    have to be used to optimal capacity. Further, the packaging concept has to be discussed and agreed. The coding

    of the transfer of electronic delivery data has to be discussed and agreed as well (Contacts, please see chapter

    5.2)

    If a product is supplied to various REHAU plants (such as to Germany and the USA), REHAU shall reserve the

    right to request from the supplier different packaging for the delivery of the respective plants.

    The supplier shall ensure that the costs offered include the presentation of a sample container including parts for

    every location mentioned in the enquiry of REHAU for approval of the packaging.

    In case of the packaging of purchased parts, REHAU differentiates between concept approval, which may be

    based on a presentation as well, and the approval of the packaging which shall be based on a sample packaging

    including parts.

    The sample packaging shall be presented to REHAU in harmonisation with the logistics planner, and the approval

    of the packaging shall be obtained.

    If a part shall be used in various REHAU locations, this may mean potentially also a separate sample packaging

    for each location. In keeping with the separately harmonised project time schedule, the packaging shall have to

    be rendered available to the project in due time.

    The packaging approval shall permit the supplier to purchase the packaging for series production.

    Without further request, the supplier shall provide evidence for the containers paid by REHAU.

    The packaging for REHAU plants shall have to fulfil certain requirements. They shall be defined in greater detail

    in the next chapters. The responsibility for the qualitative suitability of the packaging shall continue to be with the

    supplier even after their approval by REHAU. The approval for the packaging is specific to the plant and the pro-

    ject. In the event of a plant change during the series process, the supplier must again obtain the approval of the

    plant that is now responsible. REHAU reserves the right to carry out container changes in coordination with the

    supplier or for well-justified reasons.

    If the supplier should violate the agreement reached, REHAU reserves the right to charge the supplier with the

    expenses resulting thereof. Further points are stipulated in chapter 12 titled “Financial consequences in case of

    violations”.

    2.2 Definition of permissible materials, packaging height and maximum weight

    The document titled “Requirement catalogue - packaging” (Enclosure 1) shall be decisive. In any case, the legal

    requirements of the recipient country shall have precedence.

    Packaging height / maximum weight:

    The maximum permissible overall height of a loading unit shall be 1,000 mm. The said shall have to be strictly

    observed, but shall not apply retroactively for awards already completed. Applicable as from enquiry for new pro-

    jects!

    For REHAU it is important to strictly observe the health and safety regulations. Independent of the type of packaging

    (disposable and reusable packaging) the following maximum permissible gross weights shall have to be observed:

    - Individual packaging / KLT max. 15 kg (30 lbs)

    - Loading unit / pallet max. 1,000 kg

    These specifications shall have to be strictly observed. Deviations shall have to be coordinated with the appropri-

    ate logistics planner of REHAU, and may be implemented only after the written approval of the said.

    2.3 Disposable and reusable packaging

    In coordination with REHAU, suitable packaging shall have to be defined for every new product to be supplied. The

    use of disposable and reusable packaging shall be based on economic considerations, and shall depend on the

    location of the real production plant and the distance between the locations.

    Disposable packaging shall have to be recyclable and shall be disposable without any effort because the said shall

    not be returned. For construction and dimensions of the KLTs and loading units, please refer to the current “Re-

    quirement catalogue - packaging” (Enclosure 1), in which additional permissible standard packaging for REHAU

    plants have been listed. It is imperative that the disposable loading units are stackable (minimum 1+1) for transport

    and storage. Single stacking must be coordinated with the appropriate logistics planner of REHAU.

    Damage of the goods, which is the result of insufficient layout of the packaging, shall be borne by the supplier. The

    smooth supply of the REHAU plants shall have top priority, and thus the on-time delivery of the products to REHAU

    customers. Further points are stipulated in chapter 12 titled “Financial consequences in case of violations”.

    In case of reusable containers, it shall have to be observed that

    they can be emptied completely and are easy to clean.

    cient quantity. The quantity shall have to be coordinated with the appropriate logistics planner of RE-

    HAU.

    Moreover it shall have to be observed that an ESD-compatible load carrier shall have to be used for the delivery of

    ESD-endangered component parts.

    During the construction of the packaging it shall have to be observed that another secondary packaging of individual

    parts is avoided. A direct removal from the packaging shall be possible without any additional unpacking process.

    The supplier shall have to ensure that the empties for surface-critical visible parts as well as for electronic compo-

    nents are stored under a roof at least, and thus are not subjected to weather conditions. The packaging costs shall

    include the costs for cleaning, maintenance and repair. The corresponding charges shall have to be corroborated

    separately.

    2.3.1 Preproduction series

    Up to the use of the serial packaging agreed upon, the supplier solely shall be responsible for rendering available

    to REHAU a suitable, safe and correct solution at his costs. All solutions must be approved by REHAU - at minimum

    four weeks - prior to their use. In coordination with the appropriate logistics planner, this packaging for preproduction

    series shall also serve as emergency concept / alternative packaging for the series. The common objective shall

    be to provide the serial packaging for the delivery of the preproduction series already.

    2.3.2 Series

    As a matter of principle, series packaging (emergency concept and spare parts packaging as well) shall have to be

    approved product-specifically by the Logistics Planning Department of REHAU in cooperation with all REHAU

    plants involved. The delivery intervals shall be specified at material level by REHAU. The number of packaging

    shall be planned in such a way that the planned reaches plus the quantity in transit are made. Further points are

    stipulated in chapter 4 titled “Load carrier management”. Tool costs for special containers shall be offered to REHAU

    separately.

    As from approval, the delivery shall be made in the approved packaging. Deviations shall have to be correspond-

    ingly indicated on the delivery note (such as emergency packaging, alternative container). In case of product

    changes (type, shape of structural parts) the supplier shall be obligated to check the series containers available

    and to adapt or replace them potentially in coordination with the responsible logistics planner.

    2.3.3 Alternative packaging

    Should series packaging agreed with REHAU be no longer available or only available in insufficient quantities in

    the series process, the supplier requires alternative packaging which must be determined in cooperation with the

    Logistics Planning Department of REHAU prior to the SOP. Importance is attached to the fact that this bottleneck

    situation is an individual case and the use of an alternative packaging is a temporarily limited measure. However,

    the supplier may not use any packaging that has not been approved by REHAU in advance. The proposed pack-

    aging must always be approved of by the logistics planner of REHAU. It has to be ensured that the alternative

    packaging meets the requirements of the products, and the goods are ideally protected in the alternative packaging

    as well, so that no damage or encroachment occurs. These preventive measures shall avoid the reduction in quality.

    The use of an alternative packaging shall be indicated to the empties manager in the Bought-in Goods Department

    at the REHAU recipient plant in due time. If the supplier should violate the agreement reached, REHAU reserves

    the right to charge the supplier with the expenses resulting thereof. Further points are stipulated in chapter 12 titled

    “Financial consequences in case of violations”.

    2.3.4 Special load carrier

    Special load carriers may become necessary in case of excessive lengths, ocean transport, special cases (such

    as liquids or coils), temperature-sensitive products or in case of hazardous materials in conformity with the latest

    valid legal regulations. The use of special load carriers shall have to be coordinated with the appropriate logistics

    planner of REHAU. The planning, development and construction of the special load carrier and alternative packag-

    ing shall be carried out by the respective supplier. The said shall also bear the costs of planning, development and

    construction. Acceptance and approval of the special load carrier shall be effected by REHAU.

    2.4 Protective and transport function

    Loading units shall have to withstand the loads occurring during the shipment process. The protective function and

    thus the perfect transport function as well shall have to be ensured during the entire transport. The weight of load

    and the potential superimposed load of the packaging shall have to be identifiable.

    The objective of REHAU shall be to always call off full containers. Incomplete layers or pyramid stacks are not

    permissible. If fills of complete layers are not possible with the container solution due to the called-off quantity, the

    last layer shall have to be filled up with empty containers which shall be correspondingly marked “empty”. Loading

    units open to the top shall have to be covered with a pallet cover plate and shall have to be strapped with plastic

    tape (at least twice).

    Repackaging which is caused by insufficient transport protection or bad packaging material shall be at the ex-

    pense of the supplier. Further points are stipulated in chapter 12 titled “Financial consequences in case of viola-

    tions”. The same shall apply to incorrect palletizing (overlaying).

    2.5 Admissibility - mixed load carrier

    The main objective of REHAU is to ensure unmixed delivery on pallets. In duly substantiated exceptional cases,

    mixed pallets may be formed as well. The clarification and acceptance of mixed pallets by the REHAU logistic

    planning department is mandatory. In this case it has to be ensured that different material numbers have to be

    physically separated from each other. If the supplier should violate the agreement reached, REHAU reserves the

    right to charge the supplier with the expenses resulting thereof. Further points are stipulated in chapter 12 titled

    “Financial consequences in case of violations”.

    2.6 Overseas packaging

    Overseas packaging must be designed to be disposable. Care must be taken to ensure that the disposable pack-

    aging is able to withstand the usual rigours of ocean transport. Receptacles and loading units must be stackable to

    ensure optimum use of the shipping containers. The footprint measurements of the pallets must be aligned with 40‘

    HC-ISO shipping containers. Exceptions require the approval of the responsible logistics planner of REHAU. Fur-

    ther, the loading units must have a 4-way tail lift recess. For the overseas packaging, the shipping container meas-

    urements (maximum 3 (1+2) stacked loading units), the IPPC standard for wood packaging and all country-specific

    regulations must be complied with. The maximum gross weight of individual cartons/ small load carriers must not

    exceed 15 kg (30 lbs). Since 01 July 2016 the new SOLAS Regulation for the determination of the gross mass of

    shipping containers applies. From this point in time, only shipping containers with a verified gross mass may be

    loaded. For this reason, it is essential that the supplier provides REHAU with exact information on the gross weight

    of the components and packaging (incl. padding and fastening material). If he fails to do so or if the information

    transpires to be incomplete or incorrect, the supplier is liable regardless of his culpability for all direct costs and

    also subsequent costs resulting from the supplier’s breach of contract.

    3 Shipping documents and marking

    3.1 Waybill

    The following data have to be rendered on the waybill for REHAU:

    Delivery note number and date

    DFÜ- Warenbegleitschein/ packaging slip (according to VDA4912) / SLB No., provided if a transmission

    in conformity with VDA4913/EDIFACT DESADV has been set up

    Shipment quantity

    Delivery address (including data of the unloading point)

    Data on the loading equipment: Disposable / reusable including its number from the delivery note indi-

    cating REHAU V No.

    3.2 Delivery note

    The following data have to be rendered on the delivery note for REHAU:

    3.4 The marking

    The supplier shall have to mark all containers clearly with the markings required for the contractual handling on

    long and a short side (adjacent sides).

    Right from the first delivery of the preproduction series, the supplier shall be obligated to mark the goods correctly.

    The container identifications shall have to be in compliance with the regional industrial standard and shall have to

    be coordinated in detail with the respective REHAU customer plant. As a matter of principle, the marking shall have

    to be reached by bar-code reader without having to re-shift the loading unit. The container identifications shall have

    to be attached well visibly to the containers, shall not exceed packaging, and shall not cover each other. Further-

    more they shall have to be protected against soiling, environmental influences and transport stress. Elements of

    the loading unit protection (strapping tapes) must not obstruct the legibility of the container identifications. If the

    product is subject to a limited preservability, a best-before date shall have to be mentioned on each container.

    Products with a best-before date shall have to be indicated clearly in the offer already indicating the best-before

    date. In case of missing, illegible or incompletely filled-in markings, REHAU reserves the right to charge the supplier

    with the additional expenditure. Further points are stipulated in chapter 12 titled “Financial consequences in case

    of violations”.

    3.4.1 Examples for attachment of the markings

    Wire mesh box

    The marking shall be attached on the right-hand top broadside of the wire mesh box or in a pocket at the front side.

    Small load carriers

    The marking of small load carriers shall have to be added to the pockets intended for the purpose and shall have

    to be fitted by means of completely removable adhesive spots or shall be applied by adhesive labels in the first

    place, which can be removed without a trace. If no pockets are available, the adhesive labels, which can be re-

    moved without a trace, shall have to be attached to the intended document surface. If no document surface has

    been defined, an arrangement shall have to be made with the appropriate logistics planner. The small load carriers

    shall have to be arranged on a pallet in such a way that all labels of the small load carriers sitting on the pallet can

    be read. The marking of the entire pallet shall be fitted to the same point as on a small load carrier in case of a wire

    mesh box or on the cover.

    Examples for correct attachment

    In case of containers in the NAFTA size, the label may be attached only on the intended field (Kennedy label).

    Boxes

    The marking of the individual boxes shall be attached horizontally on the front side. The boxes shall have to be

    arranged on a pallet in such a way that all labels of the boxes sitting on the pallet can be read. The marking of the

    entire pallet shall be fitted to the same point as on a box in case of wire mesh boxes or on the cover.

    Container identification labels

    The container identification labels of REHAU must not be removed. The supplier shall have to remove obsolete

    dispatch pendants or other irritating labels prior to the next delivery. In the course of the development it is imperative

    that the supplier agrees the content, attachment and any other details concerning the container identification label

    with the project-specific contact from the Logistics Planning Department. The container identification label requires

    the approval of the contact at the Logistics Planning Department.

    3.4.2 Marking in Europe and South Africa

    As a matter of principle, standardised and bar-code readable labels in conformity with guideline VDA 4902, Version

    4, shall have to be used for marking right down to the smallest packaging unit. Basically, the packages shall have

    to be labelled on the level of the master as well as on the level of the single. Moreover, REHAU may request an

    additional marking of the package upon agreement with the supplier.

    If the supplier has consignments to a REHAU plant in France, the GALIA goods labels may be used. For deliveries

    to the REHAU locations in South Africa, the marking on the VDA label “Packaging Material No. Customer” (Field

    11.2) has to be filled in.

    Other deviations shall have to be coordinated with the respectively responsible logistics planner.

    The REHAU template for the VDA goods label (bar-code readable) - “Master label” (loading unit) as well as “Single

    label” (packing unit, KLT / box) is rendered in Enclosure 2 titled “Example: VDA goods label”.

    The supplier shall be responsible for the fact that all parts including prototypes and preproduction deliveries are

    marked according to instructions.

    3.4.3 Marking - world

    America

    In the American plants and the countries belonging to NAFTA, the packaging units shall be labelled with normed,

    standardised and bar code capable labels according to Guideline VDA 4902 Version 4. In exceptional cases the

    specifications of the AIAG also apply, these must however be agreed with the logistics planner of REHAU in ad-

    vance. All REHAU plants worldwide have adopted the VDA 4902 Version 4 as standard.

    The labelling requirement applies to even the smallest packaging unit.

    Further details/specifications for our plants in America are defined in attachment 5.

    4 Load carrier management

    4.1 REHAU specifications

    In general, the cost calculation for the reusable container concept shall be based on an empties / full goods ex-

    change ratio of 1:1 whereby the supplier shall have to ensure the initial top-up at REHAU.

    All containers for a smooth process (such as batch sizes, safety stock, transport circulation of full goods and emp-

    ties, etc.) shall have to be included in the calculation by the supplier. REHAU has a fixed stock of corresponding

    containers of eight days. The delivery shall take place min. once a week. If a complete loading unit covers more

    than needs of three months, a reasonable delivery batch shall have to be defined with the contact of the Logistics

    Planning Department of REHAU. Additional demands for containers used for deliveries between supplier and his

    suppliers and refiners shall not be paid for by REHAU. If an exception is required for the container reaches, this

    shall be specified by the purchasing body in cooperation with the central contact of the Logistics Planning Depart-

    ment.

    Furthermore, the supplier shall have to keep to the specified exchange / quality criteria for the containers of REHAU.

    As matter of principle, it applies that the containers must not be deformed, damaged, soiled or be stuck all over

    with old labels (except the container identification label). If one or several deviations exist, the additional costs for

    repackaging the goods, additional personnel expenses and disposal of the old container shall be charged to the

    supplier. Further points are stipulated in chapter 12 titled “Financial consequences in case of violations”.

    The description of the REHAU exchange criteria for reusable packaging is rendered in Enclosure 3 titled “Exchange

    4.2 Container account / inventory record keeping

    When using reusable packaging, a container account shall have to be kept by the supplier. If and when required,

    these data shall have to be rendered available to the REHAU employee competent for the empties management -

    cf. Enclosure 4 titled “Additional contacts”. In addition, the supplier shall have to supply a stock declaration every

    month at a key date agreed upon. Handwritten elaborations shall not be accepted. The account management shall

    have to be carried out in electronic form. If the supplier wishes to use a certain programme for the stock declaration,

    he shall have to check the compatibility with REHAU programmes. It is only by rendering available usable data that

    the quality of the process can be ensured.

    Moreover REHAU shall demand an inventory once a year. This action is necessary to ensure a controlled process.

    The aim is to process and balance timely any differences in stock occurring. For REHAU the security of supply is

    of primary importance. REHAU Logistik Automotive in Muri near Berne is available as another arbitration board. In

    case of need, it decides on the further solution process.

    4.3 Management of the containers in keeping with EOP

    If the purchase contract, a project or special scopes of delivery should expire, the supplier shall be obligated to

    register in writing the containers which are not his property. REHAU shall be permitted to take over free of charge

    all containers allocated to this scope of delivery, this project or this purchase contract. For scrapping the containers

    the supplier shall require a written approval of the appropriate logistics planner of REHAU. Losses of containers

    shall be replaced at 100 percent of the replacement value. REHAU shall charge this amount to the supplier. This

    arrangement shall apply for reusable packaging which are not the property of the supplier as well as for empties of

    third parties which cannot be returned by the supplier.

    5 DFÜ / EDI

    5.1 Communication channels

    The coordination between REHAU plant locations, REHAU GmbH Muri (CH), IT/IS and our suppliers shall be

    5.2 REHAU EDI parameter

    Information required for the set-up will be hand over to the supplier separately or can be requested from Mr Stefan

    Ertl, [email protected] or [email protected]. The technical structure and content of the

    electronic delivery note must match standard specification, which were agreed. A seperate technical agreement of

    the structure and the content between the EDI-interfaces is mandatory.

    6 Transports

    6.1 General aspects

    The transports including transfer of costs and risk shall be carried out exclusively on the basis of the provisions in

    keeping with Incoterms 2010. The prices in the offer shall be based mandatorily on the Incoterms respectively

    mentioned in the enquiry.

    REHAU shall reserve the right to change the delivery agreements in keeping with the Incoterms in the

    course of the project.

    Basically REHAU shall reserve the right to collect the products by its own forwarding agent. In this case

    the supplier shall receive a corresponding “routing order” indicating the transport time to be taken into

    consideration.

    Special trips caused by demonstrable fault of the supplier (e.g. delayed delivery, return shipments due to early or

    excessive delivery) shall be the responsibility of the supplier. All additional costs for special trips / express shipping

    resulting thereof shall have to be borne by the supplier.

    Suppliers awarded for DAP have to discuss and agree to the delivery concept with REHAU in advance. The time

    slot schedule of some REHAU plants has to be booked and observed.

    6.2 Cargo securing

    In order to protect the staff against work-related accidents and the material against damage, it is important to

    observe the correct load safety. Materials must not protrude over the side of the load carrier. The load centre of the

    load carriers shall have to be observed and shall have to be marked, if and when necessary.

    Moreover, the stacking capability of the load carrier during transport shall have to be observed with respect to load

    safety. Damaged load carriers must not be used and shall have to be removed from the process. The materials

    must not move inside the packaging and on the load carrier. It has to be ensured that the materials and the pack-

    aging are linked non-slip with the load carrier in every direction. Applicable legal and official requirements for secu-

    rity of the load must be observed.

    imperative that the dispatch date and the arrival date is confirmed in case of DAP supplies.

    The shipment notification shall be analogue to “Processing in case of Incoterm 2010 – FCA”.

    mentioned in the recommendation of the International Plant Protection Convention (IPPC).

    rates are divided up as follows:

    (A) FCA – FOB (B) FOB – CPT (C) CPT – DAP

    8 Bidding phase

    The offer shall include the delivery in keeping with Incoterms 2010. Component part prices, packaging costs and

    logistics costs shall be rendered separately in the offer. REHAU expects as an offer the solicitation documents

    completely filled in by the supplier. In this respect special emphasis shall be given to the logistics process. For

    directed buy parts this shall be ensured by the supplier by filling in and returning REHAU BPO (blanket purchase

    order).

    Upon request, REHAU shall be provided with cost details for purchased parts as well as for tools / investments.

    Upon request of REHAU, the price contracts shall have to be provided for directed buy parts mandatory by OEMs.

    By submitting the offer, the supplier confirms that the component parts originate from the EU, otherwise the origin

    of the goods has to be declared clearly. In case of an order, the supplier shall provide the proof in the form of a

    supplier’s declaration, origin declaration on the delivery note and/or customs-confirmed EUR 1.

    By submitting the offer, the supplier shall declare that

    there is a fundamental willingness to set up a consignment store and/or VMI. The further coordination on

    the realisation shall take place between REHAU and the supplier in case of an order.

    he has received access to the functional specifications and requirements mentioned in the enquiry and

    that he shall observe them.

    9 Rolling requirement and call-off planning

    9.1 Principle procedures

    REHAU shall render available to the supplier a permanently updated rolling requirement and call-off plan for the

    products agreed upon.

    In this respect the required quantity shall be calculated by a machine process and shall be issued on the REHAU

    delivery schedule or shall be transferred by EDI data set (Delfor/VDA4905). The said shall be transferred automat-

    ically – the interval of delivery scheduling is coordinated bilaterally between REHAU and the supplier. As the re-

    quired quantities are calculated on the basis of the goods received, it is important to prevent shortages and/or

    excessive deliveries that the supplier carries out a plausibility check, and in case of potential differences he shall

    immediately inform the Central Purchasing Department in Muri.

    The delivery schedule lists the required quantities in short-term, medium-term and long-term periods for a maximum

    of 9 months.

    The short-term period (about 1 to 2 weeks1) includes the current delivery call-off(s). The delivery call-offs shall be

    assigned to precise calendar days. These delivery dates shall be binding and shall have to be observed without

    fail. They shall be considered deadlines for receipt and always without grace period. The delivery of the required

    quantities shall have to be in conformity with the latest delivery schedule. Additional and/or separate orders shall

    not be placed.

    In the medium-term period, the required quantities shall be assigned to calendar weeks and to months in case of

    long-term periods. The required quantities rendered for the medium-term and long-term periods shall be considered

    target figures.

    Due to influences, for which REHAU is not responsible, variations of the required quantities may occur. In order to

    ensure constant readiness for delivery, REHAU and the supplier may agree on minimum inventory levels in indi-

    vidual cases to be stocked by the supplier.

    REHAU shall grant the supplier a production / material approval in conformity with a separate agreement. In case

    of a complete cancellation of the required quantity, REHAU takes over the obligation to accept the materials ordered

    and/or the preliminary materials required with the reservation of contract and specification conformity. In this case

    the delivery shall have to be agreed upon with the competent dispatcher. The acceptance shall take place at the

    latest 12 months after the cancellation.

    The “production / material approval” period shall start with the date of the delivery schedule, and if no new delivery

    schedule is available shall apply progressively for the period stated. The obligation to accept shall refer to the

    highest required quantity during this period.

    9.2 Confirmation of the delivery call-off

    A confirmation of the delivery call-off shall not be required because REHAU shall take it for granted that the re-

    quested quantities and the delivery date shall be observed. In exceptional cases change requests shall have to be

    disclosed in writing to the competent dispatcher immediately, at the latest, however, within 48 hours, or within 24

    hours in case of daily deliveries.

    9.3 Delivery quantity upon individual requests / delivery cycle

    The quantity to be delivered each time shall be indicated on the REHAU delivery schedule. As a matter of principle,

    the delivery quantities shall correspond to the multiple of the packaging unit agreed upon.

    REHAU shall not be obligated to accept any short deliveries or overdeliveries. In this case the short deliveries or

    overdeliveries shall have to be agreed upon with the competent dispatcher. In case of overdeliveries and/or ad-

    vance deliveries not agreed upon REHAU shall reserve the right to return the goods freight collect. The delivery

    cycle shall be rendered in the delivery schedule.

    9.4 Delivery period

    In case of cross-border deliveries within Europe the delivery call-offs shall be passed on 10 working days, outside

    of europe max. 42 working days, previous at the longest; in case of deliveries within a country at the longest 5

    working days ahead of the delivery date. The delivery period for each product and receiving location shall have to

    be coordinated between the supplier and REHAU.

    REHAU shall try to make sure that no changes of the arrangement occur during this delivery period. Nonetheless

    the supplier shall try to do everything to deliver as fast as possible in emergency cases.

    10 VMI / consignment store

    The consignment store / VMI shall have to be coordinated with REHAU and shall have to be ordered separately.

    10.1 VMI

    VMI is a consumption-based procedure, in which the supplier is responsible for scheduling and delivery control.

    Based on delivery of the products in due time, the supplier ensures at all times that the minimum and maximum

    stock agreed upon is not fallen short of or exceeded. In this respect it shall be considered safe that REHAU shall

    inform the supplier at least once a week about the current inventory. In addition, along with the stock declaration

    the supplier shall receive a rolling consumption preview of the presumable required quantity for the following days,

    weeks and months. As a matter of principle, the VMI process shall take place with the consignment.

    10.2 Consignment

    In the consignment handling process, the products delivered by the supplier shall remain the property of the supplier

    until removed by REHAU - from the consignment store named by REHAU. With the removal of the product from

    the consignment stores, the said shall be considered sold.

    Logistic and commercial details shall be defined in the REHAU consignment store contract. The REHAU process

    shall provide consignment in combination with VMI and delivery schedule. In coordination with the supplier REHAU

    reserves the right to combine other planning procedures with consignment.

    11 Emergency concept

    With the award of the contract, the supplier shall have to present REHAU with an emergency concept. This emer-

    gency concept can then be harmonised with REHAU. On the side of the supplier, a competent contact shall have

    to be nominated in addition, who is available at any time.

    The aim shall be to define common measures which may serve as an emergency concept in case of disruptions

    which could have an influence on the supply of REHAU. For example, disruptions may occur through the following

    examples:

    Defective machines or plants

    Tool breakage

    Capacity problems

    Quality problems

    Damage or delays during transport

    Disturbances in the supply chain of the supplier

    EDP problems

    Employees fall ill

    Means of transport drop out

    Other events (strikes, accidents, etc.)

    Immediately when a disturbance occurs which has an influence on the supply of REHAU, the supplier shall be

    obligated to report this fact to the appropriate planner at REHAU.

    The supplier shall have to include the following data in his or her message:

    Data on the currently known maximum supply disruption (quantities)

    Cause of disturbance and estimation of its duration

    Presentation of the measures taken / planned to remove the disturbance

    Quantity and times of the emergency deliveries

    If the procedure to remove the disturbance is insufficient as seen by REHAU, REHAU shall be permitted to suggest

    measures to remove the disturbances under consideration of the interests of the supplier. The supplier shall be

    obligated to implement these measures, provided these measures and their implementation are reasonable.

    12 Financial consequences in case of violations

    If a supplier violates against the provisions of this directive, REHAU shall charge its expenses for the correction as

    follows.

    The expenses mentioned shall cover the costs occurring to REHAU (staff, surface, operating materials, general

    expenses), which are necessary to correct the corresponding faults before they can lead to further disturbances.

    The outlay unit (AE) shall serve as a basis for the calculation of expense. REHAU organises its production locations

    as follows:

    Country 1: Germany, Austria, USA, France, Spain, South Africa: EUR 50 per AE.

    Country 2: Mexico, Czech Republic, Slovakia, Hungary: EUR 35 per AE.

    All countries not listed here shall fall into the group “Country 2”.

    (A) Basic outlay

    A value of 2.0 AE shall be charged for the basic outlay for each complaint. The following services shall be included:

    Administration of the complaint with the REHAU purchasing network

    Complaint information to supplier

    Performance of the tasks to process the complaints within the REHAU production plant (fault analysis,

    Monitoring, internal control of the corrective measures of the supplier, completion of the complaint, issue

    of debit note, dispatch and booking, archiving of complaint

    (B) Additional outlay

    Following up of the allocation of the outlay units, which shall be used to charge the individual error patterns in

    addition to the basic outlay for the complaints. The data shall always refer to the number of positions per delivery

    concerned.

    On the basis of the REHAU complaints report, the debit note shall be issued to the supplier.

    13 Validity

    In individual cases, a situational adaptation of the logistics guidelines shall be possible. On account of the high

    demands of the REHAU customers especially, this may become necessary. In this case a cooperation with the

    supplier shall be coordinated. A refusal of an adaptation shall not be permitted without an understandable reason.

    If a provision of this logistics agreement should be or become invalid, this fact shall not affect the validity of the

    other provisions. By means of adaptation the ineffective stipulations shall be replaced by another reasonable stip-

    ulation which comes economically closest to what the contractual parties would have wanted if they had known

    about the ineffectiveness of the stipulation.

    2.0 Pallets

    To exchange EPAL certified EUR-pallets, the following exchange criteria must be observed.

    Non-Exchangeable EUR-pallets3:

    A single upper or lower edge board is dam-aged so that more than one nail or screw shank is revealed.

    The marking EUR on the right, as well as the logo of a rail-company is missing on the left side.

    A board is missing.

    A block is missing or split to the point where more than one nail shank is visible. Skewed blocks may not protrude more than 10 mm.

    A board is broken transversely or diagonally.

    More than two upper or lower edge boards are dam-aged so that more than one nail or screw shank is visible.

    Other characteristics (Poor condition overall):

    The loading capacity can no longer be guaranteed (wood worm-eaten or rotten).

    Contamination is such that products may be soiled.

    Large splinters are coming away from a number of blocks.

    There is evidence that inadmissible construction elements have been used, e.g. boards

    and blocks that are too weak.

    3.0 Boxes

    The valid EPAL exchange criteria apply. Non-exchangeable boxes are4:

    The stacking frame or the corner uprights are de-formed.

    The hinged front panels can no longer be opened or closed.

    The floor frame or feet are so bent that the box pallet no longer stands firmly on four feet or can no longer be stacked safely.

    The lattice is so torn that the wire ends pro-trude inside or outside (one wire per wall is al-lowed to be missing).

    One board is missing or broken.

    The essential identification markings (EUR in oval, railway symbol) are missing or illegible.

    Due to rust or dirt, the general condition is so bad that freight can be contaminated.
