Cegelec ended 2008 with very satisfactory financial results and a newshareholder, who has confirmed our independence and strengthe-ned our positions in certain markets. Following redeployment of part

of our operations to sectors and countries that are less affected by the cri-sis and the broadening of our solutions portfolio in several segments, we arenow moving forward in 2009 with confidence despite today’s deep economicrecession. In an extremely tight financial environment, we successfully completedour second LBO and changed shareholders. At €213 million, free cash flow rose significantly faster thanEBIT for the second year in a row.

These good results mean that we are moving forward in 2009 with confi-dence, but we remain extremely vigilant. In particular, business growthwill depend on how long it takes the stimulus packages implemented ina number of countries to take effect.

SHIFTING FOCUSIN THE INDUSTRY SEGMENT

We maintained our share of the Industry market, in particular by broad-ening and deepening our presence in sectors that are potentially lessexposed to the crisis and offer us opportunities to leverage our knowledgeof our customers’ specific industrial processes. This was the case in the pharmaceuticals and agri-foods segments, where our revenues rose by 42% in 2008, led by our ability to support cus-tomers as they expand in the global marketplace. platforms run by ADMA-OPCO in Abu Dhabi and a major commissioningcontract for Total’s new offshore platform in Angola. In Qatar, Cegelecwas entrusted with a contract for the supply of water-steam cycle analy-sis systems and for the general electric installations of thecombined-cycle power plant (2,000 MW) in Mesaieed.Cegelec is also playing a critical role in Latin America’s largest construc-tion project, which is building the new TKCSA steel mill complex forThyssenKrupp. As part of the project, the German steelmaker awardedus a major electrical installation and instrumentation contract, attestingto our sustained support for its international expansion.

TURNKEYPOWER PLANTS

Cegelec is involved in an increasing number of turnkey power plant proj-ects, in which we build the entire facility. In 2008, we won the contract fromBouygues subsidiary CIPREL to extend the Vridi 2 thermal power plant inIvory Coast.

In the renewable energy segment, we have completed a large number ofwind power and biomass contracts, and are now investing in solar powercapabilities. We are also a major participant in the hydroelectric power seg-ment, as demonstrated by the 2008 contract to upgrade the Edea 1 plant inCameroon and the December 2007 contract to build the Ampel Gadingplant in Indonesia. In addition, a large number of AC generator refurbishingprojects have also been won.In the nuclear segment, Cegelec is ready to meet the growing demandexpected in coming years across the entire nuclear power chain, includingmaintenance and such emerging issues and challenges as the dismantlingof decommissioned power plants and waste treatment facilities. Two exam-ples are the contracts won to install electrical systems at the SchachtKonrad deep geological radioactive waste repository in Germany and for theICEDA interim storage facility in Bugey, France.

MAJOR PUBLICINFRASTRUCTURE PROJECTS

Two large tunnel contracts were won in 2008, one for the Elbe Tunnel inHamburg, Germany and the other for Algeria’s future East-West motorway. In both cases, our expertise in safety and traffic management equipmentwas particularly well appreciated.

In Qatar, Cegelec won the ground lighting contract for the runways of thenew Doha international airport, one of the largest airport projects in theworld.

In Morocco, where Cegelec is deeply involved in construction and railwayrefurbishment projects, we made a significant breakthrough in the urbantransport market in 2008 with a contract to supply and install all of the elec-trical infrastructure for the future Rabat tramway.

We are also a major provider of contracting services for environmentalinfrastructure. In 2008, for example, we renovated the drinking water plantin Neuilly-sur-Marne, near Paris, and executed remote management andpumping station contracts in Morocco and Mauritius. In addition, two newcontracts were signed in Austria to install electrical equipment in wasteincineration plants.

ENERGY-EFFICIENTBUILDINGS AND PLANTS

Building energy efficiency is another issue of pressing concern for our cus-tomers in the industry and in the service sector. That’s why NexityEntreprises awarded us a contract in 2008 to install all of the HVAC andplumbing infrastructure in a complex being built in the La Défense busi-ness district near Paris, in compliance with French High EnvironmentalQuality (HQE) standards.

Cegelec maintained its active presence in the French hospital sector, in par-ticular through contracts with the Hôpital Nord in Marseilles, the Hôpitalde Lagny being built near Paris and institutions in overseas local authori-ties. In Belgium, contracts were won during the year for a large number ofoffice complexes, in which innovative technological solutions were installedto optimise energy management, as well as for shopping centres and GSKBiologicals’ new head office.

Several large hotel development contracts were signed in Morocco, includ-ing the Mazagan complex in El Jadida and the future Four Seasons Hotelin Marrakech. Over the past two years, the Group has booked nearly€60 million in orders from the hospitality sector.

THE IMPORTANCE OFEFFECTIVE MAINTENANCE

Three major multi-year industrial maintenance contracts were renewed inlate 2008 with GE, Alstom Power and Nexter for several facilities in France. In Brazil, 13 electrical and mechanical maintenance contracts were signedwith Petrobas during the year, demonstrating that in a time of crisis, com-panies remain as focused as ever on ensuring longer service lives anduptime for their production facilities.

Page 3: redeployment of part of our operations to sectors and ... · Our maintenance capabilities were strengthened in 2008 by the acquisition of Eurotole, a Belgian provider of mechanical

Our maintenance capabilities were strengthened in 2008 by the acquisitionof Eurotole, a Belgian provider of mechanical maintenance services, and ofA2M, based in south-western France.

As well, we enhanced our presence in the maintenance of large automatedand mecatronics systems, in particular through an additional contract tomaintain the French Post Office’s PIC industrial mail platform servingnorthern France.Cegelec also delivers multi-technical maintenance services for commer-cial buildings, a segment that saw the renewal of several contracts in late2008, including those for the Société Générale’s data centre in Tigéry nearParis, BNP Paribas’ head office buildings in Paris and Mobistar telecom-munications facilities in Belgium.

NEW ACQUISITIONOPPORTUNITIES

Our business growth is also being supported by an active acquisitions strat-egy. Eight French, German, Belgian and Dutch companies joined the Groupin 2008, bringing in €75 million in full-year revenue and helping to deepenthe close, local relationships we nurture with our customers. They have alsoexpanded our skills base and improved our ability to offer end-to-end solu-tions.

Current market conditions and company valuations should enable us topursue this strategy in 2009.

EXPANSION INALGERIA

Cegelec has subsidiaries in countries that are feeling less of an impact fromthe global economic crisis, either because they have their own oil and gasresources (like countries in the Middle East, but also Brazil and Indonesia),or because they have undertaken major public spending programmes todevelop their infrastructure (like Morocco and Algeria).

One compelling example is Algeria, where Cegelec has enjoyed sustainedgrowth in business over the past two years. Contracts now underway rep-resent a total of nearly €300 million in revenue, while local staff is expectedto more than double to some 200 people in 2009. Contracts won in 2008included the revamping of the Arzew refinery mentioned above, securitysystems for five additional oil facilities (on top of the some 20 already com-pleted), the turnkey construction of two transforming stations (220 and63 KV) for Sonelgaz and equipment for four tunnels on the country’s largestmotorway construction project.

SUSTAINED IMPLEMENTATIONOF THE PERFORMANCE IMPROVEMENT PROGRAMMES

In 2008, we continued to deploy CegelecPRO and the other performanceimprovement programmes. This aspiration to excellence in our work is amajor source of competitive differentiation that, in today’s more challeng-ing economy, enables us to optimise all of a project’s managementprocesses to full advantage.

Along with professionalism and an entrepreneurial mindset, this commit-ment to continuous improvement represents the true foundation of our cor-porate culture. It was further enhanced in 2008 by two additional actionprogrammes, one focused on worksite operations and the other on our en-gineering offices. After stepping up our efforts in purchasing, we are nowlooking to optimise our ability to seamlessly integrate all of a project’s dif-ferent phases.

We are also focusing on improving our core technological competencieswith the implementation of concrete action plans, notably in HVAC engi-neering, control systems, agri-food and pharmaceutical plant automationtechnology and analysers.

A COMMITMENTTO PEOPLE

A company can weather the crisis only with the support of its employees, and with all their dedication, skills and expertise. For a service companylike ours, people are our most valuable asset and we would like to com-mend everyone for their commitment and accomplishments during theyear.

We wanted to significantly broaden their stake in their company’s financialperformance, to the extent that today, the number of direct shareholdermanagers has doubled, while 1,500 employees have now been grantedstock options. In addition, a third of our employees are shareholdersthrough a corporate mutual fund.

The objectives-based bonus scheme was also broadened in 2008 to all ofour managers. Lastly, in France, an employee savings plan with Companycontributions was introduced for all employees, while a retirement plan wasset up for managers.

More than ever in these difficult times, we are paying careful attention tothe needs of our customers, standing ready to learn new practices and tobring new, more comprehensive, more effective solutions to market. Ourflexible responsiveness, our entrepreneurial spirit, especially as demon-strated by our account managers and project leaders, and the solidexpertise deployed in every aspect of our business will provide powerfulcompetitive advantage in withstanding the economic crisis.

Several initiatives were implemented by the HRfunction in order to strengthen existing linksbetween Cegelec and the student community.Partnerships with several French engineeringschools were established or expanded, andCegelec maintained an active presence at studentconventions, forums and job fairs in France andin other countries where the Group is present.

Another major initiative is the Energy TalentChallenge for renewable energies launched in2008, and targeting 30,000 students in engi-neering and other technical courses of study. The Electro Libre programme has a similar fo-cus. A genuine partnership has been estab-lished with seven vocational high schools, inwhich students will present a technical projectmeeting High Environmental Quality (HQE) stan-dards.Lastly, the Group continued to attract partici-pants in France’s International Business Vol-unteer programme (VIE). In 2008, 75% of thevolunteers were subsequently hired by Cegelecon permanent employment contracts.

TRAINING, THE COREOF THE GROUP’S PROGRAMMES

Safety is a constant concern for Cegelec, andmany actions are undertaken within the Group’svarious units to make ongoing improvementsin this area. The same applies to employee training, which is

at the core of the performance improvementprogrammes set up by Cegelec, prime examplesof which are CegelecPRO for project manage-ment, SourcingPRO for purchasing, or Design-PRO (engineering offices) and SiteworksPRO,created in 2008.Courses for these training schemes are given inparticular by Cegelec University, an integratedGroup training entity which designs and organ-ises modules to fit the specific requirements ofthe company and its employees. A total of over50,000 hours of training were given in 2008 – aconsiderable increase in relation to 2007. 2,300employees took part, including 600 site super-visors, who were given a particular focus.Cegelec also has a unit devoted to technicaltraining in the oil sector, called Catex, which isopen to its own teams and those of its cus-tomers. Overall, more than 330 technicians andengineers took part in its extremely varied train-ing schemes in 2008.

TOTAL REMUNERATIONQatari Diar, the Group’s new shareholder, andCegelec Management have sought to associate-Cegelec employees more closely with the com-pany’s financial results. The number of managerswho have become direct shareholders has doubledand 1,500 employees now hold stock options.

A third of our employees are now Cegelec share-holders thanks to a company mutual fund (FCPE).

A new employee shareholder plan will be imple-mented in the spring of 2009 with a significantcompany contribution providing particular incen-tives for lower-level employees.

In addition, in France an employee savings planwas set up with a company contribution for allemployees, and a retirement savings plan was setup for managers in 2008.

The broad strokes of a profit-sharing and per-formance improvement plan for business unitshave been defined at the Group level. Negotiationswith employee representatives may be initiated in2009 in the participating countries.

The European Works Council was informed andconsulted during the change in Cegelec share-holders.
